Pursuant to the Law on Organization of the Government dated December 25, 2001;
Pursuant to the State Enterprise Law on April 20, 1995;
Pursuant to the Enterprise Law dated June 12, 1999;
Pursuant to the proposal of the People's Committee of Ho Chi Minh City,
DECISION:
Article 1. Approves the Pilot Project on the organizational model of parent company - subsidiary at Saigon Real Estate Corporation under the People's Committee of Ho Chi Minh City, with the following contents:
1. Parent Company: Saigon Real Estate Corporation (RESCO) is a state-owned enterprise directly implementing production and business activities and having investment capital in other companies, responsible for preserving and developing the state capital in the parent company and the invested capital in other companies.
2. Subsidiaries have legal personality, separate assets, names, management structures, and bear civil liability within the scope of their assets; they are organized and operate according to the provisions of law corresponding to the legal form of subsidiaries. Subsidiaries include limited liability companies and joint-stock companies, specifically:
a) Limited liability companies:
- Housing Development and Trading Company,
- Binh Thanh Housing Development Company,
- Go Mon Real Estate Company.
b) Joint-stock companies:
- District 3 Construction and Housing Development Company,
- Tan Binh Housing Trading and Development Company,
- District 8 Construction and Housing Service Company,
- District 11 Construction and Trading Company,
- Building Materials and Construction Company,
- Can Gio Construction and Housing Trading Company,
- Saigon Construction and Housing Trading Company,
- Saigon Commercial Construction Company 5,
- District 10 Construction and Housing Service Company,
- Cho Lon Construction and Housing Trading Company,
- Gia Vap Import-Export Investment and Construction Company,
- Saigon Elevator Joint-Stock Company.
3. The following companies have contributions from the parent company:
a) Joint-stock companies:
- Saigon Real Estate Consulting Company,
- Real Estate 9 Company,
- Sai Gon Infrastructure Development Joint-Stock Company,
- Sai Gon Property Service Joint-Stock Company,
- Sai Gon Investment and Construction Electricity Joint-Stock Company.
b) Joint ventures:
- Keppel Land Watco Joint Venture (Saigon Center Tower),
- Vietcombank Bonday Joint Venture (Harbour View Tower),
- Ocean Place Joint Venture (Ocean Place Tower).
4. The charter capital structure, business sectors of the parent company and subsidiaries; organization and management of the parent company; relationships between the parent company and the state owner, and with subsidiaries and companies with contributions from the parent company; the name of the agency entrusted to represent the state capital in the parent company... are stipulated in the Charter of the parent company's organization and operation.
Article 2
1. Entrust the Chairman of the People's Committee of Ho Chi Minh City:
a) To direct the implementation of this Project. To take the lead and coordinate with relevant agencies in:
- Determining principles for handling capital, assets, finance, and labor when transferring Saigon Real Estate Corporation to operate under the parent company - subsidiary model.
- Monitoring the operation of this model during the pilot period to promptly correct, draw lessons, and report to the Prime Minister.
b) To decide on the establishment of the parent company and subsidiaries mentioned in Article 1 of this Decision in accordance with current regulations.
c) To submit to the Prime Minister for approval of the Charter of the parent company's organization and operation.
2. Entrust the Minister of Finance to approve the financial regulations for the pilot program of the parent company based on the proposal of the People's Committee of Ho Chi Minh City.
Article 3. The Standard Measurement Quality Control Department shall be responsible for organizing and guiding the implementation of the Regulations adopted herein.
The Chairman of the People's Committee of Ho Chi Minh City, Ministers of the Ministries of Finance, Planning and Investment, Home Affairs, Labor, Invalids and Social Affairs, Construction, and Heads of relevant agencies are responsible for implementing this Decision./.
