CIRCULAR

Amending and supplementing the Rules on Organization and Management of Securities Trading for Unlisted Public Companies at the Hanoi Stock Exchange issued together with Decision No. 108/2008/QĐ-BTC

Pursuant to Decree No. 14/2007/NĐ-CP dated January 19, 2007, of the Government detailing implementation of certain provisions of the Securities Law;

BASED ON THE SECURITIES LAW NUMBER 70/2006/QH11 OF JUNE 29, 2006;

Pursuant to Decree No. 118/2008/NĐ-CP dated November 27, 2008, of the Government stipulating functions, tasks, powers, and organizational structure of the Ministry of Finance;

The Ministry of Finance hereby issues guidelines to amend and supplement certain contents of the Rules on Organization and Management of Securities Trading for Unlisted Public Companies at the Hanoi Stock Exchange issued together with Decision No. 108/2008/QĐ-BTC dated November 20, 2008, of the Minister of Finance as follows:

Replace the terms "Hanoi Securities Trading Center" and "Hanoi TTGDCK" in Decision No. 108/2008/QĐ-BTC dated November 20, 2008, with the corresponding terms "Hanoi Stock Exchange" and "Hanoi SGDCK".

Article 1. Article 7 is amended as follows:

Article 2. "Article 7: Conditions for Registration of Trading

Securities shall be registered for trading at the Hanoi Stock Exchange (Hanoi SGDCK) if they meet the following conditions:

1. They are securities of public companies as provided for in Article 25 of the Securities Law that have not been listed on the Hanoi SGDCK.

2. They are securities that have been registered for custody at the Vietnam Securities Depository (VSD)."

Clause 2 of Article 8 on Documents for Registration of Trading is abolished.

Article 3. Point d of Clause 1 of Article 13 on Suspension of Trading of Registered Securities is abolished.

Article 4. Amend Article 14 on Trading Methods as follows:

Article 5. "Article 14: Trading Methods:

1. The Hanoi Stock Exchange organizes trading for registered securities through the trading registration system using two methods: continuous matching and negotiated trading.

2. The Hanoi Stock Exchange and the Vietnam Securities Depository shall specify the details of the trading methods and procedures for correcting trading errors under the continuous matching method after approval by the State Securities Commission."

2. The Hanoi Stock Exchange and the Vietnam Securities Depository shall specify the contents, methods of transactions, and ways to correct errors in continuous auction transactions after being approved by the State Securities Commission.

Article 6. This Circular takes effect from the date of signature.

Article 7. Any amendments or supplements to this Circular shall be decided by the Minister of Finance./.
