DECISION
Regarding the approval of the Project to establish the Dong Nai Food Industry Corporation, operating under the holding company - subsidiary model,operating according to the holding company - subsidiary model
PRIME MINISTER
Pursuant to the Law on Organization of the Government dated December 25, 2001;
Pursuant to the State Enterprise Law dated November 26, 2003;
Pursuant to the Enterprise Law dated June 12, 1999;
Pursuant to Decree No. 180/2004/NĐ-CP dated October 28, 2004 of the Government on the establishment, restructuring, and dissolution of state-owned companies;
Pursuant to Decree No. 153/2004/NĐ-CP dated August 9, 2004 of the Government on the organization and management of state-owned corporations and the transformation of state-owned corporations and independent state-owned companies into the holding company - subsidiary model;
Considering the proposal of the Chairman of the People's Committee of Dong Nai Province,
DECISION:
Article 1. Approves the Project to establish the Dong Nai Food Industry Corporation, operating according to the holding company - subsidiary model.
1. The holding company - Dong Nai Food Industry Corporation is a state-owned enterprise established based on the restructuring of the Dong Nai Tobacco Joint Stock Company Limited under the People's Committee of Dong Nai Province.
2. The holding company has the function of directly producing and trading, and investing financially in other enterprises; it has a management structure in accordance with the provisions of the law.
3. Subsidiaries include:
- Dong Nai Import-Export Joint Stock Company,
- Agricultural Supplies Joint Stock Company,
- Dong Nai Livestock Breeding Joint Stock Company,
- Phu Son Pig Breeding Joint Stock Company,
- Dong Nai Beer and Soft Drinks Joint Stock Company,
- Bien Hoa Packaging Joint Stock Company,
- Dong Nai Cotton Joint Stock Company,
- Agricultural Products and Livestock Feed Processing Joint Stock Company,
- Dong Nai Crop Seed Joint Stock Company,
- Song Ray Agriculture and Service Joint Stock Company.
4. The registered capital structure and business sectors of the holding company and subsidiaries; the organization and management of the holding company; the relationship between the holding company and the state owner and with subsidiaries shall be stipulated in the Charter of the holding company's organization and operation.
Article 2. The Chairman of the People's Committee of Dong Nai Province directs the implementation of this Project; decides to establish and approve the Charter of the holding company's organization and operation, and the formation of subsidiaries mentioned in Article 1 of this Decision in accordance with current regulations.
Article 3. The Standard Measurement Quality Control Department shall be responsible for organizing and guiding the implementation of the Regulations adopted herein.
The Chairman of the People's Committee of Dong Nai Province and the heads of relevant agencies are responsible for implementing this Decision./.
