DECISION OF THE MINISTER OF AGRICULTURE AND RURAL DEVELOPMENT

Regarding the establishment of the Irrigation Construction and Technology Transfer Company under the Institute of Water Resources Science

THE MINISTER OF AGRICULTURE AND RURAL DEVELOPMENT

Pursuant to Decree No. 73/CP dated November 1, 1995 of the Government on the functions, tasks, powers, and organizational structure of the Ministry of Agriculture and Rural Development;

Pursuant to Decision No. 68/1998/QĐ-TTg dated March 27, 1998 of the Prime Minister on the pilot establishment of state-owned enterprises within educational institutions and research centers;

Pursuant to Notification No. 8749/BKH-DN dated December 17, 1998 of the Ministry of Planning and Investment on the pilot establishment of the Irrigation Construction and Technology Transfer Company;

Considering the proposal of the Director of the Institute of Water Resources Science, the Head of the Finance and Accounting Department, the Head of the Science and Technology Quality Product Department, and the Head of the Organization and Personnel Department,

DECISION:

Article 1. The Irrigation Construction and Technology Transfer Company under the Institute of Water Resources Science is hereby established.

The Company is a state-owned enterprise under the scientific and technological agency, entitled to use its seal and open a separate account at the Bank and Treasury in accordance with current regulations of the State.

Headquarters of the Company: The main office of the Company is located in Dong Da, Hanoi (transferred from the Institute of Water Resources Science) and has representative offices in localities as prescribed by the Ministry.

Registered capital of the Company: VND 5,400 million, including fixed assets: VND 900 million, working capital: VND 3,500 million, based on the capital and assets transferred from the Institute of Water Resources Science to the Company.

Article 2: Main tasks (business areas) of the Irrigation Construction and Technology Transfer Company include:

1. Consulting on investment, technology transfer, production of materials, and construction of irrigation works, small hydropower plants, river and coastal protection, water supply and drainage systems, transportation and civil engineering projects, and other related projects.

2. Participating in research, building research models, and demonstration models for scientific research purposes.

3. Participating in training and international cooperation in relevant fields.

Article 3. Organizational structure of the Company:

Leadership: The Company has a General Director and Deputy General Directors assisting the General Director,

Chief Accountant of the Company,

Specialized departments.

The General Director, Deputy General Directors, and Chief Accountant of the Company are appointed or relieved of their duties by the Minister of Agriculture and Rural Development.

Article 4. The Director of the Institute of Water Resources Science is tasked with transferring part of the material infrastructure (office space, equipment, funds... sufficient to meet the registered capital requirements as prescribed) and part of the workforce from the Institute to the Company; specifying the specialized departments, appointing or relieving from duty other positions (as stipulated in Article 3) of the Company in accordance with current State regulations and the existing delegation of authority of the Ministry. The General Director of the Company is responsible for receiving, managing, registering, and operating the business in accordance with current State regulations.

Article 5: The Head of the Office, Heads of Departments, Heads of agencies and units under the Ministry concerned, the Director of the Institute of Water Resources Science, and the General Director of the Irrigation Construction and Technology Transfer Company are responsible for implementing this Decision. This Decision takes effect fifteen days from the date of issuance./.
