Pursuant to the Law on Organization of the Government dated December 25, 2001;

Pursuant to the State Enterprise Law dated November 26, 2003;

Pursuant to Decree No. 63/2001/NĐ-CP dated September 14, 2001;

Considering the proposal of the Board of Directors of the Southern Food Corporation,

DECISION:

Article 1. Transfer Binh Dinh Food Company, an independent accounting member enterprise under Southern Foodstuff Corporation, into Binh Dinh Food Limited Liability Company.

Binh Dinh Food Limited Liability Company shall have its own seal, open accounts at domestic and foreign banks in accordance with the law, and operate in accordance with the Company's Articles of Association and the Enterprise Law.

- Full name: Binh Dinh Food Limited Liability Company.

- International trade name: BINH DINH FOOD Co., Ltd.

- Abbreviation: BIDIFOOD

- Registered capital: 20,000,000,000 VND (twenty billion VND).

- Head office: No. 557 Tran Hung Dao Street, Quy Nhon City, Binh Dinh Province.

Article 2. The main business of the Company includes trading in foodstuffs, agricultural products, seafood, food technology, animal feed, agricultural production equipment, spare parts, machinery, fuel oil, liquefied gas, cargo transportation, warehouse leasing, real estate, rural power grid, and other businesses as prescribed by law.

Article 3. Organization and operation:

1. The organizational structure of the Company follows the model of Chairman and General Director.

2. The organization and operation of the Company are specifically regulated in the Company's Charter on organization and operation.

Article 4. The State body authorized to represent the owner:

Board of Directors of the Southern Foodstuff Corporation.

The Board of Directors of the Southern Foodstuff Corporation is responsible for exercising the rights of the owner of the capital according to current regulations and the Company's Articles of Association.

Article 5. Binh Dinh Food Limited Liability Company shall be responsible for receiving and effectively utilizing the capital and assets transferred by the Board of Directors of Southern Foodstuff Corporation to fulfill the mission of developing production and business activities; and succeed all rights and obligations of Binh Dinh Food Company.

Article 6. The Chairman of Binh Dinh Limited Liability Company shall be responsible for drafting the Organizational and Operational Regulations of the Company to submit to the Board of Directors of Southern Foodstuff Corporation for approval; appointing the General Director, Deputy General Directors, and Chief Accountant of the Company in accordance with current laws.

Article 7. The Standard Measurement Quality Control Department shall be responsible for organizing and guiding the implementation of the Regulations adopted herein.

The Board of Directors of Southern Foodstuff Corporation, the General Director of Binh Dinh Food Company, and the Chairman of Binh Dinh Food Limited Liability Company are responsible for implementing this Decision./.
