DECISION
Regarding the establishment of the Central Enterprise Management Reform Board
PRIME MINISTER
Pursuant to the Government Organization Law dated September 30, 1992;
To assist the Prime Minister in strengthening guidance on the reform of state management over enterprises;
At the proposal of the Minister, Head of the Government Office, the Minister, Head of the Government Organizational-Cadre Board,
DECISION:
Article 1. Establish the Central Enterprise Management Reform Board to assist the Prime Minister in researching, directing, and coordinating with ministries, ministerial-level agencies, government-affiliated agencies, provincial people's committees, and municipal people's committees directly under the central government in the work of enterprise management reform across all economic sectors and the restructuring and shareholding of state-owned enterprises.
The Central Enterprise Management Reform Board shall be directly under the direction of the Prime Minister.
Article 2. The Central Enterprise Management Reform Board has the main tasks and powers as follows:
1. Researching and compiling programs and plans for the Prime Minister regarding the reform of mechanisms, policies, and organizational management of enterprises across all economic sectors, restructuring, shareholding, and diversification of ownership of state-owned enterprises, and implementing pilot policies and new organizational management models for enterprises.
Directing, urging, and inspecting the implementation of these programs and plans.
2. Reviewing and submitting to the Prime Minister for consideration and decision-making on restructuring plans and shareholding plans for state-owned enterprises proposed by ministries, ministerial-level agencies, government-affiliated agencies, provincial people's committees, and municipal people's committees directly under the central government.
Studying, monitoring, and compiling information on the restructuring and management mechanism reforms of state-owned corporations established by the Prime Minister's decision.
3. Cooperating with relevant agencies to draft regulatory legal documents on the reform of mechanisms and policies for managing enterprises across all economic sectors and the restructuring and shareholding of state-owned enterprises; reviewing and submitting to the Prime Minister for consideration and decision-making, and monitoring, urging, and inspecting the implementation of such regulatory legal documents.
Organizing research and advising the Prime Minister on policies and mechanisms to promote the formation and development of enterprises across all economic sectors; assistance policies and mechanisms for small and medium-sized enterprises.
4. Cooperating with central and local agencies related to promptly resolving issues arising during the reform of enterprise management and the shareholding of state-owned enterprises, and proposing solutions to the Prime Minister for issues exceeding the authority of ministers, deputy ministers of ministerial-level agencies, heads of government-affiliated agencies, provincial people's committees, and municipal people's committees directly under the central government.
Cooperating with relevant agencies and the Government Office in addressing enterprises' recommendations regarding the reform of policies and management systems for enterprises.
5. Monitoring, summarizing, concluding, and reporting to the Prime Minister every six months, annually, and at any time about the situation of enterprise reform and the shareholding of state-owned enterprises.
Article 3. The organizational structure of the Central Enterprise Management Reform Board is as follows:
1. Leadership of the Board:
- Chairperson: to be concurrently held by a Deputy Prime Minister.
- Several Vice Chairpersons, including a permanent Vice Chairperson.
- Each of the following agencies will appoint a leading representative as a member: Ministry of Planning and Investment, Ministry of Finance, Ministry of Labor, Invalids and Social Affairs, State Securities Commission, Government Office.
- Proposing that the Central Party Organization Board, the Central Party Economic Board, and the Vietnam General Confederation of Labor each appoint a leading representative as a member.
The list of leadership members of the Board shall be decided by the Prime Minister.
The Chairperson is responsible for all activities of the Board before the Prime Minister. The Vice Chairpersons and Board members are responsible to the Chairperson for their assigned areas.
2. focusing on the functions of the District leading organization to conduct reviews. The Central Enterprise Management Reform Board has an assisting staff structure determined jointly by the Chairperson and the Minister, Head of the Government Office.
The Board has its own staffing quota included in the overall staffing quota of the Government Office. Operating funds, office space, and working equipment are provided by the Government Office.
3. The Central Enterprise Management Reform Board operates according to regulations decided by the Chairperson. The Chairperson, together with the Minister, Head of the Government Office, specifies the specific working relationships between the Board and the Government Office.
Article 4. Ministers, heads of ministerial-level agencies, heads of government-affiliated agencies (agencies responsible for implementing enterprise management reform across all economic sectors, restructuring, and shareholding of state-owned enterprises), provincial people's committees, and municipal people's committees directly under the central government establish a Central Enterprise Management Reform Board headed by a deputy leader. The Board is comprehensively directed by the Minister, head of the ministerial-level agency, head of the government-affiliated agency, or chairman of the provincial or municipal people's committee directly under the central government in organizing the implementation of policies for enterprise management reform, restructuring, and shareholding of state-owned enterprises within their scope of responsibility, while also performing necessary specialized tasks according to the guidance of the Central Enterprise Management Reform Board. For state-owned corporations established by the Prime Minister's decision, the Chairman of the Board of Directors is responsible for organizing and directing the implementation of enterprise management reform and shareholding within the corporation.
Article 5. This Decision takes effect from the date of signature.
Abolish Decision No. 83/TTg dated March 4, 1993 of the Prime Minister on the establishment of the Central Committee for Enterprise Reform and Decision No. 548/TTg dated August 13, 1996 of the Prime Minister on the establishment of the Central Committee for Shareholding Reform and other previous provisions inconsistent with this Decision.
Article 6. The Chairperson of the Central Enterprise Management Reform Board, Ministers, heads of ministerial-level agencies, heads of government-affiliated agencies, chairmen of provincial people's committees, and municipal people's committees directly under the central government, chairmen of boards of directors, and general managers of state-owned corporations established by the Prime Minister's decision are responsible for implementing this Decision./.
