DECISION

Regarding the transformation of Vietnam Ceramic and Glass Corporation into Vietnam Ceramic and Glass State-owned Limited Liability Company

State-owned joint stock company with one member Vietnam Ceramic Glass Corporation

THE MINISTER OF INDUSTRY

Pursuant to Decree No. 55/2003/NĐ-CP dated May 28, 2003 of the Government stipulating the functions, tasks, powers, and organizational structure of the Ministry of Industry;

Pursuant to Decree No. 63/2001/NĐ-CP dated September 14, 2001 of the Government on the conversion of state-owned enterprises and enterprises of political organizations and political-social organizations into single-member limited liability companies;

Pursuant to Decision No. 125/QĐ-TTg dated January 28, 2003 of the Prime Minister approving the overall restructuring and modernization plan for state-owned corporations and state-owned enterprises under the Ministry of Industry for the period 2003-2005;

Considering the proposal of Vietnam Ceramic and Glass Corporation (Letter No. 315/2004/CV-VP dated September 9, 2004) and the dossier on the transformation of Vietnam Ceramic and Glass Corporation into Vietnam Ceramic and Glass State-owned Limited Liability Company;

At the proposal of the Director of the Personnel and Organization Department

DECISION:

Article 1. Transform Vietnam Ceramic and Glass Corporation, a direct subordinate enterprise of the Ministry of Industry, into Vietnam Ceramic and Glass State-owned Limited Liability Company.

Vietnam Ceramic and Glass State-owned Limited Liability Company (referred to as the Company) shall have its own seal, be entitled to open accounts at domestic and foreign banks in accordance with the law; organize and operate according to the Company's Charter and the Enterprise Law. The Company has:

- Vietnamese name: Vietnam Ceramic and Glass State-owned Limited Liability Company, abbreviated name: Vietnam Ceramic and Glass Corporation;

- International trade name: VIETNAM CERAMIC AND GLASS COMPANY LIMITED, abbreviated name: VINACEGLASS;

- Main office located at No. 20-24 Nguyen Cong Tru Street, Nguyen Thai Binh Ward, District 1, Ho Chi Minh City.

- Registered capital of the Company at the time of transformation: 20,333,581,744 Vietnamese dong (Twenty billion, three hundred thirty-three million, five hundred eighty-one thousand, seven hundred forty-four Vietnamese dong).

Article 2. Business activities of the Company:

- Producing ceramic and glass products; importing and exporting various types of raw materials, equipment parts, and ceramic and glass products;

- Trading in petroleum, steel, machinery and equipment parts, lighting equipment, chemical materials of all kinds (including chemicals, insecticides, disinfectants used in household, medical fields, and hazardous chemicals);

- Operating tourism, hotels, exhibitions, advertising information, transportation; trading in real estate and acting as a real estate broker; renting warehouses and workshops;

- Constructing gas-fired ceramic kilns and manufacturing accompanying accessories; processing specialized ceramic and glass raw materials;

- Providing investment consulting, research, training, and technology transfer services; designing, manufacturing, installing equipment, and constructing specialized and civil engineering projects;

- Scientific and technical services and commercial services;

- Other businesses as prescribed by law.

Article 3. Organization and operation of the Company:

1. The organizational structure of the Company includes:

- Chairman of the Company;

- General Director and supporting staff;

- Subordinate units of the Company.

The Board of Directors of the Vietnam Minerals Corporation. Address: No. 562 Nguyen Van Cu Street, Gia Thuy Ward, Long Bien District, Hanoi City. The Board of Directors of the Vietnam Minerals Corporation is responsible for exercising the rights of the owner according to current laws and the Articles of Association of the Company.

Article 4. The State-authorized representative as the owner:

- Ministry of Industry;

- Address: No. 54 Hai Ba Trung Street, Hoan Kiem District, Hanoi.

The Ministry of Industry shall exercise the rights of the owner representative in accordance with the law and the Company's Charter.

Article 5. Vietnam Ceramic and Glass State-owned Limited Liability Company shall be responsible for receiving and using effectively the capital and assets transferred by the Ministry of Industry to fulfill production and business development tasks, inheriting the lawful rights, interests, and obligations regarding capital, assets, labor, and land from Vietnam Ceramic and Glass Corporation.

Article 6. The Chairman of Vietnam Ceramic and Glass State-owned Limited Liability Company shall be responsible for drafting the Company's Charter to submit to the Minister of Industry for approval; appointing the General Director, Deputy General Directors, and Chief Accountant of the Company in accordance with the Company's Charter and current laws.

Article 7. The Standard Measurement Quality Control Department shall be responsible for organizing and guiding the implementation of the Regulations adopted herein.

The Head of the Ministry's Office, the Inspector General, Department Heads, Bureau Chiefs under the Ministry, the General Director of Vietnam Ceramic and Glass Corporation, the Chairman and General Director of Vietnam Ceramic and Glass State-owned Limited Liability Company shall be responsible for implementing this Decision.
