THE MINISTER OF SCIENCE AND TECHNOLOGY
Pursuant to Decree No. 54/2003/NĐ-CP dated May 19, 2003 of the Government stipulating the functions, tasks, powers, and organizational structure of the Ministry of Science and Technology, and Decree No. 28/2004/NĐ-CP dated January 16, 2004 of the Government amending and supplementing certain articles of Decree No. 54/2003/NĐ-CP;
Considering the proposals of the Directors of the National Office of Intellectual Property and the Director of the Department of Organization and Cadres;
DECISION:
Article 1. This Decision promulgates the Statutes on Organization and Operation of the National Office of Intellectual Property attached hereto.
Article 2. This Decision shall take effect fifteen days from the date of publication in the Official Gazette and shall replace Decision No. 259/TCCB dated June 8, 1993 of the Minister of Science, Technology and Environment (now the Ministry of Science and Technology) promulgating the Statutes on Organization and Operation of the National Office of Industrial Property (now the National Office of Intellectual Property).
Article 3. The Heads of the Office, the Director of the Department of Organization and Cadres, the Director of the National Office of Intellectual Property, and the Heads of units concerned shall be responsible for implementing this Decision./.
CHARTER
ORGANIZATION AND OPERATIONS OF THE NATIONAL OFFICE OF INTELLECTUAL PROPERTY

PART I
FUNCTIONS, TASKS, AND POWERS
Article 1Position and Function
1. The National Office of Intellectual Property is a subordinate agency under the Ministry of Science and Technology, performing state management functions and ensuring activities related to intellectual property as prescribed in Article 1 and Clause 6 of Article 2 of Decree No. 54/2003/NĐ-CP dated May 19, 2003 of the Government stipulating the functions, tasks, powers, and organizational structure of the Ministry of Science and Technology, amended and supplemented by Clause 3 of Article 1 of Decree No. 28/2004/NĐ-CP dated January 16, 2004 of the Government amending and supplementing certain articles of Decree No. 54/2003/NĐ-CP.
2. The National Office of Intellectual Property has legal personality, its own seal, and may open accounts at the State Treasury or Bank for its operations and transactions in accordance with the law.
3. In international transactions, the National Office of Intellectual Property is named in English as "National Office of Intellectual Property of Vietnam," abbreviated as "NOIP."
4. The main office of the National Office of Intellectual Property is located in Hanoi and it may have representative offices in some localities.
Article 2. Tasks and Powers
1. Drafting strategies, plans for development, long-term plans, five-year plans, and annual plans, programs, and projects related to the development of the intellectual property system throughout the country for submission to the Minister;
2. Taking the lead and coordinating with relevant units to draft regulations, mechanisms, and policies related to intellectual property for submission to competent state agencies for issuance or issuing within their authority;
3. Implementing regulatory documents, strategies, plans, programs, and projects on intellectual property after they are issued or approved;
4. Coordinating with relevant agencies to inspect documents and regulations issued by ministries, sectors, and localities to propose competent authorities to amend, suspend, or revoke regulations that violate intellectual property laws;
5. Issuing professional guidance materials on intellectual property, drafting forms, certificates, patents, regulations, and standards related to the registration and establishment of industrial property rights and other intellectual property objects in compliance with the law for submission to the Minister for issuance;
6. Processing procedures for establishing industrial property rights in accordance with the law;
7. Processing procedures for maintaining, extending, modifying, and transferring industrial property rights in accordance with the law;
8. Implementing measures within its authority to protect the legitimate rights and interests of the State, organizations, and individuals in the field of intellectual property; coordinating with relevant agencies to implement measures to protect intellectual property rights and ensure strict enforcement of intellectual property laws;
9. Directing intellectual property business for intellectual property management agencies under ministries, sectors, localities, and institutions;
10. Guiding and inspecting the implementation of intellectual property laws by agencies, organizations, and individuals as assigned by the Minister;
11. Drafting measures to promote innovation and creativity nationwide for submission to the Minister; organizing the implementation of activities related to innovation and creativity as assigned by the Minister;
12. Cooperating in international cooperation activities on intellectual property; participating in building, negotiating, signing, and joining international treaties and organizations on intellectual property;
13. Building, managing, and operating databases of intellectual property information; ensuring intellectual property information for state management, professional, and scientific research and technological development, production, and business activities; publishing information related to protected intellectual property rights in Vietnam;
14. Coordinating with relevant agencies to conduct publicity, dissemination, and education on intellectual property laws;
15. Organizing the implementation of training and scientific research on intellectual property;
16. Inspecting professional activities and the implementation of laws by associations and non-governmental organizations regarding intellectual property as assigned by the Minister; receiving and processing complaints and proposing measures to handle violations of intellectual property laws by these organizations to improve and develop intellectual property activities;
17. Within the scope of authorization, resolving or participating in resolving disputes over intellectual property; conducting legal appraisal and forensic activities to serve the resolution of disputes involving violations of intellectual property laws;
18. Managing the organization, cadres, civil servants, employees, assets, files, and documents of the Office in accordance with the law and the division of authority by the Minister;
19. Performing other tasks assigned by the Minister.
PART II
ORGANIZATIONAL STRUCTURE AND STAFFING
Article 3. Organizational Structure
1. Leadership of the Office
The leadership of the Office consists of the Director and Deputy Directors appointed by the Minister of Science and Technology.
The Director manages the activities of the Bureau under the head system combined with collective discussion, and is responsible to the Minister and the law for the entire organization and operation of the Bureau.
Deputy Directors assist the Director and are responsible to the Director and the law for the implementation of assigned tasks.
In the absence of the Director, a Deputy Director authorized to represent the Director in leading and managing the Bureau's work.
2. Management structure of the Bureau
The management structure of the Bureau includes units and departments performing state management functions and ensuring intellectual property activities.
a/ Units and departments managing intellectual property affairs include:
Office;
Personnel and Organization Department;
Registration Department;
Legal and Policy Department;
International Cooperation Department;
Enforcement and Complaint Resolution Department;
Information Technology Department;
Representative Office in Ho Chi Minh City;
Representative Office in Da Nang City.
b/ Units and departments implementing service activities supporting state management of intellectual property include:
Invention Room 1;
Invention Room 2;
Invention Room 3;
Industrial Design Room;
Trademark Room 1;
Trademark Room 2;
Research and Training Center;
Information Center;
Support and Advisory Center.

The Director is responsible for defining the functions, tasks, organization, and operations of units and departments within the Bureau.
Article 4. Labor
The labor force of the Bureau includes:
a) Civil servants and officials within the staffing quota assigned by the Ministry;
b) Workers under labor contracts in accordance with the Labor Code, commensurate with the workload and financial capacity of the Bureau;
c) Collaborators.
The Intellectual Property Office implements labor management systems, pays salaries, wages, and other income, and implements insurance regimes for civil servants, officials, and workers under labor contracts in accordance with current state regulations and those of the Ministry.
CHAPTER III
FINANCIAL MANAGEMENT
Article 5Financial Affairs
1. The sources of finance for the Intellectual Property Office include:
a) Budget funds provided by the State;
b) Fees and charges retained after being remitted to the State budget as prescribed;
c) Revenue from contracts for public services;
d) Financial support from organizations and individuals both domestically and internationally.
2. Expenditures include:
a) Regular operational expenses according to the functions and tasks assigned by competent authorities;
b) Expenses for supply and service activities;
c) Labor hire costs;
d) Other expenditures as prescribed.
Article 6Financial Management
The Director is responsible for managing and using the Bureau's financial resources effectively and implementing accounting systems in accordance with current state regulations.
PART IV
WORK RELATIONSHIPS
Article 7. Leadership and Supervision
1. The Intellectual Property Office is directly led by the Minister of Science and Technology and is subject to supervision by state management agencies, advisory bodies, and the Minister's office of the Ministry of Science and Technology.
2. The Director of the Intellectual Property Office manages all Bureau activities based on the Bureau's Charter and Regulations; implements work systems and relationships with heads of units within the Ministry according to the Ministry's Work Regulations and other directives issued by the Minister.
Article 8. Coordination
1. The Intellectual Property Office is responsible for closely coordinating with science and technology management agencies of ministries, sectors, provincial science and technology departments, and related organizations in carrying out assigned tasks.
2. The Intellectual Property Office coordinates with relevant law enforcement agencies to ensure the enforcement and handling of intellectual property violations.
CHAPTER V
IMPLEMENTING PROVISIONS
Article 9. The Director of the Intellectual Property Office collaborates with the Personnel Department Head to implement this Charter.
Article 10. Any amendments or supplements to this Charter shall be proposed by the Director of the Intellectual Property Office in collaboration with the Personnel Department Head to the Minister of Science and Technology for consideration and decision./.
