DECISION OF THE MINISTER

MINISTRY OF AGRICULTURE AND RURAL DEVELOPMENT

Regarding the establishment of the Salt Industry General Import Export Company

under the Salt Corporation

THE MINISTER OF AGRICULTURE AND RURAL DEVELOPMENT

Pursuant to Decree No. 73/CP dated November 1, 1995 of the Government on the functions, tasks, powers, and organizational structure of the Ministry of Agriculture and Rural Development.

Pursuant to Decision No. 1128/1997/QĐ-TTg dated December 25, 1997 of the Prime Minister transferring state management and salt production and business tasks to the Ministry of Agriculture and Rural Development;

Pursuant to Decree No. 50/CP dated August 28, 1996 of the Government on the establishment, restructuring, dissolution, and bankruptcy of state-owned enterprises;

Pursuant to Decision No. 414/TM-TCCB dated May 17, 1995 of the Minister of Trade establishing the Salt Corporation;

Considering the proposal of the Board of Directors of the Salt Corporation at Report No. 41/HĐQT-TC dated October 30, 2000 and the proposal of the Director of the Cadre and Civil Servant Department,

DECISION:

Article 1. Establish the Salt Industry General Import Export Company under the Salt Corporation - Ministry of Agriculture and Rural Development.

Article 2. The Salt Industry General Import Export Company has:

International trade name: SALT SECTOR GENERAL IMPORT EXPORT COMPANY

Abbreviation: SAGIMEX

Main office located at: No. 5 Hang Ga Street, Hoan Kiem District, Hanoi.

The Company is a subsidiary unit under the Salt Corporation, entitled to use its seal and open bank accounts according to current regulations.

Article 3. The Salt Industry General Import Export Company primarily engages in the following business activities:

Export: Salt products, agricultural and processed industrial products.

Import: Raw materials, chemicals, machinery, equipment, transportation means, consumer goods for production and business operations.

Business: Salt products, raw materials, chemicals, machinery, equipment, goods serving production and daily life.

It may undertake other tasks assigned by the Salt Corporation within the scope of permitted business activities.

The Salt Industry General Import Export Company is subject to comprehensive direction and direct management by the Salt Corporation; the Company is authorized to sign economic contracts, actively carry out business and financial activities, organization, and personnel matters according to the delegation or authorization of the Salt Corporation.

Article 4. The organizational structure and staffing of the Salt Industry General Import Export Company shall be determined by the Board of Directors and the General Director of the Salt Corporation based on the production and business requirements of the Company with the spirit of efficiency and simplicity.

The Director of the Salt Industry General Import Export Company is responsible for drafting the Charter of Organization and Operation of the Company for the General Director of the Salt Corporation to submit to the Board of Directors for approval in accordance with the State Enterprise Law and the Charter of Organization and Operation of the Salt Corporation.

Article 5. The Salt Corporation is responsible for directing the Director of the Salt Industry General Import Export Company to complete all necessary registration procedures with competent authorities according to current regulations and operate in compliance with the law.

Article 6. The Head of the Ministry's Office, the Director of the Cadre and Civil Servant Department, the Heads of relevant functional agencies under the Ministry, the Board of Directors, and the General Director of the Salt Corporation. The Director of the Salt Industry General Import Export Company is responsible for implementing this Decision./.
