Approving the Charter of the Vietnam Association of Tectonics

 

THE MINISTER OF THE MINISTRY OF HOME AFFAIRS

 

Pursuant to Decree No. 102/SL-L004 dated May 20, 1957, on the right to establish associations;

Pursuant to Decree No. 88/2003/NĐ-CP dated July 30, 2003 of the Government on the organization, operation, and management of associations;

Pursuant to Decree No. 45/2003/NĐ-CP dated May 9, 2003 of the Government on the functions, tasks, powers, and organizational structure of the Ministry of Home Affairs;

Considering the proposal of the Chairman of the Vietnam Association of Tectonics and the Director of the Department for Non-Governmental Organizations,

 

DECISION:

 

Article 1. Approves the Charter of the Vietnam Association of Tectonics which was adopted at the First National Congress of the Association on March 15, 2005.

Article 2. The Standard Measurement Quality Control Department shall be responsible for organizing and guiding the implementation of the Regulations adopted herein.

Article 3. The Chairman of the Vietnam Association of Tectonics and the Director of the Department for Non-Governmental Organizations shall be responsible for implementing this Decision.

VIETNAM ASSOCIATION OF TECTONICS

Issued pursuant to Decision No. 141/2005/QĐ-BNV dated December 28, 2005

of the Minister of Home Affairs

PART I

NAME, AIMS, AND SCOPE OF ACTIVITY

Article 1. Name of the Association

The Association has the name: Vietnam Association of Tectonics.

Trade name in English: Vietnam Association of Tectonics.

Article 2. Aims and Objectives

1. The Vietnam Association of Tectonics (hereinafter referred to as the Association) is a voluntary social-professional organization of Vietnamese citizens engaged in the tectonic field. The Vietnam Association of Tectonics is a member of the Vietnam Geological Association. The Association operates within the framework of the laws of the Socialist Republic of Vietnam and according to its Charter.

2. The purpose of the Association is to unite and mobilize widely those individuals working in the tectonic field to help each other enhance their talents and intellect, improve professional expertise, and contribute to the industrialization and modernization of the country, thereby contributing to building a prosperous, equitable, democratic, and civilized Vietnam.

Article 3. Scope of Activity

1. The Vietnam Association of Tectonics operates throughout the country with headquarters in Hanoi. The Association has legal personality, a seal, separate assets and finances, and a bank account.

2. The Vietnam Association of Tectonics may join organizations in the same field within the region and internationally in accordance with the law.

Chapter II

TASKS AND METHODS OF OPERATION

Article 4. Tasks

1. Mobilizing the enthusiasm and creative abilities of members in researching and conducting basic investigations in the tectonic field to meet the economic and social development needs of the country.

2. Encouraging and assisting members to improve their scientific and technical skills, contributing to training talent in the geological sector of Vietnam.

3. Disseminating geological scientific and technical knowledge and mineral resources information to the public; promoting and encouraging creativity among the geological workforce.

4. Studying and applying new theories, scientific and technological advancements, and advanced experiences both domestically and internationally to geological basic investigation work and mineral resource management while protecting the environment.

5. Providing advice and criticism to the State and Ministries when requested regarding geological development strategies, mineral resource policies, systems, and specific measures to promote the development of the geological sector.

6. Conducting economic activities in accordance with the law through the application of scientific and technological progress to generate income for the Association's fund.

Article 5. Methods of Operation

1. Organizing conferences, seminars, and information exchanges on the Construction profession within the national, regional, and international scope in accordance with the law.

2. Conducting training and professional development courses, including foreign languages, for members and the general public.

3. Participating in the publication of books and periodicals related to the Construction industry in accordance with the law.

4. Supporting research activities in geological surveys and mineral resources, encouraging and rewarding creative activities, research projects, and academic achievements of students and postgraduates in the Construction industry.

5. Expanding cooperative relations with domestic and international associations in accordance with the law to learn from experiences and seek assistance and support for the Association's development.

Chapter III

MEMBERS

Article 6. Members and Membership Criteria

1. Vietnamese citizens engaged in Construction work or related professions, who regularly participate in the Association's activities, voluntarily submit membership applications, may be considered for admission as members of the Vietnam Construction Association.

2. Vietnamese citizens both domestically and abroad, knowledgeable about the Construction industry, willing to contribute to the Association, agreeing with the Charter of the Association, but not meeting the conditions to join the Association, may be considered for admission as associated members of the Vietnam Construction Association. Associated members enjoy rights and obligations like other members of the Association except for the right to nominate and vote for the Executive Board and leadership positions of the Association, and do not participate in voting on Association matters.

Article 7. Obligations and Benefits of Members

1. Members have the obligation to promote and respond to all activities of the Association, implement the Charter of the Association, and pay membership fees.

2. Members have the right: a) To participate in the Association's activities, receive assistance from the Association to engage in scientific and technical activities and training both domestically and internationally, and enjoy other benefits provided by the Association;

b) Members have the right to discuss and vote on all matters of the Association; to be nominated and elected to Association bodies, to be issued a membership card, and to request resignation from the Association.

ORGANIZATION OF THE ASSOCIATION

Article 8. Principles of Organization The Vietnam Construction Association operates and functions based on the principles of voluntariness, self-management, financial autonomy, and legal responsibility; unity, democracy, collective leadership, individual responsibility, and majority decision-making. Leadership bodies at various levels of the Association are established through elections; each level decides issues within its scope of responsibility and authority without contravening the Charter of the Association, resolutions of the Congress, and state laws.

Article 10. National Congress

The highest leadership body of the Association is the National Congress, held every five years. The Central Executive Board of the Association may decide to convene the Congress earlier if more than two-thirds of the Central Executive Board members or more than half of the grassroots organizations request it. The number and composition of delegates are determined by grassroots organizations according to the ratio of members specified by the Central Executive Board of the Association. The number of invited delegates shall not exceed 10% of the convened delegates.

4. Inspection Board.

The National Congress has the following tasks:

Discussing and approving the report on the term of work of the Association. Deciding on the goals, directions, tasks, and work plans of the new term of the Association;

2. Approving the final accounts and financial plan of the Association;

3. Deciding on the number of Central Executive Board members and electing the new term Central Executive Board of the Association;

1. 4. Discussing and approving resolutions on amending the Charter of the Association (if necessary).

2. Approve the final accounts of income and expenditure and the financial plan of the Association;

3. Determine the number of members of the Executive Board and elect the new term Central Executive Board of the Association;

4. Discuss and adopt resolutions to amend the Charter of the Association (if necessary).

Article 11. Voting Principles at the Congress

1. The Congress adopts important issues of the Association through secret ballot or show of hands. The choice of voting method is decided by the Congress.

2. Resolutions of the Congress are adopted by a majority of those present at the Congress.

3. For particularly important issues listed below, approval must be obtained from more than two-thirds of the members present, and this number must exceed half of the total membership of the Association:

a) Amending or supplementing the Charter;

b) Dismissing some members of the Central Executive Committee;

c) Dissolution and liquidation of the Association's assets.

Article 12. The Central Executive Committee of the Association

The Central Executive Committee of the Association is the governing body between Congress sessions. The Central Executive Committee convenes regularly once a year; in case of necessity, extraordinary meetings may be convened by the Chairman upon request of more than half of the Central Executive Committee members. The Central Executive Committee has the following responsibilities:

Implementing the resolutions of the Congress;

1. 2. Leading the work of the Association during the period between Congress sessions;

3. Electing the Standing Committee consisting of the Chairman, Vice Chairmen, Secretary-General, and Standing Members. The number of Standing Members is determined by the Central Executive Committee;

4. Electing the Central Inspection Board. The Head of the Inspection Board is a Standing Member of the Central Executive Committee;

5. When necessary, it has the right to elect additional Central Members but the number shall not exceed one-third of those elected by the Congress.

The election procedures for leadership positions within the Association are stipulated by the Central Executive Committee.

Article 13. The Standing Committee

The Standing Committee is the permanent body of the Central Executive Committee, responsible for implementing the resolutions of the Congress and the Central Executive Committee. The Standing Committee meets every three months; in case of necessity or at the request of the Chairman, it can hold extraordinary meetings.

The Standing Committee has the following responsibilities:

1. Acting on behalf of the Central Executive Committee to direct and manage the activities of the Association according to the resolutions of the Congress, resolutions of the Central Executive Committee, and must report on the situation between sessions of the Central Executive Committee;

2. Deciding on the establishment, appointment, dismissal, commendation, and disciplinary action of staff in specialized committees and subordinate organizations of the Association in accordance with the law; deciding on the admission and expulsion of members in accordance with the Association's Charter and the law;

3. Depending on the requirements of work, the Standing Committee may establish committees and organizations to assist in their duties, with defined responsibilities and authorities.

Article 14. The Inspection Board

The Central Inspection Board operates independently in its field and is directly guided by the Standing Committee. The tasks and powers of the Inspection Board are as follows:

Inspecting compliance with the Association's Charter, implementation of Congress resolutions, resolutions and decisions of the Central Executive Committee, and the Standing Committee;

1. 2. Considering and resolving complaints and petitions related to members and Association organizations in accordance with the law;

3. Having the right to require members and Association organizations to report on matters related to inspection content approved by the Standing Committee in accordance with the law;

4. The Inspection Board has its own program of activities or operates based on the Chairman's proposal and the Standing Committee's decision.

4. The Inspection Board has its own program of activities or operates upon the proposal of the Chairman of the Association and the decision of the Central Standing Board of the Association.

Article 15. Chairman of the Association

The Chairman of the Association is elected by the Central Executive Board of the Association; the Chairman has the following responsibilities:

1. Chairing meetings of the Executive Board, the Standing Committee, and the annual meetings of the Association;

2. Managing activities and making decisions on matters of the Association according to the resolutions of the Congress, the Executive Board, and the Standing Committee of the Association;

3. Representing the Association in internal and external relations; 4. Being accountable to the Executive Board, the Standing Committee, and members of the Association for the activities of the Association;

5. Being the first account holder of the Association;

6. Chairing the next term's Executive Board meeting until a new Chairman is elected.

Article 16. Deputy Chairmen

The Deputy Chairmen are elected by the Central Executive Board of the Association, including one permanent Deputy Chairman. The Deputy Chairmen are assigned by the Chairman to lead certain aspects of the Association's work within their scope of assignment and as stipulated in the Operational Regulations of the Central Executive Board of the Association;

1. 2. When the Chairman is absent, the permanent Deputy Chairman performs the duties of the Chairman.

Article 17. Secretary General

The Secretary General is elected by the Central Executive Board of the Association, with the following responsibilities:

Continuously handling Association affairs as assigned by the Chairman and assisting the Chairman in implementing daily activities of the Central Office of the Association; directly directing the Office and other specialized agencies of the Association (if any);

1. 2. Implementing the function of internal and external communication for the Association;

3. Organizing secretarial work and compiling documents for congresses, Executive Board meetings, Standing Committee meetings, and annual meetings of the Association;

4. The Secretary General is the second account holder of the Association, responsible for managing the Association's assets as assigned by the Chairman;

5. The Secretary General has an office and some staff proposed by the Secretary General, approved by the Chairman of the Association;

6. The Secretary General may concurrently hold the position of Director of the Office.

ASSOCIATION FINANCES

Chapter V

Article 18. Sources of Income of the Association

1. Membership fees paid by members.

2. Income from the Association's scientific and technological activities.

3. Money and property donated by individuals and organizations both domestically and internationally in accordance with the law.

4. Income from other lawful activities.

Article 19. Financial and Asset Management

The Association has independent finances and assets; management and utilization of assets and finances are conducted according to the regulations of the Central Standing Committee of the Association and as prescribed by the State.

1. 2. Upon dissolution of the Association, its assets and finances must be inventoried and disposed of in accordance with the law.

REWARDS AND DISCIPLINE

Chapter VI

Members and organizations of the Association who achieve outstanding results will be rewarded by the Association; they may also be recommended for rewards by the State and local authorities. Forms of reward are determined by the Central Standing Committee of the Association.

Article 20. Awards

Article 21. Discipline

1. If Association officials, members, or organizations violate the Charter seriously, disciplinary measures will be taken. Forms of discipline are decided by the Central Standing Committee of the Association.

2. In cases of violation of state laws, administrative penalties or criminal responsibility will be pursued according to the law.

Article 22. Effectiveness of the Charter 1. This Charter consists of 7 Chapters and 22 Articles, which were unanimously adopted at the First National Congress of the Vietnam Constructive Association on March 15, 2005.

Chapter VII

IMPLEMENTING PROVISIONS

Only the National Congress of the Association has the authority to amend or supplement the Charter.

2. This Charter takes effect upon approval by the Minister of Home Affairs./.
