Provisions on the content, procedures, and processes for drafting, reviewing, approving development plans for the trade sector
Pursuant to Decree No. 189/2007/ND-CP dated December 27, 2007, issued by the Government, detailing the functions, tasks, powers, and organizational structure of the Ministry of Industry and Trade;
Pursuant to Decree No. 92/2006/NĐ-CP dated September 7, 2006, of the Government on the preparation, approval, and management of overall socio-economic development planning, and Decree No. 04/2008/NĐ-CP dated January 11, 2008, of the Government amending and supplementing certain articles of Decree No. 92/2006/NĐ-CP on the preparation, approval, and management of overall socio-economic development planning;
Pursuant to Decree No. 140/2006/NĐ-CP dated November 22, 2006, of the Government stipulating environmental protection during the stages of drafting, reviewing, approving, and implementing strategies, plans, programs, projects, and development initiatives;
The Minister of Industry and Trade shall stipulate the content, procedures, and processes for drafting, reviewing, approving development plans for the trade sector as follows:
PART I
GENERAL PROVISIONS
Article 1. Scope of Regulation
1. This Circular stipulates the content, procedures, and processes for drafting, reviewing, approving, announcing, managing, and supervising the implementation of development plans for the trade sector, including:
a) National trade development planning, regional trade development planning (economic zones, key economic regions, along economic corridors/belts), provincial/city-level trade development planning;
b) Infrastructure development planning for the trade sector.
2. Development planning for production systems linked with distribution systems for a product or group of products as decided by the Prime Minister does not fall within the scope regulated by this Circular.
Article 2. Applicability
This Circular applies to agencies, organizations, and individuals involved in drafting, reviewing, approving, managing, and supervising the implementation of development plans for the trade sector under the management of the Ministry of Industry and Trade and provincial People's Committees.
Article 3. Explanation of Terms
In this Circular, the following terms shall be understood as follows:
1. Development planning for the trade sector is a system of viewpoints, objectives, orientations, solutions, mechanisms, and policies aimed at developing trade and rationally distributing the trade sector within a specific period across the entire country, regions, and localities.
2. Management of trade development planning activities encompasses all activities including: drafting, approving, organizing implementation, inspecting, supervising, adjusting, and supplementing trade development plans.
3. Adjustment, amendment, and supplementation of planning involves modifying, amending, or supplementing approved objectives, tasks, or contents that are found to be no longer suitable with actual conditions during the implementation of the plan.
4. Major types of trade includes include wholesale and retail trade.
5. Types of trading enterprises: Include businesses operating in the trade sector belonging to all forms of ownership.
6. The trade infrastructure system includes: shopping centers, supermarkets; market systems; retail gas station networks; liquefied petroleum gas retail networks; general warehouses, bonded warehouses, logistics centers; exhibition and fair centers; trade information and promotion centers.
7. Goods distribution network is a network connecting sales outlets of manufacturers, importers, distributors, or agents to supply goods to consumers.
8. At the ministry level is the state management agency directly subordinate to the Ministry of Industry and Trade or provincial People's Committee assigned the task of drafting plans and overseeing the implementation of sectoral plans.
Article 4. Types of planning for the development of the trade sector
The types of planning for the development of the trade sector include:
1. Planning for the development of the trade sector by territorial region
a) National trade development planning;
b) Trade development planning for territorial regions (economic zones, key economic regions), economic corridors/belts;
c) Local trade development planning (provinces/cities directly under the central government), hereinafter referred to collectively as provincial trade planning.
2. Planning for the development of trade infrastructure, including:
a) Planning for the development of commercial center systems, supermarkets;
b) Planning for the development of exhibition/trade fair center systems;
c) Planning for the development of trade information/promotion center systems;
d) Planning for the development of market systems;
đ) Planning for the development of retail gasoline store systems;
e) Planning for liquefied petroleum gas retail store systems;
g) Planning for the development of goods storage systems, bonded warehouses, logistics centers.
Article 5. Stages of planning for the development of the trade sector
Depending on the type and scale, the stages of trade development planning are established as follows:
1. National trade development planning is established for a ten-year period and considers the next ten years.
2. Territorial trade development planning is established for a ten-year period and considers the next five to ten years.
3. Provincial trade development planning is established for a ten-year period and considers the next five years.
4. Trade infrastructure development planning is established for a ten-year period and considers the next ten years for national trade infrastructure development planning; five to ten years for territorial trade infrastructure development planning; and five years for provincial trade infrastructure development planning.
Article 6. Responsibilities for Planning
1. The Ministry of Industry and Trade is responsible for establishing national trade development planning; territorial trade development planning; national trade infrastructure system planning; and territorial trade infrastructure system planning.
2. The People's Committee of the province is responsible for establishing provincial trade development planning; and trade infrastructure system planning managed by the province.
3. During the planning process, the agency responsible for planning may invite experts and hire consulting units to carry out the work.
Article 7. Selection of consulting units
The selection of consulting units for planning is carried out through bidding or direct assignment in accordance with the provisions of the law. Consulting units participating in bidding or assigned must have legal personality for planning activities, have the capacity and experience in planning appropriate to the nature of the planning project, and have sufficient financial resources. The person primarily responsible (Project Leader) must be someone with deep expertise in the required planning field.
Chapter II
CONTENT OF PLANNING FOR THE DEVELOPMENT OF THE TRADE SECTOR
Article 8. Content of planning for the development of the trade sector by territorial region
1. Comprehensive planning for the development of the national trade sector
Includes the following main contents:
a) Introduction: Necessity; Purpose; Requirements; Legal bases;
b) Overview of the current and future development trends of the national economy and society;
c) Current status of the development of the trade sector in Vietnam
- Scale and rate of development of the trade sector (at least five years prior to the planning period);
- Export-import situation;
- Market organization and structure (domestic and foreign);
- Development of various forms of trading enterprises according to economic components (state, private, foreign) and industry structure (wholesale, retail, agency, franchising);
- Development of trade infrastructure systems;
- Technological level;
- Investment development situation (capital implementation, infrastructure formation);
- Evaluation of the implementation of national trade development planning in the previous phase.
d) Analysis and forecast of trade development trends
- World economy and global/regional trade development trends;
- Position and role of the trade sector in the national economy;
- Domestic trade development trends
+ Forecast supply and demand for major goods; Determine the size of the goods market;
+ Business methods for goods;
+ Potential for developing trade infrastructure.
đ) National trade development planning
- Views, goals (general, specific), development orientation;
- Development planning
+ Arguments for planning options, selection of optimal options to ensure the achievement of planning goals;
+ Planning according to the chosen option.
e) List of some priority investment trade programs/projects (first five years of planning);
g) Investment capital needs for planning (expected investment capital structure);
h) Land requirements for developing trade infrastructure systems;
i) Presentation of the planning development plan on the planning map;
k) Strategic environmental assessment;
l) Implementation measures and policies;
m) Organization of implementation.

2. Territorial trade development planning
Includes the following main contents:
a) Introduction: Necessity; Purpose; Requirements; Legal bases;
b) Overview of the current and future development trends of the territorial economy and society;
c) Current status of the development of the territorial trade sector
- Scale and rate of territorial trade development (at least five years prior to the planning period);
- Development of trading enterprises according to economic components (state, private, foreign), the role of traders in the market; industry structure (wholesale, retail, agency, franchising);
- Goods circulation and export-import situation;
- Development of wholesale/retail distribution networks; development of trade infrastructure systems;
- Evaluation of regional connectivity;
- Evaluation of the implementation of trade development planning in the previous phase.
d) Analysis and forecast of territorial trade development trends
- Trends in national and territorial economic and trade development;
- Position and role of the trade sector in the territorial economy;
- Supply and demand and business methods for goods;
- Size of the market for major goods;
- Business methods for goods;
- Capacity for developing the commercial infrastructure system.
d) Master plan for the development of commerce in territorial regions.
- Views, objectives (general and specific), directions for development;
- Development planning
+ Justification of development options, selection of the optimal option to ensure the implementation of planning objectives.
+ Planning according to the chosen option.
e) List of some main investment programs and projects in commerce (first five years of the planning period);

3. Master plan for the development of commerce in provinces
Includes the following main contents:
a) Introduction: Necessity; Purpose; Requirements; Legal bases;
b) Overview of the economic and social development situation of the province (current status and development direction);
c) Current status of commerce development in the province
- Scale and pace of provincial commerce development (at least five years prior to the planning period);
- Export-import situation;
- Organization and market structure;
- Development situation of trading enterprises according to economic sectors (state-owned, private, foreign) and by industry structure (wholesale, retail, agency, franchising);
- Development of trade infrastructure systems;
- Technological level;
- Investment development situation (capital implementation, infrastructure formation);
- Evaluation of the implementation of the provincial commerce development master plan in the previous phase.
d) Analysis and forecast of development trends
- Trends in commerce development in territorial regions and within the province;
- Position and role of the commerce sector in the provincial economy
+ Forecast supply and demand for certain key goods, determine the size of the goods market (domestic and import-export);
+ Business methods for goods;
+ Capacity for developing the commercial infrastructure system.
d) Development planning
- Views, objectives (general and specific), directions for development;
- Development planning
+ Justification of development options, selection of the optimal option to ensure the implementation of planning objectives.
+ Planning according to the chosen option.
e) List of some main investment programs and projects in commerce (first five years of the planning period);
g) Investment capital needs for planning (expected investment capital structure);

Article 9. Contents of the master plan for the development of the commercial infrastructure system
1. For the entire country: Develop separate plans for each type of commercial infrastructure.
2. For territorial regions and localities: Develop separate plans for each group of types of commercial infrastructure as follows:
a) System of trade centers, supermarkets, markets;
b) System of exhibition centers, information and promotion centers, general warehouses, bonded warehouses, logistics centers;
c) System of retail gas stations, liquefied petroleum gas retail stores.
3. The master plans for the development of the commercial infrastructure system within the entire country, territorial regions, and localities shall include the following main contents:
a) Introduction: Necessity; Objectives and requirements; Legal bases;
b) Current status of commerce development (at least five years before the planning period);
c) Current status of commercial infrastructure system development (type, scale, distribution);
d) Current status of state management over commercial infrastructure;
đ) Evaluation of the implementation of the master plan for the development of the commercial infrastructure system in the previous phase (if applicable);
e) Analysis and forecast of development trends
- Directions and objectives for commerce development;
- Demand for goods through the commercial infrastructure system;
- Market share of each type of distribution.
g) Master plan for the development of the commercial infrastructure system
- Views, objectives (general and specific), directions for development;
- Development planning
+ Justification of development options, selection of the optimal option to ensure the achievement of planning objectives;
+ Planning according to the chosen option.
h) Capital investment needs by periods (expected capital investment structure);
i) List of some priority investment programs and projects (first five years of the planning period);
k) Land requirements for developing the commercial infrastructure system;
l) Presentation of the development plan for the commercial infrastructure system on the planning map;
m) Environmental protection and fire prevention measures;
n) Implementation solutions and policy mechanisms for the master plan;
o) Implementation organization.
The contents of the master plan for the development of the commercial infrastructure system are detailed in Appendix 4 attached hereto.
Chapter III
PROCEDURES FOR PREPARING THE OUTLINE, BUDGET ESTIMATE, REPORT, REVIEW AND APPROVAL OF THE MASTER PLAN FOR THE DEVELOPMENT OF THE COMMERCE INDUSTRY
Article 10. Establishing a list and registering the budget for annual planning
1. For plans managed by the Ministry of Industry and Trade: Annually, based on actual management requirements for planning, the functions and tasks of the Ministry of Industry and Trade, and other tasks assigned by the Government and the Prime Minister, the Ministry of Industry and Trade shall develop plans to construct industry development plans and commercial infrastructure development plans, both new construction and adjustments for the following year, including main contents such as the name of the plan, implementation period, estimated budget, to be submitted to the Office of the Government, the Ministry of Planning and Investment, and the Ministry of Finance for consolidation and budget balancing according to current regulations, to be presented to the Prime Minister.
Based on the state budget allocated, the Ministry of Industry and Trade will rebalance planning tasks, select the list of plans that need to be constructed in the year according to priority levels, assign tasks to the leading agency to organize implementation according to the registered schedule.
2. For plans managed by provincial People's Committees
Annually, according to the progress of building the provincial plan, the Department of Industry and Trade shall develop plans to construct commercial development plans and commercial infrastructure systems within the province for the following year (contents as mentioned above), to be submitted to the provincial People's Committee, the Department of Planning and Investment, and the Department of Finance for review and budget balancing according to current regulations, to be presented to the provincial People's Committee.
Based on the budget allocated, the Department of Industry and Trade will rebalance planning tasks, select the list of plans that need to be constructed in the year according to priority levels, assign tasks to the leading agency to organize implementation according to the registered schedule.
Article 11. Procedures and formalities for preparing outlines and budgets
1. Based on the budget allocation and assigned tasks, the leading agency or consulting unit selected according to Article 7 of Chapter I of this Circular shall be responsible for preparing the outline and budget according to regulations to be submitted to the Minister of Industry and Trade (for plans managed by the Ministry of Industry and Trade) or the Chairman of the provincial People's Committee (for plans managed by provinces and cities) for approval within 30 working days after being selected. In some special cases, the preparation of the outline and budget may be extended (maximum not exceeding 30 working days). The extension shall be considered and decided by the Minister of Industry and Trade (for plans managed by the Ministry of Industry and Trade) or the Chairman of the provincial People's Committee (for plans managed by provinces and cities). The approved outline and budget serve as the basis for planning and payment of expenses according to current regulations.
In case it is necessary to adjust or supplement the outline and budget, the leading agency shall consider and submit to the Minister of Industry and Trade or the Chairman of the provincial People's Committee for decision.
2. The budget for implementing the work of planning, reviewing, announcing, and adjusting plans shall be carried out according to current regulations.
Article 12. Preparing reports on trade development plans
The preparation of reports on trade development plans must ensure the following requirements:
1. The report on the plan must be prepared according to the approved outline and the assigned deadline.
2. During the planning process, the leading agency/consulting unit shall be responsible for strictly adhering to the schedule for each step of investigation, data collection and processing, intermediate report compilation, organizing seminars, soliciting opinions from relevant agencies, completing the draft plan, and submitting it for approval according to Clause 1 of Article 14 below.
Article 13. Documents for submission to review
1. For plans approved by the Prime Minister, the documents include:
a) The proposal for approval of the plan by the Ministry of Industry and Trade, including explanations on incorporating comments from relevant agencies;
b) Draft Decision on approval of the plan by the Prime Minister;
c) Completed Plan Report (quantity as required by the leading agency);
d) Summary of the completed Plan Report (quantity as required by the leading agency);
đ) A set of maps at a scale of 1/1,000,000 summarizing the current status and distribution planning of the main commercial infrastructure system according to the framework approved by the competent authority;
e) Comment documents from related ministries, sectors, and localities (copies);
The contents of the Proposal and Draft Decision on approval of the plan are detailed in Appendix 5 of this Circular.
2. For plans approved by the Minister of Industry and Trade, the documents include:
a) The proposal for approval of the plan by the consulting unit;
b) The proposal of the leading agency, including explanations on incorporating comments from relevant agencies;
c) Draft Decision on approval of the plan by the Minister of Industry and Trade;
d) Completed Plan Report (quantity as required by the leading agency);

3. For trade plans approved by the Chairman of the People's Committee of the province, the documents include:

c) Draft Decision on approval by the Chairman of the Provincial People's Committee;
d) Written opinions of the Ministry of Industry and Trade;
đ) Completed Plan Report (quantity as required by the Department of Industry and Trade);
e) Summary of the completed Plan Report (quantity as required by the Department of Industry and Trade);
g) A set of maps at a scale of 1/250,000 summarizing the current status and distribution planning of the main commercial infrastructure according to the framework approved by the competent authority;
h) Comment documents from related departments and localities.
The contents of the Proposal and Draft Decision on approval of the plan are detailed in Appendix 5 of this Circular.
Article 14. Procedures for Review and Approval of Trade Development Plans
1. The review of planning reports is carried out by the Planning Project Review Board. The Planning Project Review Board for trade is established in accordance with Decree No. 04/2008/NĐ-CP of the Government dated January 11, 2008, and is responsible for performing tasks stipulated in this Decree.
2. For plans within the approval authority of the Prime Minister:
a) Within 45 working days from the date of receiving complete and valid documents as specified in Clause 1, Article 13 - Documents for submission to review, the Ministry of Industry and Trade will lead in establishing the Review Board to conduct the review of the planning report. In necessary cases, the Ministry of Industry and Trade may hire consultants for review and counter-expertise to support the review process;
b) Based on the Review Board's opinions, the leading agency/consulting unit is responsible for supplementing and completing the planning report to submit to the Ministry of Industry and Trade. Within 15 working days from the date of resubmitting the completed planning report, the Ministry of Industry and Trade completes the review report to submit to the Prime Minister for consideration and approval.
3. For plans within the approval authority of the Minister of Industry and Trade:
a) Within 45 working days from the date of receiving complete and valid documents as specified in Clause 2, Article 13 - Documents for submission to review, the leading agency of the plan will propose the Minister to establish the Review Board to conduct the review of the planning report. In necessary cases, the Ministry of Industry and Trade may hire consultants for review and counter-expertise to support the review process;
b) Based on the Review Board's opinions, the leading agency/consulting unit is responsible for completing the planning report to submit to the Ministry of Industry and Trade. Within 15 working days from the date of resubmitting the completed planning report, the leading agency completes the review report to submit to the Minister of Industry and Trade for consideration and approval.
4. For plans within the approval authority of the Chairman of the People's Committee of the province:
a) Within 25 working days from the date of receiving complete and valid documents as specified in Clause 3, Article 13 - Documents for submission to review, the Department of Industry and Trade will lead in advising the Provincial People's Committee to establish the Review Board for the planning report. In necessary cases, consultants for review and counter-expertise may be hired to support the review process;
b) Based on the Review Board's opinions, the leading agency/consulting unit supplements and completes the report. Within 15 working days from the date of resubmitting the completed planning report, the Department of Industry and Trade completes the review report to submit to the Chairman of the People's Committee of the province for consideration and approval.
Article 15. Adjustment, amendment, and supplementation of planning
1. The Minister of Industry and Trade decides on the adjustment, amendment, and supplementation of trade development plans within their approval authority.
2. The Chairman of the People's Committee of the province decides on the adjustment, amendment, and supplementation of trade development plans within their approval authority after reaching an agreement with the Ministry of Industry and Trade.
3. Group A commercial projects, as defined under investment management and construction regulations, which are not included in approved plans, may only proceed with investment preparation steps upon permission from the Prime Minister, based on a proposal from the Ministry of Industry and Trade.
Within thirty days from receiving a request to supplement a project into the plan, the Ministry of Industry and Trade shall examine and report to the Prime Minister; After receiving guidance from the Prime Minister, the Ministry of Industry and Trade shall respond to the agency requesting the plan supplementation.
Chapter IV
MANAGEMENT OF IMPLEMENTATION OF TRADE DEVELOPMENT PLANNING
Article 16. Hierarchical Management of Planning
1. The Ministry of Industry and Trade is responsible for state management of national trade development plans, territorial regions; infrastructure systems for trade development throughout the country, territorial regions, and other plans as decided by the Prime Minister’s approval.
2. The People's Committee of the province is responsible for implementing the management of provincial trade development plans and local trade infrastructure systems approved by the province, coordinating with the Ministry of Industry and Trade to inspect the implementation of other trade development plans within the province.
Article 17. Publication of Plans
1. The Ministry of Industry and Trade is responsible for publishing trade development plans within its approval authority and delegated authority within seven working days from the date of issuance of the Decision approving the plan.
2. The People's Committee of the province is responsible for publishing provincial trade development plans within seven working days from the date of issuance of the Decision approving the plan.
3. The publication materials include the Decision approving the plan and the Official Planning Report on the Ministry of Industry and Trade's website, or the provincial website or local newspaper where the plan has been approved.
4. The leading agency is responsible for storing the Approved Planning Report and related documents.
Article 18. Reporting and Inspection System for Plan Implementation
1. Departments managing industries and sectors under the Ministry of Industry and Trade are responsible for inspecting and reporting on the situation of plan formulation during the planning year and the implementation of approved trade development plans to the Department of General Planning for reporting to the Minister before December 20th each year.
2. The Department of Industry and Trade is responsible for compiling and reporting to the Provincial People's Committee and the Ministry of Industry and Trade on the situation of plan formulation during the planning year and the implementation of approved plans before December 10th each year.
3. The inspection system for the implementation of strategies, plans, and annual programs follows current government and Prime Minister regulations.
CHAPTER V
IMPLEMENTATION
Article 19. Implementation
Relevant organizations and individuals are responsible for implementing according to the provisions of this Circular.
During implementation, if there are issues or need for discussion, please contact the Ministry of Industry and Trade directly for consideration and resolution.
Article 20. Effective Date
This Circular takes effect from June 21, 2010./.
