Considering the proposal of the Head of the Cadre and Civil Service Department,

Pursuant to Decree No. 77/2003/NĐ-CP dated July 1, 2003 of the Government stipulating the functions, tasks, authorities, and organizational structure of the Ministry of Finance;

Pursuant to Decree No. 144/2003/ND-CP dated November 28, 2003 of the Government on securities and the securities market;

Pursuant to Decision No. 161/2004/QD-TTg dated September 7, 2004 of the Prime Minister on the functions, tasks, powers, and organizational structure of the State Securities Commission; In accordance with the proposal of the Chairman of the State Securities Commission and the Director of the Cadre and Civil Servant Affairs Department,

DECISION:

Article 1. The Hanoi Securities Trading Center (hereinafter referred to as the Center) is a public service unit under the State Securities Commission with the function of organizing, managing, operating, and supervising securities trading activities at the Center and implementing certain public services in the field of securities and the securities market as prescribed by law.

The Center has its headquarters in Hanoi, possesses legal personality, has its own seal and separate account; the operational budget of the Center is provided by the state budget.

The Center's international trading name in English is The Hanoi Securities Trading Center (abbreviated as HASTC).

Article 2. The Center has the following tasks and powers:

1. Organizing auctions for corporate shares, financial assets, and bond tenders; managing and operating the auction and tender systems;

2. Organizing, managing, and supervising trading activities of securities listed for trading at the Center; managing and operating the securities trading system;

3. Managing, supervising, and inspecting securities listing activities according to the provisions of the law;

4. Managing, supervising, and inspecting the activities of members and auxiliary organizations according to the provisions of the law;

5. Organizing, managing, and implementing the publication of market information; providing market information services according to the provisions of the law;

6. Organizing, managing registration, custody, and settlement of securities according to the provisions of the law;

7. Issuing, guiding, inspecting, and organizing the implementation of professional procedures applicable at the Center according to the provisions of the law;

8. Taking the lead in coordinating with units under the State Securities Commission to report to the Chairman of the Commission for submission to the Ministry recommendations and proposals for solutions to stabilize and develop trading activities at the Center;

9. Collecting fees and charges as prescribed by law;

10. Detecting and recommending administrative violations related to securities and the securities market according to the provisions of the law;

11. Mediating disputes related to listed securities upon request when disputes arise;

12. Implementing statistical reporting, accounting, and auditing systems; managing and using personnel at the Center according to the provisions of the law, guidelines from the Ministry of Finance, and the State Securities Commission;

13. Implementing international cooperation tasks in the field of securities and the securities market according to the Chairman of the State Securities Commission's regulations;

14. Performing other tasks assigned by the Chairman of the State Securities Commission.

Article 3. The Center has a Director and several Deputy Directors:

The Center Director is responsible to the Chairman of the State Securities Commission for all activities of the Center; Deputy Directors of the Center are responsible to the Director for the tasks assigned to them.

The appointment of the Director and Deputy Directors of the Center is carried out according to the cadre management level of the Minister of Finance.

Article 4. The Center has:

1. Trading Supervision Department

2. Listing Management Department

3. Member Management Department

4. Registration, Settlement, and Custody Department

5. Market Information Department

6. Information Technology Department

7. Financial and Accounting Department

8. Administrative and General Affairs Department

The tasks of the departments under the Center are defined by the Chairman of the State Securities Commission.

The Center manages and uses the staffing quota allocated by the State Securities Commission.

Article 5. The Center implements the financial regime applicable to revenue-generating public service units according to legal provisions; it is equipped with necessary facilities and means to ensure conditions for performing assigned tasks.

The Center is responsible for managing and using its financial resources and assets effectively in accordance with the provisions of the law.

Article 6. This Decision takes effect from the date of signing and replaces Decision No. 329/QD-UBCK dated December 17, 2003 of the Chairman of the State Securities Commission on the functions, tasks, powers, and organizational structure of the Hanoi Securities Trading Center.

Article 7. The Chairman of the State Securities Commission, the Director of the Cadre and Civil Servant Affairs Department, the Director of the Financial and Administrative Management Department, the Head of the Ministry of Finance Office, and the Director of the Hanoi Securities Trading Center are responsible for enforcing this decision./.
