Regarding the approval of the Project to form
the Vietnam National Oil and Gas Group
PRIME MINISTER
Pursuant to the Law on Organization of the Government dated December 25, 2001;
Pursuant to the State Enterprise Law dated November 26, 2003;
Pursuant to the Enterprise Law dated November 29, 2005;
Pursuant to the Government Decree No. 153/2004/NĐ-CP dated August 9, 2004 on the organization and management of state-owned holding companies and the transformation of state-owned holding companies and independent state-owned enterprises into parent company-subcompany models.
Considering the proposal of the Board of Directors of the Vietnam Oil Corporation,
DECISION:
Article 1. Approves the Project to form the Vietnam National Oil and Gas Group, with the following contents:
1. Forming the Vietnam National Oil and Gas Group, a multi-shareholding entity, in which the State holds controlling stakes in capital, based on the restructuring and reorganization of the Vietnam Oil Corporation and its affiliated units; having modern technology, management levels, and high specialization; operating in multiple industries, with oil and gas exploration, exploitation, processing, and distribution being the main business sectors; closely integrating production and business operations with science, technology, research and development, and training; serving as the core for the sustainable development of the Vietnamese oil and gas industry, capable of competing effectively, integrating into the international economy, and ensuring energy security for national development.
2. The structure of the Vietnam National Oil and Gas Group includes:
a) The Parent Company - Vietnam Oil and Gas Group: a state-owned enterprise; responsible for signing and supervising the implementation of oil and gas contracts with foreign entities; implementing key national oil and gas projects; investing financially in other enterprises; maintaining control over subsidiaries through capital, assets managed by the State, technology, brand, and market; established based on the reorganization of the management, operation, advisory, and project management departments of the Vietnam Oil Corporation.
b) Holding companies operating under the parent company-subcompany model, where the parent company is wholly owned by the Vietnam Oil and Gas Group:
- The Oil and Gas Exploration and Exploitation Corporation (formed based on the reorganization and restructuring of units engaged in oil and gas exploration and exploitation activities);
- The Gas Corporation (formed based on the reorganization of the Gas Processing and Trading Company and other units involved in wholesale gas sales, joint ventures, and gas project management boards);
- The Power Production and Trading Corporation (to be newly established when power plants invested in by the Vietnam Oil and Gas Group commence operations);
- The Refining and Petrochemicals Corporation (to be newly established when refining and petrochemical plants invested in by the Vietnam Oil and Gas Group commence operations).
The management structure of these holding companies consists of: Chairman of the Holding Company, General Director of the Holding Company, Deputy General Directors of the Holding Company, Chief Accountant of the Holding Company, and the advisory staff.
c) Limited liability companies wholly owned by the Vietnam Oil and Gas Group (to be implemented in 2006-2007):
- The Vietnam Oil and Gas Financial Limited Liability Company;
- The Vietnam Oil and Gas Trading Limited Liability Company;
- The Vietnam Oil and Gas Product Processing and Trading Limited Liability Company;
- The Vietnam Oil and Gas Labor Supply and Export Limited Liability Company (to be newly established).
d) Companies held by the Vietnam Oil and Gas Group with more than 50% of the charter capital:
- Joint stock companies:
+ The Vietnam Oil and Gas Technical Services Joint Stock Company;
+ The Vietnam Oil and Gas Tourism Services Joint Stock Company;
+ The Vietnam Oil and Gas Drilling and Drilling Services Joint Stock Company;
+ The Vietnam Oil and Gas Investment Consulting and Design Joint Stock Company;
+ The Vietnam Oil and Gas Construction Company;
+ The Vietnam Oil and Gas Drilling Fluids and Chemicals Company.
- Companies undergoing shareholding reform in 2006-2007:
+ The Vietnam Oil and Gas Insurance Company;
+ The Vietnam Oil and Gas Transportation Company;
+ The Vietnam Oil and Gas Fertilizer and Chemicals Company.
- Joint ventures:
+ The Vietnam-Soviet Oil Joint Venture Enterprise;
+ The Mekong Oil Joint Venture Company.
- New enterprises established in accordance with the law:
+ The Vietnam Oil and Gas Real Estate Joint Stock Company;
+ The Vietnam Oil and Gas Securities Joint Stock Company;
+ The Vietnam Oil and Gas Commercial Bank.
e) Companies held by the Vietnam Oil and Gas Group with less than 50% of the charter capital:
- Companies undergoing shareholding reform in 2006-2007:
+ The Northern Liquid Natural Gas Trading Company;
+ The Southern Liquid Natural Gas Trading Company.
- Other companies formed in accordance with the law.
f) Science and technology enterprises: formed based on the reorganization of the Vietnam Oil Institute and research units within the Vietnam Oil Corporation.
g) Training institutions:
- The Oil Human Resources Training School;
- The Vietnam Oil University (to be established when conditions are met, operating under a business mechanism).
3. The Vietnam National Oil and Gas Group and its affiliated units shall organize and operate in accordance with the laws corresponding to the type of organizational form of the enterprise. The relationship between the Vietnam National Oil and Gas Group and the State owner and its affiliated units shall be carried out in accordance with the law and the Charter of Organization and Operation of the Vietnam National Oil and Gas Group.
The Government shall uniformly manage and implement the rights and obligations of the State owner towards the Vietnam National Oil and Gas Group. The Prime Minister shall delegate certain rights of the owner to relevant Ministries, agencies at the level of ministries, government agencies, and the Board of Directors of the Vietnam National Oil and Gas Group in accordance with current laws and the Charter of Organization and Operation of the Vietnam National Oil and Gas Group.
4. The establishment of new affiliated units; transforming member companies into limited liability companies or joint stock companies; and supplementing new affiliated units shall be carried out in accordance with the law.
Article 2. Implementation organization:
1. Ministries, agencies at the level of ministries, and government agencies shall perform their state management functions in relevant fields and carry out certain rights and obligations of the State owner delegated by the Prime Minister towards the Vietnam National Oil and Gas Group.
2. The Ministry of Industry shall be responsible for directing and supervising the implementation of this Decision; promptly identifying and resolving any arising issues, reporting to the Prime Minister for matters exceeding its authority; taking the lead and coordinating with relevant agencies to study and propose to the Prime Minister new issues that need piloting during the implementation process.
3. The Ministers of Finance, Planning and Investment, Labour, Invalids and Social Affairs, Home Affairs; the Heads of relevant agencies, the Steering Committee for Enterprise Reform and Development shall be responsible for coordinating with the Ministry of Industry and the Boards of Directors of Vietnam Oil and Gas Corporation and Vietnam Oil and Gas Group in carrying out the tasks mentioned above.
Article 3. This Decision shall take effect fifteen days from the date of publication in the Official Gazette.
The Ministers of Industry, Finance, Planning and Investment, Labour, Invalids and Social Affairs, Home Affairs, the Heads of relevant agencies, the Steering Committee for Enterprise Reform and Development, the Boards of Directors of Vietnam Oil and Gas Corporation and Vietnam Oil and Gas Group shall be responsible for implementing this Decision./.
