Detailed regulations on certain provisions of the Bidding Law
concerning the selection of investors

The Government issues this Decree to provide detailed regulations on certain provisions of the Bidding Law concerning the selection of investors for projects.
PART I
GENERAL PROVISIONS
Article 1. Scope of Regulation and Applicability

This Decree provides detailed regulations on certain provisions of the Bidding Law concerning the selection of investors to implement projects, including:
a) Projects invested under the public-private partnership (PPP) form as prescribed by laws on PPP investment;
b) Projects using land to construct commercial housing; commercial and service works; multifunctional and integrated multifunctional works for business purposes;
c) Projects not falling within the scope specified in Points a and b of this Clause but must organize bidding in accordance with the specialized laws and laws on socialization.

a) Organizations and individuals participating in or related to the activity of selecting investors to implement investment projects as stipulated in Clause 1 of this Article.
b) Organizations and individuals conducting investor selection activities not within the scope of regulation of this Decree may choose to apply the provisions of this Decree. In case of choosing to apply, organizations and individuals must clearly determine the Articles and Clauses to be implemented according to the Bidding Law, this Decree, and other laws, ensuring fairness, transparency, and economic efficiency.
Article 2. Ensuring competition in bidding
An investor participating in the bidding shall be considered legally independent and financially independent from the consulting contractor, the competent state agency, and the tenderer as stipulated in Clause 4 of Article 6 of the Bidding Law if they meet the following conditions:
1. The bidding investor does not have shares or capital contributions with the consulting contractor as follows:
a) The consulting contractor reviewing and auditing the feasibility study report, the detailed feasibility study report, design documents, and estimates;
b) The consulting contractor preparing, auditing the prequalification invitation documents, tender invitation documents, evaluating prequalification submissions, tender submissions, and auditing the prequalification results, investor selection results.
2. The bidding investor and the consulting contractor as stipulated in Clause 1 of this Article do not jointly hold ownership stakes of 30% or more of another organization's or individual's shares or capital contributions for each party.
In the case where the bidding investor participates as a consortium or the consulting contractor is selected as a consortium, the ownership stake of another organization or individual in the consortium is determined by the total corresponding shareholding ratio of each member in the consortium.
3. The competent state agency and the tenderer do not hold ownership stakes exceeding 49% of the shares or capital contributions of the investor. In the case where the bidding investor participates as a consortium, the ownership stake of the competent state agency and the tenderer in the consortium is calculated according to the following formula:

n: is the number of members participating in the consortium.
Article 3. Preferential treatment in the selection of investors for PPP projects
In cases where the investor has a feasibility study report, preliminary feasibility study report (for high-tech application projects), design, and estimate (for BT contract projects or projects decided by the competent state agency to organize bidding based on design and estimate) approved, that investor shall enjoy preferential treatment in bidding when assessing financial-commercial aspects, specifically as follows:
1. In the case of applying the service price method, non-preferential investors must add an amount equal to 5% of the service price to their service price for comparison and ranking.
2. In the case of applying the state capital contribution method, non-preferential investors must add an amount equal to 5% of the proposed state capital contribution to their proposed state capital contribution for comparison and ranking.
3. In the case of applying the social benefit or state benefit method, preferential investors are entitled to add an amount equal to 5% of the proposed budget submission or deduct a period equal to 5% of the contract implementation period proposed by them for comparison and ranking.
4. In the case of applying the BT contract type, preferential investors are entitled to deduct an amount equal to 5% of the bid price after corrections and adjustments, minus any discounts (if applicable) from their bid price after corrections and adjustments, minus any discounts (if applicable) for comparison and ranking.
5. In the case of applying a combined method, investors are entitled to preferential treatment according to the proportion of the combined method, but the total value of preferential treatment shall not exceed 5%.
Article 4. Publishing information on bidding
1. Responsibilities for publishing bidding information on the National Bidding Network System:
a) Ministries, ministerial-level agencies, agencies under the Government, provincial People's Committees, and authorized persons shall be responsible for publishing the information specified in Points g and h, Clause 1, Article 8 of the Bidding Law;
b) Departments of Planning and Investment, lead units managing PPP investment activities shall be responsible for publishing project information, PPP project lists, and other related information specified in Points i and l, Clause 1, Article 8 of the Bidding Law;
c) Departments of Planning and Investment shall be responsible for publishing project information, lists of projects using land, information on extension or change of project implementation registration deadlines (if applicable), preliminary evaluation results of investors' capacity and experience for projects using land according to Points i and l, Clause 1, Article 8 of the Bidding Law;
d) Inviting tenderers shall be responsible for publishing the information specified in Points a, b, c, d, and đ, Clause 1, Article 8 of the Bidding Law and information on changes to the tender closing time (if applicable); PPP project contracts and projects using land according to Point l, Clause 1, Article 8 of the Bidding Law;
đ) Investors shall be responsible for self-publishing and updating their capacity and experience information in the investor database according to Point d, Clause 1, Article 5 and Point k, Clause 1, Article 8 of the Bidding Law.
2. For projects listed in the state secrets directory, the disclosure of information shall be carried out in accordance with the laws on ensuring state secrets.
3. In case of discovering invalid information, the Ministry of Planning and Investment shall be responsible for announcing on the National Bidding Network System so that information providers can be aware, correct, and complete the information to meet the requirements for publication.
4. In addition to the responsibility of providing information stipulated in Point c, Clause 1 of this Article, Departments of Planning and Investment shall also be responsible for publishing information on projects using land on websites or newspapers in English published in Vietnam for projects with actual implementation costs (excluding compensation, support, resettlement, land use fees, and land rental fees) of VND 800 billion (eight hundred billion) or more.
5. In addition to the responsibility of providing information stipulated in Point d, Clause 1 of this Article, inviting tenderers shall be responsible for publishing international prequalification notices and international tender notices on websites or newspapers in English published in Vietnam.
Article 5. Time limit for publishing bidding information
1. For the information specified in Points b and c, Clause 1, Article 8 of the Bidding Law, inviting tenderers issue prequalification documents and tender documents according to the time specified in the prequalification notice and tender notice but must ensure a minimum of three working days from the first day these pieces of information are published on the National Bidding Network System.
2. For the information specified in Points a, d, đ, g, h, i, and l, Clause 1, Article 8 of the Bidding Law, organizations responsible for publishing information must ensure that the publication time does not exceed seven working days from the date the document was issued.
3. Within two working days from the date organizations publish the information specified in Points b, c, d, đ, and g, Clause 1, Article 8 of the Bidding Law on the National Bidding Network System, the Bidding Newspaper shall be responsible for publishing once in the Bidding Newspaper.
Article 6. Timeframes during the investor selection process
1. The maximum timeframe for reviewing the investment selection plan is 20 days from the date of receiving all submitted documents; the maximum timeframe for approving the investment selection plan is 10 days from the date of receiving the review report.
2. The minimum time for investors to prepare their capacity, experience documents, and project implementation registration using land is 30 days from the date the project list is published.
3. The tender invitation documents, bidding invitation documents, and request documents are issued three working days after the first day of posting the preliminary tender invitation notice or bidding invitation notice on the National Tendering System or sending the bidding invitation letter before the closing date.
4. The minimum preparation time for submitting preliminary tender documents is 30 days from the first day of issuing the preliminary tender invitation documents until the closing date. Investors must submit their preliminary tender documents before the closing date.
5. The minimum preparation time for submitting proposal documents is 30 days from the first day of issuing the request documents until the closing date. Investors must submit their proposal documents before the closing date.
6. The minimum preparation time for submitting bidding documents is 60 days for domestic tenders or 90 days for international tenders from the first day of issuing the bidding invitation documents until the closing date. Investors must submit their bidding documents before the closing date.
7. The minimum timeframe for sending amendment notices (by postal service, fax, email, or direct delivery) of preliminary tender invitation documents to investors who have received them is 10 days before the closing date. For amendment notices of bidding invitation documents sent to investors who have received them, the minimum timeframe is 15 days for domestic tenders and 25 days for international tenders before the closing date; for amendment notices of request documents, it is 10 days before the closing date. In cases where the amendment notice timeframe does not comply with this Clause, the tender inviter shall extend the closing date accordingly to ensure compliance with the amendment notice timeframe for preliminary tender invitation documents, bidding invitation documents, and request documents.
8. The deadline for the tender inviter to send the result notification of the investor selection to participating investors via postal service, fax is no later than five working days from the date the investor selection results are approved.
9. In cases where prequalification is applied, the authorized person or head of the unit assigned the task of approving the preliminary tender invitation documents and shortlist is responsible for the progress of activities during the prequalification process.
10. For other deadlines during the tendering process, the authorized person decides according to the model guidelines set out in Appendix 01 accompanying this Decree and is responsible for the progress and quality of activities during the investor selection process.
Article 7. Costs in the investor selection process
1. For domestic tenders, the selling price (including tax) of one set of bidding invitation documents and request documents shall not exceed 20,000,000 (twenty million) VND; the selling price of one set of preliminary tender invitation documents shall not exceed 5,000,000 (five million) VND. For international tenders, the selling price (including tax) of one set of bidding invitation documents and request documents shall not exceed 30,000,000 (thirty million) VND; the selling price of one set of preliminary tender invitation documents shall not exceed 10,000,000 (ten million) VND.
2. Costs for preparing and reviewing preliminary tender invitation documents; evaluating preliminary tender submission documents; reviewing preliminary tender results:
a) The cost for preparing preliminary tender invitation documents is calculated at 0.02% of the total investment amount but not less than 10,000,000 (ten million) VND and not more than 100,000,000 (one hundred million) VND;
b) The cost for reviewing preliminary tender invitation documents is calculated at 0.01% of the total investment amount but not less than 10,000,000 (ten million) VND and not more than 50,000,000 (fifty million) VND;
c) The cost for evaluating preliminary tender submission documents is calculated at 0.02% of the total investment amount but not less than 10,000,000 (ten million) VND and not more than 100,000,000 (one hundred million) VND;
d) The cost for reviewing preliminary tender results is calculated at 0.01% of the total investment amount but not less than 10,000,000 (ten million) VND and not more than 50,000,000 (fifty million) VND.
3. Costs for preparing and reviewing bidding invitation documents and request documents; evaluating bidding submission documents and proposal documents; reviewing investor selection results:
a) The cost for preparing bidding invitation documents and request documents is calculated at 0.05% of the total investment amount but not less than 10,000,000 (ten million) VND and not more than 200,000,000 (two hundred million) VND;
b) The cost for reviewing each content of bidding invitation documents, request documents, and investor selection results is calculated at 0.02% of the total investment amount but not less than 10,000,000 (ten million) VND and not more than 100,000,000 (one hundred million) VND;
c) The cost for evaluating bidding submission documents and proposal documents is calculated at 0.03% of the total investment amount but not less than 10,000,000 (ten million) VND and not more than 200,000,000 (two hundred million) VND.
4. For projects with similar contents under the same competent state agency and organized by the same tender inviter, if these projects need to reorganize the investor selection process, the costs for preparing and reviewing preliminary tender invitation documents; preparing and reviewing bidding invitation documents and request documents shall be calculated at a maximum of 50% of the costs already spent on the aforementioned items as stipulated in Clauses 2 and 3 of this Article. If the investor selection process needs to be reorganized, the additional costs should be included in the investment preparation costs.
5. The costs stipulated in Clauses 2, 3, and 4 of this Article apply when the competent state agency or tender inviter directly implements them. In cases where consulting services are hired to perform the tasks specified in Clauses 2, 3, and 4 of this Article, the determination of costs will be based on the scope of work, duration, expertise, experience of the consultants, prescribed salary rates, and other factors.
In cases where there are no regulations on consultant salary rates, the determination of consultant salary costs will be based on statistics of experience for costs paid to consultants in similar projects implemented within a defined period or within the total investment amount.
6. The cost for the Advisory Board to resolve investors' complaints regarding the selection results is 0.02% of the total investment amount of the complaining investor, but not less than 20,000,000 (twenty million) VND and not more than 200,000,000 (two hundred million) VND.
7. The costs for publishing tender information, participating in the National Tendering Network System, and managing and utilizing revenues from these costs shall be implemented in accordance with the guidelines of the Ministry of Planning and Investment.
8. The management and utilization of revenues and expenditures as stipulated in Clauses 1, 2, 3, 4, 5, and 6 of this Article shall be carried out in accordance with the guidelines of the Ministry of Finance.
Article 8. Timeframes and Costs in Selecting Investors for PPP Projects Group C
1. Timeframe for selecting investors for PPP projects Group C:
a) The time for reviewing the investor selection plan shall not exceed ten days from the date of receiving all submitted documents; the approval time for the investor selection plan shall not exceed five working days from the date of receiving the review report.
b) The prequalification documents (if applicable), tender documents, and request documents shall be issued three working days after the first day of announcing the prequalification invitation or tender announcement published on the National Tendering Network System or sent to potential bidders before the closing date.
c) The preparation time for prequalification submission documents shall be at least ten days from the first day of issuing the prequalification invitation documents until the closing date. Investors must submit their prequalification documents before the closing date.
d) The preparation time for tender submission documents shall be at least thirty days, and the proposal documents shall be at least fifteen days from the first day of issuing the tender invitation documents and request documents until the closing date. Investors must submit their tender documents and proposals before the closing date.
đ) The time for sending written amendments (by postal service, fax, email, or direct delivery) to the prequalification invitation documents, tender invitation documents, and request documents to investors who have received them shall be at least three working days before the closing date.
e) The deadline for the tenderer to send a written notification of the investor selection results to participating investors via postal service, fax shall not be later than five working days from the date the selection results are approved.
g) In cases where prequalification is applied, the authorized person or head of the unit responsible for approving the prequalification invitation documents and shortlist shall be responsible for the progress of activities during the prequalification process.
h) For other deadlines during the tendering process, the authorized person shall decide according to the model guidelines set forth in Appendix 01 accompanying this Decree and shall be responsible for the progress and quality of activities during the investor selection process.
2. Costs in selecting investors for PPP projects Group C:
a) The bid security deposit shall be between 0.5% and 1% of the total project investment value; the performance bond shall be between 1% and 1.5% of the total project investment value.
b) The price of one set of tender invitation documents and request documents (including tax) shall not exceed 15,000,000 (fifteen million) VND; the price of prequalification invitation documents (including tax) shall not exceed 5,000,000 (five million) VND.
c) Costs for preparing, reviewing prequalification invitation documents, evaluating prequalification submission documents, and reviewing prequalification results:
- The cost for preparing prequalification invitation documents shall be calculated at 0.02% of the total investment value, but not less than 5,000,000 (five million) VND and not more than 50,000,000 (fifty million) VND;
- The cost for reviewing prequalification invitation documents and prequalification results shall be calculated at 0.01% of the total investment value, but not less than 5,000,000 (five million) VND and not more than 25,000,000 (twenty-five million) VND;
- The cost for evaluating prequalification submission documents shall be calculated at 0.02% of the total investment value, but not less than 5,000,000 (five million) VND and not more than 50,000,000 (fifty million) VND.
d) Costs for preparing, reviewing tender invitation documents and request documents, evaluating tender submission documents and proposals, and reviewing investor selection results:
- The cost for preparing tender invitation documents and request documents shall be calculated at 0.05% of the total investment value, but not less than 5,000,000 (five million) VND and not more than 100,000,000 (one hundred million) VND;
- The cost for reviewing each aspect of the tender invitation documents and request documents and the selection results shall be calculated at 0.02% of the total investment value, but not less than 5,000,000 (five million) VND and not more than 50,000,000 (fifty million) VND;
- The cost for evaluating tender submission documents and proposals shall be calculated at 0.03% of the total investment value, but not less than 5,000,000 (five million) VND and not more than 100,000,000 (one hundred million) VND.
đ) For projects with similar contents under the same competent state agency and organized by the same tenderer, if the projects need to reorganize the investor selection process, the costs for preparing and reviewing prequalification invitation documents; preparing and reviewing tender invitation documents and request documents shall be calculated up to 50% of the amounts already spent on the costs specified in Points c and d of this Clause. If the investor selection process is reorganized, these costs must be included in the investment preparation costs.
e) The costs specified in Points c, d, and đ of this Clause apply when the competent state agency and tenderer directly implement them. The costs for hiring tender consulting services; costs for the Advisory Board to resolve complaints; costs for publishing tender information, and costs for participating in the National Tendering Network System shall be implemented in accordance with Clauses 5, 6, and 7 of Article 7 of this Decree.
Article 9. Forms for selecting investors for PPP projects
1. The selection of investors must apply the international open tendering form, except for cases stipulated in Clauses 2 and 3 of this Article.
2. Apply the domestic open tendering form in the following cases:
a) Investment projects where Vietnamese law or international treaties to which the Socialist Republic of Vietnam is a member limit foreign investors' participation;
b) Foreign investors not participating in or failing to win the international prequalification;
c) Projects in Group B or Group C, where advanced technology or international management experience is required, domestic investors may form consortia with foreign investors or use foreign contractors to participate in the bidding and implement the project;
d) Projects requiring national defense and security guarantees as decided by the Prime Minister based on the proposal of competent state agencies and the consensus of the Ministry of National Defense regarding national defense requirements, and the consensus of the Ministry of Public Security regarding security requirements.
3. Apply the direct award form as prescribed in Clause 4, Article 22 of the Bidding Law in the following cases:
a) Only one investor registers and meets the requirements of the prequalification document; only one investor wins the prequalification;
b) Only one investor has the capability to implement according to Point b, Clause 4, Article 22 of the Bidding Law;
c) A project proposed by an investor that satisfies the highest feasible and effective requirements for protecting national sovereignty, border, and islands, as stipulated in Point c, Clause 4, Article 22 of the Bidding Law, is decided by the Prime Minister based on the proposal of competent state agencies.
4. Decisions on direct awards as prescribed in Point c, Clause 3 of this Article must meet the following conditions:
a) The project has an investment decision or feasibility study report approved (for Group C projects);
b) The project has the consensus of the Ministry of National Defense regarding the feasibility and effectiveness of national defense requirements, and the consensus of the Ministry of Public Security regarding the feasibility and effectiveness of security requirements.
Article 10. Forms for selecting investors for land-use investment projects
1. Apply the international open tendering form for projects meeting the following conditions:
a) Project implementation costs (excluding compensation, support, resettlement, land use fees, and land rental fees) of VND 800,000,000,000 (eight hundred billion) or more;
b) At least two investors meeting the initial requirements for capacity and experience as stipulated in Clause 3, Article 13 of this Decree, including at least one foreign investor;
c) Not falling under the provisions of Points a and c, Clause 2 of this Article.
2. Apply the domestic open tendering form in the following case:
a) Investment projects where Vietnamese law or international treaties to which the Socialist Republic of Vietnam is a member limit foreign investors' participation;
b) The project has at least two investors meeting the initial requirements for capacity and experience, none of whom are foreign investors participating in the registration to implement the project or meeting the initial requirements for capacity and experience as stipulated in Clause 3, Article 13 of this Decree;
c) The project requires national defense and security guarantees as decided by the Prime Minister based on the proposal of competent state agencies and the consensus of the Ministry of National Defense regarding national defense requirements; and the consensus of the Ministry of Public Security regarding security requirements.
3. Apply the direct award form as prescribed in Point b, Clause 4, Article 22 of the Bidding Law.
Article 11. Conditions for determining investment projects using land
1. Belongs to the list of projects requiring land recovery approved in accordance with the laws on land or located within state-managed lands, programs for urban development (if applicable) as prescribed by the laws on urban development.
2. Consistent with socio-economic development plans, industry and sector development plans; construction planning at a scale of 1/2,000 or 1/500 (if applicable) or urban area zoning planning at a scale of 1/2,000 or 1/5,000 as prescribed by the laws.
3. Not meeting the conditions to organize land use rights auction in accordance with the laws on land.
Article 12. List of investment projects using land
1. Projects falling within the scope regulated as provided for in Point b Clause 1 Article 1 of this Decree and satisfying all conditions stipulated in Article 11 of this Decree (except for projects under the provisions of Article 26 of the Law on Bidding or Clause 3 Article 10 of this Decree) shall be compiled into the list of investment projects using land.
2. Establishing the list of investment projects using land:
a) In cases where the project is established by specialized agencies under the provincial People's Committee or district People's Committee:
The specialized agencies under the provincial People's Committee or district People's Committee shall propose investment projects using land to the Department of Planning and Investment for consolidation. The proposal includes: project name, investment objectives, investment scale, investment capital, capital mobilization plan, location, time limit, progress schedule, economic and social effectiveness analysis of the project, and preliminary requirements regarding the investor's capacity and experience.
b) In cases where the project is proposed by investors:
Investors proposing to implement investment projects using land outside the list of investment projects using land approved by the Chairman of the provincial People's Committee must ensure that their projects fall within the scope regulated as provided for in Point b Clause 1 Article 1 of this Decree and meet all conditions stipulated in Article 11 of this Decree. Investors shall prepare a proposal dossier and submit it to the Department of Planning and Investment for consolidation. The proposal dossier includes the following contents:
- A document requesting implementation of the investment project using land, including a commitment to bear all costs and risks if the project proposal is not approved;
- Content of the project proposal including: project name, investment objectives, investment scale, investment capital, capital mobilization plan, location, time limit, progress schedule; economic and social effectiveness analysis of the project;
- Documents on the legal status, capacity, and experience of the investor;
- Proposal for land usage needs;
- Other necessary documents to explain the project proposal (if any).
3. Approving the list of investment projects using land:
a) Within thirty days from receiving the proposals as provided for in Points a and b Clause 2 of this Article, the Department of Planning and Investment shall coordinate with relevant agencies to consolidate the list of investment projects using land, determine preliminary requirements regarding the investor's capacity and experience, and report to the Chairman of the provincial People's Committee.
b) Within ten days from receiving the report of the Department of Planning and Investment, the Chairman of the provincial People's Committee shall examine and approve the list of investment projects using land, including preliminary requirements regarding the investor's capacity and experience.
4. Announcing the list of projects:
a) Based on the approval decision as stipulated in Clause 3 of this Article, the list of investment projects using land shall be announced by the Department of Planning and Investment in accordance with Point c Clause 1, Clause 4 Article 4 and Clause 2 Article 5 of this Decree.
b) Contents of information announcement:
- Project name; investment objectives, investment scale of the project; summary of basic requirements of the project; time limit, progress schedule;
- Project location, land area, land use purpose; approved planning indicators, current land status;
- Preliminary requirements regarding the investor's capacity and experience;
- Deadline for investors to submit registration dossiers to implement the project;
- Investors submit registration dossiers to implement the project through the National Public Procurement System. In cases where the Ministry of Planning and Investment has not yet specified the application timeline and detailed guidance as provided for in Point b Clause 1 Article 91 of this Decree, investors shall submit registration dossiers to the Department of Planning and Investment;
- Address, telephone number, fax number of the Department of Planning and Investment;
- Other information (if necessary).
Article 13. Preparation, submission and evaluation of investor's capacity and experience
1. The investor shall be responsible for preparing and submitting the project implementation registration dossier to the Department of Planning and Investment and on the National Bidding System network based on the information content published according to Point b Clause 4 Article 12 of this Decree. The investor's project implementation registration dossier includes: the project implementation registration document; dossier on legal status, capacity, and experience of the investor; other related documents (if any).
2. Upon expiration of the project implementation registration period, the Department of Planning and Investment shall cooperate with relevant agencies to conduct an initial assessment of the capacity and experience of investors who have submitted the project implementation registration dossier.
3. Based on the assessment results, the Department of Planning and Investment shall submit to the Chairman of the Provincial People's Committee for decision on organizing implementation according to one of the following two cases:
a) In case there are two or more investors meeting the requirements, the Chairman of the Provincial People's Committee shall issue a decision to apply the open bidding method as stipulated in Article 10 of this Decree; instruct the Department of Planning and Investment to publish the list of investors meeting the requirements as stipulated in Point c Clause 1 Article 4 of this Decree; assign the specialized agency under the Provincial People's Committee or the District People's Committee as the tender inviter.
b) In case only one investor meets the requirements, the Chairman of the Provincial People's Committee shall issue a decision to instruct the Department of Planning and Investment to notify and guide the investor to submit the dossier for investment policy decision in accordance with laws on investment and other relevant laws. Land allocation and land lease for implementing the investment project shall comply with the provisions of the law on land.
Article 14. Information storage in bidding
1. All dossiers related to the process of selecting investors shall be stored for a minimum of three years after the end of the project contract, except for dossiers specified in Clauses 2, 3, and 4 of this Article.
2. Financial-commercial proposal dossiers of investors that do not pass the technical evaluation stage shall be returned to the investors in the same time frame as the return or release of the bid guarantee of non-selected investors. In case the investor does not collect their financial-commercial proposal dossier, the tender inviter shall consider and decide to cancel the financial-commercial proposal dossier but must ensure that the information in the investor's financial-commercial proposal dossier is not disclosed.
3. In case of cancellation of the tender, related dossiers shall be stored for a period of twelve months from the date of issuance of the tender cancellation decision.
4. Project contract settlement dossiers and related documents of winning investors shall be stored in accordance with the law on archives.
Article 15. Expert team
1. Individuals participating in the expert team must hold a professional qualification certificate for bidding activities according to the roadmap prescribed by the Ministry of Planning and Investment, except for individuals specified in Clauses 3 and 4 of this Article.
2. Depending on the nature and complexity level of the project, the expert team composition shall include experts in technical, financial, commercial, administrative, legal, land, and related fields.
3. Individuals not covered by Clause 2 of Article 16 of the Bidding Law, when participating in the expert team, must meet the following conditions:
a) Hold a training certificate in bidding;
b) Have a relevant professional qualification related to the project;
c) Have language proficiency meeting the project requirements;
d) Be familiar with specific contents corresponding to the project;
e) Have at least five years of work experience in fields related to the project.
4. In special cases requiring opinions from specialized field experts, these experts are not required to hold a training certificate in bidding.
5. Training and development in bidding during the selection of investors shall be carried out in accordance with the law on bidding.
Article 16. Selection of investors in accordance with specialized laws and laws on socialization
1. The selection of investors to implement projects in accordance with Point c Clause 1 Article 1 of this Decree must ensure the following principles:
a) The list of projects must be widely publicized on the National Tendering System, serving as the basis for determining the number of investors interested in implementing the project;
b) In cases where two or more investors are interested, the tender organization shall apply the open tender procedure in one stage with two envelopes, including:
- Preparing for investor selection;
- Organizing investor selection;
- Evaluating technical proposal submissions; reviewing and approving the list of investors meeting technical requirements;
- Opening and evaluating financial-commercial proposal submissions;
- Submitting, reviewing, approving, and publicly announcing the results of investor selection;
- Negotiating, finalizing, and signing contracts.
c) In cases where only one investor is interested, the competent authority decides on investment orientation in accordance with the laws on investment, specialized laws, and laws on socialization;
d) The selected investor must meet the requirements regarding capacity, experience in implementing the project, and proposing feasible and effective implementation plans.
2. The division of responsibilities in selecting investors to implement projects in accordance with the Law on Bidding and this Decree. In cases where specialized laws and laws on socialization have different provisions on the division of responsibilities compared to this Decree, such provisions shall be applied in accordance with those laws.
3. Ministries, ministerial-level agencies, and government agencies within their management scope shall issue regulations on the selection of investors for projects in accordance with Point c Clause 1 Article 1 of this Decree based on ensuring competitive, fair, transparent, and economically efficient goals, including contents on establishing, approving, and publishing the list of projects; bidding document templates, and other relevant contents (if any).
Chapter II
PRELIMINARY SELECTION AND PLAN FOR SELECTING INVESTORS
Section 1
PRELIMINARY SELECTION FOR PPP PROJECTS
Article 17. Detailed procedures
1. Preparation for preliminary selection, including:
a) Preparing the invitation for preliminary selection;
b) Reviewing and approving the invitation for preliminary selection.
2. Conducting preliminary selection, including:
a) Announcing the invitation for preliminary selection;
b) Issuing, amending, and clarifying the invitation for preliminary selection;
c) Preparing, submitting, receiving, managing, amending, and withdrawing preliminary selection application documents;
d) Opening bids.
3. Evaluating preliminary selection application documents.
4. Submitting, reviewing, approving, and publicly announcing the shortlist of preliminary selection results.
Article 18. Application of preliminary selection
1. National key projects, Group A must apply for international preliminary selection, except in cases stipulated in Points a and d Clause 2 Article 9 of this Decree.
2. National key projects, Group A falling under the cases stipulated in Points a and d Clause 2 Article 9 of this Decree must apply for domestic preliminary selection.
3. Projects in Groups B and C do not apply for preliminary selection.
4. Based on the results of preliminary selection, the authorized person determines the open tender method in accordance with Clauses 1 and 2 Article 9 of this Decree or direct award in accordance with Point a Clause 3 Article 9 of this Decree in the plan for selecting investors.
Article 19. Preparation, Review and Approval of the Request for Prequalification Documents
1. Preparation of the Request for Prequalification Documents:
The contents of the Request for Prequalification Documents include:
a) Investor Guidance Information: The basic content of the project and guidance information for investors to participate in prequalification.
b) Requirements for the Legal Qualification of Investors as stipulated in Article 5 of the Bidding Law.
c) Requirements for the Capacity and Experience of Investors including:
- Financial and commercial capacity, ability to arrange capital and implementation capacity of the project; experience in implementing similar projects. In the case of a consortium, the capacity and experience of the investor are determined by the total capacity and experience of the consortium members; the leading investor of the consortium must have a minimum ownership stake of 30%, each member of the consortium must have a minimum ownership stake of 15% in the consortium.
- Preliminary methods of implementing the project and commitments to implement the project; declaration of disputes and complaints regarding contracts that have been and are being implemented.
For BT projects, investors must also meet additional requirements for capacity and experience (if any) as prescribed by laws on investment, construction, housing, real estate business, and related laws to implement the project.
d) Standards and Evaluation Methods
The evaluation of prequalification documents is conducted through the standards set out in the Request for Prequalification Documents. A scoring method using a scale of 100 or 1,000 points is used to evaluate the capacity and experience of investors. When establishing evaluation standards for capacity and experience, the minimum score required to be considered as meeting the requirements must not be lower than 60% of the total points, and the evaluation score for each basic requirement content must not be lower than 50% of the maximum points for that content.
2. Review and Approval of the Request for Prequalification Documents:
a) The tenderer submits the draft Request for Prequalification Documents and related documents to the authorized person at the same time as sending them to the reviewing unit.
b) The review of the Request for Prequalification Documents is carried out according to the provisions of Clause 1, Article 75 of this Decree.
c) The approval of the Request for Prequalification Documents must be in writing based on the application for approval and the report on the review of the Request for Prequalification Documents.
Article 20. Notification of Invitation for Prequalification, Issuance, Amendment, and Clarification of the Request for Prequalification Documents
1. The notification of invitation for prequalification is carried out according to the provisions of Point d, Clause 1, Article 4 and Clause 1, Article 5 of this Decree.
2. Issuance, Amendment, and Clarification of the Request for Prequalification Documents:
a) The Request for Prequalification Documents is issued according to the provisions of Clause 3, Article 6 and Point b, Clause 1, Article 8 of this Decree. For a consortium of investors, only one member of the consortium needs to purchase the Request for Prequalification Documents, even if the consortium has not yet been formed when purchasing the Request for Prequalification Documents.
b) If the Request for Prequalification Documents is amended after issuance, the tenderer must send the decision to amend along with the amended contents of the Request for Prequalification Documents to the investors who have purchased the Request for Prequalification Documents.
c) If clarification of the Request for Prequalification Documents is necessary, the investor must submit a written request to the tenderer at least five working days before the bid closing date for consideration and resolution. The clarification of the Request for Prequalification Documents is carried out by the tenderer in one or more of the following ways:
- Sending a clarification document to the investors who have purchased or received the Request for Prequalification Documents.
- In cases where necessary, organizing a pre-bid conference to discuss the contents in the Request for Prequalification Documents that the investors are unclear about. The discussion content must be recorded by the tenderer in minutes and established as a clarification document sent to the investors who have purchased the Request for Prequalification Documents.
- The content of clarifying the Request for Prequalification Documents must not contradict the content of the approved Request for Prequalification Documents. If clarification of the Request for Prequalification Documents leads to the need to amend the Request for Prequalification Documents, the amendment of the Request for Prequalification Documents shall be carried out according to the provisions of Point b of this Clause.
d) The decision to amend and the clarification document of the Request for Prequalification Documents are part of the Request for Prequalification Documents.
Article 21. Preparation, submission, acceptance, management, amendment, withdrawal of prequalification application documents and opening of tender
1. Preparation, submission, acceptance, management, amendment, withdrawal of prequalification application documents:
a) The investor shall be responsible for preparing and submitting the prequalification application documents on the National Public Procurement System in accordance with the requirements of the prequalification invitation document. In cases where the Ministry of Planning and Investment has not yet specified the implementation timeline and detailed guidance pursuant to Point b Clause 1 Article 91 of this Decree, the investor shall submit the prequalification application documents to the tenderer in accordance with the requirements of the prequalification invitation document;
b) The tenderer shall accept and manage all submitted prequalification application documents under a confidential file management system until the prequalification results are publicly disclosed; in no case shall information in the prequalification application documents of one investor be disclosed to another investor, except for information that is publicly disclosed at the time of tender opening. Prequalification application documents received by the tenderer after the tender closing time will not be opened, will be invalid, and will be excluded. Any documents submitted by the investor after the tender closing time to amend or supplement the already submitted prequalification application documents will be invalid, except for documents sent by the investor to clarify the prequalification application documents upon the tenderer's request or documents clarifying and supplementing to prove the investor's eligibility, capacity, and experience;
c) When wishing to amend or withdraw the submitted prequalification application documents, the investor must send a written request to the tenderer. The tenderer will only approve the amendment or withdrawal of the investor's prequalification application documents if the written request is received before the tender closing time;
d) The tenderer must accept the prequalification application documents of all investors who submit prequalification application documents before the tender closing time, including cases where the investor participating in the tender has not purchased or received the prequalification invitation document directly from the tenderer. In cases where the prequalification invitation document has not been purchased, the investor must pay the tenderer an amount equal to the sale price of the prequalification invitation document before the prequalification application document can be accepted.
2. Tender Opening:
Prequalification application documents submitted within the time and place specified in the prequalification invitation document will be publicly opened and start immediately within one hour from the tender closing time. The opening of prequalification application documents must be recorded in a protocol, and the tender opening protocol must be sent to the investors who have submitted prequalification application documents. Prequalification application documents received after the tender closing time will not be opened, will be invalid, and will be excluded.
Article 22. Evaluation of prequalification application documents
1. The evaluation of prequalification application documents shall be carried out according to the evaluation criteria stipulated in the prequalification invitation document. The prequalification application documents of investors whose scores are not lower than the minimum required score will be included in the shortlist; the prequalification application documents of the investor with the highest score will be ranked first; in cases where more than three investors meet the requirements, a minimum of three and a maximum of five top-ranked investors will be selected for inclusion in the shortlist.
2. Clarification of prequalification application documents:
a) After the tender opening, the investor shall be responsible for clarifying the prequalification application documents according to the tenderer's requirements. If the prequalification application documents of the investor lack evidence proving eligibility, capacity, and experience, the tenderer shall require the investor to clarify and supplement the documents to prove eligibility, capacity, and experience;
b) After the tender closing time, if the investor discovers that the prequalification application documents lack evidence proving eligibility, capacity, and experience, the investor may send the documents to the tenderer for clarification. The tenderer shall be responsible for accepting the clarification documents of the investor for review and evaluation; supplementary and clarifying documents regarding eligibility, capacity, and experience shall be considered part of the prequalification application documents;
c) The clarification of prequalification application documents can only be conducted between the tenderer and the investor whose prequalification application documents need clarification. The content of the clarification of prequalification application documents must be documented in writing and preserved by the tenderer as part of the prequalification application documents. The clarification process must ensure that it does not alter the essence of the investor's participation in the tender.
Article 23. Submitting, reviewing, approving preliminary selection results and publicly announcing shortlisted candidates
1. Based on the report on the evaluation of the preliminary selection application files, the tenderer shall submit for approval the preliminary selection results, including the tenderer's opinions on the evaluation contents of the expert team.
2. The preliminary selection results must be reviewed in accordance with the provisions of Clause 2, Article 76 of this Decree before being approved.
3. In cases where only one investor registers and meets the requirements of the preliminary selection invitation document or only one investor wins the preliminary selection, the competent state authority shall instruct the tenderer to carry out procedures to announce an extension of the deadline for receiving preliminary selection application files for a period of 20 days (from the date of announcement).
4. After the extension, if there are no additional investors submitting preliminary selection application files or all new investors submitting application files do not meet the requirements of the preliminary selection invitation document, the tenderer shall report to the authorized person to decide on handling according to one of the following two methods:
a) Decide to apply the direct award method as stipulated in point a, Clause 3, Article 9 of this Decree. In this case, the authorized person shall be responsible for ensuring competition, fairness, transparency, and economic efficiency in the process of selecting investors; shall bear full responsibility under the law if bidding, invitation to bid in form, collusion, and other negative behaviors occur leading to complaints, lawsuits, and loss of state resources.
b) Instruct the tenderer to carry out procedures to announce an extension of the time limit for receiving preliminary selection application files and review and adjust the content of the preliminary selection invitation document (if necessary).
5. The extension and adjustment of the content of the preliminary selection invitation document (if any) as prescribed in Clauses 3 and 4 of this Article must be widely announced to all investors who have participated in the bidding and posted on the National Public Procurement System.
6. During the extended period as prescribed in Clauses 3 and 4 of this Article, investors who have submitted preliminary selection application files have the right to modify, replace, or withdraw their submitted application files.
7. After extending the time limit for receiving preliminary selection application files as prescribed in Point b, Clause 4 of this Article, if there are no additional investors submitting application files or all new investors submitting application files do not meet the requirements of the preliminary selection invitation document, the authorized person shall examine and approve the preliminary selection results in accordance with the regulations.
8. The preliminary selection results must be approved in writing based on the submission for approval and the report on the review of the preliminary selection results. If a shortlist is selected, the approval document for the preliminary selection results must include the names of the winning investors and any necessary notes (if any). If a shortlist cannot be selected, the approval document for the preliminary selection results must clearly state the reasons why a shortlist could not be selected.
9. Publicly announcing the shortlist: The shortlist must be published in accordance with the provisions of Point d, Clause 1, Article 4 and Clause 2, Article 5 of this Decree and notify the investors who submitted preliminary selection application files.
Section 2
INVESTOR SELECTION PLAN
Article 24. Establishing an investor selection plan
1. Basis for establishing an investor selection plan:
a) For PPP projects:
- Decision approving the feasibility study report (or the pre-feasibility study report for high-tech projects);
- Decision approving the design and construction cost estimate for projects applying the BT contract type or projects decided by the competent state authority to organize public bidding based on the design and cost estimate;
- International treaties, international agreements for projects using official development assistance funds or preferential loans (if any);
- Preliminary selection results (if any);
- Related documents (if any).
b) For investment projects involving land use:
- Decision approving the list of investment projects involving land use (except for projects specified in Article 26 of the Bidding Law or Clause 3, Article 10 of this Decree);
- Decision approving the application of open bidding;
- Related documents (if any).
2. Based on the bases prescribed in Clause 1 of this Article, the tenderer shall establish an investor selection plan to submit to the authorized person, while sending it to the reviewing unit.
3. The documents for submission for approval include:
a) Submission for approval document, which summarizes the implementation process and contents of the investor selection plan as prescribed in Article 25 of this Decree;
b) Progress tracking table of activities during the investor selection process as prescribed in Clause 10, Article 6 and Point h, Clause 1, Article 8 of this Decree.
c) Supporting documents, which include copies serving as the basis for establishing the investor selection plan as prescribed in Clause 1 of this Article.
Article 25. Contents of the investor selection plan
1. Project name.
2. Total investment amount, total capital for PPP projects; preliminary total project implementation costs, compensation, support, resettlement costs, land use fees, and anticipated land rental fees for investment projects involving land use.
3. Preliminary state participation in PPP projects, financial mechanisms to support project implementation (if applicable).
4. Form and method of selecting investors:
a) Clearly define the form of selecting investors according to the provisions of Articles 20, 22, and 26 of the Bidding Law and Articles 9 and 10 of this Decree.
b) Clearly define the method of selecting investors as either a one-stage single-envelope or two-stage double-envelope process as stipulated in Article 28 or 29 of the Bidding Law.
5. Time to commence investor selection:
The time to commence investor selection starts from the issuance of bidding documents or request for proposal, clearly recorded in months or quarters within the year.
6. Type of contract:
a) For PPP projects, clearly define the type of contract according to the provisions of Article 68 of the Bidding Law and laws on PPP investment.
b) For investment projects involving land use, clearly define the type of contract as a land-use investment project contract.
7. Contract execution period:
The contract execution period is the number of years or months from the effective date of the contract until all parties complete their obligations as specified in the contract.
Article 26. Review and Approval of the Investor Selection Plan
1. Review of the investor selection plan:
a) Reviewing the investor selection plan involves conducting a thorough examination and evaluation of the contents stipulated in Article 25 of this Decree.
b) The unit responsible for reviewing the investor selection plan shall prepare a review report to submit to the authorized authority for approval.
2. Based on the review report, the authorized authority issues a decision to approve the investor selection plan and a progress tracking table for activities during the investor selection process to serve as the basis for conducting the investor selection.
CPart III
WIDE SPREAD INVESTOR SELECTION
IMPLEMENTATION OF PROJECTS INVESTMENT UNDER THE PPP FORM
Section 1
DETAILED PROCEDURE
Article 27. Detailed Procedure
1. Preparing for investor selection, including:
a) Preparing bidding documents;
b) Reviewing and approving bidding documents.
2. Organizing investor selection, including:
a) Inviting bids;
b) Issuing, amending, and clarifying bidding documents;
c) Preparing, submitting, receiving, managing, amending, and withdrawing bid documents;
d) Opening technical proposal documents.
3. Evaluating technical proposal documents, including:
a) Checking and evaluating the validity of technical proposal documents;
b) Conducting detailed evaluations of technical proposal documents;
c) Reviewing and approving a list of investors meeting technical requirements.
4. Opening and evaluating financial-commercial proposal documents, including:
a) Opening financial-commercial proposal documents;
b) Checking and evaluating the validity of financial-commercial proposal documents;
c) Conducting detailed evaluations of financial-commercial proposal documents and ranking investors.
5. Submitting, reviewing, approving, and publicly announcing the results of investor selection.
6. Negotiating, finalizing, and signing contracts, including:
a) Negotiating and finalizing contracts;
b) Signing contracts and publicly announcing project contract information.
7. In cases where high-tech applications are involved, the investor selection procedures shall be carried out according to the provisions of Clauses 1, 2, 3, 4, and 5 of this Article. The selected investor will proceed to prepare a feasibility study report. Based on the approved feasibility study report, the competent state agency and the investor will negotiate, finalize, and sign the contract. The content of the feasibility study report and the contract must ensure compliance with the project's objectives, investment scale, and basic criteria for reviewing winning bidders.
Section 2
PREPARING FOR INVESTOR SELECTION
Article 28. Preparation of Tender Documents
1. Basis for preparing tender documents:
a) Decision approving feasibility study report (or preliminary feasibility study report for high-tech application projects); project dossier and related documents;
b) Decision approving design and construction cost estimate for projects applying the Build-Transfer (BT) contract type or projects decided by competent state agencies to organize bidding based on design and cost estimate;
c) Preliminary selection results (if any);
d) Decision approving the investment selection plan;
đ) Relevant laws and state policies;
2. Contents of the Tender Invitation Document:
a) The tender documents shall not include any conditions that limit the participation of investors or create advantages for one or several investors, leading to unfair competition;
b) The tender documents must contain all necessary information for investors to prepare tender proposals, including the following main contents:
- General information about the project, including the content and scope of the project, detailed project outputs, services provided when the project is completed;
- Instructions for investors, including bidding procedures and bidding data sheets;
- Requirements regarding the eligibility of investors as stipulated in Article 5 of the Bidding Law;
- Requirements regarding the capacity and experience of investors to implement the project as prescribed in Point c Clause 1 Article 19 of this Decree (for projects without preliminary selection);
- Project requirements according to the approved feasibility study report (or preliminary feasibility study report for high-tech application projects), including:
+ Technical requirements: Implementation standards, quality requirements for project works, products, or services provided; detailed descriptions of technical requirements and technical criteria used in evaluating tender proposals, environmental and safety requirements;
+ Financial-commercial requirements: Investment and business organization plans; financial plans (total investment capital, capital structure, and capital mobilization methods; state participation in PPP projects (if any); expenses; revenue sources, prices, fees for goods and services; capital recovery period, profit); specific risk allocation requirements;
- Criteria for evaluating tender proposals, including criteria for assessing capacity and experience, technical criteria, financial-commercial criteria, and evaluation methods for these contents;
- Bidding forms, including tender submission forms, technical proposals, financial-commercial proposals, bid guarantees, financial institution commitments (if any), and other forms;
- Type of project contract, contract conditions, and draft contract, including: project implementation requirements, quality standards for works, service provision standards, pricing mechanisms, applicable regulations, rewards and penalties, force majeure clauses, review of contracts during project operation, and other contents as prescribed by PPP investment laws;
Article 29. Evaluation Criteria and Methods for Tender Proposals
The method of evaluating tender proposals is reflected through the evaluation criteria in the tender documents, including:
1. Criteria and methods for evaluating capacity and experience:
a) For projects that have applied preliminary selection, tender documents do not need to specify evaluation criteria for capacity and experience but should require investors to update their capacity and experience information;
b) For projects without preliminary selection, criteria and methods for evaluating capacity and experience are determined according to the provisions of Point d Clause 1 Article 19 of this Decree;
2. Criteria and methods for evaluating technical aspects:
a) Based on the scale, nature, and type of specific projects, technical evaluation criteria include:
- Quantity and quality standards;
- Operation, management, business, maintenance, and repair standards;
- Environmental and safety standards;
When preparing tender documents, detailed technical evaluation criteria must be established based on the standards specified herein, suitable for each specific project, ensuring that selected investors meet the project's output requirements. During the establishment of detailed technical evaluation criteria, additional technical standards may be added as appropriate for each specific project;
b) Method for evaluating technical aspects:
Using a scoring method with a 100 or 1,000 point scale to establish technical evaluation criteria, where minimum and maximum scores must be defined for each general and detailed standard. When establishing technical evaluation criteria, the minimum score required to meet the requirements must be set at no less than 70% of the total technical points and the points for each quality, quantity; operation, management, business, maintenance, and repair; environmental and safety and other key requirements must not be lower than 60% of the maximum points for those contents;
c) The structure of the point weight corresponding to the contents specified in Point a of this Clause must be suitable for each specific project contract type but ensure that the total point weight equals 100%;
3. Methods for evaluating financial-commercial aspects:
The methods for evaluating tender proposals specified in the tender documents include the following:
a) Service price method:
- The service price method is applied to projects where the price and fee for goods and services are financial-commercial evaluation criteria, with other contents such as asset and service standards belonging to the project; the payback period and related factors clearly defined in the tender documents;
- For tender proposals evaluated as meeting technical requirements, the price and fee for goods and services are used for comparison and ranking. The investor proposing the lowest price and fee for goods and services is ranked first and considered for awarding the contract;
b) State capital contribution method:
- The capital contribution method of the State shall be applied to projects where the State's capital contribution is a criterion for financial-commercial evaluation; other contents such as standards for assets and services under the project, payback period, prices, fees for goods and services, and related factors have been clearly defined in the tender invitation documents;
- For tender documents assessed as meeting technical requirements, the State's proposed capital contribution shall be used as the basis for comparison and ranking. The investor proposing the lowest State capital contribution shall be ranked first and considered for awarding the bid;
c) The social benefit and State benefit method:
- The social benefit and State benefit method is a method for evaluating investors who propose project implementation plans with the highest investment efficiency; other contents such as standards for assets and services under the project, prices, fees for goods and services, and related factors have been clearly defined in the tender invitation documents. Investment efficiency is evaluated through the criteria of proposing the highest budgetary revenue submission in cash (in addition to the investor's obligations to the State budget as stipulated by current laws) or the shortest contract execution time.
- For tender documents assessed as meeting technical requirements, the proposed budgetary revenue submission in cash or the contract execution time shall be used as the basis for comparison and ranking. The investor proposing the highest budgetary revenue submission in cash or the shortest contract execution time shall be ranked first and considered for awarding the bid;
d) Combined method:
The combined method is established based on combining the methods prescribed in Points a, b, and c of this Clause, including: combining the service price method with the State capital contribution method, and combining the service price method with the social benefit and State benefit method.
đ) For projects that cannot apply the above evaluation methods, the tenderer shall report to the competent authority for examination and approval of alternative evaluation methods and corresponding bidding approval principles in the tender invitation documents, ensuring competitive, fair, transparent, and economically efficient bidding.
4. Financial-commercial evaluation method for projects applying the BT contract type:
a) Use the social benefit and State benefit method to evaluate investors who propose project implementation plans with the highest investment efficiency. Investment efficiency is evaluated through the criterion of the investor having the lowest evaluated price and proposing the lowest revised tender price, adjusted for errors, minus the value of discounts not exceeding the BT project value determined in the tender invitation documents. The investor whose tender document has the lowest evaluated price shall be ranked first and considered for awarding the bid.
b) The determination of the evaluated price is carried out in accordance with Appendix 02 issued together with this Decree.
Article 30. Examination and Approval of Tender Invitation Documents
1. Tender invitation documents must be examined in accordance with Clause 2 of Article 75 of this Decree before approval.
2. The approval of tender invitation documents must be in writing, based on the approval proposal and the examination report of the tender invitation documents.
Section 3
SELECTION OF INVESTORS ORGANIZATION
Article 31. Inviting Bids
1. For projects that have applied for prequalification, the bid invitation letter shall be sent to investors listed in the shortlist, specifying the time and place for issuing the bid invitation documents, the bidding closing date, and the opening date.
2. For projects not applying for prequalification, the bid invitation announcement shall be published in accordance with Point d Clause 1, Clause 5 Article 4 and Clause 1 Article 5 of this Decree.
Article 32. Issuing, Amending, and Clarifying Bid Invitation Documents
1. Bid invitation documents shall be issued to investors listed in the shortlist for projects required to apply for prequalification. In cases where prequalification is not applied, bid invitation documents shall be widely distributed to participating investors. For joint venture investors, only one member of the joint venture needs to purchase the bid invitation documents.
2. If there is a need to amend the bid invitation documents after issuance, the inviting party must send the amendment decision along with the amended contents of the bid invitation documents to investors who have purchased or received the bid invitation documents.
3. If clarification of the bid invitation documents is necessary, investors must submit a request for clarification to the inviting party at least seven working days (for domestic bidding) or fifteen days (for international bidding) before the bidding closing date for review and handling. The clarification of the bid invitation documents shall be carried out by the inviting party through one or more of the following methods:
a) Sending a clarification document to investors who have purchased the bid invitation documents;
b) In cases where necessary, organizing a pre-bid conference to discuss contents in the bid invitation documents that investors do not understand. The discussion contents must be recorded in minutes and clarified in writing to be sent to investors who have purchased the bid invitation documents.
The clarification of the bid invitation documents must not contradict the approved contents of the bid invitation documents. If clarification leads to the need to amend the bid invitation documents, such amendments shall be made in accordance with Clause 2 of this Article.
4. The decision to amend and the clarification document of the bid invitation documents are part of the bid invitation documents.
Article 33. Preparing, Submitting, Receiving, Managing, Amending, and Withdrawing Tender Documents
1. Investors are responsible for preparing and submitting tender documents in accordance with the requirements of the bid invitation documents.
2. The inviting party shall receive and manage submitted tender documents under a confidential document management system until the investor selection results are publicly announced; in all cases, information in the tender documents of one investor shall not be disclosed to another investor, except for information that is publicly disclosed during the bid opening. Tender documents submitted to the inviting party after the bidding closing date will not be opened, will be invalid, and will be disqualified. Any documents submitted by investors after the bidding closing date to amend or supplement previously submitted tender documents will be invalid, except for documents submitted by investors to clarify their tender documents upon the inviting party's request or documents clarifying and supplementing to prove the eligibility, capacity, and experience of the investor.
3. When wishing to amend or withdraw submitted tender documents, investors must submit a request in writing to the inviting party. The inviting party will only approve the amendment or withdrawal of tender documents if the request is received before the bidding closing date.
Article 34. Opening Technical Proposal Documents
1. The opening of technical proposal documents must be conducted publicly and commence immediately within one hour from the time of bid closing, including cases where only one investor submits a bidding document. Only technical proposal documents received by the tenderer before the bid closing time as required by the tender invitation, witnessed by representatives of participating investors at the bid opening ceremony, shall be opened, regardless of whether the investors are present or absent.
2. The bid opening shall be carried out for each bidding document in alphabetical order of the investor's name and in the following sequence:
- Checking the seals;
- Opening the document and clearly reading the information on: Investor's name; number of original and copied technical proposal documents; bidding proposal included in the technical proposal; validity period of the technical proposal document; contract implementation period; value and validity of the bid guarantee; other related information.
3. Bid Opening Minutes: All information stipulated in Clause 2 of this Article must be recorded in the bid opening minutes. The bid opening minutes must be signed and confirmed by representatives of the tenderer and participating investors attending the bid opening ceremony. These minutes must be sent to all participating investors.
4. Representatives of the tenderer must sign and confirm on the original bidding proposal, power of attorney of the legal representative of the investor (if any); joint venture agreement (if any); bid guarantee; important contents of each technical proposal document.
5. Financial-commercial proposal documents of all investors must be sealed in separate envelopes and signed and sealed by representatives of the tenderer and participating investors attending the bid opening ceremony.
Article 35. Principles for Evaluating Bidding Documents
1. The evaluation of bidding documents must be based on the criteria for evaluating bidding documents and other requirements in the tender invitation, based on the submitted bidding documents, explanations, and clarifications provided by the investor to ensure the selection of an investor with sufficient capability and experience, and feasible technical and financial-commercial proposals to implement the project.
2. The evaluation shall be conducted on copies, and the investor is responsible for the consistency between the original and the copy. In case there are discrepancies between the original and the copy but do not change the ranking order of the investors, the original shall be the basis for evaluation.
3. In case there are discrepancies between the original and the copy leading to different evaluation results, changing the ranking order of the investors, the bidding document of that investor will be disqualified.
Article 36. Clarification of Bidding Documents
1. After the bid opening, the investor is responsible for clarifying the bidding document according to the tenderer's request. Clarification of the contents proposed in the technical and financial-commercial proposals in the investor's bidding document must ensure the principle of not changing the fundamental content of the submitted bidding document.
2. After the bid closing, for projects not applying prequalification, if the investor discovers that the bidding document lacks supporting documents proving their legitimate status, capability, and experience, the investor may submit such documents to the tenderer to clarify their legitimate status. The tenderer has the responsibility to accept and consider the clarification documents provided by the investor; supplementary documents clarifying legitimate status, capability, and experience are considered part of the bidding document.
3. Clarification of bidding documents can only be conducted between the tenderer and the investor whose bidding document requires clarification, and must ensure the principle of not altering the essence of the participating investor. The content of the clarification of the bidding document must be documented in writing and preserved by the tenderer as part of the bidding document.
Article 37. Correcting Errors and Adjusting Deviations
1. Correcting errors means revising mistakes in the bidding dossier including arithmetic errors, unit errors; discrepancies between technical proposal contents and financial-commercial proposal contents, and other errors.
2. Adjusting deviations means adjusting minor missing or excess contents in the bidding dossier compared to the tender invitation requirements. The adjustment of deviations shall be carried out on the principle of ensuring fairness, transparency, and economic efficiency.
3. After correcting errors and adjusting deviations, the tenderer must notify the investor in writing about the errors, deviations, and the correction of errors and adjustment of deviations. Within seven working days from the date of receiving the tenderer's notification, the investor must provide written comments to the tenderer regarding the following:
a) Acceptance or non-acceptance of the error correction results. In case the investor does not accept the error correction results, the investor’s bidding dossier will be disqualified;
b) Stating their opinion on the deviation adjustment results. If the investor does not accept the deviation adjustment results, they must clearly state the reasons for the tenderer to consider and decide;
c) Acceptance or non-acceptance of the deviation adjustment results for projects applying the BT contract type. If the investor does not accept the deviation adjustment results, the investor’s bidding dossier will be disqualified.
Section 4
TECHNICAL PROPOSAL ASSESSMENT
Article 38. Assessment of Technical Proposals
1. Checking the validity of the technical proposal dossier, including:
a) Checking the number of original and copied technical proposal dossiers;
b) Checking the components of the technical proposal dossier, including: Bid form belonging to the technical proposal, joint venture agreement (if any), power of attorney for signing the bid form (if any); bid guarantee; documents proving the lawful status of the person signing the bid form (if any); documents proving the lawful status, capacity, and experience of the investor (for projects not applying prequalification); technical proposals; other components of the technical proposal dossier;
c) Checking the consistency of content between the original and copied dossiers to serve the detailed assessment process of the technical proposal dossier.
2. Assessing the validity of the technical proposal dossier:
The investor's technical proposal dossier is considered valid when it fully meets the following contents:
a) There is an original technical proposal dossier;
b) There is a bid form belonging to the technical proposal signed and stamped (if required) by the lawful representative of the investor according to the tender invitation requirements. For joint venture investors, the bid form must be signed and stamped (if required) by the lawful representative of each joint venture member or the leading member representing the joint venture according to the division of responsibilities in the joint venture agreement;
c) The validity period of the technical proposal dossier complies with the requirements specified in the tender invitation;
d) There is a bid guarantee with value and duration of effectiveness meeting the tender invitation requirements. In cases where the bid guarantee is provided in the form of a letter of guarantee, the letter of guarantee must be signed by the lawful representative of the financial institution with the value and duration of effectiveness, and the beneficiary according to the tender invitation requirements;
đ) The name of the investor is not included in two or more technical proposal dossiers as an independent investor or a member of a joint venture;
e) There is a joint venture agreement signed and stamped (if required) by the lawful representative of each joint venture member;
g) The investor is not currently prohibited from participating in bidding activities according to the provisions of the Bidding Law;
h) The investor ensures its lawful status according to Article 5 of the Bidding Law.
3. Evaluation of capacity and experience:
a) For projects that have applied prequalification, the investor must provide a written commitment to still meet the project implementation requirements. In case there are changes from the information declared in the prequalification dossier, the investor's capacity and experience must be updated and evaluated according to the standards and methods in the prequalification invitation dossier.
b) For projects not applying prequalification, the evaluation of capacity and experience is conducted according to the standards and evaluation methods for capacity and experience stated in the tender invitation dossier.
4. Investors with valid technical proposal dossiers that meet the capacity and experience requirements will be subject to detailed technical assessment.
5. Detailed assessment of technical proposals:
a) The detailed assessment of technical proposals is carried out according to the technical evaluation standards stated in the tender invitation;
b) Investors who meet the technical requirements will be assessed for their financial-commercial proposal.
Article 39. Review and Approve the List of Investors Meeting Technical Requirements
The list of investors meeting technical requirements must be approved in writing based on the approval proposal and the report on reviewing the list of investors meeting technical requirements. The tenderer must notify all participating investors about the list of investors meeting technical requirements, inviting those meeting technical requirements to open financial-commercial bid proposals.
Section 5
OPENING AND EVALUATING BID PROPOSALS
ON FINANCIAL-COMMERCIAL MATTERS
Article 40. Opening Financial-Commercial Bid Proposals
1. Check the sealing of envelopes containing financial-commercial bid proposals.
2. Open financial-commercial bid proposals:
a) Only proceed with opening the financial-commercial bid proposals of investors listed in the list of investors meeting technical requirements in the presence of representatives of participating investors attending the bid opening ceremony. The opening of financial-commercial bid proposals is not contingent upon the presence or absence of the investors.
b) Require each investor's representative attending the bid opening ceremony to confirm whether there is or is not a letter proposing service price reduction, state capital contribution reduction, or increased budget payment attached to their financial-commercial bid proposal.
c) The opening of financial-commercial bid proposals shall be conducted for each financial-commercial bid proposal in alphabetical order of the names of investors listed in the list of investors meeting technical requirements, following the sequence below:
- Checking the seals;
- Open the envelope and read out clearly the information including: Investor name; number of original and copied financial-commercial bid proposal documents; tender form included in the financial-commercial bid proposal; validity period of the financial-commercial bid proposal; total investment amount and project capital, service price, state capital contribution (if applicable), proposed budget payment amount stated in the tender form (if applicable); value of service price reduction, state capital contribution reduction, or increased budget payment (if applicable); technical points of tender documents evaluated as meeting technical requirements; other related information.
3. Record of Bid Proposal Opening
a) All information mentioned in Clauses 1 and 2 of this Article must be recorded in the record of financial-commercial bid proposal opening. The record of financial-commercial bid proposal opening must be signed and confirmed by representatives of the tenderer and investors attending the bid opening ceremony. This record must be sent to investors meeting technical requirements.
b) Representatives of the tenderer must sign and confirm on all pages of the original financial-commercial bid proposal documents.
Article 41. Evaluating Financial-Commercial Bid Proposals
1. Verify the legality of financial-commercial bid proposals, including:
a) Verify the number of original and copied financial-commercial bid proposal documents.
b) Verify the components of the financial-commercial bid proposal, including: Tender form included in the financial-commercial bid proposal; other components included in the financial-commercial bid proposal.
c) Verify the consistency of content between the original and copied documents to facilitate detailed evaluation of the financial-commercial bid proposal.
2. Evaluate the legality of financial-commercial bid proposals:
A financial-commercial bid proposal from an investor will be considered legal if it fully meets the following contents:
a) There is an original financial-commercial bid proposal document.
b) There is a tender form included in the financial-commercial bid proposal signed and stamped (if required) by the authorized representative of the investor according to the tender invitation document; the total investment amount and project capital, service price, state capital contribution, and proposed budget payment amount stated in the tender form must be specific, fixed in figures and words, consistent and logical with the investor’s financial plan, without proposing different values for the same content or attaching conditions detrimental to the competent state authority or the tenderer. For joint venture investors, the tender form must be signed and stamped (if required) by the authorized representative of each joint venture member or by the leading member representing the joint venture according to the division of responsibilities in the joint venture agreement.
c) The validity of the financial-commercial bid proposal complies with the requirements stipulated in the tender invitation document.
Investors with legal financial-commercial bid proposals will be subject to detailed financial-commercial evaluation.
3. Detailed Evaluation of Financial-Commercial Bid Proposals and Ranking of Investors:
a) The detailed evaluation of financial-commercial bid proposals and ranking of investors shall be carried out according to the evaluation criteria specified in the tender invitation document.
b) After selecting the ranking list of investors, the expert team prepares a report for the tenderer to review. The report must include the following contents:
- The list of investors reviewed and ranked and their ranking order.
- The list of investors not meeting requirements and excluded; reasons for excluding investors.
- Comments on the competitiveness, fairness, transparency, and economic efficiency during the process of selecting investors. In cases where competitiveness, fairness, transparency, and economic efficiency are not guaranteed, the reasons must be clearly stated and measures to address them proposed.
- Any contents of the tender invitation document that are inconsistent with the bidding laws leading to unclear or differing interpretations during implementation or potentially distorting the selection results (if any); propose measures to address these issues.
4. If necessary, the tenderer may report to the competent authority to allow the first-ranked investor to enter into preliminary contract negotiations to facilitate post-selection contract negotiation and completion.
Article 42. Principles for Reviewing Bid Success
The investor proposed for selection must meet the following conditions:
1. Having valid bid documents;
2. Possess the capacity and experience required;
3. Provide technical proposals that meet the requirements;
4. The bid proposal value shall be determined according to one of the following methods:
a) Proposing the lowest service price without exceeding the service price determined in the feasibility study report (or preliminary feasibility study report for high-tech projects), in compliance with legal provisions on prices, fees, and charges when applying the service price method;
b) Proposing the lowest state capital contribution and not exceeding the state capital contribution value determined in the feasibility study report (or preliminary feasibility study report for high-tech projects) when applying the state capital contribution method;
c) Proposing the highest budget payment in cash or the shortest contract execution time without exceeding the time determined in the feasibility study report (or preliminary feasibility study report for high-tech projects) when applying the social benefit and state interest method;
d) Having the lowest evaluation price and the bid price after error correction and adjustment, minus any discount (if applicable) not exceeding the project value determined in the tender invitation document for BOT contracts.
Chapter 6
SUBMISSION, REVIEW, APPROVAL AND PUBLIC DISCLOSURE
SELECTION RESULTS OF INVESTORS
Article 43. Submission, Review, Approval and Public Disclosure of Selection Results of Investors
1. Based on the report on the evaluation of tender documents, the tenderer shall submit the selection results of investors, clearly stating the tenderer's opinions on the evaluation contents of the expert team.
2. The selection results of investors must be reviewed in accordance with Clause 4, Article 76 of this Decree before approval.
3. The selection results of investors must be approved in writing based on the approval request and the review report on the selection results of investors.
4. In cases where a successful bidder is selected, the approval document for the selection results of investors must include the following contents:
a) Project name, location, and scale;
b) Name of the successful bidder;
c) Type of contract;
d) Commencement date, completion date of construction, operation, and transfer of the project works;
đ) Land use conditions for implementing the project (location, area, purpose, land use period);
e) Total investment amount, total project capital;
g) Service price, state capital contribution portion, or budget payment portion, or contract execution time;
h) Any other important matters (if any).
5. In cases of bid cancellation as stipulated in Clause 1, Article 17 of the Bidding Law, the approval document for the selection results of investors or the decision document for bid cancellation must clearly state the reasons for cancellation and the responsibilities of the parties involved upon cancellation.
6. After issuing the approval document for the selection results of investors, the tenderer must publish information about the selection results of investors in accordance with Point d, Clause 1, Article 4 and Clause 2, Article 5 of this Decree; send the notification document on the selection results of investors to participating investors within the time limit specified in Clause 8, Article 6 of this Decree. The content of the notification on the selection results of investors includes:
a) Information as prescribed in Clause 4 of this Article;
b) List of non-selected investors and summaries of the reasons for their non-selection;
c) Negotiation plan, contract completion, signing plan with the selected investor, and plan for preparing and approving the feasibility study report (for high-tech projects).
Section 7
NEGOTIATION, COMPLETION AND SIGNING OF CONTRACT
Article 44. Negotiation and Completion of the Contract
1. Based on the results of selecting investors, the first-ranked investor shall be invited to negotiate and complete the contract. In case the invited investor does not attend or refuses to negotiate and complete the contract, the investor will not be entitled to reclaim the bidding guarantee.
2. The negotiation and completion of the contract must be based on the following grounds:
a) Report on evaluating the bidding documents;
b) Bidding documents and additional clarifications or amendments to the bidding documents (if any) of the investor;
c) Invitation to bid.
3. Principles for negotiating and completing the contract:
a) Negotiations and completion of the contract shall not be conducted for contents that the investor has bid in accordance with the requirements of the invitation to bid;
b) Negotiations and completion of the contract shall not alter the basic contents of the bidding documents.
4. Contents of negotiations and completion of the contract:
a) Negotiate and complete details that are insufficiently detailed, unclear, or unsuitable, inconsistencies between the invitation to bid and the bidding documents, or among different parts of the bidding documents which may lead to disputes or affect the responsibilities of the parties during the implementation of the contract;
b) Negotiate issues arising during the selection process of the investor (if any) with the aim of perfecting the detailed contents of the project;
c) In addition to the contents specified in Points a and b of this Clause, the inviting party shall report to the authorized decision-maker for approval of other necessary negotiations and completion of the contract consistent with the type of contract for the project.
5. During the negotiation and completion of the contract, the parties involved shall finalize the basis for signing the project contract, draft contract, and any changes to special terms of the contract (if any).
6. In case negotiations and completion of the contract fail, the inviting party shall report to the authorized decision-maker to consider and decide to cancel the selection result and invite the next-ranked investor to negotiate and complete the contract. If negotiations and completion with subsequent investors also fail, the inviting party shall report to the authorized decision-maker to consider and decide to cancel the tender according to Clause 1, Article 17 of the Bidding Law.
Article 45. Signing the Contract and Publicizing Project Contract Information
1. For national key projects, Group A, and Group B projects, the contracts signed between the parties must comply with the provisions of Articles 69, 70, 71, and 72 of the Bidding Law and the regulations on public-private partnership investment.
2. For Group C projects, the contracts signed between the parties must comply with the provisions of Articles 69, 70, 71, Clause 1, 3, and 4 of Article 72 of the Bidding Law, Point a of Clause 2 of Article 8 of this Decree, and the regulations on public-private partnership investment.
3. Within seven working days from the date of signing the project contract, the inviting party is responsible for publicizing the project contract information on the National E-Bidding System. The content of publicizing the information shall comply with the regulations on public-private partnership investment.
Chapter IV
WIDE SPREAD INVESTOR SELECTION
IMPLEMENTATION OF INVESTMENT PROJECTS USING LAND
Section 1
DETAILED PROCEDURE
Article 46. Detailed Procedures
1. Preparing for investor selection, including:
a) Preparing bidding documents;
b) Reviewing and approving bidding documents.
2. Organizing investor selection, including:
a) Inviting bids;
b) Issuing, amending, and clarifying bidding documents;
c) Preparing, submitting, receiving, managing, amending, and withdrawing bid documents;
d) Opening technical proposal documents.
3. Evaluating technical proposal documents, including:
a) Checking and evaluating the validity of technical proposal documents;
b) Conducting detailed evaluations of technical proposal documents;
c) Reviewing and approving a list of investors meeting technical requirements.
4. Opening and evaluating financial-commercial proposal documents, including:
a) Opening financial-commercial proposal documents;
b) Examination and evaluation of the legality of financial-commercial proposal documents;
c) Conducting detailed evaluations of financial-commercial proposal documents and ranking investors.
5. Submitting, reviewing, approving, and publicly announcing the results of investor selection.
6. Negotiation, completion, and signing of the contract, including:
a) Negotiating and finalizing contracts;
b) Signing contracts and publicly announcing project contract information.
Section 2
PREPARING FOR INVESTOR SELECTION
Article 47. Preparation of Tender Documents
1. Basis for preparing tender documents:
a) The list of investment projects using land that require investor selection shall be published in accordance with regulations;
b) The approved investor selection plan;
c) Current laws and regulations on land, housing, real estate business, investment, construction, and related laws.
2. Contents of the Tender Invitation Document:
Tender documents shall not include any conditions that limit the participation of investors or create advantages for one or some investors, thereby causing unfair competition. The tender documents must contain all necessary information for investors to prepare their bidding documents, including the following basic contents:
a) General information about the project, including the project name; objectives, functions; location; scale; preliminary implementation schedule; current status of the land area, land fund; planning indicators;
b) Guidelines for investors, including bidding procedures and bidding data sheets;
c) Requirements for implementing the project; architectural requirements; environmental and safety requirements; other project contents (if any);
d) Criteria for evaluating bidding documents, including criteria for assessing the capacity and experience of investors; technical, financial-commercial evaluation criteria, and methods for evaluating these contents;
đ) Bidding forms, including bidding application forms, technical proposals, financial-commercial proposals, bidding guarantees, financial institution commitments (if any), and other forms;
e) Land transfer or lease period; land use purpose; land use structure;
g) Estimated land use fee and land lease fee determined by the tenderer based on selecting the most appropriate land valuation method and corresponding input parameters or methods for determining such parameters;
The land use fee and land lease fee that the winning bidder must pay shall be determined at the time the State decides to transfer or lease land according to the provisions of the Law on Land.
h) Preliminary total cost of implementing the project, excluding compensation, support, resettlement costs, land use fees, and land lease fees;1the bidder shall determine in accordance with the relevant provisions of the Construction Law for each specific project, ensuring the full utilization and maximum efficiency of the land area, land fund, land area, land use coefficient, and spatial planning of land use;
i) Compensation, support, and resettlement plans. Among them, the compensation, support, and resettlement costs for the land area to be cleared (m2) are determined based on:
- Land compensation;
- Investment costs in remaining land when the State recovers land (if applicable);
- Costs for compensating losses from buildings, structures, assets on land, production, and business losses when the State recovers land (if applicable);
- Support funds when the State recovers land (if applicable), including: support for stable living and production; training, job transition, and employment support; resettlement support; other supports;
- Organizational expenses for compensation and clearance.
j) Minimum revenue to be submitted to the state budget (m3) determined by the tenderer according to the formula:
m3 = S x ΔG x k, where:
- S is the area of land subject to land use fees and lease fees in the land area or land fund planned to be transferred or leased to investors for project implementation.
- ΔG is the average increase value after auctioning land use rights per unit area of land areas or land funds with the same land use purpose within the local or regional area where the project is implemented. If there are no similar land areas or land funds in the local area, reference shall be made to the land database of regions with similar socio-economic conditions.
- k is the adjustment factor for the average increase value after auctioning land areas or land funds, taking into account factors similar to the project's land area or land fund and other necessary factors (if any).
This value is determined relatively and serves as a basis for investors to propose budget submissions independently from the land use fees and lease fees that investors must pay according to the Law on Land.
l) Draft contract including project implementation requirements, land transfer or lease period; land area or land fund; estimated land use fee and lease fee; land valuation method to determine land use fees and lease fees at the time of land transfer or lease according to the Law on Land; input parameters or methods for determining such parameters corresponding to the valuation method; applicable regulations; contract incentives and penalties; force majeure; review of the contract during project operation and other contents.
Article 48. Standards and methods for evaluating tender documents
The method of evaluating tender proposals is reflected through the evaluation criteria in the tender documents, including:
1. Based on the preliminary requirements regarding capacity and experience approved in accordance with Clause 3, Article 12 of this Decree, the standards and methods for evaluating capacity and experience shall be updated or supplemented (if necessary) in accordance with Point d, Clause 1, Article 19 of this Decree. In the case of a consortium, the capacity and experience of the investor shall be determined by the total capacity and experience of the consortium members; the leading investor of the consortium must have at least a 30% ownership stake, and each member of the consortium must have at least a 15% ownership stake within the consortium.
2. Criteria and methods for evaluating technical aspects:
a) Technical evaluation standards:
- The alignment of the project objectives proposed by the investor with the socio-economic development plan, industry development plan, sectoral plan; the urban planning map with a scale of 1/2,000 or 1/500 (if applicable) or the district urban planning map with a scale of 1/2,000 or 1/5,000 as prescribed by law;
- Requirements regarding the scale of the project, architectural solutions, basic functions of the construction project;
- Environmental and safety requirements;
- Other standards appropriate to each specific project.
b) Technical evaluation methods:
Using a scoring method based on a 100-point or 1,000-point scale to establish technical evaluation standards, where the minimum and maximum scores for each general standard and detailed standard must be specified. When establishing technical evaluation standards, the minimum score required to meet the criteria must not be lower than 70% of the total technical points, and the score for each content requirement specified in Point a of this Clause must not be lower than 60% of the maximum score for that content.
The structure of the weight of points corresponding to the contents specified in Point a of this Clause must be appropriate to each specific project but must ensure that the total weight of points equals 100%.
3. Financial and commercial evaluation standards and methods include:
a) Financial and commercial evaluation standards
- Standards on the total actual cost of implementing the project (M1)
- Standards on the value of compensation, support, and resettlement (M2)
- Standards on investment efficiency (M3)
Where:
+ M1 is the total actual cost of implementing the project (excluding compensation, support, resettlement costs, land use fees, and land rental fees) proposed by the investor in the tender document based on the content m1 determined in the tender invitation document.
+ M2 is the value of compensation, support, and resettlement proposed by the investor in the tender document based on the content m2 determined in the tender invitation document.
If the value of compensation, support, and resettlement according to the approved compensation, support, and resettlement plan is lower than the value M2 , then the difference will be paid into the state budget; if higher than the value M2 , the investor must make up the shortfall, and the value of the shortfall will be included in the project's investment capital.
The investor will be allowed to deduct the value of compensation, support, and resettlement according to the approved plan from the land use fee and land rental fee, but not exceeding the amount of land use fee and land rental fee payable under the current laws on land. For any remaining compensation and land clearance funds according to the approved plan that have not been deducted from the land use fee and land rental fee payable (if any), they will be included in the project's investment capital.
+ M3 is the value paid into the state budget in cash proposed by the investor in the tender document outside the investor's obligations to the state budget under current laws.
b) Financial and commercial evaluation methods
- Using the social benefit and state benefit method to evaluate financial and commercial aspects. For tender documents that meet the technical requirements, comparisons and rankings will be made based on the proposed investment efficiency. Investment efficiency will be evaluated through the criterion of the investor proposing to pay the state budget in cash, outside the investor's obligations to the state budget under current laws (M3).
- An investor who proposes a total actual cost of implementing the project (M1) not lower than m1 (M1 ≥ m1), the value of compensation, support, and resettlement (M2) not lower than m2 (M2 ≥ m2), the value paid into the state budget in cash outside the investor's obligations to the state budget under current laws (M3) not lower than the floor value and highest will be ranked first and considered for awarding the bid.
Article 49. Examination and Approval of Tender Documents
The examination and approval of tender documents shall be carried out in accordance with the provisions of Article 30 of this Decree.
Section 3
SELECTION OF INVESTORS ORGANIZATION
Article 50. Conditions for Issuing Tender Documents
Tender documents may only be issued to select investors for investment projects using land when the following conditions are met:
1. Meeting the conditions stipulated in Clause 2, Article 7 of the Bidding Law;
2. Having a construction plan at a scale of 1/2,000 or 1/500 (if applicable) or a detailed urban planning scheme at a scale of 1/2,000 or 1/5,000 approved by the competent authority in accordance with the law.
Article 51. Selection of Investors
The organization of investor selection shall be carried out in accordance with the provisions of Section 3, Chapter III of this Decree. Inviting bids, issuing tender documents, and opening technical proposal documents shall be implemented as follows:
1. Inviting Bids:
The bid invitation announcement shall be published in accordance with Point d, Clause 1, Article 4 and Clause 1, Article 5 of this Decree.
2. Issuing Tender Documents:
a) Tender documents shall be widely distributed to potential investors participating in the bidding process.
b) For joint venture investors, only one member of the joint venture needs to purchase the tender documents, including cases where the joint venture has not yet been formed when purchasing the tender documents.
3. Opening Technical Proposal Documents:
Technical proposal documents shall be opened in accordance with Article 34 of this Decree, including cases where only one investor submits a bidding document.
Section 4
TECHNICAL PROPOSAL ASSESSMENT
Article 52. Evaluation of Technical Proposal Documents
1. The verification and evaluation of the validity of technical proposal documents shall be carried out in accordance with Clause 1 and Clause 2 of Article 38 of this Decree.
2. Evaluation of Capacity and Experience
The evaluation of capacity and experience shall be conducted based on the criteria for evaluating capacity and experience stated in the tender documents.
3. Investors with valid technical proposal documents that meet the requirements for capacity and experience shall be thoroughly evaluated in terms of technical aspects.
4. Detailed evaluation of technical proposal documents shall be carried out in accordance with Clause 5 of Article 38 of this Decree.
Article 53. Examination and Approval of Lists of Investors Meeting Technical Requirements
The examination and approval of lists of investors meeting technical requirements shall be carried out in accordance with Article 39 of this Decree.
Section 5
OPENING AND EVALUATION OF FINANCIAL AND COMMERCIAL PROPOSAL DOCUMENTS
Article 54. Opening Financial and Commercial Proposal Documents
1. The opening of financial and commercial proposal documents shall be carried out in accordance with Article 40 of this Decree.
2. Specifically, the information that must be clearly read during the opening of financial and commercial proposal documents includes:
a) Name of the investor; number of original copies and photocopies of the financial and commercial proposal documents;
b) Bid submission within the financial and commercial proposal; validity period of the financial and commercial proposal documents;
c) Total project implementation costs proposed by the investor (M)1);
d) Compensation, support, and resettlement values proposed by the investor (M)2);
đ) Proposed value of state budget contributions in addition to the investor's obligations to the state budget under current laws (M)3);
e) Proposed increase in state budget contributions in addition to the investor's obligations to the state budget under current laws, if any.
g) Technical scores of bidding documents evaluated as meeting technical requirements;
h) Other related information.
Article 55. Evaluation of Financial-Commercial Proposal Documents
The evaluation of financial-commercial proposal documents shall be carried out in accordance with the provisions of Article 41 of this Decree. Specifically, the evaluation of the validity of the bidding proposal within the financial-commercial proposal documents shall be based on the following contents:
1. The bidding proposal must be signed by the legal representative of the investor and stamped (if required) as per the tender invitation document.
2. The values listed in the bidding proposal must be specific, fixed in numerical and written form, and must be consistent and logical, without proposing different values for the same content or including conditions that are disadvantageous to the competent state authority or the tenderer, including:
a) The total actual cost of implementing the project proposed by the investor (M)1);
b) The value of compensation, support, and resettlement proposed by the investor (M)2);
c) The proposed value of the amount to be deposited into the State budget in cash, in addition to the investor's obligations to the State budget under current laws (M)3);
d) The proposed increase in the value of the amount to be deposited into the State budget in cash (in addition to the investor's obligations to the State budget under current laws), if applicable.
3. For joint venture investors, the bidding proposal must be signed by the legal representative of each joint venture member and stamped (if required) or signed by the leading member of the joint venture representing the joint venture according to the responsibility division in the joint venture agreement.
Article 56. Principles for Awarding the Bid
An investor may be selected when they meet all of the following conditions:
1. Having valid bid documents;
2. Possess the capacity and experience required;
3. Provide technical proposals that meet the requirements;
4. Having a bid-winning proposal value including components meeting the following requirements:
a) Proposing the total actual cost of implementing the project (M)1) not lower than m1 approved in the tender invitation document;
b) Proposing the value of compensation, support, and resettlement (M)2) not lower than m2 approved in the tender invitation document;
c) Proposing the value of the amount to be deposited into the State budget in cash, in addition to the investor's obligations to the State budget under current laws (M)3not lower than the floor price and highest.
Chapter 6
SUBMISSION, REVIEW, APPROVAL AND PUBLIC DISCLOSURE
SELECTION RESULTS; NEGOTIATION, COMPLETION AND SIGNING OF CONTRACTS
AND SIGN THE CONTRACT
Article 57. Submission, Review, Approval and Publicizing of the Selection Results
1. The submission, review, and approval of the selection results shall be carried out in accordance with the provisions of Clauses 1, 2, and 3 of Article 43 of this Decree.
2. In cases where a winning bidder is selected, the approval document for the selection results shall include the following contents:
a) Project name; project objectives, scale;
b) Name of the successful bidder;
c) Expected project implementation schedule;
d) Project implementation location, area, purpose, land use period;
đ) Expected total cost of implementing the project (excluding compensation, support, resettlement costs, land use fees, and land rental fees);
e) Expected land use fees and land rental fees that the investor must pay;
g) Other contents (if any).
3. In cases where the tender is canceled as stipulated in Clause 1 of Article 17 of the Bidding Law, the reasons for canceling the tender and the responsibilities of the parties involved in the cancellation must be clearly stated in the approval document for the selection results or the decision to cancel the tender.
4. After receiving the approval document for the selection results, the tenderer must publish information about the selection results in accordance with Point d of Clause 1 of Article 4 and Clause 2 of Article 5 of this Decree; send a notification of the selection results to participating investors within the time limit specified in Clause 8 of Article 6 of this Decree. The content of the notification of the selection results includes:
a) Information as prescribed in Clause 2 of this Article;
b) List of non-selected investors and summaries of the reasons for their non-selection;
c) Plan for negotiation, completion, and signing of contracts with the selected investor.
5. After receiving the decision to approve the selection results, the investor decides to establish a project company to implement the project or directly implement the project. The organization, operation, and dissolution of the project company shall be carried out in accordance with the laws on enterprises, investment laws, and the project contract.
Article 58. Negotiation and completion of the contract
1. Based on the results of selecting investors, the first-ranked investor shall be invited to negotiate and complete the contract. In case the invited investor does not attend or refuses to negotiate and complete the contract, the investor will not be entitled to reclaim the bidding guarantee.
2. The negotiation and completion of the contract must be based on the following grounds:
a) Report on evaluating the bidding documents;
b) Bidding documents and additional clarifications or amendments to the bidding documents (if any) of the investor;
c) Invitation to bid.
3. Principles for negotiating and completing the contract:
a) Negotiations and completion of the contract shall not be conducted for contents that the investor has bid in accordance with the requirements of the invitation to bid;
b) Negotiations and completion of the contract shall not alter the basic contents of the bidding documents.
4. Contents of negotiations and completion of the contract:
a) Negotiate and complete details that are insufficiently detailed, unclear, or unsuitable, inconsistencies between the invitation to bid and the bidding documents, or among different parts of the bidding documents which may lead to disputes or affect the responsibilities of the parties during the implementation of the contract;
b) Negotiate issues arising during the selection process of the investor (if any) with the aim of perfecting the detailed contents of the project;
c) Negotiate on the progress of transferring the construction site; the progress of the investor transferring the value of compensation, support, resettlement, and the value paid to the state budget in cash according to the provisions of competent state management agencies.
d) The basis for determining land use fees and land rental fees in accordance with laws on land; the valuation method that will be used to determine land use fees and land rental fees at the time of land transfer and lease as stipulated by laws on land; input parameters or methods for determining input parameters corresponding to the valuation method.
đ) Negotiate other necessary contents.
5. During the negotiation and completion of the contract, the parties involved shall finalize the basis for signing the project contract, draft contract, and any changes to special terms of the contract (if any).
6. In case negotiations and completion of the contract fail, the inviting party shall report to the authorized decision-maker to consider and decide to cancel the selection result and invite the next-ranked investor to negotiate and complete the contract. If negotiations and completion with subsequent investors also fail, the inviting party shall report to the authorized decision-maker to consider and decide to cancel the tender according to Clause 1, Article 17 of the Bidding Law.
Article 59. Signing the contract and publicizing project contract information
1. Principles for signing the contract
a) The bid-winning price is the contract value, serving as the basis for implementing and supervising the contract.
b) Land use fees and land rental fees payable shall be determined according to the provisions of laws on land plus the amount paid to the state budget proposed by the winning bidder recognized as the market price at the time of land transfer and lease in the contract.
2. The signing of the contract shall be carried out in accordance with Articles 69, 70, 71, and 72 of the Bidding Law.
3. Within seven working days from the date of signing the project contract, the tenderer shall be responsible for publicly disclosing project contract information on the National E-Bidding System. The preliminary disclosure content includes:
a) Project name; contract number; contract signing date;
b) Name and address of the competent state agency;
c) Name and address of the investor;
d) Project objectives and scale;
đ) Expected project implementation schedule;
e) Project implementation location, area, and land usage period;
g) Estimated total project implementation costs (excluding compensation, support, resettlement costs, land use fees, and land rental fees);
h) Estimated land use fees and land rental fees; the valuation method to be used to determine land use fees and land rental fees at the time of land transfer and lease as stipulated by laws on land; input parameters or methods for determining input parameters corresponding to the valuation method;
i) Other contents (if any).
Article 60. Implementation of investment projects using land
1. After signing the contract, the tenderer and the investor shall cooperate with specialized agencies to submit to the competent authority decisions on land recovery, approval of compensation, support, and resettlement plans in accordance with laws on land. The investor shall pay the value of compensation, support, and resettlement (M2) and the value paid to the state budget in cash (M3) proposed in the bidding documents based on the agreed progress in the contract. Interest on loans shall not be calculated for compensation, support, and resettlement expenses.
2. Procedures and formalities for land transfer and lease; determination of land use fees and land rental fees for the winning bidder:
a) After completing compensation, support, and resettlement in the project implementation area, the procedures and formalities for land transfer and lease for the investor shall be applied according to the procedures and formalities for land transfer and lease prescribed in Clause 3, Article 68 of Decree No. 43/2014/NĐ-CP dated May 15, 2014 of the Government detailing certain articles and clauses of the Land Law No. 45/2013/QH13 and subsequent amendments and supplements (if any).
b) The provincial land management agency shall organize the determination of land use fees and land rental fees, report to the Land Valuation Review Board for examination before submitting to the Provincial People's Committee for approval of the land use fees and land rental fees that the investor must pay at the time the State decides to transfer and lease land according to laws on land.
3. The winning bidder shall implement investment projects using land in accordance with the contract, laws on investment, construction, land, planning, housing, real estate business, and other relevant laws.
Chapter V
DIRECT BIDDING
AND SELECTION OF INVESTORS IN SPECIAL CASES
Section 1
DIRECT SELECTION OF INVESTOR
IMPLEMENTATION OF INVESTMENT PROJECTS UNDER THE PPP FORM
Article 61. Preparation for selecting investors
1. Establishing the Request File
a) Basis for establishing the request file:
The establishment of the request file must be based on the provisions of Clause 1, Article 28 of this Decree.
b) Contents of the request file include:
- General information about the project; guidance for investors;
- Requirements for the project based on the feasibility study report approved (or the preliminary feasibility study report for high-tech projects);
- Requirements for implementing the project to meet the goal of protecting national sovereignty, border, and islands for projects applying the tender designation form as prescribed in Point c, Clause 3, Article 9 of this Decree;
- Evaluation criteria for proposal files including criteria for evaluating capacity, experience, technology, financial-commercial aspects, and methods for assessing these contents;
- Tender forms; contract conditions and draft contracts.
- Criteria and methods for evaluating proposal files as prescribed in Article 29 of this Decree but without comparing and ranking investors meeting financial-commercial requirements; for BT projects, there is no provision for determining evaluation prices.
2. Reviewing, approving the request file and identifying the investor proposed for tender designation:
a) The request file must be reviewed according to the provisions of Clause 2, Article 75 of this Decree before approval;
b) Approval of the request file must be in writing, based on the application for approval and the review report of the request file;
c) In cases where the tender designation form is applied as prescribed in Point a, Clause 4, Article 22 of the Bidding Law and Point a, Clause 3, Article 9 of this Decree, the investor must have legitimate status as prescribed in Points a, b, c, d, đ, e, and g, Clause 1, Article 5 of the Bidding Law and sufficient capacity and experience to implement the project;
d) In cases where the tender designation form is applied as prescribed in Points b, c, Clause 4, Article 22 of the Bidding Law and Points b, c, Clause 3, Article 9 of this Decree, the investor must have legitimate status as prescribed in Points a, b, c, d, e, and g, Clause 1, Article 5 of the Bidding Law and sufficient capacity and experience to implement the project.
Article 62. Organizing the selection of investors
1. The request file is issued to the identified investors.
2. Investors prepare and submit proposal files according to the requirements of the request file.
Article 63. Evaluating proposal files
The evaluation of proposal files must be carried out according to the criteria and methods specified in the request file. During the evaluation process, the tenderer may invite investors to clarify or amend and supplement necessary information in the proposal files.
Article 64. Principles for reviewing and awarding bids
The investor proposed for selection must meet the following conditions:
1. Having a valid proposal file;
2. Possess the capacity and experience required;
3. Provide technical proposals that meet the requirements;
4. The bid proposal value shall be determined according to one of the following methods:
a) Proposing a service price not exceeding the service price determined in the approved feasibility study report (or the preliminary feasibility study report for high-tech projects), in accordance with legal regulations on prices, fees, and charges when applying the service price method;
b) Proposing a state capital contribution amount not exceeding the state capital contribution value determined in the approved feasibility study report (or the preliminary feasibility study report for high-tech projects) when applying the state capital contribution method;
c) Proposing to pay the state budget in cash or within the contract duration not longer than the duration determined in the approved feasibility study report (or the preliminary feasibility study report for high-tech projects) when applying the social benefit or state interest method;
d) The bid price after correcting errors and adjusting discrepancies, minus any discount value (if applicable), does not exceed the BT project value determined in the approved request file for projects applying the BT contract form.
5. For projects applying the tender designation form as prescribed in Point c, Clause 3, Article 9 of this Decree, in addition to the conditions stipulated in Clauses 1, 2, 3, and 4 of this Article, the implementation plan proposed by the investor must meet the goal of protecting national sovereignty, border, and islands.
Article 65. Submission, Review, Approval, and Public Announcement of Direct Award Results Bidding Regulations
The submission, review, approval, and public announcement of direct award results shall be carried out in accordance with Article 43 of this Decree.
Article 66. Negotiation, Completion, Signing of Contracts, and Public Announcement of Project Contract Information
1. The negotiation and completion of contracts shall be conducted in accordance with Article 44 of this Decree.
2. The signing of contracts and the public announcement of project contract information shall be carried out in accordance with Article 45 of this Decree.
Section 2
DIRECT INVESTOR DESIGNATION FOR IMPLEMENTATION OF INVESTMENT PROJECTS INVOLVING LAND USE
Article 67. Preparation for Investor Selection
1. Preparing Request Documents:
a) Basis for establishing the request file:
- A list of land recovery projects approved in accordance with laws on land; urban development programs (if applicable) in accordance with laws on urban development;
- Economic and social development plans, industry and sector development plans, construction master plans at a scale of 1/2,000 or 1/500 (if applicable), or urban district planning at a scale of 1/2,000 or 1/5,000 as prescribed by law;
- Approved investor selection plans;
- Current provisions of laws on land, housing, real estate business, investment, construction, and related laws.
b) The contents of request documents shall comply with Clause 2 of Article 47 of this Decree. Evaluation criteria and methods for proposal documents shall be stipulated in Article 48 of this Decree but there is no need to compare or rank investors meeting financial-commercial requirements.
2. Reviewing, approving the request file and identifying the investor proposed for tender designation:
a) The request file must be reviewed according to the provisions of Clause 2, Article 75 of this Decree before approval;
b) Approval of the request file must be in writing, based on the application for approval and the review report of the request file;
c) In cases where direct award procedures are applied as prescribed in Point b of Clause 4 of Article 22 of the Bidding Law and Clause 3 of Article 10 of this Decree, the investor who is eligible to receive request documents must have legitimate qualifications as stipulated in Points a, b, c, d, e, and g of Clause 1 of Article 5 of the Bidding Law and possess sufficient capacity and experience to implement the project.
Article 68. Organization of Investor Selection
1. The request file is issued to the identified investors.
2. Investors prepare and submit proposal files according to the requirements of the request file.
Article 69. Evaluation of Proposal Documents
The evaluation of proposal documents must be conducted according to the evaluation criteria specified in the request documents. During the evaluation process, the tenderer may invite investors to clarify or amend and supplement necessary information in their proposal documents.
Article 70. Principles for Award Approval
An investor may be selected when they meet all of the following conditions:
1. Having a valid proposal file;
2. Possess the capacity and experience required;
3. Provide technical proposals that meet the requirements;
4. The bid price proposal must include components that meet the following requirements:
a) Proposing the total actual cost of implementing the project (M)1) not lower than m1 approved in the request documents;
b) Proposing the value of compensation, support, and resettlement (M)2) not lower than m2 approved in the request documents;
c) Proposing the value of the amount to be deposited into the State budget in cash, in addition to the investor's obligations to the State budget under current laws (M)3not lower than the floor price approved in the request documents.
Article 71. Submission, Review, Approval, and Public Announcement of Direct Award Results
The submission, review, approval, and public announcement of direct award results shall be carried out in accordance with Article 57 of this Decree.
Article 72. Negotiation, completion, signing of contracts and publicizing project contract information
1. The negotiation and completion of contracts shall be carried out in accordance with the provisions of Clauses 1, 2, 3, 4, and 5 of Article 58 of this Decree.
2. The signing of contracts and the publicizing of project contract information shall be carried out in accordance with the provisions of Article 59 of this Decree.
3. The successful bidder shall implement the project in accordance with the provisions of Article 60 of this Decree.
Section 3
SELECTION OF INVESTORS IN SPECIAL CASES
Article 73. Procedure for examining and approving the investor selection plan in special cases
1. The authorized person shall prepare the proposal to apply the investor selection plan in special cases, submit it to the Prime Minister, and simultaneously send it to the Ministry of Planning and Investment for examination.
2. Within a maximum period of thirty days from the date of receipt of all documents, the Ministry of Planning and Investment shall organize the examination of the investor selection plan in special cases, report to the Prime Minister for consideration and approval.
3. Based on the proposal of the authorized person and the examination report of the Ministry of Planning and Investment, the Prime Minister shall consider and approve the investor selection plan in special cases.
Article 74. Proposal for applying the selection of investors in special cases1. The document proposing the application of the selection of investors in special cases, including the following contents:
a) Basic information about the project;
b) Special and unique reasons of the project that cannot apply the investor selection methods prescribed in Articles 20 and 22 of the Bidding Law and Articles 9 and 10 of this Decree;
c) The investor selection plan in special cases (including steps to select investors; specific solutions to address the special and unique nature of the proposed project to ensure the investment efficiency of the project).

Article 75. Examination of tender invitation documents, bidding invitation documents, and request documents
1. Examination of tender invitation documents:
a) Documents submitted for examination and approval include:
- The proposal of the tender inviter requesting approval of the tender invitation document;
- Draft tender invitation document;
- Copies of legal documents serving as the basis for the tender;
- Other related documents.
b) The content of the examination includes:
- Checking the legal documents serving as the basis for preparing the tender invitation document;
- Verifying the suitability of the tender invitation document with the scale, objectives, scope of work, and implementation time of the project; its compliance with the bidding laws and other relevant laws;
- Considering different opinions (if any) between organizations and individuals involved in preparing the tender invitation document;
- Other related contents.
c) The examination report includes:
- An overview of the project content and the legal basis for preparing the tender invitation document;
- Observations and opinions of the examination unit regarding the legal basis, compliance with bidding laws and other relevant laws; unified or non-unified opinions on the draft tender invitation document;
- Recommendations and suggestions of the examination unit on the approval of the tender invitation document; measures to handle cases where the tender invitation document does not comply with bidding laws and other relevant laws; solutions for cases where there is insufficient basis for approving the tender invitation document;
- Other opinions (if any).
d) Before signing the examination report, the examination unit needs to organize a meeting among the parties to resolve remaining issues if deemed necessary.

2. Thẩm định hồ sơ mời thầu, hồ sơ yêu cầu:
a) Hồ sơ trình thẩm định, phê duyệt bao gồm:
- Tờ trình đề nghị phê duyệt hồ sơ mời thầu, hồ sơ yêu cầu của bên mời thầu;
- Dự thảo hồ sơ mời thầu, hồ sơ yêu cầu;
- Bản chụp các tài liệu: Quyết định phê duyệt kế hoạch lựa chọn nhà đầu tư; văn bản phê duyệt kết quả sơ tuyển (nếu có);
- Tài liệu khác có liên quan.
b) Nội dung thẩm định bao gồm:
- Kiểm tra các tài liệu là căn cứ để lập hồ sơ mời thầu, hồ sơ yêu cầu;
- Kiểm tra sự phù hợp của hồ sơ mời thầu, hồ sơ yêu cầu so với quy mô, mục tiêu, phạm vi công việc, thời gian thực hiện dự án; sự phù hợp so với quy định của pháp luật về đấu thầu và pháp luật khác có liên quan;
- Xem xét về những ý kiến khác nhau (nếu có) giữa tổ chức, cá nhân tham gia lập hồ sơ mời thầu, hồ sơ yêu cầu;
- Các nội dung liên quan khác.
c) Báo cáo thẩm định bao gồm:
- Khái quát nội dung của dự án, cơ sở pháp lý để lập hồ sơ mời thầu, hồ sơ yêu cầu;
- Nhận xét và ý kiến của đơn vị thẩm định về cơ sở pháp lý, việc tuân thủ quy định của pháp luật về đấu thầu và pháp luật khác có liên quan; ý kiến thống nhất hoặc không thống nhất về nội dung dự thảo hồ sơ mời thầu, hồ sơ yêu cầu;
- Đề xuất và kiến nghị của đơn vị thẩm định về việc phê duyệt hồ sơ mời thầu, hồ sơ yêu cầu; về biện pháp xử lý đối với trường hợp phát hiện hồ sơ mời thầu, hồ sơ yêu cầu không tuân thủ quy định của pháp luật về đấu thầu và pháp luật khác có liên quan; về biện pháp giải quyết đối với những trường hợp chưa đủ cơ sở phê duyệt hồ sơ mời thầu, hồ sơ yêu cầu;
- Các ý kiến khác (nếu có).
d) Trước khi ký báo cáo thẩm định, đơn vị thẩm định cần tổ chức họp giữa các bên để giải quyết các vấn đề còn tồn tại nếu thấy cần thiết.
Điều 76. Thẩm định kết quả sơ tuyển, danh sách nhà đầu tư đáp ứng yêu cầu về kỹ thuật, kết quả lựa chọn nhà đầu tư
1. Nguyên tắc chung:
a) Kết quả sơ tuyển, danh sách nhà đầu tư đáp ứng yêu cầu về kỹ thuật, kết quả lựa chọn nhà đầu tư phải được thẩm định trước khi phê duyệt;
b) Đối với dự án áp dụng phương thức một giai đoạn một túi hồ sơ chỉ tiến hành thẩm định kết quả lựa chọn nhà đầu tư;
c) Đối với dự án áp dụng phương thức một giai đoạn hai túi hồ sơ phải tiến hành thẩm định danh sách nhà đầu tư đáp ứng yêu cầu về kỹ thuật trước khi phê duyệt danh sách nhà đầu tư đáp ứng yêu cầu về kỹ thuật;
d) Không tiến hành thẩm định danh sách xếp hạng nhà đầu tư trước khi phê duyệt, danh sách xếp hạng nhà đầu tư được phê duyệt trên cơ sở đề nghị của bên mời thầu;
đ) Trước khi ký báo cáo thẩm định, đơn vị thẩm định có thể tổ chức họp giữa các bên để giải quyết các vấn đề còn tồn tại nếu thấy cần thiết.
2. Thẩm định kết quả sơ tuyển:
a) Hồ sơ thẩm định bao gồm:
- Báo cáo kết quả đánh giá hồ sơ dự sơ tuyển;
- Tờ trình của bên mời thầu về kết quả đánh giá hồ sơ dự sơ tuyển, trong đó phải nêu rõ ý kiến của bên mời thầu đối với các ý kiến, đề xuất, kiến nghị của tổ chuyên gia;
- Bản chụp các hồ sơ, tài liệu: Hồ sơ mời sơ tuyển, biên bản đóng thầu, mở thầu, hồ sơ dự sơ tuyển của các nhà đầu tư và các tài liệu liên quan cần thiết khác.
b) Nội dung thẩm định bao gồm:
- Kiểm tra các tài liệu là căn cứ của việc sơ tuyển;
- Kiểm tra việc tuân thủ quy định về thời gian trong quá trình sơ tuyển;
- Kiểm tra việc tuân thủ quy định của hồ sơ mời sơ tuyển và quy định của pháp luật về đấu thầu trong quá trình sơ tuyển.
c) Báo cáo thẩm định bao gồm:
- Khái quát về dự án, cơ sở pháp lý đối với việc tổ chức lựa chọn nhà đầu tư;
- Tóm tắt quá trình tổ chức thực hiện và đề nghị của cơ quan trình duyệt về kết quả sơ tuyển;
- Nhận xét về việc tuân thủ quy định pháp luật về đấu thầu và pháp luật khác có liên quan trong quá trình sơ tuyển;
- Ý kiến thống nhất hoặc không thống nhất về kết quả sơ tuyển; đề xuất biện pháp xử lý đối với trường hợp phát hiện sự không tuân thủ quy định của pháp luật về đấu thầu trong quá trình sơ tuyển hoặc biện pháp giải quyết đối với những trường hợp chưa đủ cơ sở kết luận về kết quả sơ tuyển;
- Ý kiến của đơn vị thẩm định về sự bảo đảm cạnh tranh, công bằng, minh bạch trong quá trình sơ tuyển;
- Đề xuất, kiến nghị của đơn vị thẩm định;
- Các ý kiến khác.
3. Thẩm định danh sách nhà đầu tư đáp ứng yêu cầu về kỹ thuật:
a) Hồ sơ thẩm định bao gồm:
- Tờ trình của bên mời thầu về kết quả đánh giá hồ sơ đề xuất về kỹ thuật;
- Báo cáo kết quả đánh giá hồ sơ đề xuất về kỹ thuật;
- Bản chụp các hồ sơ, tài liệu: Hồ sơ mời thầu, biên bản đóng thầu, mở thầu, hồ sơ đề xuất về kỹ thuật của các nhà đầu tư và các tài liệu liên quan cần thiết khác.
b) Nội dung thẩm định bao gồm:
- Kiểm tra việc đánh giá hồ sơ đề xuất về kỹ thuật; việc tuân thủ quy định của pháp luật về đấu thầu và pháp luật có liên quan trong quá trình đánh giá hồ sơ đề xuất về kỹ thuật;
- Các nội dung liên quan khác.
c) Báo cáo thẩm định bao gồm:
- Tóm tắt quá trình tổ chức lựa chọn nhà đầu tư từ khi lựa chọn danh sách ngắn (nếu có) đến khi trình danh sách nhà đầu tư đáp ứng yêu cầu về kỹ thuật;
- Nhận xét về việc tuân thủ quy định của pháp luật về đấu thầu và pháp luật khác có liên quan trong quá trình lựa chọn nhà đầu tư;
- Ý kiến của đơn vị thẩm định về sự bảo đảm cạnh tranh, công bằng, minh bạch và hiệu quả kinh tế trong quá trình lựa chọn nhà đầu tư;
- Đề xuất, kiến nghị với bên mời thầu, tổ chuyên gia;
- Ý kiến thống nhất hoặc không thống nhất về kết quả đánh giá hồ sơ đề xuất về kỹ thuật; đề xuất biện pháp xử lý đối với trường hợp phát hiện sự không tuân thủ quy định của pháp luật về đấu thầu trong quá trình lựa chọn nhà đầu tư hoặc biện pháp giải quyết đối với những trường hợp chưa đủ cơ sở kết luận về kết quả đánh giá hồ sơ đề xuất về kỹ thuật;
- Các ý kiến khác.
4. Thẩm định kết quả lựa chọn nhà đầu tư:
a) Hồ sơ trình thẩm định bao gồm:
- Tờ trình của bên mời thầu về kết quả lựa chọn nhà đầu tư;
- Báo cáo kết quả đánh giá hồ sơ dự thầu, hồ sơ đề xuất;
- Bản chụp các hồ sơ, tài liệu: Hồ sơ mời thầu, hồ sơ yêu cầu, biên bản đóng thầu, mở thầu, hồ sơ dự thầu, hồ sơ đề xuất của các nhà đầu tư và các tài liệu liên quan cần thiết khác.
b) Nội dung thẩm định bao gồm:
- Kiểm tra sự phù hợp và tuân thủ quy định của hồ sơ mời thầu, hồ sơ yêu cầu; tuân thủ quy định của pháp luật về đấu thầu và pháp luật khác có liên quan;
- Kiểm tra việc tuân thủ quy định về thời gian trong quá trình đàm phán, hoàn thiện hợp đồng;
- Kiểm tra việc tuân thủ quy định của pháp luật về trình kết quả lựa chọn nhà đầu tư.
c) Báo cáo thẩm định bao gồm các nội dung sau đây:
- Khái quát về dự án, cơ sở pháp lý đối với việc tổ chức lựa chọn nhà đầu tư;
- Tổng kết toàn bộ quá trình lựa chọn nhà đầu tư từ khi lựa chọn danh sách ngắn (nếu có) đến khi trình kết quả lựa chọn nhà đầu tư;
- Nhận xét về việc tuân thủ quy định pháp luật về đấu thầu và pháp luật khác có liên quan trong quá trình lựa chọn nhà đầu tư;
- Ý kiến của đơn vị thẩm định về sự bảo đảm cạnh tranh, công bằng, minh bạch và hiệu quả kinh tế trong quá trình lựa chọn nhà đầu tư;
- Đề xuất, kiến nghị với bên mời thầu, tổ chuyên gia;
- Ý kiến thống nhất hoặc không thống nhất về kết quả lựa chọn nhà đầu tư; đề xuất biện pháp xử lý đối với trường hợp phát hiện sự không tuân thủ quy định của pháp luật về đấu thầu trong quá trình lựa chọn nhà đầu tư hoặc biện pháp giải quyết đối với những trường hợp chưa đủ cơ sở kết luận về kết quả lựa chọn nhà đầu tư;
- Các ý kiến khác.
Điều 77. Trách nhiệm của Bộ trưởng, Thủ trưởng cơ quan ngang Bộ, cơ quan thuộc Chính phủ; Chủ tịch Ủy ban nhân dân cấp tỉnh
1. Đối với dự án PPP thuộc phạm vi quản lý của mình, Bộ trưởng, Thủ trưởng cơ quan ngang Bộ, cơ quan thuộc Chính phủ; Chủ tịch Ủy ban nhân dân cấp tỉnh chịu trách nhiệm:
a) Phê duyệt kế hoạch lựa chọn nhà đầu tư, kết quả lựa chọn nhà đầu tư;
b) Phê duyệt hồ sơ mời sơ tuyển, kết quả sơ tuyển, hồ sơ mời thầu, hồ sơ yêu cầu, danh sách nhà đầu tư đáp ứng yêu cầu về kỹ thuật, danh sách xếp hạng nhà đầu tư hoặc uỷ quyền cho người đứng đầu tổ chức thuộc Bộ, cơ quang ngang Bộ, cơ quan thuộc Chính phủ hoặc cơ quan chuyên môn thuộc Ủy ban nhân dân cấp tỉnh, Ủy ban nhân dân cấp huyện phê duyệt;
c) Thực hiện công việc khác thuộc trách nhiệm của người có thẩm quyền quy định tại Điều 73 của Luật Đấu thầu.
2. Đối với dự án đầu tư có sử dụng đất, Chủ tịch Ủy ban nhân dân cấp tỉnh chịu trách nhiệm:
a) Phê duyệt danh mục dự án đầu tư có sử dụng đất;
b) Phê duyệt kế hoạch lựa chọn nhà đầu tư, kết quả lựa chọn nhà đầu tư;
c) Phê duyệt hồ sơ mời sơ tuyển, kết quả sơ tuyển, hồ sơ mời thầu, hồ sơ yêu cầu, danh sách nhà đầu tư đáp ứng yêu cầu về kỹ thuật, danh sách xếp hạng nhà đầu tư hoặc uỷ quyền cho người đứng đầu cơ quan chuyên môn thuộc Ủy ban nhân dân cấp tỉnh, Chủ tịch Ủy ban nhân dân cấp huyện phê duyệt;
d) Thực hiện công việc khác thuộc trách nhiệm của người có thẩm quyền quy định tại Điều 73 của Luật Đấu thầu.
Điều 78. Trách nhiệm của người đứng đầu tổ chức thuộc Bộ, cơ quan ngang Bộ, cơ quan thuộc Chính phủ; cơ quan chuyên môn thuộc Ủy ban nhân dân cấp tỉnh hoặc Chủ tịch Ủy ban nhân dân cấp huyện
1. Thực hiện công việc thuộc trách nhiệm của bên mời thầu theo quy định tại Điều 75 của Luật Đấu thầu.
2. Thực hiện các công việc khác về lựa chọn nhà đầu tư theo ủy quyền của cấp trên.
Điều 79. Trách nhiệm của đơn vị thẩm định
1. Bộ Kế hoạch và Đầu tư chịu trách nhiệm tổ chức thẩm định phương án lựa chọn nhà đầu tư trong trường hợp đặc biệt do Thủ tướng Chính phủ xem xét, chấp thuận theo quy định tại Điều 26 của Luật Đấu thầu và các trường hợp khác do Thủ tướng Chính phủ yêu cầu.
2. Bộ trưởng, Thủ trưởng cơ quan ngang Bộ, cơ quan thuộc Chính phủ giao đơn vị, tổ chức trực thuộc chịu trách nhiệm thẩm định các nội dung sau đây:
a) Kế hoạch lựa chọn nhà đầu tư và kết quả lựa chọn nhà đầu tư đối với dự án do Bộ trưởng, Thủ trưởng cơ quan ngang Bộ, cơ quan thuộc Chính phủ là người có thẩm quyền;
b) Hồ sơ mời sơ tuyển, kết quả sơ tuyển, hồ sơ mời thầu, hồ sơ yêu cầu, danh sách nhà đầu tư đáp ứng yêu cầu về kỹ thuật trường hợp các nội dung này được Bộ trưởng, Thủ trưởng cơ quan ngang Bộ, cơ quan thuộc Chính phủ phê duyệt.
3. Sở Kế hoạch và Đầu tư chịu trách nhiệm tổ chức thẩm định các nội dung sau đây:
a) Kế hoạch lựa chọn nhà đầu tư và kết quả lựa chọn nhà đầu tư đối với các dự án do Chủ tịch Ủy ban nhân dân cấp tỉnh là người có thẩm quyền;
b) Hồ sơ mời sơ tuyển, kết quả sơ tuyển, hồ sơ mời thầu, hồ sơ yêu cầu, danh sách nhà đầu tư đáp ứng yêu cầu về kỹ thuật trường hợp các nội dung này được Chủ tịch Ủy ban nhân dân cấp tỉnh phê duyệt.
4. Trường hợp thực hiện ủy quyền theo quy định tại Điểm b Khoản 1 và Điểm c Khoản 2 Điều 77 Nghị định này, đơn vị được tổ chức thuộc Bộ, cơ quan ngang Bộ, cơ quan thuộc Chính phủ giao nhiệm vụ hoặc bộ phận có chức năng về kế hoạch, tài chính của cơ quan chuyên môn thuộc Ủy ban nhân dân cấp tỉnh, Ủy ban nhân dân cấp huyện chịu trách nhiệm thẩm định nội dung hồ sơ mời sơ tuyển, hồ sơ mời thầu, hồ sơ yêu cầu, kết quả sơ tuyển, danh sách nhà đầu tư đáp ứng yêu cầu về kỹ thuật.
Chương VII
XỬ LÝ TÌNH HUỐNG VÀ GIẢI QUYẾT KIẾN NGHỊ
TRONG LỰA CHỌN NHÀ ĐẦU TƯ
Điều 80. Xử lý tình huống trong lựa chọn nhà đầu tư
1. Trường hợp phải điều chỉnh, sửa đổi nội dung trong kế hoạch lựa chọn nhà đầu tư thì phải tiến hành thủ tục điều chỉnh kế hoạch lựa chọn nhà đầu tư theo các quy định của pháp luật trước điểm mở hồ sơ đề xuất kỹ thuật (đối với đấu thầu rộng rãi), hồ sơ đề xuất (đối với chỉ định thầu).
2. Đối với dự án PPP quan trọng quốc gia, nhóm A, trong trường hợp cấp bách ảnh hưởng tới hiệu quả đầu tư, người có thẩm quyền quyết định việc lựa chọn nhà đầu tư theo hình thức đấu thầu rộng rãi quốc tế mà không áp dụng sơ tuyển song phải đảm bảo nguyên tắc cạnh tranh, công bằng, minh bạch và hiệu quả kinh tế. Trong trường hợp này, hồ sơ mời thầu phải bao gồm cả các yêu cầu về năng lực, kinh nghiệm của nhà đầu tư.
3. Đối với dự án PPP nhóm B, nhóm C, căn cứ tính chất dự án, người có thẩm quyền có thể xem xét, quyết định áp dụng sơ tuyển trong nước trước khi lập kế hoạch lựa chọn nhà đầu tư song phải đảm bảo nguyên tắc cạnh tranh, công bằng, minh bạch và hiệu quả kinh tế.
4. Trường hợp tại thời điểm đóng thầu, không có nhà đầu tư nào nộp hồ sơ dự sơ tuyển, hồ sơ dự thầu thì bên mời thầu phải báo cáo người có thẩm quyền xem xét, giải quyết theo một trong hai cách sau đây:
a) Cho phép gia hạn thời điểm đóng thầu tối đa 30 ngày;
b) Quyết định huỷ thầu đồng thời yêu cầu bên mời thầu điều chỉnh hồ sơ mời sơ tuyển, hồ sơ mời thầu và tổ chức lại việc lựa chọn nhà đầu tư hoặc xem xét chuyển đổi hình thức đầu tư do dự án không hấp dẫn nhà đầu tư.
5. Trường hợp hết thời hạn đăng ký thực hiện dự án đầu tư có sử dụng đất, không có nhà đầu tư nào nộp hồ sơ đăng ký, Sở Kế hoạch và Đầu tư báo cáo Chủ tịch Ủy ban nhân dân cấp tỉnh xem xét, giải quyết theo một trong hai cách sau đây:
a) Cho phép gia hạn thời hạn đăng ký thực hiện dự án đầu tư có sử dụng đất;
b) Xác định kế hoạch công bố lại thông tin dự án.
6. Đối với dự án áp dụng hình thức chỉ định thầu, nhà đầu tư có thể đề xuất thời điểm đóng thầu và mở thầu sớm hơn quy định trong hồ sơ yêu cầu. Trong trường hợp này, bên mời thầu báo cáo người có thẩm quyền xem xét, chấp thuận.
7. Trường hợp tại thời điểm ký kết hợp đồng, nhà đầu tư trúng thầu không đáp ứng điều kiện về năng lực kỹ thuật, tài chính quy định tại Khoản 2 Điều 70 của Luật Đấu thầu thì mời nhà đầu tư xếp hạng tiếp theo vào đàm phán, hoàn thiện hợp đồng. Trong trường hợp này, nhà đầu tư được mời vào đàm phán, hoàn thiện hợp đồng phải khôi phục lại hiệu lực của hồ sơ dự thầu và bảo đảm dự thầu trong trường hợp hồ sơ dự thầu hết hiệu lực và bảo đảm dự thầu của nhà đầu tư đã được hoàn trả hoặc giải tỏa.
8. Trường hợp sau khi đánh giá hồ sơ đề xuất về tài chính – thương mại, tất cả nhà đầu tư được đánh giá tốt ngang nhau thì nhà đầu tư có điểm kỹ thuật cao nhất được xếp thứ nhất.
9. Trường hợp tất cả nhà đầu tư đáp ứng yêu cầu về kỹ thuật và nằm trong danh sách xếp hạng đều đề xuất giá dịch vụ, phần vốn góp Nhà nước cao hơn giá dịch vụ, phần vốn góp của Nhà nước xác định tại báo cáo nghiên cứu khả thi được duyệt (hoặc báo cáo nghiên cứu tiền khả thi đối với dự án PPP ứng dụng công nghệ cao) thì người có thẩm quyền xem xét, xử lý theo một trong hai cách sau đây:
a) Cho phép các nhà đầu tư này được chào lại đề xuất về tài chính – thương mại;
b) Cho phép đồng thời với việc các nhà đầu tư này chào lại đề xuất về tài chính – thương mại, người có thẩm quyền xem xét lại giá dịch vụ, phần vốn góp của Nhà nước xác định tại báo cáo nghiên cứu khả thi được duyệt (hoặc báo cáo nghiên cứu tiền khả thi đối với dự án PPP ứng dụng công nghệ cao), nếu cần thiết.
10. Căn cứ yêu cầu và điều kiện dự án cụ thể, trường hợp cần thiết, Bộ, cơ quan ngang Bộ hướng dẫn quyết định tổ chức sơ tuyển trên cơ sở quyết định chủ trương đầu tư đối với dự án PPP không thuộc trường hợp quy định tại Khoản 3 Điều 9 Nghị định số 63/2018/NĐ-CP ngày 04 tháng 5 năm 2018 của Chính phủ về đầu tư theo hình thức đối tác công tư hoặc báo cáo nghiên cứu khả thi được phê duyệt (đối với dự án PPP nhóm C) thuộc phạm vi quản lý của mình song phải đảm bảo nguyên tắc cạnh tranh, công bằng, minh bạch và hiệu quả kinh tế.
11. Trường hợp tổ chức đấu thầu trên cơ sở dự toán được duyệt, nếu nhà đầu tư đề xuất thay đổi, điều chỉnh giải pháp thiết kế, biện pháp thi công, áp dụng công nghệ mới, hiệu quả hơn thì người có thẩm quyền xem xét, chấp thuận trên cơ sở đề xuất của nhà đầu tư phù hợp với yêu cầu về chất lượng công trình, dịch vụ được cung cấp, đảm bảo tiến độ thực hiện dự án và nhà đầu tư chịu trách nhiệm về sự chênh lệch chi phí.
12. Đối với dự án đầu tư có sử dụng đất, nhà đầu tư đề xuất trong hồ sơ dự thầu giá trị nộp ngân sách nhà nước bằng tiền ngoài các nghĩa vụ của nhà đầu tư đối với ngân sách nhà nước theo quy định của pháp luật hiện hành (M3) cao nhất nhưng đề xuất tổng chi phí thực hiện dự án (M1) thấp hơn m1, bên mời thầu yêu cầu nhà đầu tư làm rõ các yếu tố cấu thành chi phí thực hiện dự án, xem xét các bằng chứng liên quan theo hướng sau đây:
a) Các yếu tố kinh tế liên quan đến sử dụng công nghệ mới, hiện đại trong biện pháp thi công, quy trình sản xuất hoặc cung cấp dịch vụ dẫn đến lợi thế về chi phí cho nhà đầu tư;
b) Giải pháp kinh tế được áp dụng hoặc các lợi thế đặc biệt của nhà đầu tư dẫn đến khả năng tiết kiệm chi phí cho nhà đầu tư.
Trường hợp thỏa mãn được các điều kiện trên thì hồ sơ dự thầu của nhà đầu tư sẽ không bị loại. Nhà đầu tư nhận được sự trợ cấp của bất kỳ tổ chức, cá nhân nào dẫn đến sự cạnh tranh không bình đẳng thì hồ sơ dự thầu của nhà đầu tư sẽ bị loại.
13. Trường hợp nhà đầu tư cần thay đổi tư cách tham gia đấu thầu so với tên trong danh sách ngắn (đối với dự án phải áp dụng sơ tuyển) thì phải thông báo bằng văn bản tới bên mời thầu tối thiểu 07 ngày làm việc trước ngày có thời điểm đóng thầu. Bên mời thầu báo cáo người có thẩm quyền xem xét, quyết định sự thay đổi tư cách của nhà đầu tư, cụ thể như sau:
a) Cho phép bổ sung thành viên của liên danh với nhà đầu tư ngoài danh sách ngắn;
b) Trường hợp sau khi sơ tuyển có từ 03 (ba) nhà đầu tư trở lên trong danh sách ngắn, chấp nhận nhà đầu tư trong danh sách ngắn liên danh với nhau với điều kiện còn tối thiểu 03 (ba) nhà đầu tư tham dự thầu.
14. Ngoài các trường hợp nêu trên, khi phát sinh tình huống trong lựa chọn nhà đầu tư thì bên mời thầu báo cáo người có thẩm quyền xem xét, quyết định trên cơ sở bảo đảm các mục tiêu của đấu thầu là cạnh tranh, công bằng, minh bạch và hiệu quả kinh tế.
Điều 81. Điều kiện để xem xét, giải quyết kiến nghị
1. Kiến nghị phải là của nhà đầu tư tham dự thầu.
2. Đơn kiến nghị phải có chữ ký của người ký đơn dự thầu hoặc đại diện hợp pháp của nhà đầu tư, được đóng dấu (nếu có).
3. Người có trách nhiệm giải quyết kiến nghị nhận được đơn kiến nghị theo quy định tại các Khoản 3, 4 và 5 Điều 92 của Luật Đấu thầu.
4. Nội dung kiến nghị đó chưa được nhà đầu tư khởi kiện ra Tòa án.
5. Chi phí giải quyết kiến nghị theo quy định tại Khoản 6 Điều 7 Nghị định này được nhà đầu tư nộp cho bộ phận thường trực giúp việc của Hội đồng tư vấn đối với trường hợp kiến nghị về kết quả lựa chọn nhà đầu tư do người có thẩm quyền giải quyết.
Điều 82. Hội đồng tư vấn
1. Chủ tịch Hội đồng tư vấn:
a) Chủ tịch Hội đồng tư vấn cấp Trung ương là đại diện có thẩm quyền của Bộ Kế hoạch và Đầu tư. Hội đồng tư vấn cấp Trung ương có trách nhiệm tư vấn về giải quyết kiến nghị đối với dự án quan trọng quốc gia do Quốc hội quyết định chủ trương đầu tư, dự án đầu tư nhóm A hoặc tương đương;
b) Chủ tịch Hội đồng tư vấn cấp Bộ, cơ quan ngang Bộ, cơ quan thuộc Chính phủ (sau đây gọi là Hội đồng tư vấn cấp Bộ) là người đứng đầu của đơn vị được giao nhiệm vụ quản lý về hoạt động đấu thầu thuộc các cơ quan này. Chủ tịch Hội đồng tư vấn cấp địa phương là Giám đốc Sở Kế hoạch và Đầu tư. Hội đồng tư vấn cấp Bộ, địa phương có trách nhiệm tư vấn về việc giải quyết kiến nghị đối với các dự án do Bộ, cơ quan ngang Bộ, cơ quan thuộc Chính phủ, địa phương quyết định chủ trương đầu tư đối với dự án PPP hoặc phê duyệt báo cáo nghiên cứu khả thi (đối với dự án PPP nhóm C), trừ dự án quy định tại Điểm a Khoản này.
2. Thành viên Hội đồng tư vấn:
a) Thành viên Hội đồng tư vấn cấp Trung ương bao gồm các cá nhân thuộc đơn vị được giao nhiệm vụ quản lý về đấu thầu thuộc Bộ Kế hoạch và Đầu tư, đại diện cơ quan nhà nước có thẩm quyền, đại diện của hiệp hội, nghề nghiệp liên quan. Thành viên Hội đồng tư vấn cấp bộ bao gồm các cá nhân thuộc đơn vị được giao nhiệm vụ quản lý về đấu thầu thuộc các cơ quan này, đại diện cơ quan nhà nước có thẩm quyền, đại diện của hiệp hội, nghề nghiệp liên quan. Thành viên Hội đồng tư vấn cấp địa phương bao gồm các cá nhân thuộc Sở Kế hoạch và Đầu tư, đại diện cơ quan nhà nước có thẩm quyền, đại diện của hiệp hội, nghề nghiệp liên quan.
b) Căn cứ theo tính chất của từng dự án và trong trường hợp cần thiết, Chủ tịch Hội đồng tư vấn có thể mời thêm các cá nhân tham gia với tư cách là thành viên của Hội đồng tư vấn.
c) Thành viên Hội đồng tư vấn không được là thân nhân (cha mẹ đẻ, cha mẹ vợ hoặc cha mẹ chồng, vợ hoặc chồng, con đẻ, con nuôi, con dâu, con rể, anh chị em ruột) của người ký đơn kiến nghị, của các cá nhân trực tiếp tham gia đánh giá hồ sơ dự thầu, hồ sơ đề xuất, của các cá nhân trực tiếp thẩm định danh sách nhà đầu tư đáp ứng yêu cầu về kỹ thuật, kết quả lựa chọn nhà đầu tư và của người ký phê duyệt kết quả lựa chọn nhà đầu tư.
3. Hoạt động của Hội đồng tư vấn:
a) Chủ tịch Hội đồng tư vấn ra quyết định thành lập Hội đồng trong thời hạn tối đa là 05 ngày làm việc, kể từ ngày nhận được đơn kiến nghị của nhà đầu tư. Hội đồng tư vấn hoạt động theo từng vụ việc;
b) Hội đồng tư vấn làm việc theo nguyên tắc tập thể, biểu quyết theo đa số, có Báo cáo kết quả làm việc gửi người có thẩm quyền xem xét, quyết định; từng thành viên được quyền bảo lưu ý kiến và chịu trách nhiệm trước pháp luật về ý kiến của mình.
4. Bộ phận thường trực giúp việc của Hội đồng tư vấn:
a) Bộ phận thường trực giúp việc Hội đồng tư vấn cấp Trung ương là đơn vị được giao nhiệm vụ quản lý về hoạt động đấu thầu của Bộ Kế hoạch và Đầu tư. Bộ phận thường trực giúp việc Hội đồng tư vấn cấp Bộ là đơn vị được giao nhiệm vụ quản lý về hoạt động đấu thầu thuộc cơ quan này. Bộ phận thường trực giúp việc Hội đồng tư vấn cấp địa phương là đơn vị được giao nhiệm vụ quản lý về hoạt động đấu thầu của Sở Kế hoạch và Đầu tư. Bộ phận thường trực giúp việc không gồm các cá nhân tham gia trực tiếp thẩm định kết quả lựa chọn nhà đầu tư của dự án đó.
b) Bộ phận thường trực giúp việc thực hiện các nhiệm vụ về hành chính do Chủ tịch Hội đồng tư vấn quy định; tiếp nhận và quản lý chi phí do nhà đầu tư có kiến nghị nộp theo quy định tại Khoản 6 Điều 7 Nghị định này.
Điều 83. Giải quyết kiến nghị đối với lựa chọn nhà đầu tư
1. Thời gian giải quyết kiến nghị quy định tại Khoản 3 và Khoản 4 Điều 92 của Luật Đấu thầu được tính từ ngày bộ phận hành chính của người có trách nhiệm giải quyết kiến nghị nhận được đơn kiến nghị.
2. Người có trách nhiệm giải quyết kiến nghị thông báo bằng văn bản cho nhà đầu tư về việc không xem xét, giải quyết kiến nghị trong trường hợp kiến nghị của nhà đầu tư không đáp ứng điều kiện nêu tại Điều 81 Nghị định này.
3. Nhà đầu tư được quyền rút đơn kiến nghị trong quá trình giải quyết kiến nghị nhưng phải bằng văn bản.
4. Trong văn bản trả lời về kết quả giải quyết kiến nghị cho nhà đầu tư phải có kết luận về nội dung kiến nghị. Trường hợp kiến nghị của nhà đầu tư được kết luận là đúng phải nêu rõ biện pháp, cách thức và thời gian để khắc phục hậu quả (nếu có), đồng thời bộ phận thường trực giúp việc có trách nhiệm yêu cầu các tổ chức, cá nhân có trách nhiệm liên đới chi trả cho nhà đầu tư có kiến nghị số tiền bằng số tiền mà nhà đầu tư có kiến nghị đã nộp cho Hội đồng tư vấn. Trường hợp kiến nghị của nhà đầu tư được kết luận là không đúng thì trong văn bản trả lời phải giải thích rõ lý do.
Chương VIII
XỬ LÝ VI PHẠM PHÁP LUẬT, KIỂM TRA, GIÁM SÁT, THEO DÕI HOẠT ĐỘNG ĐẤU THẦU TRONG LỰA CHỌN NHÀ ĐẦU TƯ
Mục 1
XỬ LÝ VI PHẠM
Điều 84. Các hình thức xử lý vi phạm
1. Cảnh cáo, phạt tiền được áp dụng đối với tổ chức, cá nhân vi phạm pháp luật về đấu thầu theo quy định của pháp luật về xử phạt vi phạm hành chính trong lĩnh vực kế hoạch và đầu tư.
2. Cấm tham gia hoạt động đấu thầu được áp dụng đối với tổ chức, cá nhân vi phạm quy định tại Điều 89 của Luật Đấu thầu.
3. Truy cứu trách nhiệm hình sự đối với cá nhân vi phạm pháp luật về đấu thầu mà cấu thành tội phạm theo quy định của pháp luật về hình sự.
4. Đối với cán bộ, công chức có hành vi vi phạm pháp luật về đấu thầu còn bị xử lý theo quy định của pháp luật về cán bộ, công chức.
Điều 85. Hình thức cấm tham gia quá trình lựa chọn nhà đầu tư
Tùy theo mức độ vi phạm mà áp dụng hình thức cấm tham gia hoạt động đấu thầu đối với tổ chức, cá nhân, cụ thể như sau:
1. Cấm tham gia hoạt động đấu thầu từ 03 năm đến 05 năm đối với một trong các hành vi vi phạm quy định tại các Khoản 1, 2, 3, 4 và 5 Điều 89 của Luật Đấu thầu.
2. Cấm tham gia hoạt động đấu thầu từ 01 năm đến 03 năm đối với một trong các hành vi vi phạm quy định tại các Điểm a, b, c, d và h Khoản 6 Điều 89 của Luật Đấu thầu.
3. Cấm tham gia hoạt động đấu thầu từ 06 tháng đến 01 năm đối với một trong các hành vi vi phạm quy định tại Khoản 7 Điều 89 của Luật Đấu thầu.
Điều 86. Hủy, đình chỉ, không công nhận kết quả lựa chọn nhà đầu tư
1. Hủy thầu là biện pháp của người có thẩm quyền để xử lý các hành vi vi phạm pháp luật về đấu thầu và các quy định khác của pháp luật liên quan của tổ chức, cá nhân tham gia hoạt động đấu thầu.
Người có thẩm quyền có trách nhiệm quyết định hủy thầu đối với các trường hợp theo quy định tại Điều 17 của Luật Đấu thầu.
2. Đình chỉ, không công nhận kết quả lựa chọn nhà đầu tư, tuyên bố vô hiệu đối với các quyết định trong quá trình lựa chọn nhà đầu tư, cụ thể như sau:
a) Đình chỉ cuộc thầu, không công nhận kết quả lựa chọn nhà đầu tư được áp dụng khi có bằng chứng cho thấy tổ chức, cá nhân tham gia đấu thầu có hành vi vi phạm pháp luật về đấu thầu hoặc các quy định khác của pháp luật có liên quan dẫn đến không đảm bảo mục tiêu của công tác đấu thầu, làm sai lệch kết quả lựa chọn nhà đầu tư;
b) Biện pháp đình chỉ được áp dụng để khắc phục ngay khi vi phạm đã xảy ra và được thực hiện đến trước khi phê duyệt kết quả lựa chọn nhà đầu tư. Biện pháp không công nhận kết quả lựa chọn nhà đầu tư được thực hiện từ ngày phê duyệt kết quả lựa chọn nhà đầu tư đến trước khi ký kết hợp đồng;
c) Trong văn bản đình chỉ, không công nhận kết quả lựa chọn nhà đầu tư phải nêu rõ lý do, nội dung, biện pháp và thời gian để khắc phục vi phạm về đấu thầu;
d) Biện pháp tuyên bố vô hiệu đối với các quyết định của bên mời thầu do người có thẩm quyền quyết định khi phát hiện các quyết định của bên mời thầu không phù hợp quy định của pháp luật về đấu thầu và pháp luật có liên quan.
Điều 87. Bồi thường thiệt hại do vi phạm pháp luật về đấu thầu
Tổ chức, cá nhân có hành vi vi phạm pháp luật về đấu thầu gây thiệt hại thì phải chịu trách nhiệm bồi thường thiệt hại theo quy định của pháp luật về bồi thường thiệt hại và các quy định khác của pháp luật liên quan.
Mục 2
KIỂM TRA, GIÁM SÁT, THEO DÕI
Điều 88. Kiểm tra hoạt động đấu thầu trong lựa chọn nhà đầu tư
1. Kiểm tra hoạt động đấu thầu trong lựa chọn nhà đầu tư được thực hiện theo kế hoạch định kỳ hoặc đột xuất khi có vướng mắc, kiến nghị, đề nghị hoặc yêu cầu của Thủ tướng Chính phủ, Chủ tịch Ủy ban nhân dân cấp tỉnh, người có thẩm quyền của cơ quan kiểm tra về công tác đấu thầu theo quy định tại Khoản 2 Điều này. Phương thức kiểm tra bao gồm kiểm tra trực tiếp, yêu cầu báo cáo.
2. Bộ trưởng; Thủ trưởng cơ quan ngang Bộ, cơ quan thuộc Chính phủ; Chủ tịch Ủy ban nhân dân cấp tỉnh; Giám đốc Sở Kế hoạch và Đầu tư, người đứng đầu các cơ quan chuyên môn thuộc Ủy ban nhân dân cấp tỉnh; Chủ tịch Ủy ban nhân dân cấp huyện chỉ đạo việc kiểm tra hoạt động đấu thầu đối với các đơn vị thuộc phạm vi quản lý của mình và các dự án do mình quyết định đầu tư nhằm mục đích quản lý, điều hành và chấn chỉnh hoạt động đấu thầu bảo đảm đạt được mục tiêu đẩy nhanh tiến độ, tăng cường hiệu quả của công tác đấu thầu và kịp thời phát hiện, ngăn chặn, xử lý các hành vi vi phạm pháp luật về đấu thầu.
3. Bộ Kế hoạch và Đầu tư chủ trì, tổ chức kiểm tra hoạt động đấu thầu trên phạm vi cả nước. Các Bộ, cơ quan ngang Bộ, cơ quan thuộc Chính phủ; Ủy ban nhân dân cấp tỉnh; Sở Kế hoạch và Đầu tư, cơ quan chuyên môn thuộc Ủy ban nhân dân cấp tỉnh, Ủy ban nhân dân cấp huyện chủ trì, tổ chức kiểm tra hoạt động đấu thầu khi có yêu cầu của người có thẩm quyền của cơ quan kiểm tra về công tác đấu thầu. Sở Kế hoạch và Đầu tư chịu trách nhiệm giúp Ủy ban nhân dân tỉnh, thành phố trực thuộc Trung ương chủ trì, tổ chức kiểm tra hoạt động đấu thầu tại địa phương mình.
4. Nội dung kiểm tra đấu thầu:
a) Nội dung kiểm tra định kỳ bao gồm:
- Kiểm tra việc ban hành các văn bản hướng dẫn, chỉ đạo thực hiện công tác lựa chọn nhà đầu tư, phân cấp trong lựa chọn nhà đầu tư;
- Kiểm tra công tác đào tạo về đấu thầu;
- Kiểm tra việc cấp chứng chỉ đào tạo về đấu thầu, chứng chỉ hành nghề hoạt động đấu thầu;
- Kiểm tra việc xây dựng và phê duyệt kế hoạch lựa chọn nhà đầu tư, hồ sơ mời sơ tuyển, hồ sơ mời thầu, hồ sơ yêu cầu, kết quả sơ tuyển, kết quả lựa chọn nhà đầu tư;
- Kiểm tra nội dung hợp đồng ký kết và việc tuân thủ các căn cứ pháp lý trong việc ký kết và thực hiện hợp đồng;
- Kiểm tra trình tự và tiến độ thực hiện dự án theo kế hoạch lựa chọn nhà đầu tư đã duyệt;
- Kiểm tra tình hình thực hiện báo cáo về công tác đấu thầu;
- Kiểm tra việc triển khai thực hiện hoạt động kiểm tra, giám sát về công tác đấu thầu.
b) Nội dung kiểm tra đột xuất: Căn cứ theo yêu cầu kiểm tra đột xuất, quyết định kiểm tra, Trưởng đoàn kiểm tra quy định các nội dung kiểm tra cho phù hợp.
5. Sau khi kết thúc kiểm tra, phải có báo cáo, kết luận kiểm tra. Cơ quan kiểm tra có trách nhiệm theo dõi việc khắc phục các tồn tại (nếu có) đã nêu trong kết luận kiểm tra. Trường hợp phát hiện có sai phạm thì cần đề xuất biện pháp xử lý hoặc chuyển cơ quan thanh tra, điều tra để xử lý theo quy định.
6. Nội dung kết luận kiểm tra bao gồm:
a) Tình hình thực hiện công tác đấu thầu tại đơn vị được kiểm tra;
b) Nội dung kiểm tra;
c) Nhận xét;
d) Kết luận;
đ) Kiến nghị.
Điều 89. Giám sát, theo dõi hoạt động đấu thầu trong lựa chọn nhà đầu tư
1. Giám sát, theo dõi hoạt động đấu thầu được áp dụng trong trường hợp Bộ trưởng, Thủ trưởng cơ quan ngang Bộ, cơ quan thuộc Chính phủ, ủy quyền cho người đứng đầu tổ chức thuộc Bộ, cơ quan ngang Bộ, cơ quan thuộc Chính phủ; Chủ tịch Ủy ban nhân dân cấp tỉnh ủy quyền cho người đứng đầu cơ quan chuyên môn thuộc Ủy ban nhân dân cấp tỉnh hoặc Chủ tịch Ủy ban nhân dân cấp huyện để thực hiện trách nhiệm của người có thẩm quyền trong lựa chọn nhà đầu tư nhằm phát hiện và xử lý đối với hành vi, nội dung không phù hợp quy định của pháp luật về đấu thầu và pháp luật khác có liên quan.
2. Người có thẩm quyền cử cá nhân hoặc đơn vị có chức năng quản lý về hoạt động đấu thầu tham gia giám sát, theo dõi việc thực hiện quá trình lựa chọn nhà đầu tư đối với nội dung quy định tại Khoản 3 Điều này để đảm bảo tuân thủ theo đúng quy định của pháp luật về đấu thầu.
3. Các nội dung trong hoạt động đấu thầu phải giám sát, theo dõi bao gồm:
a) Lập, thẩm định và phê duyệt hồ sơ mời sơ tuyển, hồ sơ mời thầu, hồ sơ yêu cầu;
b) Đánh giá hồ sơ dự sơ tuyển, hồ sơ dự thầu, hồ sơ đề xuất;
c) Thẩm định và phê duyệt kết quả sơ tuyển, kết quả lựa chọn nhà đầu tư;
d) Kết quả đàm phán, hoàn thiện và ký kết hợp đồng.
4. Phương thức giám sát, theo dõi hoạt động đấu thầu:
a) Bên mời thầu có trách nhiệm công khai tên, địa chỉ liên hệ của cá nhân hoặc đơn vị giám sát, theo dõi cho các nhà đầu tư đã mua hồ sơ mời sơ tuyển, hồ sơ mời thầu, hồ sơ yêu cầu;
b) Bên mời thầu có trách nhiệm cung cấp thông tin liên quan đến quá trình lựa chọn nhà đầu tư cho cá nhân hoặc đơn vị giám sát, theo dõi khi nhận được yêu cầu bằng văn bản;
c) Khi phát hiện hành vi, nội dung không phù hợp quy định của pháp luật về đấu thầu, cá nhân hoặc đơn vị thực hiện việc giám sát, theo dõi hoạt động đấu thầu phải có trách nhiệm báo cáo kịp thời bằng văn bản đến người có thẩm quyền để có những biện pháp xử lý thích hợp, bảo đảm hiệu quả của quá trình tổ chức lựa chọn nhà đầu tư.
5. Trách nhiệm của cá nhân hoặc đơn vị giám sát, theo dõi hoạt động đấu thầu:
a) Trung thực, khách quan; không gây phiền hà cho người được ủy quyền, bên mời thầu trong quá trình giám sát, theo dõi;
b) Yêu cầu người được ủy quyền, bên mời thầu cung cấp hồ sơ, tài liệu liên quan phục vụ quá trình giám sát, theo dõi;
c) Tiếp nhận thông tin phản ánh của nhà đầu tư và các tổ chức, cá nhân liên quan đến quá trình lựa chọn nhà đầu tư của dự án đang thực hiện giám sát, theo dõi;
d) Bảo mật thông tin theo quy định;
đ) Thực hiện các trách nhiệm khác theo quy định của pháp luật về đấu thầu và pháp luật khác có liên quan.
Chương IX
ĐIỀU KHOẢN THI HÀNH
Điều 90. Quy định chuyển tiếp
1. Dự án PPP nhóm B có kế hoạch lựa chọn nhà đầu tư được duyệt theo hình thức đấu thầu rộng rãi quốc tế mà không sơ tuyển nhưng chưa tổ chức đấu thầu trước ngày Nghị định này có hiệu lực thi hành, người có thẩm quyền xem xét tiếp tục áp dụng hình thức đấu thầu rộng rãi quốc tế hoặc điều chỉnh hình thức lựa chọn nhà đầu tư theo quy định tại Điểm c Khoản 2 Điều 9 Nghị định này.
2. Dự án đầu tư có sử dụng đất có chi phí thực hiện dự án (không bao gồm chi phí bồi thường, hỗ trợ, tái định cư, tiền sử dụng đất, tiền thuê đất) từ 120.000.000.000 (một trăm hai mươi tỷ) đồng trở lên đến 800.000.000.000 (tám trăm tỷ) đồng, có kế hoạch lựa chọn nhà đầu tư được duyệt theo hình thức đấu thầu rộng rãi quốc tế mà không sơ tuyển nhưng chưa tổ chức đấu thầu trước ngày Nghị định này có hiệu lực thi hành, người có thẩm quyền xem xét tiếp tục áp dụng hình thức đấu thầu rộng rãi quốc tế hoặc áp dụng hình thức đấu thầu rộng rãi trong nước.
3. Đối với hồ sơ mời sơ tuyển được phát hành trước ngày Nghị định này có hiệu lực thi hành thì thực hiện theo quy định của Nghị định số 30/2015/NĐ-CP ngày 17 tháng 3 năm 2015 của Chính phủ quy định chi tiết thi hành Luật Đấu thầu về lựa chọn nhà đầu tư và các Thông tư hướng dẫn thực hiện.
4. Đối với hồ sơ mời thầu, hồ sơ yêu cầu được phát hành trước ngày Nghị định này có hiệu lực thi hành thì thực hiện theo quy định của Nghị định số 30/2015/NĐ-CP ngày 17 tháng 3 năm 2015 của Chính phủ quy định chi tiết thi hành Luật Đấu thầu về lựa chọn nhà đầu tư và các Thông tư hướng dẫn thực hiện.
Điều 91. Hướng dẫn thi hành
1. Bộ Kế hoạch và Đầu tư chịu trách nhiệm:
a) Chủ trì xây dựng và ban hành mẫu hồ sơ đấu thầu, bao gồm: Mẫu hồ sơ mời sơ tuyển; hồ sơ mời thầu, hồ sơ yêu cầu lựa chọn nhà đầu tư thực hiện dự án PPP; hồ sơ mời thầu, hồ sơ yêu cầu lựa chọn nhà đầu tư thực hiện dự án đầu tư có sử dụng đất; mẫu báo cáo về tình hình lựa chọn nhà đầu tư và các mẫu khác;
b) Quy định lộ trình áp dụng và hướng dẫn thực hiện chi tiết nội dung nộp hồ sơ đăng ký thực hiện dự án đầu tư có sử dụng đất và nộp hồ sơ dự sơ tuyển thực hiện dự án PPP trên Hệ thống mạng đấu thầu quốc gia theo quy định tại Khoản 1 Điều 13 và Điểm a Khoản 1 Điều 21 Nghị định này;
c) Chủ trì, phối hợp với các cơ quan liên quan xây dựng Hệ thống mạng đấu thầu quốc gia và lộ trình áp dụng; xây dựng cơ chế quản lý, vận hành và hướng dẫn thực hiện lựa chọn nhà đầu tư qua mạng;
d) Hướng dẫn thực hiện các nội dung cần thiết khác của Nghị định này để đáp ứng yêu cầu quản lý nhà nước về hoạt động đấu thầu trong lựa chọn nhà đầu tư.
2. Bộ Tài chính hướng dẫn về quản lý và sử dụng các loại chi phí liên quan đến quá trình lựa chọn nhà đầu tư.
3. Các Bộ, cơ quan ngang Bộ, cơ quan thuộc Chính phủ, Ủy ban nhân dân cấp tỉnh chịu trách nhiệm:
a) Chủ trì, phối hợp với Bộ Kế hoạch và Đầu tư ban hành mẫu hồ sơ đấu thầu lựa chọn nhà đầu tư đối với dự án PPP nhóm C của ngành;
b) Trong phạm vi quản lý của mình hướng dẫn chi tiết một số nội dung của Nghị định này (nếu cần thiết) nhưng bảo đảm không trái với các quy định của Luật Đấu thầu số 43/2013/QH13 và Nghị định này;
c) Định kỳ hàng năm, tổng kết tình hình thực hiện công tác đấu thầu lựa chọn nhà đầu tư, gửi về Bộ Kế hoạch và Đầu tư để tổng hợp báo cáo Thủ tướng Chính phủ. Riêng dự án áp dụng hình thức chỉ định thầu và lựa chọn nhà đầu tư trong trường hợp đặc biệt, báo cáo tổng kết tình hình thực hiện công tác đấu thầu phải bao gồm đánh giá kết quả lựa chọn nhà đầu tư trên cơ sở các nội dung về mục tiêu, lý do, điều kiện, tiến độ, phương án thực hiện.
4. Bộ trưởng, Thủ trưởng cơ quan ngang Bộ, cơ quan thuộc Chính phủ, Chủ tịch Ủy ban nhân dân các cấp phân công lãnh đạo phụ trách trực tiếp, chịu trách nhiệm về công tác lựa chọn nhà đầu tư và giao nhiệm vụ cho một đơn vị trực thuộc chịu trách nhiệm quản lý hoạt động lựa chọn nhà đầu tư trong phạm vi quản lý của ngành hoặc địa phương mình. Trong quá trình thực hiện Nghị định này, trường hợp phát sinh các nội dung chưa được quy định cụ thể tại Nghị định này thì báo cáo Thủ tướng Chính phủ xem xét, quyết định.
Điều 92. Hiệu lực thi hành
1. Nghị định này có hiệu lực thi hành kể từ ngày 20 tháng 4 năm 2020.
2. Nghị định này thay thế Nghị định số 30/2015/NĐ-CP ngày 17 tháng 3 năm 2015 của Chính phủ quy định chi tiết thi hành một số điều của Luật Đấu thầu về lựa chọn nhà đầu tư./.
