CIRCULAR
Regulating the delegation of tasks and handling certain administrative procedures in the field of managing business operations conducted under a multi-level marketing system within the authority of the Ministry of Commerce
Based on Decree No. 40/2025/NĐ-CP of the Government, amending and supplementing by Decrees Nos. 109/2025/NĐ-CP and 193/2025/NĐ-CP, which stipulate the functions, tasks, powers, and organizational structure of the Ministry of Commerce;
Based on Decree No. 137/2026/NĐ-CP of the Government on managing business operations conducted under a multi-level marketing system;
Based on Decree No. 3/2023/NĐ-CP of the Government, amending and supplementing by Decrees Nos. 109/2025/NĐ-CP and 193/2025/NĐ-CP, which stipulate the functions, tasks, powers, and organizational structure of the National Competition Committee;
In accordance with the proposal of the Chairman of the National Competition Committee;
The Minister of Commerce promulgates this Circular to regulate the delegation of tasks and handling of certain administrative procedures in the field of managing business operations conducted under a multi-level marketing system within the authority of the Ministry of Commerce.
Article 1. Scope of Application
This Circular regulates the delegation of tasks and handling of certain administrative procedures in the field of managing business operations conducted under a multi-level marketing system as specified at points a, c, d, đ, e, g, i, and k of Clause 1, Article 54 of Decree No. 137/2026/NĐ-CP.
Article 2. Applicability
This Circular applies to the National Competition Committee, units under the Ministry of Commerce, provincial Departments of Commerce in provinces directly under the Central Government, and relevant organizations and individuals.
Article 3. Delegation of Tasks and Handling of Certain Administrative Procedures in the Field
Managing business operations conducted under a multi-level marketing system by the Ministry of Commerce to the National Competition Committee The National Competition Committee shall perform certain tasks assigned by Decree No. 137/2026/NĐ-CP, including:
Clause 1. Issuing, amending, supplementing, renewing, reissuing, and revoking certificates of registration for multi-level marketing sales activities of enterprises; handling procedures related to the withdrawal of security deposits and processing amounts already deposited as security;
Clause 2. Notifying the provincial people's committee where the enterprise conducts multi-level marketing sales activities of the issuance, amendment, supplementation, renewal, or revocation of certificates of registration for multi-level marketing sales activities;
Clause 3. Inspecting and supervising multi-level marketing sales activities and handling matters within its authority;
Clause 4. Guiding and cooperating with provincial people's committees in conducting inspections and handling violations of laws and regulations governing the management of multi-level marketing sales activities;
Clause 5. Notifying and transferring competent authorities to handle acts that violate laws and regulations governing business operations conducted under a multi-level marketing system;
Clause 6. Organizing professional training for civil servants directly responsible for state management of multi-level marketing sales; disseminating and promoting legal knowledge on the management of multi-level marketing sales activities to enterprises and participants in multi-level marketing sales;
Clause 7. Developing and implementing programs for public awareness and dissemination through mass media about laws and business operations conducted under a multi-level marketing system.
7. Develop and implement programs for the dissemination of legal provisions and business activities under the multi-level marketing scheme through mass media channels.
Article 4. Enforceability
This Circular shall take effect from July 1, 2026.
Article 5. Implementation
1. The National Competition Committee shall be responsible for implementing the provisions of this Circular in accordance with its functions and duties.
2. Relevant agencies, organizations, and individuals are responsible for implementing this Circular and shall submit their comments and suggestions to the Ministry of Industry and Trade (National Competition Committee) for guidance and resolution of any difficulties or issues that arise./.
