PRIME MINISTER

        Pursuant to the Law on Government Organization dated December 25, 2001;

WHEREAS Decision No. 58/2002/QĐ-TTg dated April 26, 2002 of the Prime Minister on the issuance of criteria and classification lists for state-owned enterprises and state-owned corporations;

WHEREAS Directive No. 01/2003/CT-TTg dated January 16, 2003 of the Prime Minister on further promoting the restructuring, modernization, development, and enhancement of efficiency of state-owned enterprises;

CONSIDERING the proposal of the People's Committee of Thanh Hoa Province (documents: No. 3575/UB-ĐMDN dated October 23, 2002, No. 2006/UB-ĐMDN dated June 24, 2002, No. 1519/UB-ĐMDN dated May 20, 2002, No. 605/UB-ĐMDN dated March 3, 2003), the opinion of the Thanh Hoa Provincial Party Committee (document No. 290-CV/TU dated October 22, 2002), the opinions of the Ministries: Planning and Investment (document No. 7518 BKH/DN dated November 27, 2002), Finance (document No. 13064 TC/TCDN dated November 29, 2002), Labor, Invalids and Social Affairs (document No. 3947/LĐTBXH-CSLĐVL dated November 13, 2002), Home Affairs (documents: No. 881/BNV-TCBC dated December 2, 2002, No. 973/BNV-TCBC dated December 11, 2002), and the economic and social characteristics of Thanh Hoa Province.

DECISION:

Article 1. Approves the overall restructuring and modernization plan for state-owned enterprises in Thanh Hoa Province from 2003 to 2005 as attached in the appendix.

Article 2

a) The Chairman of the People's Committee of Thanh Hoa Province shall be responsible for directing the implementation of the restructuring and modernization of state-owned enterprises under its direct management according to the approved content and schedule. Any adjustments or supplements must be approved by

b) At present, the pilot model of Parent Company - Subsidiary Company will not be implemented at Thanh Hoa Investment and Construction Corporation. The State will continue to hold 100% of the charter capital of the Corporation. The People's Committee of Thanh Hoa Province shall take measures to invest in developing and expanding production and business operations, enhancing the operational efficiency of the enterprise; based on this, study appropriate forms of restructuring and modernization so that the Corporation can meet the role of a strong state-owned enterprise in the construction sector of the province.

Article 3. The Ministry of Finance, the Ministry of Planning and Investment, the Ministry of Home Affairs, the Ministry of Labor, Invalids and Social Affairs, and related agencies shall be responsible for coordinating with the People's Committee of Thanh Hoa Province in implementing the Plan.

The Steering Committee for Enterprise Renewal and Development shall be responsible for supervising, guiding, and monitoring the implementation of this Plan, and at the same time making recommendations to

Article 4. THIS DECISION SHALL TAKE EFFECT 15 DAYS AFTER THE DATE OF SIGNATURE.

The Chairman of the People's Committee of Thanh Hoa Province and the heads of related agencies are responsible for enforcing this Decision. /./
