DECISION OF THE MINISTER OF INDUSTRY

Regarding the conversion of Caric Company into a State-owned Joint Stock Company with a single member named Caric

THE MINISTER OF INDUSTRY

Pursuant to Decree No. 55/2003/NĐ-CP dated May 28, 2003 of the Government stipulating the functions, tasks, powers, and organizational structure of the Ministry of Industry;

Pursuant to Decree No. 63/2001/NĐ-CP dated September 14, 2001 of the Government on the transformation of state-owned enterprises and enterprises of political organizations and political-social organizations into a joint stock company with a single member;

Pursuant to Decision No. 37/2005/QĐ-TTg dated February 28, 2005 of the Prime Minister approving the supplementary overall plan for the restructuring and renewal of state-owned companies under the Ministry of Industry;

Considering the proposal of the General Corporation of Machinery and Industrial Equipment (Letter No. 822/CV-HĐQT dated August 16, 2005 and Letter No. 797/CV-HĐQT dated August 10, 2005) and the dossier on the conversion of Caric Company into a State-owned Joint Stock Company with a single member named Caric;

At the suggestion of the Director of the Department of Organization and Cadres,

DECISION:

Article 1. Convert Caric Company, an independent accounting member enterprise under the General Corporation of Machinery and Industrial Equipment, into a State-owned Joint Stock Company with a single member named Caric.

The State-owned Joint Stock Company with a single member named Caric (referred to as the Company) shall have its own seal, be allowed to open accounts at domestic and foreign banks in accordance with the law, and operate according to the Company's Charter approved by the Board of Directors of the General Corporation of Machinery and Industrial Equipment and the Enterprise Law. - Full name: State-owned Joint Stock Company with a single member named Caric. - Abbreviation: Caric Company. - International trade name in English: CARIC COMPANY - Abbreviation: CARIC. - Main office address: No. 17 Ton Duc Thang Street, Ben Nghe Ward, District 1, Ho Chi Minh City. - Registered capital of the Company: 35,000,000,000 VND (Thirty-five billion VND).

Article 2. Business activities of the Company:

- Manufacturing water transport means, machines, and equipment for the industrial, agricultural sectors, and replacement parts; industrial installation, construction, civil works, and infrastructure development; trading and developing real estate; - Engaging in other businesses as prescribed by law.

Article 3. Organization and operation of the Company:

1. The organizational structure of the Company includes:

a) Chairman of the Company;

b) General Director of the Company and the supporting staff;

c) Subordinate units of the Company.

2. The organization and operation of the Company are specifically regulated in the Company's Charter on organization and operation.

Article 4. The State-authorized representative as the owner:

Board of Directors of the General Corporation of Machinery and Industrial Equipment. Address: No. 2 Trieu Quoc Dat Street, Hoan Kiem District, Hanoi City. The Board of Directors of the General Corporation of Machinery and Industrial Equipment is responsible for exercising the rights of the owner according to current laws and the Company's Charter.

Article 5. The State-owned Joint Stock Company with a single member named Caric is responsible for receiving and effectively utilizing the capital and assets transferred by the Board of Directors of the General Corporation of Machinery and Industrial Equipment to fulfill the mission of production and business development; inheriting all legitimate rights, interests, and financial obligations regarding capital, assets, labor, and land from the Caric Company.

Article 6. The Chairman of the State-owned Joint Stock Company with a single member named Caric is responsible for drafting the Company's Charter to be submitted for approval by the Board of Directors of the General Corporation of Machinery and Industrial Equipment; appointing the General Director, Deputy General Directors, and Chief Accountant of the Company in accordance with the Company's Charter and current laws.

Article 7. This Decision takes effect fifteen days from the date of publication in the Official Gazette.

The Head of the Office of the Ministry, the Inspector General of the Ministry, Heads of Departments and Bureaus under the Ministry, the Board of Directors and General Director of the General Corporation of Machinery and Industrial Equipment, the Director of Caric Company, the Chairman and General Director of the State-owned Joint Stock Company with a single member named Caric are responsible for implementing this Decision./.
