REGARDING THE REORGANIZATION OF ELECTRIC POWER INSTALLATION COMPANY NO. 3 INTO AN INDEPENDENT ACCOUNTING STATE ENTERPRISE UNDER THE MINISTRY OF INDUSTRY TO BE A MODEL STATE ENTERPRISE OPERATING UNDER THE HOLDING COMPANY - SUBSIDIARY STRUCTURE

THE MINISTER OF INDUSTRY

Pursuant to Decree No. 74/CP dated November 1, 1995 of the Government on the functions, tasks, powers, and organizational structure of the Ministry of Industry;

Pursuant to Decision No. 862/QĐ-TTg dated September 30, 2002 of the Prime Minister on the pilot organization and operation under the holding company - subsidiary model at Electric Power Installation Company No. 3, an independent accounting enterprise of Vietnam Industrial Construction Corporation under the Ministry of Industry;

Considering the proposal of the General Director of Electric Power Installation Company No. 3 regarding the establishment of a holding company as stated in Report No. 2179/XLĐ3-TCLĐ-TT dated October 15, 2002;

At the recommendation of the Enterprise Reform and Development Board of the Ministry of Industry and the Head of the Department of Organization and Cadres;

DECISION:

Article 1. Reorganize Electric Power Installation Company No. 3, an independent accounting enterprise of Vietnam Industrial Construction Corporation under the Ministry of Industry, into a state holding company directly subordinate to the Ministry of Industry for pilot operation under the holding company - subsidiary structure.

1. The holding company shall have:

a) Name: Electric Power Installation Company No. 3;

b) International trading name: Power Construction Holding Company N;⁰3;

c) Abbreviation: PCC3;

d) Main office located at No. 66 Hoang Van Thai Street, Lien Chieu District, Da Nang City;

e) Registered capital at the time of reorganization is VND 74,780,371,705, of which:

- State budget capital is VND 30,803,577,536;

- Accumulated self-funded capital from profits is VND 43,976,794,169.

2. Electric Power Installation Company No. 3 is a state enterprise, directly carrying out production and business activities and investing capital in subsidiaries and associated companies; it is responsible for preserving and developing state capital within the company and in subsidiaries and associated companies.

Electric Power Installation Company No. 3 has legal personality, independently accounts economically, has its own seal and bank account; it organizes and operates according to the Charter approved by the Prime Minister, the Pilot Financial Regulation of the Holding Company approved by the Minister of Finance, and in accordance with relevant laws.

Article 2. The main tasks of Electric Power Installation Company No. 3:

1. Installing power grid systems and transformer substations up to 500 kV, power source projects, industrial and civil construction projects, transportation and water conservancy projects, telecommunications, cultural, sports facilities, airports, ports;

2. Designing and manufacturing steel structures, mechanical products, and zinc-coated products;

3. Producing various types of electrical materials, equipment, accessories, prestressed concrete poles, and other concrete products; producing and trading various types of building materials (including quarrying stone); trading interior and exterior decoration items, real estate services; trading fuel oil;

4. Testing, calibrating, and determining technical specifications of electrical equipment and power projects;

5. Trading hotels, tourism, passenger transport by water and road; cargo transportation, repair of construction machinery and transportation vehicles;

6. Consulting on investment, construction, including project planning and evaluation; surveying, mapping, planning design, engineering design; project management consulting; economic contract consulting; procurement of materials, equipment, and technology consulting;

7. Trading in exports and imports: electrical materials and equipment, building materials, transportation means and equipment, construction machinery; production lines and industrial equipment;

8. Training technical workers, experts, and managers to meet the development needs of the enterprise;

9. Investing in independent power plants, developing urban infrastructure, industrial zones, export processing zones, high-tech zones, new economic zones;

10. Financial investment in subsidiaries and other types of enterprises;

11. Other businesses that are suitable for the company's capabilities and permitted by law.

Article 3. The organizational structure of Electric Power Installation Company No. 3:

1. General Director of the Company;

2. Deputy General Directors of the Company;

3. Chief Accountant of the Company;

4. Functional departments assisting in work.

Article 4. Electric Power Installation Company No. 3 has the following types of subsidiaries:

1. State-owned subsidiaries wholly owned by the holding company;

2. Limited liability companies wholly owned by the holding company;

3. Joint-stock companies in which the holding company holds controlling shares;

4. Limited liability companies with two or more members where the holding company holds a controlling shareholding ratio.

The General Director of Electric Power Installation Company No. 3 is responsible for preparing proposals to establish subsidiaries and submitting them to the Ministry for decision.

In addition, the holding company may participate in capital contributions to form associated companies. The holding company's contribution in associated companies shall not exceed 50% of the registered capital of the associated company.

Article 5. This Decision takes effect 15 days after the date of signature.. Abolish previous documents that conflict with this Decision.

The Heads of the Office of the Ministry, the Inspectorate of the Ministry, the Heads of Departments and Bureaus under the Ministry, the Chairman of the Board of Management, the General Director of Vietnam Industrial Construction Corporation, the Director of Electric Power Installation Company No. 3, and the General Director of Electric Power Installation Company No. 3 are responsible for implementing this Decision./.
