DECISION
Regarding the transfer of the Institute of Machinery and Industrial Equipment to become a science and technology enterprise under the Ministry of Industry and restructuring into a state-owned holding company for pilot operation under the parent-subsidiary model

THE MINISTER OF INDUSTRY
Pursuant to Decree No. 74/CP dated November 1, 1995 of the Government on the functions, tasks, powers, and organizational structure of the Ministry of Industry;
Pursuant to Decision No. 139/QĐ-TTg dated February 8, 2002 of the Prime Minister on the transfer of the Institute of Machinery and Industrial Equipment to become a science and technology enterprise for pilot operation under the parent-subsidiary model;
Considering the proposal of the Director of the Institute of Machinery and Industrial Equipment at Report No. 968/TT-TH dated December 4, 2002 regarding the implementation of Decision No. 139/QĐ-TTg dated February 8, 2002;
At the proposal of the Enterprise Reform and Development Board of the Ministry of Industry and the Director of the Personnel and Organization Department,
DECISION:
Article 1. Transfer the Institute of Machinery and Industrial Equipment, a member unit of the Vietnam Machinery and Equipment Corporation, to become a science and technology enterprise under the Ministry of Industry and restructure it into a state-owned holding company for pilot operation under the parent-subsidiary model.
1. The parent company has:
a) The name shall be: Institute of Machinery and Industrial Equipment, abbreviated as IMI;
b) The international trade name in English shall be: INDUSTRIAL MACHINERY AND INSTRUMENTS Holding, abbreviated as IMI HOLDING;
c) The main office shall be located at: 46 Lang Ha Street, Dong Da District, Hanoi;
d) The charter capital at the time of conversion into a holding company is: 17,613,098,207 VND. Of which:
- State budget capital: 15,658,064,206 VND;
- Self-accumulated capital and additional capital from profits: 1,955,034,001 VND.
2. The Institute of Machinery and Industrial Equipment directly implements scientific research, technological development, and training activities through scientific departments, applied research centers, and training institutions; simultaneously carries out production and business activities and has investment capital in subsidiaries and associated companies; bears responsibility for preserving and developing state capital at the holding company and in subsidiaries and associated companies.
The Institute of Machinery and Industrial Equipment has legal personality, independently accounts economically, has its own seal, and maintains a bank account; organizes and operates according to the Charter approved by the Prime Minister, according to the financial regulations for the parent-subsidiary model approved by the Minister of Finance, according to the Law on State Enterprises, the Law on Science and Technology, and other relevant laws.
Article 2. Main tasks of the Institute of Machinery and Industrial Equipment:
1. Scientific and technological fields of activity:
a) Scientific research and technological development in industrial sectors, including: special machining technology, chip machining technology, non-chip machining technology, metal corrosion and anti-corrosion technology, machine tools, environmental technical equipment, automatic measurement and control, hydraulic and pneumatic transmission, electromechanical and information technology in machinery manufacturing;
b) High-tech application research, design, and manufacture of machines, equipment, and new production lines in industry;
c) Higher education and postgraduate education in high technology in mechanical engineering and electronics;
d) Investment consulting, technology transfer, and other scientific and technological services, including: project investment planning and evaluation, project management consulting, tendering and economic contract consulting, procurement of materials, equipment, and technology;
2. Production and business fields:
a) Manufacturing, trading, and installation of various types of machinery, technological equipment, automatic control systems, automation equipment, industrial electronics, and software applications in industrial production;
b) Trading in imports and exports of raw materials, electronic equipment, machinery, equipment, tools, and production lines in industry;
c) Financial investment in subsidiaries and other types of enterprises;
3. Other scientific and technological fields of activity and other professions suitable to the capabilities of the Institute and permitted by law.
Article 3. Organizational structure of the Institute of Machinery and Industrial Equipment:
1. Director;
2. Deputy Directors;
3. Chief Accountant;
4. Specialized and professional departments.
Article 4. The Institute of Machinery and Industrial Equipment has the following subsidiary forms:
1. Enterprises invested in by the parent company (100% or part of the capital through license transfer, technology secrets, or direct capital contribution), subject to the control of the parent company according to the proportion of capital investment, including:
a) State-owned subsidiaries where the parent company holds all the charter capital;
b) Limited liability companies with one member where the parent company holds all the charter capital;
c) Limited liability companies with two or more members, one of which is the parent company;
d) Joint-stock companies where the parent company holds controlling shares.
2. Public service units: training institutions, applied research centers.
Assign the Director of the Institute of Machinery and Industrial Equipment to prepare a proposal for the Ministry of Industry to decide on the establishment of subsidiaries.
Article 5. This Decision takes effect 15 days from the date of signature. Abolish previous documents that conflict with this Decision.
The Head of the Ministry's Office, the Inspector General of the Ministry, Heads of Departments, Directors of Agencies under the Ministry, Chairman of the Board of Management, General Director of the Vietnam Machinery and Equipment Corporation, and the Director of the Institute of Machinery and Industrial Equipment are responsible for implementing this Decision./.
