Regulations on the process of specialized inspection in Commerce and Industry

 

On the basis of Law on Inspection No. 84/2025/QH15;

Decree No. 40/2025/NĐ-CP stipulates the functions, tasks, powers, and organizational structure of the Ministry of Commerce and Industry amended and supplemented by Decree No. 109/2025/NĐ-CP and Decree No. 193/2025/NĐ-CP;

Decree No. 217/2025/NĐ-CP concerning specialized inspection activities;

At the proposal of the Director of the Office of the Ministry;

The Minister of Commerce and Industry issues this Circular to regulate the process of specialized inspection in Commerce and Industry.

PART I

GENERAL PROVISIONS

Article 1. Scope of Regulation

1. This Circular regulates the process of specialized inspection in Commerce and Industry as provided for in point b, Clause 2, Article 18 of Decree No. 217/2025/NĐ-CP.

2. This Circular does not apply to the inspection of the implementation of laws by organizations and individuals; administrative violation handling activities of market management forces under the Ordinance on Market Management; inspection of the implementation of laws on administrative violation handling; origin inspection of goods under the Law on Foreign Trade Management; inspection activities serving the process of administrative procedures; other inspection activities regulated by laws, resolutions of the National Assembly, ordinances, and resolutions of the Standing Committee of the National Assembly.

Article 2. Applicability

State management agencies in the Commerce and Industry sector; Heads of state management agencies in the Commerce and Industry sector; agencies, units authorized to conduct specialized inspection in Commerce and Industry; Leaders and members of specialized inspection teams in Commerce and Industry; agencies, organizations, units, and individuals subject to specialized inspection in Commerce and Industry and other related agencies, organizations, units, and individuals.

Article 3. Authority for specialized inspection in Commerce and Industry

1. The Minister of Commerce and Industry has the authority for specialized inspection within the scope of the Ministry's state management.

2. The Chairman of the National Competition Council, Directors of Departments under the Ministry of Commerce and Industry have the authority for specialized inspection over organizations and individuals within the delegated and authorized scope.

3. The authority for specialized inspection in Commerce and Industry at local level shall be implemented according to Clause 2, Article 6 of Decree No. 217/2025/NĐ-CP.

Article 4. Content of specialized inspection in Commerce and Industry

1. Industrial safety and technical field, environmental protection in the Commerce and Industry sector

Inspect compliance with specialized laws on labor safety and hygiene within the assigned scope and authority; technical safety activities within the Ministry’s management scope; technical safety testing of machinery, equipment, materials under the Ministry’s management authority; implementation of contents in approved/sanctioned safety documents; inspect compliance with laws on technical safety, electrical safety, electrical equipment; dam and reservoir safety in hydropower development under the Ministry of Commerce and Industry’s management authority; inspect compliance with laws on technical safety, tailing pond management during mining and processing; emergency response, rescue, disaster prevention and mitigation, and search and rescue operations under the Ministry’s responsibility; transportation of dangerous goods within the authorized scope and other contents as prescribed by law.

2. Industry (heavy industry and light industry), promoting small-scale industries, industrial clusters

a) Inspect compliance with specialized laws on mechanical engineering, metallurgy, mining and mineral processing (excluding construction materials and cement production), consumer goods industry, food industry, food safety, biotechnology industry, supporting industry, electronics industry, high technology industry within the management scope and other contents as prescribed by law;

b) Inspect compliance with specialized laws on national promotion of small-scale industries; implementation of planning, policies, laws, effectiveness of industrial cluster activities, and other contents as prescribed by law.

3. Energy sector including: Electricity, coal, oil and gas, new energy, renewable energy, and other energies; electricity demand management

a) Inspect compliance with specialized laws on the electricity sector within the management scope, including: power planning, investment in power projects; development of renewable energy and new electricity sources; power operation licenses; competitive electricity market, electricity trading, electricity prices, and electricity service prices; dispatching and operation of the national power system; protection of power facilities and safety in the electricity sector and other contents as prescribed by law;

b) Inspect compliance with specialized laws on the coal industry sector related to: coal processing and supply for electricity production, coal business activities; compliance with price laws within the management scope; other contents as prescribed by law;

c) Inspect compliance with specialized laws on the oil and gas sector related to: basic investigation work on oil and gas and oil and gas activities (oil and gas exploration, development, extraction, decommissioning of oil and gas facilities); transportation, processing, storage, treatment, distribution of oil and gas and products; oil and gas contracts, projects within the management scope; gas supply situation for electricity production; compliance with price laws within the management scope; other contents as prescribed by law;

d) Inspect compliance with specialized laws on the production, processing, and trade of gasoline, liquefied petroleum gas within the management scope and other contents as prescribed by law.

4. Chemicals and industrial explosives sector

Inspect compliance with specialized laws on chemical and industrial explosives activities within the management scope and other contents as prescribed by law.

5. Export and import of goods sector

Inspect compliance with specialized laws on export and import activities, border trade, origin of goods, logistics services, temporary import for re-export, temporary export for re-import, transshipment, transit, agency purchase and sale, processing of goods with foreign countries and other contents as prescribed by law.

6. Trade Promotion sector

a) Inspect compliance with specialized laws on trade promotion activities of traders and organizations related to trade;

b) Inspect the implementation of specialized laws regarding the National Program on Trade Promotion, the National Program on Brands, and the operations of representative offices of trade promotion organizations within the jurisdiction.

7. The field of commerce and domestic markets

a) Inspect the implementation of specialized laws concerning: development of trade and domestic markets, ensuring balance between supply and demand for essential goods in mountainous areas, islands, remote regions, border areas, and ethnic minority groups as prescribed by law; trading methods and business forms as prescribed by law;

b) Inspect the implementation of specialized laws concerning reserve management and market regulation to stabilize prices;

c) Inspect the implementation of specialized laws concerning business activities listed in the catalog of conditional business fields;

d) Inspect the implementation of specialized laws concerning policies for developing commercial infrastructure as prescribed by law;

đ) Inspect the implementation of specialized laws concerning commodity trading through the Commodity Exchange;

8. The field of electronic commerce and digital economy

Inspect the implementation of specialized laws concerning electronic commerce, including: provision of information and transactions in electronic commerce; provision of electronic commerce services; activities of website credit rating in electronic commerce; provision of electronic contract certification services; protection of personal information in electronic commerce within the scope of management; other contents as prescribed by law.

9. The field of competition, consumer rights protection, and multi-level marketing business

Inspect the implementation of specialized laws concerning competition; protection of consumer rights; management of multi-level marketing business activities and other contents as prescribed by law.

10. The field of trade defense

Inspect the implementation of specialized laws concerning trade defense, anti-circumvention of trade defense measures, exemption from application of trade defense measures within the scope of management, and other contents as prescribed by law.

11. The field of commercial presence activities and foreign service provider and investor business operations in Vietnam in the industry and trade sectors

a) Inspect the implementation of specialized laws concerning commodity trading and related activities directly associated with commodity trading of foreign service providers as prescribed by law;

b) Inspect the implementation of specialized laws concerning representative offices and branches of foreign traders in Vietnam;

c) Inspect the implementation of specialized laws concerning business investment activities of foreign investors, economic organizations with foreign investment capital in the service sector under the management of the Ministry of Industry and Trade.

12. Inspect the implementation of specialized laws concerning pricing in the scope of management of the Ministry of Industry and Trade as prescribed by law.

13. Inspect the implementation of specialized laws concerning quality management of construction projects under the state management of the Ministry of Industry and Trade as prescribed by law.

14. Inspect the implementation of specialized laws concerning green transition, energy efficiency and rational use, sustainable development, sustainable production and consumption, climate change response in the industry and trade sector and other contents as prescribed by law.

15. Inspect the implementation of specialized laws concerning the execution of decentralization and delegation of authority to agencies, organizations, and individuals who have been delegated authority in the state management of the Ministry of Industry and Trade; the implementation of other specialized laws assigned by the Government and Prime Minister and as prescribed by law.

Chapter II

PROCEDURE FOR SPECIALIZED INDUSTRY AND TRADE INSPECTION

Article 5. Building specialized inspection plans

1. The construction and issuance of specialized inspection plans must be based on the requirements for economic and social development tasks and the management needs of the industry and sector under the Ministry of Industry and Trade.

2. Based on their functions, tasks, and the requirements stipulated in Clause 1 of this Article, the heads of units with authority to conduct specialized inspections as specified in Clause 2 of Article 3 of this Circular and units performing advisory and support functions for the Minister of Industry and Trade in managing the industry and sector shall be responsible for building specialized inspection plans of their units and submitting them to the Ministry's Office for consolidation and submission to the Minister of Industry and Trade for consideration and issuance of the Ministry of Industry and Trade’s specialized inspection plan. In necessary cases, the Minister of Industry and Trade may adjust the specialized inspection plan.

3. The construction and issuance of specialized inspection plans (if any) at local levels shall be decided by the Chairpersons of People's Committees at all levels.

4. The specialized inspection plan shall be sent to the inspected entity and relevant agencies, units, organizations, and individuals within ten working days from the date of issuance for monitoring, coordination, and implementation.

Article 6. Decision on specialized inspection

1. The person with authority to conduct specialized inspections as stipulated in Article 3 of this Circular shall issue the decision on specialized inspection.

In necessary cases, depending on the nature and scale of the task, the Minister of Industry and Trade may assign a lead unit to coordinate with related units to submit a proposal for the Minister to issue the Inspection Decision.

2. The basis for issuing the decision on specialized inspection and the content of the specialized inspection decision shall be carried out according to the provisions of Clause 2 and Clause 3 of Article 11 of Decree No. 217/2025/NĐ-CP.

3. The specialized inspection team shall be established based on the document appointing personnel or the document confirming the dispatch of representatives from related agencies, units, and organizations.

Article 7. Location and Time of Specialized Inspection

The location and time of specialized inspection shall be implemented according to the provisions of Article 13 of Decree No. 217/2025/NĐ-CP and the following regulations:

1. The location and working hours of the inspection team must be notified in writing by the Head of the Inspection Team to the inspected entity three working days before the date of issuance of the inspection decision, except in urgent cases where there are signs of violation of laws and if prior notification would pose a risk of the inspected entity disposing of or destroying objects, documents, or means used for violations. In case of changes to the location and working hours, the Head of the Inspection Team must promptly notify in writing the inspected entity.

2. In cases of online or remote inspections, the Head of the Inspection Team must inform the inspected entity; and agree with the inspected entity on the time and method of implementation.

Article 8. Construction, Issuance, Approval, Dissemination, and Implementation of Plans for Conducting Specialized Inspections

1. The construction, issuance, and approval of plans for conducting specialized inspections shall be carried out according to the provisions of Article 14 of Decree No. 217/2025/NĐ-CP.

2. Specific assignments for members of the inspection team in the plan for conducting specialized inspections must be based on the consensus of the team members, ensuring compatibility with the functions, tasks, and authorities of the agencies, units, and organizations they represent.

3. The Head of the Inspection Team shall organize a meeting of the inspection team (or by an appropriate method) to disseminate and implement the contents of the plan for conducting specialized inspections.

4. In necessary cases, the Head of the Inspection Team may request the inspected entity to provide relevant information in writing concerning the inspection content to serve the construction of the plan for conducting specialized inspections.

Article 9. Conducting specialized inspections

1. The announcement of the inspection decision shall be carried out in accordance with Clause 1 of Article 15 of Decree No. 217/2025/NĐ-CP. The inspection team may announce the inspection decision directly or online.

2. The head of the inspection team and members of the inspection team are responsible for researching information and documents collected; evaluating the implementation of policies and laws by the inspected entity according to their assigned tasks.

3. In cases where it is necessary to verify information, documents, and issues related to the inspection content, the inspection team requests the inspected entity, representatives of relevant agencies, organizations, or individuals to provide explanations either directly or in writing.

4. The preparation of inspection records, administrative violation records, and the handling of inspection results shall be carried out in accordance with Clause 3 of Article 15 of Decree No. 217/2025/NĐ-CP.

Article 10. Reporting on the results of specialized inspections; organizing the implementation of decisions regarding specialized inspections

1. Upon completion of the inspection, members of the inspection team are responsible for reporting to the head of the inspection team about the results of their assigned tasks. The head of the inspection team is responsible for compiling and reporting to the person who issued the inspection decision about the inspection team's results.

2. The report on the inspection results shall be prepared in writing and include the following main contents:

a) An overview of the inspected entity and the inspection process;

b) Observations and evaluations of the implementation of policies, laws, standards, technical expertise, duties, and authorities of the inspected entity within the scope of the inspection; clearly identifying the nature, degree of violation, causes, and responsibilities of agencies, organizations, or individuals involved in violations (if any); measures applied within the authority (if any);

c) Recommendations for handling violations of the law; recommendations for amending, supplementing, promulgating regulations in line with management requirements or abolishing regulations found to be contrary to the law through the inspection (if any).

3. The deadline for preparing the report on the inspection results is not more than 10 working days from the date the inspection team completes the inspection, and in complex cases, it can be extended but not more than 15 working days.

4. Within 15 days from the date of receiving the report on the inspection results, the person who issued the inspection decision shall issue a document commenting and evaluating the implementation of policies, laws, standards, technical expertise, duties, and authorities of the inspected entity within the scope of the inspection; clearly identifying the nature, degree of violation, causes, and responsibilities of agencies, organizations, or individuals involved in violations (if any); recommending measures to handle violations of the law; recommending amendments, supplements, promulgation of regulations in line with management requirements or abolition of regulations found to be contrary to the law through the inspection (if any).

5. The organization of implementing decisions regarding specialized inspections shall be carried out in accordance with Article 16 of Decree No. 217/2025/NĐ-CP.

Article 11. Sample documents in inspection activities and inspection files

1. Sample documents in inspection activities

a) Sample documents in specialized inspection activities of Industry and Trade shall be implemented in accordance with the annex attached to this Circular;

b) In cases where relevant laws stipulate sample documents for specialized inspection activities, the inspector shall apply the provisions of the specialized law to issue documents in inspection activities.

2. The head of the inspection team is responsible for establishing the inspection file in accordance with the law. The inspection file includes the following documents and materials:

a) Inspection decision; plan for conducting the inspection;

b) Inspection record;

c) Reports and explanations of the inspected entity; handover and return receipt of files and documents;

d) Report on the inspection results;

đ) Documents commenting and evaluating the implementation of policies and laws by the inspected entity within the scope of the inspection; documents requesting rectification and correction of deficiencies and limitations after the specialized inspection (if any); decision on administrative violation handling (if any);

e) Related documents.

3. The agency of the person issuing the inspection decision is responsible for storing the inspection file in accordance with the law.

Chapter III

IMPLEMENTING PROVISIONS

Article 12. Effectiveness and Responsibility for Implementation

1. This Circular takes effect from November 28, 2025.

2. Repeal Circular No. 15/2024/TT-BCT on certain contents of specialized industry and trade inspections.

3. Repeal Clause 1, Clause 2, Clause 4 of Article 1; Clause 1, Clause 2, Clause 3, Clause 4, Clause 5, Clause 6 of Article 3; Chapter II, Chapter III, Chapter V; Articles 30, 31; Clause 2, Clause 3 of Article 32; Annexes I, III, and IV of Circular No. 42/2022/TT-BCT on electricity activity inspections and usage, dispute resolution in power purchase contracts.

4. Specialized industry and trade inspections must be conducted in accordance with Decree No. 217/2025/NĐ-CP, this Circular, and other related regulatory legal documents issued by the Minister of Industry and Trade. In case there are different provisions between this Circular and other regulatory legal documents issued by the Minister of Industry and Trade on the same matter, the provisions of this Circular shall apply.

5. During the implementation period, if there are difficulties, obstacles, or new issues arising, agencies, organizations, or individuals should promptly reflect them to the Ministry of Industry and Trade for guidance or appropriate amendments and supplements.
