DECREE

On the development and management of markets

Pursuant to the Law on Organization of Local Administration dated June 19, 2015;

Pursuant to the Law Amending and Supplementing Several Provisions of the Law on Organization of the Government and the Law on Organization of Local Administration dated November 22, 2019;

Pursuant to the Law on Trade dated June 14, 2005;

Pursuant to the Civil Code on November 24, 2015;

Pursuant to the Law on Cultural Heritage dated June 29, 2001; the Law Amending and Supplementing Certain Provisions of the Law on Cultural Heritage dated June 18, 2009;

Pursuant to the Law on Construction dated June 18, 2014; the Law Amending and Supplementing Certain Provisions of the Law on Construction dated June 17, 2020;

Pursuant to the State Budget Law dated June 25, 2015;

Based on the Law on Enactment of Legislative Acts dated June 22, 2015; Law Amending and Supplementing Certain Articles of the Law on Legislative Regulatory Documents dated June 18, 2020;

Pursuant to the Law on Management and Use of State Assets dated June 21, 2017;

Pursuant to the Planning Law dated November 24, 2017;

Pursuant to the Law on Public Investment dated June 13, 2019; the Law Amending and Supplementing Certain Provisions of the Law on Public Investment, the Law on Public-Private Partnership Investment, the Investment Law, the Housing Law, the Bidding Law, the Electricity Law, the Enterprise Law, the Special Consumption Tax Law, and the Civil Enforcement Law dated January 11, 2022; Pursuant to the Investment Law dated June 17, 2020 The Government issues this Decree on the development and management of markets.

On the basis of This Decree stipulates policies and mechanisms for the development and management of markets, including: investment in constructing markets (including new construction, repair, and renovation of construction works); organization of market management and business activities within markets; management, use, and exploitation of infrastructure assets of markets invested in and managed by the State.;

Pursuant to the Law on Enterprises dated June 17, 2020;

Pursuant to the Law on Bidding dated June 23, 2023;

At the proposal of the Minister of Industry and Trade;

Agencies, organizations, and individuals related to activities concerning the development and management of markets.

Chapter I

GENERAL PROVISIONS

Article 1. Scope of Regulation

1. Markets regulated under this Decree are organized at a location according to planning and development plans to meet the needs of buying and selling goods and consumer demands of the people.

Article 2. Applicability

2. The scope of the market is the area designated for market activities, including: space for arranging business points; administrative office buildings; internal traffic; service areas (such as parking lots, sanitary facilities, warehouses, waste collection and disposal areas, dining and entertainment areas, and other services).

Article 3. Explanation of Terms

2. Self-generated and self-consumed electricity is electricity produced and consumed by an organization or individual to serve their own needs.

3. A wholesale market is a market that concentrates goods from production and business sources to distribute to other markets and distribution channels.

4. A community market is a market for buying and selling goods produced, cultivated, and traded by the people to serve their daily living needs.

5. Business points in markets include stalls, booths, kiosks, and shops arranged fixedly within the market's scope according to the market's design. Business points in markets must have a minimum area of 3 square meters per point.

6. A permanent market is a market constructed to ensure a usage period exceeding 10 years.

7. A semi-permanent market is a market constructed to ensure a usage period between 5 and 10 years.

8. A temporary market is a market that has been planned but not yet constructed permanently or semi-permanently; an area temporarily arranged for business by local authorities.

9. Spontaneous business points are unregulated business points or areas not included in the local market development plan.

10. Rural markets are markets located in administrative areas excluding urban wards of districts and cities.

11. Night markets are markets organized in areas designated for nighttime economic development, operating from 6 PM the previous day until 6 AM the following morning.

12. Community markets are places where goods produced, cultivated, and traded by the people are bought and sold with permission from competent authorities to serve the local community.

13. Enterprises investing, operating, exploiting, and managing markets are enterprises established and operating in accordance with the law, undertaking investment, construction, operation, exploitation, and management of markets.

14. Cooperatives investing, operating, exploiting, and managing markets are cooperatives established and operating in accordance with the law, undertaking investment, construction, operation, exploitation, and management of markets.

15. The specialized agency responsible for managing market infrastructure assets is an agency under the provincial People's Committee or district People's Committee assisting the provincial People's Committee or district People's Committee in performing state management functions over market infrastructure assets invested in and managed by the State within the province (hereinafter referred to as the specialized agency for market infrastructure assets).

16. Market infrastructure assets (including land and assets attached to land) invested in and managed by the State include:

Market sheds and covered structures, administrative offices of market management organizations within the market scope, sanitary facilities, storage areas, parking lots, waste collection and disposal areas, security rooms, religious spaces (if any), and cold storage areas (if any);

Technical systems including: transportation infrastructure, water supply and drainage systems, electrical systems, information systems, surveillance cameras, ventilation and air conditioning systems, fire prevention and extinguishing systems, and waste collection systems;

Other constructions within the market scope.

Article 4. Classification of markets

1. Classification of markets based on business methods:

- Office of the President of the Statea) Wholesale markets are markets with functions as defined in Clause 3, Article 3 of this Decree and meeting the following criteria:

Scale (area): minimum floor area of 10,000 square meters excluding areas for green spaces, roads, parking lots, and auxiliary facilities.

Location: connected to various types of transportation, facilitating the flow of goods.

Construction items include:2Essential facilities: parking lots, water supply and wastewater treatment systems, waste and scrap collection sites, sanitary facilities, and storage areas for goods;

Technical requirements: fire prevention and extinguishing, food safety, environmental protection, and climate change response as prescribed by law;

Main areas: trading zones for goods by sector (including wholesale and retail areas); office zones; inspection, quarantine, and quality control zones (for goods of animal and plant origin for export and import), traceability and quality management; sorting and processing, packaging, and labeling zones; storage areas for receiving and dispatching goods; support service zones for essential services and loading and unloading zones for trucks and containers.

Existing wholesale markets that have been invested in, constructed, and are operating before the effective date of this Decree shall continue to operate according to their investment projects.

b) Community markets are markets with purposes and functions as defined in Clause 4, Article 3 of this Decree.

2. Classification of markets based on scale:

a) Class 1 markets:

Markets with more than 400 business points, constructed permanently according to planning.

2. Classification of markets according to scale:

a) Class 1 market:

 It is a market with over 400 business points, constructed solidly in accordance with planning.

||| There is a market area suitable for the scale of the market's operations; organize minimum activities such as parking, public sanitation, and other activities.

||| b) Class 2 Market:

||| Is a market with from 200 business points to 400 business points, invested in and constructed solidly or semi-solidly according to planning.

||| There is a market area suitable for the scale of the market's operations; organize minimum activities such as parking, public sanitation, and other activities.

||| c) Class 3 Market:

||| Is a market with fewer than 200 business points or not yet invested in and constructed solidly or semi-solidly.

||| There is a market area suitable for the scale of the market's operations; organize minimum activities such as public sanitation.

||| 3. Classification of markets based on sources of capital:

||| a) Markets invested from state budget funds:

||| The investment construction, management organization, and business operation at the market shall be carried out in accordance with the provisions of Chapter II and Chapter III of this Decree and relevant laws.

||| Management, use, and exploitation of market infrastructure assets invested by the State shall be implemented in accordance with the provisions of Chapter IV of this Decree.

||| b) Markets invested from non-state budget funds (including other lawful sources as prescribed by law):

||| The investment construction, management organization, and business operation at the market shall be carried out in accordance with the provisions of Chapter II and Chapter III of this Decree and other relevant laws.

Chapter II

||| INVESTMENT AND CONSTRUCTION OF MARKETS

||| Article 5. Market Development Plan

||| 1. Based on provincial planning, provincial economic and social development plans, related planning, and development needs, the People's Committee of the province shall issue a Market Development Plan aimed at: investing in new construction, renovation, and upgrading of markets; attracting investment to develop the market system within its jurisdiction.

||| 2. The main contents of the Market Development Plan include:

||| a) Legal basis, necessity of construction;

||| b) Objectives;

||| c) Tasks, solutions;

||| d) Market development plan (investment construction, development, expansion, renovation of markets and other related contents);

||| e) Implementation organization.

||| Article 6. Investment and Construction of Markets

||| 1. Markets under construction must comply with provincial planning, provincial economic and social development plans, and other related planning and plans.

||| 2. Sources of capital for market construction include: state budget funds, non-state budget funds (including other lawful sources as prescribed by law).

||| 3. State budget funds are used to support the construction of community markets and wholesale markets in accordance with laws on public investment and state budgets. The support for land clearance from the state budget for wholesale markets shall be carried out in accordance with laws on public investment and relevant laws.

||| 4. Localities proactively balance state budget funds to invest in or provide capital investment support for market development within their jurisdiction based on actual conditions, urgency, and compliance with laws on public investment, state budgets, and other relevant laws.

||| 5. The State encourages organizations, individuals, and traders of all economic sectors to invest in constructing markets.

||| 6. Market investment projects enjoy preferential investment policies, state investment credit policies, and socialized investment policies in accordance with the law.

||| 7. Depending on the source of investment and land use conditions, market construction investment projects shall be implemented in accordance with current laws accordingly.

Article 7. Rights and Obligations of the Investor in Building a Market

1. Rights of the Investor in Building a Market:

a) The investor in building a market shall enjoy investment incentives and loans from Development Funds according to the Government's regulations on the organization and operation of local development funds;

b) Other rights as prescribed by law.

2. Obligations of the Investor in Building a Market:

a) To implement the investment and construction of the market in accordance with current regulations on investment, construction, and related laws;

b) To perform maintenance during the project cycle for the construction of the market;

c) The investor in constructing, reconstructing, or relocating a market shall cooperate with competent authorities to publicly announce information at the offices of competent state agencies and other relevant locations, soliciting opinions from interested parties as prescribed by law. The minimum public announcement period is thirty days (excluding holidays and New Year’s Day);

d) The investor in constructing, reconstructing, or relocating a market shall implement the following: developing relocation support plans and policies; ensuring the operation of temporary markets; formulating exploitation, arrangement, and layout plans for trading points in the market, soliciting opinions from traders operating in the market;

đ) The investor in building a new market must ensure compliance with legal provisions regarding the layout of facilities within the market area; for renovated and upgraded markets, particular attention should be given to fire prevention and firefighting, water supply and drainage, public sanitation, lighting, ventilation, and parking areas as prescribed;

e) Other obligations as prescribed by law.

Chapter III MANAGEMENT OF MARKETS AND BUSINESS ACTIVITIES IN MARKETS

Article 8. Organization of Market Management

The organization of market management includes: the investor in building a market; enterprises and cooperatives investing, operating, exploiting, and managing the market; organizations entrusted with managing the infrastructure assets of the market as stipulated in Clause 1 and Clause 2 of Article 15 of this Decree; organizations implementing the exploitation of infrastructure assets of the market as stipulated in Articles 24 and 25 of this Decree.

Article 9. Powers and Responsibilities of the Market Management Organization

1. Organizing and implementing the management of the market and services supporting market activities in accordance with this Decree and related laws.

2. Implementing renovation, upgrading, maintenance, and repair of the market as prescribed; ensuring fire prevention and firefighting, environmental hygiene, protection of water resources, security, public order, food safety, and measurement within the market and business areas.

3. Formulating the Market Regulations as prescribed in Article 10 of this Decree, organizing the operation of the market according to the Market Regulations, and handling violations of the Market Regulations within their authority.

4. Signing and implementing contracts with traders regarding the rental and use of trading points in the market and other services as prescribed by law.

5. Disseminating and informing traders operating in the market about relevant policies and laws.

6. Cooperating with functional agencies in implementing regulations on preventing and controlling infectious diseases.

7. Summarizing and reporting on the market's operational situation as required by competent authorities.

8. Maintaining market operations to ensure normal buying and selling of goods under usual conditions as well as according to the requirements of competent authorities when necessary.

9. In addition to the above obligations, the market management organization entrusted with managing and using public assets as stipulated in Clause 1, Clause 2 of Article 15, Articles 24 and 25 of this Decree shall be responsible for managing and using public assets in accordance with the law.

1. All markets must have Market Regulations applicable within their scope. Market Regulations are developed based on the provisions of this Decree and current laws, including the following main contents:

1. The Market Regulations must include the following main contents:

a) Operating hours;

b) Rights and obligations of traders operating in the market;

c) Provisions on goods and services traded in the market;

d) Provisions on persons conducting transactions, buying and selling, visiting, and performing official duties in the market;

đ) Provisions for market management staff;

e) Fire prevention and firefighting safety, disaster prevention;

g) Security and public order in the market;

h) Environmental hygiene and food safety;

i) Civilized trade market, code of conduct;

k) Requirements for participating in cultural and social activities in the market;

l) Provisions for handling violations in the market;

m) Other provisions.

2. The Market Regulations must be publicly posted clearly and visibly in places easily seen and observed within the market and must be disseminated to traders operating in the market.

3. Organizations and individuals participating in trading and service activities in the market and related organizations and individuals must comply with legal provisions and the Market Regulations.

4. Violations of the Market Regulations shall be handled by the market management organization within their authority.

5. The Provincial People's Committee shall issue model Market Regulations to standardize the formulation and application of market regulations across all markets in the locality.

Article 11. Management of business points at markets

1. The market management organization is responsible for:

a) Developing exploitation, arrangement, and layout plans for trading areas and using trading points in the market and notifying the competent provincial people's committee;

b) Signing contracts with traders renting trading points according to the exploitation, arrangement, and layout plans for trading areas and using trading points in the market as prescribed by law;

c) Arranging and laying out traders using trading points according to the exploitation, arrangement, and layout plans for trading areas and using trading points in the market.

2. The lease term for trading points in the market shall be agreed upon by the parties involved, except where otherwise provided by law. The lease term for trading points in the market must be reflected in the contract signed between the market management organization and the traders operating in the market.

3. The provincial people's committee shall guide and regulate the management of trading points in the market as stipulated in this Article to ensure social welfare, food safety, and public security.

Article 12. Rights and Obligations of Traders Operating at Markets

1. Rights of traders operating at markets:

a) Traders with contracts for using or leasing business points at markets have the right to operate according to signed contracts;

b) Traders may transfer their business points or lease them to other traders during the contract period upon written approval from the market management organization;

c) Those who occasionally sell goods in markets must be arranged to sell in designated areas and comply with Market Regulations.

2. Obligations of traders operating at markets:

a) Traders operating at markets must follow the arrangement and layout plan for business areas set by the market management organization;

b) Traders operating at markets, in addition to complying with legal regulations, must adhere to Market Regulations and be subject to management by the market management organization;

c) Goods and services of traders operating at markets must not fall under prohibited trade categories and must meet conditions stipulated by law for restricted trade goods and services;

d) The business activities of traders operating at markets must not fall under prohibited investment sectors and must meet conditions stipulated by law for conditional investment sectors.

Chapter IV

MANAGEMENT, USE AND EXPLOITATION OF MARKET INFRASTRUCTURE ASSETS INVESTED BY THE STATE

Section 1

IMPLEMENTATION PRINCIPLES

Article 13. Principles for Managing, Using and Exploiting Market Infrastructure Assets Invested by the State

1. Market infrastructure assets shall be assigned by competent state agencies to entities for management and use in accordance with specific conditions regarding market scale, socio-economic characteristics of each locality, and relevant laws.

Matters concerning land allocation, land leasing, land rent collection, rent reduction, and land management and use associated with market infrastructure assets shall be carried out in accordance with laws on land and related laws.

2. Provincial People's Committees shall decide on assigning state management agencies responsible for market infrastructure assets within their jurisdiction to ensure uniformity, clearly defined authority and responsibilities for each agency, and cooperation responsibilities among agencies, consistent with market scale, legal provisions, and socio-economic characteristics of the locality.

3. The State encourages socialization to mobilize and diversify resources for maintaining, developing, and exploiting market infrastructure assets.

4. Market infrastructure assets shall be fully recorded and accounted for in terms of physical assets and value; depreciation and asset wear and tear calculations shall be conducted as prescribed by law; maintenance of assets shall be carried out as required by law. Entities assigned to manage market infrastructure assets as stipulated in Clause 1 and Clause 2 of Article 15 of this Decree and related organizations shall implement accounting in accordance with current regulations.

5. Management, use, disposal, and exploitation of market infrastructure assets must ensure transparency and public disclosure; achieve social welfare goals; include appropriate relocation and compensation plans; ensure security and order; prevent state asset loss; be subject to supervision, inspection, audit; conform to planning; preserve historical, cultural, and architectural values; all violations of laws on management, use, and exploitation must be promptly and strictly addressed in accordance with legal provisions.

6. In cases where market infrastructure assets are managed, used, and exploited inefficiently, do not conform to approved planning, or do not align with initial purposes, land recovery linked to these assets shall be implemented in accordance with laws on land and related laws.

Article 14. Principles for Handling Assets When Changing the Business Model of Entities Receiving Infrastructure Assets of Markets

1. The handling of assets when changing the business model from a public service unit to a state-owned joint stock company shall be carried out in accordance with the regulations on converting public service units into state-owned joint stock companies.

2. The handling of assets when changing the business model from a state-owned enterprise to a state-owned joint stock company shall be carried out in accordance with the laws on the shareholding reform of state-owned enterprises.

Section 2

HANDLING INFRASTRUCTURE ASSETS OF MARKETS

Article 15. Recipients and Forms of Handling Infrastructure Assets of Markets

1. Recipients receiving infrastructure assets of markets managed by provincial level:

a) Public service units;

b) State-owned enterprises holding 100% of the charter capital (hereinafter referred to as state-owned enterprises);

c) Provincial-level specialized agencies on market infrastructure assets.

2. Recipients receiving infrastructure assets of markets managed by district level:

a) Public service units;

b) People's Committees of communes;

c) District-level specialized agencies on market infrastructure assets.

3. Forms of handling infrastructure assets of markets:

a) Transferring infrastructure assets of markets to public service units specified in point a Clause 1 and point a Clause 2 of this Article (hereinafter referred to as the unit), People's Committees of communes specified in point b Clause 2 of this Article (hereinafter referred to as the agency) in the form of increasing assets;

b) Transferring infrastructure assets of markets to state-owned enterprises for management through state investment in enterprises to conduct market operations in accordance with the laws on managing and using state capital invested in production and business at enterprises, laws on enterprises, and related laws;

c) Transferring infrastructure assets of markets to specialized agencies on market infrastructure assets to develop exploitation plans in cases where the assets have been transferred to public service units or People's Committees of communes but the actual management, use, and exploitation are not effective.

Article 16. Competence to Decide; Procedures and Formalities for Handling Infrastructure Assets of Markets Managed by Provincial Level

1. Competence to Decide on Handling Infrastructure Assets of Markets

Provincial People's Committees consider and decide to transfer infrastructure assets of markets under their management to state-owned enterprises, public service units, and specialized agencies on market infrastructure assets within their management scope.

2. Procedures and Formalities for Deciding on Handling Newly Constructed Market Infrastructure Assets and Market Infrastructure Assets Established with Full Public Ownership Rights

a) The project investor (for newly constructed market infrastructure assets), the main asset management unit (for market infrastructure assets established with full public ownership rights according to Article 106 of the Law on Management and Use of State Assets) shall submit documents along with the asset dossier to the provincial-level specialized agency on market infrastructure assets. The dossier includes:

A proposal from the project investor/main asset management unit regarding the transfer of assets to the management entity: one original copy;

Decision approving the investment construction project: one original copy; A request for asset transfer from the recipient entity (in case of planned transfer to a state-owned enterprise or public service unit): one original copy;

List of assets proposed for transfer (asset name, address, type of facility, year of construction, year of operation, area, number of trading points in the market, asset value, asset condition assessment - if applicable): one original copy;

Acceptance record for new construction assets: one original copy;

Decision establishing full public ownership rights (for assets established with full public ownership rights according to Article 106 of the Law on Management and Use of State Assets): one original copy; Completion dossier (for newly constructed facilities): one copy; Other relevant documents (if any): one copy.

b) Within sixty days from the date of receipt of all documents stipulated in point a of this clause, the provincial-level specialized agency on market infrastructure assets shall take the lead and coordinate with relevant agencies and units of the locality to submit to the provincial People's Committee for consideration and decision on transferring assets. The main contents of the asset transfer decision include:

Name of the entity receiving assets;

Form of asset transfer;

List of assets (asset name, address, type of facility, year of construction, year of operation, area, number of trading points in the market, asset value, asset condition assessment - if applicable);

Responsibility for implementation.

3. Within thirty days from the date of the provincial People's Committee's decision on transferring market infrastructure assets, relevant agencies, units, and enterprises shall carry out the handover and acceptance of assets. The handover and acceptance of assets shall be recorded in a protocol according to Model No. 05 of Appendix I of this Decree.

4. After accepting market infrastructure assets, the management and use of assets shall be carried out as follows:

a) In cases where market infrastructure assets are transferred to enterprises through state investment, the management, use, and exploitation of assets shall be conducted in accordance with the laws on managing and using state capital invested in production and business at enterprises, related laws, and the following provisions:

The implementation of rights and obligations of enterprises related to market infrastructure assets must ensure the state's ownership rights over the transferred market infrastructure assets;

The assets cannot be used for collateral, pledge, or other measures to secure civil obligations;

The function and purpose of the assets cannot be changed;

For market facilities that are no longer needed for market purposes and which enterprises voluntarily return to the locality, compensation and support shall be implemented in accordance with the laws on land;

Fully implement reporting systems on the management and use of market infrastructure assets as stipulated in this Decree;

Complete legal documents on land, manage and use land associated with market infrastructure assets in accordance with the laws on land and related laws.

b) For assets entrusted to specialized agencies for market infrastructure property management or public service units, the management, use, and exploitation shall be carried out in accordance with the provisions of this Decree. The agency or unit entrusted with the asset shall be responsible for managing and using land associated with market infrastructure assets in accordance with laws on land and related laws.

Article 17. Competence to decide; procedures and formalities for transferring market infrastructure assets managed by the district level

1. The People's Committee at the district level shall consider and decide on the transfer of market infrastructure assets within its jurisdiction.

2. Procedures and formalities for deciding on the transfer of market infrastructure assets:

a) The project investor (for newly constructed market infrastructure assets) or the main managing unit (for market infrastructure assets established with full ownership rights according to Article 106 of the Law on Management and Use of State Property) shall submit a document along with the asset file to the district-level specialized agency for market infrastructure assets. The file includes:

A proposal from the project investor/main asset management unit regarding the transfer of assets to the management entity: one original copy;

Decision approving the investment construction project: 01 original copy;

Request for asset transfer: 01 original copy;

List of assets proposed for transfer (asset name, address, type of facility, year of construction, year of operation, area, number of trading points in the market, asset value, asset condition assessment - if applicable): one original copy;

Acceptance record for new construction assets: one original copy;

Decision establishing full ownership rights (for assets established with full ownership rights according to Article 106 of the Law on Management and Use of State Property): 01 original copy;

Completion acceptance file (for new construction projects): 01 copy; Other relevant documents (if any): 01 copy.

b) Within 60 days from the date of receiving all required files as stipulated in point a of this clause, the district-level specialized agency for market infrastructure assets shall take the lead and coordinate with relevant agencies and units of the locality to submit to the district People's Committee for consideration and decision on asset transfer. The main contents of the asset transfer decision include:

Name of the entity receiving assets;

Form of asset transfer;

List of assets proposed for transfer (asset name, address, type of facility, year of construction, year of operation, area, number of trading points in the market, asset value, asset condition assessment - if applicable);

Responsibility for implementation.

3. Within 30 days from the date of the district People's Committee's decision on the transfer of market infrastructure assets, relevant agencies and units shall carry out the handover and receipt of assets. The handover and receipt of assets must be recorded in a protocol according to Model No. 05 of Appendix I of this Decree.

4. After receiving the market infrastructure assets, the management, use, and exploitation of the assets shall be carried out in accordance with the provisions of this Decree. The agency or unit entrusted with the asset shall be responsible for managing and using land associated with market infrastructure assets in accordance with laws on land and related laws.

Section 3

RECORDS FOR MANAGEMENT, ACCOUNTING AND MAINTENANCE OF MARKET INFRASTRUCTURE ASSETS

Article 18. Records for managing market infrastructure assets

1. Records for managing market infrastructure assets include:

a) Files related to the formation and changes in assets:

Decisions on asset transfer and reallocation by competent authorities; asset handover and receipt protocols;

Legal land-related files (Decisions on land allocation and lease; Land lease contracts; Certificate of land use rights and attached assets);

Other relevant files and documents.

b) Initial declaration reports and supplementary declaration reports as prescribed in Article 34 of this Decree (according to Models 01A, 01B, 01C, and 01D of Appendix I of this Decree).

c) Reports on the management, use, and exploitation of assets as prescribed in Sections 4 and 5 of Chapter IV of this Decree (according to Models 02A, 02B, 02C, 02D, 03A, 03B, 03C, 03D, and 03Đ of Appendix I of this Decree).

d) Information in the database on market infrastructure assets as prescribed in Article 35 of this Decree.

2. Agencies, units, enterprises, and specialized agencies for market infrastructure assets entrusted with the management of market infrastructure assets shall be responsible for establishing records, managing, and storing asset records in accordance with the law; implementing reports as prescribed in this Decree.

2. Agencies, units, enterprises, and specialized agencies for market infrastructure assets that are assigned to manage such assets shall be responsible for establishing files, managing, and storing asset files in accordance with the law; implementing reports as prescribed in this Decree.

Article 19. Accounting for market infrastructure assets

1. The agencies and units entrusted with managing market infrastructure assets shall be responsible for:

a) Opening accounting books and conducting asset accounting in accordance with the laws on accounting and the provisions of this Decree;

b) Implementing reports on the increase, decrease, depreciation accruals, and asset amortization in accordance with the laws.

2. Principles for recording in accounting books in certain cases:

a) For market infrastructure assets that were in use before the effective date of this Decree and have recorded value information in the accounting books, the existing value information shall be used for recording in the accounting books.

b) For market infrastructure assets that were in use before the effective date of this Decree but were not monitored or recorded in the accounting books, the actual re-evaluated value or the investment value of similar projects with equivalent grade, scale, and capacity, minus the value of the time already used, shall be used for recording in the accounting books.

c) For market infrastructure assets purchased, invested in, and completed for use from the effective date of this Decree, the recorded value in the accounting books shall be the purchase value or settlement value as prescribed.

In cases where new construction projects are completed and put into use without approval of the final settlement by the competent authority, the provisional cost shall be used for recording in the accounting books, prioritizing in the following order: proposed settlement value; value determined by the A-B Acceptance Certificate, approved project budget value. When the final settlement is approved, the accountant shall adjust the recorded value according to the accounting laws.

d) In cases where market infrastructure assets undergo repair, upgrade, or expansion during management and use based on approved projects by the competent authority, upon project settlement approval, the accountant shall record an increase in asset value according to the approved settlement value.

Article 20. Maintenance of market infrastructure assets

1. Market infrastructure assets must be maintained according to procedures, processes, plans, and standards to maintain their technical condition, ensuring normal and safe operation when in use.

2. Determination of maintenance costs for market infrastructure assets shall be carried out in accordance with the laws on construction project maintenance costs.

3. Maintenance costs for market infrastructure assets shall be included in the operating expenses of the unit entrusted with managing such assets in the accounting period according to the accounting laws and relevant laws.

4. In cases where the right to exploit assets is leased or transferred with a term, and the lease or transfer contract stipulates the responsibility of the lessee or transferee to maintain the asset, the lessee or transferee shall be responsible for maintaining the asset according to the law and the signed contract using their own funds.

5. For assets handed over to state-owned enterprises as specified in point b, Clause 1, Article 15 of this Decree, asset maintenance shall be carried out in accordance with the laws on construction, enterprise laws, and related laws.

6. For assets handed over to public service units, People's Committees at the commune level, or specialized agencies for market infrastructure assets as specified in points a and c, Clause 1, and Clause 2, Article 15 of this Decree, the Provincial People's Committee shall base its decision on specific conditions to allocate maintenance funds from revenue generated from exploiting and disposing of market infrastructure assets or the state budget (in cases where revenue is insufficient to cover expenses). The use of maintenance funds from the state budget shall be implemented in accordance with the laws on the state budget.

Article 21. Organization to implement maintenance of market infrastructure assets

1. The procedures and formalities for establishing, approving plans and budgets for maintenance costs of market infrastructure assets shall be carried out in accordance with the provisions of the State budget law:

a) Based on technical standards, norms, unit prices for maintenance and the volume of work to be implemented, the agency or unit entrusted with managing the assets shall establish plans and budgets for maintenance costs (except for cases of maintenance of assets under Clause 4 and Clause 5 of Article 20 of this Decree), report to the superior management agency (if any) to submit to the People's Committee of the province for consideration and consolidation into the annual state budget estimate in accordance with the provisions of the State budget law;

b) On the basis of the decision allocating the state budget of the competent agency or person, the People's Committee of the province shall allocate the state budget for asset maintenance work to the agency or unit entrusted with managing the market infrastructure assets;

c) The agency or unit entrusted with managing the market infrastructure assets shall organize the implementation of the state budget for asset maintenance work in accordance with the provisions of the law.

2. The procedures and formalities for establishing, approving medium-term plans and budgets for maintenance costs over three years and five years shall be carried out in accordance with the provisions of the financial plan law and the state budget law for a three-year period and the financial plan for a five-year period.

3. The selection of units to carry out maintenance of market infrastructure assets shall be conducted in accordance with the provisions of the bidding law and related laws; except in cases where the State orders or assigns tasks according to the Government's regulations on the production and supply of public goods or services or assigns maintenance tasks to contractors in accordance with the law.

4. Payment and settlement of maintenance costs for market infrastructure assets shall be carried out in accordance with the provisions of the state budget law and related laws.

Section 4

EXPLOITATION OF MARKET INFRASTRUCTURE ASSETS

Article 22. Methods of exploiting market infrastructure assets

1. Directly organizing the exploitation of market infrastructure assets.

2. Leasing the right to exploit market infrastructure assets.

3. Transferring the right to exploit market infrastructure assets for a limited time.

4. Other methods as prescribed by law.

Article 23. Directly organizing the exploitation of market infrastructure assets

1. Agencies, units, enterprises entrusted with market infrastructure assets shall directly organize the exploitation of assets in accordance with the exploitation plan, business sector arrangement, and business point utilization at the market as stipulated in this Decree.

2. Agencies, units, enterprises entrusted with market infrastructure assets shall perform tasks to ensure the operation process of the market.

Article 24. Leasing the right to exploit market infrastructure assets

1. The leasing of the right to exploit market infrastructure assets shall apply to existing market infrastructure assets (not linked to investment upgrades or expansions according to approved projects). The leasing of the right to exploit market infrastructure assets applies to assets transferred to specialized agencies for market infrastructure assets, public service units, or village-level People's Committees for management, but not to assets managed by enterprises.

The lease term for the right to exploit market infrastructure assets shall be specifically defined in the Proposal for Leasing the Right to Exploit Market Infrastructure Assets.

2. Authority to approve Proposals for Leasing the Right to Exploit Market Infrastructure Assets:

a) The Provincial People's Committee shall approve Proposals for Leasing the Right to Exploit Market Infrastructure Assets for assets managed by the provincial level.

b) The District People's Committee shall approve Proposals for Leasing the Right to Exploit Market Infrastructure Assets for assets managed by the district level.

c) For market infrastructure assets related to national defense and security, the Provincial People's Committee shall seek opinions from the Ministry of Public Security, the Ministry of National Defense, and relevant ministries and sectors, and report based on these opinions.

3. The leasing of the right to exploit market infrastructure assets shall be carried out through auctioning. In addition to the conditions stipulated by the law on auctioning assets, organizations participating in the auction for leasing the right to exploit market infrastructure assets must meet the following conditions:

a) Having a Decision specifying the functions, tasks, powers, and organizational structure of the agency or authorized person for public service units, or having a Business Registration Certificate or Cooperative Registration Certificate for enterprises or cooperatives in accordance with Clause 13 and Clause 14 of Article 3 of this Decree.

b) Possessing financial capability, management, operation, and exploitation experience of markets.

4. Procedures and formalities for leasing the right to exploit market infrastructure assets:

a) The entity entrusted with managing the assets shall prepare a Proposal for Leasing the Right to Exploit Assets according to Model 04A in Appendix I of this Decree and send it in writing to the specialized agency for market infrastructure assets (in cases where the entity entrusted with managing the assets is not a specialized agency for market infrastructure assets). For market infrastructure assets managed by district-level agencies or units, the agency or unit entrusted with managing the assets shall prepare the Proposal, report to the District People's Committee, and send it in writing to the specialized agency for market infrastructure assets at the provincial level;

b) Within forty-five days from the date of receipt of the proposal letter along with the Proposal specified in Point a of this clause, the provincial-level specialized agency for market infrastructure assets shall take the lead and coordinate with relevant agencies and units to review the Proposal, and submit it to the competent authority specified in Clause 2 of this Article for consideration and approval. The main contents of the Decision approving the Proposal for Leasing the Right to Exploit Market Infrastructure Assets include:

The entity leasing the assets;

List of leased assets (asset name, address, type of construction, year of construction, year of commissioning, area, number of trading points at the market, asset value, asset condition assessment - if applicable);

Lease term;

Method of implementing the lease;

Management of the proceeds from leasing the right to exploit; Responsibility for organizing implementation.

5. Based on the proposal for leasing the right to exploit infrastructure assets of the market approved by the competent authority, the entity entrusted with managing the assets shall be responsible for:

a) Organizing the determination of the initial lease price for the right to exploit assets in accordance with Article 26 of this Decree;

b) Organizing the auction for leasing the right to exploit assets in accordance with the laws on auctioning assets;

c) Signing the lease contract for the right to exploit assets in accordance with the law.

6. The lease contract for the right to exploit infrastructure assets of the market shall include the following main contents:

a) Information of the lessor;

b) Information of the lessee;

c) List of leased assets (name of asset, address, type of construction, year of construction, year of operation, area, number of trading points at the market, value of the asset, assessment of the condition of the asset - if applicable): one original copy;

d) Lease term; rental price; payment method and deadline for rental fees, late payment fees (if any); responsibility for maintaining the asset;

đ) Rights and obligations of the parties;

e) Responsibilities for implementation organization.

7. Rights of the lessee of the right to exploit infrastructure assets of the market:

a) Directly organizing the operation and exploitation of the asset in accordance with the law and the signed contract;

b) Deciding on the operation and exploitation of the asset in compliance with relevant legal regulations;

c) Collecting revenues from market activities in accordance with the law and the signed contract;

d) Exercising other rights of the lessee of the right to exploit assets as prescribed by law.

8. Obligations of the lessee of the right to exploit infrastructure assets of the market:

a) Protecting the leased asset; not allowing it to be encroached upon or used illegally;

b) Using and exploiting the leased asset for its intended purpose; not converting its function, transferring, selling, giving away, contributing as capital, mortgaging, or implementing other measures to secure civil obligations;

c) Performing maintenance of the asset in accordance with the signed contract and the law;

d) Paying the lease fee for the right to exploit the asset fully and on time as stipulated in the contract;

đ) Regularly or upon request of the lessor, the lessee has the responsibility to report to the lessor about the status of the asset, ensuring the operation of the market. In case of an accident involving the facility, the lessee must promptly inform the lessor to implement handling measures in accordance with the law;

e) Accepting inspection and supervision by the lessor; jointly resolving disputes and issues with the lessor;

g) Fulfilling other obligations as prescribed by law and the contract.

9. The specialized agency for infrastructure assets of the market shall be responsible for regularly inspecting and supervising the implementation of the proposal for leasing the right to exploit infrastructure assets of the market approved by the competent authority.

10. The proceeds from leasing the right to exploit infrastructure assets of the market shall be managed and used in accordance with Article 32 of this Decree.

Article 25. Transfer of the Right to Exploit Infrastructure Assets of the Market for a Limited Term

1. The transfer of the right to exploit infrastructure assets of the market for a limited term applies to existing infrastructure assets of the market linked to investment projects for upgrading and expanding that have been approved by the competent authority. The transfer of the right to exploit infrastructure assets of the market for a limited term only applies to assets assigned to the specialized agency for infrastructure assets of the market or public service units for management, not to assets assigned to enterprises for management.

The term of the transfer of the right to exploit assets for a limited term shall be specifically determined in the proposal for transferring the right to exploit infrastructure assets of the market and the contract for transferring the right to exploit infrastructure assets of the market, but shall not exceed 50 years.

2. Authority to approve the proposal for transferring the right to exploit infrastructure assets of the market for a limited term:

a) The provincial People's Committee approves the proposal for transferring the right to exploit infrastructure assets of the market for a limited term;

b) For infrastructure assets of the market related to national defense and security, the provincial People's Committee seeks opinions from the Ministry of Public Security, the Ministry of National Defense, and other relevant ministries and sectors, and reports based on these opinions;

3. The transfer of the right to exploit infrastructure assets of the market for a limited term shall be carried out through an auction process. In addition to the conditions prescribed by the laws on auctioning assets, organizations participating in the auction to acquire the right to exploit infrastructure assets of the market must meet the following minimum conditions:

a) Having a Decision specifying the functions, tasks, powers, and organizational structure of the agency or authorized person for public service units, or having a Business Registration Certificate or Cooperative Registration Certificate for enterprises or cooperatives in accordance with Clause 13 and Clause 14 of Article 3 of this Decree.

b) Possessing financial capability, management, operation, and exploitation experience of markets.

4. Procedures and formalities for preparing and approving the proposal for transferring the right to exploit infrastructure assets of the market for a limited term:

a) The entity entrusted with managing the assets prepares the proposal for transferring the right to exploit assets for a limited term according to Model No. 04B in Appendix I issued by this Decree and sends a written document to the specialized agency for infrastructure assets of the market at the provincial level (in cases where the entity entrusted with managing the assets is not the specialized agency for infrastructure assets of the market). If the infrastructure assets of the market are assigned to agencies or units at the district level for management, then the agency or unit entrusted with managing the assets prepares the proposal, reports to the district-level People's Committee, and sends a written document to the specialized agency for infrastructure assets of the market at the provincial level;

b) Within 45 days from the date of receipt of the written request along with the proposal specified in point a of this clause, the specialized agency for infrastructure assets of the market at the provincial level shall take the lead, coordinate with relevant agencies and units to review the proposal, and submit it to the provincial People's Committee for consideration and approval. The main contents of the Decision approving the proposal for transferring the right to exploit infrastructure assets of the market for a limited term include:

The entity transferring the right to exploit assets for a limited term;

List of assets transferred for a limited term (name of asset, address, type of construction, year of construction, year of operation, area, number of trading points at the market, value of the asset, assessment of the condition of the asset - if applicable);

Term of transfer for a limited term;

Method of implementing the transfer for a limited term;

Managing the amount of revenue from the transfer with a term of exploitation rights;

Responsibility for implementation.

5. Based on the Proposal for the transfer with a term of exploitation rights of infrastructure assets of the market approved by the competent authority, the entity responsible for managing the asset shall be responsible for:

a) Organizing to determine the initial price for transferring with a term of exploitation rights of the asset in accordance with Article 26 of this Decree;

b) Organizing the auction for transferring with a term of exploitation rights of the asset in accordance with the laws on auctioning assets;

c) Signing the Contract for transferring with a term of exploitation rights of the asset in accordance with the laws.

6. The Contract for transferring with a term of exploitation rights of infrastructure assets of the market shall include the following main contents:

a) Information of the transferring party;

b) Information of the receiving party;

c) List of assets transferred with a term of exploitation rights (name of asset, address, type of construction, year of construction, year of operation, area, number of trading points at the market, value of the asset, assessment of the asset's condition - if applicable);

d) Term of transfer; transfer price; method and term of payment for transfer, late payment fee (if any); responsibility for maintaining the asset;

đ) Rights and obligations of the parties;

e) Responsibilities for implementation organization.

7. Rights of the receiving party for transferring with a term of exploitation rights of infrastructure assets of the market:

a) Directly organizing the operation and exploitation of the asset in accordance with the law and the signed contract;

b) Deciding on the operation and exploitation of the asset in compliance with relevant legal regulations;

c) Collecting revenues from market activities in accordance with the law and the signed contract;

d) Investing in upgrading and expanding according to the project approved by the competent authority in accordance with the laws on investment and related laws;

đ) Exercising other rights of the receiving party for transferring exploitation rights of the asset as prescribed by law.

8. Obligations of the receiving party for transferring with a term of exploitation rights of infrastructure assets of the market:

a) Protecting the transferred exploitation rights asset; not allowing it to be encroached upon or used illegally;

b) Using and exploiting the transferred exploitation rights asset for its intended purpose; not converting the function of use, transferring, selling, giving away, contributing capital, mortgaging, or implementing other measures to ensure the performance of civil obligations;

c) Performing maintenance of the asset in accordance with the signed contract and the law;

d) Paying the full and timely transfer price for the exploitation rights asset as stipulated in the Contract;

đ) Regularly or upon request of the transferring party, the receiving party for transferring exploitation rights has the responsibility to report to the transferring party about the status of the asset, ensuring the operation of the market. In case of an accident, the receiving party for transferring exploitation rights must promptly inform the transferring party to implement handling measures in accordance with the law;

e) Being subject to inspection and supervision by the transferring party for exploitation rights; jointly resolving disputes and issues with the transferring party for exploitation rights;

g) Fulfilling other obligations as prescribed by law and the contract.

9. The specialized agency on infrastructure assets of the market shall be responsible for regularly inspecting and supervising the implementation of the Proposal for transferring with a term of exploitation rights of infrastructure assets of the market approved by the competent authority.

10. The revenue from transferring with a term of exploitation rights of infrastructure assets of the market shall be managed and used in accordance with Article 32 of this Decree.

11. When the term of transferring exploitation rights of infrastructure assets of the market ends according to the Contract for transferring exploitation rights or terminates prematurely according to the decision of the competent authority, the handling of the asset shall be carried out as follows:

a) At least six months before the termination date of the Contract for transferring exploitation rights, the receiving party shall submit a proposal for returning the asset to the contracting agency;

b) Within thirty days from the date of receipt of the proposal for returning the asset, the contracting agency shall take the lead and coordinate with relevant agencies or units (if necessary) to carry out:

Organizing the appraisal of the quality, value, and condition of the asset in accordance with the principles and conditions agreed upon in the contract;

Preparing a list of assets to be transferred;

Preparing a record of damages to the asset (if any) to require the receiving party for transferring exploitation rights to repair and maintain the asset;

If the infrastructure assets of the market meet the requirements, the contracting agency shall sign a handover record of the asset;

Reporting to the People's Committee of the province regarding the transfer of assets to agencies, units, or enterprises in accordance with this Decree for continued management and operation in accordance with the law.

c) At least five days from the termination date of the Contract, the receiving party for transferring infrastructure assets of the market shall be responsible for handing over the asset to the transferring party. The handover and acceptance of the asset must be recorded in a protocol according to Model No. 05 of Appendix I of this Decree.

Article 26. Rental Price for Exploitation Rights and Transferable Exploitation Rights with a Term for Infrastructure Assets of Markets

1. The rental price for exploitation rights of infrastructure assets of markets and the transferable price with a term for exploitation rights of infrastructure assets of markets is the amount of money that the organization renting the exploitation rights or receiving the transferable exploitation rights with a term must pay to the State according to the auction-winning price to be able to use and exploit the asset in accordance with the signed Contract.

2. The agency or person authorized to approve the Project on leasing exploitation rights and transferring exploitation rights with a term for infrastructure assets of markets as stipulated in Clause 2, Article 24 and Clause 2, Article 25 of this Decree is the agency or person authorized to approve the initial auction price for leasing exploitation rights and transferring exploitation rights with a term for infrastructure assets of markets.

3. The subject assigned the asset selects an appraisal company to determine the value of the asset according to Vietnamese Appraisal Standards or establishes an Evaluation Committee as the basis for determining the initial auction price for leasing exploitation rights and transferring exploitation rights with a term for infrastructure assets of markets. The Evaluation Committee consists of: the head of the unit assigned the asset or the authorized representative as the Chairman; other members include representatives from relevant specialized departments of the subject assigned the asset; representatives from the Department of Finance where the asset is located; representatives from other related agencies (if any).

4. The initial auction price for leasing exploitation rights of infrastructure assets of markets is the lowest starting price when auctioning the leasing exploitation rights of infrastructure assets of markets.

Determining the initial auction price for leasing exploitation rights of infrastructure assets of markets must be based on at least one of the following grounds:

a) The rental price for exploitation rights of similar assets or assets with the same technical standards, quality, and usage functions on the market at the time of determination (if available);

b) Estimated revenue and estimated costs from exploiting the asset during the period of leasing exploitation rights of the asset;

c) The Appraisal Certificate and Appraisal Report of the appraisal company in accordance with the law on prices or the result of determining the price of the Evaluation Committee as stipulated in Clause 3 of this Article. The use of the Appraisal Certificate and Appraisal Report of the appraisal company shall be carried out in accordance with the law on prices.

5. The initial auction price for transferring exploitation rights with a term for infrastructure assets of markets is the lowest starting price when auctioning the transferring exploitation rights with a term for infrastructure assets of markets.

The grounds for determining the initial auction price for transferring exploitation rights with a term for infrastructure assets of markets include:

a) Additional investment value according to the project to upgrade and expand the asset approved by the competent authority. In which, the additional investment value is the part of the value that the enterprise receiving the transferable exploitation rights with a term is responsible for implementing according to the project approved by the competent authority;

b) Estimated revenue and estimated costs from exploiting the asset by the party receiving the transferable exploitation rights of the asset during the period of transferring exploitation rights with a term;

c) The Appraisal Certificate and Appraisal Report of the appraisal company in accordance with the law on prices or the result of determining the price of the Evaluation Committee as stipulated in Clause 3 of this Article. The use of the Appraisal Certificate and Appraisal Report of the appraisal company shall be carried out in accordance with the law on prices.

6. The subject assigned the infrastructure assets of markets has the responsibility to determine the initial auction price for leasing exploitation rights/transferring exploitation rights with a term for infrastructure assets of markets and submit it to the agency or person authorized as stipulated in Clause 2 of this Article for approval of the initial price.

Section 5

MANAGEMENT OF INFRASTRUCTURE ASSETS OF MARKETS

Article 27. Forms of Handling Market Infrastructure Assets

The forms of handling market infrastructure assets include:

1. Recovery.

2. Transfer.

3. Liquidation.

4. Handling in cases of loss or destruction.

5. Other forms of handling as prescribed by law.

Article 28. Recovery of Market Infrastructure Assets

1. Market infrastructure assets shall be recovered in the following cases:

a) Land attached to market infrastructure assets that falls under the cases for land recovery as prescribed by laws on land.

b) When there is a change in planning that alters the mission of the asset.

c) When there is a change in management levels.

d) When the asset is transferred to an incorrect recipient as prescribed in this Decree.

đ) When the asset has been transferred but is no longer needed or there are serious violations in its management as prescribed by law.

e) In other cases as provided by law.

2. Authority to decide on recovery:

a) The provincial People's Committee decides on the recovery of market infrastructure assets managed at the provincial level.

b) The district People's Committee decides on the recovery of market infrastructure assets managed at the district level.

c) For the case prescribed in point a, Clause 1, Article 28 of this Decree, the authority to recover, compensation, support when recovering, and management and disposal of land and assets attached to land shall be carried out according to the provisions of laws on land and related laws. Before deciding on recovery, the provincial People's Committee shall entrust the provincial natural resources and environment agency to seek written opinions from the provincial agencies responsible for managing public assets, the provincial specialized agencies on markets, the district People's Committee where the asset is located, and other relevant agencies regarding matters within their functions and tasks.

3. Market infrastructure assets recovered shall be handled as follows:

a) Implement handling according to the provisions of laws on land for the case prescribed in point a, Clause 1, Article 28 of this Decree.

b) Transfer or reallocate the asset to another entity for management according to the provisions of this Decree, except for the case handled according to point a of this clause.

4. Procedures and formalities for recovering market infrastructure assets prescribed in points b, c, d, đ, and e, Clause 1, Article 28 of this Decree:

a) The agency, unit, or enterprise with the asset shall prepare a dossier requesting recovery and submit it to the specialized agency on market infrastructure assets at the same level. The dossier includes:

c) Within thirty days from the date of receiving the dossier as prescribed in point b of this clause, the competent People's Committee as prescribed in Clause 2, Article 28 of this Decree shall examine and issue a Decision on recovery of market infrastructure assets or respond in writing if the request for recovery is inappropriate. The content of the Decision on recovery of assets shall be implemented according to the provisions of Clause 6, Article 28 of this Decree.

d) Within thirty days from the date of the Decision on recovery of assets by the competent People's Committee as prescribed in Clause 2, Article 28 of this Decree, the specialized agency on market infrastructure assets shall be responsible for formulating a plan to handle recovered assets according to the forms prescribed in Clause 3, Article 28 of this Decree, and submit it to the competent agency or person as prescribed in Articles 16, 17, and 29 of this Decree for examination and decision. The implementation of the Decision on asset handling shall be carried out according to the provisions of Articles 16, 17, and 29 of this Decree.

During the waiting period for handling recovered assets, the agency, unit, or enterprise with the recovered asset shall be responsible for preserving, protecting the asset, and ensuring its operation according to the law.

Article 29. Transfer of Market Infrastructure Assets

1. Market infrastructure assets shall be transferred in the following cases:

2. The People's Committee of the province decides or delegates decision-making authority to transfer market infrastructure assets among agencies and units under its management.

3. Procedures and formalities for transferring market infrastructure assets:

a) Agencies and units with assets as specified in Clause 1 of this Article shall establish a file requesting the transfer of assets and submit it to the specialized agency for market infrastructure assets at the same level. The file includes:

Article 30. Liquidation of Market Infrastructure Assets

1. Market infrastructure assets shall be liquidated in the following cases:

a) The asset is damaged and cannot be repaired, or the repair is not effective (cannot be restored to its intended function);

b) Demolishing old assets to construct new assets according to a project approved by competent authorities;

c) State agencies with authority adjust the planning scheme, making part or all of the asset unusable for its intended function. In cases where assets are recovered according to point a, Clause 1, Article 28 of this Decree, the liquidation method prescribed in this Article shall not apply.

d) Other cases as prescribed by law.

2. Authority to decide on liquidation

a) Provincial People's Committees decide on the liquidation of market infrastructure assets managed by the provincial level;

b) District People's Committees decide on the liquidation of market infrastructure assets managed by the district level.

3. The liquidation of market infrastructure assets shall be carried out in the form of demolition and cancellation

a) If reusable materials can continue to be used, the entity managing the asset may continue to use them or use them to implement a project to build new market infrastructure assets according to a project approved by competent authorities;

b) If the entity managing the asset does not need to continue using the materials, they shall be handled through transfer or sale. For materials and supplies that are transferred, they shall be handled according to the provisions of Article 29 of this Decree. Article 31. Handling of market infrastructure assets in cases of loss or destruction

1. Market infrastructure assets shall be handled in cases of loss or destruction due to natural disasters, fire, or other causes where the construction works are no longer existent or are damaged beyond repair according to the intended use of the asset.

2. Authority to decide on handling

a) The People's Committee of the province shall decide on handling market infrastructure assets managed by the provincial level;

b) The People's Committee of the district shall decide on handling market infrastructure assets managed by the district level.

3. Procedures for handling market infrastructure assets

a) The agency or unit owning assets as specified in Clause 1 of this Article shall prepare a dossier requesting asset handling and submit it to the specialized agency responsible for market infrastructure assets at the same level. The dossier includes:

Within thirty days from the date of issuance of the handling decision by the competent authority as specified in Clause 2 of this Article, the agency or unit entrusted with the asset shall carry out accounting reduction of the asset in accordance with the law on accounting; report as prescribed in this Decree (report according to Model 01B, Model 01C Appendix I of this Decree).

5. The state budget shall ensure funding for remediation, repair of market infrastructure assets to restore operations.

In cases where market infrastructure assets are lost or destroyed and compensated by insurance companies or related organizations or individuals, the management and use of the compensation funds shall be carried out in accordance with Article 33 of this Decree. The amount already paid into the state budget shall be prioritized in the public investment plan, state budget expenditure estimate to invest in new construction, upgrading, renovation, and development of market infrastructure assets in accordance with the state budget law, public investment law, and related laws.

Chapter 6

MANAGEMENT AND USE OF FUNDS RECEIVED FROM THE EXPLOITATION AND HANDLING OF MARKET INFRASTRUCTURE ASSETS

Article 32. Management and use of funds obtained from exploiting market infrastructure assets

1. For market infrastructure assets that are directly exploited by agencies or units entrusted with such assets in accordance with Article 23 of this Decree, the management and use of funds obtained from exploitation shall be carried out under the financial mechanism applicable to the agencies or units entrusted with managing the assets.

2. For market infrastructure assets subject to exploitation plans prescribed in Articles 24 and 25 of this Decree, the funds obtained from leasing rights to exploit or transferring rights to exploit market infrastructure assets for a limited time shall be deposited into a temporary holding account at the State Treasury by the agency entrusted with managing public assets as follows:

a) The Department of Finance for funds obtained from exploiting assets managed by provincial-level agencies or units;

b) The Financial Planning Office for funds obtained from exploiting assets managed by district-level agencies or units.

3. The temporary holding account shall be monitored in detail for each agency with exploitable assets.

4. The head of the agency entrusted with the task of exploiting market infrastructure assets shall be responsible for preparing and approving the budget estimate for expenses related to asset exploitation, except in cases stipulated in Clause 10 of this Article.

5. Expenses related to exploiting market infrastructure assets include: inventory costs; initial valuation costs; auction organization costs; and other related costs.

6. Levels of expenditure:

a) For expenditure items that have standards, norms, and regulations set by competent authorities, they shall be implemented according to the standards, norms, and regulations set by those authorities;

b) For expenditure items involving the hiring of services related to asset exploitation, they shall be carried out in accordance with contracts signed in accordance with the law. The selection of service providers related to asset exploitation shall be conducted in accordance with the law;

c) For expenditure items outside the scope specified in points a and b of this clause, the head of the agency or unit entrusted with the task of exploiting assets shall decide on the level of expenditure, ensuring it is consistent with the current state financial management system and shall bear responsibility for their decision.

7. Within thirty days from the date of depositing funds into the temporary holding account, the lessor or transferrer of market infrastructure assets shall be responsible for preparing one set of payment request documents to send to the holder of the temporary holding account for payment of exploitation expenses. The head of the lessor or transferrer of market infrastructure assets shall be legally responsible for the accuracy of the proposed payment amount.

Payment request documents include:

a) A payment request letter from the lessor or transferrer of market infrastructure assets (specifying the amount obtained from asset exploitation, total exploitation expenses, and information about the receiving bank account), accompanied by a detailed list of expenses: one original copy;

b) Decision on asset exploitation by the competent authority: one copy;

c) Documents and papers proving the expenses such as: approved budget estimates; contracts for service of valuation, auction, demolition; invoices, receipts (if any): one copy.

8. Within thirty days from the date of receipt of complete and valid documents, the holder of the temporary holding account shall be responsible for disbursing funds to the lessor or transferrer to cover expenses related to the exploitation of market infrastructure assets.

9. Quarterly, the holder of the temporary holding account shall transfer the remaining funds from completed exploitation revenues into the state budget in accordance with the law on the state budget.

10. In cases where the funds obtained from exploiting assets through the direct exploitation method by agencies or units entrusted with such assets as prescribed in Article 23 of this Decree are insufficient to cover expenses, the shortfall shall be covered from the state budget allocation assigned to the agency or unit entrusted with the assets.

Article 33. Management and use of funds obtained from the disposal of market infrastructure assets

1. The entire amount of funds obtained from the disposal of market infrastructure assets (including compensation from insurance companies and other organizations and individuals) shall be deposited into a temporary holding account at the State Treasury by the agency responsible for managing public assets as follows:

a) For funds obtained from the disposal of assets managed by agencies and units under provincial-level management, the Department of Finance shall be the account holder;

b) For funds obtained from the disposal of assets managed by agencies and units under district-level management, the Financial Planning Department shall be the account holder.

2. The temporary holding account shall be monitored in detail for each agency, unit, and enterprise with assets subject to disposal.

3. The head of the agency or unit assigned the task of organizing the disposal of assets shall be responsible for preparing and approving the budget estimate for related expenses concerning the disposal of assets, except in cases stipulated in Clause 10 of this Article.

4. Expenses related to the disposal of market infrastructure assets include:

a) Inventory costs;

b) Costs for measuring and drawing buildings and land;

c) Costs for asset valuation and price appraisal;

d) Costs for relocation, demolition, cancellation, and destruction of assets;

đ) Service fees paid to auction organizations in case of successful auctions; auction costs paid to auction organizations in case of unsuccessful auctions; auction costs when the auction is organized by the Board;

e) Other reasonable costs related to the exploitation of public assets.

5. Levels of expenditure:

a) For expenditure items that have standards, norms, and regulations set by competent authorities, they shall be implemented according to the standards, norms, and regulations set by those authorities;

b) For service rental expenses related to asset disposal carried out according to contracts signed in accordance with the law. The selection of service providers related to asset disposal shall be conducted in accordance with the law;

c) For expenditures outside the scope defined in points a and b of this clause, the head of the agency or unit assigned the task of disposing of assets shall decide on the level of expenditure, ensuring it is consistent with the current financial management system of the state and shall bear responsibility for their decision.

6. Within thirty days from the date of depositing funds into the temporary holding account, the agency or unit assigned the task of organizing the disposal of market infrastructure assets shall be responsible for preparing one set of documents to request payment and submit them to the temporary holding account holder for payment of asset exploitation costs. The head of the agency or unit assigned the task of organizing the disposal of market infrastructure assets shall be legally responsible for the accuracy of the requested payment amounts.

Payment request documents include:

a) A payment request document from the agency or unit assigned the task of organizing the disposal of market infrastructure assets (specifying the amount of funds obtained from asset disposal, total disposal costs, information about the receiving account for payment) accompanied by a detailed list of expenses: one original copy;

b) Decision on asset disposal by the competent authority: one copy;

c) Documents and papers proving the expenses such as: approved budget estimates; contracts for service of valuation, auction, demolition; invoices, receipts (if any): one copy.

7. Within thirty days from the date of receiving complete and valid documents, the temporary holding account holder shall be responsible for disbursing funds to the agency or unit assigned the task of organizing the disposal to cover related expenses for the disposal of market infrastructure.

8. Quarterly, the temporary holding account holder shall transfer the remaining funds from revenues from the disposal of completed assets into the state budget in accordance with the laws on the state budget.

9. In cases where there is no revenue from asset disposal or the revenue from asset disposal is insufficient to cover the costs, the shortfall shall be covered from the state budget estimate or legitimate funding sources of the agency or unit assigned the task of organizing the disposal of assets.

10. In cases where old structures are demolished to implement new construction projects and the demolition costs have been included in the total investment ceiling of the new construction project approved by the competent authority for investment decisions, the management and use of funds obtained from demolition shall be carried out in accordance with relevant laws, not following the provisions from Clause 1 to Clause 9 of this Article.

Section 7

DATABASE AND REPORTS ON MARKET INFRASTRUCTURE ASSETS

Article 34. Reporting on Market Infrastructure Assets

1. Market infrastructure assets must be declared and information updated into the database on market infrastructure assets for unified management.

2. Forms of declaration of market infrastructure assets:

a) Initial declaration according to Form No. 01A in Appendix I of this Decree at the time this Decree takes effect.

b) Supplementary declaration according to Form No. 01B in Appendix I of this Decree in cases where there are changes in information about the agency or unit entrusted with management or asset information.

3. The agency or unit entrusted with managing market infrastructure assets shall prepare declarations of assets according to Forms No. 01A, 01B, 01C, and 01D in Appendix I of this Decree, submit them to the superior management agency for signature confirmation to enter data into the database on market infrastructure assets.

The deadline for submitting declarations is 30 days from the date of receiving assets according to the decision on entrusting asset management by the competent authority or when there are changes in information about the agency entrusted with asset management or declared assets.

4. Annually, the agency or unit entrusted with managing market infrastructure assets shall report on the management, use, and exploitation of assets (including revenue from processing and exploiting assets); the specialized agency on market infrastructure assets shall report on revenue from implementing the asset exploitation plan of the previous year and ad hoc reports upon request of the competent state agency. The reporting data closing date is the end of the fiscal year.

5. Reports on the management, use, and exploitation of market infrastructure assets include:

a) Reports on asset exploitation status according to each method and results of asset exploitation according to Forms No. 02A, 02B, 02C, and 02D stipulated in Appendix I of this Decree.

b) Summary report on the management, use, and exploitation of assets according to Form No. 03A stipulated in Appendix I of this Decree.

6. The deadlines for submitting annual reports on the management, use, and exploitation of market infrastructure assets are as follows:

a) The agency or unit entrusted with managing assets prepares the report and submits it to the superior management agency (if applicable) and the specialized agency on market infrastructure assets to report to the People's Committee with appropriate authority before February 28 each year.

b) The provincial People's Committee compiles the situation of management and use of market infrastructure assets and submits it to the Ministry of Finance before March 15 each year.

c) The Ministry of Finance compiles the situation of management and use of market infrastructure assets nationwide and reports to the Government to report to the National Assembly as required and implement public disclosure of national assets.

7. State-owned enterprises entrusted with assets under the form of state capital investment in enterprises as prescribed in Article 16 of this Decree shall implement reports on the management and use of assets as prescribed in Clauses 2, 3, 4, and 5 of this Article.

8. Reports on market infrastructure assets may be presented in paper or electronic form.

Article 35. Database on Market Infrastructure Assets

1. The database on market infrastructure assets is part of the National Database on Public Assets, constructed and managed uniformly throughout the country; information in the database on market infrastructure assets has legal value equivalent to paper files.

2. Construction and management of the database on market infrastructure assets must meet the following requirements:

a) Comply with the framework architecture of Vietnam's e-Government, meet national database technical standards, information technology standards, security, and safety standards, and economic and technical norms.

b) Ensure compatibility and integration capability with the National Database on Public Assets; share information and expand data fields in system design and application software.

3. The provincial People's Committee directs agencies and units entrusted with managing assets, specialized agencies on market infrastructure assets to implement declarations and update data on market infrastructure assets into the Public Asset Database system as prescribed.

Chapter V IMPLEMENTATION ORGANIZATION

Article 36. Transitional Provisions

1. Markets built before this Decree takes effect, without conditions to renovate and upgrade to meet classification criteria as prescribed in Article 4 of this Decree, shall be classified by the competent authority based on the number of existing trading points and area determined according to regulations at the time the market was built, and meeting basic requirements for fire prevention, hygiene, and food safety.

2. For market infrastructure assets invested in and managed by the State that have been decided to be processed according to the law before January 1, 2018, they shall continue to be implemented according to the Decision signed and the law at the time of the decision to process.

Article 37. Effective Date

This Decree takes effect from August 1, 2024.

This Decree replaces Decree No. 02/2003/NĐ-CP dated January 14, 2003 of the Government on developing and managing markets and Decree No. 114/2009/NĐ-CP dated December 23, 2009 of the Government amending and supplementing certain articles of Decree No. 02/2003/NĐ-CP dated January 14, 2023 of the Government on developing and managing markets.

Article 38. Responsibility for Implementation

1. Ministry of Industry and Trade:

a) Take the lead, coordinate with relevant ministries, sectors, and localities to study and submit to the competent authority for issuance, amendment, and supplementation of mechanisms, policies, programs, and tasks related to market development and management.

b) Direct and organize training on market development and management.

c) Take the lead and coordinate with relevant ministries, sectors to inspect the implementation of laws and policies on market development and management within their jurisdiction.

2. The Ministry of Planning and Investment:

Within the scope of functions, tasks, and authorities, guide the selection of investors for market construction investment projects according to relevant laws.

3. Ministry of Finance:

a) Prescribe management systems, depreciation, and amortization of market infrastructure assets.

b) Guide accounting for market infrastructure assets.

c) Take the lead and coordinate with provincial People's Committees to build databases on state-invested and managed market infrastructure assets nationwide and integrate them into the National Database on Public Assets.

d) Guide the implementation of regulations on management, use, and exploitation of infrastructure assets of state-invested market structures as provided in Chapter IV of this Decree.

Direct the construction of projects and investmentprojects according to requirements and standards for air defense safety.Direct the organization of construction of key shelters.

Guide the organization to implement contents related to construction standards, norms, maintenance procedures for infrastructure assets of market structures within their assigned functions and tasks.

5. The Ministry of Natural Resources and Environment:

Guide and direct the provincial People's Committees in the work of inspecting and supervising the use of market land according to regulations.

6. The Ministry of Public Security:

Take the lead and coordinate with relevant ministries and sectors in managing state affairs regarding fire prevention and control, ensuring public security and social safety within markets and surrounding areas; coordinate with relevant ministries and sectors in developing, revising, and supplementing planning contents and regulations related to conditional business sectors concerning public security and order implemented at markets.

7. The Ministry of Culture, Sports and Tourism:

Take the lead and coordinate with relevant ministries, sectors, and localities in promoting and integrating tourism activities and promotional efforts for markets with historical, cultural, architectural values, and night markets; carry out management and conservation work for markets classified as cultural heritage sites according to cultural heritage regulations.

8. Provincial People's Committees:

a) Delegate market management authority within the province to district and commune People's Committees in accordance with actual conditions and current regulations; direct People's Committees at all levels to review and announce market classification and categorization;

b) Issue or submit to competent authorities for issuance policies, measures, and solutions aimed at mobilizing and exploiting resources for market network development;

c) Define the responsibilities of People's Committees at all levels in eliminating spontaneous trading points;

d) Review, study, and develop policies for developing night markets, community markets, and markets with historical, cultural, and architectural values according to regulations;

đ) Issue procedures for transitioning market management, operation, and exploitation models with main contents as stipulated in Appendix II of this Decree;

e) Direct the review of infrastructure assets of state-managed market structures;

g) Direct the implementation, inspection, audit, and supervision of the enforcement of laws and policies on market development and management.

9. Ministers, heads of ministerial-level agencies, heads of government-affiliated agencies, Chairpersons of provincial and centrally-administered city People's Committees, and related agencies, organizations, and individuals are responsible for implementing this Decree./.
