MINISTRY OF FINANCE DECREE NO. 61 TC/TCDN ON JULY 28, 1995 GUIDING THE TRANSFER OF TASKS IN MANAGING STATE CAPITAL AND ASSETS AT ENTERPRISES ACCORDING TO THE PRIME MINISTER'S DECISION NO. 397/TTG ON JULY 7, 1995
Pursuant to Decree No. 178/CP dated October 28, 1994 of the Government on the tasks, powers, and organizational structure of the Ministry of Finance;
Pursuant to Decree No. 34/CP dated May 27, 1995 of the Government on the tasks, powers, and organizational structure of the State Capital and Asset Management General Department at enterprises;
Pursuant to Decision No. 397/TTg dated July 7, 1995 of the Prime Minister on the transfer of tasks in managing state capital and assets at enterprises;
The Ministry of Finance hereby provides guidance as follows:
I. REGARDING THE TRANSFER OF TASKS:
1. The Minister of Finance delegates the Director of the State Capital and Asset Management General Department at enterprises to accept the task of managing state capital and assets at enterprises transferred from ministries, agencies equivalent to ministries, government agencies, provincial People's Committees, municipal People's Committees directly under the Central Government, including state-owned enterprises, joint-stock companies, limited liability companies, and joint ventures with state capital.
- The State Capital and Asset Management General Department at enterprises in the Central Government will accept the task of managing state capital and assets at enterprises transferred from ministries, agencies equivalent to ministries, and government agencies.
- The State Capital and Asset Management Departments at provinces and centrally-administered municipalities will accept the task of managing state capital and assets at enterprises transferred from provincial People's Committees, provincial Departments of Finance and Prices, and specialized management departments at the provincial level.
2. Time and Content of Transfer:
The transfer date is September 30, 1995. At the time of transfer, both the transferring party and the receiving party must determine the state capital and assets at enterprises up to the transfer date based on the approved 1994 settlement figures and key accounting statistics reports on the use of capital and business operations of the enterprise for the first nine months of 1995.
3. All issues related to state capital and assets at enterprises prior to the transfer date shall be the responsibility of ministries, agencies equivalent to ministries, government agencies, provincial People's Committees, and municipal People's Committees directly under the Central Government; from October 1, 1995, they shall be the responsibility of the Ministry of Finance.
II. REGARDING THE TRANSFER OF STAFF:
1. Staff directly or mainly assigned the task of managing financial affairs of state-owned enterprises at ministries, agencies equivalent to ministries, government agencies, provincial Departments of Finance and Prices, and finance and accounting offices of specialized management departments at the provincial level who were recruited before May 31, 1995 according to current regulations shall be arranged and transferred to the Ministry of Finance.
Ministries, sectors, and localities shall arrange the staff mentioned above within their subordinate units and strengthen financial staff for enterprises.
The transfer of staff is specified as follows:
- The State Capital and Asset Management General Department at enterprises in the Central Government will accept staff transferred from ministries, agencies equivalent to ministries, and government agencies to the Ministry of Finance.
- The State Capital and Asset Management Departments at provinces and centrally-administered municipalities will accept staff transferred from provincial Departments of Finance and Prices and finance and accounting offices of specialized management departments.
2. Staff not included in the transfer category include:
- Staff not directly managing enterprise finances.
- Staff without financial and accounting expertise for enterprises.
- Staff holding key leadership positions in units without successors.
- Staff not eligible for new salary adjustments, currently processing retirement procedures or taking leave before retirement; waiting for job termination procedures according to regulations; reaching retirement age in 1996 according to regulations.
- Staff currently on sick leave, with a treatment period exceeding six months as of May 31, 1995.
- Contract staff hired for specific tasks and short-term contracts (six months).
- Staff currently undergoing disciplinary action or violation investigations, suspended from work, or under criminal investigation, arrested, or detained.
III. REGARDING THE TRANSFER OF ASSETS
Local State Capital and Asset Management Departments have the duty to accept assets (headquarters, transportation, working equipment, etc.) transferred by provincial Departments of Finance and Prices.
IV. PROCEDURES AND DOCUMENTATION FOR TRANSFER
In August and September 1995, representatives authorized by the Ministry of Finance (General Department for the central level and Departments for localities) managing state capital and assets at enterprises must complete the transfer according to the above contents with representatives authorized by ministries, provincial People's Committees (and specialized departments at the provincial level). The minutes of the transfer shall include: the transfer of tasks, the transfer of staff, and the transfer of assets (at localities), accompanied by handover documents, including:
- Settlement documents of 1994 already approved by enterprises (approval minutes of 1994 settlement, adjusted asset summary table of 1994 according to the approval settlement document, notification of approval of settlement by the ministry, provincial People's Committee, or specialized department).
- Reports on key accounting statistics on the use of capital and business operations of enterprises for the first nine months of 1995.
- Relevant documents and materials necessary for managing enterprise capital and assets.
- Staff handover documents and asset handover documents (if applicable).
V/ IMPLEMENTATION PROVISIONS
Local State Capital and Asset Management Departments are responsible for completing the acceptance of handovers and reporting the results of handovers to the State Capital and Asset Management General Department at enterprises for consolidation and reporting to the Ministry before September 30, 1995.
The transfer of tasks and staff must be completed no later than September 1995.
During the implementation of the transfer, if there are difficulties or obstacles, please report to the Ministry of Finance (through the State Capital and Asset Management General Department, the Cadre Organization and Training Department) for timely guidance and resolution.
