Pursuant to Decree No. 73/CP dated November 1, 1995 of the Government on the functions, tasks, powers, and organizational structure of the Ministry of Agriculture and Rural Development;
Pursuant to Decree No. 50/CP dated August 28, 1996 of the Government on the establishment, restructuring, dissolution, and bankruptcy of state-owned enterprises;
Pursuant to Decision No. 298/NN-TCCB/QĐ dated May 7, 1993 of the Minister of the Ministry of Agriculture and Food Industry (now the Ministry of Agriculture and Rural Development) establishing Dong Giao II Agricultural Colony;
Pursuant to Decision No. 78/NN-TCCB/QĐ dated January 28, 1993 of the Minister of the Ministry of Agriculture and Food Industry (now the Ministry of Agriculture and Rural Development) establishing Dong Giao Agro-Industrial Enterprise (now Dong Giao Food Export Company);
Pursuant to Decision No. 424QĐ/BNN-TCCB dated February 2, 1999 of the Minister of the Ministry of Agriculture and Rural Development on transferring part of Dong Giao II Agricultural Colony to Phung Thuong Agricultural Colony;
Pursuant to Decision No. 456/BKH/QLDA dated May 16, 2000 of the Minister of the Ministry of Planning and Investment on dissolving Pu Ba Meat Company ahead of schedule to establish a 100% Vietnamese-owned enterprise;
Considering the proposal of the Board of Directors of Vietnam Fruit Corporation at Report No. 310/RQ-TCCB/TT dated June 22, 1998 and the proposal of the Director of the Personnel and Organization Department,
DECISION:
Article 1.- Now, the remaining portion of Dong Giao II Agricultural Colony shall be merged into Dong Giao Food Export Company under Vietnam Fruit Corporation - Ministry of Agriculture and Rural Development.
Article 2.- The Director of Dong Giao II Agricultural Colony shall be responsible for handing over all technical facilities, workshops, land, assets, capital, files and documents, management machinery, labor, etc., of Dong Giao II Agricultural Colony to Dong Giao Food Export Company for management.
The Director of Dong Giao Food Export Company shall be responsible for organizing the reception of Dong Giao II Agricultural Colony and rearranging production and business organization to achieve high economic efficiency.
The Board of Directors and General Director of Vietnam Fruit Corporation shall be responsible for organizing and strictly supervising the merger of the remaining portion of Dong Giao II Agricultural Colony into Dong Giao Food Export Company without affecting production and business operations and reporting the results to the Ministry.
The Departments of Personnel and Organization, Finance and Accounting, Planning and Land Use shall be responsible for guiding and inspecting Vietnam Fruit Corporation and the relevant entities in organizing and rearranging enterprises according to the content of this decision and current regulations of the State.
Article 3.- The Director of Dong Giao Food Export Company shall be responsible for completing the registration procedures for new charter capital with competent authorities after the merger and operating in accordance with the law.
Decision No. 298/NN-TCCB/QĐ dated May 7, 1993 of the Minister of the Ministry of Agriculture and Food Industry (now the Ministry of Agriculture and Rural Development) on establishing Dong Giao II Agricultural Colony is hereby revoked.
Article 4.This decision takes effect fifteen days from the date of issuance.
Article 5.- The Head of the Ministry's Office, the Director of the Personnel and Organization Department, the Heads of related functional agencies under the Ministry, the Board of Directors and General Director of Vietnam Fruit Corporation, the Director of Dong Giao Food Export Company, and the Director of Dong Giao II Agricultural Colony shall be responsible for implementing this decision.
