 THE MINISTER OF CULTURE AND INFORMATION

Pursuant to Decree No. 63/2003/ND-CP dated June 11, 2003 of the Government on the functions, tasks, powers, and organizational structure of the Ministry of Culture, Sports and Tourism;

Pursuant to Decision No. 103/2003/QĐ-TTg dated May 27, 2003 of the Prime Minister approving the overall plan for restructuring and modernizing state-owned enterprises under the Ministry of Culture and Information until 2005;

Pursuant to Decision No. 4866/QĐ-BVHTT dated December 23, 2003 of the Minister of Culture and Information approving the plan for restructuring, modernizing management organization, and guiding development of Vietnam Book Corporation;

At the proposal of the Director of the Publishing Department and the Head of the Personnel Organization Department,

DECISION:

Article 1. Maintain the legal status of Vietnam Book Corporation as a state-owned corporation under the Ministry of Culture and Information. Reform and consolidate the Corporation based on existing state-owned enterprises such as Vietnam Book Distribution Corporation, Cultural Information Publishing House, Music Publishing House, Science and Technology Printing Company, with the name Vietnam Book Corporation.

Article 1. Vietnam Book Corporation (hereinafter referred to as the Corporation) is a state-owned corporation under the Ministry of Culture and Information, having the function of organizing management and closed-loop business operations in three stages of publishing, printing, and book distribution to provide high-quality cultural products that meet the cultural consumption needs of the people, contributing to the construction and development of a progressive and distinctively national Vietnamese culture, while ensuring economic efficiency in production and business activities.

The Corporation has legal personality, enjoys civil rights and obligations as prescribed by law; bears full responsibility for all business activities within the capital managed by the Corporation; has seals, assets, and centralized funds, and may open bank accounts both domestically and internationally as prescribed by the State; organizes and operates according to the Law on State-Owned Enterprises, the Charter of the Corporation, and other relevant laws;

Article 2. Domestic and international trading name: SAVINA;

Article 3. Main office: 44 Trang Tiem Street, Hoan Kiem District, Hanoi.

Article 2. Tasks and authorities of the Corporation:

Clause 1. Publish various types of books, magazines, and cultural products on different materials and technologies as prescribed by the Law on Publishing, the Law on Press, and related legal documents;

Clause 2. Produce original copies, print reproductions, and trade sound tapes, audio discs, video tapes, video discs, and implement technical and engineering services in these fields;

Clause 3. Print various types of books, newspapers, magazines, packaging, stamps, cultural products, and other printed materials as prescribed by law;

Clause 4. Trade in import and export of raw materials, equipment, goods serving the publishing, printing, and book distribution industries, as well as raw materials, equipment, and goods serving production, business, and social consumption as prescribed by law;

Clause 5. Directly import and export books, newspapers, magazines, and cultural products as prescribed by law;

Clause 6. Trade in book distribution, newspapers, cultural products, economic and social forms, and other products as prescribed by law;

Clause 7. Organize and participate in domestic and international book, cultural product, and printing equipment exhibitions and fairs;

Clause 8. Produce and trade in artistic and handicraft products, office supplies;

Clause 9. Research and experiment new technological products in publishing, printing, and book distribution; organize training, upgrading skills for cadres, staff, and workers in the Corporation;

Clause 10. Joint venture and cooperation with organizations and individuals both domestically and internationally to expand production and business, develop capital, and improve product quality as prescribed by law and consistent with the functions and tasks of the Corporation;

Clause 11. Organize cultural and artistic services, hotel business, and other types of services as prescribed by law;

Clause 12. Implement public welfare tasks and activities such as ordering mechanisms, price subsidies, and freight subsidies as prescribed by the State;

Clause 13. Propose and recommend to competent agencies of the Ministry of Culture and Information to establish management mechanisms and policies for publishing, printing, and book distribution business.

Article 3. Management organizational structure of the Corporation:

Clause 1. The Board of Directors consists of seven members:

- Three dedicated members are the Chairman of the Board of Directors, General Director, and Head of the Supervisory Board;

- Four part-time members are experts in economics, technology, and law. The principles, procedures for appointment, standards for Board of Directors members, responsibilities, authorities, and working systems of the Board of Directors follow current regulations.

Clause 2. The Supervisory Board consists of five members.

The principles, procedures for appointment, standards for Supervisory Board members; tasks, authorities, and working systems of the Supervisory Board follow current State regulations.

Clause 3. The General Directorate of the Corporation includes: General Director and Deputy General Directors.

The principles, procedures for appointment, and standards for General Director and Deputy General Directors follow current State regulations. Initially, the Corporation will have four Deputy General Directors, and their appointments will be decided by the Minister of Culture and Information.

Clause 4. Business departments assisting the Board of Directors and leading the Corporation:

- The Corporation's Office;

- Business Department;

- Human Resources and Salary Department;

- Planning and International Cooperation Department;

- Planning, Business, and Marketing Department.

The functions, tasks, and authorities of these departments are decided by the Board of Directors.

The principles, procedures, and standards for appointing department-level officials follow current regulations. Initially, the appointment of heads of business departments of the Corporation will be decided by the Corporation's leadership after obtaining a consent letter from the Head of the Personnel Organization Department.

Article 4. Units belonging to the Corporation:

a) Independent accounting enterprises:

- Books and Newspapers Import-Export Company;

- Cultural Information Publishing House;

- Science and Technology Printing Company;

- Music Publishing House;

- Thanh Hoa Book Distribution Company;

- Nghe An Book Distribution Company;

- Nam Ha Book Distribution Company;

- Region II Book Distribution Company;

- Hai Duong Book Distribution Company;

- Quang Ninh Book Distribution Company;

- Ha Tay Book Distribution Company;

- Da Nang Book Distribution Company;

- Ninh Binh Book Distribution Company;

- Hotel and Cultural Services Company;

- Cultural Products Import-Export Company;

b) Internal accounting units:

- Center for Publishing - Printing - Book Distribution Development Support;

- 44 Trang Tiem Street Book Center, Hanoi;

- 22B Hai Ba Trung Street Book Center, Hanoi.

The rights and responsibilities of member units, the appointment of leaders of member units shall be carried out in accordance with the provisions of the law.

Article 5. The Board of Directors of Vietnam Book Distribution Joint Stock Corporation and the General Directors of enterprises named in Article 1 shall be responsible for transferring the enterprises in their original state and issues related to the succession of rights and obligations to the Board of Directors of Vietnam Book Corporation in accordance with current legal regulations.

The Board of Directors of Vietnam Book Corporation shall be responsible for drafting and submitting to the Minister of Culture, Sports and Tourism for approval the Charter of organization and operation of the Corporation based on the model Charter issued together with Decree No. 39/CP dated June 27, 1995 of the Government.

Article 6. This Decision takes effect fifteen days from the date of publication in the Official Gazette.

Article 7. The Heads of the Office, the Department of Organization and Cadres, the Department of Planning and Finance, the Director of the Publishing Department, the Chairman of the Board of Directors, the General Director of Vietnam Book Corporation, the Chairman of the Board of Directors, the General Director of Vietnam Book Distribution Company, the Director of Vietnam Publishing House of Culture and Information, the Director of Vietnam Music Publishing House, the Director of Science and Technology Printing Company, the Directors of member units of Vietnam Book Corporation, and the Heads of relevant agencies and units shall be responsible for implementing this Decision./.
