THE MINISTER OF INDUSTRY

Pursuant to Decree No. 55/2003/NĐ-CP dated May 28, 2003 of the Government stipulating the functions, tasks, powers, and organizational structure of the Ministry of Industry;

Pursuant to Decision No. 223/2003/QĐ-TTg dated November 3, 2003 of the Prime Minister approving the investment project for developing raw material areas for the Thanh Hoa pulp and paper factory, and Circular No. 1041/CP-ĐMDN dated July 22, 2004 of the Government regarding the establishment of Thanh Hoa Pulp Raw Material Company;

Considering the proposal of the Board of Directors of Vietnam Paper Joint Stock Corporation (Petitions: No. 879/TTr-HĐQT dated June 22, 2004 and No. 1064/TTr-HĐQT dated August 4, 2004) and the Project on the establishment of Thanh Hoa Pulp Raw Material Company;

At the proposal of the Director of the Personnel and Organization Department,

DECISION:

Article 1. Establish Thanh Hoa Pulp Raw Material Company - an independent accounting subsidiary under Vietnam Paper Joint Stock Corporation.

Transfer the existing status of Ba Thuyoc Forestry Station, Cam Thuy Forestry Station, Luong Lang Chanh Forestry Station, and Thanh Hoa Forest Research Station to become dependent accounting units of Thanh Hoa Pulp Raw Material Company.

Article 1. Thanh Hoa Pulp Raw Material Company (hereinafter referred to as the Company) is a state-owned enterprise with legal personality, having a bank account, its own seal for transactions in accordance with the regulations of the State, organized and operated according to the Articles of Association approved by the Board of Directors of Vietnam Paper Joint Stock Corporation, in accordance with the Law on State-Owned Enterprises and other relevant laws.

Article 2. The Company has:

International trade name: THANHHOA RAW MATERIAL COMPANY;

Abbreviation: THANHHOA MATERIAL;

Main office located at Ngoc Lac Town, Ngoc Lac District, Thanh Hoa Province;

Registered capital: 18,629,942,491 Vietnamese dong (Eighteen billion, six hundred twenty-nine million, nine hundred forty-two thousand, four hundred ninety-one Vietnamese dong).

Article 2. Main business activities of the Company:

- Planting forests, harvesting and trading pulp raw materials; 

- Researching, producing and trading forest tree seedlings and related technical services; 

- Harvesting, producing, processing wood and forest products; 

- Trading petroleum products; 

- Engaging in other businesses as prescribed by the Corporation and the law.

Article 3. Organizational structure of the Company:

1. General Director;

2. Deputy General Directors;

3. Specialized departments assisting in operations.

Article 4. Dependent accounting units of the Company:

1. Ba Thuyoc Forestry Station,

2. Cam Thuy Forestry Station,

3. Luong Lang Chanh Forestry Station,

4. Ngoc Lac Forest Research Center.

Article 5. The Board of Directors of Vietnam Paper Joint Stock Corporation is hereby instructed to approve the Articles of Association of Thanh Hoa Pulp Raw Material Company, direct the Company to register for business and conduct business in compliance with the law.

Article 6. The Standard Measurement Quality Control Department shall be responsible for organizing and guiding the implementation of the Regulations adopted herein.

The Head of the Office of the Ministry, the Inspector General of the Ministry, Heads of Departments and Bureaus under the Ministry, Chairman of the Board of Directors, General Director of Vietnam Paper Joint Stock Corporation, Directors of Ba Thuyoc Forestry Station, Cam Thuy Forestry Station, Luong Lang Chanh Forestry Station, Thanh Hoa Forest Research Station, and Director of Thanh Hoa Pulp Raw Material Company are responsible for implementing this Decision./.
