PRIME MINISTER
Pursuant to the Government Organization Law dated September 30, 1992;
Pursuant to the Law on State-Owned Enterprises dated April 20, 1994;
Considering the proposal of the Minister, Head of the Civil Service Organization Department of the Government, and the Minister of Labor, Invalids and Social Affairs,
DECISION:
Article 1. The following regulations are hereby stipulated regarding the salary system and allowances for members of the Board of Directors and the Supervisory Board of State-owned Corporations and large independent state enterprises:
1. Salary: The Chairman of the Board of Directors, specialized members of the Board of Directors (excluding the General Director), and members of the Supervisory Board shall be assigned a professional salary according to the civil service grade under Table (01) issued together with Decree No. 25/CP dated May 23, 1993 of the Government temporarily regulating the new salary system for civil servants, administrative officials, and armed forces personnel.
2. Allowances:
2.1. Leadership position allowances for the Chairman of the Board of Directors, specialized members of the Board of Directors (excluding the General Director), and members of the Supervisory Board shall be determined based on a coefficient calculated from the current minimum wage level of the State and divided into three categories as follows:

Category 1: Applies to State-owned Corporations and independent state enterprises classified as special-grade enterprises according to Decision No. 185/TTg dated March 28, 1996 of the Prime Minister.
Type 2: Applies to State-owned Corporations established according to Decision No. 90/TTg dated March 7, 1994 of the Prime Minister but not meeting the criteria for special classification according to Decision No. 185/TTg dated March 28, 1996;
Category 3: Applies to large independent state enterprises established according to Article 28 of the Law on State-Owned Enterprises.
2.2. Members concurrently serving on the Board of Directors shall receive responsibility allowances as prescribed in Decree No. 25/CP dated May 23, 1993 of the Government.
Article 2. For the Chairman of the Board of Directors, after being assigned a professional salary according to the civil service grade, if the combined coefficient of the salary plus leadership position allowance as stipulated in Clause 1 of this Decision is still lower than the coefficient of the highest management position salary prescribed for the General Director (or Director) of the same enterprise, then an additional difference coefficient will be added to equalize it.
For specialized members of the Board of Directors, after being assigned a professional salary according to the civil service grade, if the combined coefficient of the salary plus leadership position allowance as stipulated in Clause 1 of this Decision is still lower than the coefficient of the highest management position salary prescribed for the Deputy General Director (or Deputy Director) of the same enterprise, then an additional difference coefficient will be added to equalize it.
Article 3.
1. The funds for paying salaries and allowances to members of the Board of Directors and the Supervisory Board shall be included in the management fees of the enterprise.
2. The allowances and difference coefficients prescribed in Clause 2, Article 1, and Article 2 of this Decision shall be used to calculate social insurance and health insurance benefits.
Article 4. THIS DECISION SHALL TAKE EFFECT 15 DAYS AFTER THE DATE OF SIGNATURE.
Article 5. The Minister, Head of the Civil Service Organization Department of the Government, the Minister of Labor, Invalids and Social Affairs, and the Minister of Finance are responsible for guiding the implementation of this Decision.
Article 6. The Minister, Heads of Ministries equivalent to Ministries, Heads of Government Agencies, Chairpersons of People's Committees of provinces and centrally governed cities are responsible for implementing this Decision./.
