THE MINISTER OF INDUSTRY

Pursuant to the Government Decree No. 74/CP dated November 1, 1995 on the functions, tasks, powers, and organizational structure of the Ministry of Industry;

Pursuant to Decision No. 862/QĐ-TTg dated September 30, 2002 of the Prime Minister approving the pilot project model of organization of Parent Company - Subsidiary Company at the Third Electrical Installation Corporation and Decision No. 46/2002/QĐ-BCN dated October 22, 2002 of the Minister of Industry on the restructuring of the Third Electrical Installation Corporation, an independent accounting enterprise under the Vietnam Industrial Construction Corporation into a State-owned Parent Company directly under the Ministry of Industry for pilot operation according to the Parent Company-Subsidiary Company model;

Considering the proposal of the General Director of the Third Electrical Installation Corporation (Report No. 02367 TT/XLĐ3-TH dated May 2, 2003);

At the suggestion of the Director of the Department of Organization and Cadres,

DECISION:

Article 1.

1\. To reorganize the Construction and Brick Production Company Block Da Nang (a joint venture between the Third Electrical Installation Corporation and the Central Construction Corporation) into a Limited Liability Company with One Member under the direct management of the Third Electrical Installation Corporation.

2\. The Construction and Brick Production Company Block Da Nang (hereinafter referred to as the Company) shall be a Subsidiary Company with legal personality, having its own seal and bank account, organized and operating in accordance with the Charter of the Company approved by the General Director of the Third Electrical Installation Corporation, which is consistent with the Charter of the Parent Company, the Law on State-Owned Enterprises, and other relevant laws.

3. The Company has:

a\. International trade name: Danang Construction and Producing Concrete Block Company,

b\. Abbreviation: DCB,

c\. Main office located at Hoa Khanh Industrial Zone, Lien Chieu District, Da Nang City.

Article 2.

1. Business activities of the company:

a\. Production and trading of construction materials, concrete blocks, terrazzo bricks, daramic bricks, and concrete products;

b\. Installation of power grid systems, industrial, civil, and transportation works;

c\. Testing to determine the characteristics of construction materials, quality inspection of construction works, transportation;

d\. Investment consulting and construction consulting, including: preparation and review of investment projects, surveying and measurement, planning and design, project management consulting;

đ\. Urban housing development and technical infrastructure, industrial zones, export processing zones, high-tech zones, new economic zones; trading in interior and exterior decoration items, real estate services;

e\. Other business activities suitable to the capacity of the Company and permitted by law.

2. The Charter Capital of the Company at the time of establishment:

7,050,007,352.00 Vietnamese dong

(Seven billion, five hundred million, one hundred and seven thousand, three hundred and fifty-two Vietnamese dong only).

Where:

- Fixed capital: 6,746,028,974.00 Vietnamese dong

- Working capital: 303,978,378.00 Vietnamese dong

Article 3. Organizational model and machinery of the Company:

1. The Company operates under the model of Chairman兼任总经理.

2. The organizational structure includes:

a) General Manager of the Company,

b) Deputy General Managers of the Company,

c) Chief Accountant of the Company,

d) Specialized and professional departments.

3. Directly affiliated production units.

Article 4. Authorizing the General Director of the Third Electrical Installation Corporation to represent the owner in managing the state capital at the Company; the Third Electrical Installation Corporation shall be responsible for developing production organization plans and organizational structures of the Construction and Brick Production Company Block Da Nang according to the Limited Liability Company with One Member model and relevant guidelines issued by the State regarding this type of company.

The Company shall be responsible for inheriting all rights, obligations, and existing issues of the Construction and Brick Production Company Block Da Nang.

Article 5. This Decision takes effect fifteen days after its publication in the Official Gazette. Any previous documents that conflict with this Decision are hereby abolished.

The Head of the Office of the Ministry, the Inspector General of the Ministry, Heads of Departments and Directors of Bureaus under the Ministry, the General Director of the Third Electrical Installation Corporation, the Director of the Construction and Brick Production Company Block Da Nang are responsible for implementing this Decision./.
