THE MINISTER OF INDUSTRY

Pursuant to the Government Decree No. 74/CP dated November 1, 1995 on the functions, tasks, powers, and organizational structure of the Ministry of Industry;

Leather and Shoe Research Institute

Pursuant to Decision No. 125/QĐ-TTg dated January 28, 2003 of the Prime Minister approving the overall restructuring and renewal plan for State-owned enterprises under the Ministry of Industry for the period 2003-2005; Decision No. 40/2003/QĐ-BCN dated March 6, 2003 of the Minister of Industry regarding the transfer of the Leather and Shoe Research Institute from being a member unit of Vietnam Leather and Shoe Corporation to directly belonging to the Ministry of Industry;

CHARTER

The Head of the Ministry's Office, the Inspector General, Heads of Departments, Directors of Agencies and Units under the Ministry, and the Director of the Leather and Shoe Research Institute are responsible for implementing this Decision. /.
ORGANIZATION AND OPERATION OF THE LEATHER AND SHOE RESEARCH INSTITUTE n(Annexed to Decision No. 92/2003/QĐ-BCN dated May 23, 2003 of the Minister of Industry)

Chapter 1:

GENERAL PROVISIONS

Article 1. The Leather and Shoe Research Institute (hereinafter referred to as the Institute) directly under the Ministry of Industry is a research and technology development public service entity in the leather and footwear industry established pursuant to Decision No. 278/CNN-TCLĐ dated April 6, 1993 of the Minister of Light Industry, now the Ministry of Industry.

The Institute is subject to comprehensive and direct leadership and management by the Ministry of Industry, technical guidance by the Ministry of Science and Technology, and business guidance by relevant state management ministries; it enjoys policies and systems applied to the national science and technology research system.

The Institute’s international trade name is Leather and Shoe Research Institute;

Abbreviation: LEASHORESIN;

Main office: No. 160, Hoang Hoa Tham Street, Tay Ho District, Hanoi City;

Branch 1: No. 20, Nui Truc Street, Giang Vo Ward, Ba Dinh District, Hanoi City;

The Institute has a Leather and Shoe Research Sub-Institute located in Ho Chi Minh City.

Article 2. The Institute is a revenue-generating public service entity operating on public funds allocated from the state budget and certain consulting, technology transfer, and scientific and technical service activities with income as prescribed by the state, having seals for operations and transactions according to the law, possessing legal personality, and opening accounts at the Treasury and State Bank of Vietnam (including foreign currency accounts) as prescribed by law.

Article 3. The Institute has the following main tasks:

1. Conducting research to develop strategies, planning, and policies for the development of specialized leather and footwear science and technology;

2. Implementing programs, projects, and research topics in science and technology, environment, and economic sectors related to leather and footwear; organizing the application of advanced scientific achievements in developing leather processing technologies, leather product manufacturing technologies; chemical technologies serving leather processing and manufacturing; waste treatment and utilization technologies to produce secondary products for domestic consumption and export;

3. Providing investment consulting, preparing feasibility studies, designing prototypes, transferring technology, and other scientific and technical services, experimental production, and other business activities as prescribed by law;

4. Organizing training, retraining, and further education for managerial, professional, and technical staff within the Institute and upon request from agencies and enterprises inside and outside the sector; implementing postgraduate and higher education for individuals as decided by the state;

5. Developing national standards, economic and technical norms for the leather and footwear sector; participating in review and evaluation councils for investment projects, technology transfers, and scientific and technological reports and works in the leather and footwear sector;

6. Organizing scientific and technical information activities, economic information provision, and other information services such as publishing materials, special topic reports, scientific conferences, organizing trade fairs, exhibitions, and product promotion according to the law;

Organizing the exchange and application of information technology in management, operation, and fashion design in the leather and footwear sector;

7. Implementing research and technology transfer cooperation in specialized fields with agencies, organizations, universities, research institutes, production and business establishments both domestically and internationally;

8. Arranging, staffing, using, and properly implementing state policies and systems for the Institute's staff;

9. Managing, developing, and effectively utilizing material and technical infrastructure and assigned capital sources according to legal regulations;

10. Maintaining political security and social order in the Institute; protecting assets, national secrets, and implementing labor safety rules and measures.

Chapter 2:

MANAGEMENT STRUCTURE OF THE INSTITUTE

Article 4. The organizational structure of the Institute includes:

1. Leadership of the Institute:

a) Director;

b) Deputy Directors.

2. Professional Departments:

a) Leather Processing Technology Research Department;

b) Leather Product Design Research Department;

c) Chemical Analysis Technology Department;

d) Planning and Coordination Department;

đ) Finance and Accounting Department;

e) Organization and Administrative Department.

3. Service and technology transfer facilities:

a) Leather Processing Laboratory;

b) Leather Product Manufacturing Laboratory;

c) Experimental Centers, scientific production and technology transfer enterprises, stations, farms, product introduction shops, equipment, machinery, and specialized material supply centers in the leather and footwear industry.

4. Leather and Shoe Research Sub-Institute in Ho Chi Minh City.

Adjustments to the organizational structure of the Institute shall be decided by the Minister of Industry based on the proposal of the Institute Director and the Department of Organization and Cadres.

Article 5. The Institute operates under a directorate system. The Director is appointed and relieved of duty by the Minister of Industry and is responsible before the Minister and the law for all activities of the Institute in accordance with the Party's guidelines and state laws.

Article 6. The Director has the following main tasks:

1. Organize and manage the activities of the Institute in accordance with the law and state regulations;

2. Develop and implement five-year, annual programs, mid-term reviews, final evaluations, regular and ad hoc reports to assess the Institute's operations for the Minister;

3. Define tasks and authorities for subordinate units based on the Institute’s functions and responsibilities;

4. Arrange, utilize, manage, and improve material and spiritual conditions, implement state policies and systems for staff members in accordance with the Institute’s tasks and conditions to maximize their professional expertise and capabilities;

5. Decide on appointments, dismissals, recruitments, transfers, salary increments, retirement benefits, rewards, disciplinary actions, sending staff for training and missions both domestically and internationally, according to the Ministry of Industry's cadre management hierarchy;

6. Manage and use technical facilities, capital, and assets of the Institute effectively in accordance with state regulations;

7. Within the scope of granted authority, issue management regulations and rules consistent with current state regulations to standardize the Institute's operations;

8. Convene and chair meetings of the Institute, establish advisory boards on specialized matters, competitions, rewards, and discipline, etc.;

In his absence, the Director may delegate authority to a Deputy Director to manage and handle affairs, but the Director remains accountable to the Minister and the law for such delegation;

, Clause 1, Clause 2 Article 7a of this Regulation.Assistants to the Director include Deputy Directors assigned specific tasks by the Director and are responsible to the Director, the Minister, and the law for the assigned duties;

The appointment or dismissal of Deputy Directors is proposed by the Director and decided by the Minister of Industry;

Article 8. Specialized departments have the following main tasks:

1. Manage one or more aspects of work according to assigned functions and responsibilities;

2. Propose and present projects, plans, policies, and draft management decisions for the Director's consideration and decision;

3. Implement the Director's decisions and handle regular tasks within the scope of assigned functions and responsibilities;

Based on each development stage of the Institute, establish appropriate specialized departments and bureaus in line with the Institute's scale;

The establishment or dissolution of departments and bureaus, the definition of their functions and responsibilities, and the appointment or dismissal of department heads, deputy directors, and sub-department heads are decided by the Director after approval by the Minister of Industry;

Article 9Service, production, and technology transfer units include:

1. Service facilities such as libraries, laboratories, experimental workshops without legal personality, established, defined in terms of functions and responsibilities, and appointed managers by the Director;

2. Science-production, technology transfer, training, and service centers, the Director builds proposals for the Minister's review and decision;

Article 10. Advisory Boards

1. The establishment of advisory councils (scientific council, salary council, recruitment council, competition council, reward council, discipline council, etc.) is decided by the Director with separate operational rules;

2. The Institute's Scientific Council serves as an advisory body assisting the Director in making significant scientific decisions when necessary; its composition includes: Chairperson, Vice-Chairperson, Secretary, and several economic experts and science and technology researchers who are specialists in the industry's scientific-economic field;

3. The Scientific Council has the following tasks:

a) Discuss strategies for development, policies, international cooperation, and training in the leather and footwear industry;

b) Discuss and approve long-term, five-year, and annual plans for research and technological deployment by the Institute;

c) Nominate program, project, and topic leaders; review project outlines, evaluate research results at the Institute level, and internally assess research works at the ministry and national levels;

Article 11. Duties and powers of employees.

1. Being assigned clear tasks and having the responsibility to complete them well.

2. Strictly comply with the Director's regulations and current laws;

3. Use work equipment as required and have the duty to maintain and preserve the Institute's common property;

4. Participate in discussions and provide opinions on the unit's and Institute's work programs, mid-term reviews, and final evaluations. Propose improvements to organizational management, working conditions, living standards, environmental hygiene, and staff training to meet the Institute's requirements;

5. Participate in discussions and develop Institute regulations on organizational management and rights and obligations of staff;

6. Propose to the Director for the arrangement, utilization, and implementation of state policies and systems for staff according to the Labor Code;

Cadre management within the Institute follows the Ministry of Industry's cadre management hierarchy;

Article 12. Organizational Party Cells of the Communist Party of Vietnam and mass organizations.

1. The Institute has a Communist Party of Vietnam branch operating according to the Party Charter, tasked with leading the Institute to implement the Party's policies, the State's laws, mobilizing all Party members and the masses to unite and fulfill the Institute's political tasks;

2. The Institute's Vietnam General Confederation of Labor and Ho Chi Minh Communist Youth Union organizations are established and operate according to the Trade Union Law and the Ho Chi Minh Communist Youth Union Charter, and are comprehensively led by the Institute's Communist Party branch;

Chapter 4:

RESEARCH ACTIVITIES

Article 13. The Institute develops and submits to the Minister of Industry for approval long-term, five-year, and annual scientific and technological research plans; guides and assigns tasks to staff to implement after approval;

Article 14. The Institute's research plan is a unified whole for each planning period, consisting of the following parts:

1. The task of researching and developing leather and footwear science and technology is assigned by the State and the Ministry of Transport Industry through the annual research plan.

2. The task of researching and developing leather and footwear science and technology is carried out through economic contracts with agencies, organizations, production and business establishments both inside and outside the country.

3. The task of production and business, service provision according to plans established by the Institute itself.

Article 15. The procedure for evaluating and accepting scientific research projects shall be conducted as follows:

1. Research projects ordered and contracted economically are accepted by the ordering party.

2. For scientific and technological research projects of the Institute, the Institute shall conduct acceptance.

Article 16. With respect to scientific and technological research results created by the Institute, the Institute has the following responsibilities and authorities:

1. Registering copyright at state management agencies and requesting state protection.

2. As for scientific and technological research results (including samples) belonging to the ordering party and the contracting party for research, the Institute has the responsibility:

a) Safeguarding safely and keeping confidential in accordance with state regulations;

b) When publishing, exchanging, or transferring, it is decided by the competent authority of the State or the parties to the contract.

Chapter 4:

FINANCE AND ASSETS

Article 17. Financial resources ensuring the operation of the Institute include:

1. Research and technology development funds provided by the State, including: salaries, operating costs for administrative machinery, investment in construction of physical facilities, upgrading equipment, national-level and ministry-level research topics;

2. Postgraduate training funds provided by the Ministry of Education and Training;

3. Revenue from economic contracts with agencies and units within and outside the Ministry regarding research, consulting on feasibility studies, detailed design, technology transfer, information advertising, training and professional development for those in need;

4. Revenue from experimental production, production and business, scientific and technical services, and other industrial services as prescribed by law;

5. Funding support from organizations, enterprises, and individuals both domestically and internationally for research and implementation of cooperative programs in science and technology with the Institute;

6. Loans and capital mobilization among staff members within and outside the Institute in accordance with the regulations of the State Bank;

7. Supplementary capital from the Institute's activities after fulfilling obligations to the State.

Article 18. The Institute is financially autonomous, actively creates capital, and is allowed to establish and use various types of funds effectively for their intended purposes in accordance with current state regulations.

Article 19. The Institute must prepare quarterly and annual financial income and expenditure plans, accounting reports, statistics, and financial settlement systems in accordance with the laws on accounting and statistics.

Article 20. The assets of the Institute include fixed assets and circulating assets provided by the State and the Ministry of Industry, and assets self-equipped by the Institute, the Institute has the responsibility:

1. To properly manage and utilize assets for their intended purposes and effectively in the fields of the Institute's operations;

2. Fully registering and recording all assets in ledgers as prescribed by the State.

Article 21. The liquidation, transfer, and reallocation of the Institute's assets must comply with state regulations.

Chapter 5:

RELATIONSHIPS OF THE INSTITUTE WITH OTHER AGENCIES

Article 22. The Institute is directly under the comprehensive leadership and management of the Minister of Industry, specialized guidance and direction by the Ministry of Science and Technology, relevant state management agencies, and administrative management by the People's Committee of the locality where the Institute is headquartered.

Article 23. The Institute may cooperate and coordinate with functional departments, specialized state management agencies under the Ministry, research and technology institutions, information media, educational institutions, enterprises, and other organizations across all fields to fulfill its tasks nationwide.

The Institute is permitted to establish cooperative relationships for scientific research, technology implementation, environmental protection, and cadre training with agencies and organizations in the region and internationally as prescribed by law.

Article 24. The Director of the Institute may attend meetings of the Ministry's leadership concerning issues related to the Institute's functions, tasks, organization, and activities.

Article 25. The relationship between the Director and the Party Committee is implemented according to Decision No. 51/QD-TW dated November 19, 1992, of the Central Committee of the Communist Party of Vietnam.

Article 26. The relationship between the Director and the Trade Union Council is a cooperative relationship aimed at resolving issues related to the Trade Union's functions, tasks, responsibilities, rights, and obligations of members as stipulated in the 1990 Trade Union Law.

Article 27. The Director provides working conditions and necessary information for the Communist Youth Union to perform its functions, tasks, rights, and obligations as prescribed in the Charter of the Ho Chi Minh Communist Youth Union.

Chapter 6:

IMPLEMENTING PROVISIONS

Article 28. These Statutes shall apply to the Leather - Footwear Research Institute. Subordinate units and staff members within the Institute are responsible for implementing these Statutes.

Article 29. Based on the provisions of these Statutes, the Director is responsible for establishing and promulgating internal regulations, rules, and guidelines regarding the functions, tasks, and authorities of each department within the organizational structure to ensure the Institute's activities are conducted in an orderly manner.

Article 30.Any amendments, supplements, or adjustments to these Statutes shall be proposed by the Director of the Leather - Footwear Research Institute and decided upon by the Minister of Industry. /
