The Government promulgates this Decree on business registration.
PART I
GENERAL PROVISIONS
Article 1. Scope of Regulation
1. This Decree stipulates detailed provisions on the dossier, procedures, and formalities for business registration, household business registration; it also provides regulations on the business registration authority and state management over business registration and household business registration.
2. The linkage of procedures for registering the establishment of businesses, branches, representative offices, reporting on labor usage, issuing social insurance unit codes, and registering the use of invoices by businesses shall be carried out in accordance with the Government's Decree on coordination and linkage of procedures for registering the establishment of businesses, branches, representative offices, reporting on labor usage, issuing social insurance unit codes, and registering the use of invoices by businesses.
Article 2. Applicability
1. Domestic organizations and individuals; foreign organizations and individuals shall conduct business registration in accordance with Vietnamese laws.
2. Individuals and members of family households shall conduct household business registration in accordance with this Decree.
3. Business registration authority.
4. Tax administration authority.
5. Other organizations and individuals related to business registration and household business registration.
Article 3. Explanation of Terms
In this Decree, the following terms are understood as follows:
1. Business registration is the act of the business founder registering information about the proposed business, or a business registering changes in its business registration information with the Business Registration Authority and having such information stored in the National Business Registration Database. Business registration includes the registration of business establishment, branch operations, representative office operations, business locations, and other registration obligations and notifications as prescribed by this Decree.
2. The national business registration information system specified in Clause 19, Article 4 of the Enterprise Law is a specialized information system for business registration managed by the Ministry of Planning and Investment, in collaboration with relevant agencies, built and operated to send, receive, store, display, or perform other data processing tasks to support business registration work.
3. The National Business Registration Database is a collection of business registration data nationwide. Information in the business registration dossier and the legal status of enterprises stored in the National Business Registration Database has legal value as original enterprise information.
4. The person submitting the dossier is the authorized person signing the application for business registration or the person authorized by the authorized person to submit the business registration procedures as stipulated in Article 12 of this Decree.
5. Digitizing the dossier involves scanning existing paper data to convert paper-based textual data into electronic textual data.
Article 4. Principles for Applying and Resolving Business Registration Procedures
1. The business founder or the enterprise must declare the business registration dossier and bear legal responsibility for the legality, truthfulness, and accuracy of the declared information in the business registration dossier and reports.
2. In cases where a limited liability company or a joint-stock company has more than one legal representative, the legal representatives implementing the business registration procedures must ensure and bear responsibility for performing their rights and obligations as prescribed in Clause 2, Article 12 of the Enterprise Law.
3. The business registration authority is responsible for the validity of the business registration dossier and does not bear responsibility for any violations of the law committed by the enterprise before and after business registration.
4. The business registration authority does not resolve disputes between company shareholders or among shareholders or between the company and other organizations or individuals.
5. Enterprises are not required to affix seals on the application for business registration, notification of changes to business registration content, resolutions, decisions, meeting minutes in the business registration dossier. Sealing of other documents in the business registration dossier shall be carried out in accordance with relevant laws.
Article 5. Right to establish enterprises and obligation to register enterprises
1. The right to establish enterprises in accordance with the provisions of the law is the right of individuals and organizations and is protected by the State.
2. The person establishing the enterprise or the enterprise has the obligation to fully and timely perform the obligations regarding enterprise registration, publicly disclose information on establishment and operation of the enterprise in accordance with this Decree and related legal documents.
3. Strictly prohibited are acts by the Business Registration Authority and other agencies causing inconvenience to organizations and individuals during the acceptance of registration files and the processing of enterprise registration procedures.
4. Ministries, ministerial-level agencies, People's Councils, and People's Committees at all levels shall not issue regulations or documents on enterprise registration applicable only to their respective sectors or localities. Regulations on enterprise registration issued by ministries, ministerial-level agencies, People's Councils, and People's Committees at all levels that contravene the provisions of this Decree shall have no effect.
Article 6. Certificate of Enterprise Registration, Certificate of Branch Operation Registration, Representative Office Registration Certificate, Certificate of Business Location Registration
1. The Certificate of Enterprise Registration, Certificate of Branch Operation Registration, Representative Office Registration Certificate, and Certificate of Business Location Registration are issued to enterprises, branches, representative offices, and business locations of enterprises. The contents of the Certificate of Enterprise Registration, Certificate of Branch Operation Registration, Representative Office Registration Certificate, and Certificate of Business Location Registration are recorded based on the information in the enterprise registration file. The Certificate of Enterprise Registration simultaneously serves as the Tax Registration Certificate of the enterprise. The Certificate of Enterprise Registration is not a business license.
2. In cases where the Certificate of Enterprise Registration, Certificate of Branch Operation Registration, Representative Office Registration Certificate, and Certificate of Business Location Registration are stored in the National Enterprise Registration Database in electronic form and at the same time point contain different contents from those of the paper certificates, the certificate with the correct content recorded according to the enterprise registration file shall have legal validity.
Article 7. Recording of Business Sectors and Industries
1. When registering to establish an enterprise, when notifying additional or changed business sectors and industries, or when requesting to exchange for a new Certificate of Enterprise Registration, the person establishing the enterprise or the enterprise selects a fourth-level economic sector in the Vietnamese Economic Classification System to record the business sectors and industries in the Enterprise Registration Application Form, Change Notification of Enterprise Registration Content, or the Application Form for Exchange of Certificate of Enterprise Registration. The Business Registration Authority guides, compares, and records the business sectors and industries of the enterprise in the National Enterprise Registration Database.
2. The specific content of the fourth-level economic sector prescribed in Clause 1 of this Article is implemented in accordance with the Decision of the Prime Minister promulgating the Vietnamese Economic Classification System.
3. For business sectors and industries subject to conditions for investment and business as stipulated in other legal documents, the business sectors and industries are recorded according to the sectors and industries specified in those legal documents.
4. For business sectors and industries not included in the Vietnamese Economic Classification System but specified in other legal documents, the business sectors and industries are recorded according to the sectors and industries specified in those legal documents.
5. For business sectors and industries not included in the Vietnamese Economic Classification System and not specified in other legal documents, the Business Registration Authority will consider recording these business sectors and industries in the National Enterprise Registration Database if they are not prohibited from investment and business, and will notify the Ministry of Planning and Investment (General Statistics Office) to supplement new business sectors and industries.
6. If an enterprise wishes to record more detailed business sectors and industries than the fourth-level economic sector, the enterprise selects a fourth-level economic sector in the Vietnamese Economic Classification System, then records the detailed business sectors and industries of the enterprise under the fourth-level sector, ensuring that the detailed business sectors and industries of the enterprise are consistent with the selected fourth-level sector. In this case, the business sectors and industries of the enterprise are the detailed business sectors and industries recorded by the enterprise.
7. The recording of business sectors and industries prescribed in Clause 3 and Clause 4 of this Article is carried out in accordance with the provisions of Clause 6 of this Article, wherein the detailed business sectors and industries are recorded according to the sectors and industries specified in specialized legal documents.
8. The state management of business sectors and industries subject to conditions for investment and business, and the market access conditions for foreign investors, as well as the inspection of compliance with business conditions by enterprises, falls within the jurisdiction of specialized agencies in accordance with specialized laws.
Article 8. Business registration number, dependent unit code of a business, business location code
1. Each business shall be assigned a unique business registration number. This number shall simultaneously serve as the tax identification number and the social insurance unit code of the business.
2. The business registration number remains valid throughout the operational period of the business and shall not be reassigned to another organization or individual. When the business ceases operations, the business registration number becomes invalid.
3. The business registration number is created, sent, and received automatically by the National Enterprise Registration Information System and the Tax Registration Information System, and is recorded on the Enterprise Registration Certificate.
4. State management agencies uniformly use the business registration number for state management tasks and information exchange regarding businesses.
5. The dependent unit code of a business is assigned to branches and representative offices of the business. This code simultaneously serves as the tax identification number of the branch or representative office.
6. The business location code consists of five digits and is assigned in numerical order from 00001 to 99999. This code is not the tax identification number of the business location.
7. In cases where a business, branch, or representative office has its tax identification number terminated due to violations of tax laws, such entities may not use the tax identification number in economic transactions from the date the Tax Authority publicly announces the termination of the tax identification number's validity.
8. For branches and representative offices established before November 1, 2015 but not yet assigned a dependent unit code, the business shall directly contact the Tax Authority to obtain a thirteen-digit tax identification number, then proceed with the procedures to change the registered business activity content at the Business Registration Agency according to regulations.
9. For businesses established and operating under Investment Licenses or Investment Certificates (which are also Business Registration Certificates) or other documents of equivalent legal value, or Securities Trading Establishment and Operation Licenses, the business registration number is the tax identification number issued by the Tax Authority to the business.
Article 9. Number of enterprise registration files
1. The person establishing the business or the business shall submit one set of documents when performing enterprise registration procedures.
2. The Business Registration Agency shall not require the person establishing the business or the business to submit additional documents or papers beyond those specified in the enterprise registration file as stipulated by the Enterprise Law and this Decree.
Article 10. Language used in enterprise registration files
1. Documents and materials in the enterprise registration file shall be prepared in Vietnamese.
2. Where the enterprise registration file includes foreign language documents, the file must include a certified Vietnamese translation accompanying the foreign language document.
3. Where documents and materials in the enterprise registration file are prepared in both Vietnamese and a foreign language, the Vietnamese version shall be used to perform the enterprise registration procedures.
Article 11. Legal documents of individuals in enterprise registration files
1. For Vietnamese citizens: Citizen Identity Card or People's Identity Card or valid Vietnamese Passport.
2. For foreigners: Valid Foreign Passport or other documents substituting for a foreign passport.
Article 12. Within 10 working days from the date of receipt of the dossier as mentioned in Sub-clause b, Clause 1, Article 3 above, the Ministry of Foreign Affairs will review and submit to the competent authority for decision (Issues exceeding the Ministry of Foreign Affairs' jurisdiction will be referred to the Prime Minister for consideration and decision).Right to implement enterprise registration procedures
The authorized person signing the application for enterprise registration may delegate another organization or individual to carry out the enterprise registration procedures as follows:
1. In the case of delegating an individual to carry out the enterprise registration procedures, the enterprise registration file must include a power of attorney for the individual to handle related registration procedures and a copy of the legal document of the delegated individual. This power of attorney does not necessarily need to be notarized or authenticated.
2. In the case of delegating an organization to carry out the enterprise registration procedures, the enterprise registration file must include a copy of the service provision contract with the organization providing services for related registration procedures, an introduction letter from that organization for the individual directly handling related registration procedures, and a copy of the legal document of the introduced individual.
3. In the case of delegating a public postal service provider to carry out the enterprise registration procedures, when implementing the registration procedures, the postal employee must submit a copy of the submission form for the file issued by the public postal service provider with signatures confirming by the postal employee and the authorized person signing the application for enterprise registration.
4. In the case of delegating a non-public postal service provider to carry out the enterprise registration procedures, the delegation shall be carried out according to the provisions of Clause 2 of this Article.
Article 13. Issuing Business Registration through Backup Procedures
1. Issuing Business Registration through backup procedures refers to issuing Business Registration without using the National Business Registration Information System. The backup procedures for issuing Business Registration shall be applied in the following cases:
a) When the National Business Registration Information System is under construction or upgrade;
b) When the National Business Registration Information System encounters technical issues;
c) In case of war, riots, natural disasters, or other force majeure events.
Based on the estimated time to resolve technical issues or upgrade the National Business Registration Information System, except in cases of force majeure, the Ministry of Planning and Investment shall notify the Business Registration Authority in advance to implement the issuance of Business Registration through backup procedures.
2. The coordination in handling procedures for issuing Business Registration through backup procedures between the Business Registration Authority and the Tax Authority shall be carried out according to the paper-based file circulation process.
3. Within fifteen working days from the end date of issuing Business Registration through backup procedures, the Business Registration Authority must update new data and information issued to businesses into the National Business Registration Database.
Chapter II
DUTIES AND LIMITS OF THE BUSINESS REGISTRATION AUTHORITY AND STATE MANAGEMENT IN BUSINESS REGISTRATIONềN LIMITS OF THE BUSINESS REGISTRATION AUTHORITY AND BUSINESS REGISTRATION,ề BUSINESS REGISTRATION, REGISTRATIONộ FOR PETROLEUM TRADING
Article 14. Business Registration Authority
1. The Business Registration Authority is organized at the provincial level (hereinafter referred to as the provincial level) and at the district level (hereinafter referred to as the district level), including:
a) At the provincial level: The Business Registration Department under the Provincial Department of Planning and Investment (hereinafter referred to as the Business Registration Department).
The Business Registration Department may organize points to receive files and deliver results of the Business Registration Department at different locations within the province;
b) At the district level: The Finance and Planning Department under the District People's Committee (hereinafter referred to as the District Business Registration Authority).
2. The Business Registration Authority has its own account and seal.
Article 15. Duties and Powers of the Business Registration Department
1. The Business Registration Department directly receives business registration files; is responsible for the validity of business registration files; issues or refuses to issue Business Registration.
2. Guides enterprises and enterprise founders about business registration files, procedures, and formalities; guides the District Business Registration Authority about individual business registration files, procedures, and formalities.
3. Cooperates in building, managing, and operating the National Business Registration Information System; implements standardization and updating of local business registration data into the National Business Registration Database.
4. Provides information on business registration retained in the National Business Registration Database within the scope of management to the Provincial People's Committee, local tax management authority, and the Anti-Money Laundering Agency of the State Bank of Vietnam, relevant authorities, and organizations and individuals as prescribed by law.
5. Requires enterprises to report on compliance with provisions of the Enterprise Law as stipulated in point c, Clause 1, Article 216 of the Enterprise Law.
6. Directly or requests competent state agencies to inspect and supervise enterprises based on the contents in the business registration files.
7. Inspects and supervises the District Business Registration Authority in performing duties and powers regarding individual business registration.
8. Requires enterprises to suspend operations in conditional business sectors and conditional market access sectors for foreign investors as stipulated in Clause 1, Article 67 of this Decree.
9. Revokes the Enterprise Registration Certificate, Branch Operation Registration Certificate, and Representative Office Registration Certificate in accordance with the law.
10. Registers businesses for other organizations and individuals in accordance with the law.
Article 16. Tasks and Authorities of the Business Registration Authority at the District Level
1. Directly receive business registration files for individual households; examine the validity of the file and issue or refuse to issue the business registration certificate for individual households.
2. Guide individual households and their founders on the business registration file, procedures, and formalities.
3. Coordinate in building, managing, and operating the information system on individual households operating within the jurisdiction; regularly report to the People's Committee at the district level, the Business Registration Department, and the Tax Authority at the district level on the situation of individual household registrations within the jurisdiction.
4. Provide information on individual household registrations within the jurisdiction to the People's Committee at the district level, local tax management agencies, relevant agencies, and organizations and individuals as required by law.
5. Directly inspect or request competent state agencies to inspect individual households according to the contents in the business registration files.
6. Require individual households to report on compliance with regulations stipulated in this Decree when necessary.
7. Require individual households to temporarily suspend operations in industries and trades requiring conditions when it is found that they do not meet the necessary business conditions.
8. Revoke the Certificate of Business Registration for individual households in accordance with the provisions of the law.
9. Register businesses for other organizations and individuals in accordance with the provisions of the law.
Article 17. State Management of Business Registration
1. The Ministry of Planning and Investment:
a) Propose to the competent authority to promulgate, or promulgate within its competence, legal normative documents on business registration, individual household registration, professional guidance documents, forms, reporting systems serving business registration work, individual household registration, and online business registration through electronic information networks;
b) Guide, train, and provide professional development for business registration authorities, staff involved in business registration work, organizations, and individuals who request such services; guide the Business Registration Department in digitizing files, standardizing data, and updating local business registration data into the National Business Registration Database;
c) Urge, direct, monitor, inspect, and supervise business registration activities;
d) Provide information on business registration content, legal status, financial reports, and other information of enterprises stored in the National Business Registration Information System to related government agencies, organizations, and individuals who request such information;
đ) Organize the construction, management, and development of the National Business Registration Information System; support the Business Registration Department, enterprises, enterprise founders, and other individuals and organizations in using the National Business Registration Information System; guide the establishment of funds to serve the operation of the National Business Registration Information System at the local level;
e) Take the lead and coordinate with the Ministry of Finance in connecting the National Business Registration Information System with the Tax Information System;
g) Take the lead and coordinate with the Ministry of Finance to study and develop plans to implement integrated procedures for business registration and tax registration for individual households suitable to actual circumstances;
h) International cooperation in the field of business registration.
2. Ministry of Finance:
a) Coordinate with the Ministry of Planning and Investment in connecting the National Business Registration Information System with the Tax Information System to provide enterprise codes, dependent unit codes of enterprises, business location codes, and exchange information about enterprises;
b) The Securities Commission shall be responsible for converting data from securities companies, investment fund management companies, foreign securities company branches, and foreign fund management company branches in Vietnam, and providing a list of securities companies, investment fund management companies, foreign securities company branches, and foreign fund management company branches in Vietnam that meet the conditions specified in Clause 1, Article 135 of the Securities Law to the Business Registration Authority to carry out business registration for the aforementioned entities in accordance with the Securities Law.
3. Ministries, ministerial-level agencies, and government agencies within the scope of their functions, tasks, and authorities assigned shall be responsible for guiding the implementation of laws on business conditions; inspecting, auditing, and handling violations of compliance with business conditions under their state management authority; reviewing and publishing on the electronic information portal of ministries, ministerial-level agencies, and government agencies lists of industries and trades requiring conditions, business conditions within their state management scope, and sending them to the Ministry of Planning and Investment for publication on the national business registration information portal.
4. Provincial People's Committees and municipal people's committees directly under the central government shall allocate sufficient human resources, funding, and other resources to the Business Registration Authority to ensure the performance of tasks and authorities stipulated in this Decree.
Chapter III
- Office of the President of the StateABUSINESS NAME REGISTRATION, BRANCHES, REPRESENTATIVE OFFICES, BUSINESS LOCATIONS
Article 18. Registration of Business Name
1. The person establishing a business or the business shall not register a business name that is identical or likely to cause confusion with the registered business name of another business in the National Enterprise Registration Database throughout the country, except for businesses that have been dissolved or declared bankrupt by an effective court decision.
2. The Department of Business Registration has the authority to approve or reject the proposed business name registration according to the provisions of the law. To avoid duplication, confusion, and violations of the regulations on naming businesses, the opinion of the Department of Business Registration is the final decision. In case of disagreement with the decision of the Department of Business Registration, the business may initiate legal proceedings according to the administrative litigation law.
3. Businesses operating under Investment License or Investment Certificate (which is also the Business Registration Certificate) or equivalent legal documents issued before July 1, 2015 are allowed to continue using their registered business name and are not required to register a change of business name in cases where there is a duplicate or confusing name with a registered business name in the National Enterprise Registration Database.
4. Encouragement and facilitation are provided for businesses with duplicate or confusing names to negotiate among themselves to register a change of business name.
Article 19. Handling Cases Where Business Names Infringe Industrial Property Rights
1. It is not permitted to use trademarks, trade names, or geographical indications protected by organizations or individuals to form the unique name of a business, except when approved by the owner of the trademark or trade name. Before registering a business name, the person establishing the business or the business must refer to registered trademarks and geographical indications stored in the Trademark and Geographical Indication Database of the competent state agency for intellectual property management.
2. The basis for determining that a business name infringes industrial property rights is carried out according to the provisions of the law on intellectual property.
A business must bear responsibility under the law if it sets up a business name that infringes industrial property rights. If a business name infringes industrial property rights, the business with the infringing name must register to change its business name.
3. The subject of industrial property rights has the right to submit a written request to the Department of Business Registration to require a business with an infringing business name to change its business name appropriately. Accompanying the written request of the subject of industrial property rights must be copies of the following documents:
a) The conclusion document of the competent authority regarding the use of the business name as an infringement of industrial property rights;
b) Trademark Registration Certificate, Geographical Indication Registration Certificate; extracts from the national registry of protected trademarks and geographical indications issued by the competent state agency for intellectual property management; International Trademark Registration Certificate protected in Vietnam issued by the competent state agency for intellectual property management; and contracts for the use of objects of industrial property rights in cases where the requester is the user of such objects.
4. Within ten working days from the date of receiving all documents as stipulated in Clause 3 of this Article, the Department of Business Registration issues a notice requiring a business with an infringing business name to change its business name and proceed with the procedure to change the business name within two months from the date of issuance of the notice. The notice must include the documents specified in Clause 3 of this Article. After the above period, if the business does not register to change its business name as required, the Department of Business Registration will notify the competent state authority to handle the matter according to the law on intellectual property.
5. In cases where the competent authority handling the violation issues an administrative penalty decision, applying measures to rectify the consequences as ordering a change of business name or removing the infringing element from the business name but the violator does not implement within the time limit prescribed by law, the competent authority handling the violation will notify the Department of Business Registration to require the business to report according to point c, Clause 1, Article 216 of the Law on Enterprises. For businesses that do not report, the Department of Business Registration will carry out the revocation of the Business Registration Certificate according to point d, Clause 1, Article 212 of the Law on Enterprises.
6. The Department of Business Registration will notify the result of handling cases where business names infringe industrial property rights to the subject of industrial property rights as stipulated in Clause 3 of this Article.
7. The Ministry of Planning and Investment will coordinate with the Ministry of Science and Technology to provide detailed guidance on this Article.
Article 20. Registration of Branch Name, Representative Office Name, Business Location Name
1. The branch name, representative office name, business location name shall be implemented in accordance with the provisions of Article 40 of the Enterprise Law.
2. In addition to the Vietnamese name, the branch, representative office, and business location of an enterprise may register a foreign language name and an abbreviated name. The foreign language name is the name translated from the Vietnamese name into one of the foreign languages using the Latin script. The abbreviated name is an abbreviation of the Vietnamese name or the foreign language name.
3. The specific name portion in the branch name, representative office name, and business location name of an enterprise shall not use the terms "company" or "enterprise".
4. For enterprises with 100% state capital that are converted into dependent accounting units due to organizational restructuring requirements, they are permitted to retain the original state enterprise name before the restructuring.

Article 21. Documents for registering a private enterprise
1. Application for enterprise registration.
2. A copy of the legal document of the individual who is the owner of the private enterprise.
Article 22. Documents for registering a joint-stock company
1. Application for enterprise registration.
2. Company charter.
3. List of members.
4. Copies of the following documents:
a) Legal documents of individuals for members of the company who are individuals; legal documents of organizations for members of the company who are organizations; legal documents of individuals for authorized representatives and appointment documents for authorized representatives.
For members who are foreign organizations, copies of their legal documents must be apostilled.
b) Investment registration certificate for cases where the enterprise is established or participates in establishment by foreign investors or economic organizations with foreign investment capital in accordance with the Investment Law and its implementing regulations.
Article 23. Documents for registering a limited liability company with two or more shareholders, a joint-stock company
1. Application for enterprise registration.
2. Company charter.
3. List of shareholders for a limited liability company with two or more shareholders; list of founding shareholders and list of foreign investor shareholders for a joint-stock company.
4. Copies of the following documents:
a) Legal documents of individuals for the法定代表人 of the enterprise;
b) Legal documents of individuals for shareholders of the company, founding shareholders, and foreign investor shareholders who are individuals; legal documents of organizations for shareholders, founding shareholders, and foreign investor shareholders who are organizations; legal documents of individuals for authorized representatives of shareholders, founding shareholders, and foreign investor shareholders who are organizations and appointment documents for authorized representatives.
For shareholders and founding shareholders who are foreign organizations, copies of their legal documents must be apostilled.
c) Investment registration certificate for cases where the enterprise is established or participates in establishment by foreign investors or economic organizations with foreign investment capital in accordance with the Investment Law and its implementing regulations.
Article 24. Documents for registering a business for a limited liability company with one member
1. Application for enterprise registration.
2. Company charter.
3. Copies of the following documents:
a) Legal documents of individuals for the法定代表人 of the enterprise;
b) Legal documents of individuals if the company owner is an individual; legal documents of organizations if the company owner is an organization (except when the company owner is the State); legal documents of individuals for the authorized representative and the document appointing the authorized representative.
For foreign organizations that are company owners, copies of their legal documents must be legalized by consular authentication;
c) Investment registration certificate for cases where the enterprise is established by foreign investors or economic organizations with foreign investment capital as stipulated in the Investment Law and guiding documents.
Article 25. Documents for registering a business for companies established based on splitting, separating, or merging companies
1. In the case of splitting a limited liability company or a joint-stock company as provided for in Article 198 of the Enterprise Law, in addition to the documents specified in Articles 23 and 24 of this Decree, the documents for registering a new company must include the following documents:
a) Resolution or decision on splitting the company as provided for in Article 198 of the Enterprise Law;
b) Copy of the minutes of the meeting of the Board of Members for a limited liability company with two or more members, or of the General Shareholders' Meeting for a joint-stock company regarding the splitting of the company.
2. In the case of separating a limited liability company or a joint-stock company as provided for in Article 199 of the Enterprise Law, in addition to the documents specified in Articles 23 and 24 of this Decree, the documents for registering the separated company must include the following documents:
a) Resolution or decision on separating the company as provided for in Article 199 of the Enterprise Law;
b) Copy of the minutes of the meeting of the Board of Members for a limited liability company with two or more members, or of the General Shareholders' Meeting for a joint-stock company regarding the separation of the company.
3. In the case of merging several companies into a new company, in addition to the documents specified in Articles 22, 23, and 24 of this Decree, the documents for registering the merged company must include the following documents:
a) Merger contract as provided for in Article 200 of the Enterprise Law;
b) Resolution or decision on approving the merger contract of the companies being merged and copy of the minutes of the meeting of the Board of Members for a limited liability company with two or more members, a partnership company, or of the General Shareholders' Meeting for a joint-stock company regarding the approval of the merger contract to establish a new company.
Article 26. Documents for registering a business for enterprises changing their form
1. In the case of converting a sole proprietorship into a partnership, a limited liability company, or a joint-stock company, the documents for registering the conversion shall include the documents specified in Articles 22, 23, and 24 of this Decree, excluding the Investment Registration Certificate specified in point c, Clause 4, Article 22, point c, Clause 4, Article 23, and point c, Clause 3, Article 24 of this Decree. The documents accompanying the application must include the following:
a) A written commitment from the sole proprietorship owner to bear personal responsibility for all outstanding debts with their entire assets and to pay off all debts when due;
b) A written agreement between the sole proprietorship owner and the parties to incomplete contracts regarding the new company's acceptance and continuation of those contracts;
c) A written commitment or agreement between the sole proprietorship owner and other shareholders regarding the acceptance and utilization of current employees of the sole proprietorship;
d) Transfer contract or documents proving the completion of the transfer in the case of transferring the capital of the sole proprietorship; Gift contract in the case of gifting the capital of the sole proprietorship; Copy of the legal inheritance confirmation document of the heir in the case of inheritance as prescribed by law;
đ) Document from the Investment Registration Authority approving the contribution of capital, purchase of shares, or purchase of equity stakes from foreign investors or economic organizations with foreign investment capital in cases where such procedures must be registered according to the Investment Law;
2. In the case of converting a limited liability company with one member into a limited liability company with two or more members, the documents for registering the conversion shall include the documents specified in Article 23 of this Decree, excluding the Investment Registration Certificate specified in point c, Clause 4, Article 23 of this Decree. The documents accompanying the application must include the following:
a) Transfer contract or documents proving the completion of the transfer in the case of transferring equity stakes; Gift contract in the case of gifting equity stakes; Copy of the legal inheritance confirmation document of the heir in the case of inheritance as prescribed by law;
b) Resolution or decision of the company owner on raising additional capital contributions from other individuals or organizations and documents confirming the new shareholder's capital contribution in the case of raising new capital contributions;
c) Document from the Investment Registration Authority approving the contribution of capital, purchase of shares, or purchase of equity stakes from foreign investors or economic organizations with foreign investment capital in cases where such procedures must be registered according to the Investment Law.
3. In the case of converting a limited liability company with two or more members into a limited liability company with one member, the documents for registering the conversion shall include the documents specified in Article 24 of this Decree, excluding the Investment Registration Certificate specified in point c, Clause 3, Article 24 of this Decree. The documents accompanying the application must include the following:
a) A share transfer contract or documents proving the completion of the share transfer in the case of share transfer; A gift contract in the case of share donation; A copy of the legal inheritance confirmation document for the heir in the case of inheritance as prescribed by law; Merger contracts and consolidation contracts in the case of company merger or consolidation;
b) Resolutions, decisions, and copies of meeting minutes of the Board of Members of a limited liability company with two or more members regarding the conversion to operate under the model of a single-member limited liability company;
c) Document from the Investment Registration Authority approving the contribution of capital, purchase of shares, or purchase of equity stakes from foreign investors or economic organizations with foreign investment capital in cases where such procedures must be registered according to the Investment Law.
4. In the case of converting a limited liability company into a joint-stock company and vice versa, the registration application for conversion shall include the documents prescribed in Articles 23 and 24 of this Decree, excluding the Investment Registration Certificate prescribed in point c, Clause 4, Article 23 and point c, Clause 3, Article 24 of this Decree. The following documents must be attached to the application:
a) The resolution, decision of the company owner for a single-member limited liability company or the resolution, decision, and copies of meeting minutes of the Board of Members for a limited liability company with two or more members or the resolution and copies of meeting minutes of the General Meeting of Shareholders for a joint-stock company regarding the conversion of the company;
b) A share transfer contract or documents proving the completion of the share transfer in the case of share transfer; A gift contract in the case of share donation; A copy of the legal inheritance confirmation document for the heir in the case of inheritance as prescribed by law;
c) Documents confirming the capital contribution of new members or shareholders;
d) A document from the Investment Registration Authority approving the capital contribution, purchase of shares, or purchase of equity stakes of foreign investors or economic organizations with foreign investment capital, where such procedures are required according to the Investment Law;
5. An enterprise may simultaneously register for conversion of business form and apply for changes to the business registration content, or notify changes to the business registration content. In this case, the business registration application shall be carried out accordingly as prescribed in Clauses 1, 2, 3, and 4 of this Article;
If an enterprise simultaneously registers for conversion of business form and applies for change of legal representative, the person signing the application shall be the Chairman of the Board of Members for a limited liability company with two or more members or a partnership; the Chairman of the company or the Chairman of the Board of Members for a single-member limited liability company; the Chairman of the Board of Directors for a joint-stock company after conversion;
Article 27. Registration for Conversion from a Business Household to an Enterprise
1. The registration for establishment of an enterprise based on conversion from a business household shall be conducted at the Business Registration Office where the enterprise intends to locate its principal office;
2. The registration application for establishment of an enterprise based on conversion from a business household includes the original Business Registration Certificate, a copy of the Tax Registration Certificate, and other documents prescribed in Articles 21, 22, 23, and 24 of this Decree corresponding to each type of enterprise, excluding the Investment Registration Certificate prescribed in point b, Clause 4, Article 22, point c, Clause 4, Article 23, and point c, Clause 3, Article 24 of this Decree. Where the converted enterprise has foreign investors or economic organizations with foreign investment capital participating in capital contributions, purchases of shares, or purchases of equity stakes that require registration procedures according to the Investment Law, the application must include a document from the Investment Registration Authority approving the capital contribution, purchase of shares, or purchase of equity stakes of foreign investors or economic organizations with foreign investment capital;
3. Within two working days from the date of issuance of the Enterprise Registration Certificate, the Business Registration Office shall send a copy of the Enterprise Registration Certificate and the original Business Registration Certificate of the business household to the Business Registration Authority of the district where the business household is located to terminate the business household's operations.
Article 28. Documents, procedures, and formalities for registering social enterprises
1. The documents, procedures, and formalities for establishing social enterprises, branches, representative offices, and business locations of social enterprises shall be carried out in accordance with the provisions of this Decree corresponding to each type of enterprise. Accompanying the documents must be the Social and Environmental Goals Commitment signed by the following persons:
a) For sole proprietorships: the owner of the sole proprietorship;
b) For general partnerships: the general partners;
c) For limited liability companies: individual members; the legal representative or authorized representative if the member is an organization;
d) For joint-stock companies: founding shareholders who are individuals, other shareholders who are individuals, if such shareholders agree with the content of the commitment and wish to sign the commitment together with the founding shareholders; the legal representative or authorized representative if the founding shareholder is an organization, the legal representative or authorized representative if the other shareholder is an organization, if such shareholders agree with the content of the commitment and wish to sign the commitment together with the founding shareholders.
The Business Registration Department will publish the Social and Environmental Goals Commitment on the National Enterprise Registration Information Portal when issuing the Certificate of Enterprise Registration to the enterprise.
2. In cases where an enterprise transforms into a social enterprise, the enterprise shall submit the documents to the Business Registration Department at the location of its main office. The documents include the following papers:
a) The Social and Environmental Goals Commitment signed by the legal representative of the enterprise;
b) Resolutions, decisions, and copies of meeting minutes of the Board of Members for limited liability companies with two or more members, general partnerships, and the General Shareholders' Meeting for joint-stock companies; resolutions, decisions of the company's owner for one-member limited liability companies regarding the approval of the content of the Commitment.
The Business Registration Department shall update the enterprise information in the National Enterprise Registration Database and publish the Social and Environmental Goals Commitment on the National Enterprise Registration Portal within three working days from the date of receipt of the documents.
3. In cases where there is a change in the content of the Social and Environmental Goals Commitment, the social enterprise must notify the Business Registration Department at the location of its main office within five working days from the date of the decision to change. Accompanying the notification must be the following papers:
a) The Social and Environmental Goals Commitment that has been amended and supplemented, signed by the legal representative of the enterprise;
b) Resolutions, decisions, and copies of meeting minutes of the Board of Members for limited liability companies with two or more members, general partnerships, and the General Shareholders' Meeting for joint-stock companies; resolutions, decisions of the company's owner for one-member limited liability companies regarding the approval of the content of the change in the Commitment.
The Business Registration Department shall update the enterprise information in the National Enterprise Registration Database and publish the amended and supplemented Social and Environmental Goals Commitment on the National Enterprise Registration Portal within three working days from the date of receipt of the notification.
4. In cases where the Social and Environmental Goals Commitment is terminated, the social enterprise must notify the Business Registration Department at the location of its main office within five working days from the date of the decision to terminate. Accompanying the notification must be the following papers: Resolutions, decisions, and copies of meeting minutes of the Board of Members for limited liability companies with two or more members, general partnerships, and the General Shareholders' Meeting for joint-stock companies; resolutions, decisions of the company's owner for one-member limited liability companies or decisions of competent state agencies (if any) regarding the termination of the Commitment, clearly stating the reasons for termination.
The Business Registration Department shall update the enterprise information in the National Enterprise Registration Database and publish the papers specified in Clause 4 of this Article on the National Enterprise Registration Portal within three working days from the date of receipt of the notification.
5. The documents, procedures, and formalities for splitting, dividing, merging, and consolidating social enterprises shall be carried out in accordance with the provisions of this Decree. In cases where a new social enterprise is established based on splitting, dividing, or merging, the documents must also include the Social and Environmental Goals Commitment as stipulated in Clause 1 of this Article. In cases where splitting, dividing, merging, or consolidating social enterprises leads to the termination of the Social and Environmental Goals Commitment, the documents must also include the papers specified in Clause 4 of this Article.
6. The documents, procedures, and formalities for liquidating social enterprises shall be carried out in accordance with the provisions of this Decree. In cases where a social enterprise still has surplus assets or finances from received grants or donations, the liquidation documents must also include a copy of the documentation regarding the handling of surplus assets or finances from received grants or donations by the social enterprise.
7. The registration for establishing a social enterprise based on the transformation from a social welfare facility, social fund, or charitable fund shall be conducted at the Business Registration Department at the location where the social enterprise plans to establish its main office. The enterprise registration documents include the papers specified in Clause 1 of this Article, excluding the Investment Registration Certificate as stipulated in Point b Clause 4 Article 22, Point c Clause 4 Article 23, and Point c Clause 3 Article 24 of this Decree. Accompanying the documents must be the following papers:
a) A written decision allowing the transformation into a social enterprise issued by the authority that granted the establishment permit for the social welfare facility, social fund, or charitable fund.
b) Certificate of registration for establishment for social welfare facilities, license for establishment and recognition of regulations for social funds and charitable funds;
c) Copy of Tax Registration Certificate;
d) Document from the Investment Registration Authority approving the capital contribution, purchase of shares, or purchase of equity interest of foreign investors and foreign-invested economic organizations in cases where procedures for registering capital contribution, share purchase, or equity interest purchase must be carried out according to the Investment Law.
Within two working days from the date of issuance of the Enterprise Registration Certificate, the Business Registration Department shall send copies of the Enterprise Registration Certificate and the original Certificate of registration for establishment for social welfare facilities, license for establishment and recognition of regulations for social funds and charitable funds to the competent authority that issued the license for establishing social welfare facilities, social funds, and charitable funds to terminate the operation of such facilities and funds.
Article 29. Documents, procedures, and registration process for enterprises for credit institutions, branches of foreign banks, representative offices of foreign credit institutions, and other foreign organizations engaged in banking activities
1. The documents, procedures, and registration process for enterprises for credit institutions, branches, representative offices, and business locations of credit institutions shall be implemented in accordance with the provisions of this Decree corresponding to each type of enterprise, along with the documents, there must be a copy of the permit or approval document issued by the State Bank of Vietnam.
2. The documents for registration of operations and changes in registered operational content for branches of foreign banks, representative offices of foreign credit institutions, and other foreign organizations engaged in banking activities shall be implemented in accordance with the provisions at point a and point c of Clause 1, Article 31 and Clause 2, Article 62 of this Decree, along with the documents, there must be a copy of the permit or approval document issued by the State Bank of Vietnam.
3. Within seven working days from the effective date of the decision to revoke the permit, credit institutions, branches of foreign banks, representative offices of foreign credit institutions, and other foreign organizations engaged in banking activities shall notify the Business Registration Department of the location of their headquarters about the dissolution of the enterprise and termination of branch or representative office operations. Along with the notification, there must be a copy of the decision to terminate liquidation and the decision to revoke the permit issued by the State Bank of Vietnam in the case of dissolving a credit institution or branch of a foreign bank; a copy of the decision to revoke the permit in the case of terminating the operations of a representative office of a foreign credit institution or other foreign organization engaged in banking activities.
The Business Registration Department shall accept and process the documents for registration of the dissolution of credit institutions, termination of branch operations of foreign banks, and termination of representative office operations of foreign credit institutions and other foreign organizations engaged in banking activities in accordance with the provisions of Clause 5, Article 70 and Clause 3, Article 72 of this Decree.
4. In cases where the State Bank of Vietnam appoints a representative for a credit institution under special supervision, the documents for registration of change in legal representative shall be implemented in accordance with the provisions of Article 50 of this Decree. In this context, the resolution, decision of the company's owner for a limited liability company with one member; the resolution, decision, and copy of the minutes of the meeting of the Board of Members for a limited liability company with two members or more; the resolution and copy of the minutes of the meeting of the General Shareholders' Meeting or the resolution, decision, and copy of the minutes of the meeting of the Board of Directors for a joint-stock company shall be replaced by a copy of the decision of the State Bank of Vietnam regarding the appointment of a replacement for the Chairman of the Board of Directors or the Chairman of the Board of Members or the General Director (Director) of the credit institution.
5. In cases where the State Bank of Vietnam directly implements or designates another credit institution to participate in capital contribution or share purchase of a credit institution under special supervision according to the decision of the Prime Minister or the State Bank of Vietnam, the documents for registration of changes in enterprise registration content shall be implemented in accordance with the relevant provisions of this Decree, in which the resolution, decision of the company's owner for a limited liability company with one member; the resolution, decision, and copy of the minutes of the meeting of the Board of Members for a limited liability company with two members or more; the resolution and copy of the minutes of the meeting of the General Shareholders' Meeting or the resolution, decision, and copy of the minutes of the meeting of the Board of Directors for a joint-stock company and the transfer agreement or proof of completion of the transfer shall be replaced by a copy of the decision of the Prime Minister or the State Bank of Vietnam.
Article 30. Documents, procedures, and formalities for registering enterprises for securities companies, investment fund management companies, securities investment companies, foreign securities company branches, and foreign investment fund management company branches in Vietnam.
1\. Documents, procedures, and formalities for registering enterprises for securities companies, investment fund management companies, securities investment companies, branches, representative offices, and business locations of securities companies and investment fund management companies shall be carried out in accordance with the provisions of this Decree corresponding to each type of enterprise, accompanied by a copy of the license for establishment and operation or a copy of the approval document of the Securities Commission.
2\. Documents for registering activities and changing registered activity contents for foreign securities company branches and foreign investment fund management company branches in Vietnam shall be implemented in accordance with the provisions at point a and point c, Clause 1, Article 31 and Clause 2, Article 62 of this Decree, accompanied by a copy of the license for establishment and operation or a copy of the approval document of the Securities Commission.
3\. In cases where securities companies, investment fund management companies, foreign securities company branches, and foreign investment fund management company branches in Vietnam have their licenses for establishment and operation revoked, the Securities Commission will notify the Business Registration Agency where the securities company, investment fund management company, foreign securities company branch, and foreign investment fund management company branch are located to revoke the Enterprise Registration Certificate and Branch Operation Registration Certificate according to Clause 4, Article 95 of the Securities Law. The Business Registration Agency will carry out the revocation of the Enterprise Registration Certificate and Branch Operation Registration Certificate according to Clause 6, Article 75 and Clause 5, Article 77 of this Decree.
Article 31. Documents, procedures, and formalities for registering branch operations, representative offices, and notifying the establishment of business locations.
1\. Documents for registering branch operations, representative offices.
The enterprise submits the documents for registering branch operations, representative offices to the Business Registration Agency where the branch or representative office is located. The documents include the following papers:
a) Notice of establishing a branch or representative office signed by the legal representative of the enterprise;
b) Copies of resolutions, decisions, and copies of meeting minutes of the Board of Members for limited liability companies with two or more members, joint-stock companies, and the Board of Directors for joint-stock companies; copies of resolutions and decisions of the sole owner of the company for a single-member limited liability company regarding the establishment of a branch or representative office;
c) Copies of legal documents of individuals who head the branch or representative office.
2\. Notification of establishing a business location.
a) An enterprise may establish a business location at an address different from its main headquarters or branch location;
b) Within ten days from the date of deciding to establish a business location, the enterprise must send a notification of establishing a business location to the Business Registration Agency where the business location is established;
c) The notification of establishing a business location is signed by the legal representative of the enterprise if the business location belongs directly to the enterprise, or by the head of the branch if the business location belongs directly to the branch.
3\. Within three working days from the date of receiving valid documents, the Business Registration Agency issues the Enterprise Registration Certificate for branch operations and representative offices, updates information about the business location in the National Enterprise Registration Database for the enterprise. If the enterprise requests it, the Business Registration Agency issues the Enterprise Registration Certificate for the business location. If the documents are not valid, the Business Registration Agency notifies the enterprise in writing of the necessary amendments and supplements.
4\. Establishing branches and representative offices of enterprises abroad shall be carried out in accordance with the laws of that country. Within thirty days from the official establishment of branches and representative offices abroad, the enterprise must notify the Business Registration Agency where the enterprise's main headquarters is located in writing. Accompanying the notification must be a copy of the Branch Operation Registration Certificate or equivalent document. The Business Registration Agency updates information about the enterprise's branches and representative offices in the National Enterprise Registration Database within three working days from the date of receipt of the notification.
Article 32. Acceptance and Processing of Business Registration Files
1. The person submitting the business registration file in accordance with this Decree shall submit the file at the Business Registration Office where the enterprise's main office is located.
2. The business registration file shall be accepted for information entry into the National Business Registration Information System when the following conditions are met:
a) It contains all required documents as stipulated in this Decree;
b) The name of the enterprise has been filled in on the Application for Enterprise Registration, the Application for Change of Enterprise Registration Content, and the Notification of Change of Enterprise Registration Content;
c) There is contact information for the person submitting the business registration file;
d) All fees and charges for enterprise registration have been paid as prescribed.
3. After accepting the business registration file, the Business Registration Office shall issue a receipt confirming the acceptance of the file to the person submitting it.
4. Following issuance of the receipt confirming the acceptance of the file, the Business Registration Office shall enter all information from the business registration file accurately into the National Business Registration Information System, verify the validity of the file, and upload any digitized documents in the business registration file into the National Business Registration Information System.
5. The enterprise founder or the enterprise may suspend the business registration procedure if the business registration file has not been approved on the National Business Registration Information System. In such cases, the authorized person signing the application for enterprise registration shall send a request to suspend the business registration procedure to the Business Registration Office where the file was submitted. The Business Registration Office shall consider the request, issue a notice regarding the suspension of the business registration procedure to the enterprise, and cancel the business registration file according to the process on the National Business Registration Information System within three working days from the date of receipt of the request. If the suspension of the business registration procedure is refused, the Business Registration Office shall issue a written notice stating the reasons for refusal to the enterprise founder or the enterprise.
Article 33. Time Limit for Issuing the Certificate of Enterprise Registration and Confirmation of Change in Enterprise Registration Content
1. The Business Registration Office shall issue the Certificate of Enterprise Registration, Confirmation of Change in Enterprise Registration Content, and update the change in enterprise registration content information in the National Enterprise Registration Database within three working days from the date of receiving a valid file.
2. In cases where the file is not valid or the requested enterprise name does not comply with regulations, the Business Registration Office must notify in writing the necessary amendments and supplements to the enterprise founder or the enterprise within three working days from the date of receiving the file. The Business Registration Office shall record all requirements for amending and supplementing the business registration file for each set of files submitted by the enterprise in a Notice of Requirements for Amending and Supplementing the Business Registration File.
3. If the Certificate of Enterprise Registration, Confirmation of Change in Enterprise Registration Content, or change in enterprise registration content in the National Enterprise Registration Database is not issued or received within the above time limit, or if no notification of requirements for amending and supplementing the business registration file is received, the enterprise founder or the enterprise has the right to lodge complaints or denunciations in accordance with the laws on complaints and denunciations.
Article 34. Issuance of Business Registration Certificate
1. A business shall be issued a Business Registration Certificate when it meets all conditions stipulated in Clause 1 of Article 27 of the Enterprise Law.
2. The information on the Business Registration Certificate has legal effect from the date the Business Registration Department issues the Business Registration Certificate. The enterprise has the right to conduct business operations from the date it receives the Business Registration Certificate, except for businesses operating in industries and trades subject to conditional business investment. In cases where an enterprise registers its commencement of business operations after receiving the Business Registration Certificate, the enterprise may commence business operations from the date registered, except for businesses operating in industries and trades subject to conditional business investment.
3. An enterprise has the right to request the Business Registration Department to issue a copy of the Business Registration Certificate and must pay the fee as prescribed.
4. In cases where an enterprise has been issued a new Business Registration Certificate, the previous Business Registration Certificates become invalid.
Article 35. Publicizing Business Registration Content
1. The contents for publicizing as prescribed in Clauses 1 and 2 of Article 32 of the Enterprise Law.
2. Information on the publicizing of business registration content is published on the National Portal for Business Registration.
3. The request for publicizing business registration content and payment of the publicizing fee shall be made at the time the enterprise submits the business registration dossier. In cases where the enterprise does not receive a business registration certificate, the enterprise will be refunded the publicizing fee for business registration content.
Article 36. Provision of Business Registration Information
1. Information is provided publicly and free of charge on the National Portal for Business Registration at the address https://dangkykinhdoanh.gov.vn, including: name of the enterprise; enterprise code; main office address; industry and trade activities; full name of the legal representative; legal status of the enterprise.
2. Organizations and individuals who need to obtain business registration information as prescribed in Clause 1 of Article 33 of the Enterprise Law shall submit requests for information provision to the National Portal for Business Registration or the State Management Agency for Business Registration or the Provincial Business Registration Agency to obtain the information.
The State Management Agency for Business Registration provides information about enterprises stored in the National Information System for Business Registration. The Provincial Business Registration Agency provides information about enterprises stored in the National Database for Business Registration within the scope of local management.
Article 37. Payment Methods for Business Registration Fees and Charges
1. The person submitting the business registration dossier pays the business registration fees and charges at the time of submitting the business registration dossier. Business registration fees and charges can be paid directly at the Business Registration Department, transferred to the account of the Business Registration Department, or through electronic payment services. Business registration charges are not refundable to the enterprise if the enterprise does not receive a business registration certificate.
2. Electronic payment methods for business registration fees and charges are supported on the National Portal for Business Registration. The service fee for electronic payments is not included in the business registration charge, information provision fee, and content publicizing fee.
3. When transaction errors occur during the use of electronic payment services, organizations and individuals paying fees and charges through electronic networks shall contact the intermediary organization providing electronic payment services for resolution.
4. The Ministry of Finance, in coordination with the Ministry of Planning and Investment, shall guide the collection, submission, management, and use of business registration fees and charges, information provision fees, and content publicizing fees to ensure the upgrading, maintenance, and operation of the National Information System for Business Registration.
Article 38. Standardization and Conversion of Business Registration Data
1. Standardization of data involves conducting reviews, checks, comparisons, and supplementing and correcting information on business registration and the legal status of businesses in the National Business Registration Database.
2. Information contained in the Business Registration Certificate, Investment Registration Certificate, and tax registration retained at all Business Registration Offices, as well as information on business registration content in the Investment License or Investment Certificate (which also serves as the Business Registration Certificate) or other documents with equivalent legal validity, Securities Trading License, must be converted into the National Business Registration Information System. The information registered at the Business Registration Office, Investment Registration Authority, and State Securities Commission is the original information about the enterprise when the data conversion process is carried out.
3. In cases where business registration information in the National Business Registration Database is missing or inaccurate compared to the Business Registration Certificate or paper business registration files due to the data conversion process, the Business Registration Office shall guide the enterprise to supplement and update the information according to regulations, or directly supplement and update the information.
4. The implementation of data standardization work, digitization of files, updating, and supplementary data conversion for business registration shall be carried out according to the annual plan of the Business Registration Office.
5. The Ministry of Planning and Investment shall provide detailed guidance on the implementation of this provision.
Article 39. Correction of Information on the Business Registration Certificate, Confirmation of Change in Business Registration Content, Branch Operation Registration Certificate, Representative Office Registration Certificate, and Business Location Registration Certificate
1. In cases where an enterprise discovers that the content on the Business Registration Certificate is inaccurate compared to the content of the business registration file, the enterprise shall submit a request for correction of information to the Business Registration Office where the enterprise's main office is located. If the information stated in the enterprise’s request is accurate, the Business Registration Office shall issue a new Business Registration Certificate within three working days from the date of receipt of the enterprise’s request.
2. In cases where the Business Registration Office discovers that the content on the Business Registration Certificate is inaccurate compared to the content of the business registration file, the Business Registration Office shall notify the enterprise of the need to correct the content on the Business Registration Certificate and issue a new Business Registration Certificate for the enterprise within three working days from the date of notification.
3. The correction of information on the Confirmation of Change in Business Registration Content, Branch Operation Registration Certificate, Representative Office Registration Certificate, Business Location Registration Certificate, and business registration information stored in the National Business Registration Database shall be implemented in accordance with the provisions of paragraphs 1 and 2 of this Article.
Article 40. Correction of Business Registration Information Due to Data Conversion into the National Business Registration Database
1. In cases where a business discovers that the content of its business registration information in the National Business Registration Database is incomplete or inaccurate compared to the paper version of the Enterprise Registration Certificate, Business Registration Certificate, Tax Registration Certificate, Investment Certificate (which is also the Business Registration Certificate), Investment License, or equivalent documents, due to data conversion into the National Business Registration Database, the business shall submit a correction request to the Business Registration Office at its principal place of business. The request for correction must be accompanied by a copy of the Enterprise Registration Certificate, Business Registration Certificate, Tax Registration Certificate, Investment Certificate (which is also the Business Registration Certificate), Investment License, or equivalent documents, Securities Business Establishment and Operation Permit.
Within three working days from the date of receipt of the business's correction request, the Business Registration Office shall be responsible for supplementing and correcting the business registration information in the National Business Registration Database.
2. In cases where the Business Registration Office discovers that the content of the business registration information in the National Business Registration Database is missing or inaccurate compared to the paper version of the certificate due to data conversion into the National Business Registration Database, within three working days from the date of discovery, the Business Registration Office shall supplement and correct the content of the business registration information in the National Business Registration Database.
Article 41. Legal Status of Businesses
The legal statuses of businesses in the National Business Registration Database include:
1. "Temporary Suspension of Business" is the legal status of a business during the period it is implementing a temporary suspension of business operations as stipulated in Clause 1, Article 206 of the Enterprise Law. The date of transition to the legal status "Temporary Suspension of Business" is the date the business registers to begin the temporary suspension of business operations. The end date of the legal status "Temporary Suspension of Business" is the end date of the temporary suspension period announced by the business or the date the business registers to resume business operations before the announced deadline.
2. "No Longer Operating at Registered Address" is the legal status of a business that has been verified by the Tax Administration and related units and found not to be operating at the registered address. Information about businesses no longer operating at their registered addresses is provided by the Tax Administration to the Business Registration Authority. Changes, updates, the timing of transitioning to the legal status, and the end date of the legal status are decided by the Tax Administration. The Tax Administration is responsible for providing and updating the legal status "No Longer Operating at Registered Address" of businesses to the Business Registration Authority through the Tax Registration Information System connected to the National Business Registration Information System. The Business Registration Authority shall record and update the legal status provided by the Tax Administration into the National Business Registration Database.
3. "Enterprise Registration Certificate Revoked Due to Tax Enforcement" is the legal status of a business whose Enterprise Registration Certificate is revoked by the Business Registration Office based on the tax administration's proposal to enforce administrative measures regarding tax management. The date of transition to the legal status "Enterprise Registration Certificate Revoked Due to Tax Enforcement" is the date the Business Registration Office issues the decision to revoke the Enterprise Registration Certificate. The end date of the legal status "Revoked Due to Tax Enforcement" is the date the Business Registration Office restores the legal status of the business based on a request from the Tax Administration in accordance with the law on tax management.
4. "In Liquidation Process, Already Split, Merged, or Absorbed" is the legal status of a business that has passed a resolution or decision to liquidate according to Clause 3, Article 208 of the Enterprise Law; the business has had its Enterprise Registration Certificate revoked by the Business Registration Office, except in cases where the revocation is due to tax enforcement; the business has been liquidated by a court decision according to Clause 1, Article 209 of the Enterprise Law; the business has been split, merged, or absorbed and is currently processing final accounts and transferring tax obligations to the Tax Authority due to splitting, merging, or absorption. The time to determine the transition to the legal status "In Liquidation Process, Already Split, Merged, or Absorbed" is when the Business Registration Office announces the business is in the process of liquidation on the national business registration portal; the company being split, the merged company, and the company receiving the merger have been registered based on the split, merger, or absorption of the company.
5. "In Bankruptcy Process" is the legal status of a business that has received a bankruptcy proceeding decision from the Court as prescribed by the law on bankruptcy. The time to determine the transition to the legal status "In Bankruptcy Process" is when the Business Registration Office updates the status of the business being in the bankruptcy process in the National Business Registration Database.
6. "Has been dissolved, declared bankrupt, or ceased to exist" is the legal status of a business that has completed the dissolution procedures as prescribed and had its legal status updated by the Business Registration Agency pursuant to Clause 8, Article 208 and Clause 5, Article 209 of the Enterprise Law; a business with a bankruptcy declaration decision from the Court as provided for by the Bankruptcy Law; a business that has ceased to exist due to being divided, merged, or consolidated pursuant to Clause 5, Article 198, Clause 5, Article 200, and Clause 4, Article 201 of the Enterprise Law. The time for determining the transition to the legal status "Has been dissolved, declared bankrupt, or ceased to exist" is the moment when the Business Registration Agency updates the legal status on the National Enterprise Registration Database.
7. "In operation" is the legal status of a business that has been issued an Enterprise Registration Certificate and does not fall under the legal statuses prescribed in Clauses 1, 2, 3, 4, 5, and 6 of this Article.
Chapter V
ENTERPRISE REGISTRATION THROUGH ELECTRONIC INFORMATION NETWORKS
Article 42. Enterprise registration through electronic information networks
1. Enterprise registration through electronic information networks is the process whereby the enterprise founder or the enterprise itself registers the enterprise through the national enterprise registration portal. Organizations and individuals have the right to choose to use digital signatures as prescribed by the law on electronic transactions or to use the Business Registration Account to register enterprises through electronic information networks.
2. The Business Registration Account prescribed in Clause 4, Article 26 of the Enterprise Law is an account used to authenticate enterprise registration applications submitted electronically when the authorized signatory does not use a digital signature. The Business Registration Account is created by the National Enterprise Registration Information System and issued to an individual to facilitate enterprise registration through electronic information networks. An individual accesses the national enterprise registration portal to declare personal information and create a Business Registration Account. Personal information declared on the national enterprise registration portal to obtain a Business Registration Account must be complete and accurate according to the information on the individual's legal documents and must comply with the level of verification required by the National Enterprise Registration Information System.
3. Only one Business Registration Account can be issued to one individual. The individual who receives a Business Registration Account is responsible under the law for the accuracy and legality of the information declared to obtain the Business Registration Account and for the use of the Business Registration Account.
4. The Business Registration Agency facilitates organizations and individuals in accessing information and conducting enterprise registration through electronic information networks.
Article 43. Documents for enterprise registration through electronic information networks
1. Documents for enterprise registration through electronic information networks include data as prescribed by this Decree and are presented in electronic form. Electronic documents for enterprise registration have the same legal effect as paper-based registration documents.
2. An electronic document is a message containing data that is either created or digitized from a paper document and accurately reflects the content of the paper document. An electronic document may be formatted as ".doc", ".docx", or ".pdf".
3. Documents for enterprise registration through electronic information networks are accepted when they meet the following requirements:
a) They contain all necessary documents with their contents fully declared as required for paper-based documents and presented in electronic form. The name of the electronic document must correspond to the type of document in the paper-based application. The authorized signatory of the registration application, founders, initial shareholders, foreign investors, or other individuals may sign directly on the electronic document using a digital signature or sign on the paper document and scan it (as per the formats prescribed in Clause 2 of this Article);
b) The information declared on the national enterprise registration portal must be complete and accurate according to the information in the paper-based application, including contact details such as telephone numbers and email addresses of the applicant;
c) Documents for enterprise registration through electronic information networks must be authenticated by a digital signature or a Business Registration Account of the authorized signatory of the registration application or a person authorized by the authorized signatory to perform the registration procedures. In cases where authorization is granted to perform the registration procedures, the application must include the documents and materials prescribed in Article 12 of this Decree.
4. The period for enterprises to amend and supplement documents for enterprise registration through electronic information networks is sixty days from the date the Business Registration Agency issues a notification requesting amendments and supplements to the documents. If the enterprise does not submit amended and supplemented documents within the specified period, the Business Registration Agency will cancel the registration documents in accordance with the procedures on the National Enterprise Registration Information System.
Article 44. Procedure and Formalities for Registering Enterprises through Electronic Information Networks Using Digital Signatures
1. The person submitting the application formulates information, downloads electronic documents, authenticates the enterprise registration dossier through an electronic information network, and pays the registration fees according to the process on the national portal for enterprise registration.
2. After completing the submission of the enterprise registration dossier, the person submitting the application will receive an electronic receipt for the enterprise registration dossier through the electronic information network.
3. In cases where the dossier meets the conditions for issuing an enterprise registration certificate, the Business Registration Department shall issue the enterprise registration certificate and notify the enterprise of the issuance of the enterprise registration certificate. In cases where the dossier does not meet the conditions for issuing an enterprise registration certificate, the Business Registration Department shall send a notification through the electronic information network to the enterprise requesting modifications and supplements to the dossier.
4. The procedure for registering branch offices, representative offices, and notifying business locations through an electronic information network shall be carried out according to the procedures stipulated herein.
Article 45. Procedure and Formalities for Registering Enterprises through Electronic Information Networks Using Business Registration Accounts
1. The person submitting the application uses a Business Registration Account to formulate information, download electronic documents, and authenticate the enterprise registration dossier through an electronic information network, and pays the registration fees according to the process on the national portal for enterprise registration. In cases where authorization is granted to carry out the enterprise registration formalities through an electronic information network using a Business Registration Account, the power of attorney must include contact information of the authorizing party to verify the submission of the enterprise registration dossier through the electronic information network.
2. After completing the submission of the enterprise registration dossier, the person submitting the application will receive an electronic receipt for the enterprise registration dossier through the electronic information network.
3. The Business Registration Department issues an enterprise registration certificate to the enterprise if the dossier meets the conditions and notifies the enterprise of the issuance of the enterprise registration certificate. If the dossier does not meet the conditions, the Business Registration Department sends a notification through the electronic information network to the enterprise requesting modifications and supplements to the dossier.
4. The procedure for registering enterprises through an electronic information network stipulated herein also applies to the registration of branch offices, representative offices, and notifications of business locations.
Article 46. Handling Violations, Complaints, and Disputes Related to Digital Signatures and Business Registration Accounts
1. The determination and handling of disputes, complaints, and violations related to the management and use of digital signatures and Business Registration Accounts shall be carried out in accordance with the provisions of the law.
2. The business registration authority and the state management agency for business registration shall not be liable for any violations committed by enterprises, founders of enterprises, or persons submitting applications when declaring information to obtain a Business Registration Account and the use of a Business Registration Account.

Article 47. Registration of Change of Principal Office Address of a Business
1. Prior to registering to change the principal office address to another district, county, province, centrally governed city where the principal office is located, leading to a change in the tax authority managing the business, the business must complete procedures with the Tax Authority related to the relocation according to the laws on taxes.
2. In the case of changing the principal office address, the business shall submit the registration dossier for changing business registration contents to the Business Registration Department at the location of the new principal office. The dossier includes the following documents:
a) Notification of change in business registration contents signed by the legal representative of the business;
b) Resolution, decision of the sole owner of a limited liability company with one member; resolution, decision, and certified copy of the meeting minutes of the Board of Members for a limited liability company with two or more members, a joint-stock company, and the Shareholders' Meeting for a public limited company regarding the change of the principal office address of the business.
3. After receiving the business registration dossier, the Business Registration Department will issue a receipt, check the validity of the dossier, and issue a Business Registration Certificate to the business in accordance with the regulations.
4. When changing the principal office address of the business, the rights and obligations of the business remain unchanged.
Article 48. Registration of Change of Business Name
1. In the case of changing the business name, the business shall submit the registration dossier for changing business registration contents to the Business Registration Department at the location of the principal office of the business. The dossier includes the following documents:
a) Notification of change in business registration contents signed by the legal representative of the business;
b) Resolution, decision, and certified copy of the meeting minutes of the Board of Members for a limited liability company with two or more members, a joint-stock company; resolution, decision of the sole owner of a limited liability company with one member regarding the change of the business name.
2. After receiving the business registration dossier, the Business Registration Department will issue a receipt, check the validity of the dossier, and issue a Business Registration Certificate to the business if the changed business name does not contravene the regulations on naming businesses.
3. Changing the business name does not alter the rights and obligations of the business.
Article 49. Registration of Change of General Partners
1. In the case of terminating the status of a general partner or accepting a new general partner as prescribed in Articles 185 and 186 of the Enterprise Law, the joint-stock company shall submit the registration dossier for changing business registration contents to the Business Registration Department at the location of the principal office of the company. The dossier includes the following documents:
a) Notification of change in business registration contents signed by the legal representative of the business;
b) List of company members as stipulated in Article 25 of the Enterprise Law, excluding information on capital-contributing members;
c) Certified copy of legal documents of individuals for new general partners.
2. After receiving the business registration dossier, the Business Registration Department will issue a receipt, check the validity of the dossier, and issue a Business Registration Certificate to the business.
Article 50. Registration of Change of Legal Representative for Limited Liability Companies and Joint Stock Companies
1. In cases where there is a change in the legal representative of a company, the company shall submit the registration dossier for changes to the business registration content to the Business Registration Office at the location of the company's headquarters. The dossier includes the following documents:
a) Notification of change of legal representative;
b) A copy of the legal document of the new legal representative;
c) Resolution, decision of the company owner for a single-member limited liability company; resolution, decision, and a copy of the minutes of the meeting of the Board of Members for a limited liability company with two or more members regarding the change of legal representative; resolution and a copy of the minutes of the meeting of the Shareholders' General Meeting for a joint stock company regarding the change of legal representative when such change alters the content of the Company Charter; resolution, decision, and a copy of the minutes of the meeting of the Board of Directors for a joint stock company when such change does not alter the content of the Company Charter except for the name, signature of the legal representative of the company as stipulated in Article 24 of the Enterprise Law.
2. The person signing the notification of change of legal representative is one of the following individuals:
a) Chairman of the Board of Members or Chairman of the company for a single-member limited liability company;
b) Chairman of the Board of Members for a limited liability company with two or more members. In case the Chairman of the Board of Members is the legal representative, the person signing the notification is the newly elected Chairman of the Board of Members by the Board of Members;
c) Chairman of the Board of Directors for a joint stock company. In case the Chairman of the Board of Directors is the legal representative, the person signing the notification is the newly elected Chairman of the Board of Directors by the Board of Directors;
d) In case the Chairman of the Board of Members or Chairman of the Board of Directors is absent or unable to perform their rights and obligations, the person signing the notification of change of legal representative is the individual authorized by the Chairman of the Board of Members or Chairman of the Board of Directors. In case there is no authorized member or the Chairman of the Board of Members or Chairman of the Board of Directors has died, disappeared, been detained, is serving a criminal sentence, is undergoing administrative measures at a compulsory drug rehabilitation center, compulsory educational facility, has fled from their place of residence, is restricted or has lost civil capacity, has difficulty in understanding and controlling their actions, or has been prohibited by the court from assuming certain positions, practicing certain professions, or performing certain tasks, the person signing the notification of change of legal representative is the temporarily elected Chairman of the Board of Members or Chairman of the Board of Directors according to Clause 4 of Article 56, Clause 3 of Article 80, and Clause 4 of Article 156 of the Enterprise Law.
3. In cases of registering the change of legal representative as prescribed in Clause 6 of Article 12 of the Enterprise Law, the registration dossier for the change of legal representative includes the documents specified in Clause 1 of this Article, wherein the resolution, decision, and a copy of the minutes of the meeting of the Board of Members are replaced by a copy of the confirmation document stating that the legal representative of the company has died, disappeared, is being criminally prosecuted, is detained, is serving a criminal sentence, is undergoing administrative measures at a compulsory drug rehabilitation center, compulsory educational facility, has fled from their place of residence, is restricted or has lost civil capacity, has difficulty in understanding and controlling their actions, or has been prohibited by the court from assuming certain positions, practicing certain professions, or performing certain tasks.
4. After receiving the business registration dossier, the Business Registration Office will issue a receipt, check the validity of the dossier, and issue a Certificate of Enterprise Registration to the enterprise.
Article 51. Registration of Changes to Charter Capital, Share Contributions, and Shareholding Ratios
1. In the case of a limited liability company, joint-stock company, or partnership registering changes to charter capital, the company shall submit the registration change dossier for business registration content to the Business Registration Office at the location where the company's headquarters is situated. The dossier includes the following documents:
a) Notification of change in business registration contents signed by the legal representative of the business;
b) Resolution, decision of the sole owner of a single-member limited liability company; resolution, decision, and meeting minutes of the Board of Members for a multi-member limited liability company, partnership, and General Meeting of Shareholders for a joint-stock company regarding the change in charter capital;
c) Document from the Investment Registration Authority approving the contribution of capital, purchase of shares, or purchase of equity stakes from foreign investors or economic organizations with foreign investment capital in cases where such procedures must be registered according to the Investment Law.
2. In the case of a company registering changes to share contributions or shareholding ratios of members of a multi-member limited liability company, partners of a partnership, the company shall submit the registration change dossier for business registration content to the Business Registration Office at the location where the company's headquarters is situated. The dossier includes the following documents:
a) Notification of change in business registration contents signed by the legal representative of the business;
b) List of members of a multi-member limited liability company; list of partners of a partnership, which does not include information on contributing members. These lists must include signatures of members whose share contributions have changed, without necessarily requiring signatures of members whose share contributions have not changed;
c) Transfer agreement or documents proving the completion of the transfer in the case of transferring share contributions; gift agreement in the case of gifting share contributions;
d) Document from the Investment Registration Authority approving the capital contribution, purchase of shares, or purchase of equity interest of foreign investors and foreign-invested economic organizations in cases where procedures for registering capital contribution, share purchase, or equity interest purchase must be carried out according to the Investment Law.
3. In the case where the General Meeting of Shareholders approves the issuance of shares to increase charter capital, and assigns the Board of Directors to handle the registration procedures to increase charter capital after each share issuance period, along with the Notice specified in point a, Clause 1, Article 51 of this Law, the registration dossier for increasing charter capital must include the following documents:
a) Resolution and a copy of the meeting minutes of the General Meeting of Shareholders regarding the issuance of shares to increase charter capital, specifying the number of shares to be issued and assigning the Board of Directors to handle the registration procedures to increase charter capital after each share issuance period;
d) Resolution, decision, and a copy of the meeting minutes of the Board of Directors of a joint-stock company regarding the registration to increase the company's charter capital after each share issuance period;
4. In the case of reducing charter capital, the enterprise must commit to ensuring full payment of all debts and other property obligations after the reduction. In the case of a multi-member limited liability company reducing its charter capital according to points a and b, Clause 3, Article 68 of the Enterprise Law, the registration dossier for reducing charter capital must be accompanied by the most recent financial report close to the time of the decision to reduce charter capital;
5. After receiving the business registration dossier, the Business Registration Office will issue a receipt, check the validity of the dossier, and issue a Business Registration Certificate to the enterprise;
Article 52. Registration of Changes to Members of Multi-Member Limited Liability Companies
1. In the case of accepting new members leading to an increase in the company's charter capital, the company shall submit the registration change dossier for business registration content to the Business Registration Office at the location where the company's headquarters is situated. The dossier includes the following documents:
a) Notification of change in business registration contents signed by the legal representative of the business;
b) List of members of a multi-member limited liability company. The member list must include signatures of new members and members whose share contributions have changed, without necessarily requiring signatures of members whose share contributions have not changed;
c) Resolution, decision, and a copy of the meeting minutes of the Board of Members regarding the acceptance of new members;
d) Documents confirming the contribution of new members to the company;
đ) A copy of the legal documents of individuals if the new member is an individual, or a copy of the legal documents of organizations, and a copy of the legal documents of individuals for authorized representatives and a copy of the appointment document for authorized representatives if the new member is an organization;
For members who are foreign organizations, copies of their legal documents must be apostilled.
e) Document from the Investment Registration Authority approving the contribution, purchase of shares, or purchase of share contributions of foreign investors or economic organizations with foreign investment capital, as required by the Investment Law;
2. In the case of changing members through the transfer of share contributions, the business registration dossier includes the following documents:
a) Notification of change in business registration contents signed by the legal representative of the business;
b) List of members of a multi-member limited liability company. The member list must include signatures of new members and members whose share contributions have changed, without necessarily requiring signatures of members whose share contributions have not changed;
c) Transfer agreement or documents proving the completion of the transfer;
d) A copy of the legal documents of individuals if the new member is an individual, or a copy of the legal documents of organizations, and a copy of the legal documents of individuals for authorized representatives and a copy of the appointment document for authorized representatives if the new member is an organization;
For members who are foreign organizations, copies of their legal documents must be apostilled.
đ) Document from the Investment Registration Authority approving the contribution of capital, purchase of shares, or purchase of equity stakes from foreign investors or economic organizations with foreign investment capital in cases where such procedures must be registered according to the Investment Law;
3. In the case of changing members due to inheritance, the business registration dossier includes the following documents:
a) Notification of change in business registration contents signed by the legal representative of the business;
b) List of members of a multi-member limited liability company. The member list must include signatures of new members and members whose share contributions have changed, without necessarily requiring signatures of members whose share contributions have not changed;
c) A copy of the document confirming the legal right of inheritance of the heir;
d) A copy of the legal documents of individuals if the heir is an individual, or a copy of the legal documents of organizations, and a copy of the legal documents of individuals for authorized representatives and a copy of the appointment document for authorized representatives if the heir is an organization;
For foreign organizations, copies of the legal documents of the organization must be apostilled;
4. In the case of registering changes to members due to non-compliance with the commitment to contribute capital as stipulated in Article 47 of the Enterprise Law, the business registration dossier includes the following documents:
a) Notification of change in business registration contents signed by the legal representative of the business;
b) List of remaining members of the company. The member list must include signatures of members whose share contributions have changed, without necessarily requiring signatures of members whose share contributions have not changed;
c) Resolution, decision, and a copy of the meeting minutes of the Board of Members regarding the change in members due to non-compliance with the commitment to contribute capital;
5. Registration of changes to members due to gifting share contributions
a) In the case where the recipient of the share capital contribution is an entity as defined in point a, Clause 6, Article 53 of the Enterprise Law, the business registration dossier shall include the documents specified in Clause 2 of this Article, wherein the transfer agreement or other documents proving the completion of the transfer shall be replaced by a gift agreement for the share capital contribution;
b) In the case where the recipient of the share capital contribution is an entity as defined in point b, Clause 6, Article 53 of the Enterprise Law, the business registration dossier shall include the documents specified in Clause 1 of this Article, wherein the document confirming the new member's capital contribution to the company shall be replaced by a gift agreement for the share capital contribution.
6. Registration of change of members in the event that a member uses their share capital contribution to settle debts.
a) In the case where the company registers a change of members due to a member using their share capital contribution to settle debts and the payment recipient is approved by the Board of Members to become a member of the company as stipulated in point a, Clause 7, Article 53 of the Enterprise Law, the business registration dossier shall include the documents specified in Clause 1 of this Article, wherein the document confirming the new member's capital contribution to the company shall be replaced by a loan agreement and other documents showing the use of the share capital contribution to settle debts;
b) In the case where the company registers a change of members due to a member using their share capital contribution to settle debts and the payment recipient uses that share capital contribution to offer and transfer it to another party as stipulated in point b, Clause 7, Article 53 of the Enterprise Law, the business registration dossier shall include the documents specified in Clause 2 of this Article along with a loan agreement and other documents showing the use of the share capital contribution to settle debts.
7. In the case of changing members pursuant to a decision on division, separation, merger, or consolidation of companies, the business registration dossier shall include the documents specified in Clause 1 of this Article, wherein the document confirming the new member's capital contribution to the company shall be replaced by resolutions or decisions on dividing, separating, merging, or consolidating the company, documents specified in point a and point b, Clause 3, Article 25 of this Decree, and documents specified in points a, b, and c, Clause 2, Article 61 of this Decree. Resolutions or decisions on division, separation, merger, or consolidation of the company must reflect the transfer of the share capital contribution from the company to the new member.
8. After receiving the business registration dossier, the Business Registration Office will issue a receipt, check the validity of the dossier, and issue a Certificate of Enterprise Registration to the enterprise.
Article 53. Registration of Change of Ownership of a Limited Liability Company with One Member
1. In the case where the owner of the company transfers the entire charter capital to an individual or an organization, the transferee must submit a business registration dossier for changes in the registered information to the Business Registration Office at the main office location of the company. The dossier includes the following documents:
a) A notice of change of ownership of a limited liability company with one member signed by the owner or the legal representative of the previous owner and the new owner or the legal representative of the new owner;
b) A copy of the legal document of the individual if the transferee is an individual, or a copy of the legal document of the organization, a copy of the legal document of the individual for the authorized person, and a copy of the authorization document appointing the legal representative in the case where the transferee is an organization.
For foreign organizations, the copy of the legal document of the organization must be apostilled;
c) A copy of the amended and supplemented articles of association of the company;
d) A transfer agreement for the share capital contribution or other documents proving the completion of the transfer of the share capital contribution;
đ) Document from the Investment Registration Authority approving the contribution of capital, purchase of shares, or purchase of equity stakes from foreign investors or economic organizations with foreign investment capital in cases where such procedures must be registered according to the Investment Law;
2. In the case of changing the ownership of a limited liability company with one member according to the decision of the competent authority regarding the restructuring and modernization of state-owned enterprises, the registration dossier for changes shall be implemented according to the provisions of Clause 1 of this Article, wherein the transfer agreement or other documents proving the completion of the transfer shall be replaced by a decision of the competent authority regarding the change of ownership of the company.
3. In the case where a limited liability company with one member changes its owner due to inheritance, the heir must submit a business registration dossier for changes in the registered information to the Business Registration Office at the main office location of the company. The dossier includes the following documents:
a) A notice of change of ownership of a limited liability company with one member signed by the new owner or the legal representative of the new owner;
b) A copy of the amended and supplemented articles of association of the company;
c) A copy of the legal document of the individual if the heir is an individual, or a copy of the legal document of the organization, a copy of the legal document of the individual for the authorized person, and a copy of the authorization document appointing the legal representative in the case where the heir is an organization.
For foreign organizations, the copy of the legal document of the organization must be apostilled;
d) A copy of the document confirming the legal right of inheritance of the heir.
4. In the case where the ownership of a limited liability company with one member changes due to a full gift of the share capital contribution, the business registration dossier shall include the documents specified in Clause 1 of this Article, wherein the transfer agreement or other documents proving the completion of the transfer shall be replaced by a gift agreement for the share capital contribution.
5. In the case where the ownership of a limited liability company with one member changes according to a decision on division, separation, merger, or consolidation of companies, the business registration dossier shall include the documents specified in Clause 1 of this Article, wherein the transfer agreement for the share capital contribution or other documents proving the completion of the transfer of the share capital contribution shall be replaced by resolutions or decisions on dividing, separating, merging, or consolidating the company, documents specified in point a and point b, Clause 3, Article 25 of this Decree, and documents specified in points a, b, and c, Clause 2, Article 61 of this Decree. Resolutions or decisions on division, separation, merger, or consolidation of the company must reflect the transfer of the entire share capital contribution from the limited liability company with one member to the new company.
6. After receiving the business registration dossier, the Business Registration Department shall issue a receipt, examine the validity of the dossier, and issue a Certificate of Enterprise Registration to the enterprise.
Article 54. Registration of Change of Sole Proprietorship Business Owner in Case of Sale or Gift of the Business or Death of the Owner
1. In cases where the sole proprietor sells or gifts the business, or where the sole proprietor dies, the buyer, recipient of the gift, or heir must submit a registration dossier for changing the owner of the sole proprietorship business to the Business Registration Department at the location where the business is headquartered. The dossier includes the following documents:
a) A notification of change in business registration content signed by the seller, donor, and buyer, or recipient of the gift in the case of sale or gift of the sole proprietorship business; and by the heir in the case of inheritance.
b) A copy of the legal document of the individual for the buyer, recipient of the gift, or heir.
c) A purchase and sale contract or other documents proving the completion of the sale transaction in the case of selling the sole proprietorship business; a gift contract in the case of gifting the sole proprietorship business; and a copy of the legal inheritance confirmation document of the heir in the case of inheritance.
2. After receiving the business registration dossier, the Business Registration Department will issue a receipt, check the validity of the dossier, and issue a Business Registration Certificate to the business.
Article 55. Registration of Change in Capital Investment of the Sole Proprietorship Business Owner
In cases of increasing or decreasing registered capital investment, the sole proprietorship business owner must send a Notification of Change in Capital Investment to the Business Registration Department at the location where the business is headquartered. After receiving the business registration dossier, the Business Registration Department shall issue a receipt, examine the validity of the dossier, and issue a Certificate of Enterprise Registration to the enterprise.
Article 56. Notification of Change in Business Operations Industry
1. In cases of changing business operations industry, the enterprise must send a Notification to the Business Registration Department at the location where the business is headquartered. The business registration dossier includes the following documents:
a) Notification of change in business registration contents signed by the legal representative of the business;
b) Resolutions, decisions, and copies of meeting minutes of the Board of Members for limited liability companies with two or more members, joint-stock companies, and the Shareholders' Meeting for joint-stock companies; resolutions and decisions of the company's owner for single-member limited liability companies regarding changes in business operations industry.
2. After receiving the business registration dossier, the Business Registration Department shall issue a receipt, examine the validity of the dossier, and assess market access conditions for industries and businesses restricted from foreign investors according to investment laws, update information on the business operations industry of the enterprise in the National Enterprise Registration Database. If the enterprise requests, the Business Registration Department shall issue a Confirmation of Change in Business Registration Content to the enterprise.
Article 57. Notification of Change in Information of Founding Shareholders of Unlisted Joint-Stock Companies
- Founding shareholders as stipulated in Clause 4, Article 4 of the Enterprise Law are shareholders holding at least one ordinary share and signing the List of Founding Shareholders submitted to the Business Registration Department at the time of enterprise establishment.
2. The notification of change in information of founding shareholders to the Business Registration Department shall only be implemented in cases where the founding shareholder has not paid or has only partially paid the number of shares registered for purchase as prescribed in Article 113 of the Enterprise Law. The enterprise is responsible for notifying the change in information of founding shareholders within thirty days from the end date of the period for paying the full amount of shares registered for purchase.
3. In cases of change in information of founding shareholders as prescribed in Clause 2 of this Article, the company shall submit a notification dossier for changing business registration content including the following documents:
a) Notification of change in business registration contents signed by the legal representative of the business;
b) A list of founding shareholders of the joint-stock company, which does not include information about founding shareholders who have not paid the number of shares registered for purchase.
4. After receiving the business registration dossier, the Business Registration Department shall issue a receipt, examine the validity of the dossier, and update the information of founding shareholders in the National Enterprise Registration Database. If the enterprise requests, the Business Registration Department shall issue a Confirmation of Change in Business Registration Content to the enterprise.
Article 58. Notification of Changes to Foreign Investors as Shareholders in Unlisted Joint Stock Companies
1. In cases where unlisted joint stock companies change foreign investors as shareholders in accordance with Clause 3, Article 31 of the Enterprise Law, the enterprise shall submit notification documents for changes in business registration content to the Business Registration Office at the location of the company's headquarters. The documents shall include the following papers:
a) Notification of change in business registration contents signed by the legal representative of the business;
b) A list of foreign investor shareholders after the change. The list of foreign investor shareholders must include signatures of shareholders whose share value has changed, without necessarily requiring signatures of shareholders whose share value has not changed;
c) Share transfer contracts or other documents proving the completion of the transfer;
d) Copies of legal documents of individuals if the transferee is an individual; copies of legal documents of organizations, copies of legal documents of individuals for authorized representatives, and copies of documents appointing authorized representatives if the transferee is an organization.
For organizational foreign shareholders, copies of the organization's legal documents must be apostilled;
đ) Document from the Investment Registration Authority approving the contribution of capital, purchase of shares, or purchase of equity stakes from foreign investors or economic organizations with foreign investment capital in cases where such procedures must be registered according to the Investment Law;
2. After receiving the business registration application, the Business Registration Office will issue a receipt, check the validity of the documents, update information on foreign investor shareholders in the National Enterprise Registration Database. If the enterprise requests, the Business Registration Office will issue a confirmation certificate regarding changes in business registration content for the enterprise.
Article 59. Notification of Changes in Tax Registration Content
1. In cases where enterprises change tax registration content without changing business registration content, except for changes in tax calculation methods, enterprises shall send a notification of changes in business registration content signed by the legal representative of the enterprise to the Business Registration Office at the location of the company's headquarters.
2. After receiving the notification, the Business Registration Office will issue a receipt, check the validity of the documents, enter data into the National Enterprise Registration Information System, and transmit information to the Tax Registration Information System. If the enterprise requests, the Business Registration Office will issue a confirmation certificate regarding changes in business registration content for the enterprise.
Article 60. Notification of Changes in Information of Foreign Investor Shareholders, Notification of Changes in Information of Authorized Representatives of Organizational Foreign Shareholders, Notification of Leasing of Private Enterprises, Notification of Changes in Information of Authorized Representatives
1. Within three working days from the date of obtaining or changing information about name, nationality, passport number, contact address, share quantity, and type of shares of individual foreign shareholders; name, business code, headquarters address, share quantity, and type of shares of organizational foreign shareholders, and name, nationality, passport number, contact address of the authorized representative of organizational foreign shareholders, the enterprise shall notify the Business Registration Office at the location of the company's headquarters about the supplementary and updated business registration information in accordance with Clause 3, Article 176 of the Enterprise Law.
2. Within three working days from the date the leasing contract becomes effective, the owner of the private enterprise must submit a notification of leasing of the private enterprise along with a certified copy of the leasing contract to the Business Registration Office at the location of the company's headquarters in accordance with Article 191 of the Enterprise Law.
3. Within ten days from the date of changes in information about the authorized representative of the owner, limited liability company member as an organization, the company shall notify the Business Registration Office at the location of the company's headquarters.
4. After receiving the business registration documents specified in Clause 1, Clause 2, and Clause 3 of this Article, the Business Registration Office will issue a receipt, check the validity of the documents, and update the enterprise's information in the National Enterprise Registration Database. If the enterprise requests, the Business Registration Office will issue a confirmation certificate regarding changes in business registration content for the enterprise.
Article 61. Registration of Changes to Business Registration Content for Split Companies and Companies Receiving Merger
1. In cases where a limited liability company or joint-stock company is split, and the split company changes its charter capital, number of members, foreign investors corresponding to contributed capital shares, and the number of members and foreign investors decreases, the business registration change application of the split company must include the relevant documents stipulated in this Chapter and the following documents:
a) Resolution or decision on separating the company as provided for in Article 199 of the Enterprise Law;
b) Copy of the minutes of the meeting of the Board of Members for a limited liability company with two or more members, or of the General Shareholders' Meeting for a joint-stock company regarding the separation of the company.
2. In cases where one or more companies are merged into another company, the business registration change application of the receiving company must include the relevant documents stipulated in this Chapter and the following documents:
a) The merger contract as prescribed in Article 201 of the Enterprise Law;
b) Resolutions and decisions on the approval of the merger contract and copies of meeting minutes of the Board of Members for a limited liability company with two or more members, a partnership, and the Shareholders' Meeting for a joint-stock company regarding the approval of the merger contract of the receiving company;
c) Resolutions and decisions on the approval of the merger contract and copies of meeting minutes of the Board of Members for a limited liability company with two or more members, a partnership, and the Shareholders' Meeting for a joint-stock company regarding the approval of the merger contract of the merged company, except when the receiving company is a member or shareholder holding over 65% of the charter capital of a limited liability company or a partnership, or has voting rights in a joint-stock company of the merged company.
3. After receiving the business registration application, the Business Registration Department issues a receipt, checks the validity of the application, and issues the Business Registration Certificate and the Confirmation of Change in Business Registration Content to the enterprise.
Article 62. Registration of Changes to Branch, Representative Office, and Business Location Operation Registration Content
1. Before registering a change in the branch or representative office address leading to a change in the tax authority, the enterprise must complete tax procedures related to the relocation according to tax laws.
2. When changing the operation registration content of branches, representative offices, or business locations, the enterprise sends a Notice of Change in Branch, Representative Office, and Business Location Operation Registration Content to the Business Registration Department at the location of the branch, representative office, or business location. If the head of the branch or representative office is changed, the notice must be accompanied by a copy of the legal document of the individual serving as the head of the branch or representative office.
Upon receiving the enterprise's notice, the Business Registration Department issues a receipt, checks the validity of the application, updates the branch, representative office, and business location operation registration information in the National Enterprise Registration Database, and issues the Branch Operation Registration Certificate, Representative Office Registration Certificate, and Business Location Registration Certificate within three working days from the date of receiving the valid application. If the enterprise requests it, the Business Registration Department issues a Confirmation of Change in Branch, Representative Office, and Business Location Operation Registration Content.
3. In cases where the branch, representative office, or business location address is moved to another province or centrally administered city, the enterprise sends a Notice of Change in Branch, Representative Office, and Business Location Operation Registration Content to the Business Registration Department at the current location of the branch, representative office, or business location.
Upon receiving the enterprise's notice, the Business Registration Department at the new location issues a receipt, checks the validity of the application, and issues the Branch Operation Registration Certificate, Representative Office Registration Certificate, and Business Location Registration Certificate.
4. After a state-owned enterprise with 100% state capital is issued a Business Registration Certificate upon conversion into a limited liability company or a joint-stock company, the branches, representative offices, and business locations shall register changes in their operation registration content according to the provisions of this Article.
5. After a limited liability company is converted into a joint-stock company and vice versa, or a sole proprietorship is converted into a limited liability company, a joint-stock company, or a partnership, the branches, representative offices, and business locations of these enterprises shall register changes in their operation registration content according to the provisions of this Article.
Article 63. Updating and Supplementing Information in the Business Registration File Administrative Procedure: Recognition of forest tree planting seed sources business registration
1. When registering or notifying changes to business registration content, the enterprise shall be responsible for supplementing missing information about the enterprise's telephone number in the registration file. In cases where the enterprise does not supplement the telephone number information, the registration and change notification file will be considered invalid.
2. The enterprise has the obligation to update and supplement information in the Enterprise Registration Certificate and the business registration file in accordance with Clause 3 of Article 8 of the Enterprise Law, as follows:
a) In cases where the enterprise updates or supplements information in the business registration file which changes the content of the Enterprise Registration Certificate but does not fall under the circumstances for changing business registration content as stipulated from Article 47 to Article 55 of this Decree, the enterprise shall submit a notification requesting to update and supplement business registration information to the Business Registration Office at the location of its main office. Upon receiving the notification, the Business Registration Office shall examine its validity and issue the Enterprise Registration Certificate to the enterprise.
b) In cases where the enterprise only updates or supplements information in the business registration file without changing the content of the Enterprise Registration Certificate and does not fall under the circumstances for notifying changes to business registration content as stipulated from Article 56 to Article 60 of this Decree, the enterprise shall submit a notification requesting to update and supplement business registration information to the Business Registration Office at the location of its main office. The Business Registration Office shall update the information in the enterprise’s file and incorporate it into the National Database on Business Registration.
3. The enterprise is exempt from paying registration fees and stamp duties when updating or supplementing information about the telephone number, fax number, email address, website, and address due to administrative boundary changes and other cases specified in point b of Clause 2 hereof.
Article 64. Business Registration File in Cases Where the Enterprise Approves Resolutions Through Written Ballot
In cases where the Board of Members of a Limited Liability Company or the General Meeting of Shareholders, Board of Directors of a Joint Stock Company approves resolutions or decisions through a written ballot as prescribed by the Enterprise Law, the copy of the meeting minutes in the business registration file as stipulated in this Decree shall be replaced by a copy of the report on the results of the ballot by the Board of Members for a Limited Liability Company or the minutes of the ballot by the Board of Directors, General Meeting of Shareholders for a Joint Stock Company.
Article 65. Circumstances Prohibiting Business Registration and Notification of Changes to Business Registration Content
1. The enterprise shall not be allowed to register or notify changes to business registration content in the following circumstances:
a) Đã bị Phòng Đăng ký kinh doanh ra Thông báo về việc vi phạm của doanh nghiệp thuộc trường hợp thu hồi Giấy chứng nhận đăng ký doanh nghiệp hoặc đã bị ra Quyết định thu hồi Giấy chứng nhận đăng ký doanh nghiệp;
b) Đang trong quá trình giải thể theo quyết định giải thể của doanh nghiệp;
c) Theo yêu cầu của Tòa án hoặc Cơ quan thi hành án hoặc Cơ quan điều tra, Thủ trưởng, Phó Thủ trưởng Cơ quan điều tra, Điều tra viên quy định tại Bộ luật Tố tụng hình sự;
d) Doanh nghiệp đang trong tình trạng pháp lý “Không còn hoạt động kinh doanh tại địa chỉ đã đăng ký”.
2. Doanh nghiệp được tiếp tục đăng ký, thông báo thay đổi nội dung đăng ký doanh nghiệp trong các trường hợp sau:
a) Đã có biện pháp khắc phục những vi phạm theo yêu cầu trong Thông báo về việc vi phạm của doanh nghiệp thuộc trường hợp thu hồi Giấy chứng nhận đăng ký doanh nghiệp và được Phòng Đăng ký kinh doanh chấp nhận;
b) Phải đăng ký thay đổi một số nội dung đăng ký doanh nghiệp để phục vụ quá trình giải thể và hoàn tất bộ hồ sơ giải thể theo quy định. Trong trường hợp này, hồ sơ đăng ký thay đổi phải kèm theo văn bản giải trình của doanh nghiệp về lý do đăng ký thay đổi;
c) Có ý kiến chấp thuận bằng văn bản của các tổ chức, cá nhân gửi yêu cầu quy định tại điểm c khoản 1 Điều này về việc cho phép tiếp tục đăng ký thay đổi nội dung đăng ký doanh nghiệp;
d) Doanh nghiệp đã được chuyển tình trạng pháp lý từ “Không còn hoạt động kinh doanh tại địa chỉ đã đăng ký” sang “Đang hoạt động”.
Chương VII
HỒ SƠ, TRÌNH TỰ, THỦ TỤC ĐĂNG KÝ TẠM NGỪNG KINH DOANH, CẤP LẠI GIẨY CHỨNG NHẬN ĐĂNG KÝ DOANH NGHIỆP, GIẢI THẺ DOANH NGHIỆP, THU HỒI GIẤY CHỨNG NHẬN ĐĂNG KÝ DOANH NGHIỆP
Điều 66. Đăng ký tạm ngừng kinh doanh, tiếp tục kinh doanh trước thời hạn đã thông báo đối với doanh nghiệp, chi nhánh, văn phòng đại diện, địa điểm kinh doanh
1. Trường hợp doanh nghiệp, chi nhánh, văn phòng đại diện, địa điểm kinh doanh tạm ngừng kinh doanh hoặc tiếp tục kinh doanh trước thời hạn đã thông báo, doanh nghiệp gửi thông báo đến Phòng Đăng ký kinh doanh nơi doanh nghiệp, chi nhánh, văn phòng đại diện, địa điểm kinh doanh đặt trụ sở chậm nhất 03 ngày làm việc trước ngày tạm ngừng kinh doanh hoặc tiếp tục kinh doanh trước thời hạn đã thông báo. Trường hợp doanh nghiệp, chi nhánh, văn phòng đại diện, địa điểm kinh doanh có nhu cầu tiếp tục tạm ngừng kinh doanh sau khi hết thời hạn đã thông báo thì phải thông báo cho Phòng Đăng ký kinh doanh chậm nhất 03 ngày làm việc trước ngày tiếp tục tạm ngừng kinh doanh. Thời hạn tạm ngừng kinh doanh của mỗi lần thông báo không được quá một năm.
2. Trường hợp doanh nghiệp tạm ngừng kinh doanh, kèm theo thông báo phải có nghị quyết, quyết định và bản sao biên bản họp của Hội đồng thành viên đối với công ty trách nhiệm hữu hạn hai thành viên trở lên, công ty hợp danh, của Hội đồng quản trị đối với công ty cổ phần; nghị quyết, quyết định của chủ sở hữu công ty đối với công ty trách nhiệm hữu hạn một thành viên về việc tạm ngừng kinh doanh.
3. Sau khi nhận hồ sơ đăng ký doanh nghiệp, Phòng Đăng ký kinh doanh trao Giấy biên nhận, kiểm tra tính hợp lệ của hồ sơ và cấp giấy xác nhận về việc doanh nghiệp, chi nhánh, văn phòng đại diện, địa điểm kinh doanh đăng ký tạm ngừng kinh doanh, giấy xác nhận về việc doanh nghiệp, chi nhánh, văn phòng đại diện, địa điểm kinh doanh đăng ký tiếp tục kinh doanh trước thời hạn đã thông báo trong thời hạn 03 ngày làm việc kể từ ngày nhận được hồ sơ hợp lệ.
4. Trường hợp doanh nghiệp đăng ký tạm ngừng kinh doanh, Phòng Đăng ký kinh doanh cập nhật tình trạng pháp lý của doanh nghiệp và tình trạng của tất cả các chi nhánh, văn phòng đại diện, địa điểm kinh doanh của doanh nghiệp trong Cơ sở dữ liệu quốc gia về đăng ký doanh nghiệp sang tình trạng tạm ngừng kinh doanh.
5. Doanh nghiệp có thể đề nghị đăng ký tiếp tục kinh doanh trước thời hạn đã thông báo đồng thời với đăng ký tiếp tục kinh doanh trước thời hạn đã thông báo đối với chi nhánh, văn phòng đại diện, địa điểm kinh doanh của doanh nghiệp. Phòng Đăng ký kinh doanh cập nhật tình trạng pháp lý của doanh nghiệp đồng thời với tình trạng của chi nhánh, văn phòng đại diện, địa điểm kinh doanh trong Cơ sở dữ liệu quốc gia về đăng ký doanh nghiệp.
Điều 67. Tạm ngừng kinh doanh, đình chỉ hoạt động, chấm dứt kinh doanh theo yêu cầu của cơ quan nhà nước có thẩm quyền
1. Trường hợp Phòng Đăng ký kinh doanh nhận được văn bản của cơ quan nhà nước có thẩm quyền về việc doanh nghiệp kinh doanh ngành, nghề đầu tư kinh doanh có điều kiện, ngành, nghề tiếp cận thị trường có điều kiện đối với nhà đầu tư nước ngoài nhưng không đáp ứng điều kiện theo quy định của pháp luật, Phòng Đăng ký kinh doanh ra thông báo yêu cầu doanh nghiệp tạm ngừng, chấm dứt kinh doanh ngành, nghề đầu tư kinh doanh có điều kiện, ngành, nghề tiếp cận thị trường có điều kiện đối với nhà đầu tư nước ngoài. Trường hợp doanh nghiệp không tạm ngừng, không chấm dứt kinh doanh ngành, nghề đầu tư kinh doanh có điều kiện, ngành, nghề tiếp cận thị trường có điều kiện đối với nhà đầu tư nước ngoài theo yêu cầu, Phòng Đăng ký kinh doanh yêu cầu doanh nghiệp báo cáo theo quy định tại điểm c khoản 1 Điều 216 Luật Doanh nghiệp.
2. Trong thời hạn 03 ngày làm việc kể từ ngày Phòng Đăng ký kinh doanh nhận được văn bản của cơ quan nhà nước có thẩm quyền về việc doanh nghiệp bị cơ quan nhà nước có thẩm quyền yêu cầu tạm ngừng kinh doanh, đình chỉ hoạt động, chấm dứt kinh doanh hoặc chấp hành xong hình phạt, chấp hành xong biện pháp tư pháp theo quy định của pháp luật chuyên ngành, Phòng Đăng ký kinh doanh cập nhật thông tin vào Cơ sở dữ liệu quốc gia về đăng ký doanh nghiệp và công bố trên cổng thông tin quốc gia về đăng ký doanh nghiệp.
Điều 68. Cấp lại Giấy chứng nhận đăng ký doanh nghiệp, Giấy xác nhận về việc thay đổi nội dung đăng ký doanh nghiệp
1. Trường hợp doanh nghiệp có nhu cầu được cấp lại Giấy chứng nhận đăng ký doanh nghiệp, giấy xác nhận về việc thay đổi nội dung đăng ký doanh nghiệp, giấy chứng nhận đăng ký hoạt động chi nhánh, văn phòng đại diện, giấy xác nhận về việc thay đổi nội dung đăng ký hoạt động chi nhánh, văn phòng đại diện do bị mất, cháy, rách, nát hoặc bị tiêu hủy dưới hình thức khác, doanh nghiệp gửi văn bản đề nghị cấp lại đến Phòng Đăng ký kinh doanh nơi doanh nghiệp đặt trụ sở chính. Phòng Đăng ký kinh doanh xem xét cấp lại trong thời hạn 03 ngày làm việc kể từ ngày nhận được văn bản đề nghị.
2. Trường hợp doanh nghiệp có nhu cầu được cấp lại Giấy chứng nhận đăng ký địa điểm kinh doanh, giấy xác nhận về việc thay đổi nội dung đăng ký địa điểm kinh doanh do bị mất, cháy, rách, nát hoặc bị tiêu hủy dưới hình thức khác, doanh nghiệp hoặc chi nhánh có địa điểm kinh doanh gửi văn bản đề nghị cấp lại đến Phòng Đăng ký kinh doanh nơi đặt địa điểm kinh doanh. Phòng Đăng ký kinh doanh xem xét cấp lại trong thời hạn 03 ngày làm việc kể từ ngày nhận được văn bản đề nghị.
Điều 69. Xử lý trường hợp cấp đăng ký doanh nghiệp không đúng hồ sơ, trình tự, thủ tục hoặc thông tin kê khai trong hồ sơ đăng ký doanh nghiệp là không trung thực, không chính xác
1. Trường hợp cấp đăng ký doanh nghiệp không đúng hồ sơ, trình tự, thủ tục theo quy định
a) Trường hợp cấp đăng ký doanh nghiệp không đúng trình tự, thủ tục theo quy định, Phòng Đăng ký kinh doanh gửi thông báo tới doanh nghiệp, đồng thời thực hiện lại việc cấp theo đúng quy định về trình tự, thủ tục;
b) Trường hợp cấp đăng ký thành lập doanh nghiệp không đúng hồ sơ theo quy định, Phòng Đăng ký kinh doanh thông báo Giấy chứng nhận đăng ký doanh nghiệp được cấp không đúng hồ sơ theo quy định là không có hiệu lực, yêu cầu doanh nghiệp hoàn chỉnh và nộp hồ sơ hợp lệ theo quy định trong thời hạn 30 ngày kể từ ngày gửi thông báo để được xem xét cấp Giấy chứng nhận đăng ký doanh nghiệp. Doanh nghiệp có thể gộp các nội dung thay đổi hợp pháp của các lần đăng ký, thông báo thay đổi sau đó trong một bộ hồ sơ để được cấp một lần đăng ký thay đổi mới;
c) Trường hợp cấp đăng ký thay đổi nội dung đăng ký doanh nghiệp và các đăng ký, thông báo khác không đúng hồ sơ theo quy định, Phòng Đăng ký kinh doanh thông báo nội dung đăng ký doanh nghiệp được chấp thuận không đúng theo quy định là không có hiệu lực, đồng thời Phòng Đăng ký kinh doanh cấp Giấy chứng nhận đăng ký doanh nghiệp, Giấy xác nhận về việc thay đổi nội dung đăng ký doanh nghiệp và các đăng ký, thông báo khác trên cơ sở hồ sơ hợp lệ của lần gần nhất trước đó. Phòng Đăng ký kinh doanh gửi thông báo yêu cầu doanh nghiệp hoàn chỉnh và nộp hồ sơ hợp lệ theo quy định trong thời hạn 30 ngày kể từ ngày gửi thông báo để được xem xét cấp Giấy chứng nhận đăng ký doanh nghiệp, Giấy xác nhận về việc thay đổi nội dung đăng ký doanh nghiệp và các đăng ký, thông báo khác. Doanh nghiệp có thể gộp các nội dung thay đổi hợp pháp của các lần đăng ký, thông báo thay đổi sau đó trong một bộ hồ sơ để được cấp một lần đăng ký thay đổi mới.
2. Trường hợp thông tin kê khai trong hồ sơ đăng ký doanh nghiệp là không trung thực, không chính xác
a) Trường hợp thông tin kê khai trong hồ sơ đăng ký thành lập doanh nghiệp là không trung thực, không chính xác, Phòng Đăng ký kinh doanh thông báo cho cơ quan nhà nước có thẩm quyền để xử lý theo quy định của pháp luật, đồng thời thông báo Giấy chứng nhận đăng ký doanh nghiệp được cấp trên cơ sở hồ sơ đăng ký có thông tin kê khai không trung thực, không chính xác là không có hiệu lực, yêu cầu doanh nghiệp hoàn chỉnh và nộp lại hồ sơ theo quy định trong thời hạn 30 ngày kể từ ngày gửi thông báo để được xem xét cấp Giấy chứng nhận đăng ký doanh nghiệp, Giấy xác nhận về việc thay đổi nội dung đăng ký doanh nghiệp. Doanh nghiệp có thể gộp các nội dung thay đổi hợp pháp của các lần đăng ký, thông báo thay đổi sau đó trong một bộ hồ sơ để được cấp một lần đăng ký thay đổi mới.
Trường hợp doanh nghiệp không hoàn chỉnh và nộp lại hồ sơ theo quy định, Phòng Đăng ký kinh doanh yêu cầu doanh nghiệp báo cáo theo quy định tại điểm c khoản 1 Điều 216 Luật Doanh nghiệp;
b) Trường hợp thông tin kê khai trong hồ sơ đăng ký thay đổi nội dung đăng ký doanh nghiệp là không trung thực, không chính xác, Phòng Đăng ký kinh doanh thông báo cho cơ quan nhà nước có thẩm quyền để xử lý theo quy định của pháp luật, đồng thời thông báo Giấy chứng nhận đăng ký doanh nghiệp, Giấy xác nhận về việc thay đổi nội dung đăng ký doanh nghiệp được cấp không có hiệu lực và cấp Giấy chứng nhận đăng ký doanh nghiệp, Giấy xác nhận về việc thay đổi nội dung đăng ký doanh nghiệp trên cơ sở hồ sơ hợp lệ gần nhất trước đó.
Phòng Đăng ký kinh doanh thông báo yêu cầu doanh nghiệp hoàn chỉnh và nộp lại hồ sơ theo quy định trong thời hạn 30 ngày kể từ ngày gửi thông báo để được xem xét cấp Giấy chứng nhận đăng ký doanh nghiệp, Giấy xác nhận về việc thay đổi nội dung đăng ký doanh nghiệp. Doanh nghiệp có thể gộp các nội dung thay đổi hợp pháp của các lần đăng ký, thông báo thay đổi sau đó trong một bộ hồ sơ để được cấp một lần đăng ký thay đổi mới.
3. Việc xử lý đối với trường hợp cấp Giấy chứng nhận đăng ký hoạt động chi nhánh, văn phòng đại diện, Giấy chứng nhận đăng ký địa điểm kinh doanh, Giấy xác nhận về việc thay đổi nội dung đăng ký hoạt động chi nhánh, văn phòng đại diện, địa điểm kinh doanh không đúng hồ sơ, trình tự, thủ tục hoặc thông tin kê khai trong hồ sơ là không trung thực, không chính xác thực hiện tương ứng theo quy định tại khoản 1 và khoản 2 Điều này.
Điều 70. Đăng ký giải thể doanh nghiệp đối với trường hợp quy định tại các điểm a, b và c khoản 1 Điều 207 Luật Doanh nghiệp
Việc đăng ký giải thể doanh nghiệp quy định tại các điểm a, b và c khoản 1 Điều 207 Luật Doanh nghiệp được thực hiện theo trình tự, thủ tục sau đây:
1. Trong thời hạn 07 ngày làm việc kể từ ngày thông qua nghị quyết, quyết định giải thể quy định tại khoản 1 Điều 208 Luật Doanh nghiệp, doanh nghiệp gửi thông báo về việc giải thể doanh nghiệp đến Phòng Đăng ký kinh doanh nơi doanh nghiệp đặt trụ sở chính. Kèm theo thông báo phải có các giấy tờ sau đây:
a) Nghị quyết, quyết định và biên bản họp của Hội đồng thành viên đối với công ty trách nhiệm hữu hạn hai thành viên trở lên, công ty hợp danh, của Đại hội đồng cổ đông đối với công ty cổ phần; nghị quyết, quyết định của chủ sở hữu công ty đối với công ty trách nhiệm hữu hạn một thành viên về việc giải thể doanh nghiệp;
b) Phương án giải quyết nợ (nếu có).
2. Trong thời hạn 01 ngày làm việc kể từ ngày nhận được thông báo về việc giải thể doanh nghiệp, Phòng Đăng ký kinh doanh phải đăng tải các giấy tờ quy định tại khoản 1 Điều này và thông báo tình trạng doanh nghiệp đang làm thủ tục giải thể trên cổng thông tin quốc gia về đăng ký doanh nghiệp, chuyển tình trạng pháp lý của doanh nghiệp trong Cơ sở dữ liệu quốc gia về đăng ký doanh nghiệp sang tình trạng đang làm thủ tục giải thể và gửi thông tin về việc giải thể của doanh nghiệp cho Cơ quan thuế. Doanh nghiệp thực hiện thủ tục hoàn thành nghĩa vụ thuế với Cơ quan thuế theo quy định của Luật Quản lý thuế.
3. Trong thời hạn 05 ngày làm việc kể từ ngày thanh toán hết các khoản nợ của doanh nghiệp, doanh nghiệp gửi hồ sơ đăng ký giải thể doanh nghiệp đến Phòng Đăng ký kinh doanh nơi doanh nghiệp đặt trụ sở chính. Hồ sơ đăng ký giải thể doanh nghiệp bao gồm các giấy tờ quy định tại khoản 1 Điều 210 Luật Doanh nghiệp.
4. Trước khi nộp hồ sơ đăng ký giải thể doanh nghiệp, doanh nghiệp phải thực hiện thủ tục chấm dứt hoạt động chi nhánh, văn phòng đại diện, địa điểm kinh doanh của doanh nghiệp tại Phòng Đăng ký kinh doanh nơi đặt chi nhánh, văn phòng đại diện, địa điểm kinh doanh.
5. Sau khi tiếp nhận hồ sơ đăng ký giải thể doanh nghiệp, Phòng Đăng ký kinh doanh gửi thông tin về việc doanh nghiệp đăng ký giải thể cho Cơ quan thuế. Trong thời hạn 02 ngày làm việc kể từ ngày nhận được thông tin của Phòng Đăng ký kinh doanh, Cơ quan thuế gửi ý kiến về việc hoàn thành nghĩa vụ nộp thuế của doanh nghiệp đến Phòng đăng ký kinh doanh. Trong thời hạn 05 ngày làm việc kể từ ngày nhận hồ sơ đăng ký giải thể doanh nghiệp, Phòng Đăng ký kinh doanh chuyển tình trạng pháp lý của doanh nghiệp trong Cơ sở dữ liệu quốc gia về đăng ký doanh nghiệp sang tình trạng đã giải thể nếu không nhận được ý kiến từ chối của Cơ quan thuế, đồng thời ra thông báo về việc giải thể của doanh nghiệp.
6. Sau thời hạn 180 ngày kể từ ngày Phòng Đăng ký kinh doanh nhận được thông báo kèm theo nghị quyết, quyết định giải thể của doanh nghiệp mà Phòng Đăng ký kinh doanh không nhận được hồ sơ đăng ký giải thể của doanh nghiệp và ý kiến phản đối bằng văn bản của bên có liên quan, Phòng Đăng ký kinh doanh chuyển tình trạng pháp lý của doanh nghiệp trong Cơ sở dữ liệu quốc gia về đăng ký doanh nghiệp sang tình trạng đã giải thể, gửi thông tin về việc giải thể của doanh nghiệp cho Cơ quan thuế, đồng thời ra thông báo về việc giải thể của doanh nghiệp trong thời hạn 03 ngày làm việc kể từ ngày kết thúc thời hạn nêu trên.
7. Trong thời hạn 180 ngày kể từ ngày nhận được thông báo kèm theo nghị quyết, quyết định giải thể quy định tại Điều 208 Luật Doanh nghiệp và Phòng Đăng ký kinh doanh chưa chuyển tình trạng pháp lý của doanh nghiệp sang tình trạng đã giải thể trong Cơ sở dữ liệu quốc gia về đăng ký doanh nghiệp, nếu doanh nghiệp không tiếp tục thực hiện giải thể, doanh nghiệp gửi thông báo về việc hủy bỏ nghị quyết, quyết định giải thể đến Phòng Đăng ký kinh doanh nơi doanh nghiệp đặt trụ sở chính. Kèm theo thông báo phải có nghị quyết, quyết định của chủ sở hữu công ty đối với công ty trách nhiệm hữu hạn một thành viên, của Hội đồng thành viên đối với công ty trách nhiệm hữu hạn hai thành viên trở lên, công ty hợp danh, của Đại hội đồng cổ đông đối với công ty cổ phần về việc hủy bỏ nghị quyết, quyết định giải thể. Trong thời hạn 03 ngày làm việc kể từ ngày nhận được thông báo về việc hủy bỏ nghị quyết, quyết định giải thể doanh nghiệp, Phòng Đăng ký kinh doanh phải đăng tải thông báo và nghị quyết, quyết định về việc hủy bỏ nghị quyết, quyết định giải thể doanh nghiệp trên cổng thông tin quốc gia về đăng ký doanh nghiệp, khôi phục tình trạng pháp lý của doanh nghiệp trên Hệ thống thông tin quốc gia về đăng ký doanh nghiệp và gửi thông tin thủy bỏ nghị quyết, quyết định giải thể của doanh nghiệp cho Cơ quan thuế.
8. Đối với doanh nghiệp sử dụng con dấu do cơ quan công an cấp, doanh nghiệp có trách nhiệm trả con dấu, Giấy chứng nhận đã đăng ký mẫu con dấu cho cơ quan công an theo quy định khi làm thủ tục giải thể.
Điều 71. Đăng ký giải thể doanh nghiệp trong trường hợp bị thu hồi Giấy chứng nhận đăng ký doanh nghiệp hoặc theo quyết định của Tòa án
1. Trong thời hạn 01 ngày làm việc kể từ ngày ra quyết định thu hồi Giấy chứng nhận đăng ký doanh nghiệp hoặc nhận được quyết định của Tòa án đã có hiệu lực pháp luật, Phòng Đăng ký kinh doanh đăng tải quyết định và thông báo tình trạng doanh nghiệp đang làm thủ tục giải thể trên cổng thông tin quốc gia về đăng ký doanh nghiệp, chuyển tình trạng của doanh nghiệp trong Cơ sở dữ liệu quốc gia về đăng ký doanh nghiệp sang tình trạng đang làm thủ tục giải thể và gửi thông tin về việc giải thể doanh nghiệp cho Cơ quan thuế, trừ trường hợp doanh nghiệp bị thu hồi Giấy chứng nhận đăng ký doanh nghiệp để thực hiện biện pháp cưỡng chế theo đề nghị của Cơ quan quản lý thuế.
2. Trong thời hạn 05 ngày làm việc kể từ ngày thanh toán hết các khoản nợ của doanh nghiệp, người đại diện theo pháp luật của doanh nghiệp gửi hồ sơ đăng ký giải thể doanh nghiệp cho Phòng Đăng ký kinh doanh nơi doanh nghiệp đặt trụ sở chính. Hồ sơ, trình tự, thủ tục đăng ký giải thể doanh nghiệp thực hiện theo quy định tại các khoản 3,4 và 5 Điều 70 Nghị định này.
3. Sau thời hạn 180 ngày kể từ ngày Phòng Đăng ký kinh doanh thông báo tình trạng doanh nghiệp đang làm thủ tục giải thể trên cổng thông tin quốc gia về đăng ký doanh nghiệp mà Phòng Đăng ký kinh doanh không nhận được hồ sơ đăng ký giải thể của doanh nghiệp và ý kiến phản đối của bên có liên quan bằng văn bản, Phòng Đăng ký kinh doanh chuyển tình trạng pháp lý của doanh nghiệp trong Cơ sở dữ liệu quốc gia về đăng ký doanh nghiệp sang tình trạng đã giải thể, gửi thông tin về việc giải thể của doanh nghiệp cho Cơ quan thuế, đồng thời ra thông báo về việc giải thể của doanh nghiệp trong thời hạn 03 ngày làm việc kể từ ngày kết thúc thời hạn nêu trên.
Điều 72. Chấm dứt hoạt động chi nhánh, văn phòng đại diện, địa điểm kinh doanh
1. Trước khi thông báo chấm dứt hoạt động chi nhánh, văn phòng đại diện, địa điểm kinh doanh thì doanh nghiệp, chi nhánh, văn phòng đại diện phải đăng ký với Cơ quan thuế để hoàn thành nghĩa vụ nộp thuế theo quy định của pháp luật về thuế.
2. Trong thời hạn 10 ngày kể từ ngày quyết định chấm dứt hoạt động chi nhánh, văn phòng đại diện, địa điểm kinh doanh, doanh nghiệp gửi Thông báo về việc chấm dứt hoạt động chi nhánh, văn phòng đại diện, địa điểm kinh doanh đến Phòng Đăng ký kinh doanh nơi đặt chi nhánh, văn phòng đại diện, địa điểm kinh doanh. Trường hợp chấm dứt hoạt động chi nhánh, văn phòng đại diện, kèm theo thông báo phải có nghị quyết, quyết định và bản sao biên bản họp của Hội đồng thành viên đối với công ty trách nhiệm hữu hạn hai thành viên trở lên, công ty hợp danh, của Hội đồng quản trị đối với công ty cổ phần; nghị quyết, quyết định của chủ sở hữu công ty đối với công ty trách nhiệm hữu hạn một thành viên về việc chấm dứt hoạt động chi nhánh, văn phòng đại diện.
3. Sau khi tiếp nhận hồ sơ chấm dứt hoạt động chi nhánh, văn phòng đại diện, địa điểm kinh doanh, Phòng Đăng ký kinh doanh gửi thông tin về việc chi nhánh, văn phòng đại diện, địa điểm kinh doanh chấm dứt hoạt động cho Cơ quan thuế. Trong thời hạn 02 ngày làm việc kể từ ngày nhận được thông tin của Phòng Đăng ký kinh doanh, Cơ quan thuế gửi ý kiến về việc hoàn thành nghĩa vụ nộp thuế của chi nhánh, văn phòng đại diện, địa điểm kinh doanh đến Phòng đăng ký kinh doanh. Trong thời hạn 05 ngày làm việc kể từ ngày nhận hồ sơ chấm dứt hoạt động chi nhánh, văn phòng đại diện, địa điểm kinh doanh, Phòng Đăng ký kinh doanh thực hiện chấm dứt hoạt động của chi nhánh, văn phòng đại diện, địa điểm kinh doanh trong Cơ sở dữ liệu quốc gia về đăng ký doanh nghiệp nếu không nhận được ý kiến từ chối của Cơ quan thuế, đồng thời ra thông báo về việc chấm dứt hoạt động chi nhánh, văn phòng đại diện, địa điểm kinh doanh.
4. Việc chấm dứt hoạt động chi nhánh, văn phòng đại diện của doanh nghiệp ở nước ngoài thực hiện theo quy định của pháp luật nước đó. Trong thời hạn 30 ngày kể từ ngày chính thức chấm dứt hoạt động chi nhánh, văn phòng đại diện ở nước ngoài, doanh nghiệp gửi thông báo bằng văn bản về việc chấm dứt hoạt động chi nhánh, văn phòng đại diện của doanh nghiệp ở nước ngoài đến Phòng Đăng ký kinh doanh nơi doanh nghiệp đặt trụ sở chính. Phòng Đăng ký kinh doanh cập nhật thông tin của doanh nghiệp trong Cơ sở dữ liệu quốc gia về đăng ký doanh nghiệp trong thời hạn 03 ngày làm việc kể từ ngày nhận được thông báo.
Điều 73. Chấm dứt tồn tại của công ty bị chia, công ty bị hợp nhất, công ty bị sáp nhập
1. Sau khi công ty được chia, công ty hợp nhất, công ty nhận sáp nhập được cấp đăng ký doanh nghiệp, công ty bị chia, bị hợp nhất, bị sáp nhập chuyển sang tình trạng pháp lý đã bị chia, bị hợp nhất, bị sáp nhập. Phòng Đăng ký kinh doanh nơi công ty bị chia, bị hợp nhất, bị sáp nhập đặt trụ sở chính gửi thông tin cho Cơ quan thuế. Cơ quan thuế có trách nhiệm gửi thông tin cho Phòng đăng ký kinh doanh về việc doanh nghiệp đã hoàn thành việc quyết toán và chuyển giao nghĩa vụ thuế.
2. Trong thời hạn 01 ngày làm việc kể từ ngày nhận được thông tin của Cơ quan thuế về việc công ty bị chia, công ty bị hợp nhất, công ty bị sáp nhập hoàn thành việc quyết toán và chuyển giao nghĩa vụ thuế, Phòng Đăng ký kinh doanh nơi công ty bị chia, công ty bị hợp nhất, công ty bị sáp nhập đặt trụ sở chính thực hiện cập nhật tình trạng pháp lý đối với các công ty này trong Cơ sở dữ liệu quốc gia về đăng ký doanh nghiệp sang tình trạng chấm dứt tồn tại theo quy trình trên Hệ thống thông tin quốc gia về đăng ký doanh nghiệp.
3. Phòng Đăng ký kinh doanh thực hiện việc chấm dứt tồn tại chi nhánh, văn phòng đại diện, địa điểm kinh doanh của công ty bị chia, công ty bị hợp nhất, công ty bị sáp nhập trước khi chấm dứt tồn tại của các công ty này trong Cơ sở dữ liệu quốc gia về đăng ký doanh nghiệp theo quy trình trên Hệ thống thông tin quốc gia về đăng ký doanh nghiệp.
4. Trường hợp sau khi sáp nhập doanh nghiệp mà nội dung đăng ký doanh nghiệp của công ty nhận sáp nhập không thay đổi, trong thời hạn 10 ngày làm việc kể từ ngày hoàn thành việc sáp nhập doanh nghiệp, công ty nhận sáp nhập gửi thông báo bằng văn bản đến Phòng Đăng ký kinh doanh nơi công ty nhận sáp nhập đặt trụ sở chính để thực hiện chấm dứt tồn tại của công ty bị sáp nhập. Kèm theo thông báo phải có các giấy tờ quy định tại điểm a và điểm b khoản 2 Điều 61 Nghị định này.
5. Trường hợp công ty bị chia, công ty bị hợp nhất, công ty bị sáp nhập có địa chỉ trụ sở chính ngoài tỉnh, thành phố trực thuộc trung ương nơi đặt trụ sở chính của công ty được chia, công ty hợp nhất, công ty nhận sáp nhập, Phòng Đăng ký kinh doanh nơi công ty được chia, công ty hợp nhất, công ty nhận sáp nhập gửi thông tin cho Phòng Đăng ký kinh doanh nơi đặt trụ sở chính của công ty bị chia, công ty bị hợp nhất, công ty bị sáp nhập để thực hiện chấm dứt tồn tại đối với các công ty này trong Cơ sở dữ liệu quốc gia về đăng ký doanh nghiệp theo quy trình trên Hệ thống thông tin quốc gia về đăng ký doanh nghiệp.
Điều 74. Xác định nội dung kê khai trong hồ sơ đăng ký doanh nghiệp là giả mạo
1. Trường hợp có căn cứ xác định nội dung kê khai trong hồ sơ đăng ký doanh nghiệp là giả mạo, tổ chức, cá nhân có quyền đề nghị Phòng Đăng ký kinh doanh thực hiện thu hồi Giấy chứng nhận đăng ký doanh nghiệp và có trách nhiệm cung cấp cho Phòng Đăng ký kinh doanh một trong các văn bản cần thiết theo quy định tại khoản 2 Điều này.
2. Văn bản xác định nội dung kê khai trong hồ sơ đăng ký doanh nghiệp là giả mạo bao gồm:
a) Bản sao văn bản của cơ quan nhà nước có thẩm quyền cấp văn bản trả lời văn bản do cơ quan đó cấp bị giả mạo;
b) Bản sao văn bản trả lời của cơ quan công an về việc nội dung kê khai trong hồ sơ đăng ký doanh nghiệp là giả mạo.
3. Trường hợp cần xác định nội dung kê khai trong hồ sơ đăng ký doanh nghiệp là giả mạo để làm cơ sở thu hồi Giấy chứng nhận đăng ký doanh nghiệp theo quy định tại điểm a khoản 1 Điều 212 Luật Doanh nghiệp, Phòng Đăng ký kinh doanh gửi văn bản kèm theo hồ sơ đăng ký doanh nghiệp đến cơ quan quy định tại điểm a, điểm b khoản 2 Điều này. Các cơ quan có trách nhiệm trả lời bằng văn bản về kết quả xác định theo đề nghị của Phòng Đăng ký kinh doanh trong thời hạn 30 ngày kể từ ngày nhận được văn bản đề nghị. Căn cứ kết luận của các cơ quan nêu trên, Phòng Đăng ký kinh doanh thu hồi Giấy chứng nhận đăng ký doanh nghiệp theo trình tự, thủ tục quy định tại khoản 1 Điều 75 Nghị định này nếu nội dung kê khai trong hồ sơ đăng ký doanh nghiệp là giả mạo.
Điều 75. Trình tự, thủ tục thu hồi Giấy chứng nhận đăng ký doanh nghiệp
1. Trường hợp nội dung kê khai trong hồ sơ đăng ký doanh nghiệp là giả mạo
a) Trường hợp nội dung kê khai trong hồ sơ đăng ký thành lập mới doanh nghiệp là giả mạo, Phòng Đăng ký kinh doanh ra thông báo về hành vi vi phạm của doanh nghiệp đồng thời ra quyết định thu hồi Giấy chứng nhận đăng ký doanh nghiệp;
b) Trường hợp hồ sơ đăng ký thay đổi nội dung đăng ký doanh nghiệp, thông báo thay đổi nội dung đăng ký doanh nghiệp là giả mạo, Phòng Đăng ký kinh doanh ra thông báo về hành vi vi phạm của doanh nghiệp và ra quyết định hủy bỏ những thay đổi trong nội dung đăng ký doanh nghiệp được thực hiện trên cơ sở các thông tin giả mạo và cấp Giấy chứng nhận đăng ký doanh nghiệp, Giấy xác nhận về việc thay đổi nội dung đăng ký doanh nghiệp trên cơ sở hồ sơ hợp lệ gần nhất trước đó. Phòng Đăng ký kinh doanh yêu cầu doanh nghiệp làm lại hồ sơ để được xem xét cấp Giấy chứng nhận đăng ký doanh nghiệp, Giấy xác nhận về việc thay đổi nội dung đăng ký doanh nghiệp. Doanh nghiệp có thể gộp các nội dung thay đổi hợp pháp của các lần đăng ký, thông báo thay đổi sau đó trong một bộ hồ sơ để được cấp một lần đăng ký thay đổi mới;
c) Phòng Đăng ký kinh doanh thông báo về hành vi kê khai hồ sơ đăng ký doanh nghiệp là giả mạo cho cơ quan nhà nước có thẩm quyền để xem xét, xử lý theo quy định của pháp luật.
2. Trường hợp doanh nghiệp đã đăng ký có cá nhân, tổ chức thuộc đối tượng bị cấm thành lập doanh nghiệp theo quy định tại khoản 2 Điều 17 Luật Doanh nghiệp
a) Đối với doanh nghiệp tư nhân, công ty trách nhiệm hữu hạn một thành viên do cá nhân là chủ sở hữu: Phòng Đăng ký kinh doanh nơi doanh nghiệp đã đăng ký ra thông báo về hành vi vi phạm đồng thời ra quyết định thu hồi Giấy chứng nhận đăng ký doanh nghiệp;
b) Đối với công ty trách nhiệm hữu hạn hai thành viên trở lên, công ty trách nhiệm hữu hạn một thành viên do tổ chức là chủ sở hữu, công ty cổ phần và công ty hợp danh: Phòng Đăng ký kinh doanh nơi doanh nghiệp đã đăng ký ra thông báo bằng văn bản yêu cầu doanh nghiệp thay đổi thành viên hoặc cổ đông thuộc đối tượng không được quyền thành lập doanh nghiệp trong thời hạn 30 ngày kể từ ngày thông báo. Quá thời hạn nói trên mà doanh nghiệp không đăng ký thay đổi thành viên hoặc cổ đông thì Phòng Đăng ký kinh doanh ra thông báo về hành vi vi phạm đồng thời ra quyết định thu hồi Giấy chứng nhận đăng ký doanh nghiệp.
3. Trường hợp doanh nghiệp ngừng hoạt động kinh doanh 01 năm mà không thông báo với Cơ quan đăng ký kinh doanh và Cơ quan thuế, Phòng Đăng ký kinh doanh thông báo bằng văn bản về hành vi vi phạm và yêu cầu người đại diện theo pháp luật của doanh nghiệp đến trụ sở của Phòng để giải trình. Sau 10 ngày làm việc kể từ ngày kết thúc thời hạn hẹn trong thông báo mà người được yêu cầu không đến hoặc nội dung giải trình không được chấp thuận thì Phòng Đăng ký kinh doanh ban hành quyết định thu hồi Giấy chứng nhận đăng ký doanh nghiệp.
4. Trường hợp doanh nghiệp không gửi báo cáo theo quy định tại điểm c khoản 1 Điều 216 Luật Doanh nghiệp thì trong thời hạn 10 ngày làm việc kể từ ngày kết thúc thời hạn quy định tại điểm d khoản 1 Điều 212 Luật Doanh nghiệp, Phòng Đăng ký kinh doanh gửi thông báo bằng văn bản về hành vi vi phạm và yêu cầu người đại diện theo pháp luật của doanh nghiệp đến trụ sở của Phòng để giải trình. Sau 10 ngày làm việc kể từ ngày kết thúc thời hạn hẹn trong thông báo mà người được yêu cầu không đến hoặc nội dung giải trình không được chấp thuận thì Phòng Đăng ký kinh doanh ban hành quyết định thu hồi Giấy chứng nhận đăng ký doanh nghiệp.
5. Trường hợp Tòa án quyết định thu hồi Giấy chứng nhận đăng ký doanh nghiệp, Phòng Đăng ký kinh doanh ra quyết định thu hồi Giấy chứng nhận đăng ký doanh nghiệp trên cơ sở quyết định của Tòa án trong thời hạn 03 ngày làm việc kể từ ngày Phòng Đăng ký kinh doanh nhận được quyết định của Tòa án.
6. Trường hợp Phòng Đăng ký kinh doanh nhận được văn bản đề nghị thu hồi Giấy chứng nhận đăng ký doanh nghiệp của cơ quan nhà nước có thẩm quyền theo quy định của luật, Phòng Đăng ký kinh doanh thực hiện thu hồi Giấy chứng nhận đăng ký doanh nghiệp theo trình tự, thủ tục quy định tại khoản 3 Điều này.
7. Phòng Đăng ký kinh doanh có trách nhiệm phối hợp với các cơ quan quản lý nhà nước có liên quan trong việc xem xét nội dung giải trình quy định tại khoản 3 và khoản 4 Điều này.
8. Sau khi nhận được quyết định thu hồi Giấy chứng nhận đăng ký doanh nghiệp, doanh nghiệp thực hiện thủ tục giải thể theo quy định tại Điều 209 Luật Doanh nghiệp, trừ trường hợp doanh nghiệp bị thu hồi Giấy chứng nhận đăng ký doanh nghiệp để thực hiện biện pháp cưỡng chế theo đề nghị của Cơ quan quản lý thuế.
9. Thông tin về việc thu hồi Giấy chứng nhận đăng ký doanh nghiệp phải được nhập vào Hệ thống thông tin quốc gia về đăng ký doanh nghiệp và gửi sang Cơ quan thuế trong thời hạn 01 ngày làm việc kể từ ngày ra quyết định thu hồi Giấy chứng nhận đăng ký doanh nghiệp.
10. Trong thời hạn 02 ngày làm việc kể từ ngày ra thông báo về việc vi phạm của doanh nghiệp thuộc trường hợp thu hồi Giấy chứng nhận đăng ký doanh nghiệp hoặc ra quyết định thu hồi Giấy chứng nhận đăng ký doanh nghiệp, Phòng Đăng ký kinh doanh gửi thông báo, quyết định nêu trên đến địa chỉ trụ sở chính của doanh nghiệp và đăng tải thông tin trên cổng thông tin quốc gia về đăng ký doanh nghiệp.
11. Doanh nghiệp hoạt động theo Giấy phép đầu tư, Giấy chứng nhận đầu tư (đồng thời là Giấy chứng nhận đăng ký kinh doanh) hoặc các giấy tờ có giá trị pháp lý tương đương bị thu hồi nội dung đăng ký kinh doanh trong các trường hợp quy định tại khoản 1 Điều 212 Luật Doanh nghiệp. Trình tự, thủ tục thu hồi thực hiện theo quy định tại các khoản 1, 2, 3, 4, 5 và 6 Điều này. Phòng Đăng ký kinh doanh ra quyết định thu hồi nội dung đăng ký kinh doanh mà không thu hồi Giấy phép đầu tư, Giấy chứng nhận đầu tư (đồng thời là Giấy chứng nhận đăng ký kinh doanh) hoặc các giấy tờ có giá trị pháp lý tương đương. Việc xử lý nội dung dự án đầu tư trên Giấy phép đầu tư, Giấy chứng nhận đầu tư (đồng thời là Giấy chứng nhận đăng ký kinh doanh) hoặc các giấy tờ có giá trị pháp lý tương đương thực hiện theo quy định của pháp luật về đầu tư.
Phòng Đăng ký kinh doanh gửi quyết định thu hồi đến Cơ quan đăng ký đầu tư để phối hợp quản lý nhà nước đối với doanh nghiệp.
Điều 76. Khôi phục tình trạng pháp lý của doanh nghiệp sau khi bị thu hồi Giấy chứng nhận đăng ký doanh nghiệp
1. Phòng Đăng ký kinh doanh ra quyết định hủy bỏ quyết định thu hồi Giấy chứng nhận đăng ký doanh nghiệp đồng thời khôi phục tình trạng pháp lý của doanh nghiệp trên Hệ thống thông tin quốc gia về đăng ký doanh nghiệp trong các trường hợp sau đây:
a) Phòng Đăng ký kinh doanh xác định doanh nghiệp không thuộc trường hợp phải thu hồi Giấy chứng nhận đăng ký doanh nghiệp;
b) Phòng Đăng ký kinh doanh nhận được văn bản của Cơ quan quản lý thuế đề nghị khôi phục tình trạng pháp lý của doanh nghiệp sau khi bị thu hồi Giấy chứng nhận đăng ký doanh nghiệp do cưỡng chế nợ thuế trong trường hợp doanh nghiệp chưa chuyển sang tình trạng pháp lý đã giải thể trong Cơ sở dữ liệu quốc gia về đăng ký doanh nghiệp.
2. Phòng Đăng ký kinh doanh chịu trách nhiệm về việc quyết định hủy bỏ quyết định thu hồi Giấy chứng nhận đăng ký doanh nghiệp và việc khôi phục tình trạng pháp lý của doanh nghiệp trong Cơ sở dữ liệu quốc gia về đăng ký doanh nghiệp.
3. Trong thời hạn 01 ngày làm việc kể từ ngày ra quyết định hủy bỏ quyết định thu hồi Giấy chứng nhận đăng ký doanh nghiệp, Phòng Đăng ký kinh doanh gửi quyết định nêu trên đến địa chỉ trụ sở chính của doanh nghiệp, đồng thời gửi thông tin về việc hủy bỏ quyết định thu hồi Giấy chứng nhận đăng ký doanh nghiệp và khôi phục tình trạng pháp lý của doanh nghiệp cho Cơ quan thuế, đăng tải quyết định trên cổng thông tin quốc gia về đăng ký doanh nghiệp.
Điều 77. Thu hồi Giấy chứng nhận đăng ký hoạt động chi nhánh, văn phòng đại diện
1. Chi nhánh, văn phòng đại diện bị thu hồi Giấy chứng nhận đăng ký hoạt động chi nhánh, văn phòng đại diện trong các trường hợp sau đây:
a) Nội dung kê khai trong hồ sơ đăng ký hoạt động chi nhánh, văn phòng đại diện là giả mạo;
b) Chi nhánh, văn phòng đại diện ngừng hoạt động 01 năm mà không thông báo với Phòng Đăng ký kinh doanh và Cơ quan thuế;
c) Theo quyết định của Tòa án, đề nghị của cơ quan có thẩm quyền theo quy định của luật.
2. Trường hợp nội dung kê khai trong hồ sơ đăng ký thành lập mới chi nhánh, văn phòng đại diện là giả mạo thì Phòng Đăng ký kinh doanh ra thông báo về hành vi vi phạm của doanh nghiệp và ra quyết định thu hồi Giấy chứng nhận đăng ký hoạt động chi nhánh, văn phòng đại diện.
Trường hợp hồ sơ đăng ký thay đổi nội dung đăng ký chi nhánh, văn phòng đại diện là giả mạo thì Phòng Đăng ký kinh doanh ra thông báo về hành vi vi phạm của doanh nghiệp và ra quyết định hủy bỏ những thay đổi trong nội dung đăng ký hoạt động chi nhánh, văn phòng đại diện được thực hiện trên cơ sở các thông tin giả mạo và cấp Giấy chứng nhận đăng ký hoạt động chi nhánh, văn phòng đại diện, Giấy xác nhận về việc thay đổi nội dung đăng ký hoạt động chi nhánh, văn phòng đại diện trên cơ sở hồ sơ hợp lệ gần nhất trước đó, đồng thời thông báo cho cơ quan có thẩm quyền để xem xét, xử lý theo quy định của pháp luật. Phòng Đăng ký kinh doanh yêu cầu doanh nghiệp làm lại hồ sơ để được xem xét cấp Giấy chứng nhận đăng ký hoạt động chi nhánh, văn phòng đại diện, Giấy xác nhận về việc thay đổi nội dung đăng ký hoạt động chi nhánh, văn phòng đại diện. Doanh nghiệp có thể gộp các nội dung thay đổi hợp pháp của các lần đăng ký, thông báo thay đổi sau đó trong một bộ hồ sơ để được cấp một lần đăng ký thay đổi mới.
3. Trường hợp chi nhánh, văn phòng đại diện ngừng hoạt động 01 năm mà không thông báo, Phòng Đăng ký kinh doanh thông báo bằng văn bản về hành vi vi phạm và yêu cầu người đại diện theo pháp luật của doanh nghiệp đến trụ sở của Phòng để giải trình. Sau 10 ngày làm việc kể từ ngày kết thúc thời hạn hẹn trong thông báo mà người được yêu cầu không đến hoặc nội dung giải trình không được chấp thuận thì Phòng Đăng ký kinh doanh ban hành quyết định thu hồi Giấy chứng nhận đăng ký hoạt động chi nhánh, văn phòng đại diện.
4. Trường hợp Tòa án quyết định thu hồi Giấy chứng nhận đăng ký hoạt động chi nhánh, văn phòng đại diện, Phòng Đăng ký kinh doanh ra quyết định thu hồi Giấy chứng nhận đăng ký hoạt động chi nhánh, văn phòng đại diện trên cơ sở quyết định của Tòa án.
5. Trường hợp Phòng Đăng ký kinh doanh nhận được văn bản đề nghị thu hồi Giấy chứng nhận đăng ký hoạt động chi nhánh, văn phòng đại diện của cơ quan nhà nước có thẩm quyền theo quy định của luật, trong thời hạn 10 ngày làm việc kể từ ngày nhận được văn bản đề nghị thu hồi, Phòng Đăng ký kinh doanh thực hiện thu hồi Giấy chứng nhận đăng ký hoạt động chi nhánh, văn phòng đại diện theo trình tự, thủ tục quy định tại khoản 3 Điều này.
6. Chi nhánh, văn phòng đại diện hoạt động theo Giấy phép đầu tư, Giấy chứng nhận đầu tư (đồng thời là Giấy chứng nhận đăng ký kinh doanh) hoặc các giấy tờ có giá trị pháp lý tương đương, Giấy chứng nhận đăng ký hoạt động chi nhánh, văn phòng đại diện do Cơ quan đăng ký đầu tư cấp bị thu hồi nội dung đăng ký hoạt động trong các trường hợp quy định tại khoản 1 Điều này. Trình tự, thủ tục thu hồi thực hiện theo quy định tại các khoản 2, 3, 4 và 5 Điều này. Phòng Đăng ký kinh doanh ra quyết định thu hồi nội dung đăng ký kinh doanh mà không thu hồi Giấy phép đầu tư, Giấy chứng nhận đầu tư (đồng thời là Giấy chứng nhận đăng ký kinh doanh) hoặc các giấy tờ có giá trị pháp lý tương đương, Giấy chứng nhận đăng ký hoạt động chi nhánh, văn phòng đại diện do Cơ quan đăng ký đầu tư cấp. Việc xử lý nội dung dự án đầu tư trên Giấy phép đầu tư, Giấy chứng nhận đầu tư (đồng thời là Giấy chứng nhận đăng ký kinh doanh) hoặc các giấy tờ có giá trị pháp lý tương đương thực hiện theo quy định của pháp luật về đầu tư.
Phòng Đăng ký kinh doanh gửi quyết định thu hồi đến Cơ quan đăng ký đầu tư để phối hợp quản lý nhà nước.
7. Trong thời hạn 02 ngày làm việc kể từ ngày ra thông báo về việc vi phạm của chi nhánh, văn phòng đại diện thuộc trường hợp thu hồi Giấy chứng nhận đăng ký hoạt động chi nhánh, văn phòng đại diện, quyết định thu hồi Giấy chứng nhận đăng ký hoạt động chi nhánh, văn phòng đại diện, Phòng Đăng ký kinh doanh gửi thông báo, quyết định nêu trên đến địa chỉ trụ sở chính của doanh nghiệp và đăng tải thông tin trên cổng thông tin quốc gia về đăng ký doanh nghiệp.
8. Thông tin về việc thu hồi Giấy chứng nhận đăng ký hoạt động chi nhánh, văn phòng đại diện phải được nhập vào Hệ thống thông tin quốc gia về đăng ký doanh nghiệp và gửi sang Cơ quan thuế trong thời hạn 01 ngày làm việc kể từ ngày ra quyết định thu hồi Giấy chứng nhận đăng ký hoạt động chi nhánh, văn phòng đại diện.
9. Phòng Đăng ký kinh doanh ra quyết định hủy bỏ quyết định thu hồi và khôi phục lại Giấy chứng nhận đăng ký hoạt động chi nhánh, văn phòng đại diện trong các trường hợp sau đây:
a) Phòng Đăng ký kinh doanh xác định chi nhánh, văn phòng đại diện không thuộc trường hợp phải thu hồi Giấy chứng nhận đăng ký hoạt động chi nhánh, văn phòng đại diện;
b) Phòng Đăng ký kinh doanh nhận được văn bản của Cơ quan quản lý thuế đề nghị hủy bỏ quyết định thu hồi và khôi phục lại Giấy chứng nhận đăng ký hoạt động chi nhánh, văn phòng đại diện sau khi bị thu hồi Giấy chứng nhận đăng ký hoạt động chi nhánh, văn phòng đại diện do cưỡng chế nợ thuế.
Phòng Đăng ký kinh doanh chịu trách nhiệm về việc quyết định hủy bỏ quyết định thu hồi và khôi phục lại Giấy chứng nhận đăng ký hoạt động chi nhánh, văn phòng đại diện. Trong thời hạn 01 ngày làm việc kể từ ngày ra quyết định hủy bỏ quyết định thu hồi và khôi phục lại Giấy chứng nhận đăng ký hoạt động chi nhánh, văn phòng đại diện, Phòng Đăng ký kinh doanh gửi quyết định nêu trên đến địa chỉ trụ sở chính của doanh nghiệp, đăng tải quyết định trên cổng thông tin quốc gia về đăng ký doanh nghiệp, đồng thời gửi thông tin về việc hủy bỏ quyết định thu hồi và khôi phục lại Giấy chứng nhận đăng ký hoạt động chi nhánh, văn phòng đại diện cho Cơ quan thuế.
10. Doanh nghiệp phải thực hiện thủ tục chấm dứt hoạt động chi nhánh, văn phòng đại diện trong thời hạn 15 ngày kể từ ngày có quyết định thu hồi Giấy chứng nhận đăng ký hoạt động chi nhánh, văn phòng đại diện, trừ trường hợp chi nhánh, văn phòng đại diện bị thu hồi Giấy chứng nhận đăng ký hoạt động chi nhánh, văn phòng đại diện do cưỡng chế nợ thuế.
Điều 78. Quy trình đăng tải quyết định mở thủ tục phá sản, quyết định tuyên bố doanh nghiệp phá sản của Tòa án
1. Trong thời hạn 03 ngày làm việc kể từ ngày nhận được quyết định mở thủ tục phá sản của Tòa án, Phòng Đăng ký kinh doanh đăng tải quyết định trên Cổng thông tin quốc gia về đăng ký doanh nghiệp, chuyển tình trạng pháp lý của doanh nghiệp trong Cơ sở dữ liệu quốc gia về đăng ký doanh nghiệp sang tình trạng đang làm thủ tục phá sản.
2. Trong thời hạn 03 ngày làm việc kể từ ngày nhận được quyết định tuyên bố doanh nghiệp phá sản của Tòa án, Phòng Đăng ký kinh doanh đăng tải quyết định trên cổng thông tin quốc gia về đăng ký doanh nghiệp và chuyển tình trạng pháp lý của doanh nghiệp trong Cơ sở dữ liệu quốc gia về đăng ký doanh nghiệp sang tình trạng đã phá sản.
Chương VIII
HỘ KINH DOANH VÀ ĐĂNG KÝ HỘ KINH DOANH
Điều 79. Hộ kinh doanh
1. Hộ kinh doanh do một cá nhân hoặc các thành viên hộ gia đình đăng ký thành lập và chịu trách nhiệm bằng toàn bộ tài sản của mình đối với hoạt động kinh doanh của hộ. Trường hợp các thành viên hộ gia đình đăng ký hộ kinh doanh thì ủy quyền cho một thành viên làm đại diện hộ kinh doanh. Cá nhân đăng ký hộ kinh doanh, người được các thành viên hộ gia đình ủy quyền làm đại diện hộ kinh doanh là chủ hộ kinh doanh.
2. Hộ gia đình sản xuất nông, lâm, ngư nghiệp, làm muối và những người bán hàng rong, quà vặt, buôn chuyến, kinh doanh lưu động, kinh doanh thời vụ, làm dịch vụ có thu nhập thấp không phải đăng ký hộ kinh doanh, trò trường hợp kinh doanh các ngành, nghề đầu tư kinh doanh có điều kiện, Ủy ban nhân dân tỉnh, thành phố trực thuộc trung ương quy định mức thu nhập thấp áp dụng trên phạm vi địa phương.
Điều 80. Quyền thành lập hộ kinh doanh và nghĩa vụ đăng ký hộ kinh doanh
1. Cá nhân, thành viên hộ gia đình là công dân Việt Nam có năng lực hành vi dân sự đầy đủ theo quy định của Bộ luật Dân sự có quyền thành lập hộ kinh doanh theo quy định tại Chương này, trừ các trường hợp sau đây:
a) Người chưa thành niên, người bị hạn chế năng lực hành vi dân sự; người bị mất năng lực hành vi dân sự; người có khó khăn trong nhận thức, làm chủ hành vi;
b) Người đang bị truy cứu trách nhiệm hình sự, bị tạm giam, đang chấp hành hình phạt tù, đang chấp hành biện pháp xử lý hành chính tại cơ sở cai nghiện bắt buộc, cơ sở giáo dục bắt buộc hoặc đang bị Tòa án cấm đảm nhiệm chức vụ, cấm hành nghề hoặc làm công việc nhất định;
c) Các trường hợp khác theo quy định của pháp luật có liên quan.
2. Cá nhân, thành viên hộ gia đình quy định tại khoản 1 Điều này chỉ được đăng ký một hộ kinh doanh trong phạm vi toàn quốc và được quyền góp vốn, mua cổ phần, mua phần vốn góp trong doanh nghiệp với tư cách cá nhân.
3. Cá nhân, thành viên hộ gia đình đăng ký hộ kinh doanh không được đồng thời là chủ doanh nghiệp tư nhân, thành viên hợp danh của công ty hợp danh trừ trường hợp được sự nhất trí của các thành viên hợp danh còn lại.
Điều 81. Quyền và nghĩa vụ của chủ hộ kinh doanh, thành viên hộ gia đình tham gia đăng ký hộ kinh doanh
1. Chủ hộ kinh doanh thực hiện các nghĩa vụ về thuế, các nghĩa vụ tài chính và các hoạt động kinh doanh của hộ kinh doanh theo quy định của pháp luật.
2. Chủ hộ kinh doanh đại diện cho hộ kinh doanh với tư cách người yêu cầu giải quyết việc dân sự, nguyên đơn, bị đơn, người có quyền lợi, nghĩa vụ liên quan trước Trọng tài, Tòa án và các quyền và nghĩa vụ khác theo quy định của pháp luật.
3. Chủ hộ kinh doanh có thể thuê người khác quản lý, điều hành hoạt động kinh doanh của hộ kinh doanh. Trong trường hợp này, chủ hộ kinh doanh, các thành viên hộ gia đình tham gia đăng ký hộ kinh doanh vẫn chịu trách nhiệm đối với các khoản nợ và nghĩa vụ tài sản khác phát sinh từ hoạt động kinh doanh.
4. Chủ hộ kinh doanh, các thành viên hộ gia đình tham gia đăng ký hộ kinh doanh chịu trách nhiệm đối với các hoạt động kinh doanh của hộ kinh doanh.
5. Các quyền, nghĩa vụ khác theo quy định của pháp luật.
Điều 82. Giấy chứng nhận đăng ký hộ kinh doanh
1. Giấy chứng nhận đăng ký hộ kinh doanh được cấp cho hộ kinh doanh thành lập và hoạt động theo quy định tại Nghị định này. Hộ kinh doanh được cấp Giấy chứng nhận đăng ký hộ kinh doanh khi có đủ các điều kiện sau đây:
a) Ngành, nghề đăng ký kinh doanh không bị cấm đầu tư kinh doanh;
b) Tên của hộ kinh doanh được đặt theo đúng quy định tại Điều 88 Nghị định này;
c) Có hồ sơ đăng ký hộ kinh doanh hợp lệ;
d) Nộp đủ lệ phí đăng ký hộ kinh doanh theo quy định.
2. Giấy chứng nhận đăng ký hộ kinh doanh được cấp trên cơ sở thông tin trong hồ sơ đăng ký hộ kinh doanh do người thành lập hộ kinh doanh tự khai và tự chịu trách nhiệm.
3. Các thông tin trên Giấy chứng nhận đăng ký hộ kinh doanh có giá trị pháp lý kể từ ngày được cấp Giấy chứng nhận đăng ký hộ kinh doanh và hộ kinh doanh có quyền hoạt động kinh doanh kể từ ngày được cấp Giấy chứng nhận đăng ký hộ kinh doanh, trừ trường hợp kinh doanh ngành, nghề đầu tư kinh doanh có điều kiện. Trường hợp hộ kinh doanh đăng ký ngày bắt đầu hoạt động kinh doanh sau ngày được cấp Giấy chứng nhận đăng ký hộ kinh doanh thì hộ kinh doanh được quyền hoạt động kinh doanh kể từ ngày đăng ký, trừ trường hợp kinh doanh ngành, nghề đầu tư kinh doanh có điều kiện.
4. Hộ kinh doanh có thể nhận Giấy chứng nhận đăng ký hộ kinh doanh trực tiếp tại Cơ quan đăng ký kinh doanh cấp huyện hoặc đăng ký và trả phí để nhận qua đường bưu điện.
5. Hộ kinh doanh có quyền yêu cầu Cơ quan đăng ký kinh doanh cấp huyện cấp bản sao Giấy chứng nhận đăng ký hộ kinh doanh và nộp phí theo quy định.
Điều 83. Mã số đăng ký hộ kinh doanh
1. Cơ quan đăng ký kinh doanh cấp huyện ghi mã số đăng ký hộ kinh doanh trên Giấy chứng nhận đăng ký hộ kinh doanh theo cấu trúc sau:
a) Mã cấp tỉnh: 02 ký tự bằng số;
b) Mã cấp huyện: 01 ký tự bằng chữ cái tiếng Việt;
c) Mã loại hình: 01 ký tự, 8 = hộ kinh doanh;
d) Số thứ tự hộ kinh doanh: 06 ký tự bằng số, từ 000001 đến 999999.
2. Các quận, huyện, thị xã, thành phố thuộc tỉnh được thành lập mới sau ngày Nghị định này có hiệu lực thi hành được chèn mã tiếp, theo thứ tự của bảng chữ cái tiếng Việt.
3. Trường hợp tách quận, huyện, thị xã, thành phố thuộc tỉnh sau ngày Nghị định này có hiệu lực thi hành, đơn vị bị tách giữ nguyên mã chữ cũ và đơn vị được tách được chèn mã tiếp, theo thứ tự của bảng chữ cái tiếng Việt.
4. Sở Kế hoạch và Đầu tư thông báo bằng văn bản cho Bộ Kế hoạch và Đầu tư mã mới của cấp huyện được thành lập mới hoặc được tách.
Điều 84. Nguyên tắc áp dụng trong đăng ký hộ kinh doanh
1. Hộ kinh doanh, người thành lập hộ kinh doanh tự kê khai hồ sơ đăng ký hộ kinh doanh và chịu trách nhiệm trước pháp luật về tính hợp pháp, trung thực và chính xác của các thông tin kê khai trong hồ sơ đăng ký hộ kinh doanh.
2. Cơ quan đăng ký kinh doanh cấp huyện chịu trách nhiệm về tính hợp lệ của hồ sơ đăng ký hộ kinh doanh, không chịu trách nhiệm về những vi phạm pháp luật của người thành lập hộ kinh doanh, hộ kinh doanh.
3. Cơ quan đăng ký kinh doanh cấp huyện không giải quyết tranh chấp giữa các cá nhân trong hộ kinh doanh với nhau hoặc với tổ chức, cá nhân khác.
4. Chủ hộ kinh doanh có thể ủy quyền cho tổ chức, cá nhân khác thực hiện thủ tục đăng ký hộ kinh doanh theo quy định tại Điều 12 Nghị định này.
Điều 85. Số lượng hồ sơ đăng ký hộ kinh doanh
1. Người thành lập hộ kinh doanh hoặc hộ kinh doanh nộp 01 bộ hồ sơ tại Cơ quan đăng ký kinh doanh cấp huyện khi thực hiện thủ tục đăng ký hộ kinh doanh.
2. Cơ quan đăng ký kinh doanh cấp huyện không được yêu cầu người thành lập hộ kinh doanh hoặc hộ kinh doanh nộp thêm hồ sơ hoặc giấy tờ khác ngoài các giấy tờ trong hồ sơ đăng ký hộ kinh doanh theo quy định.
Điều 86. Địa điểm kinh doanh của hộ kinh doanh
1. Địa điểm kinh doanh của hộ kinh doanh là nơi hộ kinh doanh thực hiện hoạt động kinh doanh.
2. Một hộ kinh doanh có thể hoạt động kinh doanh tại nhiều địa điểm nhưng phải chọn một địa điểm để đăng ký trụ sở hộ kinh doanh và phải thông báo cho Cơ quan quản lý thuế, cơ quan quản lý thị trường nơi tiến hành hoạt động kinh doanh đối với các địa điểm kinh doanh còn lại.
Điều 87. Đăng ký hộ kinh doanh
1. Đăng ký hộ kinh doanh được thực hiện tại Cơ quan đăng ký kinh doanh cấp huyện nơi đặt trụ sở hộ kinh doanh.
2. Hồ sơ đăng ký hộ kinh doanh bao gồm:
a) Giấy đề nghị đăng ký hộ kinh doanh;
b) Giấy tờ pháp lý của cá nhân đối với chủ hộ kinh doanh, thành viên hộ gia đình đăng ký hộ kinh doanh trong trường hợp các thành viên hộ gia đình đăng ký hộ kinh doanh;
c) Bản sao biên bản họp thành viên hộ gia đình về việc thành lập hộ kinh doanh trong trường hợp các thành viên hộ gia đình đăng ký hộ kinh doanh;
d) Bản sao văn bản ủy quyền của thành viên hộ gia đình cho một thành viên làm chủ hộ kinh doanh đối với trường hợp các thành viên hộ gia đình đăng ký hộ kinh doanh.
3. Khi tiếp nhận hồ sơ, Cơ quan đăng ký kinh doanh cấp huyện trao Giấy biên nhận và cấp Giấy chứng nhận đăng ký hộ kinh doanh cho hộ kinh doanh trong thời hạn 03 ngày làm việc kể từ ngày nhận hồ sơ hợp lệ.
Trường hợp hồ sơ không hợp lệ, trong thời hạn 03 ngày làm việc kể từ ngày nhận hồ sơ, Cơ quan đăng ký kinh doanh cấp huyện phải thông báo bằng văn bản cho người nộp hồ sơ hoặc người thành lập hộ kinh doanh biết. Thông báo phải nêu rõ lý do và các yêu cầu sửa đổi, bổ sung hồ sơ (nếu có).
4. Nếu sau 03 ngày làm việc kể từ ngày nộp hồ sơ đăng ký hộ kinh doanh mà không nhận được Giấy chứng nhận đăng ký hộ kinh doanh hoặc không nhận được thông báo yêu cầu sửa đổi, bổ sung hồ sơ đăng ký hộ kinh doanh thì người thành lập hộ kinh doanh hoặc hộ kinh doanh có quyền khiếu nại, tố cáo theo quy định của pháp luật về khiếu nại, tố cáo.
5. Định kỳ vào tuần làm việc đầu tiên hàng tháng, Cơ quan đăng ký kinh doanh cấp huyện gửi danh sách hộ kinh doanh đã đăng ký tháng trước cho Cơ quan thuế cùng cấp, Phòng Đăng ký kinh doanh và cơ quan quản lý chuyên ngành cấp tỉnh.
Điều 88. Đặt tên hộ kinh doanh
1. Hộ kinh doanh có tên gọi riêng. Tên hộ kinh doanh bao gồm hai thành tố theo thứ tự sau đây:
a) Cụm từ “Hộ kinh doanh”;
b) Tên riêng của hộ kinh doanh.
Tên riêng được viết bằng các chữ cái trong bảng chữ cái tiếng Việt, các chữ F, J, Z, W, có thể kèm theo chữ số, ký hiệu.
2. Không được sử dụng từ ngữ, ký hiệu vi phạm truyền thống lịch sử, văn hóa, đạo đức và thuần phong mỹ tục của dân tộc để đặt tên riêng cho hộ kinh doanh.
3. Hộ kinh doanh không được sử dụng các cụm từ “công ty”, “doanh nghiệp” để đặt tên hộ kinh doanh.
4. Tên riêng hộ kinh doanh không được trùng với tên riêng của hộ kinh doanh đã đăng ký trong phạm vi cấp huyện.
Điều 89. Ngành, nghề kinh doanh của hộ kinh doanh
1. Khi đăng ký thành lập, đăng ký thay đổi nội dung đăng ký hộ kinh doanh, hộ kinh doanh ghi ngành, nghề kinh doanh trên Giấy đề nghị đăng ký hộ kinh doanh, Thông báo thay đổi nội dung đăng ký hộ kinh doanh. Cơ quan đăng ký kinh doanh cấp huyện ghi nhận thông tin về ngành, nghề kinh doanh trên Giấy chứng nhận đăng ký hộ kinh doanh.
2. Hộ kinh doanh được quyền kinh doanh ngành, nghề đầu tư kinh doanh có điều kiện kể từ khi có đủ điều kiện theo quy định của pháp luật và phải bảo đảm đáp ứng các điều kiện đó trong suốt quá trình hoạt động. Việc quản lý nhà nước đối với ngành, nghề đầu tư kinh doanh có điều kiện và kiểm tra việc chấp hành điều kiện kinh doanh của hộ kinh doanh thuộc thẩm quyền của cơ quan chuyên ngành theo quy định của pháp luật chuyên ngành.
3. Trường hợp Cơ quan đăng ký kinh doanh cấp huyện nhận được văn bản của cơ quan có thẩm quyền về việc hộ kinh doanh kinh doanh ngành, nghề đầu tư kinh doanh có điều kiện nhưng không đáp ứng đủ điều kiện theo quy định của pháp luật, Cơ quan đăng ký kinh doanh cấp huyện ra Thông báo yêu cầu hộ kinh doanh tạm ngừng kinh doanh ngành, nghề đầu tư kinh doanh có điều kiện, đồng thời thông báo cho cơ quan nhà nước có thẩm quyền để xử lý theo quy định của pháp luật.
Điều 90. Đăng ký thay đổi nội dung đăng ký hộ kinh doanh
1. Chủ hộ kinh doanh có trách nhiệm đăng ký thay đổi nội dung Giấy chứng nhận đăng ký hộ kinh doanh với Cơ quan đăng ký kinh doanh trong thời hạn 10 ngày kể từ ngày có thay đổi.
2. Khi thay đổi nội dung đăng ký hộ kinh doanh, trừ các trường hợp quy định tại khoản 3 và khoản 4 Điều này, hộ kinh doanh gửi hồ sơ thông báo thay đổi nội dung đăng ký hộ kinh doanh đến Cơ quan đăng ký kinh doanh cấp huyện nơi đã đăng ký. Hồ sơ bao gồm các giấy tờ sau đây:
a) Thông báo thay đổi nội dung đăng ký hộ kinh doanh do chủ hộ kinh doanh ký;
b) Bản sao biên bản họp thành viên hộ gia đình về việc đăng ký thay đổi nội dung đăng ký hộ kinh doanh đối với trường hợp các thành viên hộ gia đình đăng ký hộ kinh doanh.
3. Trường hợp thay đổi chủ hộ kinh doanh thì hộ kinh doanh gửi hồ sơ thông báo thay đổi nội dung đăng ký hộ kinh doanh đến Cơ quan đăng ký kinh doanh cấp huyện nơi đã đăng ký. Hồ sơ bao gồm các giấy tờ sau đây:
a) Thông báo thay đổi chủ hộ kinh doanh do chủ hộ kinh doanh cũ và chủ hộ kinh doanh mới ký hoặc do chủ hộ kinh doanh mới ký trong trường hợp thay đổi chủ hộ kinh doanh do thừa kế;
b) Hợp đồng mua bán hoặc các giấy tờ chứng minh hoàn tất việc mua bán trong trường hợp bán hộ kinh doanh; hợp đồng tặng cho đối với trường hợp tặng cho hộ kinh doanh; bản sao văn bản xác nhận quyền thừa kế hợp pháp của người thừa kế trong trường hợp thay đổi chủ hộ kinh doanh do thừa kế;
c) Bản sao biên bản họp thành viên hộ gia đình về việc thay đổi chủ hộ kinh doanh đối với trường hợp các thành viên hộ gia đình đăng ký hộ kinh doanh;
d) Bản sao văn bản ủy quyền của thành viên hộ gia đình cho một thành viên làm chủ hộ kinh doanh đối với trường hợp các thành viên hộ gia đình đăng ký hộ kinh doanh.
Sau khi bán, tặng cho, thừa kế hộ kinh doanh, hộ kinh doanh vẫn phải chịu trách nhiệm về các khoản nợ và nghĩa vụ tài sản khác của hộ kinh doanh phát sinh trong thời gian trước ngày chuyển giao hộ kinh doanh, trừ trường hợp hộ kinh doanh, người mua, người được tặng cho, người thừa kế và chủ nợ của hộ kinh doanh có thỏa thuận khác.
4. Trường hợp hộ kinh doanh chuyển địa chỉ trụ sở sang quận, huyện, thị xã, thành phố thuộc tỉnh khác nơi hộ kinh doanh đã đăng ký, hộ kinh doanh gửi hồ sơ thông báo thay đổi địa chỉ đến Cơ quan đăng ký kinh doanh cấp huyện nơi dự định đặt trụ sở mới. Hồ sơ phải có bản sao các giấy tờ sau đây:
a) Thông báo thay đổi nội dung đăng ký hộ kinh doanh do chủ hộ kinh doanh ký;
b) Bản sao biên bản họp thành viên hộ gia đình về việc đăng ký thay đổi địa chỉ trụ sở đối với trường hợp các thành viên hộ gia đình đăng ký hộ kinh doanh;
c) Bản sao giấy tờ pháp lý của cá nhân đối với chủ hộ kinh doanh, thành viên hộ gia đình đăng ký hộ kinh doanh trong trường hợp các thành viên hộ gia đình đăng ký hộ kinh doanh.
5. Khi tiếp nhận hồ sơ, Cơ quan đăng ký kinh doanh cấp huyện trao Giấy biên nhận và cấp Giấy chứng nhận đăng ký hộ kinh doanh cho hộ kinh doanh trong thời hạn 03 ngày làm việc kể từ ngày nhận được hồ sơ hợp lệ. Trường hợp hồ sơ không hợp lệ, Cơ quan đăng ký kinh doanh cấp huyện thông báo rõ nội dung cần sửa đổi, bổ sung bằng văn bản cho hộ kinh doanh trong thời hạn 03 ngày làm việc kể từ ngày tiếp nhận hồ sơ.
Trong thời hạn 03 ngày làm việc kể từ ngày cấp Giấy chứng nhận đăng ký hộ kinh doanh trong trường hợp hộ kinh doanh đăng ký thay đổi địa chỉ trụ sở, Cơ quan đăng ký kinh doanh cấp huyện nơi hộ kinh doanh đặt địa chỉ mới phải thông báo đến Cơ quan đăng ký kinh doanh nơi trước đây hộ kinh doanh đã đăng ký.
6. Khi được cấp Giấy chứng nhận đăng ký hộ kinh doanh mới trong trường hợp đăng ký thay đổi nội dung đăng ký hộ kinh doanh, hộ kinh doanh phải nộp lại Giấy chứng nhận đăng ký hộ kinh doanh cũ.
Điều 91. Tạm ngừng kinh doanh, tiếp tục kinh doanh trước thời hạn đã thông báo của hộ kinh doanh
1. Trường hợp tạm ngừng kinh doanh từ 30 ngày trở lên, hộ kinh doanh phải thông báo với Cơ quan đăng ký kinh doanh cấp huyện nơi đã đăng ký kinh doanh và Cơ quan thuế trực tiếp quản lý.
2. Trường hợp hộ kinh doanh tạm ngừng kinh doanh, tiếp tục kinh doanh trước thời hạn đã thông báo, hộ kinh doanh gửi thông báo bằng văn bản cho Cơ quan đăng ký kinh doanh cấp huyện nơi hộ kinh doanh đã đăng ký ít nhất 03 ngày làm việc trước khi tạm ngừng kinh doanh hoặc tiếp tục kinh doanh trước thời hạn đã thông báo. Kèm theo thông báo phải có bản sao biên bản họp thành viên hộ gia đình về việc đăng ký tạm ngừng kinh doanh hoặc tiếp tục kinh doanh trước thời hạn đã thông báo đối với trường hợp các thành viên hộ gia đình đăng ký hộ kinh doanh. Sau khi tiếp nhận thông báo, Cơ quan đăng ký kinh doanh cấp huyện trao Giấy biên nhận hồ sơ cho hộ kinh doanh. Trong thời hạn 03 ngày làm việc kể từ ngày nhận được hồ sơ hợp lệ, Cơ quan đăng ký kinh doanh cấp huyện cấp Giấy xác nhận về việc hộ kinh doanh đăng ký tạm ngừng kinh doanh, Giấy xác nhận về việc hộ kinh doanh đăng ký tiếp tục kinh doanh trước thời hạn đã thông báo cho hộ kinh doanh.
Điều 92. Chấm dứt hoạt động hộ kinh doanh
1. Khi chấm dứt hoạt động kinh doanh, hộ kinh doanh phải gửi thông báo về việc chấm dứt hoạt động hộ kinh doanh đến Cơ quan đăng ký kinh doanh cấp huyện nơi đã đăng ký. Kèm theo thông báo phải có các giấy tờ sau đây:
a) Thông báo về việc chấm dứt hiệu lực mã số thuế của Cơ quan thuế;
b) Bản sao biên bản họp thành viên hộ gia đình về việc chấm dứt hoạt động hộ kinh doanh đối với trường hợp các thành viên hộ gia đình đăng ký hộ kinh doanh;
c) Bản gốc Giấy chứng nhận đăng ký hộ kinh doanh.
2. Hộ kinh doanh có trách nhiệm thanh toán đầy đủ các khoản nợ, gồm cả nợ thuế và nghĩa vụ tài chính chưa thực hiện trước khi nộp hồ sơ chấm dứt hoạt động hộ kinh doanh, trừ trường hợp hộ kinh doanh và chủ nợ có thỏa thuận khác. Cơ quan đăng ký kinh doanh cấp huyện xem xét tính hợp lệ của hồ sơ và ra thông báo về việc chấm dứt hoạt động của hộ kinh doanh cho hộ kinh doanh.
Điều 93. Thu hồi Giấy chứng nhận đăng ký hộ kinh doanh
1. Hộ kinh doanh bị thu hồi Giấy chứng nhận đăng ký hộ kinh doanh trong các trường hợp sau:
a) Nội dung kê khai trong hồ sơ đăng ký hộ kinh doanh là giả mạo;
b) Ngừng hoạt động kinh doanh quá 06 tháng liên tục mà không thông báo với Cơ quan đăng ký kinh doanh cấp huyện nơi đăng ký và Cơ quan thuế;
c) Kinh doanh ngành, nghề bị cấm;
d) Hộ kinh doanh do những người không được quyền thành lập hộ kinh doanh thành lập;
đ) Hộ kinh doanh không gửi báo cáo theo quy định tại khoản 6 Điều 16 Nghị định này đến Cơ quan đăng ký kinh doanh cấp huyện trong thời hạn 03 tháng kể từ ngày hết hạn gửi báo cáo hoặc có yêu cầu bằng văn bản;
e) Trường hợp khác theo quyết định của Tòa án, đề nghị của cơ quan có thẩm quyền theo quy định của luật.
2. Trường hợp nội dung kê khai trong hồ sơ đăng ký thành lập hộ kinh doanh là giả mạo, Cơ quan đăng ký kinh doanh cấp huyện ra thông báo về hành vi vi phạm của hộ kinh doanh và ra quyết định thu hồi Giấy chứng nhận đăng ký hộ kinh doanh.
Trường hợp hồ sơ đăng ký thay đổi nội dung đăng ký hộ kinh doanh là giả mạo thì Cơ quan đăng ký kinh doanh cấp huyện ra thông báo về hành vi vi phạm của hộ kinh doanh và hủy bỏ những thay đổi trong nội dung đăng ký hộ kinh doanh được thực hiện trên cơ sở các thông tin giả mạo và cấp Giấy chứng nhận đăng ký hộ kinh doanh trên cơ sở hồ sơ hợp lệ gần nhất trước đó, đồng thời thông báo cho cơ quan có thẩm quyền để xem xét, xử lý theo quy định của pháp luật. Cơ quan đăng ký kinh doanh cấp huyện yêu cầu hộ kinh doanh làm lại hồ sơ để được xem xét cấp Giấy chứng nhận đăng ký hộ kinh doanh. Hộ kinh doanh có thể gộp các nội dung thay đổi hợp pháp của các lần đăng ký thay đổi sau đó trong một bộ hồ sơ để được cấp một lần đăng ký thay đổi mới.
3. Trường hợp hộ kinh doanh ngừng hoạt động kinh doanh quá 06 tháng liên tục mà không thông báo với Cơ quan đăng ký kinh doanh cấp huyện nơi đăng ký hoặc không gửi báo cáo theo quy định tại điểm đ khoản 1 Điều này thì Cơ quan đăng ký kinh doanh cấp huyện thông báo bằng văn bản về hành vi vi phạm và yêu cầu chủ hộ kinh doanh đến Cơ quan đăng ký kinh doanh cấp huyện để giải trình. Sau thời hạn 10 ngày làm việc kể từ ngày kết thúc thời hạn ghi trong thông báo mà người được yêu cầu không đến hoặc giải trình không được chấp thuận thì Cơ quan đăng ký kinh doanh cấp huyện ra quyết định thu hồi Giấy chứng nhận đăng ký hộ kinh doanh. Cơ quan đăng ký kinh doanh cấp huyện có trách nhiệm phối hợp với các cơ quan quản lý nhà nước có liên quan trong việc xem xét nội dung giải trình của hộ kinh doanh.
4. Trường hợp hộ kinh doanh kinh doanh ngành, nghề bị cấm thì Cơ quan đăng ký kinh doanh cấp huyện ra thông báo về hành vi vi phạm và ra quyết định thu hồi Giấy chứng nhận đăng ký hộ kinh doanh.
5. Trường hợp hộ kinh doanh được thành lập bởi những người không được quyền thành lập hộ kinh doanh thì:
a) Nếu hộ kinh doanh do một cá nhân thành lập và cá nhân đó không được quyền thành lập hộ kinh doanh thì Cơ quan đăng ký kinh doanh cấp huyện ra thông báo về hành vi vi phạm và ban hành quyết định thu hồi Giấy chứng nhận đăng ký hộ kinh doanh;
b) Nếu hộ kinh doanh do thành viên hộ gia đình thành lập và có thành viên không được quyền thành lập hộ kinh doanh thì Cơ quan đăng ký kinh doanh cấp huyện ra thông báo yêu cầu hộ kinh doanh đăng ký thay đổi cá nhân đó trong thời hạn 15 ngày làm việc kể từ ngày thông báo. Nếu quá thời hạn trên mà hộ kinh doanh không đăng ký thay đổi thì Cơ quan đăng ký kinh doanh cấp huyện ra thông báo về hành vi vi phạm và ra quyết định thu hồi Giấy chứng nhận đăng ký hộ kinh doanh.
6. Trường hợp Tòa án quyết định thu hồi Giấy chứng nhận đăng ký hộ kinh doanh, Cơ quan đăng ký kinh doanh cấp huyện ra quyết định thu hồi Giấy chứng nhận đăng ký hộ kinh doanh trên cơ sở quyết định của Tòa án trong thời hạn 03 ngày làm việc kể từ ngày nhận được quyết định của Tòa án.
7. Trường hợp Cơ quan đăng ký kinh doanh cấp huyện nhận được văn bản đề nghị thu hồi Giấy chứng nhận đăng ký hộ kinh doanh của cơ quan nhà nước có thẩm quyền theo quy định của luật, trong thời hạn 10 ngày kể từ ngày nhận được văn bản đề nghị thu hồi Giấy chứng nhận đăng ký hộ kinh doanh, Cơ quan đăng ký kinh doanh cấp huyện thực hiện thu hồi Giấy chứng nhận đăng ký hộ kinh doanh theo trình tự, thủ tục quy định tại khoản 3 Điều này.
8. Sau khi có quyết định thu hồi Giấy chứng nhận đăng ký hộ kinh doanh, hộ kinh doanh phải thực hiện thủ tục chấm dứt hoạt động theo quy định tại Điều 92 Nghị định này, trừ trường hợp hộ kinh doanh bị thu hồi Giấy chứng nhận đăng ký hộ kinh doanh để thực hiện biện pháp cưỡng chế nợ thuế theo đề nghị của Cơ quan quản lý thuế.
9. Trường hợp Cơ quan đăng ký kinh doanh cấp huyện nhận được văn bản của Cơ quan quản lý thuế đề nghị hủy bỏ quyết định thu hồi và khôi phục lại Giấy chứng nhận đăng ký hộ kinh doanh sau khi hộ kinh doanh bị thu hồi Giấy chứng nhận đăng ký hộ kinh doanh do cưỡng chế nợ thuế, Cơ quan đăng ký kinh doanh cấp huyện ra quyết định hủy bỏ quyết định thu hồi và khôi phục lại Giấy chứng nhận đăng ký hộ kinh doanh cho hộ kinh doanh trong thời hạn 03 ngày làm việc kể từ ngày nhận được văn bản đề nghị.
Điều 94. Cấp lại Giấy chứng nhận đăng ký hộ kinh doanh
1. Trường hợp Giấy chứng nhận đăng ký hộ kinh doanh bị mất, cháy, rách, nát hoặc bị tiêu hủy dưới hình thức khác, hộ kinh doanh có thể gửi văn bản đề nghị cấp lại Giấy chứng nhận đăng ký hộ kinh doanh đến Cơ quan đăng ký kinh doanh cấp huyện nơi đặt trụ sở hộ kinh doanh. Cơ quan đăng ký kinh doanh cấp huyện xem xét cấp lại Giấy chứng nhận đăng ký hộ kinh doanh trong thời hạn 03 ngày làm việc kể từ ngày nhận được văn bản đề nghị.
2. Việc xử lý đối với trường hợp Giấy chứng nhận đăng ký hộ kinh doanh được cấp không đúng hồ sơ, trình tự, thủ tục theo quy định được thực hiện theo quy định sau đây:
a) Trường hợp Giấy chứng nhận đăng ký hộ kinh doanh được cấp không đúng trình tự, thủ tục theo quy định, Cơ quan đăng ký kinh doanh cấp huyện gửi thông báo tới hộ kinh doanh, đồng thời thực hiện lại việc cấp theo đúng quy định về trình tự, thủ tục;
b) Trường hợp cấp đăng ký thành lập hộ kinh doanh không đúng hồ sơ theo quy định, Cơ quan đăng ký kinh doanh cấp huyện thông báo Giấy chứng nhận đăng ký hộ kinh doanh được cấp không đúng hồ sơ theo quy định là không có hiệu lực, yêu cầu hộ kinh doanh hoàn chỉnh và nộp hồ sơ hợp lệ theo quy định trong thời hạn 30 ngày kể từ ngày gửi thông báo để được xem xét cấp Giấy chứng nhận đăng ký hộ kinh doanh. Hộ kinh doanh có thể gộp các nội dung thay đổi hợp pháp của các lần đăng ký thay đổi sau đó trong một bộ hồ sơ để được cấp một lần đăng ký thay đổi mới;
c) Trường hợp cấp đăng ký thay đổi nội dung đăng ký hộ kinh doanh không đúng hồ sơ theo quy định, Cơ quan đăng ký kinh doanh cấp huyện thông báo Giấy chứng nhận đăng ký hộ kinh doanh được cấp trên cơ sở hồ sơ không đúng theo quy định là không có hiệu lực, đồng thời cấp Giấy chứng nhận đăng ký hộ kinh doanh trên cơ sở hồ sơ hợp lệ gần nhất trước đó. Cơ quan đăng ký kinh doanh cấp huyện gửi thông báo yêu cầu hộ kinh doanh hoàn chỉnh và nộp hồ sơ hợp lệ theo quy định trong thời hạn 30 ngày kể từ ngày gửi thông báo để được xem xét cấp Giấy chứng nhận đăng ký hộ kinh doanh. Hộ kinh doanh có thể gộp các nội dung thay đổi hợp pháp của các lần đăng ký thay đổi sau đó trong một bộ hồ sơ để được cấp một lần đăng ký thay đổi mới.
3. Việc xử lý đối với trường hợp Giấy chứng nhận đăng ký hộ kinh doanh được cấp trên cơ sở thông tin kê khai trong hồ sơ đăng ký hộ kinh doanh là không trung thực, không chính xác được thực hiện theo quy định sau đây:
a) Trường hợp thông tin kê khai trong hồ sơ đăng ký thành lập hộ kinh doanh là không trung thực, không chính xác, Cơ quan đăng ký kinh doanh cấp huyện thông báo cho cơ quan nhà nước có thẩm quyền để xử lý theo quy định của pháp luật, đồng thời thông báo Giấy chứng nhận đăng ký hộ kinh doanh được cấp trên cơ sở hồ sơ đăng ký có thông tin kê khai không trung thực, không chính xác là không có hiệu lực, yêu cầu hộ kinh doanh hoàn chỉnh và nộp lại hồ sơ theo quy định trong thời hạn 30 ngày kể từ ngày gửi thông báo để được xem xét cấp Giấy chứng nhận đăng ký hộ kinh doanh. Hộ kinh doanh có thể gộp các nội dung thay đổi hợp pháp của các lần đăng ký sau đó trong một bộ hồ sơ để được cấp một lần đăng ký thay đổi mới.
Trường hợp hộ kinh doanh không hoàn chỉnh và nộp lại hồ sơ theo quy định, Cơ quan đăng ký kinh doanh cấp huyện yêu cầu hộ kinh doanh báo cáo theo quy định tại khoản 6 Điều 16 Nghị định này;
b) Trường hợp thông tin kê khai trong hồ sơ đăng ký thay đổi nội dung đăng ký hộ kinh doanh là không trung thực, không chính xác, Cơ quan đăng ký kinh doanh cấp huyện thông báo cho cơ quan nhà nước có thẩm quyền để xử lý theo quy định của pháp luật, đồng thời thông báo Giấy chứng nhận đăng ký hộ kinh doanh được cấp trên cơ sở hồ sơ đăng ký có thông tin kê khai không trung thực, không chính xác là không có hiệu lực và thực hiện cấp Giấy chứng nhận đăng ký hộ kinh doanh trên cơ sở hồ sơ hợp lệ gần nhất trước đó. Cơ quan đăng ký kinh doanh cấp huyện thông báo yêu cầu hộ kinh doanh hoàn chỉnh và nộp lại hồ sơ theo quy định trong thời hạn 30 ngày kể từ ngày gửi thông báo để được xem xét cấp Giấy chứng nhận đăng ký hộ kinh doanh. Hộ kinh doanh có thể gộp các nội dung thay đổi hợp pháp của các lần đăng ký, thông báo thay đổi sau đó trong một bộ hồ sơ để được cấp một lần đăng ký thay đổi mới.
4. Trường hợp hộ kinh doanh được cấp Giấy chứng nhận đăng ký hộ kinh doanh mới thì Giấy chứng nhận đăng ký hộ kinh doanh của các lần trước đó không còn hiệu lực.
Chương IX
ĐIỀU KHOẢN THI HÀNH
Điều 95. Xử lý vi phạm, khen thưởng
1. Cán bộ, công chức yêu cầu người thành lập doanh nghiệp, hộ kinh doanh nộp thêm các giấy tờ, đặt thêm các thủ tục, điều kiện đăng ký doanh nghiệp, hộ kinh doanh trái với Nghị định này; có hành vi gây khó khăn, phiền hà đối với tổ chức, cá nhân trong khi giải quyết việc đăng ký doanh nghiệp, hộ kinh doanh, trong kiểm tra các nội dung đăng ký doanh nghiệp, hộ kinh doanh thì bị xử lý theo quy định của pháp luật.
2. Cơ quan đăng ký kinh doanh, cán bộ làm công tác đăng ký doanh nghiệp, đăng ký hộ kinh doanh hoàn thành tốt nhiệm vụ được giao được khen thưởng theo quy định.
Điều 96. Quy định chuyển tiếp đối với các doanh nghiệp hoạt động theo Giấy chứng nhận đăng ký kinh doanh hoặc Giấy chứng nhận đăng ký kinh doanh và đăng ký thuế
Doanh nghiệp đã được cấp Giấy chứng nhận đăng ký kinh doanh hoặc Giấy chứng nhận đăng ký kinh doanh và đăng ký thuế được tiếp tục hoạt động theo nội dung các giấy chứng nhận nêu trên và không bắt buộc phải thực hiện thủ tục đổi sang Giấy chứng nhận đăng ký doanh nghiệp. Doanh nghiệp được cấp Giấy chứng nhận đăng ký doanh nghiệp khi có nhu cầu hoặc khi đăng ký thay đổi nội dung đăng ký doanh nghiệp theo quy định sau đây:
1. Trường hợp doanh nghiệp có nhu cầu đổi Giấy chứng nhận đăng ký kinh doanh hoặc Giấy chứng nhận đăng ký kinh doanh và đăng ký thuế sang Giấy chứng nhận đăng ký doanh nghiệp nhưng không thay đổi nội dung đăng ký kinh doanh và đăng ký thuế, doanh nghiệp nộp giấy đề nghị kèm theo bản chính Giấy chứng nhận đăng ký kinh doanh và bản chính Giấy chứng nhận đăng ký thuế hoặc bản chính Giấy chứng nhận đăng ký kinh doanh và đăng ký thuế tại Phòng Đăng ký kinh doanh để được cấp Giấy chứng nhận đăng ký doanh nghiệp.
2. Trường hợp doanh nghiệp đăng ký, thông báo thay đổi nội dung đăng ký kinh doanh, tạm ngừng kinh doanh, tiếp tục kinh doanh trước thời hạn đã thông báo, doanh nghiệp nộp hồ sơ đến Phòng Đăng ký kinh doanh nơi doanh nghiệp đặt trụ sở chính. Hồ sơ bao gồm các giấy tờ tương ứng quy định tại Nghị định này kèm theo bản chính Giấy chứng nhận đăng ký kinh doanh và bản chính Giấy chứng nhận đăng ký thuế hoặc bản chính Giấy chứng nhận đăng ký kinh doanh và đăng ký thuế. Phòng Đăng ký kinh doanh xem xét cấp đăng ký doanh nghiệp cho doanh nghiệp trong thời hạn 03 ngày làm việc kể từ ngày nhận được hồ sơ hợp lệ.
Điều 97. Quy định chuyển tiếp đối với các doanh nghiệp hoạt động theo Giấy phép đầu tư, Giấy chứng nhận đầu tư (đồng thời là Giấy chứng nhận đăng ký kinh doanh) hoặc các giấy tờ có giá trị pháp lý tương đương
1. Doanh nghiệp đã được cấp Giấy phép đầu tư hoặc Giấy chứng nhận đầu tư (đồng thời là Giấy chứng nhận đăng ký kinh doanh) hoặc các giấy tờ có giá trị pháp lý tương đương được tiếp tục hoạt động theo nội dung các giấy chứng nhận nêu trên và không bắt buộc phải thực hiện thủ tục cấp đổi sang Giấy chứng nhận đăng ký doanh nghiệp.
2. Doanh nghiệp hoạt động theo Giấy phép đầu tư, Giấy chứng nhận đầu tư (đồng thời là Giấy chứng nhận đăng ký kinh doanh) hoặc các giấy tờ có giá trị pháp lý tương đương chuyển sang hoạt động theo Giấy chứng nhận đăng ký doanh nghiệp trong trường hợp sau đây:
a) Trường hợp doanh nghiệp có nhu cầu cấp đổi sang Giấy chứng nhận đăng ký doanh nghiệp mà không thay đổi nội dung đăng ký kinh doanh. Trong trường hợp này, doanh nghiệp nộp hồ sơ đến Phòng Đăng ký kinh doanh nơi doanh nghiệp đặt trụ sở chính. Hồ sơ bao gồm văn bản đề nghị bổ sung, cập nhật thông tin đăng ký doanh nghiệp; bản sao Giấy phép đầu tư, Giấy chứng nhận đầu tư (đồng thời là Giấy chứng nhận đăng ký kinh doanh) hoặc các giấy tờ có giá trị pháp lý tương đương; bản sao Giấy chứng nhận đăng ký thuế của doanh nghiệp;
b) Trường hợp doanh nghiệp đăng ký, thông báo thay đổi nội dung đăng ký kinh doanh, tạm ngừng kinh doanh, tiếp tục kinh doanh trước thời hạn đã thông báo, đăng ký thành lập chi nhánh, văn phòng đại diện, địa điểm kinh doanh cùng tỉnh, thành phố trực thuộc trung ương nơi doanh nghiệp đặt trụ sở chính. Trong trường hợp này, doanh nghiệp nộp hồ sơ đến Phòng Đăng ký kinh doanh nơi doanh nghiệp đặt trụ sở chính. Hồ sơ bao gồm các giấy tờ tương ứng với nội dung đăng ký, thông báo quy định tại Nghị định này và các giấy tờ quy định tại điểm a khoản 2 Điều này;
c) Trường hợp doanh nghiệp có nhu cầu cấp Giấy chứng nhận đăng ký hoạt động chi nhánh, văn phòng đại diện, Giấy chứng nhận đăng ký địa điểm kinh doanh thay thế nội dung đăng ký hoạt động trên Giấy phép đầu tư, Giấy chứng nhận đầu tư (đồng thời là Giấy chứng nhận đăng ký kinh doanh) hoặc các giấy tờ có giá trị pháp lý tương đương, Giấy chứng nhận đăng ký hoạt động chi nhánh, văn phòng đại diện do Cơ quan đăng ký đầu tư cấp mà không thay đổi nội dung đăng ký hoạt động đối với chi nhánh, văn phòng đại diện, địa điểm kinh doanh cùng tỉnh, thành phố trực thuộc trung ương nơi doanh nghiệp đặt trụ sở chính. Trong trường hợp này, doanh nghiệp nộp hồ sơ đến Phòng Đăng ký kinh doanh nơi doanh nghiệp đặt trụ sở chính. Hồ sơ bao gồm các giấy tờ quy định tại điểm a khoản 2 Điều này và văn bản đề nghị bổ sung cập nhật thông tin đăng ký hoạt động chi nhánh, văn phòng đại diện, địa điểm kinh doanh, bản sao Giấy chứng nhận đăng ký hoạt động chi nhánh, văn phòng đại diện do Cơ quan đăng ký đầu tư cấp đối với trường hợp chi nhánh, văn phòng đại diện hoạt động theo giấy này, bản sao Giấy chứng nhận đăng ký thuế của chi nhánh, văn phòng đại diện;
d) Trường hợp doanh nghiệp đăng ký thay đổi nội dung đăng ký hoạt động, tạm ngừng kinh doanh, tiếp tục kinh doanh trước thời hạn đã thông báo, chấm dứt hoạt động đối với chi nhánh, văn phòng đại diện, địa điểm kinh doanh trên Giấy phép đầu tư, Giấy chứng nhận đầu tư (đồng thời là Giấy chứng nhận đăng ký kinh doanh) hoặc các giấy tờ có giá trị pháp lý tương đương, Giấy chứng nhận đăng ký hoạt động chi nhánh, văn phòng đại diện do Cơ quan đăng ký đầu tư cấp đối với chi nhánh, văn phòng đại diện, địa điểm kinh doanh cùng tỉnh, thành phố trực thuộc trung ương nơi doanh nghiệp đặt trụ sở chính. Trong trường hợp này, doanh nghiệp nộp hồ sơ đến Phòng Đăng ký kinh doanh nơi doanh nghiệp đặt trụ sở chính. Hồ sơ bao gồm các giấy tờ quy định tương ứng tại Nghị định này và các giấy tờ quy định tại điểm c khoản 2 Điều này.
3. Trường hợp chi nhánh, văn phòng đại diện, địa điểm kinh doanh khác tỉnh, thành phố trực thuộc trung ương nơi doanh nghiệp đặt trụ sở chính, doanh nghiệp phải thực hiện thủ tục cấp đổi giấy chứng nhận đăng ký doanh nghiệp tại Phòng Đăng ký kinh doanh nơi doanh nghiệp đặt trụ sở chính theo quy định tại điểm a khoản 2 Điều này trước khi thực hiện thủ tục đăng ký thành lập, đăng ký thay đổi nội dung đăng ký hoạt động, tạm ngừng kinh doanh, tiếp tục kinh doanh trước thời hạn đã thông báo, chấm dứt hoạt động đối với chi nhánh, văn phòng đại diện, địa điểm kinh doanh tại Phòng Đăng ký kinh doanh nơi đặt chi nhánh, văn phòng đại diện, địa điểm kinh doanh. Trong trường hợp này hồ sơ đăng ký thành lập, đăng ký thay đổi nội dung đăng ký hoạt động, tạm ngừng kinh doanh, tiếp tục kinh doanh trước thời hạn đã thông báo, chấm dứt hoạt động đối với chi nhánh, văn phòng đại diện, địa điểm kinh doanh thực hiện theo quy định tại các điểm b, c và d khoản 2 Điều này, trong đó không bao gồm các giấy tờ quy định tại điểm a khoản 2 Điều này.
4. Trường hợp doanh nghiệp hoạt động theo Giấy phép đầu tư, Giấy chứng nhận đầu tư (đồng thời là Giấy chứng nhận đăng ký kinh doanh) hoặc các giấy tờ có giá trị pháp lý tương đương đăng ký giải thể, doanh nghiệp không bắt buộc phải thực hiện thủ tục cấp đổi sang Giấy chứng nhận đăng ký doanh nghiệp. Hồ sơ đăng ký giải thể trong trường hợp này bao gồm các giấy tờ tương ứng theo quy định tại khoản 1 Điều 210 Luật Doanh nghiệp và các giấy tờ quy định tại điểm a khoản 2 Điều này.
5. Trường hợp Giấy phép đầu tư, Giấy chứng nhận đầu tư (đồng thời là Giấy chứng nhận đăng ký kinh doanh) hoặc các giấy tờ có giá trị pháp lý tương đương có thông tin về địa điểm kinh doanh thì khi thực hiện cấp đổi sang hoạt động theo Giấy chứng nhận đăng ký doanh nghiệp, Giấy chứng nhận đăng ký hoạt động chi nhánh, văn phòng đại diện, doanh nghiệp sẽ được cấp Giấy chứng nhận đăng ký địa điểm kinh doanh nếu có nhu cầu.
6. Khi nhận được hồ sơ của doanh nghiệp, Phòng Đăng ký kinh doanh trao Giấy biên nhận, xem xét tính hợp lệ của hồ sơ và cấp Giấy chứng nhận đăng ký doanh nghiệp, Giấy chứng nhận đăng ký hoạt động chi nhánh, văn phòng đại diện, Giấy chứng nhận đăng ký địa điểm kinh doanh, Giấy xác nhận về việc thay đổi nội dung đăng ký doanh nghiệp và các giấy xác nhận khác theo quy định tương ứng tại Nghị định này.
Điều 98. Quy định chuyển tiếp đối với công ty chứng khoán, công ty quản lý quỹ đầu tư chứng khoán, chi nhánh công ty chứng khoán nước ngoài và chi nhánh công ty quản lý quỹ nước ngoài tại Việt Nam được đăng ký thành lập và hoạt động theo Giấy phép thành lập và hoạt động kinh doanh chứng khoán
Trong thời hạn 02 năm kể từ ngày 01 tháng 01 năm 2021, công ty chứng khoán, công ty quản lý quỹ đầu tư chứng khoán, chi nhánh công ty chứng khoán nước ngoài và chi nhánh công ty quản lý quỹ nước ngoài tại Việt Nam đã được Ủy ban Chứng khoán Nhà nước cấp giấy phép thành lập và hoạt động trước ngày 01 tháng 01 năm 2021 mà đáp ứng quy định tại khoản 1 Điều 135 Luật Chứng khoán thì thực hiện đăng ký doanh nghiệp, đăng ký hoạt động chi nhánh tại Phòng Đăng ký kinh doanh nơi đặt trụ sở của công ty, chi nhánh. Hồ sơ bao gồm văn bản đề nghị bổ sung, cập nhật thông tin đăng ký doanh nghiệp hoặc văn bản đề nghị bổ sung, cập nhật thông tin đăng ký hoạt động chi nhánh; bản sao giấy phép thành lập và hoạt động và bản sao Giấy chứng nhận đăng ký thuế.
Điều 99. Quy định chuyển tiếp đối với hộ kinh doanh do hộ gia đình, nhóm cá nhân thành lập
1. Hộ kinh doanh do hộ gia đình, nhóm cá nhân thành lập đã được cấp Giấy chứng nhận đăng ký hộ kinh doanh trước ngày Nghị định này có hiệu lực thi hành được tiếp tục hoạt động mà không bắt buộc phải đăng ký lại theo quy định tại Nghị định này.
2. Trường hợp hộ kinh doanh do nhóm cá nhân thành lập trước ngày Nghị định này có hiệu lực thi hành đăng ký thay đổi nội dung đăng ký hộ kinh doanh, thông báo tạm ngừng kinh doanh, thông báo tiếp tục kinh doanh trước thời hạn đã thông báo, thông báo chấm dứt hoạt động hộ kinh doanh thì biên bản họp nhóm cá nhân tham gia hộ kinh doanh được sử dụng thay thế cho biên bản họp thành viên hộ gia đình trong hồ sơ. Hộ kinh doanh nêu trên chỉ thực hiện thủ tục đăng ký thay đổi thành viên nếu có thành viên không tiếp tục tham gia hộ kinh doanh.
Điều 100. Hiệu lực thi hành
1. Nghị định này có hiệu lực từ ngày 04 tháng 01 năm 2021.
2. Nghị định này thay thế Nghị định số 78/2015/NĐ-CP ngày 14 tháng 9 năm 2015 của Chính phủ về đăng ký doanh nghiệp và Nghị định số 108/2018/NĐ-CP ngày 23 tháng 8 năm 2018 của Chính phủ sửa đổi, bổ sung một số điều của Nghị định số 78/2015/NĐ-CP ngày 14 tháng 9 năm 2015 của Chính phủ về đăng ký doanh nghiệp.
Điều 101. Trách nhiệm thi hành
1. Bộ Kế hoạch và Đầu tư ban hành biểu mẫu áp dụng trong đăng ký doanh nghiệp theo quy định tại Nghị định này.
2. Các Bộ trưởng, Thủ trưởng cơ quan ngang bộ, Thủ trưởng cơ quan thuộc Chính phủ, Chủ tịch Ủy ban nhân dân các tỉnh, thành phố trực thuộc trung ương và các đối tượng áp dụng của Nghị định chịu trách nhiệm thi hành Nghị định này.
