CIRCULAR
Amending and supplementing certain Articles of Circular No. 01/2021/TT-BKHĐT dated March 16, 2021, issued by the Minister of Planning and Investment guiding business registration

Pursuant toLaw on Personal Income Tax dated June 13, 2019;
Pursuant toDecree No. 89/2022/NĐ-CPdated October 2, 2019 of the Prime Minister on the establishment of the National Innovation and Creativity Center;
Pursuant toDecree No. 01/2021/NĐ-CP dated January 4, 2021 of the Government on business registration;
At the proposal of the Director of the Department of Business Registration;
The Minister of Planning and Investment issues this Circular amending and supplementing certain Articles of Circular No. 01/2021/TT-BKHĐT dated March 16, 2021 guiding business registration.
Article 1. Amending and supplementing certain Articles of Circular No. 01/2021/TT-BKHĐT dated March 16, 2021 guiding business registration
1. Supplementing Clause 1a following Article 1 as follows:
"Article 1a. Explanation of Terms
1. Business registration for households as provided in this Circular means the act of households registering their business content and tax registration with the district-level business registration authority at the location where the household's headquarters is situated. Household business registration includes the establishment registration of a household business, changes to the registered content of a household business, and other registration obligations and notifications as prescribed.
2. Certificate of household business registration as provided in this Circular is a paper or electronic document issued by the district-level business registration authority recording the information on business registration and tax registration submitted by the household. The Certificate of household business registration also serves as the Tax Registration Certificate of the household.
3. The household business registration information system is a component of the National Enterprise Registration Information System built and operated by the Ministry of Planning and Investment for sending, receiving, storing, displaying, or performing other operations with household business data to facilitate household business registration."
2. Supplementing Articles 5a, 5b, 5c, 5d, 5đ, 5e, 5g, 5h, 5i, 5k following Article 5 as follows:
"Article 5a. Receiving and processing household business registration files through the household business registration information system
1. The district-level business registration authority receives and enters the information of household business registration files into the household business registration information system within the National Enterprise Registration Information System. A household business registration file is received into the system when it meets the following conditions:
a) It contains all required documents as stipulated in Decree No. 01/2021/NĐ-CP;
b) The household's information has been fully declared on the documents in the household business registration file;
c) There is contact information for the person submitting the household business registration file;
d) All fees for household business registration have been paid.
2. The district-level business registration authority accurately enters all information from the household business registration file, digitizes, names the corresponding electronic document according to the type of paper document in the household business registration file, and uploads it to the household business registration information system.
3. Household business registration information in the household business registration information system is transmitted to the Tax Registration Application System for coordination and exchange of information between the district-level business registration authority and the tax authority.
Article 5b. Business Household Registration Number
1. The business household registration number is a series of numbers automatically generated by the Tax Registration Application System and transmitted to the Business Household Registration Information System to be assigned to a business household upon registration. This number is recorded on the Certificate of Business Household Registration and simultaneously serves as the tax identification number for the business household.
2. The creation of the business household registration number shall be carried out according to the following procedure:
a) When the business household registration application meets the conditions for issuance of the Certificate of Business Household Registration, the Business Household Registration Information System transmits the information on the establishment of the business household to the Tax Registration Application System;
b) The Tax Registration Application System receives the information on the establishment of the business household from the Business Household Registration Information System and automatically checks the compliance of the information in accordance with the laws on tax registration.
In case the information complies with the provisions of the laws on tax registration, the Tax Registration Application System automatically generates the business household registration number and assigns the tax authority responsible for managing the business household; at the same time, it transmits this information back to the Business Household Registration Information System.
In case the information does not comply with the provisions of the laws on tax registration, the Tax Registration Application System automatically responds that the information is non-compliant and transmits this information to the Business Household Registration Information System;
c) Based on the information provided by the Tax Registration Application System, the district-level business registration agency issues the Certificate of Business Household Registration and notifies the business household of the directly managing tax authority; in case the application does not meet the conditions for issuance, the district-level business registration agency must issue a notice requiring the submission of additional or amended documents.
Article 5c. Recording of Business Activities
1. The recording of business activities of a business household shall be conducted in accordance with Clause 1 of Article 89 of Decree No. 01/2021/ND-CP.
2. When registering the establishment of a business household, when supplementing or changing business activities, the person establishing the business household or the business household selects a fourth-level economic sector in the Vietnamese Economic Sector Classification System to record the primary business activity of the business household in the business household registration application form. The recording of the primary business activity of the business household shall be carried out in accordance with Clauses 2, 3, 4, 5, 6, and 7 of Article 7 of Decree No. 01/2021/ND-CP. The district-level business registration agency guides, cross-checks, and records the primary business activity of the business household in the Business Household Registration Information System.
Article 5d. Notification of Business Location of a Business Household
1. In cases where a business household conducts business activities at locations other than its main office, the business household shall notify such business locations to the district-level business registration agency where the main office is located. The district-level business registration agency accepts the notification of the business location of the business household and issues a notice regarding the tax identification number and the directly managing tax authority of the business location to the business household.
2. The business household shall fulfill other notification obligations related to the business location in accordance with the tax laws at the tax authority.
Article 5d. Issuing Business Registration under Contingency Procedures
1. Issuing Business Registration under Contingency Procedures means issuing Business Registration without using the Business Registration Information System. The Contingency Procedures for issuing Business Registration shall be applied in the following cases:
a) The Business Registration Information System is currently being constructed or upgraded;
b) The Business Registration Information System encounters technical issues;
c) Other force majeure situations.
Based on the estimated time to resolve technical issues or construct and upgrade the Business Registration Information System, except in cases of force majeure, the Ministry of Planning and Investment shall notify the district-level registration authority in advance about the expected timeframe for implementing the Contingency Procedures for issuing Business Registration.
2. The coordination in handling procedures for issuing Business Registration under Contingency Procedures between the district-level registration authority and the tax authority shall be carried out through the paper-based file circulation process.
3. Within fifteen days from the date of receiving the notification from the Ministry of Planning and Investment regarding the completion of construction, upgrading, or resolving technical issues of the Business Registration Information System, the district-level registration authority must update the data and information already issued to the business households into the Business Registration Information System.
Article 5e. Business Registration via Electronic Information Network
1. Business Registration via Electronic Information Network means that the person establishing a business household or the business household itself implements the Business Registration procedures as stipulated in Decree No. 01/2021/ND-CP on the Business Registration Information System within the National Enterprise Registration Information System through the National Enterprise Registration Portal.
2. The person submitting the Business Registration application formulates information, downloads electronic documents, and uses digital signatures to authenticate the Business Registration application form according to the procedures on the Business Registration Information System.
3. The district-level registration authority returns the receipt of the submitted application and the result of the Business Registration procedure to the applicant via the Electronic Information Network according to the procedures on the Business Registration Information System.
Article 5g. Business Registration Application Documents via Electronic Information Network
1. Business Registration Application Documents via Electronic Information Network include documents as prescribed in Decree No. 01/2021/ND-CP and are presented in electronic format. Business Registration Application Documents via Electronic Information Network have the same legal effect as paper-based Business Registration Application Documents.
2. An electronic document is a data message created or digitized from a paper document and accurately and completely reflects the content of the paper document. An electronic document may be formatted as ".doc", ".docx", or ".pdf".
3. Business Registration Application Documents via Electronic Information Network are accepted when they meet the following requirements:
a) They contain all required documents with complete declarations as stipulated for paper-based Business Registration Application Documents and are presented in electronic format. The name of the electronic document must correspond to the type of document in the paper-based Business Registration Application Documents. The head of the business household, members of the family business, or other individuals signing the Business Registration Application Document can use digital signatures to sign directly on the electronic document or sign directly on the paper document and scan it according to the formats specified in Clause 2 of this Article;
b) The information declared for Business Registration on the Business Registration Information System must be fully and accurately entered according to the information in the paper-based Business Registration Application Documents, including contact phone number and email address of the applicant;
c) Business Registration Application Documents via Electronic Information Network must be authenticated by the digital signature of the head of the business household or the person authorized by the head of the business household to handle the Business Registration procedures. In cases where authorization is granted to handle the Business Registration procedures, Business Registration Application Documents via Electronic Information Network must be accompanied by the documents and materials specified in Clause 4 of Article 84 of Decree No. 01/2021/ND-CP.
4. The period for the business household to amend or supplement Business Registration Application Documents via Electronic Information Network is sixty days from the date the district-level registration authority issues a notice requesting amendments or supplements to the application documents. If the business household does not submit amended or supplemented documents within the aforementioned period, the district-level registration authority will cancel the Business Registration Application Documents via Electronic Information Network on the Business Registration Information System.
Article 5h. Conversion of data, updating, and supplementing registration information for individual business households into the individual business registration information system
The business registration agency at the district level is responsible for converting data, updating, and supplementing registration information for individual business households that are missing and stored locally into the individual business registration information system. Information converted, supplemented, and updated into the individual business registration information system must match the original information in the individual business registration file.
Article 5i. Provision of individual business registration information on the individual business registration information system
Organizations and individuals can search for individual business registration information free of charge at the website www.dangkykinhdoanh.gov.vn, including: name of the individual business household, individual business registration number, business household code, office address, industry, trade, and name of the head of the individual business household.
Article 5k. Payment methods for the fee to register individual business households
1. The person submitting the application for registering an individual business household shall pay the registration fee for the individual business household at the time of submitting the registration application. The registration fee for the individual business household may be paid directly at the registration application receiving department at the district level, transferred to the account of the business registration agency at the district level, or used through online payment services on the National Public Service Portal. The registration fee for the individual business household will not be refunded if the individual business household does not obtain the registration certificate.
2. The resolution of transaction errors occurring during the use of online payment services on the National Public Service Portal shall be carried out in accordance with the laws on administrative procedures in the electronic environment and the Rules on Management, Operation, and Exploitation of the National Public Service Portal.
Article 2.
The forms prescribed in Appendices III-1 to III-7 and from VI-1 to VI-16 issued together with this Circular replace the forms prescribed in Appendices III-1 to III-6 and from VI-1 to VI-14 issued together with Circular No. 01/2021/TT-BKHĐT dated March 16, 2021, guiding enterprise registration by the Minister of Planning and Investment.
Article 3. Implementation Provisions
1. This Circular takes effect from July 1, 2023.
2. Individual business households that have been granted a Business Registration Certificate before this Circular takes effect may continue their operations without being required to re-register according to this Circular.
3. During implementation, if there are any difficulties, organizations and individuals related to this matter are requested to promptly reflect them to the Ministry of Planning and Investment for research, amendment, and supplementation.

After the ten-day period from the end of the aforementioned deadline, if the person requested does not attend or if the explanation is not accepted, the Finance and Planning Office will issue a Decision to revoke the Business Registration Certificate.
2. In the case of a violation by the business household under Clause 2, Article 93 of Decree number01/2021/ND-CP in the case where the registration dossier for establishing a business household is forged and Clause 4, Point a, Clause 5, Article 93 of Decree number01/2021/ND-CP shall be recorded as follows:
The Finance and Planning Office hereby notifies the business household to be aware and will issue a Decision to revoke the Business Registration Certificate.
3. In the case of a violation by the business household under Clause 2, Article 93 of Decree number01/2021/ND-CP in the case where the registration dossier for changing the registered content of the business household is forged, it shall be recorded as follows:
The Finance and Planning Office hereby notifies the business household to be aware and will cancel the changes in the registered content of the business household made based on false information and issue a Business Registration Certificate based on the most recent valid registration dossier.
The Finance and Planning Office requests the business household to resubmit the dossier to be considered for issuance of a Business Registration Certificate. The business household may combine the lawful changes of subsequent registration changes into one dossier to obtain a new registration change.
4. In the case of a violation by the business household under Point b, Clause 5, Article 93 of Decree number01/2021/ND-CP shall be recorded as follows:
The Finance and Planning Office hereby notifies the business household to be aware and requests the business household to register the change of individual who is not authorized to establish a business household within fifteen working days from the date of signing this Notification. After the aforementioned period, if the business household does not register the change of individual, the Finance and Planning Office will issue a notification of the violation and issue a Decision to revoke the Business Registration Certificate.
