DIRECTIVE
Regarding the implementation of the plan for restructuring and modernizing state-owned enterprises under the Ministry for the years 2004-2005 in accordance with the spirit of Directive 11/2004/CT-TTg dated March 30, 2004 of the Prime Minister
In 2003, the work of restructuring and modernizing state-owned enterprises under the Ministry was carried out by agencies, State-owned Enterprise Groups, and enterprises under the Ministry: developing comprehensive plans for restructuring state-owned enterprises under the Ministry and restructuring the Vietnam Fisheries Corporation (the plan has been approved by the Prime Minister); implementing shareholding for three state-owned enterprises and continuing to implement subsequent steps to transfer ownership of remaining state-owned enterprises. However, the progress in transferring ownership in 2003 was slower than planned and compared to the national situation. Besides objective reasons, there were notable subjective reasons such as: some functional units of the Ministry, State-owned Enterprise Groups, and many enterprises did not fully understand the Party's resolutions and the State's regulations on transferring ownership of state-owned enterprises, thus failing to overcome difficulties to resolutely transfer ownership of enterprises. Enterprise management, especially financial management, had many shortcomings; some enterprises did not properly manage and handle overdue debts; some accounting records were unclear; there was a shortage of specialized staff to carry out the work of transferring ownership of enterprises.
Implementing Directive 11/2004/CT-TTg dated March 30, 2004 of the Prime Minister on accelerating the restructuring and modernization of state-owned enterprises in accordance with the spirit of Central Resolution 3 and Central Resolution 9 (Session IX); continuing to vigorously implement the Prime Minister's decisions on restructuring and modernizing state-owned enterprises under the Ministry of Fisheries during the period 2003-2005 (implementing Decision 354/QĐ-TTg dated April 1, 2003; Decision 243/QĐ-TTg dated November 17, 2003), the Minister of Fisheries requests the Steering Committee for Reform and Development of Enterprises of the Ministry of Fisheries, State-owned Enterprise Groups, the Working Group for Developing Comprehensive Plans for State-Owned Enterprise Groups under the Ministry of Fisheries (according to Decision No. 522/QĐ-BTS dated May 23, 2003 of the Minister of Fisheries) and enterprises under the Ministry to undertake the following tasks:
1. Organize thorough and deep dissemination of the spirit of the Party and State's policies on restructuring and modernizing state-owned enterprises. Particularly, the Third Plenum Resolution and the Ninth Plenum Resolution (Session IX), Directive No. 11/2004/CT-TTg dated March 30, 2004 of the Prime Minister to all leaders, party members, workers, and employees of State-owned Enterprise Groups and state-owned enterprises under the Ministry. Recognize the restructuring and modernization of state-owned enterprises as the key task of the Ministry of Fisheries, organizations under the Ministry, State-owned Enterprise Groups, and each state-owned enterprise in 2004-2005, creating real changes in understanding and mindset regarding the transformation of state-owned enterprises, and resolutely implement the restructuring plan for state-owned enterprises under the Ministry to fundamentally improve business operations, enhance efficiency, and competitiveness of state-owned enterprises under the Ministry of Fisheries.
2. Strengthen the Steering Committee for Reform and Development of Enterprises of the Ministry, State-owned Enterprise Groups, and each enterprise by supplementing specialized staff capable of handling and resolving issues.
3. State-owned Enterprise Groups and enterprises must manage production and business operations and financial management in accordance with the law, focusing on handling overdue debts and accounting. Organize restructuring production and develop plans to address surplus labor to protect the rights of workers according to state regulations.
4. State-owned Enterprise Groups and enterprises strictly implement the Prime Minister's and the Ministry of Fisheries' decisions on transferring ownership, establish schedules for implementing each step and assign specific staff to carry out tasks within the prescribed time frame. Relevant ministries process and submit decisions to the Ministry within the stipulated time.
5. During the implementation of the restructuring and modernization plan, review and accelerate progress. Encourage enterprises included in the ownership transfer plan for 2005 to implement the transfer in 2004. State-owned Enterprise Groups and enterprises report to the Ministry for consideration and decision.
6. The Vietnam Fisheries Corporation and the East Sea Fisheries Corporation quickly complete proposals for restructuring the two corporations according to Decision No. 354/QĐ-TTg dated April 1, 2003 and Directive No. 11/2004/CT-TTg dated March 30, 2004 of the Prime Minister. To ensure the key task of serving core development and marine exploitation, particularly distant-water fishing, the proposal must clearly outline criteria for evaluation, deeply analyze advantages and challenges, propose implementation plans, and complete the proposal to report to the Ministry before May 30, 2004.
7. The Steering Committee for Reform and Development of Enterprises of the Ministry of Fisheries shall issue regulations on the responsibilities of each level, procedures and deadlines for resolving issues, and monitor implementation, while regularly reporting to the Minister on progress.
8. Resolutely hold accountable the heads of enterprises and State-owned Enterprise Groups that delay or fail to implement the enterprise transfer according to Decision No. 51/2004/QĐ-TTg of the Prime Minister on the Government's action program to implement Central Resolution 9 (Session IX).
The Head of the Steering Committee for Reform and Development of Enterprises of the Ministry of Fisheries, Heads of relevant Departments, Chairmen of the Boards of Directors, General Managers of State-owned Enterprise Groups: Vietnam Fisheries Corporation - Ha Long Fisheries Corporation - East Sea Fisheries Corporation, Directors of state-owned enterprises subject to ownership transfer, and Team Leaders of the Working Group for Developing Comprehensive Plans for State-Owned Enterprise Groups under the Ministry of Fisheries (according to Decision No. 522/QĐ-BTS dated May 23, 2003 of the Minister of Fisheries) are responsible for implementing this Directive./.
8. Resolutely handle the responsibility of the heads of enterprises and State-owned corporations that delay or fail to implement the enterprise transformation as per Decision No. 51/2004/QĐ-TTg of the Prime Minister on the action program of the Government to implement Resolution No. 9 of the Ninth Plenum of the Party Central Committee.
The Head of the Steering Committee for Enterprise Reform and Development under the Ministry of Fisheries, the Heads of relevant Departments, Chairmen of the Boards of Directors, General Directors of State-owned Corporations: Vietnam Fisheries Corporation-Halong Fisheries Corporation-East Sea Seafood Corporation, Directors of state-owned enterprises subject to ownership restructuring, and Team Leaders of the Working Group for drafting the Proposal on State-owned Corporations under the Ministry of Fisheries (as per Decision No. 522/QĐ-BTS dated May 23, 2003 of the Minister of Fisheries) shall be responsible for implementing this Directive./.
