THE MINISTER OF CULTURE AND INFORMATION

Pursuant to Decree No. 81/CP dated November 8, 1993 of the Government on the functions, tasks, powers, and organizational structure of the Ministry of Culture and Information;

Pursuant to Decision No. 12/1999/QĐ-BVHTT dated March 15, 1999 on the establishment of the State-owned enterprise Vietnam Feature Film Studio;

Upon the proposal of the Director of the Cadre and Civil Servant Department and the Director of the Vietnam Feature Film Studio,

DECISION:

Article 1. Now hereby promulgates the Charter on the organization and operation of the Vietnam Feature Film Studio (attached herewith).

Article 2. This document takes effect from the date of signature, all previous documents contrary to this Decision shall be abolished.

Article 3. The Head of the Ministry's Office, the Directors of the Cadre and Civil Servant Department, the Planning Department, the Finance and Accounting Department, the Cinema Administration, and the Director of the Vietnam Feature Film Studio are responsible for implementing this Decision./.

CHARTER

Organization and Operation of the Vietnam Feature Film Studio

(Issued pursuant to Decision No. 14/1999/QĐ-BVHTT/TC-QĐ dated March 16, 1999 of the Minister of Culture and Information)

Chapter I

GENERAL PROVISIONS

Article 1: The Vietnam Feature Film Studio is a state-owned enterprise operating for public benefit according to Decision No. 12/99/QĐ-VHTT dated March 15, 1999 of the Minister of Culture and Information, with efficiency in serving political, cultural, ideological, and social purposes as its main goal. The Vietnam Feature Film Studio is an economic entity with legal personality, conducting independent economic accounting, having accounts (including foreign currency accounts) at the National Bank, having its own seal, and operating under national laws.

The Vietnam Feature Film Studio has its headquarters at No. 4 Thuy Khê, Tay Ho, Hanoi.

Chapter II

TASKS - POWERS AND OBLIGATIONS OF THE VIETNAM FEATURE FILM STUDIO

Article 2: The Vietnam Feature Film Studio has the following tasks:

1. Organizing creation and investment in building artistic feature films (film and video) as cinematic works to serve the policies and guidelines of the Party and the State on the cultural and ideological front, contributing to the development of the Vietnamese film industry with distinct national characteristics in the socialist-oriented direction - Organizing production until the first print is released.

2. Signing contracts for cooperation, joint ventures, collaboration, and subcontracting services in film production with individuals, agencies, localities, and social organizations both domestically and internationally.

3. Producing export films when approved by plans.

Article 3: The Vietnam Feature Film Studio is responsible for:

1. Implementing production (from scriptwriting, directing, filming, set design, sound recording, dubbing, music mixing, post-production of video films...) within deadlines, achieving high artistic and technical quality, actively contributing to the preservation and development of the Vietnamese film industry in the socialist-oriented direction. Producing films ordered by the State and the Ministry of Culture and Information according to annual plans.

2. Managing and using state capital and assets effectively, fulfilling economic obligations of a state-owned enterprise operating for public benefit as prescribed by the State.

3. Building material and technical infrastructure, gradually equipping modern technology to improve the technical quality of films towards international standards.

4. Caring for and training to enhance the professional skills of management staff, economic staff, technical staff, creative personnel, skilled workers, meeting the requirements of new tasks.

5. Caring for the material and spiritual life of employees, implementing labor protection, social insurance, health insurance, and other benefits according to state policy.

6. Respecting state laws, ensuring political security and social order and safety within the scope of the Studio's operations.

Article 4: Powers of the Studio

1. Proactively developing production and business plans to submit to the Minister of Culture and Information for approval and organizing their implementation.

2. Organizing the management and production and business structures to assist the Director in complying with regulations issued by the State.

3. Proactively engaging in joint ventures, collaborations, and subcontracting services with units and individuals both domestically and internationally in accordance with state laws. Being permitted to export films abroad to expand relationships between production and consumption.

4. Having the right to send personnel abroad for research, study, and professional exchange, and inviting foreign organizations and individuals to participate in film production and business activities according to state regulations and the Ministry of Culture and Information's rules.

5. Using economic levers in production and business activities, utilizing enterprise funds to expand production and business and improve working conditions for employees.

Chapter III

ORGANIZATION OF THE VIETNAM FEATURE FILM STUDIO

Article 5: Organization of the Studio

1. Leadership of the Studio

1.1. The Director of the Vietnam Feature Film Studio is appointed and relieved of duty by the Minister of Culture and Information. The Director is the legal representative, with the highest authority to manage the Studio, accountable to the State and the Minister of Culture and Information for all aspects of the Studio's operations, including ideological content, artistic and technical quality of films, as well as production and business results and matters related to national defense and security.

1.2. The Director has Deputy Directors and a Chief Accountant assisting him, who are proposed by the Director and appointed and relieved of duty by the Minister of Culture and Information, accountable to the Director for assigned tasks.

Chapter IV

TASKS - POWERS OF MANAGEMENT STAFF AT ALL LEVELS

Article 6: The Director of the Vietnam Feature Film Studio has the following tasks:

1. Organize and manage all production and business activities in accordance with the registered industry at the time of establishment of the state-owned enterprise.

2. Safeguard and develop the capital assigned, fulfill all financial tasks and obligations stipulated for production enterprises by the State.

3. Create conditions for employees to exercise their rights as owners of the enterprise, promote creativity, actively participate in management of the Company.

4. Distribute fairly according to labor, care for improving material and spiritual living standards, and train and improve professional skills for employees.

5. Respect working relationships with the Party organization, Trade Union, Youth League, and local authorities in managing the enterprise in accordance with the law, protect the Company, production and business operations, environment, maintain political security, social order and safety, and fulfill national defense obligations.

, Clause 1, Clause 2 Article 7a of this Regulation.: The General Director of the Company has the right:

1. Based on the development direction of the Company and the assigned plan, organize artistic creation and production and business activities according to the most reasonable plan, ensuring political tasks and exceeding legal targets with maximum efficiency.

Has the right to issue directives and orders for production and business activities and other activities of the Company that all employees must comply with.

2. Approve film scripts and decide to put approved scripts into production according to the established creative regulations.

3. Have the right to recruit and utilize labor according to production and business requirements, increase salaries for employees annually according to the classification of the superior management agency. Reward employees with achievements and discipline those who violate from reprimand, warning to dismissal in accordance with the Labor Law and the classification regulations of the Ministry of Culture and Information.

4. Implement the autonomy in finance of the enterprise, proactively use various types of capital for their intended purposes and effectively, proactively improve and increase fixed assets, supplement current assets to meet the requirements of development and expansion of production and business.

5. Have the right to use funds allocated for the Company such as production development fund, reward fund, and welfare fund in accordance with the provisions of the State.

6. When absent, the General Director may delegate authority to a Deputy General Director to represent and manage the affairs of the Company. The General Director directly or delegate a Deputy General Director to sign economic contracts with customers in accordance with the law. Has the right to request the State Economic Court to handle violations of economic contracts against the enterprise.

Article 8: Working system of the General Director

1. Maintain regular meeting system (once a month or every half a month) to review and evaluate the implementation of production plans and issues to be resolved in the next period.

2. Manage the weekly, monthly, quarterly program to coordinate the operation between production units and functional departments smoothly and balanced. Implement periodic or ad hoc inspection systems to examine the production and business operations of the Company.

3. The General Director must report on production and business situations in meetings of the Party Committee, Workers' Congress, and Trade Union Congress. Every six months, the General Director must meet with the Trade Union Executive Board to discuss competition, completion of production and business tasks of the Company, and improvement of employee living standards.

4. Monthly, the General Director must allocate one day to meet with employees to understand their thoughts, wishes, and reflections. Promptly consider and resolve complaints and petitions from the masses, create conditions for the People's Supervisory Board of the Company to work effectively.

Article 9: Tasks and rights of the Deputy General Director

1. The Deputy General Director assists the General Director in directing and managing the assigned and delegated tasks.

2. Be responsible before the General Director for managing, directing, and operating the assigned tasks. Sign decisions on management, orders on production and business, services. Sign economic contracts within the assigned tasks. Be responsible before the General Director for the assigned tasks and signed documents.

Article 10: Tasks and powers of the Chief Accountant:

1. Assist the General Director in directing and organizing the implementation of all contents of the Accounting Ordinance, statistics, and all financial regulations stipulated by the State and the vertical sector. Implement single-level accounting throughout the Company.

2. Organize and direct statistical and accounting work to accurately and timely reflect the situation of production, business, and service activities of the Company. Organize the opening of books, forms, original vouchers to fully reflect the figures serving information for the General Director's guidance.

3. Based on the monitoring process of economy, finance, materials, economic contracts, propose measures to exploit capital sources, monitor finances, prevent losses, and achieve high economic efficiency.

4. Direct economic accounting work, cooperate with functional departments and subordinate units to conduct periodic economic activity analysis during each production and business period, through which propose management measures to reduce costs for production, business, and service activities of the Company.

5. Organize inventory, control periodically, and monitor during the process of material entry... Propose solutions to the General Director for handling losses, damages, or dealing with financial, property, and economic violations of the Company. Comply with and monitor the implementation of all policies, systems, and regulations regarding budget payments, insurance... accounting, statistical, and reporting work of the State and the Company.

6. Have the right to sign confirmation on statistical reports, economic contracts, credit documents, financial settlement vouchers, wages, bonuses, and bank registration.

7. Have the right to request subordinate units, departments to provide complete and timely data and materials, and propose opinions with the General Director to settle unapproved expenditures and revenues. Attend meetings with the General Director to discuss related matters.

Article 11: Tasks and powers of heads of specialized departments:

1. Develop annual, quarterly, and monthly work plans to be reviewed by the General Director, organize the implementation of approved tasks.

2. On the basis of the assigned functions and tasks, establish management documents for production, business, and services of the Company. Implement and enforce these documents.

3. Establish relationships between departments and relevant units within the Company. Develop job titles and standards for various staff members and assign personnel according to approved job title and standard requirements.

4. Have the authority to assign duties to each staff member in the department, monitor the content of assigned work, propose rewards, salary increments, promotion examinations, and disciplinary actions for staff members within the department.

Article 12: Duties and authorities of the Heads of Production Workshops and Technical Services,

1. The Heads of Production Workshops and Technical Services shall carry out tasks under the direction of the General Director in accordance with the production and business orders issued by the Company.

2. Based on the targets and plans assigned by the Company, develop schedules and organize production and business activities within the unit. Command and manage production and business operations strictly in accordance with the schedules set by the Company and ensure technical, artistic, and economic standards for each product as prescribed.

3. Directly oversee labor safety, fire prevention, and other internal regulations established by the Company.

4. Have the authority to propose and participate in reviewing promotions, salary increments, rewards, disciplinary actions, and material compensation for workers and staff within the unit.

Article 13: Specific duties of departments, workshops, and technical service units:

Responsibilities, authorities, and relationships among subordinate departments, workshops are defined in the internal regulations established and promulgated by the Director, in compliance with state regulations and assignments from the Ministry.

Chapter V

DUTIES AND RIGHTS OF STAFF AND WORKERS

Article 14: Rights and duties of staff and workers:

a/ Duties:

Strictly comply with all state policies, laws, and regulations of the Company, complete all assigned tasks. Strive against negative practices, lack of discipline, irresponsibility towards assigned tasks.

Be conscious of protecting public property, safeguarding the assets of the Company, enhancing revolutionary vigilance, maintaining national secrets, and Company secrets. Regularly perform industrial hygiene and fire prevention tasks.

b/ Rights:

All staff and workers who have signed labor contracts must be fully implemented according to the Labor Code and collective labor agreements.

Participate in contributing to the targets, plans, and management of the Company, the use of welfare funds, rewards, and improvements in living conditions for staff and workers.

Receive political, technical, and vocational training, and participate in providing opinions to leaders at all levels to consolidate unity and progress together, completing all tasks set by the Company.

Chapter VI

RELATIONSHIPS BETWEEN THE BOARD OF MANAGEMENT AND THE PARTY COMMITTEE, TRADE UNION COMMITTEE, YOUTH UNION COMMITTEE

Article 15: Regarding the Party Committee:

Planning, development orientation, cadre planning, and leadership cadre promotion proposals of the Company must be reported to the Ministry for approval after being discussed and passed by the Party Committee. The Company Director must convene meetings with the Party Committee to lead ideological work and implement when officially approved.

Monthly, the Company Director collaborates with the Party Committee to evaluate and review the implementation of Party Resolutions and Party Committee resolutions.

Article 16: Regarding the Trade Union Committee:

The Company Director creates favorable conditions and works with the Trade Union Committee to prepare regular and extraordinary staff meetings. Report to all staff the tasks, plans, programs of professional work, labor safety, improved working conditions, and living standards, along with implementation measures for discussion at the meeting.

The Company Management Board and the Trade Union Committee organize labor competitions, encourage staff to work effectively, productively, and with quality. Organize for staff to understand tasks, programs, and targets so that everyone knows and implements them.

Organize political studies, exchange duties, select candidates for study, arrange suitable work, encourage and create conditions for staff to improve their qualifications.

Article 17. Regarding the Youth Union Committee:

The Company Director creates favorable conditions for the Youth Union Committee to operate smoothly in terms of understanding duties, development orientation of the Company, organizational rules and activities of the Company, and internal regulations of departments and units. Encourage Youth Union members to study culture, politics, professional skills, and learn about the Party.

Chapter VII

IMPLEMENTING PROVISIONS

Article 18The Director of the Vietnam Film Studio is responsible for strictly implementing the charter regarding the organization and operation of the enterprise. If there are any issues that need adjustment during the process, the Director must report to the Minister of Culture, Sports and Tourism for timely supplementation and amendment.

Article 19. All staff of the Vietnam Film Studio are responsible for implementing this charter. The charter on the organization and operation of the Vietnam Film Studio consists of 7 chapters and 19 articles and takes effect from the date the Minister of Culture, Sports and Tourism signs it./.
