Amending and supplementing certain Articles of Decree No. 126/2017/NĐ-CP dated November 16, 2017 of the Government on converting state-owned enterprises and wholly owned limited liability companies invested with 100% state capital into joint-stock companies; Decree No. 91/2015/NĐ-CP dated October 13, 2015 of the Government on state capital investment in enterprises and management and use of capital and assets in enterprises; and Decree No. 32/2018/NĐ-CP dated March 8, 2018 of the Government amending and supplementing certain Articles of Decree No. 91/2015/NĐ-CP On the basis of the Securities Law dated June 29, 2006; the Law Amending and Supplementing Certain Provisions of the Securities Law dated November 24, 2010;
Pursuant to the Law on Organization of the Government dated June 19, 2015; the Law Amending and Supplementing Certain Provisions of the Law on Organization of the Government and the Law on Organization of Local Administration dated November 22, 2019;

The Government promulgates this Decree amending and supplementing certain Articles of Decree No. 126/2017/NĐ-CP dated November 16, 2017 of the Government on converting state-owned enterprises and wholly owned limited liability companies invested with 100% state capital into joint-stock companies; Decree No. 91/2015/NĐ-CP dated October 13, 2015 of the Government on state capital investment in enterprises and management and use of capital and assets in enterprises; and Decree No. 32/2018/NĐ-CP dated March 8, 2018 of the Government amending and supplementing certain Articles of Decree No. 91/2015/NĐ-CP dated October 13, 2015 of the Government on state capital investment in enterprises and management and use of capital and assets in enterprises.
The Government issues this Decree on management and development of industrial clusters.
At the proposal of the Minister of Finance;
Article 1. Amending and supplementing certain Articles of Decree No. 126/2017/NĐ-CP dated November 16, 2017 of the Government on converting state-owned enterprises and wholly owned limited liability companies invested with 100% state capital into joint-stock companies (hereinafter referred to as Decree No. 126/2017/NĐ-CP) as follows:
"2. Company Limited Tan Cang - Petro Cam Ranh (hereinafter referred to as Tan Cang - Petro Cam Ranh Company) is an enterprise directly serving national defense and security, with 100% capital contribution from state-owned enterprises holding 100% of the Charter Capital."
a) Wholly owned limited liability companies holding 100% of the charter capital which are parent companies of economic groups, parent companies of state-owned corporations, and parent companies within a group of parent companies - subsidiary companies.
b) Independent wholly owned limited liability companies holding 100% of the charter capital."
2. Supplementing and amending Article 4 as follows:
a) Clause 1 shall be amended and supplemented as follows:
"1. Enterprises specified in Clauses 2 and 3 of Article 2 of this Decree shall implement corporatization when ensuring the following conditions:
a) Not falling under the category of enterprises that the State needs to hold 100% of the charter capital. The list of enterprises that the State needs to hold 100% of the charter capital is decided by the Prime Minister for each period;
After financial treatment and revaluation of enterprise value according to Chapters II and III of this Decree, the actual enterprise value is equal to or greater than the liabilities; c) For enterprises subject to restructuring and disposal of real estate according to laws on management and use of public assets, there must be a plan for restructuring and disposal of real estate approved by the competent authority according to laws on management and use of public assets.
b) For agricultural and forestry companies holding 100% of the charter capital, in addition to the plan for restructuring and disposal of real estate for non-agricultural land areas already approved by the competent authority according to laws on management and use of public assets, there must also be a plan for using land for agricultural land areas already approved by the competent authority according to Decree No. 118/2014/NĐ-CP dated December 17, 2014 of the Government on restructuring, reform, development, and improving the efficiency of agricultural and forestry companies and subsequent amendments, supplements, and replacements.”
b) Clause 2 shall be amended and supplemented as follows:
“2. Enterprises, after financial treatment and revaluation of enterprise value according to Chapters II and III of this Decree, if the actual enterprise value is lower than the liabilities, the representative body of the owner shall direct the enterprise to cooperate with Vietnam Asset Management Company and the creditors of the enterprise to build a debt purchase plan that ensures feasibility and effectiveness for corporate restructuring or to implement other forms of conversion according to the provisions of the law.”
a) Adding the following content to Clause 2:
b) Point c of Clause 3 shall be amended as follows:
3. Amend and supplement Article 6 as follows:
4. Supplementing Clause 5 of Article 8 as follows:
“5. In cases where enterprises must re-determine the enterprise value, temporarily suspend the implementation of corporatization, or stop implementing corporatization according to the decision of the Prime Minister, the representative body of the owner shall consider and decide on the handling of corporatization costs (ensuring full reasonable and valid documentation) recorded as enterprise expenses and these costs shall not be deducted when determining taxable income under the Corporate Income Tax Law.”
5. Clause 2 of Article 11 shall be amended as follows:
“2. When preparing the auction dossier for the first public offering of shares, the corporatized enterprise must simultaneously prepare the registration dossier for securities custody and the registration dossier for trading on the stock market. Listing at the Stock Exchange shall be carried out after the corporatized enterprise has been converted into a joint-stock company and meets the listing conditions stipulated by securities laws.”
"1. Corporatized enterprises may hire consulting organizations to determine enterprise value, set the initial price, develop a corporatization plan, and sell shares for the first time. The representative body of the owner is responsible for deciding on the selection of consulting organizations, including delegating or authorizing the Steering Committee to undertake all or part of the responsibilities of the investor, tenderer according to the law on bidding in hiring consulting organizations (excluding the responsibility for approving the tender results)."
"3. The representative body of the owner decides to select consulting organizations meeting the criteria stipulated in Clause 5 and Clause 6 of this Article to determine enterprise value according to the principle:
6. Article 12 is amended and supplemented as follows:
"1. Enterprises specified in Clauses 2 and 3 of Article 2 of this Decree shall implement corporatization when ensuring the following conditions:
a) For tender packages for valuation consulting with a value not exceeding VND 500 million, the representative body of the owner decides to select the tender method to choose consulting organizations to determine enterprise value;"
b) Clause 3 is amended and supplemented as follows:
"3. The representative body of the owner decides to select consulting organizations meeting the criteria specified in Clause 5 and Clause 6 of this Article to determine the enterprise value according to the principle:
a) For tender packages for valuation consultancy with a value not exceeding VND 500 million, the representative body of the owner decides to select the organization through direct assignment to determine the enterprise value;
b) For tender packages for valuation consultancy with a value from VND 500 million to VND 3 billion, after the public tender period has expired as prescribed and only one organization has registered to provide valuation consultancy services, the representative body of the owner shall decide to select the consultancy organization through direct award.
c) For tender packages for consultancy not covered by points a and b of this clause, the representative body of the owner shall organize a tender to select the unit to perform the consultancy service for determining the enterprise's value in accordance with the laws on bidding.
c) Point a of Clause 5 is amended and supplemented as follows:
"a) Accounting firms, securities companies, and appraisal enterprises established and operating in Vietnam in accordance with the law and licensed by the Ministry of Finance to conduct business in appraisal services under the laws on price and appraisal."
7. The following content is added to Clause 2 of Article 13:
"For certain specialized assets of enterprises undergoing corporatization where accessing the asset for inventory and assessing its actual condition is not feasible or efficient, the enterprise shall develop a plan for inventory and assessment of the asset's actual condition to report to the representative body of the owner for comments from relevant state management agencies. Within twenty working days from the date of receipt of the request from the representative body of the owner, the relevant state management agency must provide a written response regarding the inventory and assessment plan. Based on the opinion of the relevant state management agency, the representative body of the owner shall decide on a suitable inventory plan and be responsible for the results of the inventory."
8. Clause 4 of Article 14 is amended and supplemented as follows:
"4. For welfare facilities such as kindergartens, clinics, and other welfare assets invested using the Reward Fund and Welfare Fund, they shall be transferred to the trade union organization at the joint-stock company for management and use to serve the collective workforce of the joint-stock company in accordance with the laws on land and related laws. In cases where the trade union organization and the collective workforce of the joint-stock company have no need to use these assets, based on the opinions of the collective workforce and the trade union organization, the enterprise shall be authorized to organize the liquidation and sale of the assets in accordance with the relevant laws and the current laws on land. The proceeds from the liquidation and sale of the assets, after deducting related costs and taxes (if applicable), shall be returned to the Reward Fund and Welfare Fund.
For housing for cadres and employees funded by the Welfare Fund of the enterprise, including housing funded by the state budget, if the enterprise does not need to use them, they shall be transferred to the local land management authority for management."
"For receivables from customers using telecommunications, information technology, and pay-TV services (domestic and foreign) that occur frequently with a large number of customers of the corporatized enterprise, where reconciling and confirming debts with each customer would result in a large workload, time, and cost, the representative body of the owner shall decide on reconciliation and confirmation methods appropriate to the actual situation (based on the accounting records and customer management system of the corporatized enterprise)."
"2. If, at the time of determining the value of the corporatized enterprise, there are still some receivables with complete documentation but not yet reconciled and confirmed, the Chairman of the Company and the Board of Members of the corporatized enterprise must clearly explain the contents of the receivables, identify the responsibilities of the relevant collectives and individuals in completing the debt reconciliation before the issuance of the first registration certificate of the joint-stock enterprise, and report to the representative body of the owner for consideration and decision on the inclusion in the enterprise value according to the value recorded in the accounting books; simultaneously, it must be publicly announced in the decision approving the enterprise value and the privatization plan for the purpose of auctioning shares.
At the time when the corporatized enterprise receives its first joint-stock enterprise registration certificate, when preparing financial statements for transfer to the joint-stock company, for receivables that have been processed for reconciliation but remain unreconciled, the Chairman of the Company and the Board of Members of the corporatized enterprise shall be responsible for reviewing and classifying them into non-recoverable receivables and remaining receivables for handling as follows:
- For receivables that have been processed for reconciliation but remain unreconciled and are determined to be non-recoverable receivables in accordance with regulations, responsibility for compensation must be considered and handled against the relevant collectives and individuals. The remaining value of the receivable (after offsetting the compensation of individuals and collectives, and setting aside provisions for difficult-to-collect receivables - if any) shall be recorded as expenses of the corporatized enterprise and transferred to the Vietnam Asset Management Corporation for handling in accordance with the law.
- For receivables that have been processed for reconciliation but remain unreconciled, they shall be transferred to the joint-stock company for continued monitoring and recovery in accordance with regulations."
"For debts not included in the value of state-owned commercial banks holding 100% of charter capital and state-owned enterprises holding 100% of charter capital operating in telecommunications (including non-performing debts that have been resolved using reserve funds over the five consecutive years immediately preceding the valuation date of the enterprise), the enterprise retains them for continued monitoring, management, and debt recovery. The amount recovered from these debts, after state-owned commercial banks and telecommunications enterprises have been privatized, will be retained at a ratio prescribed by the Ministry of Finance applicable to the Vietnam Asset Management Corporation to cover related costs incurred in debt recovery. The remainder shall be deposited into the Enterprise Restructuring and Development Fund."
10. Amend Clause 1 of Article 16 as follows:
"1. Enterprises undergoing privatization are responsible for reconciling and confirming all debts owed to organizations and individuals before determining the value of the privatized enterprise."
In cases where some debts owed to organizations and individuals remain unreconciled and unconfirmed until the valuation date of the privatized enterprise, the Chairman of the company and the Board of Members of the privatized enterprise must clearly explain the contents of the debts, identify the collective and individual responsibilities related to completing the reconciliation of accounts prior to the issuance of the first Certificate of Registration for the Privatized Enterprise (excluding debts already paid by the privatized enterprise accompanied by valid documentation proving payment), and report to the representative body of the owner for consideration and decision on the determination of the enterprise's value based on the recorded value in the accounting books; simultaneously, they must publicly announce this matter in the decision approving the enterprise's value and the privatization plan as the basis for auctioning shares.
At the time when the privatized enterprise receives its first Certificate of Registration for the Privatized Enterprise, when preparing financial statements for transfer from a state-owned enterprise holding 100% of the charter capital to a joint-stock company, if these debts have completed the necessary procedures to request creditors to reconcile debts but the creditors do not confirm, the increase in state capital value due to the debts not confirmed by creditors can be recorded. The joint-stock company (after conversion from a state-owned enterprise holding 100% of the charter capital) is responsible for storing the files, continuing to inherit, monitor, and fulfill the obligation to repay debts when requested by creditors and record the cost of repaying debts as business expenses in the period.
For state-owned commercial banks, the verification and reconciliation of customer deposits, securities (deposit certificates, bills of exchange, promissory notes, bonds) should be based on detailed records of each debt in the accounting books; reconcile and confirm the balance of deposits of corporate customers; savings deposits, personal deposits, and securities must be reconciled with the accounting records kept at the bank and reconciled with customers. At the time when the privatized enterprise receives its first Certificate of Registration for the Privatized Enterprise, when preparing financial statements for transfer from a state-owned enterprise holding 100% of the charter capital to a joint-stock company, if these debts have completed the necessary procedures for debt reconciliation but cannot be reconciled and confirmed with customers, the state-owned commercial bank must continue to inherit, monitor, manage, and fulfill the obligation to repay debts when legally requested by creditors.
For advance payments, guarantees, and prepayments made by customers using telecommunication, information technology, television services, and intermediary payment services according to the law, if reconciling and confirming debts with each customer generates a large volume of work, time, and costs, the representative body of the owner directs the enterprise to report and decide on the reconciliation and confirmation process in accordance with reality and the law (based on accounting records, contracts for telecommunication, information technology, television services, and intermediary payment services, and the enterprise's customer management information system).
11. Amend Clause 1 of Article 22 as follows:
"1. Consulting organizations determining the value of enterprises shall select the asset method and at least one other method for determining the value of enterprises as prescribed by laws on pricing and valuation to present to the representative body of the owner for consideration and decision."
12. Amend Clause 3 of Article 25 as follows:
"3. Within nine months from the date of announcing the enterprise's value, if the enterprise has not conducted a public auction (IPO), it must re-determine the enterprise's value, except in cases decided by the Prime Minister based on the proposal of the representative body of the owner, but ensuring that the IPO date of the enterprise does not exceed twelve months from the date of announcing the enterprise's value."
13. Article 27 is amended as follows:
a) Clause 1 is amended as follows:
"1. The actual total value of the privatized enterprise is the total value of all assets of the enterprise at the valuation date after reassessment, taking into account the profitability of the enterprise."
The actual value of the owners' equity in the privatized enterprise in the decision announcing the enterprise's value is the total actual value of the privatized enterprise minus the debts owed and the surplus operating fund (if any)."
b) Clause 2 is amended as follows:
"2. When privatizing the parent company of an economic group, the parent company of a state-owned corporation, or the parent company in a parent-subsidiary complex, the value of the owners' equity in the privatized enterprise is the total actual value of the owners' equity in the parent company."
c) Clause 5 is amended as follows:
"5. For the value of investment capital of the joint-stock enterprise at joint-stock companies where the joint-stock enterprise receives shares without payment at the time of determining the enterprise's value, the value of investment capital must be reassessed according to the principle stipulated in Article 32 of this Decree with the number of shares being all the shares that the joint-stock enterprise currently owns (including both the shares already received and managed, tracked on the financial statement notes) and the number of shares to be received after the time of determining the enterprise's value according to the resolution of the Shareholders' Meeting up to the time of determining the enterprise's value."
14. Clause 4 of Article 29 shall be amended as follows:
"4. The value of land use rights granted and the business advantage value of the enterprise at the time of determining the enterprise's value."
15. Supplement Article 30a as follows:
"Article 30a. Land use plan when joint-stocking
1. The land use plan when joint-stocking is a set of proposals regarding the form of land use appropriate to the land use planning and planning approved and announced by local authorities, including the areas of land managed and used by the joint-stocking enterprise and wholly-owned limited liability companies invested in by the joint-stocking enterprise, up to the time of determining the enterprise's value, to be submitted for review and approval by the competent authority as stipulated in Clause 5 of this Article.
2. Based on the plan for reorganization and disposal of houses and land in accordance with the laws on management and use of state assets, the land use plan prescribed in Decree No. 118/2014/NĐ-CP which has been approved by the competent authority, the land needs of the enterprise when joint-stocking, and the time of determining the enterprise's value, the Steering Committee directs the enterprise to develop a land use plan when joint-stocking including the entire area of land managed and used by the joint-stocking enterprise and wholly-owned limited liability companies invested in by the joint-stocking enterprise up to the time of determining the enterprise's value (including the part of land not subject to reorganization and disposal of houses and land in accordance with the laws on management and use of state assets and the area of land not included in the land use plan prescribed in Decree No. 118/2014/NĐ-CP of the Government - if applicable).
3. The joint-stocking enterprise reports to the agency representing the owner (for joint-stocking enterprises specified in Clause 3 of Article 2 of this Decree, report to the Board of Directors or Chairman of the enterprise holding 100% of the charter capital as stipulated in Clause 2 of Article 2 of this Decree) with a letter seeking opinions from localities (where the enterprise manages and uses land) on the land use plan when joint-stocking.
4. Within three months from the date of receiving the request from the agency representing the owner as stipulated in Clause 3 of this Article, the provincial people's committees (where the enterprise manages and uses land) must provide a written response on the land use plan when joint-stocking.
The provincial people's committees (where the enterprise manages and uses land) are responsible for providing opinions on the land area that the enterprise will continue to use when joint-stocking and the specific land price according to the laws on land for the basis of determining the enterprise's value as prescribed; at the same time, they are responsible for directing the inspection and handling of responsibility of organizations and individuals related to the delay in officially providing opinions on the land use plan when joint-stocking leading to the need to reassess the enterprise's value as stipulated in Clause 1 of Article 23 of this Decree; the delay in providing opinions on the enterprise's land use plan will be considered as a basis for evaluating and classifying cadres and civil servants according to the laws on cadres and civil servants.
Based on the plan for reorganization and disposal of houses and land in accordance with the laws on management and use of state assets and the land use plan prescribed in Decree No. 118/2014/NĐ-CP of the joint-stocking enterprise which has been approved by the competent authority, the land needs of the enterprise according to the land use plan when joint-stocking, and the land use planning and planning at the locality (if applicable), the provincial people's committees (where the enterprise manages and uses land) provide opinions on the land areas within their jurisdiction that the enterprise will continue to use when joint-stocking. The opinions of the provincial people's committees (where the enterprise manages and uses land) include the following contents:
- Agreeing with the land use plan when joint-stocking for the land areas that have not changed compared to the reorganization and disposal plans of houses and land approved by the competent authority according to the laws on management and use of state assets and the land use plan prescribed in Decree No. 118/2014/NĐ-CP.
- Providing opinions on the suitability with the land use planning and planning, construction planning at the locality (if applicable), the form of land use, and the purpose of using land for the land areas that have changed compared to the reorganization and disposal plans of houses and land and the land use plan prescribed in Decree No. 118/2014/NĐ-CP which have been approved; the land areas assigned, transferred, and leased according to the laws arising from after the time of the reorganization and disposal plans of houses and land and the land use plan prescribed in Decree No. 118/2014/NĐ-CP which have been approved until the time of determining the enterprise's value and the land areas not subject to reorganization and disposal of houses and land according to the laws on management and use of state assets and the land areas not included in the land use plan prescribed in Decree No. 118/2014/NĐ-CP of the Government (if applicable).
In cases where the land usage plan proposed during corporatization does not comply with local land use planning and construction planning (if applicable) or differs from the purpose of land use according to the asset reorganization and disposal plan under the laws on state asset management and utilization and the land usage plan stipulated in Decree No. 118/2014/ND-CP which has been approved, the enterprise must adjust the land usage plan for these areas to be consistent. If the enterprise fails to adjust the land usage plan for these areas, the agency representing the owner shall instruct the enterprise to return the land to the State in accordance with the law on land for other purposes. The remaining value of assets on the area of land to be returned to the State (if any) shall be handed over by the corporatized enterprise to the locality for acceptance and management; at the same time, reduce the assets and reduce the owners' equity according to the remaining value of the assets recorded in the accounting books at the time of determining the enterprise's value.
- Specific land price at the time of determining the enterprise's value in accordance with Clause 3 and Point d, Clause 4, Article 114 of the Land Law for the areas of land allocated in accordance with Clause 1, Article 30 of this Decree.
5. Within one month from the date of receiving full opinions of localities on the land usage plan during corporatization as prescribed in Clause 4 of this Article, the agency representing the owner decides to approve the land usage plan during corporatization of the enterprise and must ensure that the approved plan precedes the decision to announce the enterprise's value. For enterprises specified in Clause 3, Article 2 of this Decree, the Board of Directors or the Chairman of the enterprise holding 100% state capital stipulated in Clause 2, Article 2 of this Decree decides to approve the land usage plan during corporatization.
The agency representing the owner or the Board of Directors or the Chairman of the enterprise holding 100% state capital stipulated in Clause 2, Article 2 of this Decree is responsible for directing the inspection and handling of responsibility of organizations and individuals related to the delay in approving the land usage plan during corporatization of the enterprise leading to the need to re-determine the enterprise's value as prescribed in Clause 1, Article 23 of this Decree; the delay in approving the land usage plan during corporatization will be considered as a basis for evaluating and classifying cadres, civil servants, and business managers in accordance with the law.
6. Areas of land allocated, transferred, or leased by the corporatized enterprise in accordance with the law arising from after the determination of the enterprise's value until the first registration of business conversion to a joint-stock company, the enterprise shall arrange and dispose of them in accordance with the laws on state asset management and utilization; simultaneously complete all procedures to be granted land, lease land, and fulfill financial obligations in accordance with the laws on land and relevant laws.
7. The Ministry of Natural Resources and Environment guides the detailed content of the land usage plan during corporatization.
16. Article 30 is amended and supplemented as follows:
a) The first paragraph of Clause 2 is amended and supplemented as follows:
"2. For the remaining area of land (after excluding the area of land specified in Clause 1 of this Article) according to the land usage plan during corporatization already approved by the competent authority in accordance with Article 3 of this Decree, the enterprise shall implement the form of leasing land with a term in accordance with the laws on land and pay annual land rent.
Joint-stock companies shall pay land rent in accordance with the laws on land and do not include land rent in the value of the corporatized enterprise.
b) Clause 4 is amended as follows:
"4. After obtaining the first certificate of registration for the joint-stock company, the joint-stock company shall have the responsibility to perform financial obligations, complete procedures to be granted land, lease land, issue certificates of land use rights, ownership certificates of houses and other immovable property attached to land in accordance with current laws on land.
17. Supplement the following content to Point b, Clause 3, Article 32:
"The representative of the capital of the corporatized enterprise in another enterprise shall review and provide comments on changes during the period when the enterprise with the investment of the corporatized enterprise does not prepare financial statements at the same time as determining the enterprise's value to report to the agency representing the owner for consideration and decision on determining the value of the investment of the corporatized enterprise in another enterprise."
18. Amend Clause 3, Article 34 as follows:
"3. At least one month before the initial sale of shares, the Steering Committee shall cooperate with the Securities Trading Center or auction organization to announce information at the enterprise, at the auction site, through mass media, and publicly on the Government's online portal."
19. Amend Article 37 as follows:
"Article 37. Handling unsold shares and adjusting the registered capital and capital structure based on the results of share sales
1. Based on the corporatization plan already approved by the competent authority, the Steering Committee shall sell shares to employees and trade unions in the enterprise before public auction. The number of shares that employees and trade unions refuse to buy according to the corporatization plan, the Steering Committee shall report to the agency representing the owner to supplement the number of shares for public auction.
2. Based on the actual results of share sales, the Steering Committee shall report to the agency representing the owner to decide to adjust the registered capital and capital structure in the approved corporatization plan."
In cases where a business implements corporatization through the form of selling part of state capital combined with issuing additional shares or selling all state capital combined with issuing additional shares, the number of shares sold shall be determined as the number of additional shares issued according to the approved corporatization plan, the remaining portion shall be determined as the number of shares sold to reduce state capital; the number of preferential shares sold to the objects specified in points a and c Clause 1 Article 42 Decree No. 126/2017/ND-CP shall be determined as the number of shares sold from state capital.
3. In cases where there is no investor registering to purchase shares, based on the results of selling shares to employees and trade unions within the business to proceed with the procedures for transferring the business to a joint-stock company and adjusting the charter capital and capital structure according to the provisions of Clause 2 of this Article.
4. In cases where only one investor registers to purchase shares, the Steering Board shall implement the agreement to sell shares to the registered investor at a price not lower than the starting price with the valid quantity registered to purchase. If the investor does not purchase, the corporatized business shall implement according to the provisions of Clause 3 of this Article.
5. In cases where, after public auction, all winning investors in the public auction refuse to purchase, the corporatized business shall implement according to the provisions of Clause 3 of this Article.
6. In cases where a portion of the shares offered for sale in the public auction have been sold, the remaining unsold shares in the public auction (including the number of shares won but refused by investors) shall be implemented in the following sequence:
a) The Steering Board continues to notify eligible investors who participated in the auction (excluding investors who won the entire quantity registered to purchase in the public auction) to sell the shares to these investors according to the valid quantity they registered to purchase but did not buy and the bid price at the auction session, selecting the negotiation price from the highest bid price down to the lowest price announced in the auction until the required number of shares is sold.
b) If the shares are not fully sold to investors after negotiating according to Clause 6 of this Article, the Steering Board continues to notify investors who won the entire quantity registered to purchase in the public auction (excluding investors who won but refused to purchase) to negotiate selling to these investors at the bid price of each investor at the auction session, selecting the negotiation price from the highest bid price down to the lowest price announced in the auction until the required number of shares is sold.
c) In cases where the number of shares not sold according to points a and b of this clause, the corporatized business shall implement according to the provisions of Clause 3 of this Article."
"a) Within five working days from the expiration date of the payment deadline for investors participating in the public auction, the organization implementing the auction shall be responsible for transferring the proceeds from the initial share sale to the corporatized business to support the handling of surplus labor, pay the privatization costs according to the budgeted costs already determined in the approved corporatization plan by the competent authority, retain for the corporatized business the nominal value and book value of the additional shares issued (the book value of the shares sold corresponding to the investment capital of the first-tier enterprise in the second-tier enterprise when privatizing the second-tier enterprise); the remainder shall be deposited into the Enterprise Restructuring and Development Fund.
b) Within five working days from the expiration date of the payment deadline for trade unions and employees, the Steering Board shall be responsible for transferring the proceeds from the share sale to trade unions and employees into the Enterprise Restructuring and Development Fund."
21. Article 42 is amended and supplemented as follows:
a) Supplement point e Clause 1 as follows:
"e) The total value of the shares sold at a preferential price to employees calculated at face value shall not exceed the value of the equity capital according to the accounting records at the time of determining the enterprise value."
b) Supplement point đ Clause 2 as follows:
"đ) The number of additional shares that employees are entitled to purchase as stipulated in point a Clause 2 of this Article shall be determined based on the maximum commitment period to continue working until retirement age for employees under normal working conditions as prescribed in the current Labor Code."
22. Clause 4 Article 45 is amended as follows:
a) Point a is amended and supplemented as follows:
- Amend item nine as follows:
"- Review and report to the representative body of the owner to decide on the selection of consulting organizations for corporatization, the selection of organizations for the public auction of shares, the announcement of the enterprise value, and the approval of the corporatization plan."
- Amend item fourteen as follows:
"- Coordinate with relevant agencies to review and report to the representative body of the owner to approve the financial statements at the official transfer to a joint-stock company; settle the privatization costs; settle the support funds for surplus employees; settle the proceeds from privatization and decide to announce the actual value of state capital at the time the joint-stock company is granted the Business Registration Certificate for the first time."
b) Point b is amended as follows:
"b) The members of the Steering Board shall be decided by the Minister, Head of a ministry-level agency, agency under the Government, Chairman of provincial people's committees directly under the central government, Board of Directors of the parent company of economic groups, state-owned corporations, and parent companies in a holding company-conglomerate structure."
For units mentioned in point b Clause 1 of this Article, the members of the Steering Board shall include representatives of the Steering Committee for Enterprise Reform and Development and the Ministry of Finance (if necessary).
23. Amend Article 47 as follows:
"The implementation of corporatization shall follow the specific steps of work procedures detailed in Appendix I promulgated together with Decree No. 140/2020/ND-CP dated November 30, 2020 of the Government."
24. Article 48 is amended and supplemented as follows:
a) Clause 1 is amended as follows:
"1. Enterprises that have had a decision to announce the enterprise value before January 1, 2018 but have not yet been approved for the privatization plan shall adjust the book value of accounting according to the result of determining the enterprise value that has been announced (except for some cases where the competent authority has decided not to adjust the book value of accounting according to the result of determining the enterprise value that has been announced) and build and submit to the competent authority a privatization plan, implement the privatization plan in accordance with the provisions of this Decree. Enterprises subject to the provisions of Clause 1, Article 26 of this Decree must undergo State Audit and adjust the announced enterprise value if there is a discrepancy."
b) Clause 3 is amended as follows:
"3. Enterprises that were privatized before the effective date of Government Decree No. 59/2011/ND-CP dated July 18, 2011, which have included the value advantage of geographical location of leased land in the enterprise value and recorded as an increase in state capital at the enterprise but have not fully allocated to production and business costs and have not fully deducted from land rent, shall allocate the remaining value advantage of geographical location of leased land into corporate income tax expenses within a maximum period of three years from the effective date of Government Decree No. 140/2020/ND-CP dated November 30, 2020. The annual allocation amount shall not lead to the company's production and business results showing a loss. After the three-year period, the company shall continue to allocate the remaining value into costs and shall not be deductible when determining taxable income. The company has the obligation to pay land rent in accordance with the laws on land."
c) Clause 5 is amended as follows:
"5. Enterprises that have converted to joint-stock companies before the effective date of Government Decree No. 126/2017/ND-CP (January 1, 2018) shall not apply the provisions of this Decree. For these enterprises, before June 30, 2021, based on the legal provisions at the time the joint-stock company was first issued a business registration certificate, the representative body of the owner shall be responsible for leading and coordinating with relevant agencies to handle financial issues to approve the financial report at the time of officially becoming a joint-stock company; settle privatization costs; settle support funds for surplus labor; settle proceeds from privatization and announce the actual value of state capital at the time the joint-stock company was first issued a business registration certificate and direct the handover to the joint-stock company.
After the above deadline, the representative body of the owner shall be responsible to the Government for failing to complete settlement and handover to the joint-stock company, and delays in completing settlement and handover of privatized enterprises will be considered as grounds for evaluating and classifying cadres and civil servants in accordance with the laws on cadres and civil servants."
d) Add Clause 8 as follows:
"8. For enterprises that calculated and determined the value of business advantages into the enterprise value before January 1, 2018, the joint-stock company shall continue to allocate the value of business advantages into corporate income tax expenses within a maximum period of three years from the effective date of Government Decree No. 140/2020/ND-CP dated November 30, 2020."
đ) Add Clause 9 as follows:
"9. At the time of the effective date of Government Decree No. 140/2020/ND-CP dated November 30, 2020, enterprises that have been approved by the competent authority for the land use plan during privatization shall continue to implement subsequent steps of the privatization process and the approved land use plan during privatization."
e) Supplement Clause 10 as follows:
"10. With respect to shares sold to trade unions in enterprises privatized before January 1, 2018, the trade union of the privatized enterprise shall hold the shares and not transfer them within three years from the date the privatized enterprise officially becomes a joint-stock company."
25. Clause 2 of Article 49 is amended and supplemented as follows:
"2. Joint-stock limited liability companies held 100% of the charter capital by political organizations, economic and social organizations, political and social organizations, and public service units established and operating under the Enterprise Law shall apply the contents prescribed in this Decree to convert to joint-stock companies."
26. Attach Appendix I to this Decree regarding the procedure for converting state-owned enterprises holding 100% of the charter capital into joint-stock companies, replacing Appendix II attached to Government Decree No. 126/2017/ND-CP.
“Foreign investors may deposit or pledge foreign currency transfers when participating in auctions to purchase shares or portions of the capital of enterprises held 100% by the state, in accordance with Vietnamese laws on foreign exchange and guidelines of the State Bank of Vietnam.”
“c) Based on the scale of charter capital, the nature of business operations, and the requirements for expanding and developing the enterprise, the Privatization Steering Committee (hereinafter referred to as the Steering Committee) reports to the competent authority for approval of the privatization plan to consider and decide whether to sell or not sell shares in the initial public offering to strategic investors. In the case of selling shares in the initial public offering to strategic investors, the competent authority for approval of the privatization plan decides the criteria for selecting strategic investors and the proportion of shares sold to strategic investors in the privatization plan of the enterprise.
The procedure for selecting strategic investors in privatized enterprises shall be carried out in accordance with specific steps set forth in Appendix I attached to this Decree, ensuring that the selection and organization of registration to purchase shares by strategic investors are completed before the announcement of information on the sale of shares in the initial public offering (IPO).”

Article 2. Amend and supplement some articles of Decree No. 91/2015/ND-CP dated October 13, 2015 of the Government on state capital investment in enterprises and management and use of capital and assets at enterprises (hereinafter referred to as Decree No. 91/2015/ND-CP) and Decree No. 32/2018/ND-CP dated March 8, 2018 of the Government amending and supplementing some articles of Decree No. 91/2015/ND-CP (hereinafter referred to as Decree No. 32/2018/ND-CP) as follows:
1. Amend Clause 2 of Article 2 of Decree No. 91/2015/ND-CP as follows:
a) Wholly owned limited liability companies holding 100% of the charter capital which are parent companies of economic groups, parent companies of state-owned corporations, and parent companies within a group of parent companies - subsidiary companies.
a) A limited liability company with 100% state-owned charter capital is the parent company of a state economic group, the parent company of a state corporation, or the parent company within a parent company - subsidiary group.
2. Supplementing and amending Article 4 as follows:
2. Amend the content of Article 4 of Decree No. 91/2015/ND-CP, which was supplemented in the second bullet point, Point 8, Clause 1 of Article 1 of Decree No. 32/2018/ND-CP, as follows:
"- Auctioning in lots is an auction of a lot of shares/equity units, and investors participating in the auction must purchase the entire lot of shares/equity units being auctioned. The owner of the capital decides to divide the total number of shares/equity units to be transferred into one or more lots for auctioning in lots."
3. Amend Article 5 of Decree No. 91/2015/ND-CP, which was amended and supplemented in Clause 2 of Article 1 of Decree No. 32/2018/ND-CP, as follows:
a) Subparagraph h of Point 1 is amended as follows:
"h) Other cases as decided by the Prime Minister based on the proposal of the agency representing the owner."
b) Subparagraph e of Point 3 is amended as follows:
"e) Other cases as decided by the Prime Minister based on the proposal of the agency representing the owner."
c) Point 4 is amended and supplemented as follows:
"4. State-owned enterprises with 100% state-owned charter capital applying high technology, making large investments, operating in the banking sector, and driving rapid development in other industries and the economy."
4. Add the following content to Point a of Clause 2 of Article 6 of Decree No. 91/2015/ND-CP:
"In the case of state capital investment to establish a state-owned enterprise with 100% state-owned charter capital using state budget funds, based on the establishment decision of the competent authority, the agency representing the owner shall send a letter requesting the financial agency at the same level to review and approve the inclusion in the annual state budget estimate (the content of state capital investment in enterprises) according to the division of state budget management authority and the provisions of the state budget law."
5. Amend Article 9 of Decree No. 91/2015/ND-CP as follows:
"Article 9. Methods for determining the registered capital for state-owned enterprises with 100% state-owned charter capital currently in operation
1. The level of registered capital of state-owned enterprises with 100% state-owned charter capital shall be established at a minimum within three years from the year when the adjustment of registered capital has been approved by the agency representing the owner in the supplementary investment plan for registered capital.
2. The amount of increased registered capital of state-owned enterprises with 100% state-owned charter capital shall be determined corresponding to the sources of investment from the state budget, Development Investment Fund at the enterprise, and Enterprise Restructuring and Development Support Fund recorded in the project investment forming assets serving production and business activities in the main industry and directly serving the main industry, which have been approved by the competent authority or investment policy decisions within a minimum period of three years from the year of determining the adjustment of registered capital, including projects that have been approved by the competent authority and are currently being implemented.
3. Based on the five-year production and business strategy and plan of the enterprise already approved by the competent authority, the maximum increase in registered capital can be up to 30% of the expected revenue increase of the third year following the actual revenue from production and business activities recorded in the audited financial report of the enterprise in the immediately preceding year before the determination of the adjustment of registered capital.
4. The amount of increased registered capital from receiving assets transferred from elsewhere funded by state budget capital; receiving money under state support policies (support for relocation, restructuring, and disposal of real estate, support for investment in industrial zone technical infrastructure); and the difference in asset valuation increase according to the policy approved by the Prime Minister.
5. The registered capital of state-owned enterprises with 100% state-owned charter capital shall be determined as follows:

6. For enterprises operating in special sectors, the determination of the level of registered capital for these enterprises shall be carried out in accordance with the specialized laws."
6. Amend Article 10 of Decree No. 91/2015/ND-CP and the content added in Clause 3 of Article 1 of Decree No. 32/2018/ND-CP as follows:
"Article 10. Procedures and formalities for preparing and approving plans for supplementary investment in registered capital for state-owned enterprises with 100% state-owned charter capital currently in operation
1. State-owned enterprises with 100% state-owned charter capital prepare plans for supplementary investment in registered capital, consisting of two parts: re-determined registered capital and sources of supplementary investment in registered capital as prescribed in Article 9 of this Decree, and submit them to the agency representing the owner. The dossier for the plan for supplementary investment in registered capital includes:"
a) Documentation determining the revised registered capital amount and proposing additional investment sources for the company's registered capital;
b) Financial status report and production and business operation results of the company, along with explanations on the objectives, necessity, and socio-economic benefits of the additional registered capital investment;
c) Documentation explaining the method of determining the adjusted registered capital level (attached with copies of decisions approving related construction investment projects in the main business sector of the company held 100% by the State; copies of the five-year business strategy and plan of the company approved by the competent authority);
d) Copy of the decision of the competent authority announcing the classification results of the company for the three consecutive years prior to the year of registered capital adjustment;
đ) Copy of the audited financial statements for the three consecutive years prior to the year of registered capital adjustment.
e) Documentation explaining the sources of funds used for additional registered capital investment and registered capital adjustment.
2. Within fifteen working days from the date of receiving the complete dossier from the company, the representative body of the owner has the responsibility to check the dossier in accordance with regulations, review the contents of the reports, evaluations, determine the registered capital level, and explain matters related to the additional investment in the company's dossier to issue a document (accompanied by the dossier established in accordance with Clause 1 of this Article) to the same-level financial agency for comments.
In case the company's dossier does not comply with the regulations, the representative body of the owner must issue a document requesting the company to supplement and complete the dossier in accordance with the regulations within seven working days from the date of receipt of the company's dossier.
3. Within fifteen working days from the date of receiving the request document from the representative body of the owner (accompanied by the dossier established in accordance with Clause 1 of this Article), the same-level financial agency provides its opinion in writing on the plan for additional registered capital investment for the company to the representative body of the owner.
If the same-level financial agency does not accept the company's dossier for additional registered capital investment, it must issue a document (specifying the reasons) to reply to the representative body of the owner and the company within ten working days from the date of receipt of the document accompanied by the complete dossier submitted by the representative body of the owner.
4. Based on the written comments of the same-level financial agency, the representative body of the owner directs state-owned enterprises holding 100% of the registered capital to complete the dossier so that the representative body of the owner can submit it to the Prime Minister for consideration and decision in accordance with the authority prescribed in Article 15 of the Law on Management and Use of State Capital for Investment in Business Operations at Enterprisesexcept for the cases stipulated in Clause 6 of this Article, specifically:
a) For enterprises established by the Prime Minister's decision, the Prime Minister considers and decides on the plan for additional registered capital investment from the state budget, Development Fund at the enterprise, and Enterprise Restructuring and Development Support Fund.
b) For enterprises established or managed by the representative body of the owner, the Prime Minister considers and decides on the principle of additional registered capital investment for these enterprises. Based on the content of the approval of the Prime Minister's principle, the representative body of the owner decides on additional registered capital investment and registered capital adjustment for these enterprises in accordance with Article 11 of this Decree.
c) In the case of additional registered capital investment from the state budget, Development Fund at the enterprise, and Enterprise Restructuring and Development Support Fund with an equivalent level to the national key project capital, the representative body of the owner reports to the Prime Minister for consideration and reports to the National Assembly for decision on the investment principle. After the National Assembly decides on the investment principle, the Prime Minister decides on the plan for additional registered capital investment.
5. For the case of additional registered capital investment from the state budget, based on the approved plan for additional registered capital investment, the representative body of the owner issues a document to the same-level financial and planning agencies to submit to the competent authority according to the分级任务如下:
6. In cases where additional paid-in capital investment only uses the Enterprise Restructuring and Development Support Fund, the representative body of the owner must have a plan to report to the Ministry of Finance (accompanied by the dossier established in accordance with Clause 1 of this Article) for review, and submit to the Prime Minister for consideration and decision.”
7. Amend Article 11 of Decree No. 91/2015/ND-CP and the content already amended and supplemented at Clause 4 of Article 1 of Decree No. 32/2018/ND-CP as follows:
"Article 11. Implementation of additional paid-in capital investment and adjustment of paid-in capital for enterprises wholly owned by the State that are currently operating
1. Based on the approved additional paid-in capital investment plan by the competent authority, the representative body of the owner shall issue a document (accompanied by the enterprise's dossier approved by the competent authority in accordance with Article 10 of this Decree), requesting the financial agency to implement additional paid-in capital investment for the enterprise.
2. The same-level financial agency shall implement additional paid-in capital investment for the enterprise according to each specific source of funds as follows:
a) In cases where additional paid-in capital investment is made from state budget funds allocated in the state budget expenditure plan approved by the competent authority (in accordance with the state budget management hierarchy), the same-level financial agency shall provide capital from the state budget to the enterprise in accordance with the procedures stipulated by the laws on the state budget."
The additional issuance of registered capital for the Vietnam Oil and Gas Group from the host country's oil and gas profits shall be carried out in accordance with the provisions of the Government Decree on the Financial Management Regulations of the Vietnam Oil and Gas Group.
b) In cases where additional registered capital is issued to enterprises from the Enterprise Restructuring and Development Support Fund, based on the Prime Minister's decision, the Ministry of Finance shall issue from the Enterprise Restructuring and Development Support Fund to the enterprise.
3. Enterprises shall adjust and supplement their registered capital in the following situations:
a) Utilizing the Enterprise Development Investment Fund.
Based on the approved supplementary registered capital investment plan and the annual financial report that has been audited, the enterprise shall transfer funds from the Enterprise Development Investment Fund to increase the owner's investment capital at the enterprise.
b) Based on the approved supplementary registered capital investment plan, when the enterprise receives assets transferred from another place invested with capital originating from the state budget; receives money according to the state support policy (support for relocation, reorganization, handling of land houses, supporting infrastructure construction in industrial zones) to implement investment construction projects, upgrading, and improving production and business facilities; reassessing assets according to the Prime Minister's approval, the enterprise shall base on the asset transfer decision of the competent authority, the asset handover record, the settlement of state support funds, and the reassessed asset value approved by the state-owned entity representative to increase the owner's investment capital at the enterprise.
c) Annually, at the time of preparing the annual financial report, based on the approved supplementary registered capital investment plan, the initial owner's investment capital value on the enterprise's annual financial report, and the actual supplementary registered capital investment value as stipulated in Clause 2 and Clause 3 of this Article, the state-owned entity representative shall report to the Prime Minister to decide the new registered capital level for enterprises established by the Prime Minister's decision; the state-owned entity representative shall decide the new registered capital level for enterprises established by the state-owned entity representative or entrusted management.
In cases where the enterprise receives assets, support funds, and reassesses assets during the year but these are not included in the approved supplementary registered capital investment plan, the enterprise shall report to the state-owned entity representative to adjust the registered capital level for the enterprise based on the above-mentioned increased capital accounting documents without having to follow the regulations stipulated in Articles 9 and 10 of this Decree.
For enterprises that have no need to supplement registered capital or do not establish a plan to determine registered capital and sources of supplementary registered capital as prescribed in this Decree, if the owner's capital (including owner's investment capital, the Enterprise Development Investment Fund, and basic construction investment capital) on the enterprise's annual financial report exceeds the previously approved registered capital level, the state-owned entity representative shall be responsible for reviewing, deciding, and directing the enterprise to submit the difference between the owner's capital and the registered capital to the state budget.
4. Enterprises shall be responsible for adjusting the registered capital level in the Business Registration Certificate to the actual amount of owner's investment capital according to the provisions of the Law on Enterprises.
8. Amend Clause 1 of Article 13 of Decree No. 91/2015/NĐ-CP as follows:
“1. The State Capital Representative at joint-stock companies and limited liability companies with two or more members shall prepare a proposal for supplementary state capital investment at joint-stock companies and limited liability companies with two or more members, report to the state-owned entity representative for review and completion of the dossier to be submitted to the Prime Minister for consideration and decision or decision within their authority before participating in voting at the Shareholders' Meeting or Members' Meeting. The dossier includes:
a) A copy of the Business Registration Certificate; the company's plan to increase its registered capital.
b) The plan for supplementary state capital investment in accordance with Clause 1 of Article 18 of the Law on Management and Use of State Capital for Investment in Production and Business Activities at Enterprises.
c) A copy of the most recent quarterly or annual financial report of the company, which has been audited, prior to the preparation of the supplementary state capital investment plan.
d) Proposals for sources of supplementary state capital investment to maintain the state shareholding ratio in joint-stock companies and limited liability companies with two or more members, including state budget capital; the Enterprise Restructuring and Development Support Fund; dividends, profits distributed, the Enterprise Development Investment Fund, surplus capital, and other funds (if any) corresponding to the state capital invested in the enterprise.”
9. Amend Article 14 of Decree No. 91/2015/NĐ-CP as follows:
“Article 14. Implementation of Supplementary State Capital Investment in Joint-Stock Companies and Limited Liability Companies with Two or More Members
1. The state-owned entity representative, based on the level of capital and sources of capital used for supplementary state capital investment in joint-stock companies and limited liability companies with two or more members approved by the competent authority (as stipulated in Article 13 of this Decree), shall issue a letter requesting the finance department to supplement state capital investment in joint-stock companies and limited liability companies with two or more members.
For cases of supplementary state capital investment in joint-stock companies and limited liability companies with two or more members using state budget capital, based on the proposal of the state capital representative at the enterprise, the state-owned entity representative shall issue a letter to the finance and planning departments at the same level to submit to the competent authority according to the division of budget management authority and the laws on the state budget to arrange in the annual state budget expenditure plan (content of state capital investment in enterprises).
2. The competent financial agency at the same level shall, based on the capital contribution deadlines announced by joint-stock companies and limited liability companies with two or more members, and the request letter from the state capital representative agency, supplement state capital for joint-stock companies and limited liability companies with two or more members according to the investment capital level approved by the competent authority.
a) In cases where additional state capital is invested from the state budget funds already recorded in the annual state budget expenditure plan approved by the competent authority (according to the state budget management hierarchy), the financial agency shall provide state budget funds to enterprises according to the procedures and formalities prescribed by the State Budget Law.
b) In cases where additional state capital is invested in joint-stock companies and limited liability companies with two or more members from the Enterprise Restructuring and Development Fund, based on the Prime Minister's decision, the Ministry of Finance shall provide funds from the Enterprise Restructuring and Development Fund to enterprises.
3. In cases where dividends, profits distributed, the Development Investment Fund, surplus capital, and other funds (if any) according to the state capital portion are used to supplement state capital in joint-stock companies and limited liability companies with two or more members according to the investment capital level approved by the competent authority, enterprises shall record the increase in state capital after the resolution of the Shareholders' Meeting or the Board of Members.
10. Supplement Clause 1 of Article 18 of Decree No. 91/2015/NĐ-CP with the following content:
"For cases where capital is provided to acquire part or all of an enterprise using state budget funds, based on the approved plan for state capital investment to acquire part or all of an enterprise, the state capital representative agency shall send a letter to the financial and planning agencies at the same level to submit to the competent authority according to the state budget management hierarchy and the State Budget Law for inclusion in the annual state budget expenditure plan (content on state capital investment in enterprises)."
11. Amend and supplement Clause 2 of Article 19 of Decree No. 91/2015/NĐ-CP, which has been amended and supplemented at point c, item 2, Clause 6 of Article 1 of Decree No. 32/2018/NĐ-CP, as follows:
"c) Joint-stock companies wholly owned by the State shall adjust the registered capital according to the provisions of the Enterprise Law, and the procedure for reducing registered capital shall be carried out according to the provisions of Article 10 of this Decree.
Enterprises that reduce their registered capital due to returning part of the capital contribution to the company owner according to the Enterprise Law shall remit the returned capital contribution to the state budget."
12. Amend and supplement point b, Clause 1 of Article 21 of Decree No. 91/2015/NĐ-CP, which has been amended and supplemented at Clause 7 of Article 1 of Decree No. 32/2018/NĐ-CP, as follows:
"b) Joint-stock companies wholly owned by the State shall not use assets, capital, land use rights granted or leased to contribute capital or invest in real estate sectors (except for joint-stock companies wholly owned by the State whose main business is real estate business according to the Real Estate Business Law), nor shall they contribute capital or purchase shares in banks, insurance companies, securities companies, venture capital funds, stock investment funds, securities investment companies, and fund management companies, except in cases decided by the Prime Minister based on the proposal of the state capital representative agency.
For the State Capital Investment Corporation, its external investment activities shall be carried out according to the Government's Decree on the functions, tasks, and operational mechanisms of the State Capital Investment Corporation, without restrictions in real estate, banking, insurance, securities, and venture capital investment sectors."
13. Amend point c, Clause 2 of Article 27 of Decree No. 91/2015/NĐ-CP as follows:
"c) In cases where the plan for selling fixed assets of joint-stock companies wholly owned by the State does not have the ability to recover the full amount of the invested capital, the enterprise must clearly explain the reasons for the inability to recover the capital to the state capital representative agency before selling the fixed assets to ensure supervision."
14. Amend point b, Clause 1 of Article 28 of Decree No. 91/2015/NĐ-CP, which has been amended and supplemented at Clause 11 of Article 1 of Decree No. 32/2018/NĐ-CP, as follows:
"b) The management, accounting, and handling of revenues from privatization shall be carried out according to the current privatization laws. Revenues from external investments by joint-stock companies wholly owned by the State shall be reflected in the financial operation revenue of the enterprise, including:
- Profits remaining after tax, after setting up reserves at subsidiary companies, and the difference between the equity capital and the registered capital of subsidiary companies.
- Profits and dividends received in cash from investing in joint-stock companies and limited liability companies with two or more members; revenues according to the current accounting system from investing under joint business contracts that do not form independent legal entities (BCC contracts)."
15. Amend and supplement Article 29 of Decree No. 91/2015/NĐ-CP, which has been amended and supplemented at Clause 12 of Article 1 of Decree No. 32/2018/NĐ-CP, as follows:
a) Amend the name of Article 29 as follows:
"Article 29. Principles and Authority to Decide on the Transfer of External Investments by Joint-Stock Companies Wholly Owned by the State"
b) Amend paragraph a, point 1 as follows:
"a) The transfer of external investments by joint-stock companies wholly owned by the State must be based on the list of transfers already approved by the competent authority; regardless of the level of investment capital and whether the enterprises in which these companies have invested are profitable or loss-making; the organization of the transfer process, preparation of transfer documents, public announcement of transfer information, and reporting of transfer results shall be carried out according to the provisions of this Decree."
In the case where a state-owned enterprise holding 100% of the charter capital transfers capital at a joint-stock company, and the company's articles of association contain restrictions on the transfer of shares as stipulated by the Enterprise Law; there is a commitment between the state-owned enterprise holding 100% of the charter capital and shareholders regarding the priority to transfer shares (in cases where shareholders can only transfer their shares to organizations or individuals who are existing shareholders of the company), then the state-owned enterprise holding 100% of the charter capital shall direct the representative of its share capital to express opinions at the General Shareholders' Meeting regarding the amendment of the company's articles of association, or the state-owned enterprise holding 100% of the charter capital shall cooperate with the representative to negotiate with shareholders to amend the commitment so that the state-owned enterprise holding 100% of the charter capital can freely transfer its contributed capital to other investors (including existing shareholders of the company).
In the case where the representative of the share capital of the enterprise has expressed opinions at the General Shareholders' Meeting but such opinions have not been approved by the General Shareholders' Meeting, or the state-owned enterprise holding 100% of the charter capital has negotiated but the shareholders have not agreed to amend the commitment, the transfer of capital by the state-owned enterprise holding 100% of the charter capital shall be carried out according to the company's articles of association and the commitments among shareholders; the transfer of capital by the state-owned enterprise holding 100% of the charter capital to existing shareholders according to the articles of association and the commitments among shareholders shall be implemented in accordance with the principles, procedures, and methods of transferring capital prescribed in this Decree.
c) Amend sub-item b, point 1 as follows:
“b) Ensure according to market principles, transparency, and fairness, the recovery of investment capital from state-owned enterprises holding 100% of the charter capital at the highest level, minimizing investment losses during the transfer of capital.”
d) Amend sub-item c, point 1 as follows:
“c) Determining the initial price when transferring capital: The state-owned enterprise holding 100% of the charter capital shall select to sign a contract for hiring an organization with appraisal functions to determine the initial price, ensuring compliance with legal provisions on prices and appraisals.
The organization with appraisal functions may choose appropriate valuation methods according to legal provisions on prices and appraisals to determine the initial price; it bears responsibility under the law for the results of the appraisal. When determining the initial price, the actual value of the capital invested outside by the state-owned enterprise holding 100% of the charter capital must be fully determined, including the value created by land use rights granted with payment for land use, land use rights legally transferred, and land lease rights (one-time payment for the entire lease period or annual payment) according to legal provisions. The determination of brand value (which includes cultural and historical value) into the initial price for transferring capital shall be carried out in accordance with the guidance of the Ministry of Finance.
Using a single initial price to implement the transfer of capital according to the methods prescribed in this Decree must ensure the principle that the maximum time from the effective date of the appraisal certificate to the final transaction day (for transactions on the securities exchange) shall not exceed six months; or calculated up to the announcement of the successful bid price for the transfer of capital (for public auction or competitive bidding methods) or calculated up to the signing of the capital transfer contract (according to the negotiation method).
In the case of transferring capital at enterprises that have not been listed or registered for trading on the stock exchange, where the proportion of capital held by the state-owned enterprise holding 100% of the charter capital is less than 36% of the charter capital and the recorded investment value in the books of the state-owned enterprise holding 100% of the charter capital must be transferred below 10 billion VND, the state-owned enterprise holding 100% of the charter capital shall consider and decide whether to hire an organization with appraisal functions or independently determine the initial price on the approval date of the capital transfer plan, ensuring the transfer value is not lower than the actual value of the capital contribution to be transferred based on the most recent financial report before the capital transfer date of the receiving enterprise or not lower than the recorded investment value in the books of the state-owned enterprise holding 100% of the charter capital after deducting the provision for investment loss (if any). The actual value of the capital contribution to be transferred is determined based on the equity value recorded in the books of the receiving enterprise and the contribution ratio of the state-owned enterprise holding 100% of the charter capital in the enterprise.
In the case of transferring capital at listed joint-stock companies or those registered for trading on the stock exchange, the determination of the initial price must comply with the above regulations and the following regulation:
- The initial price decided by the state-owned enterprise holding 100% of the charter capital to announce on the approval date of the capital transfer plan shall not be lower than the following levels: (i) the price determined by the organization with appraisal functions; (ii) the average reference price of the last thirty consecutive days before the approval date of the capital transfer plan for the securities code traded by the listed joint-stock company or those registered for trading on the stock exchange; (iii) the reference price of the securities code of the joint-stock company currently traded on the stock exchange on the day before the approval date of the capital transfer plan.
- For joint-stock companies that have been listed or registered for trading on the Stock Exchange, where the total volume of shares to be transferred has a par value under VND 10 billion, the enterprise holding 100% state capital contribution shall examine and decide on hiring an organization with appraisal functions or independently determine the initial sale price on the date of approving the capital transfer plan, ensuring it is not lower than the average reference price of the last thirty consecutive days before the approval date of the capital transfer plan of the securities code traded by the listed or registered joint-stock company on the Stock Exchange, and the reference price of the securities code of the joint-stock company traded on the Stock Exchange one day prior to the approval date of the capital transfer plan.
d) Supplement paragraph d, point 1 with the following content:
"The determination of the value created by land use rights granted with land use fees, legally transferred land use rights, and land use rights leased with a lump-sum payment for the entire lease term in the initial sale price shall be carried out according to the land price determined by the consulting organization at the time of determining the initial sale price compared to the land use fees, transfer fees, and lease payments already made and paid by other enterprises."
The determination of the value created by land use rights leased with annual payments in the initial sale price shall be carried out according to the following principle:
- Only carry out the determination of the value created by land use rights leased with annual payments in the initial sale price for the land area of other enterprises (with capital contributions from enterprises holding 100% state capital contribution) which have directly signed contracts with competent state agencies.
- The value created by land use rights leased with annual payments in the initial sale price shall be determined based on the remaining lease term and the difference (if any) between the land lease fee calculated according to the land price determined by the consulting organization at the time of determining the initial sale price and the land lease fee calculated according to the land price currently being paid by other enterprises.
The remaining lease term serving as the basis for calculating the value created by land use rights leased with annual payments in the initial sale price is the remaining time within the five-year cycle of stable land lease rates as stipulated by land laws. In cases where an enterprise has signed a land lease contract but the period of stable land lease rates has expired without signing a new contract, the remaining lease term shall be determined as five years.
- For cases where an enterprise leases land and is exempted from land lease fees according to land laws, the area of land exempted from land lease fees shall be excluded when determining the initial sale price for transferring capital.
e) Amend paragraph g, point 1 as follows:
“g) Enterprises holding 100% state capital contribution base on the list of capital transfers approved by the competent authority, prepare a capital transfer plan to submit to the competent authority for decision on implementing the capital transfer. The capital transfer plan includes the main contents as follows:
- Legal basis, purpose of transferring capital.
- Evaluation of capital investment situation, benefits obtained, and the impact of the capital transfer of enterprises holding 100% state capital contribution investing in other enterprises.
- Financial status, business results of enterprises with capital contributions from enterprises holding 100% state capital contribution, market demand for capital investment in enterprises with transferred capital. Forecast the value to be obtained from the capital transfer.
- Method of transferring capital (in case of auctioning in lots, specific grounds for applying auctioning in lots according to regulations must be reported).
- Forecasted time for implementing and completing the capital transfer.”
16. Amend and supplement Clause 13 Article 1 of Decree No. 32/2018/NĐ-CP as follows:
a) Amend the name of Article 29a as follows:
“Article 29a. Methods of Implementing Capital Transfer Out of Enterprises Holding 100% State Capital Contribution”
b) Amend and supplement paragraph a, point 1 as follows:
- Amend the second bullet point as follows:
“- The information announcement form according to the model prescribed in Appendix II issued together with Decree No. 140/2020/NĐ-CP dated November 30, 2020 of the Government;"
- Supplement the fourth bullet point with the following content:
"The minimum period for the Stock Exchange to publish information about the stock transfer transactions of the enterprise to investors is twenty days before the capital transfer date."
c) Supplement point 2 with the following content:
"The transfer of a block of shares accompanied by receivables of enterprises holding 100% state capital contribution with the function of buying, selling, and handling debts shall be implemented according to the procedures of capital transfer methods prescribed in this Decree and guidelines of the Ministry of Finance.
The model public auction rules (generally/by lot/by lot of shares accompanied by receivables) and competitive bidding (generally/by lot/by lot of shares accompanied by receivables) for capital transfer shall be implemented according to the guidelines of the Ministry of Finance."
d) Amend and supplement point 3 as follows:
- Amend the second bullet point, paragraph b as follows:
"Enterprises holding 100% state capital contribution sign a contract with the Service Center, asset auction enterprises according to the law on asset auctions, or the Stock Exchange or securities company (hereinafter referred to collectively as the auction organization) to organize the implementation of capital transfer. The auction shall be held at the headquarters of the auction organization, the enterprise holding 100% state capital contribution with transferred capital, or another location agreed upon by the enterprise holding 100% state capital contribution and the auction organization."
- Amend the third bullet point, paragraph c as follows:
"Immediately after the end of the auction, based on the auction results, the auction organization is responsible for preparing the Minutes of Auction Results; the auction organization, the enterprise holding 100% state capital contribution, and the representative of the Auction Committee (if any) jointly sign the Minutes of Auction Results according to Appendix III issued together with Decree No. 140/2020/NĐ-CP dated November 30, 2020 of the Government."
- Amend and supplement paragraph d as follows:
+ Amend the fifth plus sign, first bullet point as follows:
"+ Other cases as decided by the Prime Minister based on the proposal of the agency representing the owner."
+ Amend the second bullet point as follows:
"- The establishment and submission of the dossier, implementation, transfer of ownership of shares, and reporting on the sale of capital for the case of auctioning in lots shall be carried out as prescribed in this Article's Clause 3 Points a, b, and c, and the following provisions:"
+ Determination of the auction result shall be carried out as follows:
A valid bid price is the price that is not lower than the starting price as stipulated in the auction regulation. The winning bid price is determined as the highest valid price offered by investors.
In the event that two or more investors place the highest price equally and not lower than the starting price, within a maximum of five working days from the date of the auction session in lots, the state-owned enterprise with 100% charter capital will cooperate with the auction organization to conduct a secret ballot directly among the investors offering the same highest price to determine the investor with the highest and unique purchase price. The secret ballot price must not be lower than the highest bid price offered by the investors according to the price steps specified in the auction regulation. The investor with the highest secret ballot price is the winning bidder and will purchase the entire lot of shares. If the secret ballot results in investors continuing to offer the same price, a draw will be conducted immediately to determine the winning bidder.
In the event that the investors offering the highest price equally refuse to participate in the secret ballot or the winning bidder refuses to purchase, the auction will be deemed unsuccessful and the transfer will proceed through other methods as prescribed.
+ Based on the approved list of capital transfers, the value of the capital to be transferred, and market conditions at the time of formulating the capital transfer plan, the state-owned enterprise with 100% charter capital decides whether to sell all shares or divide the total number of shares of the capital to be transferred into multiple lots for separate auctions.
d) Amend and supplement the third, fourth, and fifth bullet points of Point 4 as follows:
"- Investors participating in the competitive bidding session may divide the total number of shares registered for purchase into several portions of different quantities to place different purchase prices, except in the case of competitive bidding in lots."
"- Corresponding to each portion of shares divided from the total number of shares registered for purchase, the investor places one purchase price but it cannot be lower than the starting price, except in the case of competitive bidding in lots."
"- The implementation, determination of results, payment of money for share sales, establishment and submission of the dossier for the transfer of share ownership and reporting on the capital transfer under the competitive bidding method shall be carried out as prescribed for the public auction method in this Article's Clause 3 Points b, c, and d."
e) Amend and supplement Point 6 as follows:
"6. After implementing the public auction, competitive bidding, and agreement methods to transfer capital without transferring the entire capital of the state-owned enterprise with 100% charter capital, the state-owned enterprise with 100% charter capital bases its decision on market demand and the development potential of other enterprises to choose the timing to continue the capital transfer process, while determining to re-establish the announced starting price for transferring capital according to the sequence of capital transfer methods prescribed in this Decree.
In the case where the state-owned enterprise with 100% charter capital is implementing the capital transfer process and the Appraisal Certificate has expired, there is no need to rebuild the capital transfer plan but the enterprise must re-determine the starting price to continue the capital transfer process according to the transfer method being implemented by the state-owned enterprise with 100% charter capital (if a public auction has already been organized but was unsuccessful or did not sell all the capital of the state-owned enterprise with 100% charter capital needed to be transferred, then the re-established starting price will be used to organize a competitive bidding session)."
For the State Capital Investment Corporation, after implementing the public auction, competitive bidding, and agreement methods to transfer capital without transferring the entire capital needed to be transferred, the mechanism for selling state capital as prescribed in the Government Decree on the functions, tasks, and operational mechanisms of the State Capital Investment Corporation shall be applied.
g) Amend and supplement Point 9 as follows:
"9. Financial treatment principles when transferring investments outside, transferring rights to purchase shares, and rights to contribute capital of the state-owned enterprise with 100% charter capital:
The proceeds from the capital transfer, capital transfer costs, and tax liabilities (if applicable) shall be recorded and accounted for according to the current enterprise accounting regulations. In the event that the proceeds from the capital transfer, after deducting the capital transfer costs, the book value of the investment, and tax liabilities (if applicable) result in a negative difference, the state-owned enterprise with 100% charter capital will use the reserve fund established according to regulations to cover the deficit."
The proceeds from the transfer of rights to purchase shares and rights to contribute capital, after deducting reasonable related transfer costs and fulfilling tax liabilities (if applicable), if there is a positive difference, the enterprise will account for it as financial income of the enterprise, and if there is a negative difference, the enterprise will account for it as financial expense of the enterprise."
h) Bổ sung vào điểm 10 nội dung sau:
“Thẩm quyền quyết định chuyển nhượng công trái, trái phiếu mà doanh nghiệp do Nhà nước nắm giữ 100% vốn điều lệ đã đầu tư để hưởng lãi thực hiện theo thẩm quyền quyết định đầu tư vốn ra ngoài doanh nghiệp tại khoản 4 Điều 28 Luật Quản lý, sử dụng vốn nhà nước đầu tư vào sản xuất, kinh doanh tại doanh nghiệp.”
i) Bổ sung vào điểm 11 nội dung sau:
“Căn cứ vào nội dung cụ thể của hợp đồng BCC, trường hợp doanh nghiệp do Nhà nước nắm giữ 100% vốn điều lệ được phép chuyển nhượng vốn, cấp có thẩm quyền quyết định chuyển nhượng vốn theo phương thức sau:
Trường hợp chỉ được phép chuyển nhượng vốn cho các thành viên tham gia hợp đồng BCC thì áp dụng phương thức chuyển nhượng vốn của doanh nghiệp do Nhà nước nắm giữ 100% vốn điều lệ tại công ty trách nhiệm hữu hạn hai thành viên trở lên quy định tại Điều 29a Nghị định này.
Trường hợp không có quy định ràng buộc chuyển nhượng vốn cho thành viên tham gia hợp đồng BCC thì áp dụng phương thức chuyển nhượng vốn của doanh nghiệp do Nhà nước nắm giữ 100% vốn điều lệ tại công ty cổ phần chưa niêm yết quy định tại Điều 29a Nghị định này.”
k) Bổ sung điểm 12 nội dung sau:
“12. Tổng công ty Đầu tư và Kinh doanh vốn nhà nước được nhận ủy thác của các tổ chức, cá nhân trong, ngoài nước để cùng chuyển nhượng vốn tại các doanh nghiệp có vốn đầu tư của Tổng công ty Đầu tư và Kinh doanh vốn nhà nước trên cơ sở cam kết cùng thực hiện chuyển nhượng vốn, đảm bảo công khai, minh bạch. Việc thực hiện chuyển nhượng vốn trong trường hợp này được thực hiện theo Nghị định này và cơ chế bán vốn của Tổng công ty Đầu tư và Kinh doanh vốn nhà nước nhưng phải đảm bảo quy định của pháp luật doanh nghiệp, pháp luật chứng khoán về chào bán chứng khoán ra công chúng.”
17. Sửa đổi, bổ sung khoản 3 Điều 37 Nghị định số 91/2015/NĐ-CP đã được sửa đổi bổ sung tại khoản 14 Điều 1 Nghị định số 32/2018/NĐ-CP như sau:
“3. Quyền, trách nhiệm, tiền lương, thù lao, tiền thưởng và quyền lợi khác của người đại diện phần vốn nhà nước thực hiện theo quy định tại Điều 48, Điều 50 Luật Quản lý, sử dụng vốn nhà nước đầu tư vào sản xuất kinh doanh tại doanh nghiệp và các nội dung sau:
a) Người đại diện phần vốn nhà nước tại doanh nghiệp có cổ phần, vốn góp của Nhà nước, phải xin ý kiến của cơ quan đại diện chủ sở hữu về phương án phân phối lợi nhuận sau thuế hàng năm của doanh nghiệp mà mình làm đại diện vốn để tham gia ý kiến, biểu quyết và quyết định tại Đại hội đồng cổ đông, cuộc họp Hội đồng thành viên theo quy định. Trước khi chỉ đạo người đại diện tham gia ý kiến, biểu quyết và quyết định tại Đại hội đồng cổ đông, cuộc họp Hội đồng thành viên, cơ quan đại diện chủ sở hữu phải có văn bản xin ý kiến gửi đến cơ quan tài chính cùng cấp (đối với doanh nghiệp có cổ phần, vốn góp của Nhà nước giữ từ 36% vốn điều lệ trở lên). Trong thời hạn 10 ngày làm việc kể từ ngày nhận được văn bản của cơ quan đại diện chủ sở hữu (gửi kèm theo: Điều lệ tổ chức và hoạt động của doanh nghiệp hiện hành, báo cáo tài chính năm đã được kiểm toán và phương án chia cổ tức, lợi nhuận sau thuế hàng năm của doanh nghiệp), cơ quan tài chính cùng cấp có ý kiến để cơ quan đại diện chủ sở hữu chỉ đạo người đại diện phần vốn nhà nước tại doanh nghiệp tham gia ý kiến, biểu quyết và quyết định tại Đại hội đồng cổ đông, cuộc họp Hội đồng thành viên. Phương án phân phối lợi nhuận sau thuế hàng năm tại doanh nghiệp có cổ phần, vốn góp của Nhà nước (trừ tổ chức tín dụng là ngân hàng thương mại cổ phần có vốn nhà nước) phải đảm bảo thực hiện theo các nguyên tắc sau:
- Đối với doanh nghiệp có cổ phần, vốn góp mà Nhà nước nắm giữ trên 50% vốn điều lệ hoặc tổng số cổ phần có quyền biểu quyết, phương án chia cổ tức, lợi nhuận sau thuế hàng năm được phân phối theo thứ tự như sau:
+ Chia lãi cho các bên góp vốn liên kết theo quy định của hợp đồng kinh tế đã ký kết (nếu có);
+ Bù đắp khoản lỗ của các năm trước đã hết thời hạn được trừ vào lợi nhuận trước thuế theo quy định.
+ Trích tối đa 30% vào quỹ đầu tư phát triển doanh nghiệp (nếu Điều lệ tổ chức và hoạt động của doanh nghiệp có quy định việc trích lập Quỹ này).
+ Trích quỹ khen thưởng, quỹ phúc lợi cho người lao động trong doanh nghiệp, quỹ thưởng người quản lý doanh nghiệp theo quy định của Chính phủ về lao động, tiền lương, thù lao, tiền thưởng đối với công ty có cổ phần, vốn góp chi phối của Nhà nước.
+ Lợi nhuận còn lại thực hiện chia hết cổ tức, lợi nhuận bằng tiền mặt cho các cổ đông, thành viên góp vốn. Đối với khoản cổ tức, lợi nhuận được chia bằng tiền mặt cho phần vốn nhà nước góp trong doanh nghiệp thực hiện nộp vào ngân sách nhà nước theo quy định.
- Đối với doanh nghiệp có cổ phần, vốn góp mà Nhà nước nắm giữ từ 36% đến 50% vốn điều lệ, sau khi có ý kiến của cơ quan tài chính cùng cấp, cơ quan đại diện chủ sở hữu có trách nhiệm chỉ đạo người đại diện phần vốn nhà nước tại doanh nghiệp tham gia ý kiến, biểu quyết và quyết định tại Đại hội đồng cổ đông, cuộc họp Hội đồng thành viên phương án phân phối lợi nhuận sau thuế hàng năm theo thứ tự như doanh nghiệp có cổ phần, vốn góp mà Nhà nước giữ từ 50% vốn điều lệ trở lên nêu trên.
- Đối với doanh nghiệp có cổ phần, vốn góp mà Nhà nước nắm giữ dưới 36% vốn điều lệ, căn cứ kế hoạch sản xuất kinh doanh hàng năm, cơ quan đại diện chủ sở hữu có trách nhiệm chỉ đạo người đại diện phần vốn nhà nước tại doanh nghiệp tham gia ý kiến, biểu quyết và quyết định tại Đại hội đồng cổ đông, cuộc họp Hội đồng thành viên phương án phân phối lợi nhuận sau thuế hàng năm cho phù hợp, trong đó phần lợi nhuận còn lại sau khi trích lập các quỹ theo Điều lệ, Quy chế quản lý tài chính được chia hết cổ tức, lợi nhuận bằng tiền mặt cho các cổ đông, thành viên góp vốn. Đối với khoản cổ tức, lợi nhuận được chia bằng tiền mặt cho phần vốn nhà nước góp trong doanh nghiệp này thực hiện nộp vào ngân sách nhà nước theo quy định.
b) Đối với tổ chức tín dụng là ngân hàng thương mại cổ phần có vốn nhà nước, việc phân phối lợi nhuận sau thuế thu nhập doanh nghiệp thực hiện theo quy định tại Nghị định số 93/2017/NĐ-CP ngày 07 tháng 8 năm 2017 của Chính phủ về chế độ tài chính đối với tổ chức tín dụng, chi nhánh ngân hàng nước ngoài và giám sát tài chính, đánh giá hiệu quả đầu tư vốn nhà nước tại tổ chức tín dụng do Nhà nước nắm giữ 100% vốn điều lệ và tổ chức tín dụng có vốn nhà nước và các văn bản sửa đổi, bổ sung, thay thế.
c) Định kỳ trong thời gian tối đa 15 ngày kể từ ngày kết thúc mỗi quý và 30 ngày kể từ ngày kết thúc năm và đột xuất theo yêu cầu của cơ quan đại diện chủ sở hữu và cơ quan tài chính cùng cấp, người đại diện phần vốn nhà nước báo cáo tình hình sản xuất, kinh doanh, tình hình tài chính và kiến nghị giải pháp đối với doanh nghiệp mà mình được cử làm đại diện vốn nhà nước. Báo cáo của người đại diện phần vốn nhà nước gửi cơ quan đại diện chủ sở hữu và cơ quan tài chính cùng cấp theo mẫu quy định tại Phụ lục III ban hành kèm theo Nghị định này.”
18. Sửa đổi Điều 38 Nghị định số 91/2015/NĐ-CP đã được sửa đổi, bổ sung tại khoản 15 Điều 1 Nghị định số 32/2018/NĐ-CP như sau:
a) Sửa đổi, bổ sung tiết a điểm 1 như sau:
“a) Việc chuyển nhượng vốn nhà nước phải theo danh mục doanh nghiệp có vốn nhà nước thực hiện chuyển nhượng đã được cấp có thẩm quyền phê duyệt theo đúng tiêu chí phân loại doanh nghiệp nhà nước, doanh nghiệp có vốn nhà nước và danh mục doanh nghiệp nhà nước thực hiện sắp xếp theo giai đoạn do Thủ tướng Chính phủ ban hành; không phân biệt mức vốn đầu tư, kết quả kinh doanh của doanh nghiệp có vốn góp của Nhà nước lãi, lỗ; việc tổ chức thực hiện chuyển nhượng vốn, lập hồ sơ chuyển nhượng vốn, thực hiện công bố thông tin chuyển nhượng vốn, báo cáo kết quả chuyển nhượng vốn, thủ tục chuyển quyền sở hữu cổ phần và gửi các hồ sơ, báo cáo kết quả chuyển nhượng vốn cho cơ quan quản lý thực hiện theo quy định tại Nghị định này.
Trường hợp cơ quan đại diện chủ sở hữu chuyển nhượng vốn nhà nước tại công ty cổ phần mà điều lệ công ty cổ phần có quy định hạn chế về chuyển nhượng cổ phần theo quy định của Luật Doanh nghiệp; có cam kết giữa cơ quan đại diện chủ sở hữu với các cổ đông về ưu tiên chuyển nhượng cổ phần (đối với trường hợp cổ đông chỉ được chuyển nhượng cổ phần của mình cho tổ chức, cá nhân là cổ đông hiện hữu của công ty) thì cơ quan đại diện chủ sở hữu chỉ đạo người đại diện phần vốn nhà nước tại doanh nghiệp có ý kiến biểu quyết tại Đại hội đồng cổ đông về việc sửa đổi điều lệ của công ty cổ phần hoặc cơ quan đại diện chủ sở hữu phối hợp với người đại diện vốn thỏa thuận với các cổ đông để sửa đổi cam kết theo hướng cổ đông Nhà nước được tự do chuyển nhượng vốn cho các nhà đầu tư khác (bao gồm cả cổ đông hiện hữu của công ty).
Trường hợp người đại diện phần vốn nhà nước tại doanh nghiệp đã có ý kiến biểu quyết tại Đại hội đồng cổ đông nhưng không được Đại hội đồng cổ đông thông qua hoặc cơ quan đại diện chủ sở hữu đã thỏa thuận nhưng cổ đông không chấp thuận sửa đổi cam kết thì việc chuyển nhượng vốn nhà nước thực hiện theo điều lệ công ty cổ phần và cam kết giữa các cổ đông; việc chuyển nhượng vốn nhà nước cho các cổ đông hiện hữu theo điều lệ và cam kết giữa các cổ đông thực hiện theo nguyên tắc, trình tự các phương thức chuyển nhượng vốn quy định tại Nghị định này.
Khi chuyển đổi doanh nghiệp do Nhà nước nắm giữ 100% vốn điều lệ thành công ty trách nhiệm hữu hạn hai thành viên trở lên dưới hình thức chuyển nhượng một phần vốn nhà nước thì việc chuyển nhượng vốn thực hiện theo trình tự các phương thức chuyển nhượng vốn nhà nước quy định tại Nghị định này.”
b) Sửa đổi tiết b, điểm 1 như sau:
“b) Bảo đảm theo nguyên tắc thị trường, công khai, minh bạch, thu hồi vốn nhà nước đầu tư ở mức cao nhất, hạn chế tối đa tổn thất đầu tư trong chuyển nhượng vốn.”
c) Sửa đổi tiết c, điểm 1 như sau:
“c) Việc xác định giá khởi điểm khi đấu giá chuyển nhượng vốn nhà nước:
Cơ quan đại diện chủ sở hữu hoặc tổ chức, cá nhân thuộc các đơn vị trực thuộc cơ quan đại diện chủ sở hữu hoặc người đại diện phần vốn nhà nước được cơ quan đại diện chủ sở hữu ủy quyền, giao nhiệm vụ bằng văn bản lựa chọn ký hợp đồng thuê tổ chức có chức năng thẩm định giá để xác định, đảm bảo tuân thủ quy định của pháp luật về giá và thẩm định giá.
Tổ chức có chức năng thẩm định giá được lựa chọn các phương pháp định giá thích hợp theo quy định của pháp luật giá và thẩm định giá để xác định giá khởi điểm; chịu trách nhiệm trước pháp luật về kết quả thẩm định giá. Khi xác định giá khởi điểm phải xác định đầy đủ giá trị thực tế phần vốn của Nhà nước đầu tư bao gồm giá trị được tạo bởi quyền sử dụng đất giao có thu tiền sử dụng đất, quyền sử dụng đất nhận chuyển nhượng hợp pháp, quyền sử dụng đất thuê (thuê trả tiền một lần cho cả thời gian thuê, thuê trả tiền hàng năm) theo quy định của pháp luật. Việc xác định giá trị thương hiệu (trong đó bao gồm giá trị văn hóa, lịch sử) vào giá khởi điểm để chuyển nhượng vốn thực hiện theo hướng dẫn của Bộ Tài chính.
Việc sử dụng một mức giá khởi điểm để thực hiện chuyển nhượng vốn theo các phương thức quy định tại Nghị định này phải đảm bảo nguyên tắc thời gian tối đa không quá 06 tháng kể từ thời điểm chứng thư thẩm định giá có hiệu lực đến ngày giao dịch cuối cùng (đối với trường hợp giao dịch trên sàn giao dịch chứng khoán); hoặc tính đến ngày công bố trúng giá chuyển nhượng vốn (đối với phương thức đấu giá công khai, chào bán cạnh tranh) hoặc tính đến ngày ký hợp đồng chuyển nhượng vốn (theo phương thức thỏa thuận).
Trường hợp chuyển nhượng vốn tại các doanh nghiệp chưa niêm yết hoặc đăng ký giao dịch trên Sở giao dịch chứng khoán mà tỷ lệ Nhà nước đang nắm giữ dưới 36% vốn điều lệ và giá trị vốn nhà nước nắm giữ trong vốn điều lệ phải chuyển nhượng dưới 10 tỷ đồng thì cơ quan đại diện chủ sở hữu xem xét, quyết định việc thuê tổ chức có chức năng thẩm định giá hoặc tự quyết định mức giá khởi điểm tại ngày phê duyệt phương án chuyển nhượng vốn đảm bảo giá trị chuyển nhượng không thấp hơn giá trị thực của phần vốn góp phải chuyển nhượng trên báo cáo tài chính gần nhất với thời điểm chuyển nhượng vốn của doanh nghiệp có vốn góp của Nhà nước. Giá trị thực của phần vốn góp phải chuyển nhượng được xác định theo giá trị vốn chủ sở hữu ghi trên sổ sách kế toán của doanh nghiệp nhận vốn góp và tỷ lệ góp vốn của Nhà nước tại doanh nghiệp.
Trường hợp chuyển nhượng vốn tại các công ty cổ phần đã niêm yết hoặc đăng ký giao dịch trên Sở giao dịch chứng khoán, việc xác định giá khởi điểm đảm bảo theo các quy định trên và quy định sau:
- Mức giá khởi điểm do cơ quan đại diện chủ sở hữu quyết định công bố tại ngày phê duyệt phương án chuyển nhượng vốn không được thấp hơn các mức giá: (i) giá xác định của tổ chức có chức năng thẩm định giá; (ii) giá tham chiếu bình quân 30 ngày liên tiếp trước ngày phê duyệt phương án chuyển nhượng vốn của mã chứng khoán đã giao dịch của công ty cổ phần niêm yết hoặc đăng ký giao dịch trên Sở giao dịch chứng khoán; (iii) giá tham chiếu của mã chứng khoán của công ty cổ phần đang giao dịch trên Sở giao dịch chứng khoán trước ngày phê duyệt phương án chuyển nhượng vốn 01 ngày.
- Đối với công ty cổ phần đã niêm yết hoặc đăng ký giao dịch trên Sở giao dịch chứng khoán mà tổng khối lượng cổ phần phải chuyển nhượng có giá trị tính theo mệnh giá dưới 10 tỷ đồng thì cơ quan đại diện chủ sở hữu xem xét, quyết định việc thuê tổ chức có chức năng thẩm định giá hoặc tự quyết định mức giá khởi điểm tại ngày phê duyệt phương án chuyển nhượng vốn đảm bảo không thấp hơn giá tham chiếu bình quân 30 ngày liên tiếp trước ngày phê duyệt phương án chuyển nhượng vốn của mã chứng khoán đã giao dịch của công ty cổ phần niêm yết hoặc đăng ký giao dịch trên Sở giao dịch chứng khoán và giá tham chiếu của mã chứng khoán của công ty cổ phần đang giao dịch trên Sở giao dịch chứng khoán trước ngày phê duyệt phương án chuyển nhượng vốn 01 ngày.”
d) Bổ sung vào tiết d, điểm 1 nội dung sau:
“Việc xác định giá trị được tạo bởi quyền sử dụng đất giao có thu tiền sử dụng đất, quyền sử dụng đất nhận chuyển nhượng hợp pháp và quyền sử dụng đất thuê trả tiền một lần cho cả thời hạn thuê trong giá khởi điểm được thực hiện theo giá đất do tổ chức tư vấn xác định tại thời điểm xác định giá khởi điểm so với tiền sử dụng đất, tiền nhận chuyển nhượng, tiền thuê đất mà doanh nghiệp có vốn góp của Nhà nước đã thực hiện nộp và trả.
Việc xác định giá trị được tạo bởi quyền sử dụng đất thuê trả tiền hàng năm trong giá khởi điểm được thực hiện theo nguyên tắc sau:
- Chỉ thực hiện xác định giá trị được tạo bởi quyền sử dụng đất thuê trả tiền hàng năm trong giá khởi điểm đối với diện tích đất của doanh nghiệp có vốn góp của Nhà nước đã và đang trực tiếp ký với cơ quan nhà nước có thẩm quyền.
- Giá trị được tạo bởi quyền sử dụng đất thuê trả tiền hàng năm trong giá khởi điểm được xác định theo thời hạn thuê đất còn lại và chênh lệch (nếu có) giữa tiền thuê đất tính theo giá đất do tổ chức tư vấn xác định tại thời điểm xác định giá khởi điểm với tiền thuê đất tính theo giá đất mà doanh nghiệp có vốn góp của Nhà nước đang thực hiện trả tiền thuê đất.
Thời hạn thuê đất còn lại làm cơ sở tính toán giá trị được tạo bởi quyền sử dụng đất thuê trả tiền hàng năm trong giá khởi điểm là thời gian còn lại trong chu kỳ ổn định đơn giá thuê đất 05 năm theo quy định của pháp luật đất đai. Trường hợp doanh nghiệp đã ký hợp đồng thuê đất nhưng hết hạn thời gian ổn định đơn giá thuê đất mà doanh nghiệp chưa ký lại hợp đồng thì thời hạn thuê đất còn lại được xác định là 05 năm.
- Đối với trường hợp doanh nghiệp thuê đất và được miễn tiền thuê đất theo quy định của pháp luật đất đai thì diện tích đất thuê được miễn tiền thuê đất được loại trừ khi xác định giá khởi điểm để chuyển nhượng vốn.”
đ) Sửa đổi tiết đ, điểm 1 như sau:
“đ) Cơ quan đại diện chủ sở hữu hoặc tổ chức, cá nhân thuộc các đơn vị trực thuộc cơ quan đại diện chủ sở hữu hoặc người đại diện phần vốn nhà nước được cơ quan đại diện chủ sở hữu ủy quyền, giao nhiệm vụ bằng văn bản thuê tổ chức đấu giá, thuê tổ chức tư vấn khác có hoạt động cung cấp dịch vụ liên quan đến chuyển nhượng vốn để tổ chức thực hiện chuyển nhượng vốn của nhà nước đầu tư tại công ty cổ phần và công ty trách nhiệm hữu hạn hai thành viên trở lên.”
19. Sửa đổi, bổ sung khoản 16 Điều 1 Nghị định số 32/2018/NĐ-CP như sau:
a) Sửa đổi, bổ sung tiết a điểm 1 như sau:
- Sửa đổi gạch đầu dòng thứ hai như sau:
“- Bản công bố thông tin theo mẫu quy định tại Phụ lục II ban hành kèm theo Nghị định số 140/2020/NĐ-CP ngày 30 tháng 11 năm 2020 của Chính phủ;”
- Bổ sung gạch đầu dòng thứ tư nội dung sau:
“- Thời hạn Sở Giao dịch chứng khoán công bố thông tin về giao dịch cổ phiếu chuyển nhượng vốn của doanh nghiệp cho các nhà đầu tư tối thiểu là 20 ngày trước ngày chuyển nhượng vốn.”
b) Bổ sung vào điểm 2 nội dung sau:
“Quy chế mẫu bán đấu giá công khai (thông thường/theo lô) và chào bán cạnh tranh (thông thường/theo lô) để chuyển nhượng vốn thực hiện theo hướng dẫn của Bộ Tài chính.”
c) Sửa đổi gạch đầu dòng thứ hai tiết b điểm 3 như sau:
“- Cơ quan đại diện chủ sở hữu hoặc tổ chức, cá nhân thuộc các đơn vị trực thuộc cơ quan đại diện chủ sở hữu hoặc người đại diện phần vốn nhà nước được cơ quan đại diện chủ sở hữu ủy quyền bằng văn bản ký hợp đồng thuê Trung tâm dịch vụ, doanh nghiệp đấu giá tài sản theo quy định của pháp luật về đấu giá tài sản hoặc Sở giao dịch chứng khoán hoặc công ty chứng khoán (sau đây gọi chung là tổ chức đấu giá) tổ chức thực hiện chuyển nhượng vốn. Cuộc đấu giá được tổ chức tại trụ sở của tổ chức đấu giá, cơ quan đại diện chủ sở hữu, doanh nghiệp có vốn nhà nước cần chuyển nhượng hoặc địa điểm khác theo thỏa thuận của cơ quan đại diện chủ sở hữu và tổ chức đấu giá.”
d) Sửa đổi, bổ sung điểm 6 như sau:
“6. Sau khi đã thực hiện các phương thức đấu giá công khai, chào bán cạnh tranh, thỏa thuận để chuyển nhượng vốn mà vẫn không chuyển nhượng hết số vốn nhà nước cần chuyển nhượng thì cơ quan đại diện chủ sở hữu căn cứ nhu cầu thị trường và khả năng phát triển của doanh nghiệp để lựa chọn thời điểm tiếp tục thực hiện chuyển nhượng vốn, đồng thời quyết định xác định lại mức giá khởi điểm đã công bố để chuyển nhượng vốn theo thứ tự thực hiện các phương thức chuyển nhượng vốn quy định tại Nghị định này.
Trường hợp cơ quan đại diện chủ sở hữu đang thực hiện chuyển nhượng vốn mà Chứng thư thẩm định giá hết hiệu lực thì không phải xây dựng lại phương án chuyển nhượng vốn nhưng phải thực hiện xác định lại giá khởi điểm để tiếp tục chuyển nhượng vốn theo phương thức chuyển nhượng mà cơ quan đại diện chủ sở hữu đang triển khai (trường hợp đã tổ chức bán đấu giá công khai nhưng không thành công hoặc chưa bán hết số vốn nhà nước cần chuyển nhượng thì căn cứ vào giá khởi điểm đã được xác định lại để tổ chức chào bán cạnh tranh).”
đ) Bổ sung điểm 10 về chi phí chuyển nhượng vốn nhà nước như sau:
“ 10. Cơ quan đại diện chủ sở hữu căn cứ lộ trình, kế hoạch thoái vốn nhà nước ở các doanh nghiệp đã được cấp có thẩm quyền phê duyệt, chỉ đạo các bộ phận chức năng xây dựng dự toán chi phí chuyển nhượng vốn nhà nước (bao gồm cả trường hợp chuyển nhượng quyền mua cổ phần, quyền góp vốn). Chi phí chuyển nhượng vốn nhà nước do cơ quan đại diện chủ sở hữu quyết định phê duyệt dự toán, quyết toán và quyết định mức chi cụ thể đảm bảo có đầy đủ chứng từ hợp lý, hợp lệ, tiết kiệm theo quy định của pháp luật hiện hành; chịu trách nhiệm trước pháp luật về quyết định của mình. Chi phí chuyển nhượng vốn nhà nước gồm chi phí thuê tư vấn thẩm định giá, chi phí tổ chức bán đấu giá, chi phí thực hiện các thủ tục pháp lý cho việc chuyển nhượng, các khoản thuế, phí, lệ phí (nếu có) phải nộp cho Nhà nước và các khoản chi phí khác có liên quan (không bao gồm khoản thù lao cho các thành viên thuộc cơ quan đại diện chủ sở hữu, người đại diện phần vốn nhà nước và thành viên của doanh nghiệp).
Căn cứ quyết định dự toán chi phí chuyển nhượng vốn, cơ quan đại diện chủ sở hữu có văn bản gửi Bộ Tài chính đề nghị xuất Quỹ hỗ trợ sắp xếp và phát triển doanh nghiệp (sau đây gọi tắt là Quỹ) để cấp tiền tạm ứng. Bộ Tài chính ban hành quyết định xuất Quỹ tạm ứng tối đa 70% tổng dự toán chi phí chuyển nhượng vốn theo quyết định đã được duyệt cho cơ quan đại diện chủ sở hữu. Trên cơ sở kết quả chuyển nhượng vốn, cơ quan đại diện chủ sở hữu có trách nhiệm quyết toán tiền thu từ chuyển nhượng vốn và chi phí chuyển nhượng vốn. Trường hợp số tiền thu từ chuyển nhượng vốn và khoản đã tạm ứng chi phí chuyển nhượng vốn cao hơn chi phí hợp lý thực tế liên quan đến chuyển nhượng vốn thì thực hiện quyết toán và nộp khoản chênh lệch về Quỹ. Trường hợp số tiền thu từ chuyển nhượng vốn và khoản tạm ứng chi phí chuyển nhượng vốn thấp hơn chi phí hợp lý thực tế liên quan đến chuyển nhượng vốn thì cơ quan đại diện chủ sở hữu có văn bản đề nghị Bộ Tài chính cấp bổ sung phần chênh lệch còn thiếu từ Quỹ. Bộ Tài chính ban hành quyết định xuất Quỹ cấp phần còn thiếu này cho cơ quan đại diện chủ sở hữu.
Cơ quan đại diện chủ sở hữu chịu trách nhiệm báo cáo kết quả chuyển nhượng vốn và quyết toán (gồm tiền thu từ chuyển nhượng vốn, chi phí hợp lý thực tế liên quan đến chuyển nhượng vốn, khoản thu đã được tạm ứng và kinh phí thừa/thiếu nộp về hoặc đề nghị cấp bổ sung từ Quỹ) kèm chứng từ có liên quan về Quỹ để làm căn cứ hoàn ứng và hạch toán kế toán.
Đối với các đơn vị đã thực hiện chuyển nhượng vốn nhà nước trước ngày Nghị định số 140/2020/NĐ-CP ngày 30 tháng 11 năm 2020 của Chính phủ có hiệu lực thi hành nhưng không thành công hoặc tiền thu từ chuyển nhượng vốn không đủ bù đắp chi phí hoặc cơ quan đại diện chủ sở hữu đã ủy quyền, giao nhiệm vụ bằng văn bản cho cá nhân lựa chọn và ký hợp đồng thuê tổ chức có chức năng thẩm định giá, thuê tổ chức đấu giá, thuê tổ chức tư vấn khác có hoạt động cung cấp dịch vụ liên quan đến chuyển nhượng vốn để tổ chức thực hiện chuyển nhượng vốn mà tiền thu từ chuyển nhượng vốn không đủ để bù đắp chi phí thì cơ quan đại diện chủ sở hữu chịu trách nhiệm phê duyệt kết quả chuyển nhượng vốn, quyết toán tiền thu và các chi phí hợp lý thực tế liên quan đến chuyển nhượng vốn, có văn bản đề nghị Bộ Tài chính kèm các hồ sơ chứng từ có liên quan để Bộ Tài chính xuất Quỹ cấp bổ sung phần chênh lệch còn thiếu cho cơ quan đại diện chủ sở hữu.
Đối với trường hợp các đơn vị đang triển khai chuyển nhượng vốn nhưng phải dừng/tạm dừng chưa tiếp tục chuyển nhượng vốn theo quyết định của Thủ tướng Chính phủ thì cơ quan đại diện chủ sở hữu chịu trách nhiệm phê duyệt quyết toán chi phí hợp lý thực tế liên quan đến chuyển nhượng vốn, có văn bản đề nghị Bộ Tài chính kèm các hồ sơ chứng từ có liên quan để Bộ Tài chính xuất Quỹ bù đắp chi phí chuyển nhượng vốn cho cơ quan đại diện chủ sở hữu.”
20. Sửa đổi, bổ sung khoản 17 Điều 1 Nghị định số 32/2018/NĐ-CP như sau:
“Điều 38b. Thực hiện chuyển nhượng quyền mua cổ phần, quyền góp vốn
1. Trường hợp chủ sở hữu vốn đã đầu tư vốn tại doanh nghiệp nhưng không thuộc ngành, lĩnh vực cần tiếp tục đầu tư thêm vốn và phải chuyển nhượng vốn theo tiêu chí phân loại doanh nghiệp nhà nước, doanh nghiệp có vốn nhà nước, danh mục doanh nghiệp nhà nước thực hiện sắp xếp trong từng giai đoạn do Thủ tướng Chính phủ ban hành thì chủ sở hữu vốn chỉ đạo người đại diện phần vốn nhà nước/người đại diện phần vốn của doanh nghiệp thực hiện xây dựng phương án chuyển nhượng vốn theo quy định tại Nghị định này và có ý kiến biểu quyết tại Đại hội đồng cổng đông (tại công ty cổ phần) hoặc Hội nghị thành viên (tại công ty trách nhiệm hữu hạn hai thành viên trở lên) không thông qua việc phát hành cổ phiếu để tăng vốn điều lệ hoặc tăng vốn góp của các thành viên dẫn tới giảm tỷ lệ vốn góp do chủ sở hữu đang nắm giữ tại doanh nghiệp.
Trường hợp người đại diện phần vốn nhà nước/người đại diện phần vốn của doanh nghiệp đã có ý kiến biểu quyết tại Đại hội đồng cổ đông (tại công ty cổ phần) hoặc Hội nghị thành viên (tại công ty trách nhiệm hữu hạn hai thành viên trở lên) không thông qua việc phát hành cổ phiếu để tăng vốn điều lệ hoặc tăng vốn góp của các thành viên dẫn tới giảm tỷ lệ vốn góp do chủ sở hữu đang nắm giữ tại doanh nghiệp nhưng không được Đại hội đồng cổ đông của công ty cổ phần hoặc Hội đồng thành viên của công ty trách nhiệm hữu hạn hai thành viên thông qua thì chủ sở hữu vốn xem xét, quyết định chuyển nhượng quyền mua cổ phần (tại công ty cổ phần) và quyền góp vốn (tại công ty trách nhiệm hữu hạn hai thành viên trở lên) của mình cho tổ chức, cá nhân khác theo quy định tại khoản 2 Điều này.
2. Trường hợp chủ sở hữu vốn đã đầu tư vốn tại doanh nghiệp nhưng không thuộc ngành, lĩnh vực cần tiếp tục đầu tư thêm vốn và không phải chuyển nhượng vốn theo tiêu chí phân loại doanh nghiệp nhà nước, doanh nghiệp có vốn nhà nước, danh mục doanh nghiệp nhà nước thực hiện sắp xếp trong từng giai đoạn do Thủ tướng Chính phủ ban hành thì chủ sở hữu vốn chỉ đạo người đại diện phần vốn nhà nước/người đại diện phần vốn của doanh nghiệp thực hiện xây dựng phương án chuyển nhượng quyền mua cổ phần (tại công ty cổ phần), quyền góp vốn (tại công ty trách nhiệm hữu hạn hai thành viên trở lên) khi doanh nghiệp thực hiện tăng vốn điều lệ.
Nguyên tắc chuyển nhượng quyền mua cổ phần thực hiện theo phương thức đấu giá công khai. Việc xác định giá khởi điểm khi đấu giá công khai quyền mua cổ phần thực hiện theo quy định tại điểm c khoản 1 Điều 29 hoặc tại điểm c khoản 1 Điều 38 Nghị định này. Trường hợp thời gian cho phép cổ đông thực hiện quyền mua cổ phần theo phương án phát hành của doanh nghiệp phát hành ngắn không đủ để tổ chức thực hiện đấu giá công khai thì chủ sở hữu vốn xem xét quyết định giá chuyển nhượng quyền mua cổ phần, phương thức chuyển nhượng thỏa thuận trực tiếp và đảm bảo nguyên tắc giá thị trường, có hiệu quả. Người đại diện phần vốn nhà nước/người đại diện phần vốn của doanh nghiệp căn cứ phương án phát hành và quy mô vốn phát hành của tổ chức phát hành báo cáo chủ sở hữu vốn quyết định phương thức thực hiện chuyển nhượng quyền mua cổ phần theo phương thức đấu giá công khai hoặc thỏa thuận. Giá bán thỏa thuận trên cơ sở giá được xác định theo quy định tại điểm c khoản 1 Điều 29 hoặc tại điểm c khoản 1 Điều 38 Nghị định này.
Việc chuyển nhượng quyền góp vốn thực hiện theo phương thức chuyển nhượng vốn của nhà nước/vốn của doanh nghiệp do Nhà nước nắm giữ 100% vốn điều lệ tại công ty trách nhiệm hữu hạn hai thành viên trở lên quy định tại Nghị định này.
Người có thẩm quyền quyết định chuyển nhượng quyền mua cổ phần, quyền góp vốn không được quyết định chuyển nhượng cho doanh nghiệp nhận chuyển nhượng trong đó có vợ hoặc chồng, cha đẻ, cha nuôi, mẹ đẻ, mẹ nuôi, con đẻ, con dâu, con rể, con nuôi, anh ruột, chị ruột, em ruột, anh rể, em rể, chị dâu, em dâu là người quản lý doanh nghiệp và không được quyết định chuyển nhượng cho các cá nhân là người có quan hệ như trên.
3. Trường hợp doanh nghiệp phải chuyển nhượng vốn theo tiêu chí phân loại doanh nghiệp nhà nước, doanh nghiệp có vốn nhà nước, danh mục doanh nghiệp nhà nước thực hiện sắp xếp trong từng giai đoạn đã được Thủ tướng Chính phủ phê duyệt nhưng doanh nghiệp xây dựng phương án tăng vốn điều lệ hoặc tăng vốn góp của các thành viên để mở rộng, phát triển hoạt động và kế hoạch thoái vốn thì người đại diện phần vốn nhà nước/người đại diện phần vốn của doanh nghiệp thực hiện xây dựng phương án cụ thể báo cáo cơ quan đại diện chủ sở hữu. Cơ quan đại diện chủ sở hữu gửi lấy ý kiến của Bộ Tài chính trước khi báo cáo Thủ tướng Chính phủ xem xét, quyết định cụ thể.”
21. Bổ sung khoản 5 Điều 40 Nghị định số 91/2015/NĐ-CP nội dung sau:
“5. Trước ngày 30 tháng 06 năm 2021, căn cứ quy định về xác định vốn điều lệ và đầu tư bổ sung vốn cho doanh nghiệp do Nhà nước nắm giữ 100% vốn điều lệ đang hoạt động quy định tại Nghị định này, các doanh nghiệp do Nhà nước nắm giữ 100% vốn điều lệ phải lập phương án xác định vốn điều lệ và nguồn đầu tư bổ sung vốn để báo cáo cơ quan đại diện chủ sở hữu trình Thủ tướng Chính phủ xem xét, quyết định và tổ chức thực hiện đầu tư bổ sung vốn, điều chỉnh vốn điều lệ theo quy định.”
22. Bổ sung khoản 5a, khoản 5b Điều 42 Nghị định số 91/2015/NĐ-CP nội dung sau:
“5a. Cơ quan đại diện chủ sở hữu chỉ đạo người đại diện phần vốn nhà nước tại các doanh nghiệp có vốn góp của Nhà nước từ 50% vốn điều lệ trở lên căn cứ các quy định tại Nghị định số 91/2015/NĐ-CP, Nghị định số 32/2018/NĐ-CP và Nghị định này để có ý kiến sửa đổi, bổ sung điều lệ của doanh nghiệp có vốn góp của Nhà nước và các quy chế quản trị nội bộ khác cho phù hợp khi quản lý, sử dụng vốn, tài sản tại doanh nghiệp và tổ chức thoái vốn đầu tư ở các doanh nghiệp khác.
5b. Hội đồng thành viên hoặc Chủ tịch doanh nghiệp do Nhà nước nắm giữ 100% vốn điều lệ chỉ đạo người đại diện phần vốn của doanh nghiệp tại các doanh nghiệp có vốn góp của doanh nghiệp do Nhà nước nắm giữ 100% vốn điều lệ từ 50% vốn điều lệ trở lên căn cứ các quy định tại Nghị định số 91/2015/NĐ-CP, Nghị định số 32/2018/NĐ-CP và Nghị định này để có ý kiến sửa đổi, bổ sung điều lệ của doanh nghiệp có vốn góp của doanh nghiệp do Nhà nước nắm giữ 100% vốn điều lệ và các quy chế quản trị nội bộ khác cho phù hợp khi quản lý, sử dụng vốn, tài sản tại doanh nghiệp và tổ chức thoái vốn đầu tư ở các doanh nghiệp khác.”
23. Ban hành kèm theo Nghị định này Phụ lục II về mẫu bản công bố thông tin về việc chuyển nhượng vốn thay thế Phụ lục I kèm theo Nghị định số 32/2018/NĐ-CP; Phụ lục III về mẫu biên bản xác định kết quả đấu giá thay thế Phụ lục II kèm theo Nghị định số 32/2018/NĐ-CP.
Điều 3. Bãi bỏ các nội dung quy định tại Nghị định số 126/2017/NĐ-CP như sau:
Nội dung quy định tại khoản 4 Điều 11. Các nội dung quy định tại Điều 12: Nội dung quy định tại điểm b khoản 5: "Trong thời gian 03 năm gần nhất với thời điểm nộp hồ sơ đăng ký thực hiện dịch vụ tư vấn xác định giá trị doanh nghiệp, mỗi năm tổ chức phải thực hiện được ít nhất 30 hợp đồng cung cấp dịch vụ thuộc các lĩnh vực nói trên". Nội dung quy định tại điểm d khoản 5. Nội dung quy định tại điểm c khoản 6. Nội dung quy định tại khoản 1 Điều 13. Nội dung quy định tại khoản 3 Điều 17. Nội dung quy định tại điểm d khoản 2 Điều 21. Nội dung quy định tại khoản 6 Điều 30. Nội dung quy định tại điểm a khoản 2 Điều 31: "Đối với một số doanh nghiệp đặc thù, cơ quan tư vấn xác định để báo cáo cơ quan đại diện chủ sở hữu quyết định xác định giá trị thương hiệu dựa vào các yếu tố lịch sử, bề dày truyền thống (nếu có)".
Điều 4. Bãi bỏ nội dung quy định tại khoản 5 Điều 4 Nghị định số 91/2015/NĐ-CP
Điều 5. Bãi bỏ các nội dung quy định tại Điều 1 Nghị định số 32/2018/NĐ-CP như sau:
1. Nội dung quy định tại tiết b điểm 2 khoản 5: "Quản lý, bảo trì hệ thống đường bộ, đường thủy nội địa".
2. Nội dung quy định tại tiết c điểm 1 khoản 13: "trường hợp trong ngày mở cuộc đấu giá công khai, chào bán cạnh tranh, ký họp đồng chuyển nhượng vốn (đối với phương thức thỏa thuận) mà giá giao dịch cổ phiếu của công ty cổ phần tính theo giá sàn cao hơn giá thanh toán được xác định phù hợp với từng phương thức chuyển nhượng (đấu giá công khai, chào bán cạnh tranh, thỏa thuận) thì nhà đầu tư phải thanh toán tiền mua cổ phần cho doanh nghiệp nhà nước theo giá giao dịch là giá sàn của ngày mở cuộc đâu giá công khai, chào bán cạnh tranh, ký hợp đồng chuyển nhượng vốn (đối với phương thức thỏa thuận); trường hợp trong ngày mở cuộc đấu giá công khai, chào bán cạnh tranh, ký hợp đồng chuyển nhượng vốn (đối với phương thức thỏa thuận) mà giá giao dịch tính theo giá sàn cổ phiếu của công ty cổ phần thấp hơn giá thanh toán được xác định phù hợp với từng phương thức chuyên nhượng (đâu giá công khai, chào bán cạnh tranh, thỏa thuận) hoặc không có giá sàn do không có giao dịch thì nhà đầu tu phải thanh toán tiền mua cổ phần cho doanh nghiệp nhà nuớc theo giá được xác định phù hợp với từng phưong thức chuyển nhượng (đấu giá công khai, chào bán cạnh tranh, thỏa thuận)"
3. Nội dung quy định tại gạch đầu dòng thứ năm tiết b điểm 3 khoản 13: "Doanh nghiệp nhà nước/tổ chức đấu giá khi thực hiện công bố thông tin về việc đấu giá cổ phần để chuyển nhượng vốn đồng thời gửi hồ sơ đấu giá đã lập theo quy định đến cơ quan đại diện chủ sở hữu và Bộ Tài chính (Cục Tài chính doanh nghiệp)".
4. Nội dung quy định tại tiết c điểm 1 khoản 16: "trường hợp trong ngày mở cuộc đấu giá công khai, chào bán cạnh tranh, ký hợp đồng chuyển nhượng vốn (đối với phương thức thỏa thuận) mà giá giao dịch cổ phiếu của công ty cổ phần tính theo giá sàn cao hơn giá thanh toán được xác định phù hợp với từng phương thức chuyển nhượng (đấu giá công khai, chào bán cạnh tranh, thỏa thuận) thì nhà đầu tư phải thanh toán tiền mua cổ phần cho cơ quan đại diện chủ sở hữu theo giá giao dịch là giá sàn của ngày mở cuộc đấu giá công khai, chào bán cạnh tranh, ký hợp đồng chuyển nhượng vốn (đối với phương thức thỏa thuận); trường hợp trong ngày mở cuộc đấu giá công khai, chào bán cạnh tranh, ký hợp đồng chuyển nhượng vốn (đối với phương thức thỏa thuận) mà giá giao dịch tính theo giá sàn cổ phiếu của công ty cổ phần thấp hơn giá thanh toán được xác định phù hợp với từng phương thức chuyển nhượng (đấu giá công khai, chào bán cạnh tranh, thỏa thuận) hoặc không có giá sàn do không có giao dịch thì nhà đầu tư phải thanh toán tiền mua cổ phần cho cơ quan đại diện chủ sở hữu theo giá được xác định phù hợp với từng phương thức chuyển nhượng (đấu giá công khai, chào bán cạnh tranh, thỏa thuận)".
5. Nội dung quy định tại gạch đầu dòng thứ năm tiết b điểm 3 khoản 16: "Cơ quan đại diện chủ sở hữu/tổ chức đấu giá khi thực hiện công bố thông tin về việc đấu giá cổ phần để chuyển nhượng vốn đồng thời gửi hồ sơ đấu giá đã lập theo quy định đến Bộ Tài chính (Cục Tài chính doanh nghiệp)".
Điều 6. Điều khoản thi hành
Nghị định này có hiệu lực thi hành từ ngày ký ban hành. Thay thế cụm từ "doanh nghiệp nhà nước" bằng cụm từ "doanh nghiệp do Nhà nước nắm giữ 100% vốn điều lệ" quy định tại Nghị định số 126/2017/NĐ-CP, Nghị định số 91/2015/NĐ-CP và Nghị định số 32/2018/NĐ-CP. Trong quá trình tổ chức thực hiện Nghị định này, nếu có khó khăn vướng mắc, các Bộ trưởng, Thủ trưởng cơ quan ngang bộ, Thủ trưởng cơ quan thuộc Chính phủ, Chủ tịch ủy ban nhân dân tỉnh, thành phố trực thuộc trung ương, Hội đồng thành viên công ty mẹ của tập đoàn kinh tế, tổng công ty nhà nước, doanh nghiệp do Nhà nước nắm giữ 100% vốn điều lệ, người đại diện phần vốn nhà nước có văn bản phản ánh về Bộ Tài chính để tổng hợp báo cáo./.
