THE MINISTER OF THE MINISTRY OF HOME AFFAIRS
Pursuant to Decree No. 102/SL-L004 dated May 20, 1957 on the right to establish associations;
Pursuant to Decree No. 88/2003/NĐ-CP dated July 30, 2003 of the Government on the organization, operation, and management of associations;
Pursuant to Decree No. 45/2003/NĐ-CP dated May 9, 2003 of the Government on the functions, tasks, powers, and organizational structure of the Ministry of Home Affairs;
Considering the proposal of the Chairman of the Vietnam Air Science and Technology Association and the Director of the Department for Non-Governmental Organizations,
DECISION:
Article 1. Approves the Charter of the Vietnam Air Science and Technology Association which was adopted at the First National Congress of the Association on September 30, 2005.
Article 2. The Standard Measurement Quality Control Department shall be responsible for organizing and guiding the implementation of the Regulations adopted herein.
Article 3. The Chairman of the Vietnam Air Science and Technology Association and the Director of the Department for Non-Governmental Organizations shall be responsible for implementing this Decision.

PART I
NAME, AIMS, AND OBJECTIVES
Article 1. Name of the Association
The Association has the name: Vietnam Air Science and Technology Association.
Abbreviation in Vietnamese: Vietnam Air Sci-Tech Assoc.
Name in English: Vietnam Aviation Scientific and Technical Association.
Abbreviation in English: VASTA.
Article 2. Aims and Objectives
The Vietnam Air Science and Technology Association (hereinafter referred to as the Association) is a voluntary social-professional organization of individuals working in the field of air science and technology throughout the country. The Association operates according to its Charter and national laws.
The objectives of the Association are to unite and support each other in enhancing professional expertise and occupational ethics; exchange experience, research, and apply science and technology to production, business, and daily life to jointly build and develop aviation science and technology sectors in line with industrialization and modernization, contributing to the cause of building and defending the country, protecting the legitimate rights of members. On this basis, integrate with organizations worldwide operating in the field of aviation science and technology.
Article 3. Field and Scope of Activities
The Vietnam Air Science and Technology Association operates in the field of aviation science, technology, and technology throughout the country; the Association is subject to state management by the Ministry of Transport regarding its activities.
Activities in the field of aviation science and technology include:
1. Exchanging scientific, technological, and technological information, production, and business within the field of aviation science and technology both domestically and internationally;
2. Participating in consulting for state agencies on planning, plans, mechanisms, and policies for developing the Vietnamese aviation industry when requested;
3. Supporting training, improving skills, and professional expertise for members in accordance with the law;
4. Enhancing integration with the activities of associations in the region and globally in accordance with the law.
Article 4. Legal Status
1. The Association has legal personality, its own seal, and separate bank accounts.
2. The main office of the Association is located in Hanoi city, while the Association also has representative offices both domestically and internationally in accordance with the law.
Chapter II
TASKS AND POWERS
Article 5. Tasks
1. To gather organizations and Vietnamese citizens engaged in the field of aviation science and technology, promote unity and mutual support; encourage enthusiasm and creativity in scientific research and apply scientific, technological, and technical achievements to the practical activities of members to jointly perform well in building and developing the aviation science and technology industry.
2. To compile opinions of members to make recommendations to state management agencies on policies, measures related to the development of the aviation science and technology industry. Support members on issues within their fields of activity to create conditions for the industry to develop steadily and sustainably.
3. Take the initiative in research and search work to build and develop the industry and fields of aviation science and technology. Assist members to avoid violations during the management and protection of works within their fields of activity, as well as establish their rights and obligations.
4. Update and provide members with information on policies, laws, and state guidelines related to the field of aviation science and technology. Guide and monitor members' compliance with laws, state policies, and regulations of the Association.
5. Encourage, support, and introduce the achievements and capabilities of members in scientific research and production, business.
6. Collect and provide members with information about markets, technologies, sciences, management, and economics related to the Association's field of activity. Help and advise members in researching and developing their capabilities.
7. Establish cooperation relationships with relevant international organizations in accordance with the law, aiming to create a favorable environment for the development of the aviation science and technology industry, integration with the region and the world. 8. Perform other tasks when requested by the state.
Article 6. Authorities
1. Represent members in internal and external relations related to the functions and tasks of the Association.
2. Protect the legitimate rights and interests of the Association and its members. Organize coordination of activities among members for the common benefit of the Association. Mediate disputes within the Association.
3. Participate in comments on regulatory and legal documents related to the Association's activities. Make recommendations to competent state agencies regarding issues related to the field of activity and the development of the Association as prescribed by law. 4. Be entitled to raise funds for the Association based on membership fees and lawful revenues from business and service activities to cover the Association's expenses.
5. Receive lawful financial support from organizations and individuals both domestically and internationally as prescribed by law.
6. Publish magazines, journals, and other publications in the field of aviation science and technology as prescribed by law.
7. Be entitled to participate in signing and implementing agreements with international organizations on professional activities as prescribed by law.
8. Coordinate between members in activities related to searching, building, and developing the Vietnamese aviation science and technology industry as prescribed by law.
9. Conduct training courses, issue certificates for professional skill enhancement and training for members and individuals with relevant needs in the aviation field as prescribed by law.
10. Organize conferences, seminars, specialized reports, experience exchanges, training sessions, and vocational training support with domestic and foreign organizations on issues related to the aviation science and technology field as prescribed by law.
11. Establish and dissolve subordinate organizations of the Association in accordance with the law and the Charter of the Association.
12. Reward members who have achieved results in implementing the Association's Charter and discipline members who violate the Association's Charter.

Chapter III
MEMBERS
Article 7. Members and membership criteria
1. Regular members: Organizations and Vietnamese citizens operating in fields related to aviation science and technology, and state management officials from state agencies, after being introduced and agreeing with the Association's Charter, voluntarily submit an application for membership (as prescribed), pay the Association's membership fee and dues, and are considered for recognition as regular members of the Association.
2. Associated members: Organizations and Vietnamese citizens operating in fields related to aviation science and technology but not yet meeting the conditions to participate in Association activities, agree with the Association's Charter, voluntarily submit an application for membership and pay the membership fee, and are considered for recognition as associated members.
3. Honorary members: Vietnamese citizens, scientific and technical managers, and legal entities who have made contributions to the development of the field of aviation science and technology and the Association, have prestige, agree with the Association's Charter, and express a desire to join. The Association will consider inviting them to become honorary members of the Association.
4. Founding members of the Association recognized by the Founding Congress are considered founding members of the Association.
5. Admission of new members shall be regulated by the Central Executive Board of the Association.
6. Legal persons (enterprises or organizations) must appoint a representative to the Association. The representative must have decision-making authority and their name and position must be clearly stated in the application for membership. In case of delegation, the delegate must have sufficient decision-making authority and the delegator must bear responsibility for the delegation. When changing representatives, the legal person must notify the Central Executive Board of the Association in writing.
Article 8. Obligations of members
1. Strictly comply with the State's policies, laws, and the Association's Charter. Comply with resolutions of the Congress and the Central Executive Board of the Association.
In cases where associated members and honorary members have opinions differing from those of the resolution, such opinions must be presented in writing for the Central Executive Board of the Association to consider.
2. Timely provide the Central Executive Board of the Association (upon request) with lawful information related to the field of aviation science and technology to serve the Association's work requirements.
3. Actively participate in Association activities and social life. Cooperate with other members to jointly contribute to building the Association increasingly strong.
4. Attend regular and extraordinary meetings of the Association.
5. Pay the Association's membership fee and dues fully and on time as stipulated in the Charter.
6. Protect the Association's reputation. Without authorization from the Central Executive Board of the Association, they may not act on behalf of the Association in transactions.
Article 9. Rights of members
1. To express wishes through the Association and have the Association protect their legitimate rights and interests in activities consistent with the Association's duties and powers.
2. To be provided with information serving research, production-business development, and participation in conferences, seminars, training sessions organized by the Association or invited by the Association.
3. To request the Association to intervene with competent authorities regarding the system, policies, and legitimate interests of members in accordance with the law. To request intervention to resolve violations caused by organizations or individuals that harm their reputation and development.
4. To participate in economic contracts signed by the Association with partners both domestically and internationally. To request the Association to act as intermediary or consultant in transactions.
5. To be provided with information and assistance in resolving disputes. To participate in forms of collaboration organized by the Association.
6. To participate in Association activities; attend Congresses; nominate, be nominated, and elected to leadership bodies of the Association. To discuss and vote on resolutions concerning Association issues; criticize and question the Central Executive Boards at all levels about every policy and activity of the Association.
7. To be issued a member card, to leave the Association, and to join other associations.
8. Associated members and honorary members enjoy the same rights as regular members, except for the right to nominate and be elected to leadership positions within the Association and the right to vote.
Article 10. Termination of Membership Status
1. The membership status of the Association shall cease to be valid if any of the following occurs: An organization or individual belonging to the Association ceases its activities for three months; is suspended from operation; is dissolved; or is declared bankrupt.
2. An organization or individual belonging to the Association who violates any of the following provisions and is decided by the Central Executive Board to terminate their membership status with the agreement of at least two-thirds of the Central Executive Board members:
a) Engaging in activities contrary to state laws regarding associations;
b) Engaging in activities contrary to the objectives and purposes of the Association, causing damage to the Association's reputation;
c) Failing to fulfill the obligations of a member, not complying properly or violating the provisions of the Association's Charter.
3. All members (regular, affiliated, honorary) will automatically have their names removed from the list of members when they lose their civil rights.
Chapter IV
ORGANIZATION AND MANAGEMENT
Article 11. Principles of Organization
1. The Vietnam Aviation Science and Technology Association is organized and operates on the principles of voluntariness, self-management, financial self-sufficiency, and legal responsibility, with equality among all members.

Article 13. Term Conventions (General Assembly or Delegates' Congress), Annual Meetings, and Extraordinary Conventions.
1. The General Assembly (or Delegates' Congress) of Members is the highest leading body of the Association, convened by the Central Executive Board of the Association once every five years, with the tasks of:

c) Deciding on membership fees and annual dues for members in the upcoming term;
d) Deciding to amend or supplement the Association's Charter;
e) Discussing and deciding on important and urgent matters of the Association;
g) Electing the Central Executive Board and the Inspection Board of the Association.
2. The founding convention of the Association is the first term convention of the Association. At this convention, the Association will carry out the following main tasks:
a) Approving the draft Charter of the Association;
b) Setting out the direction of the Association's activities in the first term;
c) Electing the Association's leading bodies.
3. Annual meetings are held once a year to review and evaluate the Association's activities for the year.
4. Extraordinary conventions are convened by the decision of the Central Executive Board of the Association when at least two-thirds of the Central Executive Board members or more than half of the total number of regular members propose it.
Article 14. Voting Principles at Conventions
1. When convening a convention, the Central Executive Board of the Association must announce the agenda of the convention and send invitations to members at least twenty days before the scheduled meeting date.
2. Resolutions of the convention are taken by a majority present at the convention.
3. Specifically, for the following particularly important issues, they must be approved by two-thirds of the members present and that number must exceed half of the total number of members of the Association:
a) Amending or supplementing the Charter;
b) Dismissing some members of the Central Executive Board;
c) Dissolving and liquidating the Association's assets.
Article 15. The Association's Self-Dissolution
Apart from cases where the competent state authority issues a decision to dissolve the Association, the Association may only self-dissolve if more than two-thirds of the delegates attending the Congress vote in favor, and this number must exceed half of the total number of members of the Association. This resolution must also be approved by the competent state authority after all debts have been settled and the Association's assets liquidated.
Article 16. Central Executive Board of the Association
1. The Central Executive Board of the Association (referred to as the Executive Board) is the governing body responsible for leading and managing all activities of the Association between congresses. The Executive Board consists of: the Chairman, Vice Chairmen, and Members.
2. The number of members of the Executive Board is elected directly by secret ballot or show of hands at the full congress (or member representative congress). The candidate must receive more than 50% of valid votes.
3. In addition to the Members of the Executive Board elected by the congress, there are Members who are representatives of state management agencies related to the aviation science and technology sector, invited to participate and agreed upon by the congress, with duties and powers similar to other Members.
4. When the number of Members of the Executive Board does not meet the requirements set by the congress, the Executive Board has the right to elect additional Members to fill vacancies from among the official members of the Association, but not exceeding the number of Members specified by the congress.
5. Members of the Executive Board can be re-elected at the next term congress and may also be relieved of their duties before the end of their term according to the decision of the congress.
6. If a Member of the Executive Board or the representative of a legal entity retires or transfers to another job, they must be replaced by someone from the same legal entity and remain a Member of the Executive Board.
7. The term of office of the Executive Board coincides with the term of the congress.
Article 17. Duties of the Executive Board
1. Lead the work of the Association between congresses. Organize the implementation of congress resolutions and propose measures to implement these resolutions.
2. Develop the annual work program and budget, final accounts of income and expenditure of the Association.
3. Decide on the organizational structure and working machinery of the Association; Elect and dismiss leadership positions of the Association: Chairman, Vice Chairmen, General Secretary.
4. When necessary, establish or dissolve specialized sub-committees to assist, in accordance with the law.
5. Prepare the content and convene regular and extraordinary congresses of the Association.
6. Examine the admission, expulsion, commendation, and disciplinary actions against members.
Article 18. Principles of Operation of the Executive Board
1. The Executive Board meets regularly once a year in years without a congress; or may convene extraordinary meetings at the proposal of the Association Chairman or at least two-thirds of the total number of Executive Board Members or more than half of the official members. The Central Executive Board operates under regulations adopted by the congress.
2. Decisions of the Executive Board are made by majority vote of the present members. In case of equal votes, the decision is made in favor of the side with the opinion of the Association Chairman.
Article 19. Standing Committee
1. The Central Standing Committee of the Association (referred to as the Standing Committee) is the governing body responsible for leading and managing the Association between meetings of the Central Executive Board of the Association.
2. The Standing Committee consists of the Association Chairman, Vice Chairmen of the Association, the Association General Secretary, and some Members of the Executive Board, chaired by the Association Chairman. The number of Standing Committee members is determined and elected by the Executive Board.
3. The Standing Committee convenes regularly every six (06) months to hear the General Secretary's report on the Association's activities over the past six months and to discuss plans for the next six months. When necessary, the Association Chairman may convene an extraordinary meeting of the Central Standing Committee.
Article 20. Supervisory Board
1. The Supervisory Board consists of three (03) members elected by the Congress from among the members of the Association. The Chairman of the Supervisory Board must be a member of the Central Executive Committee.
2. The term of office of the Supervisory Board is the same as that of the Congress.
3. The Supervisory Board has the duty to inspect the implementation of resolutions of the Congress and the enforcement of the Charter of the Association by its members.
4. The Supervisory Board has the duty to report to the Executive Committee and to the Congress on the activities of the Supervisory Board and on the financial situation of the Association during the term of office.
5. When necessary, the Supervisory Board may inform the situation and request the Executive Committee to resolve issues discovered by the Supervisory Board according to its assigned tasks.
Article 21. Honorary President, President, and Vice Presidents of the Association
1. Honorary President is a person honored by the Congress, who has the right to participate in the Congress and the Executive Committee meetings but does not vote.
2. President of the Association
The President of the Association is elected by the Central Executive Committee of the Association, with the following duties:
a) Representing the Association before the law;
b) Organizing and managing the activities of the Association and deciding matters of the Association according to the resolutions of the Congress, the Executive Committee, and the Standing Committee of the Association;
c) Chairing meetings of the Executive Committee, the Standing Committee, and annual meetings of the Association;
d) Directly directing the General Secretary of the Association;
e) Approving personnel for the Association's Office and affiliated organizations established by the Association.
3. Vice Presidents of the Association
The Vice Presidents of the Association are elected by the Executive Committee, assisting the President, assigned specific tasks by the President, and may be authorized to manage the work of the Executive Committee when the President is absent. The number of Vice Presidents is decided by the Executive Committee upon the recommendation of the President.
Article 22. General Secretary and Deputy General Secretaries
1. General Secretary
The General Secretary is elected by the Central Executive Committee of the Association.
The General Secretary directly manages all activities of the Association's Office, with the following responsibilities:
a) Drafting operational regulations of the Office, financial management regulations, and asset management regulations of the Association, to be submitted to the Executive Committee for approval;
b) Regularly reporting to the Executive Committee on the activities of the Association;
c) Managing lists, files, and documents related to members and affiliated organizations;
d) Being responsible before the Executive Committee and the law for the activities of the Association's Office.
2. Deputy General Secretaries
a) Deputy General Secretaries are appointed by the President of the Association at the suggestion of the General Secretary.
b) Deputy General Secretaries assist the General Secretary in managing the Office's work and perform the duties of the General Secretary when the General Secretary is absent.
Article 23. Association's Office
1. The Association's Office is organized and operates according to the regulations drafted by the General Secretary and approved by the Central Executive Committee of the Association.
2. The Association may establish representative offices in provinces and cities as provided by law to facilitate the implementation of the Association's work.
3. Staff of the Association's Office are recruited and employed under labor contracts as prescribed by law.

Article 24. Procedures for Establishing Specialized Committees and Affiliated Organizations of the Association
Based on work requirements, the Central Executive Committee of the Association may establish specialized sub-committees or affiliated organizations of the Association as prescribed by law.
Article 25. Subchapter and Duties of the Subchapter
1. Subchapter
a) The establishment of the Aviation Science and Technology Subchapter must be agreed upon by the Central Executive Committee of the Association and the competent state agency as prescribed by law. The Subchapter operates according to the regulations approved by the Central Executive Committee of the Association and in accordance with the Charter of the Association.
b) Each research institution or enterprise with five (05) members of the Association or more may establish a Subchapter. The leadership of the Subchapter is elected by all members of the Subchapter.
2. Duties of the Subchapter
a) To maintain the implementation of the Charter of the Association, the regulations of the Central Executive Committee of the Association, and those of the Subchapter.
b) To direct research activities; production, business, and service development activities in accordance with the capabilities of the members within the Subchapter.
c) To promote the recruitment of new members and enhance the reputation of the Association. and improve the professional capacity of the members of the Subchapter.
d) To organize various forms of study sessions, tours, and training to enhance the professional skills of the members of the Subchapter.
Chapter V
ASSETS AND FINANCES OF THE ASSOCIATION
Article 26. Sources of Income for the Association
1. Membership fees and annual dues of members.
2. Revenue from service activities of organizations under the Association.
3. Sponsorships from organizations or individuals both domestically and internationally as prescribed by law.
4. State subsidies (if any).
Article 27. Use of the Association's Funds
The funds of the Association are used for the following purposes:
1. Covering the expenses of the Association’s activities;
2. Paying salaries to full-time and contractual staff of the Association;
3. Other necessary expenses.
Article 28. Management of Assets and Finances
1. The assets and finances of the Association are managed and utilized according to the regulations of the Central Executive Committee of the Association and in compliance with current management systems of the state.
2. The Audit Board is responsible for inspecting and publicly reporting on the financial status and assets annually at the Association's Annual General Meeting.
3. When a level of the Association declares dissolution, its assets and finances must be handed over to the immediate superior level. Upon the dissolution of the Association, its assets and finances must be inventoried and disposed of in accordance with the law.
Chapter VI
REWARD AND DISCIPLINE
Article 29. Awards
Organizations and individual members who achieve outstanding results will be considered for annual awards by the Association; they may also be recommended for awards by the state and local authorities. The form of award is determined by the Central Standing Committee of the Association.
Article 30. Disciplinary Measures
Organizations and individual members who violate the Charter of the Association will be subject to disciplinary measures based on the severity of the violation. Forms of disciplinary action by the Association include: Reprimand; warning; expulsion from the Association.
In cases where laws are violated, administrative penalties or criminal liability may be pursued according to the law.
Chapter VII
IMPLEMENTING PROVISIONS
Article 31. Effectiveness of the Charter
1. This Charter consists of seven Chapters and thirty-one Articles and was adopted by the First National Congress of the Vietnam Aviation Science and Technology Association on September 30, 2005.
Only the National Congress of the Vietnam Aviation Science and Technology Association has the authority to amend this Charter.
2. This Charter takes effect upon approval by the Minister of Home Affairs./.
