Pursuant to the Law on Organization of the Government dated December 25, 2001;

Pursuant to the Law on State-Owned Enterprises dated November 26, 2003;

Pursuant to the Enterprise Law dated November 29, 2005;

Pursuant to the Decree No. 132/2005/NĐ-CP dated October 20, 2005 of the Government on the implementation of rights and obligations of state owners towards state-owned companies and the Decree No. 86/2006/NĐ-CP dated August 21, 2006 of the Government amending and supplementing certain articles of Decree No. 132/2005/NĐ-CP;

Considering the proposal of the Board of Directors of Vietnam Cement Corporation,

DECISION:

Article 1. Adjusting certain contents of Decision No. 196/2006/QĐ-TTg dated August 29, 2006 of the Prime Minister approving the project to transform Vietnam Cement Corporation into a holding company - subsidiary model and Decision No. 197/2006/QĐ-TTg dated August 29, 2006 of the Prime Minister on the establishment of the Holding Company - Vietnam Cement Corporation as follows:

1. Changing the name of Vietnam Cement Corporation to Vietnam Cement Industry Corporation.

- International trade name: VIETNAM CEMENT INDUSTRY CORPORATION.

- Abbreviation: VICEM.

- Head office located in Hanoi city.

The Holding Company - Vietnam Cement Industry Corporation is a state-owned enterprise with full legal personality, having its own seal, logo, charter of organization and operation; it has the function of production, business, financial investment in other enterprises; maintaining control over subsidiaries through capital, technology, brand, market; directly managing financial resources and providing consulting services, production and business secrets, training... for subsidiaries.

2. Supplementing additional business sectors of the Holding Company - Vietnam Cement Industry Corporation as follows: construction, management, exploitation of seaports, river ports; construction, management, exploitation of expressways, sea routes, railways; investment, operation of infrastructure, industrial zones and urban areas, real estate business, leasing factories, warehouses, housing, offices; production and operation of electricity; planting forests, exploitation and processing of rubber; labor export; occupational disease treatment and functional recovery; tourism, hotels, restaurants and other public services.

3. Changing the restructuring form for the following companies:

a) Maintaining Vietnam Cement Hoang Thach Company as an independent accounting member company and undergoing shareholding transformation in 2008;

b) Transforming Vietnam Cement Investment Consulting Development Company into a limited liability company with one member in 2008.

Article 2. This Decision shall take effect fifteen days after its publication in the Official Gazette.

Ministers of the Ministries of Construction, Finance, Planning and Investment, Labor, Invalids and Social Affairs, Home Affairs, Governor of the State Bank of Vietnam, Heads of relevant agencies, Board of Directors of Vietnam Cement Corporation are responsible for implementing this Decision./.
