DECREE
REGARDING THE ESTABLISHMENT AND OPERATIONS OF COMMODITY EXCHANGE BOARDS IN THE INTERNATIONAL FINANCIAL CENTER IN VIETNAM
IN THE INTERNATIONAL FINANCIAL CENTRE OF VIETNAM
On the basis of 61/2014/QH13;
Pursuant to the Investment Law number 61/2020/QH14 amended and supplemented by Law number 72/2020/QH14, Law number 03/2022/QH15, Law number 05/2022/QH15, Law number 08/2022/QH15, Law number 09/2022/QH15, Law number 20/2025/QH15, Law number 26/2023/QH15, Law number 27/2023/QH15, Law number 28/2023/QH15, Law number 31/2024/QH15, Law number 33/2024/QH15, Law number 43/2024/QH15, Law number 57/2024/QH15 and Law number 90/2025/QH15;

Pursuant to Resolution No. Resolution number 222/2025/QH15 of the National Assembly on the International Financial Center in Vietnam;
At the proposal of the Minister of Industry and Trade;
The Government promulgates this Decree on the establishment and operations of commodity exchange boards in the International Financial Center in Vietnam.
PART I
GENERAL PROVISIONS
Article 1. Scope of Regulation
This Decree provides detailed regulations and guidance for implementing Articles 10, 11, 12, 13, 15, and 31 of Resolution number 222/2025/QH15 of the National Assembly on the International Financial Center in Vietnam regarding the establishment and operations of commodity exchange boards in the International Financial Center in Vietnam.
Article 2. Applicability
This Decree applies to commodity exchange boards, investors, traders, agencies, organizations, and other individuals related to the operations of the International Financial Center in Vietnam (hereinafter referred to as the International Financial Center).
Article 3. Explanation of Terms
In this Decree, the following terms shall be understood as follows:
1. Commodity exchange board is an organization that lists and trades commodities, derivative commodities, including spot commodity contracts, derivative commodity contracts traded through matching orders, auctions, negotiations, or other lawful methods.
2. Trading floor is the trading system of the commodity exchange board, including trading locations, digital platforms (trading platforms) for executing spot commodity contracts, derivative commodity contracts.
3. Trading platform is a technological system, including technical infrastructure, software, databases, and digital applications, allowing the execution, management, and confirmation of commodity, service, and asset transactions in electronic or digital data form, ensuring integrity, traceability, and authentication as prescribed by law.
4. Spot commodity contract is a purchase and sale contract for commodities traded on the commodity exchange board, whereby the purchase and sale price is determined at the time of contract conclusion, and delivery and payment are carried out immediately or within a short period as stipulated by the commodity exchange board.
5. Derivative commodity contract is a contract listed and traded on trading floors and trading platforms of the commodity exchange board, including futures contracts, options contracts, swap contracts, spread contracts, and other derivative contracts.
6. Futures contract is a standardized forward contract listed and traded on the commodity exchange board, whereby the parties commit to buy or sell a specific quantity of goods at a predetermined future date with a price agreed upon at the time of contract conclusion.
7. Options contract is a contract listed and traded through the commodity exchange board, whereby the buyer has the right (but not the obligation) to buy or sell a certain quantity of goods at an agreed-upon price (exercise price) during a specified period or at a specified future date; the seller is obligated to execute the transaction when the buyer requests it.
8. Swap contract is a contract listed and traded through the commodity exchange board, whereby the parties commit to exchange cash flows, payment obligations, or other economic benefits related to goods over a specified period, according to a pre-agreed price, formula, or calculation method.
9. Spread contract is a derivative contract between the parties, whereby the contract is executed by paying the difference between the price of the commodity at the time of opening a position and the time of closing the position.
10. Opening a position is establishing a new trading status by executing a buy or sell order for a commodity contract.
11. Closing a position is executing a corresponding transaction to close or reduce the volume of a previously opened buy or sell position.
Chapter II
ESTABLISHMENT AND OPERATIONS OF COMMODITY EXCHANGE BOARDS
Article 4. Conditions for establishment and operation of commodity exchange
A business wishing to establish a Commodity Exchange must meet the following conditions:
1. It must be a Member of the International Financial Center or a company owned or controlled by a Member of the International Financial Center, wherein the capital contribution ratio of the International Financial Center Member Company must be at least 49% of the registered capital.
2. In case it is a foreign-invested enterprise, the total proportion of foreign investors' capital contribution shall not exceed 49%.
3. Registered capital of at least 1.5 trillion VND (one thousand five hundred billion VND).
4. Have a model, organizational structure, and functions of a Commodity Exchange.
5. Draft Articles of Operation consistent with the Government's regulations on commodity trading through Commodity Exchanges and this Decree.
6. Have an information technology system meeting management requirements, ensuring safe, stable, and secure operation, including the main contents as follows:
a) An electronic trading platform ensuring smooth, safe operations, capable of processing and storing transaction data, order modifications, cancellations, and real-time matching results;
b) A margin management and settlement system ensuring accurate and timely control over margin obligations, payments, and risk management in transactions;
c) A transaction monitoring system capable of tracking, detecting, warning, and retaining data for management and supervision of commodity trading activities;
d) Information security and backup requirements ensuring technical standards, cybersecurity, and system recovery capabilities in case of incidents;
đ) Capable of connecting with members and state management agencies to ensure openness, safety, synchronization, and provision of accurate, transparent data.
The administrative authority in cities shall provide detailed guidance on the provisions of Clause 6 of this Article.
Article 5. Documents for Requesting Establishment of a Commodity Exchange
1. Application for establishing a Commodity Exchange according to Model No. 01.GĐN stipulated in Appendix I issued together with this Decree.
2. Proposal explaining the model, organizational structure, and functions of the Commodity Exchange.
3. Draft Articles of Operation.
4. Documentation describing the information technology system, including the trading platform that meets the Government's regulations on commodity trading through Commodity Exchanges.
Article 6. Issuance of License for Establishing a Commodity Exchange
1. The administrative authority in cities is responsible for reviewing the conditions and documents requesting the establishment of a Commodity Exchange.
2. Procedure for issuing a License for Establishing a Commodity Exchange
a) The business submits one set of documents to the administrative authority in cities via one of three methods: direct submission, postal service, or the Electronic One-Stop Administrative Service System at the International Financial Center;
b) In case the documents are incomplete, within seven working days from the date of receipt of the business's documents, the administrative authority in cities will issue a written request for the business to amend and supplement the documents;
c) Within thirty working days from the date of receiving complete and valid documents, the administrative authority in cities is responsible for reviewing and issuing a License for Establishing a Commodity Exchange if all conditions stipulated in Article 4 of this Decree are met. In case of refusal to issue a License for Establishing a Commodity Exchange, the administrative authority in cities will respond in writing, clearly stating the reasons for refusal.
Article 7. License for Establishing a Commodity Exchange
The content of the License for Establishing a Commodity Exchange (hereinafter referred to as the Establishment License) shall be in accordance with Model No. 01.GP attached as Appendix II issued together with this Decree.
Article 8. Amending and Supplementing the Establishment License
1. In case there is a change in the content of the Establishment License, the enterprise shall submit one set of documents requesting to amend and supplement the Establishment License to the Management Agency in cities through one of the three methods: direct submission, postal service, or the electronic single window system at the International Financial Center.
2. The documents requesting to amend and supplement the Establishment License include:
a) A request for amending and supplementing the Establishment License according to Model No. 02.GĐN attached as Appendix I to this Decree;
b) Documents proving the requirements for amending and supplementing.
3. Within fifteen working days from the date of receipt of the valid documents as stipulated in Clause 2 of this Article, the Management Agency in cities shall decide on amending and supplementing the Establishment License. In case the Establishment License is not amended or supplemented, the Management Agency in cities shall notify in writing and specify the reasons.
Article 9. Reissuing the Establishment License
1. In case the Establishment License is lost, torn, or damaged in any other form, the procedure and formalities for reissuing shall be as follows:
a) The enterprise shall submit one set of documents requesting to reissue the Establishment License to the Management Agency in cities through one of the three methods: direct submission, postal service, or the electronic single window system at the International Financial Center;
b) The documents requesting to reissue the Establishment License include a request for reissuing the Establishment License according to Model No. 03.GĐN attached as Appendix I to this Decree;
c) Within seven working days from the date of receipt of the valid documents, the Management Agency in cities shall decide on reissuing the Establishment License.
2. In case the Establishment License contains errors or mistakes, the Management Agency in cities shall proceed to revoke and reissue the Establishment License.
Article 10. Suspension of Operations and Revocation of the Establishment License
The Management Agency in cities shall suspend operations and revoke the Establishment License in cases as prescribed by the Government regarding commodity trading activities through a Commodity Exchange.
Article 11. Emergency Management Measures
1. In case there is a risk of causing instability in the commodity trading market, affecting economic-financial security, public order, and social safety, or signs of serious violations of laws related to trading activities at the Commodity Exchange in the International Financial Center appear, the Ministry of Industry and Trade has the right to apply one or more emergency measures simultaneously, including: temporarily suspending or limiting transactions on the system of the Commodity Exchange; applying special control regimes for information technology systems; announcing urgent information about market developments and potential risks; restricting or suspending access rights to the system for organizations and individuals violating the law or manipulating the market, to ensure technical safety, transparency, and market stability.
2. In case these measures are applied as stipulated in Clause 1 of this Article, the Ministry of Industry and Trade shall publicly announce the reasons, scope of application, duration of effectiveness, and guidance for implementation for relevant organizations and individuals.
Article 12. Commodities permitted for trading through the Commodity Exchange
Commodities permitted for trading through the Commodity Exchange, as stipulated in Article 13 of Resolution No. 222/2025/QH15, include but are not limited to agricultural products, energy products, industrial raw materials, metals (including rare metals except gold), carbon credits, cultural and artistic digital assets using non-fungible token (NFT) technology.
Article 13. Settlement Center
1. The Settlement Center is an organization that performs the function of providing settlement services for commodity trading transactions conducted through the Commodity Exchange within the International Financial Center.
2. The Settlement Center shall be organized as a subsidiary of the Commodity Exchange with a minimum charter capital of 500 billion VND, and must have an information technology system compatible with that of the Commodity Exchange.
3. Evaluation and approval of organizations meeting the conditions to become Settlement Centers.
a) The management authority in cities shall review the application and approve organizations meeting the conditions to become Settlement Centers;
b) Subsidiaries of the Commodity Exchange wishing to be approved as Settlement Centers shall submit one set of application documents to the management authority in cities via one of three methods: direct submission, postal service, or the electronic single-window administrative system at the International Financial Center;
c) The application documents shall include: a request for approval of the Settlement Center according to Model No. 04.GĐN as prescribed in Appendix I attached to this Decree; evidence demonstrating compliance with all conditions for establishing a Settlement Center as stipulated in this Decree;
d) Within thirty working days from the date of receipt of complete and valid application documents, the management authority in cities shall organize the evaluation and decide on the approval of organizations meeting the conditions to become Settlement Centers. In cases where approval is not granted, the management authority in cities shall issue a written response specifying the reasons.
4. The Settlement Center may provide settlement services for one or more Commodity Exchanges.
5. The Settlement Center shall be responsible for:
a) Managing margin deposits of members and performing post-trade position calculation and netting;
b) Implementing risk management measures, including requiring additional margin deposits, applying guarantee funds, and mechanisms for handling member insolvency;
c) Establishing monitoring, prevention, response, and recovery mechanisms for system incidents within the prescribed timeframe;
d) Promptly publishing settlement rules, payment procedures, and risk management regulations;
đ) Providing full information to members, state management agencies, and related organizations as required;
e) Regularly and promptly reporting on settlement activities and risk management to state management agencies;
g) Adhering to laws and regulations on anti-money laundering and terrorist financing;
h) Other responsibilities as prescribed by law and decisions of competent management authorities;
6. The Settlement Center may charge service fees based on agreements with the Commodity Exchange.
Article 14. Responsibilities of the Commodity Exchange
1. Maintain conditions for establishment and implement government regulations on commodity trading through the Commodity Exchange.
2. Operate the Trading Floor in compliance with the Rules of Operation, ensuring fair competition, adhering to international standards for transactions, payments, information disclosure, and risk management.
3. Ensure the safety, continuity, and disaster recovery capability of technological infrastructure, transaction systems, payment, and settlement operations.
4. List commodities and commodity contracts, ensuring they meet origin and product quality standards as stipulated in the contract.
5. Monitor transactions to detect and prevent violations such as price manipulation, fraud, money laundering, and other prohibited acts; implement early warning mechanisms, position limits, and transaction limits to ensure market safety.
6. Approve and terminate membership status of the Commodity Exchange according to government regulations on commodity trading through the Commodity Exchange; supervise members' compliance with obligations; handle violations within authority or refer to competent authorities for handling.
7. Organize training, disseminate knowledge, and provide operational guidance to members and investors to enhance understanding and awareness of legal compliance.
8. Ensure conditions and implement connectivity with the national administrative management information system to transmit transaction data for administrative purposes.
9. Coordinate with the International Financial Center Supervisory Authority (hereinafter referred to as the Supervisory Authority) in supervision, prevention, and handling of violations.
10. Implement reporting activities and transaction data connection according to the guidelines of the Management Authorities in cities.
11. Implement provisions of this Decree and regulatory documents guiding Resolution No. 222/2025/QH15.
12. Implement measures to prevent money laundering, terrorist financing, and proliferation financing as required by law for financial institutions operating in the International Financial Center.
Article 15. Members of the Commodity Exchange
1. Members of the Commodity Exchange are enterprises meeting conditions specified by the Commodity Exchange and approved by the Commodity Exchange for membership status.
2. Members of the Commodity Exchange must comply with government regulations on commodity trading through the Commodity Exchange and the Rules of Operation of the Commodity Exchange.
Article 16. Rights and Responsibilities of Individuals and Merchants Participating in Transactions
1. Individuals and foreign merchants not being business members of the Commodity Exchange, who are part of the International Financial Center, may entrust business members to carry out commodity trading activities through the Commodity Exchange.
2. Individuals and merchants participating in transactions on the Commodity Exchange have the responsibility to comply with government regulations on commodity trading through the Commodity Exchange and the Rules and Regulations of the Commodity Exchange.
3. In cases where physical delivery of goods listed under conditional trade items is involved, organizations and individuals participating in transactions must meet the business conditions as prescribed by law.
Chapter III
EXPORT AND IMPORT TO IMPLEMENT CONTRACTS
COMMODITY TRADING THROUGH THE COMMODITY EXCHANGE
Article 17. Goods for export and import to implement commodity trading contracts through the Commodity Exchange
The performance of trading contracts on the Commodity Exchange by physical delivery of goods shall enjoy incentives as prescribed in the Decree stipulating financial policies in the International Financial Center.
Article 18. Conditions for enjoying incentives
1. Having documents proving that the goods fall within the provisions of Article 17 of this Decree.
2. Enjoyment of export tax incentives, import tax incentives, and other procedural customs incentives shall be carried out in accordance with the Decree stipulating financial policies in the International Financial Center.
3. Goods subject to specialized inspection (food safety, health, environment, agriculture, science and technology, defense, security) must comply with the regulations, inspection procedures, supervision, and authority of the relevant specialized management agency.
Chapter IV
STATE MANAGEMENT
Article 19. Responsibilities of the Ministry of Industry and Trade
1. Cooperate with the Supervisory Authority to inspect the operations of the Commodity Exchange and commodity trading activities through the Commodity Exchange.
2. Cooperate with related agencies to implement incentive regulations and handle violations concerning export and import activities and commodity trading activities as prescribed in this Decree.
Article 20. Responsibilities of the Regulatory Authority in cities
1. Organize the review of membership applications for establishing a Commodity Exchange in the International Financial Center.
2. Issue, reissue, temporarily suspend, or revoke the License for establishment.
3. Approve the List of domestically produced goods permitted to trade based on the proposal of the Commodity Exchange and in compliance with the law.
4. Approve the List of foreign Commodity Exchange contracts allowed to be interconnected for trading.
5. Consider and decide on supplementing, amending, suspending, or terminating trading for specific items to ensure market stability, economic security, and national interests.
6. Appraise and approve organizations meeting the conditions to be Settlement Centers.
7. Establish and operate a real-time transaction data connection system to ensure the transmission of all transaction data to the Ministry of Industry and Trade and related state management agencies for monitoring, management, and market analysis purposes.
Article 21. Responsibilities of the Supervisory Authority
1. Enact mechanisms for inspecting and supervising commodity trading activities in compliance with Resolution 222/2025/QH15 and relevant laws. The inspection and supervision mechanism includes procedures for controlling listing, issuance, transfer, and trading of derivative commodity contracts in line with international practices.
2. Conduct periodic inspections based on risk control criteria for commodity trading activities at the Commodity Exchange.
3. Carry out spot checks when there are signs of violation regarding transparency, market manipulation, money laundering, or non-compliance with trading regulations.
4. Propose and recommend competent authorities to take measures to handle violations in accordance with the law.
5. Perform supervisory functions over the operations of the Commodity Exchange and commodity trading activities conducted within the International Financial Center.
Article 22. Responsibilities of Other State Management Agencies
1. Ministries, agencies at the ministerial level, and agencies under the Government within their respective functions, tasks, and authorities shall be responsible for issuing, guiding, and organizing the implementation of policies and laws to apply preferential mechanisms for the activities of International Financial Centers and commodity trading through Commodity Exchanges; coordinating with Management Authorities in cities and Supervisory Authorities to manage and handle violations.
2. The People's Committee of Ho Chi Minh City and the People's Committee of Da Nang City shall be responsible for ensuring technical infrastructure conditions, warehouses, logistics services, security, and public order to serve the import and export of goods and commodity trading through Commodity Exchanges; coordinating with state management agencies and related agencies to manage, supervise, and address issues arising locally.
Chapter V
IMPLEMENTING PROVISIONS
Article 23. Effectiveness of Implementation
1. This Decree takes effect from December 18, 2025.
2. In cases where the legal normative documents referred to in this Decree are amended, supplemented, or replaced, the implementation shall be carried out according to the provisions of the amended, supplemented, or replacement documents.
Article 24. Responsibility for Implementation
Ministers, heads of agencies at the ministerial level, heads of agencies under the Government, Chairmen of the People's Committees of Ho Chi Minh City and Da Nang City, and relevant agencies, organizations, and individuals shall be responsible for implementing this Decree.
