CIRCULAR
REGULATIONS ON THE CHARTER OF VOCATIONAL COLLEGES

Pursuant to the Vocational Education Law on November 27, 2014;
Pursuant to Decree No. 106/2012/NĐ-CP dated December 20, 2012 of the Government stipulating the functions, tasks, powers, and organizational structure of the Ministry of Labor, War Invalids and Social Affairs;
At the proposal of the General Director of the General Department of Vocational Training;
The Minister of Labor, War Invalids and Social Affairs issues this Circular stipulating the Charter of vocational colleges.
PART I
GENERAL PROVISIONS
Article 1. Scope of Regulation
This Circular stipulates the Charter of public vocational colleges and private vocational colleges (hereinafter referred to collectively as the Charter of vocational colleges), including: Tasks and powers; organization and management of vocational colleges; organization of training activities; teachers, managers, civil servants, workers, and students in vocational colleges; financial resources and assets of vocational colleges; relations between schools and enterprises, families, and society; implementation of the Charter of vocational colleges.
Article 2. Applicability
1. This Circular applies to vocational colleges and organizations and individuals participating in vocational education activities at vocational colleges.
2. Vocational colleges with foreign investment shall implement the provisions on the operation of private vocational colleges and the rights of students in this Circular and the relevant laws on foreign cooperation and investment in vocational education, except that the standards for teachers and managers shall not be lower than those specified in this Circular.
3. This Circular does not apply to teacher training vocational colleges.
Article 3. Legal status of vocational colleges
1. Vocational colleges are vocational education institutions, having the right to self-management and self-responsibility as prescribed by law.
2. Vocational colleges have legal personality, their own seals and separate accounts.
Article 4. Principles for naming vocational colleges
1. The name of a vocational college in Vietnamese consists of the following components:
a) A term defining the name of the school: Vocational College;
b) A term defining the type, field, or group of majors (if necessary);
c) A term defining the specific name: Name of locality, name of cultural figure, name of historical figure, personal name, organizational name;
d) A term defining quality or level (if necessary).
2. The name of the school must not be the same as that of a previously established vocational college.
3. The international trading name of the school must accurately reflect the Vietnamese name, and must not cause confusion with other school names.
4. The Vietnamese name of the school shall be recorded in the decision establishing or allowing establishment, seal, and transaction documents of the school, and shall be displayed at the main office and branch offices of the school.
Article 5. Types of vocational colleges
1. The vocational colleges referred to in this Circular are organized in the following types:
a) Public vocational colleges;
b) Private vocational colleges.
2. The supervisory body of public vocational colleges is the agency or organization authorized to manage vocational colleges under the law, including:
a) Vocational colleges directly under ministries, ministerial-level agencies, government agencies, central agencies of political-social organizations;
b) Vocational colleges directly under units under ministries, ministerial-level agencies, government agencies, central agencies of political-social organizations;
c) Vocational colleges directly under provincial People's Committees (hereinafter referred to collectively as provincial People's Committees);
d) Vocational colleges directly under departments;
e) Vocational colleges directly under district-level People's Committees, urban districts, towns, cities under provinces (hereinafter referred to collectively as district-level People's Committees).
Article 6. State Management of Secondary Vocational Schools
1. Secondary vocational schools are subject to state management in vocational education by the Ministry of Labor, Invalids and Social Affairs, and at the same time are subject to territorial management by the People's Committee of the province where the main office or branch of the school is located.
2. Ministries, ministerial-level agencies, government agencies, central agencies of political-social organizations, and provincial People's Committees shall coordinate with the Ministry of Labor, Invalids and Social Affairs to implement state management over secondary vocational schools under their jurisdiction as stipulated in this Circular and relevant laws.
Article 7. Regulations on Organization and Operation of Secondary Vocational Schools
1. The regulations on organization and operation of secondary vocational schools shall be issued by the principal based on the resolution of the school council for public secondary vocational schools or the resolution of the board of directors for private secondary vocational schools, in accordance with the provisions of this Circular, suitable to the specific conditions of the school, not contrary to relevant laws, and shall be publicly announced.
2. The regulations on organization and operation of secondary vocational schools include the following main contents:
a) School name and abbreviated name (if any);
b) Objectives and mission;
c) Tasks and powers of the school;
d) Organization of training activities;
đ) Tasks and rights of teachers, managers, staff, and workers;
e) Tasks and rights of students;
g) Organization and management of the school;
h) Finance and assets;
i) Relations between the school, enterprises, families, and society;
k) Inspection, supervision, rewards, and handling of violations.
3. After issuance, the regulations on organization and operation of secondary vocational schools must be publicly announced throughout the school and on the school’s website (if available).
4. Within ten working days from the date of signing the issuance of the regulations on organization and operation of secondary vocational schools, the principal of the school has the responsibility to send them to the following agencies:
a) The supervisory agency of the school for public secondary vocational schools;
b) The Ministry of Labor, Invalids and Social Affairs (General Department of Vocational Training);
c) Provincial Department of Labor, Invalids and Social Affairs where the main office of the school is located.
5. Issuance of Amended and Supplementary Regulations on Organization and Operation of Secondary Vocational Schools
The principal of a secondary vocational school shall issue amended and supplementary regulations on organization and operation of their school according to Articles 1, 2, 3, and 4 of this Article.
Article 8. Tasks, Powers, and Autonomy of Secondary Vocational Schools
1. Secondary vocational schools shall perform tasks and powers as prescribed in Article 23 of the Vocational Education Law and the following provisions:
a) Organize direct training of human resources for production, business, and services at intermediate and basic levels, and regular training as prescribed;
b) Organize the compilation or selection, approval, and implementation of training programs and textbooks for each permitted profession according to the regulations of the Ministry of Labor, Invalids and Social Affairs;
c) Develop and organize admission plans for training according to the regulations of the Ministry of Labor, Invalids and Social Affairs;
d) Organize training activities; examination, assessment, and certification of graduation and printing, managing, issuing, recalling, and canceling intermediate level diplomas, basic level certificates, and training certificates according to the regulations of the Ministry of Labor, Invalids and Social Affairs;
đ) Recruitment and management of teachers, managers, staff, and workers of the school to ensure sufficient quantity, suitability to professions, scale, and training level according to the law;
e) Coordinate with enterprises, organizations, individuals, and families of students in vocational education activities;
g) Implement democracy and transparency in the execution of training tasks, research, application of research results, technology transfer to practical production, business, service activities, and financial operations; have mechanisms for students to participate in evaluating training activities, and teachers to participate in evaluating managers, staff, and workers of the school;
h) Manage and utilize land, facilities, equipment, and finance of the school according to the law;
i) Decide on the establishment of subordinate organizations according to the organizational structure approved in the regulations on organization and operation of the school; decide on the appointment, dismissal, and removal of positions from department heads, faculty heads, and equivalent positions according to the regulations;
k) Coordinate with enterprises, production, business, and service bases in training activities regarding planning, program development, textbook compilation, teaching, practical guidance, evaluation of student learning outcomes;
l) Joint venture and cooperation with domestic and foreign economic, educational, and scientific research organizations according to the law to improve training quality, link training with employment and labor markets;
m) Utilize income from training, science, technology, production, business, and service activities to invest in building school facilities, fund training activities, and supplement school finances according to the law;
n) Be granted or leased land, facilities; receive budget support when performing state-assigned tasks according to procurement contracts; enjoy tax and credit preferential policies according to the law.
2. Secondary vocational schools shall exercise autonomy as prescribed in Article 25 of the Vocational Education Law and the following provisions:
a) Decide on the objectives, mission, strategy, and development plan of the school;
b) Decide on the establishment of organizational structures, development of teacher, manager, staff, and worker teams based on the school's strategic and development planning;
c) Collect and spend finances, invest in developing conditions to ensure training quality according to the law; decide on the tuition fee level corresponding to the quality assurance conditions for high-quality training programs and self-financing regulations for secondary vocational schools as stipulated.
d) Admissions and student management; development of training programs; organizing the compilation or selection of teaching materials suitable for the training objectives of each training program in accordance with the regulations of the Ministry of Labor - Invalids and Social Affairs;
đ) Organizing the implementation of scientific research and technological activities, international cooperation according to the school's development strategy and plan; ensuring the quality of training at the school; selecting educational quality assessment organizations to register for assessment;
e) Issuing organizational and operational regulations of the school; defining the functions and tasks of subordinate organizations of the school;
g) For public intermediate vocational schools granted autonomy (intermediate vocational schools self-financing regular expenses and investment costs; intermediate vocational schools self-financing regular expenses), the positions of employment, the structure of staff by occupational titles and the number of employees are determined in accordance with the functions and tasks assigned, based on ensuring stable employment and income for additional employees and in compliance with relevant laws;
For public intermediate vocational schools not yet granted autonomy (intermediate vocational schools fully financed by the State for regular expenses; intermediate vocational schools partially financed by the State for regular expenses), the Minister, the head of an agency equivalent to a ministry, the head of a government agency, or the Chairman of the People's Committee of a province decides on the positions of employment, the structure of staff by occupational titles and the number of employees within the total number of employees allocated by the competent authority in accordance with the law;
Chapter II
ORGANIZATION AND MANAGEMENT OF INTERMEDIATE VOCATIONAL SCHOOLS
Article 9. Organizational structure, establishment, cessation of operations, dissolution of organizations of intermediate vocational schools
1. The organizational structure of intermediate vocational schools includes:
a) School council for public intermediate vocational schools, board of directors for private intermediate vocational schools;
b) Principal, deputy principal;
c) Departments or specialized units;
d) Faculties, subjects;
đ) Advisory councils;
e) Branches; scientific research and technology organizations; organizations serving training, scientific research and application; production, business, service bases (if any);
2. The establishment and cessation of operations of branches of intermediate vocational schools shall be carried out in accordance with the provisions of Government Decree No. 143/2016/NĐ-CP dated October 14, 2016 on conditions for investment and operation in the vocational education sector;
3. The establishment and dissolution of subordinate organizations of intermediate vocational schools; organizational structure, tasks, and powers of each organization shall be implemented in accordance with the law, this Circular, and shall be detailed in the school's organizational and operational regulations;
Article 10. Number, organizational structure, tasks, and powers of the school council; tasks and powers of the chairman and secretary of the school council
1. The school council is established in public intermediate vocational schools. The school council is a governing body representing the ownership rights of the school;
2. The school council has tasks and powers as stipulated in Clause 2 of Article 11 of the Vocational Education Law and the following provisions:
a) Regularly or exceptionally report and explain to the managing agency of the school and the state management agency for vocational education about the conditions for ensuring quality, activity results, the implementation of commitments, and financial matters of the school;
b) Propose the competent authority to approve plans for supplementing, removing, dismissing, or replacing members of the school council;
c) Approve regulations on the number, structure of labor, job positions; recruitment, management, utilization, and development of the teaching staff, administrative personnel, civil servants, and workers of the school;
d) Introduce candidates for the appointment process of principals and deputy principals; conduct annual evaluations of the performance of principals and deputy principals; propose the competent authority to dismiss or remove principals and deputy principals; organize surveys to measure the trust in principals and deputy principals during their term or exceptionally when necessary;
đ) Require the principal to explain issues that have not been implemented, implemented incorrectly, or incompletely according to the resolutions of the school council. If the school council disagrees with the explanation of the principal, it shall report to the managing agency of the school;
3. Activities of the school council
a) The school council convenes regularly at least once every three months and convenes exceptionally when more than 30% of the total number of school council members request in writing or when the principal or the chairman of the school council requests in writing;
A meeting of the school council is valid when at least 70% of the total number of school council members attend. The school council operates on the principle of collective work and majority decision-making. Resolutions of the school council are valid when more than 50% of the total number of school council members agree. In case of equal votes, the final decision belongs to the side with the opinion of the chairman of the school council. Meeting minutes and resolutions of the school council must be sent to all school council members, the managing agency of the school, and other relevant parties within ten working days from the date of the meeting or resolution approval;
b) The term of office of the school council is five years and coincides with the term of office of the principal. The school council may use the seal and organizational structure of the school to carry out its duties within the scope of its functions, tasks, and powers;
c) Delegation of management authority of the school council
When the chairman of the school council cannot perform his duties within the period specified in the school's organizational and operational regulations, he must delegate in writing to one of the remaining members of the school council to assume the responsibilities of the chairman. The delegation letter must be notified to all school council members, sent to the managing agency of the school, and publicly announced throughout the school. The delegation period shall not exceed six months.
4. The school council shall consist of an odd number of members, including 01 chairman, 01 secretary, and other members. The composition of the school council shall be in accordance with the provisions set forth in Clause 3, Article 11 of the Vocational Education Law.
In cases where representatives from production, business, and service establishments related to the school participate in the school council, they must meet the following requirements:
a) They must be currently operating in fields related to education, science, technology, production, business, and services that are relevant to the functions and tasks of the school.
b) They must not have familial relationships such as father, mother, spouse, child, brother, sister, or half-sibling with other members of the school council.
5. The number and structure of school council members, the procedures and formalities for selecting members, electing the chairman and secretary of the school council must be specifically stipulated in the charter on organizational and operational regulations of the school approved by the principal.
6. The chairman of the school council shall be elected among the members of the school council based on the principle of majority vote, secret ballot, and receiving more than 50% of the total number of school council members' approval. The chairman of the school council shall have the following duties and powers:
a) To convene meetings of the school council;
b) To decide on the agenda, preside over meetings, and organize voting at meetings of the school council;
c) To direct the school council to perform its duties and exercise its powers as prescribed in Clause 2, Article 11 of the Vocational Education Law and Clause 2 of this Article.
7. The standards for the chairman of the school council shall be the same as those for the principal of a secondary vocational college as stipulated in Clause 2, Article 14 of the Vocational Education Law.
8. The secretary of the school council shall be proposed by the chairman of the school council from among the members of the school council and shall be approved by the school council with more than 50% of the total number of school council members' approval. The secretary of the school council shall not concurrently hold the positions of principal or vice-principal, and shall directly assist the chairman of the school council in performing the following duties and powers:
a) To compile and report to the chairman of the school council on the activities of the school; prepare the agenda, content, and documents for meetings, send out meeting invitations, and serve as the secretary for meetings of the school council; draft, complete, and archive documents of the school council;
b) To prepare reports and explanations for state management agencies and related agencies according to the functions and tasks of the school council;
c) To perform other tasks assigned by the chairman of the school council.
9. Members of the school council shall be responsible for performing tasks assigned by the school council and other tasks as prescribed in the charter on organizational and operational regulations of the school approved by the principal.
Article 11. Procedures for establishing the school council; appointing, relieving, and removing the chairman and members of the school council
1. Procedures for establishing the school council and appointing the first term chairman of the school council
a) Determining the number and structure of school council members
The principal shall organize and chair a meeting comprising deputy principals, the secretary of the Party organization at the grassroots level, the chairman of the Trade Union, the secretary of the Ho Chi Minh Communist Youth Union, teachers, and representatives from some departments, faculties, and production, business, and service establishments of the school (if any) to determine the number and structure of school council members.
b) Proposing the competent authority of the school or related production, business, and service establishments to nominate representatives to join the school council;
c) Organizations as prescribed in Point a, Clause 3, Article 11 of the Vocational Education Law shall organize their own meetings to elect representatives to join the school council;
đ) Deciding to establish the school council
Based on the resolution of the meeting determining the number and structure of school council members and the election of the chairman and secretary of the school council, the principal shall prepare the dossier as prescribed in Clause 3 of this Article and propose to the competent authority of the school to decide on establishing the school council.
Within fifteen working days from the date of receipt of the complete dossier requesting the establishment of the school council, the competent authority of the school shall decide to establish the public secondary vocational school council. The decision to establish the school council must clearly specify the titles and responsibilities of the members of the school council. If the decision is not made to establish the school council, a written response must be provided with clear reasons.
2. Procedures for establishing the school council and appointing the chairman of the school council for the next term
Three months before the end of the current term, the incumbent chairman of the school council shall organize the implementation of the provisions of Clause 1 of this Article to request the establishment of the school council for the next term.
3. The dossier requesting the establishment of the school council shall be one set, including:
a) A document from the secondary vocational school proposing the establishment of the school council, specifying the selection process for school council members;
b) Documents nominating representatives to join the school council from organizations as prescribed in Point a, Clause 3, Article 11 of the Vocational Education Law;
c) Documents nominating representatives to join the school council from the competent authority of the school or documents nominating representatives to join the school council from related production, business, and service establishments;
4. Relieving the chairman and members of the school council
a) The chairman and members of the school council shall be relieved if they fall under any of the following circumstances: There is a written request from an individual to withdraw from the school council; they are restricted in civil capacity; their health does not allow them to fulfill the assigned tasks, having been absent from work for treatment for more than six months without recovery; more than 50% of the total number of school council members submit a written request for relief; they violate regulations to the extent that they must be relieved as stipulated in the charter on organizational and operational regulations of the school;
b) The school council shall examine and make a resolution on the relief of the chairman and members of the school council and submit the dossier to the competent authority of the school for a decision.
The application for the removal of the chairman and members of the school council consists of one set, including: A document clearly stating the reasons for removal and related supporting documents and papers.
c) Within fifteen working days from the date of receiving the complete application from the school, the managing authority of the school shall issue a decision to remove the chairman and members of the school council. In case of disagreement with the removal, a written response must be provided along with the specific reasons.
5. Dismissal of the chairman and members of the school council
a) The chairman and members of the school council shall be dismissed if they fall under any of the following circumstances: Using illegal documents to obtain appointment; failing to fulfill management and operational tasks assigned without justifiable reasons resulting in serious consequences; being sentenced to suspended imprisonment or non-custodial correction; violating laws on anti-corruption, thrift, waste prevention, gender equality, prostitution prevention, and other regulations concerning civil servants and public officials at a severe level; violating regulations to the extent that dismissal is required as stipulated in the school's organizational and operational charter;
b) The school council shall examine and make a resolution on the dismissal of the chairman and members of the school council and submit the application file to the managing authority of the school for decision.
The application for the dismissal of the chairman and members of the school council consists of one set, including: A document clearly stating the reasons for dismissal and related supporting documents and papers.
c) Within fifteen working days from the date of receiving the complete application from the school, the managing authority of the school shall issue a decision to dismiss the chairman and members of the school council. In case of disagreement, a written response must be provided along with the specific reasons.
Article 12. Board of Directors
1. The Board of Directors is established in private intermediate-level vocational schools with two or more capital contributors. The Board of Directors is the sole representative body for the owners of the school.
For private intermediate-level vocational schools established by a single individual investor, the individual owner shall be responsible for performing the duties and powers as prescribed in Clause 2 of this Article.
2. The Board of Directors performs its duties and powers as prescribed in Clause 2 of Article 12 of the Vocational Education Law and the following provisions:
a) Proposing the program and preparing materials for the annual general meeting of shareholders; convening the annual general meeting of shareholders regularly or urgently as prescribed in the school's organizational and operational charter;
b) Approving regulations on the number, structure, and positions of staff; recruitment, management, utilization, and development of the teaching staff, administrative personnel, and workers of the school;
c) Drafting and submitting to the annual general meeting of shareholders for approval the investment strategy, development plan for physical facilities, and internal financial regulations of the school;
d) Approving the training development strategy and plan, scientific research plan, and international cooperation plan proposed by the principal;
đ) Resolving on the drafting, amendment, and supplementation of the school's organizational and operational charter; approving the school's organizational and operational charter after the annual general meeting of shareholders has approved the relevant financial regulations;
e) Electing the principal and submitting to the People's Committee Chairman of the province where the school is located for recognition; deciding on the appointment and removal of deputy principals;
g) Preparing annual activity reports and financial settlement statements of the school and submitting them to the annual general meeting of shareholders for approval;
h) Regularly or urgently reporting and explaining the activities and the fulfillment of commitments made by the school to state management agencies and related parties upon request.
3. Activities of the Board of Directors
a) The Board of Directors meets regularly once every three months. Urgent meetings may be convened by the Board of Directors Chairman, but must be agreed upon by at least 30% of the total number of Board of Directors members;
b) The Board of Directors operates based on the principle of collective work and majority decision-making;
c) A meeting of the Board of Directors is valid when at least 70% of the total number of Board of Directors members attend;
d) Meeting invitations for the Board of Directors must include the agenda, content, and materials for the meeting and must be sent to Board of Directors members via guaranteed mail or express mail with confirmation signatures at least five days before the meeting;
đ) Resolutions of the Board of Directors are passed through voting at the meeting according to the principle that each Board of Directors member is one vote, and a resolution is valid when more than 50% of the total number of Board of Directors members agree. In case of a tie, the final decision belongs to the side with the opinion of the Board of Directors Chairman.
Within ten working days from the date the Board of Directors resolution is passed, the resolution must be sent to the Board of Directors members and the Department of Labor, Invalids, and Social Affairs where the school is located.
e) Within ninety days from the date the Board of Directors resolution is passed, capital contributors and Board of Directors members have the right to petition the competent authority to review and revoke the Board of Directors' resolution in case of any of the following situations:
The meeting of the Board of Directors was not conducted in accordance with the provisions of points a, b, c, d, and đ of this clause.
The content of the Board of Directors' resolution violates the law or the school's organizational and operational charter.
g) The term of office of the Board of Directors is five years. The Chairman of the Board of Directors has the right to use the organizational structure and seal of the school within the scope of the Board of Directors' functions and responsibilities and sign documents, resolutions, and decisions of the Board of Directors;
h) Delegation of management authority of the Board of Directors
In the event that the chairman of the board of directors is absent during the period specified in the school's organizational and operational charter, they must delegate authority to one of the board members to assume the responsibilities of the chairman during their absence. The delegation must be carried out in writing, notified to all board members, sent to the Department of Labor, Invalids, and Social Affairs at the location where the school is headquartered, and made public throughout the entire school. The duration of the delegation shall not exceed six (6) months.
4. The board of directors shall consist of an odd number of members, including one chairman, one secretary, and other members. The composition of the board of directors is regulated in Clause 3, Article 12 of the Vocational Education Law.
5. The number and structure of board members; the procedures and formalities for selecting members, electing the chairman, and appointing the secretary of the board of directors must be specifically stipulated in the school's organizational and operational charter approved by the principal.
6. The chairman of the board of directors shall be elected from among the members of the board of directors based on the majority principle, through secret ballot, and must receive more than 50% of the total number of board members' agreement.
The chairman of the board of directors has the following duties and powers:
a) As the account holder, he/she is responsible under the law for the entire financial management and property of the school. The chairman of the board of directors may delegate authority to the school principal as the account representative, to exercise rights and obligations as the account holder within the scope of the delegation;
b) Establishing the program and plan of activities for the board of directors; preparing the agenda, content, and materials for board meetings; convening and chairing board meetings; organizing the approval and being primarily responsible for the resolutions of the board of directors; supervising the implementation process of board resolutions; chairing the general meeting of shareholders;
c) Directing the board of directors to perform the tasks and powers prescribed in Clause 2 of this Article;
d) Submitting to the Chairman of the Provincial People's Committee at the location where the school is headquartered to issue a decision recognizing the principal; deciding on the appointment and removal of deputy principals;
đ) Other duties and powers as provided in the school's organizational and operational charter.
7. The secretary of the board of directors shall be proposed by the chairman of the board of directors from among the board members and approved by the board of directors with more than 50% of the total number of board members' agreement. The secretary of the board of directors directly assists the chairman of the board of directors in performing specific duties and powers as follows:
a) Summarizing and reporting to the chairman of the board of directors on the activities of the school; preparing the agenda, content, and materials for board meetings; sending meeting invitations and serving as the secretary for board meetings; drafting, completing, and archiving board documents;
b) Preparing reports and explanations to state management agencies, the general meeting of shareholders, and related agencies according to the functions and duties of the board of directors;
c) Other tasks assigned by the chairman of the board of directors.
8. Board members have the responsibility to carry out tasks assigned by the board of directors and other tasks as stipulated in the school's organizational and operational charter; they are entitled to allowances (if any) as provided in the school's organizational and operational charter.
Article 13. Procedures for Establishing the Board of Directors
1. Procedures for Establishing the First Term Board of Directors
a) Determining the Number and Composition of Board of Directors Members
The lawful representative of the organization or individual named to establish the school shall convene and preside over a meeting comprising members of the founding board, capital contributors to determine the number and composition of Board of Directors members.
b) Proposing the Department of Labor - Invalids and Social Affairs where the school's main office or related production, business, and service facility is located to appoint representatives to join the Board of Directors;
c) Party organizations, mass organizations, and teaching staff within the school shall organize their own meetings to elect representatives to join the Board of Directors;
đ) Establishing the Board of Directors of a private college
The lawful representative of the organization or individual named to establish the school shall prepare documents in accordance with Clause 3 of this Article and request the Director of the Department of Labor - Invalids and Social Affairs where the school's main office is located to establish the school's Board of Directors.
Within fifteen working days from the date of receiving complete documents requesting establishment of the private college's Board of Directors, the Director of the Department of Labor - Invalids and Social Affairs where the school's main office is located shall decide on establishing the school's Board of Directors. The decision on establishing the Board of Directors must clearly state the positions of all members of the Board of Directors. In case of non-establishment, a written response must be provided along with the reasons.
2. Procedures for Establishing Subsequent Term Boards of Directors
At least three months before the end of the term, the incumbent Chairman of the Board of Directors shall implement the provisions of Clause 1 of this Article to propose the establishment of the subsequent term Board of Directors.
3. Documents Requesting Establishment of the Board of Directors consist of one set, including:
a) A document proposing the establishment of the Board of Directors, detailing the process of determining Board of Directors members;
b) A document appointing representatives to join the Board of Directors from the Department of Labor - Invalids and Social Affairs where the school's main office is located or a document appointing representatives to join the Board of Directors from related production, business, and service facilities;
4. Replacing the Chairman and Board of Directors Members
The replacement of the Chairman and Board of Directors members is decided by the Board of Directors after examination and resolution, and submitted to the Director of the Department of Labor - Invalids and Social Affairs where the school's main office is located for approval, as specified in the school's organizational and operational regulations.
1. The General Shareholders' Meeting includes all capital contributors of the private college. If the private college has only one shareholder, there will be no General Shareholders' Meeting.
2. The General Shareholders' Meeting has the following rights and responsibilities:
a) Electing capital contributors to join the Board of Directors; resolving requests for additional or replacement of Board of Directors members who are also capital contributors; proposing to the Board of Directors not to recognize representatives of capital contributors joining the Board of Directors;
b) Approving the development direction of the school;
c) Approving the plan for developing physical infrastructure, training equipment, teaching staff, management personnel, and workers proposed by the Board of Directors;
d) Approving the annual financial report of the school and relevant financial regulations in the school's organizational and operational regulations;
đ) Approving internal financial regulations of the school (if applicable);
e) Approving resolutions on increasing or decreasing the registered capital, plans for raising capital through various forms;
g) Performing other rights and responsibilities as stipulated in the school's organizational and operational regulations.
3. The General Shareholders' Meeting convenes annually once a year. In addition to the regular meeting, the General Shareholders' Meeting may convene at short notice. Costs for convening and organizing the General Shareholders' Meeting are included in the school's operating budget.
The regular meeting of the General Shareholders' Meeting is held compulsorily once a year during the first three months of the fiscal year. An extraordinary meeting of the General Shareholders' Meeting can be convened under one of the following circumstances:
a) By decision of the Chairman of the Board of Directors or with at least 70% of the total Board of Directors members proposing to convene a meeting;
b) To supplement or replace capital contributors to the Board of Directors;
c) Upon receipt of a document from an individual or group of shareholders holding more than 30% of the total contributed capital requesting a meeting when the Board of Directors seriously violates shareholders' rights or makes decisions exceeding its authority, contrary to the school's organizational and operational regulations, internal financial regulations, or relevant laws;
d) When the term of the Board of Directors has exceeded three months but a meeting to elect a new Board of Directors has not been organized;
đ) Other cases as stipulated in the school's organizational and operational regulations.
4. Organizing the General Shareholders' Meeting
a) The General Shareholders' Meeting is valid when at least 70% of the total contributed capital represented by capital contributors attend the meeting;
b) In case the first General Shareholders' Meeting does not meet the requirements stipulated in point a of this clause, within thirty working days from the date of the first meeting, the General Shareholders' Meeting can be convened again, and the meeting is valid if at least 51% of the total contributed capital represented by capital contributors attend the meeting; if the second General Shareholders' Meeting still does not meet the requirements, then twenty working days after the second meeting, the General Shareholders' Meeting can be convened regardless of the number and proportion of contributed capital of attending capital contributors.
c) The convening of the annual or extraordinary general meeting of shareholders must be carried out in the form of a written notice to convene the meeting; the notice to convene the meeting must include the proposed agenda, content of the meeting, related documents, and must be sent to all contributing members through guaranteed mail or express mail with confirmation of receipt at least five days before the date of the meeting.
d) Annual meetings or extraordinary meetings of the general meeting of shareholders shall be convened by the chairman of the board of directors; in case the chairman of the board of directors does not convene the meeting according to the board of directors' plan or as stipulated in Clause 3, Article of this Law, then thirty working days from the planned meeting date according to the board of directors' plan or sixty working days from the date of receiving the request for an extraordinary meeting, contributing members who have requested the convening of the meeting as stipulated in Point c, Clause 3, Article of this Law shall select a member of the board of directors to convene the general meeting of shareholders, and such meeting shall be deemed valid.
5. The content of the general meeting of shareholders must be fully recorded in the minutes of the meeting and approved immediately during the meeting, signed by the chairperson and secretary of the meeting for storage. Decisions of the general meeting of shareholders must be approved by voting or secret ballot at the meeting and must be sent to each contributing member and board member within fifteen working days from the date of approval of the decision.
6. Decisions of the general meeting of shareholders made at the meeting are considered valid when at least seventy percent of the contributing members representing the total contributed capital of all attending members approve, except where there is a higher provision in the law or stipulated in the organizational and operational regulations of the institution.
7. Within ninety days from the date of approval of the decision, contributing members and board members have the right to petition the competent state management agency to review and revoke the decision of the general meeting of shareholders if any of the following circumstances occur: The general meeting of shareholders was convened without ensuring the provisions of this Article, or the content of the decision of the general meeting of shareholders violates the law; violates the organizational and operational regulations of the institution.
Article 15. Principal of a secondary vocational school
1. Role and position of the principal of a secondary vocational school
a) The principal of a secondary vocational school is the head of the secondary vocational school, representing the school before the law, responsible for managing the activities of the school;
b) The principal of a secondary vocational school is the person in charge of organizing and operating the administrative apparatus of the secondary vocational school;
c) The term of office of the principal is five years;
d) The principal of a public secondary vocational school is appointed and reappointed for terms and may serve no more than two consecutive terms;
đ) The principal of a public secondary vocational school is the account holder, responsible under the law for all financial work and assets of the school.
2. The principal of a secondary vocational school must meet the criteria prescribed in Clause 2, Article 14 of the Vocational Education Law.
3. The principal of a secondary vocational school has duties and powers as prescribed in Clause 3, Article 14 of the Vocational Education Law and the following provisions:
a) Develop strategic plans for training, scientific research, and international cooperation of the school to be submitted to the school council for public secondary vocational schools or to the board of directors for private secondary vocational schools for approval;
b) Develop regulations on the number, structure of labor, job positions, recruitment, management, utilization, and development of teaching staff, managerial personnel, civil servants, and workers to be submitted to the school council for public secondary vocational schools or to the board of directors for private secondary vocational schools for approval;
c) Organize recruitment, management, and utilization of teaching staff, managerial personnel, civil servants, and workers in accordance with the law;
d) Annually organize evaluations and classifications of teaching staff, managerial personnel, civil servants, and workers;
đ) Consider the opinions of advisory councils before making decisions. In cases where they disagree with the content of the advisory councils, the principal can make decisions, bear individual responsibility for the decisions, and report to the school council for public secondary vocational schools or to the board of directors for private secondary vocational schools at the nearest council meeting;
e) Implement resolutions of the school council, board of directors; exchange with the chairman of the school council, chairman of the board of directors, and agree on solutions in accordance with the law if resolutions violate the law, affecting the common activities of the school. If agreement cannot be reached, the principal reports to the supervising authority for public secondary vocational schools or the Department of Labor, Invalids, and Social Affairs where the main office of the private secondary vocational school is located;
g) Continuously care for improving working, teaching, and learning conditions for teaching staff, managerial personnel, civil servants, workers, and students;
h) Organize and direct the establishment of a healthy educational environment; ensure political security and social order and safety in the school;
i) Implement democratic regulations in the school; implement policies and systems of the State for teaching staff, managerial personnel, civil servants, workers, and students in the school as prescribed;
k) Organize self-inspection, inspection, and quality assessment activities of vocational education in accordance with regulations. Comply with recommendations and decisions on inspections, assessments of vocational education quality by authorized agencies and organizations;
l) Decide on measures to implement the policies, tasks, and powers of the school as prescribed in Article 8 of this Circular;
m) Decide on rewards and disciplinary actions for teaching staff, managerial personnel, civil servants, workers, and students within their management authority;
n) Decide on the establishment and dissolution of advisory councils of the school;
o) Granting secondary vocational diplomas, primary certificates, and training certificates for learners in accordance with the regulations of the Ministry of Labor, Invalids, and Social Affairs.
1. Secondary vocational schools that need to appoint a principal shall submit to the competent authority for approval of the appointment proposal.
2. Nomination of personnel for the position of principal
a) For internal personnel sources
Based on the cadre planning or the recommendations of the key staff meeting, the school council discusses, selects, and nominates personnel for the position of principal. The school council may recommend from one to three candidates.
The principal or vice-principal of the secondary vocational school organizes a key staff meeting comprising the principal, vice-principals, heads and deputy heads of departments and equivalent units, and section chiefs to exchange views and discuss the requirements and standards for the appointment; announce the list of recommended individuals; summarize their curriculum vitae, educational background, and work experience; provide comments and evaluations of their strengths, weaknesses, and potential for development; and take confidence votes. The key staff meeting includes representatives from the managing agency of the school (representatives from the managing agency do not have voting rights).
The key staff meeting recommends personnel for the principal position through secret ballot (confidence votes according to the model at Appendix I attached to this Circular). Confidence votes serve as reference and are not grounds for appointment. The key staff meeting elects a vote-counting committee consisting of three members who are not among those being voted on. The vote-counting committee has a chairperson and two members. The minutes of the vote must be signed by the chairperson and the two members.
The principal or vice-principal of the secondary vocational school organizes a joint meeting comprising the Party Secretary within the school, the principal, and vice-principals to discuss and vote. The candidate for the principal position must receive more than 50% of the total number of participants' approval.
b) For external personnel sources
The managing agency of the school or the organizational cadre agency under the ministry, ministerial-level agency, central agency of political-social organizations, or provincial People's Committee introduces personnel who meet the appointment standards for the principal position.
Representatives from the organizational cadre agency under the managing agency of the school work with the party committee and leadership of the unit where the proposed appointee is currently working to understand and verify the appointee's curriculum vitae and exchange opinions with the unit regarding the need for the appointment.
Based on the results of understanding and verifying the appointee's curriculum vitae and the comments from the unit where the proposed appointee is currently working, the organizational cadre agency under the ministry, ministerial-level agency, central agency of political-social organizations, or provincial People's Committee seeks the opinion of the party committee of the agency to unify the decision on appointing the principal of the secondary vocational school; discuss, comment, evaluate, and vote.
The organizational cadre agency under the ministry, ministerial-level agency, central agency of political-social organizations, or provincial People's Committee proposes to the authorized person to consider and decide on the appointment.
c) For the first principal of the secondary vocational school
Based on the standards for appointing the principal of a secondary vocational school stipulated in Clause 2, Article 14 of the Vocational Education Law, the managing agency of the school or the organizational cadre agency under the ministry, ministerial-level agency, central agency of political-social organizations, or provincial People's Committee selects and proposes to the authorized person specified in Clause 4 of this Article to consider and decide on the appointment.
3. Application dossier for appointing the principal
The application dossier for appointing the principal consists of one set, including:
a) A request document for the authorized person to decide on the appointment according to the model at Appendix II attached to this Circular for internal personnel sources; according to the model at Appendix VI attached to this Circular for external personnel sources or for the first principal of the secondary vocational school;
b) A self-declared curriculum vitae of the proposed appointee according to Model 2c-BNV/2008 issued by Decision No. 02/2008/QĐ-BNV dated October 6, 2008 of the Minister of Home Affairs on issuing models for managing cadres' and civil servants' files, confirmed by the using agency;
c) A declaration of assets and income according to the model at Appendix II issued together with Circular No. 08/2013/TT-TTCP dated October 31, 2013 of the Government Inspector General guiding the implementation of regulations on asset and income transparency;
d) Educational and training certificates of the proposed appointee;
đ) Comments from the party committee or local government where the proposed appointee resides;
e) For internal personnel sources, in addition to the documents required under points a, b, c, d, and đ of this clause, the following documents must be supplemented:
Minutes of the key staff meeting (according to the model at Appendix III attached to this Circular).
Minutes of the joint meeting (according to the model at Appendix IV attached to this Circular).
An evaluation of the collective leadership of the secondary vocational school regarding the proposed appointee (according to the model at Appendix V attached to this Circular).
g) For external personnel sources or the first principal of the secondary vocational school, in addition to the documents required under points a, b, c, d, and đ of this clause, the following document must be supplemented: An evaluation of the collective leadership of the unit where the proposed appointee is currently working (according to the model at Appendix VII attached to this Circular).
4. Decision on appointing the principal of the secondary vocational school
Within twenty working days from the date of receiving the complete application dossier for appointing the principal of a public secondary vocational school, the Minister, Head of a ministerial-level agency, Head of an agency under the Government, or the head of a central agency of political-social organizations, or the Chairman of the Provincial People's Committee decides on the appointment of the principal of the subordinate public secondary vocational school. In case of non-appointment, a written response with clear reasons must be provided.
Article 17. Procedures for Recognizing Principals of Private Intermediate Schools
1. Nomination of Principal Candidates
The Board of Directors or individual owner of the school shall select candidates based on the principal standards stipulated in Clause 2, Article 14 of the Vocational Education Law and propose to the competent authority as prescribed in Clause 3 of this Article to recognize them.
2. Documents for Requesting Recognition of Principal
a) A document from the Board of Directors or individual owner of the school requesting recognition by the competent authority (in accordance with the form attached as Appendix VIII to this Circular);
b) Minutes of the Board of Directors' meeting proposing recognition of the principal (in accordance with the form attached as Appendix IX to this Circular);
d) Educational certificates and training certificates of the proposed principal.
3. Decision on Recognition of Principal of Private Intermediate School
Within twenty working days from the date of receipt of the complete documents for requesting recognition of the principal of the private intermediate school from the Board of Directors or individual owner of the school, the Chairman of the Provincial People's Committee where the school is headquartered shall decide to recognize the principal of the private intermediate school within its jurisdiction. In case of disagreement, a written response must be provided with clear reasons.
Article 18. Removal, Dismissal, and Non-recognition of Principal of Intermediate School
1. The principal of a public intermediate school shall be removed under any of the following circumstances:
a) There is a written request from the principal of the public intermediate school to resign from their position;
b) Their civil capacity is restricted;
c) Health condition does not allow sufficient capability to perform assigned tasks, requiring more than six months off work for treatment without recovery of working capacity;
d) More than seventy percent of the total number of teachers, managers, and staff of the school have submitted a written petition requesting removal;
đ) Violation of regulations set forth in the organizational and operational charter of the school to the extent that removal is necessary.
2. The principal of a public intermediate school shall be dismissed under any of the following circumstances:
a) Using illegal documents to obtain appointment;
b) Failing to fulfill management and operation tasks as assigned without justifiable cause resulting in serious consequences;
c) Being sentenced to suspended imprisonment or corrective labor outside prison;
d) Committing serious violations of laws related to anti-corruption, thrift and anti-waste, gender equality, prevention of prostitution and other related laws;
đ) Violating regulations set forth in the organizational and operational charter of the school to the extent that dismissal is necessary.
a) Evaluation and assessment of the principal of the intermediate school by the School Management Board and the Party Organization's Leadership, clearly stating the reasons for requesting removal or dismissal, along with the principal's self-assessment and self-criticism report;
b) A document from the School Management Board and the Party Organization's Leadership requesting removal or dismissal of the principal of the public intermediate school;
c) Relevant health records of the principal or records confirming the principal's failure to fulfill duties or disciplinary violation records of the principal or evidence of violation of provisions stipulated in Clauses 1 and 2 of this Article.
Within twenty working days from the date of receipt of complete documents for requesting removal or dismissal of the principal, the competent authority responsible for appointing the principal of the intermediate school as prescribed in Clause 4, Article 16 of this Circular shall decide on the removal or dismissal of the principal of the public intermediate school. In case of refusal to remove or dismiss, a written response must be provided with clear reasons.
5. Non-recognition of Principal of Private Intermediate School
The non-recognition of the principal of a private intermediate school shall be examined and decided by the Board of Directors, submitting the request to the Chairman of the Provincial People's Committee where the school is headquartered for non-recognition, and such provisions shall be included in the organizational and operational charter of the school.
Article 19. Deputy Principals of Secondary Vocational Schools
1. Deputy principals of secondary vocational schools assist the principal in managing and directing the activities of the school.
2. Deputy principals of secondary vocational schools must have good political qualities and morals; have at least three years of teaching experience or participation in vocational education management; hold a bachelor's degree or higher; have undergone training and further education in vocational education management; be in good health; possess credibility and management capability.
In particular, deputy principals responsible for training shall meet the appointment criteria equivalent to those for principals.
3. Deputy principals of secondary vocational schools directly oversee certain areas of work assigned by the principal; they may represent the principal in resolving issues and bear responsibility before the principal and the law for the tasks resolved; they are responsible for reporting to the principal on the implementation of assigned tasks.
4. The term of office for deputy principals is five years.
Article 20. Advisory Council
1. The advisory council within secondary vocational schools is established by the principal to provide advice on certain necessary tasks related to the implementation of the school’s duties and powers. The advisory council operates on a case-by-case basis and does not receive remuneration.
2. The advisory council may include members from within the school and external members who are active in fields relevant to the school’s advisory needs.
3. The establishment, organization, operation, duties, and powers of the advisory council are decided by the principal and must be specifically stipulated in the school’s organizational and operational regulations as provided in Article 9 of this Circular.
Article 21. Departments and Disciplines Subordinate to the School
1. Based on the scale, majors, and trades of training, the principal decides to establish departments and disciplines subordinate to the school according to the organizational structure of the school approved in the school’s organizational and operational regulations as stipulated in Article 9 of this Circular.
2. Departments and disciplines subordinate to the school have the following responsibilities:
a) Manage teachers, administrative staff, civil servants, workers, and students under their jurisdiction according to the principal's assignment;
b) Implement teaching plans, study programs, and other extracurricular activities according to the annual teaching plan of the school as prescribed by the Ministry of Labor, Invalids and Social Affairs, including:
Developing training programs for each major and trade according to the level of training under their management or assigned by the principal.
Organizing the detailed syllabus for courses, modules, and credits to ensure consistency and avoid overlap between courses, modules, and credits in the training program or between different levels of training.
Organizing the development of training programs, compiling documents, and textbooks for training in accordance with the school's development orientation; developing intermediate-level and basic-level training programs and regular training programs as prescribed.
Organizing research to improve teaching and learning methods to enhance training quality.
Establishing and implementing examination, testing, and evaluation methods for student learning outcomes to meet the standards set out in published commitments and market labor demands.
c) Planning and organizing scientific and technological activities, international cooperation; cooperating with scientific and technological organizations, production, business, and service providers related to the majors and trades of training and mobilizing enterprise participation in the training process of the department or discipline;
d) Developing plans for teacher workforce development, majors and trades of training, and facilities and equipment for training and scientific research; enhancing conditions to ensure training quality; conducting experimental activities, scientific research, and applying technology and techniques in the training process;
đ) Developing plans and organizing the implementation of political, ideological, moral, and lifestyle education for teachers, administrative staff, civil servants, workers, and students; planning training and further education to improve the professional and vocational skills of teachers and workers in the department or discipline;
e) Organizing evaluations of teachers, administrative staff, civil servants, and workers in the department or discipline and participating in evaluating administrative staff in the school according to the school's regulations;
g) Managing and using facilities and equipment for training effectively according to the principal's regulations; proposing and building plans to supplement and maintain training equipment for the department or discipline;
h) Implementing reporting procedures as prescribed by the principal.
3. Heads and Deputy Heads of Departments and Disciplines
a) Departments and disciplines subordinate to the school have heads and may have deputy heads. The heads and deputy heads of departments and disciplines are appointed, relieved, or dismissed by the principal according to regulations and are specifically stipulated in the school’s organizational and operational regulations;
b) The heads of departments and disciplines are responsible for managing and directing the activities of the department or discipline according to the duties specified in Clause 2 of this Article and the principal's assignment;
c) The heads of departments and disciplines must have a bachelor's degree or higher appropriate to the majors and trades of training in the department or discipline;
d) Deputy heads of departments and disciplines assist the heads in managing and directing the activities of the department or discipline. The number of deputy heads depends on the functions, tasks assigned, and the scale of training in the department or discipline, and the school, and is specifically stipulated in the school’s organizational and operational regulations;
đ) The heads and deputy heads of departments and disciplines must meet the criteria for intermediate-level teaching staff, have at least two years of experience in training management, teaching, and scientific research, and possess management capabilities.
The age limit for the first term of appointment of the heads and deputy heads of departments and disciplines in public secondary vocational schools is not more than fifty-five years old for males and not more than fifty years old for females as of the month when the appointment process is carried out.
Article 22. Departments under the Faculty
1. The establishment of departments under the faculty shall be decided by the rector.
2. The organization and operation of departments under the faculty; the appointment, removal, and dismissal of department heads and deputy department heads under the faculty shall be specifically stipulated in the school's organizational and operational regulations.
Article 23. Functional Departments
1. Functional departments have the responsibility to advise and assist the rector in managing, synthesizing, proposing opinions, and organizing the implementation of the main tasks of the school such as: training, administration, management, organization, personnel, synthesis, international cooperation, student management, financial management, equipment and basic construction management, quality assurance and assessment according to the functions and tasks assigned by the rector.
The rector decides to establish functional departments according to the organizational structure of the school that has been approved in the school's organizational and operational regulations.
2. A functional department shall have a head and may have deputy heads. The head and deputy heads shall be appointed, removed, or dismissed by the rector in accordance with the provisions and specifically stipulated in the school's organizational and operational regulations.
a) The head must have a bachelor's degree or higher. Specifically, the head of the training management department must have at least two years of experience in management and teaching.
b) Deputy heads assist the head in managing and directing the activities of the department according to the assigned functions and tasks, the number of deputy heads depends on the assigned functions and tasks and the scale of training of the school, specifically stipulated in the school's organizational and operational regulations;
3. The term of office for the head and deputy heads is five years and can be reappointed. The age limit for the first term of appointment for the head and deputy heads of public vocational secondary schools shall not exceed fifty-five years for males and fifty years for females as of the month when the appointment process is carried out.
Article 24. Scientific Research Organizations, Technology Organizations; Training Service Organizations; Production, Business, and Service Bases
1. Vocational secondary schools may establish affiliated organizations to serve training activities such as: libraries; scientific research centers; technology and application centers; practical workshops; tradition rooms; clubs; cultural and sports houses; dormitories and dining halls.
2. Vocational secondary schools may establish production, business, and service bases to create conditions for students and teachers to practice and intern to enhance their knowledge and skills. The establishment of production, business, and service bases and the organization of production, business, and service activities of the school shall be carried out in accordance with the provisions of the law.
3. The organizations specified in Clause 1 and Clause 2 of this Article shall not have the function of organizing training or joint training to issue diplomas and certificates.
4. The establishment, dissolution, functions, tasks, organizational structures, and operations of the organizations specified in Clause 1 and Clause 2 of this Article shall be decided by the rector in accordance with current laws and specifically stipulated in the school's organizational and operational regulations.
Article 25. Communist Party of Vietnam Organizations, Mass Organizations, and Social Organizations
1. Communist Party of Vietnam organizations in vocational secondary schools operate in accordance with the Charter of the Communist Party of Vietnam and the Constitution and laws.
2. Mass organizations and social organizations in vocational secondary schools operate in accordance with the Constitution, laws, and the Charter of the organization and have the responsibility to contribute to achieving the vocational education goals.
Chapter III
TRAINING ACTIVITY ORGANIZATION
Section 1. TRAINING ACTIVITIES
Article 26. Training Fields and Trades
1. A secondary vocational school is authorized to train fields and trades at the intermediate level and trades at the basic level in accordance with the provisions set forth in Decree No. 143/2016/ND-CP dated October 14, 2016 of the Government on conditions for investment and operation in the vocational education sector, and the regular training programs stipulated in Points a, b, c, and d Clause 1 Article 40 of the Vocational Education Law, based on labor market demands.
2. The training of fields and trades not included in the list of intermediate-level training fields and trades shall be carried out in accordance with the provisions set forth in Decree No. 143/2016/ND-CP dated October 14, 2016 of the Government on conditions for investment and operation in the vocational education sector.
Article 27. Training Programs and Textbooks
1. Based on the minimum knowledge volume, the requirements for competencies that students must achieve upon graduation, and the output standards for each training level; following the procedures for developing, reviewing, and promulgating intermediate-level and basic-level training programs as prescribed by the Ministry of Labor - Invalids and Social Affairs, secondary vocational schools organize the compilation or selection and approval of intermediate-level training programs for each field and trade; basic-level training programs for each trade, and regular training programs for use as their own training programs.
2. Secondary vocational schools must periodically review, update, and supplement training programs and textbooks to align with production, business, and service technologies.
3. Secondary vocational schools organize the compilation or selection of textbooks; approve textbooks for use as teaching and learning materials. Training textbooks must detail the content knowledge and skill requirements for each module, credit, and subject within the training program, creating conditions for the implementation of active teaching methods.
Article 28. Admissions for Training
1. Secondary vocational schools independently determine admission quotas, develop annual recruitment plans based on direct manpower needs in production, business, and services of the industry and locality, and the training capacity of the school as prescribed by the Ministry of Labor - Invalids and Social Affairs.
2. Secondary vocational schools may only organize admissions and training at the intermediate and basic levels when they have been granted a certificate of registration for vocational education activities by the Department of Labor - Invalids and Social Affairs.
3. Secondary vocational schools organize and manage training in accordance with the regulations of the Ministry of Labor - Invalids and Social Affairs; conduct training in fields and trades at locations meeting the conditions and having been granted a certificate of registration for vocational education activities by the Department of Labor - Invalids and Social Affairs; organize teaching according to training objectives, programs, and organizational methods; arrange for students to study, practice, and intern at enterprises through contracts with enterprises; organize the evaluation of the training process and academic results of students in accordance with the regulations of the Ministry of Labor - Invalids and Social Affairs.
Article 29. Examination, Assessment, and Graduation Certification
Secondary vocational schools implement the assessment of students' academic performance, discipline, moral cultivation, and participation in social activities; organize examinations, assessments, and graduation certification for students in accordance with the regulations of the Ministry of Labor - Invalids and Social Affairs.
Article 30. Issuance and Management of Secondary Vocational Graduation Certificates, Primary Vocational Certificates, and Training Certificates
Secondary vocational schools shall manage and issue secondary vocational graduation certificates to students after they complete a level of vocational education training, or issue training certificates to students upon completion of regular training programs (excluding regular training programs for secondary vocational graduation certificates and primary vocational certificates) in accordance with the regulations of the Ministry of Labor, Invalids, and Social Affairs.
Article 31. Quality Assurance of Vocational Education and Training
1. Secondary vocational schools shall perform tasks and exercise powers related to quality assurance of vocational education in accordance with Articles 67 and 69 of the Vocational Education Law.
2. Secondary vocational schools have the responsibility to implement quality assurance of vocational education, ensuring the quality of training of the school and intermediate and primary level training programs in accordance with the regulations of the Ministry of Labor, Invalids, and Social Affairs.
Section 2. INTERNATIONAL COOPERATION ACTIVITIES
Article 32. Tasks and Powers of Secondary Vocational Schools in International Cooperation Activities
1. Implement forms of international cooperation in vocational education in accordance with Article 47 of the Vocational Education Law.
2. Develop and implement short-term, medium-term, and long-term international cooperation strategies, plans, and programs of the school in line with the objectives of international cooperation activities stipulated in Article 46 of the Vocational Education Law and the State's policies on international integration in vocational education.
3. Organize and effectively implement international cooperation programs and projects within their authority.
4. Conduct negotiations and sign cooperation agreements with foreign partners in accordance with the law.
5. Build databases and information systems on international cooperation activities.
Article 33. Management of International Cooperation Activities
1. Delegate the task of managing international cooperation to a subordinate organization of the school.
2. Develop and promulgate regulations on the management of international cooperation activities of secondary vocational schools in accordance with this Circular and relevant laws.
3. Organize practical and effective international cooperation activities; conduct inspections, evaluations, and summaries of the school’s international cooperation activities.
4. Coordinate with relevant agencies to ensure security, order, and social safety in international cooperation activities.
Chapter IV
TEACHERS, MANAGEMENT STAFF, CIVIL SERVANTS, WORKERS, AND STUDENTS IN SECONDARY VOCATIONAL SCHOOLS
Section 1. TEACHERS, MANAGEMENT STAFF, CIVIL SERVANTS, AND WORKERS
Article 34. Teachers in Secondary Vocational Schools
1. Educators in secondary vocational schools are referred to as teachers. The titles of teachers in secondary vocational schools are specified in Article 53 of the Vocational Education Law.
2. Professional standards, working conditions; standardization and enhancement training for teachers in secondary vocational schools shall be carried out in accordance with the regulations of the Ministry of Labor, Invalids, and Social Affairs.
3. Secondary vocational schools shall recruit, implement working conditions, provide professional and vocational training, and enhance training, as well as other systems and policies for teachers in accordance with the regulations of the Ministry of Labor, Invalids, and Social Affairs and the law.
Article 35. Duties and Authorities of Teachers
Teachers at vocational colleges shall perform duties and authorities as prescribed in Article 55 of the Law on Vocational Education and the following duties and authorities:
1. Adhere to all regulations, internal rules, and provisions of the school.
2. Implement the working regime for teachers as issued by the Ministry of Labor, Invalids and Social Affairs.
3. Be assigned teaching tasks according to their specialized field or profession; be allowed to choose teaching methods and tools to enhance personal capabilities, improve training quality and effectiveness; be provided with equipment, tools, and working conditions as stipulated by law to fulfill their tasks; be supplied with information related to their assigned duties and authorities.
4. Enjoy salaries, allowances, subsidies, and other policies as prescribed by law; teachers in public vocational colleges working in areas with particularly difficult economic and social conditions shall enjoy allowances and preferential policies as prescribed by law.
5. Receive training and enhancement of professional knowledge, skills, and teaching methods according to the school's plan and conditions; participate in managing and supervising the school's activities; participate in Party work, mass organizations, and social activities as prescribed by law.
6. Be protected in honor and dignity; be entitled to discuss and provide opinions on issues related to teachers' benefits; enjoy summer vacation, semester break, holiday leave, weekly rest days, and other leaves as prescribed by law.
7. Be entitled to sign guest lecturing contracts at vocational education institutions, other educational institutions, but must ensure completion of tasks prescribed in Articles 55 and 57 of the Law on Vocational Education.
8. Enjoy policies prescribed in Article 58 of the Law on Vocational Education and other benefits as prescribed by law.
9. Teachers participating in scientific and technological activities shall enjoy rights as prescribed in the Law on Science and Technology; if managers in vocational colleges engage in teaching, they shall enjoy teacher-related regimes as prescribed by law and lawful provisions of the college.
10. Participate in managing students; participate in evaluating management staff, civil servants, workers, and contribute responsibilities to the community.
11. Be subject to supervision by the school regarding the content, quality, teaching methods, and scientific research.
12. Complete other tasks assigned by the college, department, or faculty.
Article 36. Duties and Rights of Management Staff, Civil Servants, and Workers
Management staff, civil servants, and workers engaged in management and service work at vocational colleges have the duty to strictly perform assigned tasks and responsibilities; enjoy benefits as prescribed by law and in their employment contracts or labor contracts.
Article 37. Recruitment and Utilization of Teachers, Management Staff, Civil Servants, and Workers
1. Teachers, management staff, civil servants, and workers engaged in teaching, management, and service work at public vocational colleges shall be recruited in accordance with laws on civil servants and labor.
2. Teachers, management staff, and workers engaged in teaching, management, and service work at private vocational colleges shall be recruited in accordance with labor laws.
3. Recruitment and utilization of teachers must be based on evaluations of capability, professional ethics, work performance, and relevant legal provisions.
Article 38. Evaluation and Classification of Teachers
1. The evaluation and classification of teachers shall be carried out in accordance with the provisions of Government Decree No. 56/2015/NĐ-CP dated June 9, 2015 on the evaluation and classification of civil servants, public officials, and employees, and the guidance of the Ministry of Labor, Invalids, and Social Affairs.
2. The evaluation and classification of teachers must reflect the actual level of professional competence, teaching ability, scientific research capability; and the teacher's ethics and conduct.
Section 2. STUDENTS
Article 39. Students in Vocational Secondary Schools
Students in vocational secondary schools are defined in Article 59 of the Law on Vocational Education, including: students of the vocational secondary training program and the basic vocational training program; learners of the regular training program as stipulated in Points a, b, c, and d Clause 1, Article 40 of the Law on Vocational Education.
Article 40. Duties and Rights of Students
Students have duties and rights as prescribed in Article 60 of the Law on Vocational Education and the following specific duties and rights:
1. Implement civilized and healthy lifestyles; participate in building, protecting, and promoting the traditions of the school.
2. Pay for training service fees and registration fees as prescribed.
3. If a student receives scholarships and training costs from state budget funds or foreign sources under agreements signed with the Vietnamese government but does not comply with the dispatch orders of competent state agencies, they must reimburse the scholarship and training costs according to the law.
4. Participate in activities of associations, student unions, and other social organizations as prescribed by law.
5. Be eligible for shortened or extended study periods, repeating grades; retain academic results according to the law.
6. Receive a vocational secondary diploma, a basic vocational certificate, or a corresponding training certificate according to the level and training program as prescribed by the Ministry of Labor, Invalids, and Social Affairs.
7. Use the school's equipment and facilities for learning, practice, internships, and cultural, sports activities. Ensure safety and hygiene conditions during learning, practice, and internships according to the law.
8. Directly or through legitimate representatives of the student body, make recommendations to the school regarding measures to contribute to school development and protect their legitimate rights and interests; participate in evaluating the quality of training at the school.
9. Maintain and protect the school's property, production, business, and service facilities where practical training takes place.
10. Adhere to regulations on labor safety and hygiene.
Chapter V
FINANCE AND ASSETS OF VOCATIONAL SECONDARY SCHOOLS
Article 41. Management and Use of Assets
Vocational secondary schools implement provisions on financial sources; training service prices, admission fees; physical infrastructure, training equipment; management and use of finance and assets as prescribed in Articles 28, 29, 30, and 31 of the Law on Vocational Education and the following provisions:
1. Public vocational secondary schools manage and use assets in accordance with the law on land, buildings, construction works, production, business, service facilities, equipment, and assets transferred or purchased by the State and those donated, gifted, sponsored, or assisted to ensure the school’s training activities.
2. Private vocational secondary schools manage and use assets in accordance with the law on land and assets transferred or leased by the State and other assets owned by investors to ensure the school’s training activities.
3. All members of the school have the responsibility to maintain and protect the school's assets.
4. Annually, vocational secondary schools must organize asset inventory and revaluation, and implement reporting systems as prescribed by law. Fully comply with financial, accounting, auditing, tax, statistical, and periodic reporting systems; publicly disclose finances according to the law.
Article 42. Financial Sources
1. Financial sources of public intermediate vocational schools: Implement according to the Government's regulations on the self-management mechanism for public service units in the vocational education sector.
2. Revenue sources of private intermediate vocational schools
a) Revenue from training service activities as prescribed by the State;
b) Revenue from cooperative training, scientific, technological, production, business, and service activities as prescribed by law;
c) Dividends from joint venture and joint operation activities; bank deposit interest, bonds;
d) Budget funds provided by the state budget (if any);
đ) Other sources: Sponsorship, aid, gifts, donations from organizations and individuals both domestically and internationally.
Article 43. Expenditure Items
1. Expenditure items of public intermediate vocational schools: Implement according to the Government's regulations on the self-management mechanism for public service units in the vocational education sector.
2. Expenditure items of private intermediate vocational schools
a) Regular expenditure: Expenditure for training activities according to assigned functions and tasks; expenditure for production, business, and service activities of the school including expenditure for fulfilling tax obligations, depreciation of fixed assets, capital repayment, and loan interest as prescribed by law;
b) Irregular expenditure, including:
Expenditure for training tasks commissioned by the State.
Counterpart capital expenditure for implementing projects as prescribed.
Expenditure for urgent tasks assigned by competent authorities.
Investment expenditure for constructing physical facilities, purchasing assets, and equipment; expenditure for other investment projects as prescribed by the State.
Expenditure for joint venture and joint operation activities.
Other expenditures as prescribed by law.
Article 44. Transfer of Ownership Rights of Contributed Capital and Withdrawal of Capital in Private Intermediate Vocational Schools
1. The transfer of ownership rights of contributed capital by members of private intermediate vocational schools shall be stipulated in the organizational and operational charter, internal financial regulations of the school, consistent with relevant legal provisions, and must ensure the following transfer principles:
a) The person wishing to transfer shall notify the price and transfer requirements to the board of directors;
b) The board of directors shall notify the price and transfer requirements to the remaining contributing members and publicly announce them to teachers, managers, and employees of the school (if applicable); the notification period must be at least 45 days;
c) The transfer shall be carried out in the following order: Among contributing members of the school in proportion to their respective contributions; to teachers, managers, and employees of the school if contributing members do not purchase or do not fully purchase; to non-contributing members and teachers, managers, and employees of the school if teachers, managers, and employees of the school do not purchase or do not fully purchase.
2. Withdrawal of capital and transfer of ownership rights of contributed capital must comply with legal provisions, school regulations, and ensure the stability and development of private intermediate vocational schools.
3. In cases where the school is dissolved, financial and asset handling shall be implemented according to legal provisions.
Chapter VI
RELATIONSHIP BETWEEN THE SCHOOL AND ENTERPRISES, FAMILIES, AND SOCIETY
Article 45. Relations between vocational schools and enterprises
Vocational secondary schools shall proactively coordinate with enterprises in training activities, including:
1. Building and implementing training plans to meet the direct human resource needs in production, business, and services of enterprises and the labor market.
2. Inviting representatives of relevant enterprises to participate in the development of training programs and textbooks; participating in teaching, practical guidance, internships, evaluating learning outcomes, and providing career counseling for students.
3. Coordinating with enterprises to organize visits and internships for students at enterprises, linking study with practical production, business, and service activities.
4. Coordinating with enterprises to create conditions for teachers to improve their occupational skills, linking training with practical production, business, and service activities.
5. Cooperating with enterprises to train, enhance, and upgrade knowledge and occupational skills, and retrain enterprise employees when needed.
6. Coordinating with enterprises in research, production, application, and technology transfer activities.
7. Inviting representatives of enterprises to participate as members of the school council and board of management.
8. Establishing mechanisms for enterprises to participate in evaluating the school's training activities.
Article 46. Relations between vocational schools and families of students
1. The school has the responsibility to publicly announce its training objectives, programs; professions and trades registered with the Department of Labor, Invalids, and Social Affairs in the education and training activity registration certificate; graduation standards for each profession and trade according to each level of training; issuing intermediate certificates, training certificates, and diplomas to students; publicizing the service training fee levels and exemptions/reductions on service training fees; quality assurance results for vocational education; the school’s system of certificates and qualifications; job positions after graduation and measures for monitoring and supervising training quality; annual enrollment plans, quotas, criteria, regulations, and policies for students.
2. The school shall proactively coordinate with the families of students to effectively carry out educational work aimed at developing the comprehensive personality of students.
Article 47. Relations between vocational schools and society
1. The school shall implement linkages with production, business, and service establishments, scientific research institutions, technical and technological facilities, and other training institutions to facilitate conditions for teachers and students to visit, intern, and practice production, apply technology, and link teaching and learning with practical production.
2. The school shall regularly coordinate with relevant functional agencies of ministries, sectors, localities, production, business, and service establishments in determining training needs, linking training with employment and the labor market.
3. The school shall coordinate with cultural, artistic, sports facilities to provide conditions for students to participate in cultural exchange, artistic, and sports activities.
4. The school shall coordinate with local authorities, political-social organizations, social organizations, and occupational associations to build a healthy educational environment.
5. Establishing mechanisms for society to participate in evaluating the school's training quality.
Chapter VII
IMPLEMENTATION
Article 48. Secondary vocational schools shall be responsible for:
1. Implementing the provisions set forth in this Circular.
2. Improving organizational structures, reviewing activities, regulations concerning teachers, managers, civil servants, employees, students to meet the requirements stipulated in this Circular.
4. Providing explanations before competent state agencies, students, and society regarding the following activities:
a) Reporting, publicizing, and explaining to state management agencies and related parties about training objectives, programs; professions and trades certified by the Department of Labor, Invalids and Social Affairs in the certificate of education and vocational training activities; output standards for each profession and trade at each level of training; quality assurance conditions for teaching and learning; service training fees and exemptions/reductions thereof; results of training quality assessments; the system of diplomas and certificates of the school; job positions after graduation and measures for monitoring and supervising training quality;
b) Committing to state management agencies and being responsible for all activities to fulfill these commitments; not allowing any individual or organization to take advantage of the school's name and facilities to conduct activities contrary to laws and this Circular;
c) Establishing mechanisms for students, teachers, and society to participate in evaluating the training quality of the school; teachers to evaluate management staff; organizations and individuals using labor to participate in assessing the training quality of the school;
d) Reporting and explaining contents related to inspections and audits according to the requirements of competent authorities.
Article 49. The General Department of Vocational Training shall be responsible for:
1. Guiding the implementation of this Circular; conducting annual statistics and building databases on secondary vocational schools.
2. Inspecting and auditing the implementation of the provisions of this Circular, handling violations according to the law; revoking or recommending revocation of decisions that contravene the provisions of this Circular.
Article 50. The administrative bodies managing secondary vocational schools shall be responsible for:
1. Directly or in coordination with the Ministry of Labor, Invalids and Social Affairs to direct the implementation of this Circular for subordinate public secondary vocational schools.
2. Cooperating with the Ministry of Labor, Invalids and Social Affairs in managing subordinate public secondary vocational schools; resolving difficulties and obstacles according to the law.
3. Inspecting and auditing the implementation of the provisions of this Circular within their authority and handling violations against subordinate public secondary vocational schools according to the law.
Article 51. Provincial People's Committees shall be responsible for:
1. Directly or in coordination with the Ministry of Labor, Invalids and Social Affairs to direct the implementation of this Circular for subordinate public secondary vocational schools.
2. Cooperating with the Ministry of Labor, Invalids and Social Affairs in managing secondary vocational schools in their jurisdiction; resolving difficulties and obstacles according to the law.
3. Inspecting and auditing the implementation of the provisions of this Circular within their authority and according to the delegated management levels; handling violations against subordinate public secondary vocational schools and private secondary vocational schools in their jurisdiction according to the law.
Article 52. The Department of Labor - Invalids and Social Affairs shall be responsible for:
1. Guiding the organization to implement this Circular at local vocational secondary schools.
2. Every six months and annually, compiling and reporting to the General Department of Vocational Training on the implementation of this Circular by vocational secondary schools within their jurisdiction.
3. Inspecting and auditing the implementation of the provisions of this Circular, handling violations according to the law; revoking or recommending the revocation of decisions that contravene the provisions of this Circular.
Chapter VIII
IMPLEMENTING PROVISIONS
Article 53. Effective Date
1. This Circular takes effect from February 15, 2017.
2. Repeals Decision No. 52/2008/QĐ-BLĐTBXH dated May 5, 2008 of the Minister of Labor - Invalids and Social Affairs promulgating the Model Charter for Vocational Secondary Schools.
3. The provisions regarding conditions, procedures, files, formalities, and authorities for appointing, recognizing, reappointing, and rerecognizing principals of vocational secondary schools stipulated in Chapter III of Circular No. 42/2010/TT-BLĐTBXH dated December 31, 2010 of the Minister of Labor - Invalids and Social Affairs on the appointment, recognition, reappointment, and re-recognition of principals of vocational colleges, vocational secondary schools, and directors of vocational training centers cease to be effective from the date this Circular takes effect.
