CIRCULAR

Regulations on the dossier, procedure, and process for approving changes, proposed lists of candidates for election and appointment of personnel of credit organizations that are cooperatives

Pursuant to the Law on the State Bank of Vietnam No. 46/2010/QH12;

Pursuant to the Law on Credit Organizations No. 32/2024/QH15 amended and supplemented by Law No. 96/2025/QH15;

Pursuant to the Law on Cooperatives No. 17/2023/QH15;

Decree No. Decree No. 26/2025/NĐ-CP of the Government stipulating the functions, tasks, powers, and organizational structure of the State Bank of Vietnam;

At the proposal of the Director of the Credit Institution System Safety Department;

The Governor of the State Bank of Vietnam issues this Circular regulating the dossier, procedure, and process for approving changes, proposed lists of candidates for election and appointment of personnel of credit organizations that are cooperatives.

PART I
GENERAL PROVISIONS

Article 1. Scope of Regulation

This Circular stipulates:

1. Dossier, procedure, and process for approving changes of credit organizations that are cooperatives, including:

a) Name and location of the main office;

b) Authorized capital amount;

c) Content of operations;

d) Extension of operating period;

đ) Suspension of transactions for five working days or more, except in cases of suspension due to force majeure events;

e) Operating territory of people's credit funds.

2. Dossier, procedure, and process for approving the proposed list of candidates for election and appointment of the Chairman and other members of the Board of Directors, Head and other members of the Supervisory Board, General Director (Director) (hereinafter referred to as the proposed personnel list) of credit organizations that are cooperatives, excluding personnel appointed or recommended by the State Capital Representative Agency.

Article 2. Scope of Application

1. Credit organizations that are cooperatives include: cooperative banks, people's credit funds.

2. Organizations and individuals related to the dossier, procedure, and process for approving changes, proposed lists of candidates for election and appointment of personnel of credit organizations that are cooperatives.

Article 3. Authority to approve changes and proposed personnel lists of credit organizations that are cooperatives

1. The Governor of the State Bank of Vietnam approves changes and proposed personnel lists of cooperative banks as stipulated in Article 1 of this Circular, except for the provisions in Clause 2 and Clause 3 of this Article.

2. The Director of the Credit Organization Management and Supervision Department approves changes of cooperative banks as follows:

a) Change of name, change of address but without generating a change in the location of the main office;

b) Suspension of transactions for five working days or more, except in cases of suspension due to force majeure events.

3. The Director of the State Bank branch in the region where the people's credit fund's main office is located approves changes and proposed personnel lists of people's credit funds.

Article 4. Principles for drafting, submitting, receiving dossiers, and delivering results

1. The request for approval of changes and proposed personnel lists of credit organizations that are cooperatives must be signed by the法定代表人或其授权的代表(以下简称合法代表)签署。如为授权签署,文件须附有符合法律规定的形式的授权书。

2. The dossier for requesting approval of changes and proposed personnel lists of credit organizations that are cooperatives (hereinafter referred to as the application dossier) shall be prepared in one set in Vietnamese. Copies of documents, certificates, and translations of foreign language documents into Vietnamese in the dossier must be certified in accordance with the law. In cases where the documents are copies that are not certified copies or issued from original records, the credit organization that is a cooperative must present the originals for verification when submitting the dossier. The verifier must sign to confirm the copy and bear responsibility for its accuracy compared to the original.

3. Documents requesting supplementary dossiers, reply documents, approval documents, Decisions amending and supplementing Licenses of the State Bank of Vietnam (hereinafter referred to as the State Bank) shall be issued in paper form or electronic documents.

4. Credit organizations that are cooperatives shall submit dossiers through one of the following methods:

a) Submitting directly at the One-Stop Service Window of the State Bank, State Bank branch in the region;

b) Send through postal service;

c) Submitting online through the National Public Service Portal.

5. In cases where dossiers are submitted online through the National Public Service Portal, electronic dossiers shall use digital signatures or specialized electronic signatures to ensure security in accordance with the law on electronic transactions and administrative procedures conducted in an electronic environment.

In cases where the National Public Service Portal system encounters technical failures or errors preventing the reception, exchange of information, delivery of results, the declaration, submission, receipt, delivery of results, exchange, and feedback of information shall be carried out through postal services or directly at the One-Stop Service Window of the State Bank, State Bank branch in the region.

Documents in electronic dossiers are scanned electronic versions of original documents (PDF format files).

6. Credit organizations that are cooperatives shall send the application dossier for approval of changes and proposed personnel lists, and notifications stipulated in Point c, d Clause 1 Article 17 of this Circular to the State Bank as follows:

a) Cooperative banks shall send to the State Bank (through the Credit Organization Management and Supervision Department);

b) People's credit funds shall send to the State Bank branch in the region where their main office is located.

7. The receipt of dossiers shall be carried out in accordance with current laws on the implementation of administrative procedures under the one-stop service mechanism at the One-Stop Service Window and the National Public Service Portal, and in accordance with the provisions of this Circular.

8. The result of administrative procedures shall be sent to credit organizations that are cooperatives electronically through online methods; if the credit organization that is a cooperative requests it, the result may be sent in paper form through postal services or delivered directly at the One-Stop Service Window of the State Bank, State Bank branch in the region.

Chapter II
SPECIFIC PROVISIONS

Article 5. Change of Name

1. Application documents include:

a) A request document for approval to change the name according to the model attached as Appendix I to this Circular;

b) The resolution of the Members' Congress approving the change of name.

2. Procedure for implementing the approval process:

a) Credit organizations that are cooperatives shall prepare the dossier in accordance with Clause 1 of this Article and submit it to the State Bank. In case the dossier is incomplete, within three working days from the date of receipt of the dossier, the State Bank shall issue a document requesting the credit organization that is a cooperative to supplement the dossier;

b) Within ten days from the date of receiving a complete and valid dossier, the State Bank shall issue a Decision to amend and supplement the License regarding the name of the credit organization that is a cooperative. In case of refusal, the State Bank shall reply in writing and specify the reasons.

Article 6. Change of Head Office Location

1. The dossier for the request includes:

a) A request document for approval to change the main office location according to the model attached as Appendix II to this Circular;

b) The resolution of the Members' Congress approving the change of the main office location;

c) Documents proving that the credit cooperative has the right to use or legally own the headquarters at the new location.

2. Procedure for implementing the approval process:

a) Credit organizations that are cooperatives shall prepare the dossier in accordance with Clause 1 of this Article and submit it to the State Bank. In case the dossier is incomplete, within three working days from the date of receipt of the dossier, the State Bank shall issue a document requesting the credit organization that is a cooperative to supplement the dossier;

b) Within fourteen days from the date of receiving a complete and valid dossier, the State Bank shall issue a Decision to amend and supplement the License regarding the main office location of the credit organization that is a cooperative. In case of refusal, the State Bank shall reply in writing and specify the reasons.

3. Within twelve months from the date the State Bank issues the Decision to amend and supplement the License, the credit organization that is a cooperative must operate at the new location. Beyond this period, if the credit organization that is a cooperative does not operate at the new location, the Decision to amend and supplement the License becomes invalid.

4. In case of changing the address but without generating a change in the main office location, the credit organization that is a cooperative shall submit to the State Bank a request document for approval to change the address of the main office according to the model attached as Appendix III to this Circular.

Within five working days from the date of receipt of the request document of the credit organization that is a cooperative, the State Bank shall issue a Decision to amend and supplement the License regarding the address of the main office of the credit organization that is a cooperative.

Article 7. Change of Registered Capital

1. Application documents include:

a) A request document for approval to change the registered capital according to the model attached as Appendix IV to this Circular;

b) The resolution of the Members' Congress approving the plan to change the registered capital, except in cases where the change in registered capital is due to changes in member contributions; The resolution of the Members' Congress approving the repayment of contributions to members who have been expelled;

c) The resolution or decision of the Board of Directors approving the change in registered capital due to changes in member contributions, except in cases of repayment to members who have been expelled;

d) A list of members changing their contributions according to the model attached as Appendix V to this Circular;

đ) The plan to reduce the registered capital must comply with the provisions of the law on minimum capital and include measures to ensure the prescribed safety ratios in the operation of credit organizations that are cooperatives.

2. Procedure for implementing the approval process:

a) Within forty days from the end of the Members' Congress or in cases where the repayment of contributions to members leads to the registered capital being lower than the registered capital recorded in the License, the credit organization that is a cooperative shall prepare the dossier in accordance with Clause 1 of this Article and submit it to the State Bank. In case the dossier is incomplete, within three working days from the date of receipt of the dossier, the State Bank shall issue a document requesting the supplementation of the dossier;

b) Within twenty-one days from the date of receiving a complete and valid dossier:

(i) For cases of increasing the registered capital or in cases where the repayment of contributions to members who are dissolved credit unions leads to the registered capital of the cooperative bank being lower than the registered capital recorded in the License: The State Bank shall issue a Decision to amend and supplement the License regarding the change in the registered capital of the credit organization that is a cooperative;

(ii) For cases of reducing the registered capital, except in cases of repayment of contributions to members specified in point b(i) of this clause: The State Bank shall issue a document approving the reduction in the registered capital of the credit organization that is a cooperative. The credit organization that is a cooperative may only implement the plan to reduce the registered capital after obtaining the State Bank's approval;

(iii) In case of refusal, the State Bank shall reply in writing and specify the reasons.

3. Within thirty days from the date of receiving the approval document from the State Bank, the credit organization that is a cooperative must implement the reduction in registered capital and submit to the State Bank a notification of completion of the reduction in registered capital. Beyond this period, if the credit organization that is a cooperative does not implement the reduction in registered capital, the approval document from the State Bank becomes invalid.

Within five working days from the date of receipt of the notification of completion of the reduction in registered capital from the credit organization that is a cooperative, the State Bank shall issue a Decision to amend and supplement the License regarding the registered capital of the credit organization that is a cooperative.

Article 8. Changing the Content of Activities

1. Application documents include:

a) The application for approval to change the content of activities according to the form attached as Appendix VI to this Circular;

b) The resolution of the Members' Congress approving the change in the content of activities;

c) Implementation plan for the content of activities, at least including: description of the content, implementation procedures, effectiveness analysis and preventive measures, risk control measures, implementation plans; handling plan ensuring compliance with the prescribed safety ratios in the operation of credit cooperatives (in case of application for approval to narrow the scope of activities);

d) Internal regulations on the process of implementing business operations to ensure management and control of risks arising;

đ) Documents proving compliance with conditions related to the proposed content of activities as stipulated by law (if applicable).

2. Procedure for implementing the approval process:

a) Credit cooperatives shall prepare the dossier in accordance with Clause 1 of this Article and submit it to the State Bank. In case the dossier is incomplete, within three working days from the date of receipt of the dossier, the State Bank will issue a document requesting the credit cooperative to supplement the dossier;

b) Within twenty days from the date of receiving a complete and valid dossier of a people's credit fund or within twenty-eight days from the date of receiving a complete and valid dossier of a cooperative bank, the State Bank issues a Decision to amend and supplement the License regarding the content of activities of credit cooperatives. In case of refusal, the State Bank will reply in writing and specify the reasons.

Article 9. Extension of Operating Period

1. Application documents include:

a) Application for approval to extend the operating period according to the form attached as Appendix VII to this Circular;

b) An overview report on organizational structure and operations, including:

(i) Organization and operation of the management, administration, internal audit system, and internal control system; evaluation of performance over the past five years, including key performance indicators related to capital structure, capital utilization, and business results;

(ii) Objectives and business plans for the next three years;

c) Resolution of the Members' Congress on extending the operating period.

2. Procedure for implementing the approval process:

a) At least 180 days before the end of the operating period, credit cooperatives shall prepare the dossier in accordance with Clause 1 of this Article and submit it to the State Bank. In case the dossier is incomplete, within three working days from the date of receipt of the dossier, the State Bank will issue a document requesting the credit cooperative to supplement the dossier;

b) Within twenty-one days from the date of receiving a complete and valid dossier of a people's credit fund or within twenty days from the date of receiving a complete and valid dossier of a cooperative bank, the State Bank issues a Decision to amend and supplement the License regarding the operating period of credit cooperatives. In case of refusal, the State Bank will reply in writing and specify the reasons.

Article 10. Suspension of Transactions for Five Working Days or More, Except in Cases of Force Majeure

1. The dossier includes:

a) The application for approval to suspend transactions according to the form attached as Appendix VIII to this Circular;

b) The resolution of the Members' Congress on suspending transactions;

c) Plan for handling risks arising from the suspension of transactions, including anticipated solutions to minimize the impact of the suspension of transactions on the rights and interests of customers.

2. Procedure for implementing the approval process:

a) At least sixty days before the planned date of suspension of transactions, credit cooperatives shall prepare the dossier in accordance with Clause 1 of this Article and submit it to the State Bank. In case the dossier is incomplete, within three working days from the date of receipt of the dossier, the State Bank will issue a document requesting the credit cooperative to supplement the dossier;

b) Within ten days from the date of receiving a complete and valid dossier, the State Bank will examine and issue a document approving the request to suspend transactions of credit cooperatives. In case of refusal, the State Bank will issue a document replying and specifying the reasons.

3. After receiving the State Bank's approval document for the suspension of transactions, at the latest seven working days before the date of suspension of transactions, credit cooperatives have the responsibility to post notices about the time and reason for the suspension of transactions at their headquarters, transaction locations, and notify the People's Committee of the commune where the headquarters is located (for people's credit funds).

Article 11. Changing the operating territory of a people's credit fund

1. Application documents include:

a) A request document for changing the operating territory of a people's credit fund according to the model attached as Appendix IX to this Circular;

b) A document from the competent state agency regarding the division, separation, or change of administrative boundary names affecting the operating territory of the people's credit fund;

c) The resolution of the members' congress in cases where the people's credit fund voluntarily narrows its operating territory;

d) A plan for handling assets, rights, obligations, and related interests concerning the narrowing of the operating territory.

2. Procedure for implementing the approval process:

a) In cases where the change in the operating territory is due to the division, separation, or change of administrative boundary names affecting the operating territory of the people's credit fund, except for the provisions stipulated in point b of this clause, within thirty days from the date on which the document from the competent state agency regarding the division, separation, or change of administrative boundary names affecting the operating territory of the people's credit fund becomes effective, the people's credit fund shall issue a document to the State Bank branch in the region where the main office of the people's credit fund is located, notifying about the division, separation, or change of administrative boundary names and requesting amendments and supplements to the license for the operating territory of the people's credit fund.

Within five working days from the date of receipt of the document from the people's credit fund, the State Bank branch in the region shall issue a Decision to amend and supplement the license for the operating territory of the people's credit fund;

b) In cases where the operating territory is narrowed:

(i) The people's credit fund shall prepare and submit the dossier in accordance with Clause 1 of this Article to the State Bank branch in the region. If the dossier is incomplete, within ten days from the date of receipt of the dossier, the State Bank branch in the region shall issue a document requesting the people's credit fund to supplement the dossier;

(ii) Within fourteen days from the date of receiving a complete and valid dossier, the State Bank branch in the region shall issue a document approving the narrowing of the operating territory. In case of rejection, the State Bank branch in the region shall respond in writing and specify the reasons.

From the date on which the State Bank branch in the region issues a document approving the narrowing of the operating territory, the people's credit fund shall not admit new members or grant new loans in the narrowed territory;

(iii) Within ten days from the date of receipt of the report from the people's credit fund regarding the completion of handling assets, rights, obligations, and related interests concerning the narrowing of the operating territory, the State Bank branch in the region shall issue a Decision to amend and supplement the license for the operating territory of the people's credit fund.

Article 12. On assessing professional ethics for personnel proposed for credit organizations that are cooperatives

1. Those who fall under any of the following circumstances shall be assessed as not meeting the requirement of having professional ethics:

a) A person who bears responsibility according to the conclusion of inspection or audit leading to the credit organization, foreign bank branch being administratively punished in the monetary and banking sector at the highest fine level for violations of regulations concerning licenses, management, operation, shares, stocks, capital contribution, share purchase, credit provision, corporate bond purchase, safety ratio, as stipulated in laws on administrative punishment in the monetary and banking sector;

b) A person who bears responsibility according to the conclusion of inspection or audit leading to the credit organization, foreign bank branch being administratively punished in the monetary and banking sector within six months from the date of completing the execution of the administrative punishment decision;

c) A person who has been administratively punished for violations in the monetary and banking sector within one year from the date of completing the execution of the administrative punishment decision;

d) A person who bears individual responsibility for violations concerning licenses, management, operation, shares, stocks, capital contribution, share purchase, credit provision, corporate bond purchase, safety ratio, asset classification, off-balance sheet commitments, provision establishment and usage for risk handling, as stipulated in the conclusions of inspections, audits conducted by competent state agencies, where recommendations related to those violations have not yet been evaluated by the competent state agencies as completed rectification and correction.

2. Proposed personnel who do not fall under any of the circumstances stipulated in Clause 1 of this Article must meet the following requirements:

a) Proposed personnel who have worked or are currently working at credit organizations, foreign bank branches must comply with the rules and ethical standards established by the credit organization, foreign bank branch itself, in accordance with the State Bank's internal control system applicable to credit organizations, foreign bank branches;

b) Proposed personnel must comply with the rules and ethical standards established by the credit organization that is a cooperative, in accordance with the State Bank's internal control system applicable to credit organizations that are cooperatives.

Article 13. Approval of the proposed personnel list

1. Application documents include:

a) A request for approval of the proposed personnel list according to the model attached as Appendix X to this Circular;

b) The resolution of the Board of Directors approving the proposed personnel list of the credit cooperative organization, in which it commits that the proposed personnel to be elected or appointed will meet the qualifications and conditions stipulated in Law on Credit Organizations No. 32/2024/QH15 amended and supplemented by Law No. 96/2025/QH15 (hereinafter referred to as Law No. 32/2024/QH15), relevant laws, and the Charter of the credit cooperative organization;

c) Personal resumes of the proposed personnel to be elected or appointed according to the model attached as Appendix XI to this Circular;

d) Criminal record certificates of the proposed personnel to be elected or appointed, which must include complete information about criminal records (including expunged and unexpunged criminal records) and information about prohibitions from holding positions, establishing, and managing enterprises or cooperatives. The criminal record certificate must be issued by the competent authority before the credit cooperative organization submits the application for approval of the proposed personnel list, not exceeding six months;

Proposed personnel may present an electronic criminal record certificate obtained through the VNeID identity verification application or submit an electronic criminal record certificate in accordance with the law or the State Bank of Vietnam may access the criminal record database (if available);

đ) A declaration of related parties of the proposed personnel to be elected or appointed according to the model attached as Appendix XII to this Circular;

e) Certificates and diplomas of the proposed personnel to be elected or appointed proving compliance with the qualifications and conditions stipulated by the State Bank of Vietnam. In cases where certificates and diplomas are issued by foreign educational institutions, they must be recognized by the competent Vietnamese authorities in accordance with relevant laws;

g) An evaluation document of the credit organization or foreign bank branch where the proposed personnel have worked or are working according to the model attached as Appendix XIII to this Circular, except for credit organizations or foreign bank branches that have been dissolved or declared bankrupt. In cases where the credit organization where the personnel have worked has reorganized in accordance with the law, the evaluation document shall be provided by the successor organization based on the transferred and stored personnel files;

h) For proposed personnel to be elected or appointed under the exceptional cases specified in point c, Clause 1, points đ, e Clause 2, Article 42 of Law No. 32/2024/QH15: A document from the competent authority appointing the proposed personnel as representatives managing state capital contributions of at least 50% of the charter capital in credit organizations; appointing, designating, or appointing the proposed personnel to participate in management, operation, and supervision of credit organizations or credit organizations declared bankrupt as required (if applicable);

i) Documents proving compliance with the qualifications and conditions regarding work experience for proposed personnel to hold the position of Chairman and other members of the Board of Directors, Head and other members of the Supervisory Board, General Director (Director) of credit cooperative organizations as stipulated by the State Bank of Vietnam in Clauses 2 and 3 of this Article.

2. Documents proving compliance with the qualifications and conditions regarding work experience for proposed personnel to hold the position of Chairman and other members of the Board of Directors, Head and other members of the Supervisory Board, General Director of credit cooperative banks as stipulated by the State Bank of Vietnam, specifically:

a) For the position of Chairman of the Board of Directors and other members of the Board of Directors:

(i) A document from the authorized representative of the credit organization or foreign bank branch where the proposed personnel have worked or are working confirming the position, job title, and period of service of the proposed personnel at the credit organization or foreign bank branch; or a document proving the field of work and the period of assuming responsibilities in this field;

(ii) A document from the authorized representative of the credit organization or foreign bank branch where the proposed personnel have worked or are working confirming the position of the proposed personnel as a manager or executive and the period of holding such position; or a document proving the position (including documents proving that the position is a managerial or executive role) and the period of holding such position at the credit organization or foreign bank branch of the proposed personnel;

b) For the position of Head of the Supervisory Board and other members of the Supervisory Board:

A document from the authorized representative of the unit where the proposed personnel have worked or are working confirming the position, job title, and period of service of the proposed personnel at the unit; or a document proving the field of work and the period of assuming responsibilities in this field;

c) For the position of General Director:

A document from the authorized representative of the credit organization or foreign bank branch where the proposed personnel have worked or are working confirming the position of the proposed personnel as a manager or executive and the period of holding such position; or a document proving the position (including documents proving that the position is a managerial or executive role) and the period of holding such position at the credit organization or foreign bank branch of the proposed personnel.

3. Documents proving compliance with the qualifications and conditions regarding work experience for proposed personnel to hold the position of Chairman and other members of the Board of Directors, Head and other members of the Supervisory Board, Director (in cases where the Director is hired) of people's credit funds as stipulated by the State Bank of Vietnam, specifically:

a) For the position of Chairman of the Board of Directors, other members of the Board of Directors, Director (in cases where the Director is hired):

(i) A document from the authorized representative of the credit institution where the candidate has been or is working, confirming the position of the candidate as a manager or executive and the duration of holding such position; or a document proving the position (including documents proving that the position is a managerial or executive role) and the duration of holding the position at the credit institution of the candidate; or

(ii) The contents of the Articles of Association of the enterprise specifying the manager or internal regulations of the enterprise if the Articles of Association do not specify the manager;

(iii) A document from the authorized representative of the unit where the candidate has been or is working, confirming the position of the candidate as a manager and the duration of holding such position; or a document proving the position and the duration of holding the position at the unit of the candidate; or

(iv) A document from the authorized representative of the unit where the candidate has been or is working, confirming that the candidate works directly in the financial, banking, accounting, auditing business units and the duration of the candidate's work in these units; or a document proving the assignment, job arrangement, and the duration of performing tasks of the candidate in these business units.

b) For the position of Head of the Supervisory Board and other members of the Supervisory Board:

(i) A document from the authorized representative of the unit where the candidate has been or is working, confirming that the candidate works directly in the financial, banking, accounting, auditing field and the duration of the candidate's work in this field; or a document proving the job title, work position, and the duration of performing tasks of the candidate;

(ii) A document from the authorized representative of the unit where the candidate has been or is working, confirming that the candidate works directly in the financial, banking, accounting, auditing business units and the duration of the candidate's work in these units; or a document proving the assignment, job arrangement, and the duration of performing tasks of the candidate in these business units.

4. Procedure for implementing the approval process:

a) At least 40 days before the date of the expected General Member Meeting or the date when the Board of Directors plans to appoint (including hiring) the General Director (Director), the credit union shall prepare the dossier in accordance with Clause 1 of this Article and submit it to the State Bank.

The State Bank will extract necessary information from the national population database when reviewing and assessing the residence information. In cases where necessary information cannot be extracted from the national population database, the State Bank has the right to request the credit union to provide a confirmation document on residence information for the candidate from the competent registration authority in accordance with relevant laws;

b) If the dossier is incomplete, within three working days from the date of receipt of the dossier, the State Bank will issue a document requesting the credit union to supplement the dossier;

c) Within fourteen days from the date of receiving a complete and valid dossier, the State Bank will issue a document approving the list of candidates of the credit union. In case of rejection, the State Bank will respond in writing and specify the reasons.

Article 14. Notification of Information to the Business Registration Authority

1. Within five working days from the date of issuing the Decision to amend and supplement the License, except for the provisions stipulated in Clause 2 of this Article, the State Bank shall notify in writing the Business Registration Authority to update the national information system on business registration and cooperative enterprises, along with the Decision to amend and supplement the License.

2. Within five working days from the date that the credit cooperative moves to a new location, the State Bank shall notify in writing the Business Registration Authority to update the national information system on business registration and cooperative enterprises, along with the Decision to amend and supplement the License regarding the location of the main office.

3. Within five working days from the date that the credit cooperative sends a written notification to the State Bank as prescribed in Point d, Clause 1, Article 17 of this Circular, the State Bank shall notify in writing the Business Registration Authority about the election or appointment of the legal representative as stipulated in the charter of the credit cooperative or any change in the information about the legal representative, to update the national information system on business registration and cooperative enterprises.

4. Within five working days from the date of any change in information related to business registration as prescribed by law, the credit cooperative shall send a written notification to the State Bank about the change in information related to business registration. Within three working days from the date of receipt of the written notification from the credit cooperative, the State Bank shall notify in writing the change in information related to business registration to the Business Registration Authority to update the national information system on business registration and cooperative enterprises.

Chapter IV
RESPONSIBILITIES OF RELATED UNITS

Article 15. Responsibilities of the Department of Management and Supervision of Credit Institutions

1. Review and submit to the Governor of the State Bank for approval of changes and proposed personnel lists of cooperative banks within the authority prescribed in Clause 1, Article 3 of this Circular.

2. Submit to the Governor of the State Bank for issuance of a document seeking opinions of the People's Committee of the province or centrally-administered city where the cooperative bank plans to locate its main office if the new location is outside the province or centrally-administered city where the cooperative bank currently locates its main office.

3. Review applications and examine and approve changes within the authority prescribed in Clause 2, Article 3 of this Circular.

4. Seek opinions of the Department of Organization and Cadres, Branch of the State Bank in the Region on the proposed personnel list of the cooperative bank.

5. Review notifications of the cooperative bank as prescribed in Point c, Clause 1, Article 17 of this Circular. In case of discovering errors, request the cooperative bank to handle them promptly or propose measures to the Governor of the State Bank for handling if beyond the authority.

6. Implement the notification of information to the business registration authority as prescribed in Article 14 of this Circular for cooperative banks.

Article 16. Responsibilities of the State Bank Branch for the Region

1. Review applications and examine and approve changes and proposed personnel lists of people's credit funds.

2. Solicit opinions from the People's Committee of the commune where the people's credit fund plans to establish its main office if the new location is outside the commune where the current main office is located.

3. Within seven working days from the date of receiving the report of the credit cooperative organization according to point e, Clause 1, Article 17 of this Circular, the State Bank Branch for the Region where the credit cooperative organization has its main office shall be responsible for:

a) Inspecting compliance with all conditions of the main office as committed in the application for changing the location of the main office according to Model II attached to this Circular;

b) Issuing a record confirming compliance or non-compliance with requirements to operate at the new location.

4. Solicit opinions from the People's Committee of the commune where the proposed personnel will reside, the cooperative bank about the list of proposed personnel to be elected or appointed as Chairperson and other members of the Board of Directors, Head and other members of the Supervisory Board, Director of the people's credit fund.

5. Request other State Bank Branches for the Region to provide information according to Model XIV attached to this Circular (if deemed necessary).

6. Participate in providing opinions according to Model XIV attached to this Circular based on the request of the Credit Organization Management and Supervision Department of other State Bank Branches for the Region within five working days from the date of receipt of the request document.

7. Review announcements of the people's credit fund as stipulated in point c, Clause 1, Article 17 of this Circular. In case of discovering errors, require the people's credit fund to handle them promptly or take measures to address them within their authority.

8. Participate in providing opinions upon request of the Credit Organization Management and Supervision Department regarding other matters related to assigned functions and tasks.

9. Implement the notification of information to the business registration agency as stipulated in Article 14 of this Circular for the people's credit fund.

Article 17. Responsibilities of credit organizations, foreign bank branches

1. Credit cooperatives:

a) Bear legal responsibility for the completeness, accuracy, and truthfulness of the information provided in the application for approval of changes and proposed personnel lists;

b) Carry out the nomination and recommendation of proposed personnel as follows:

(i) The Board of Directors of the credit cooperative must inform members about the nomination and recommendation process for positions of Chairperson and other members of the Board of Directors, Head and other members of the Supervisory Board according to the law and the Charter of the credit cooperative. The notice must include the following information: Number of members expected to be elected to the Board of Directors and Supervisory Board; standards and conditions that must be met for these positions;

(ii) Based on the list of nominations or recommendations from members for the positions specified in point b(i) of this clause, the Board of Directors assesses the standards and conditions; establishes and approves the proposed personnel list. If members do not nominate or recommend enough candidates for the positions of Chairperson and other members of the Board of Directors, Head and other members of the Supervisory Board, or if the nominees do not meet the required standards and conditions, the Board of Directors and Supervisory Board have the right to nominate additional persons who meet the required standards and conditions for these positions;

(iii) In case the nominee does not meet the required standards and conditions, the Board of Directors must notify the reasons to the nominee or the member recommending the personnel;

c) Notify the State Bank in writing of any changes related to the fulfillment of the standards and conditions of the proposed personnel to be elected or appointed during the period when the State Bank is reviewing the application for approval of the proposed personnel list or from the date the State Bank issues the approval document until the personnel are elected or appointed;

d) Notify the State Bank in writing of the results of the election and appointment of personnel and information about the election and appointment of the position of Chairperson of the Board of Directors or General Director (Director) as the legal representative according to the Charter of the credit cooperative or change of the legal representative according to Model XV attached to this Circular within ten days from the date of election, appointment, or change of the legal representative;

đ) After the State Bank issues a Decision to amend and supplement the License, the credit cooperative must:

(i) Amend and supplement the Charter in accordance with the approved changes stipulated in points a, b, c, d, e of Clause 1, Article 1 of this Circular;

(ii) Announce the content of the changes stipulated in points a, b, c, d, e of Clause 1, Article 1 of this Circular within seven working days from the date of approval by the State Bank according to point b, Clause 4, Article 37 of Law No. 32/2024/QH15;

e) Within fifteen days before operating at the new location, the credit cooperative must submit a written notice of the expected start date of operations at the new location and report on compliance with all conditions of the main office of the credit cooperative as committed in the application for changing the location of the main office according to Model II attached to this Circular to the State Bank Branch for the Region where the main office is planned to be located. The credit cooperative may only operate at the new location after the State Bank Branch for the Region issues a record confirming compliance with the conditions to operate at the new location.

g) Cooperative banks have the responsibility to provide comments on the list of personnel proposed for election and appointment as Chairperson and other members of the Board of Directors, Head and other members of the Supervisory Board, and Director of the People's Credit Fund within five working days from the date of receiving the request from the State Bank branch in the Region.

2. Financial institutions, foreign bank branches where the proposed personnel are currently working shall be responsible for evaluating their professional ethics according to the model attached as Appendix XIII issued together with this Circular and their work experience criteria.

Chapter V
IMPLEMENTING PROVISIONS

Article 18. Responsibility for Implementation

Heads of units under the State Bank, cooperative financial institutions shall be responsible for organizing the implementation of this Circular.

Article 19. Implementation Provisions

1. This Circular takes effect from February 15, 2026, except for the provisions in Clause 3 of this Article.

2. Circular No. 28/2024/TT-NHNN on the files, procedures, and formalities for approving changes and lists of proposed personnel of cooperative financial institutions ceases to be effective from the date this Circular takes effect.

3. The approval of the list of proposed personnel of cooperative financial institutions before June 1, 2026, shall continue to be implemented according to the provisions of Circular No. 28/2024/TT-NHNN on the files, procedures, and formalities for approving changes and lists of proposed personnel of cooperative financial institutions.

4. Cooperative financial institutions that have submitted complete and valid applications for approval of changes in accordance with Article 1 of this Circular before it takes effect and comply with the laws at that time shall continue to implement according to the provisions of Circular No. 28/2024/TT-NHNN on the files, procedures, and formalities for approving changes and lists of proposed personnel of cooperative financial institutions or amend and supplement the application documents to comply with the provisions of this Circular./.
