CIRCULAR

On the management of foreign adoption offices in Vietnam

 

Circular No. 21/2011/TT-BTP dated November 21, 2011, issued by the Minister of Justice on the management of foreign adoption offices in Vietnam, which took effect from January 5, 2012, has been amended and supplemented by:

1. Circular No. 10/2020/TT-BTP dated December 28, 2020, issued by the Minister of Justice, guiding the recording, use, management, and storage of Registers, sample documents, and adoption files, effective from February 26, 2021;

2. Circular No. 11/2021/TT-BTP dated December 28, 2021, issued by the Minister of Justice amending and supplementing certain provisions of Circular No. 21/2011/TT-BTP dated November 21, 2011, issued by the Minister of Justice on the management of foreign adoption offices in Vietnam, effective from February 11, 2022;

3. Circular No. 01/2025/TT-BTP dated February 21, 2025, issued by the Minister of Justice amending and supplementing certain provisions of Circular No. 21/2011/TT-BTP dated November 21, 2011, issued by the Minister of Justice on the management of foreign adoption offices in Vietnam, which had been amended and supplemented by Circular No. 11/2021/TT-BTP dated December 28, 2021, issued by the Minister of Justice, effective from April 8, 2025.

BASED ON Decree No. 19/2011/NĐ-CP dated March 21, 2011, of the Government detailing the implementation of certain provisions of the Adoption Law; BASED ON Decree No. 24/2019/NĐ-CP dated March 5, 2019, of the Government amending and supplementing certain provisions of Decree No. 19/2011/NĐ-CP dated March 21, 2011, of the Government detailing the implementation of certain provisions of the Adoption Law;

Pursuant to Decree No. 19/2011/NĐ-CP dated March 21, 2011, promulgated by the Government detailing the implementation of certain provisions of the Adoption Law;

Pursuant to Decree No. 93/2008/NĐ-CP dated August 22, 2008, promulgated by the Government stipulating the functions, tasks, powers, and organizational structure of the Ministry of Justice;

The Ministry of Justice hereby issues this Circular on the management of foreign adoption offices in Vietnam[[1]]:

Chapter I. GENERAL PROVISIONS

 

 

Article 1. Scope of Regulation

This Circular provides detailed guidance on implementing certain provisions of the Adoption Law and Decree No. 19/2011/NĐ-CP dated March 21, 2011, promulgated by the Government detailing the implementation of certain provisions of the Adoption Law (hereinafter referred to as Decree No. 19/2011/NĐ-CP) regarding procedures for issuing, extending, and amending licenses for foreign organizations to operate adoption activities in Vietnam; rights and obligations of foreign adoption offices; inspection, supervision, and handling of violations against foreign adoption offices in Vietnam.

Article 2. Foreign adoption organizations granted permission to operate in Vietnam

1.[[2]] In accordance with Clause 37 of Decree No. 19/2011/NĐ-CP, based on the number and needs of Vietnamese children seeking substitute families abroad, the conditions and capabilities of foreign adoption organizations wishing to operate in Vietnam, after exchanging views with the Central Agency for International Adoption of the relevant country, Ministry of Justice taking the lead, coordinating with the Ministry of Foreign Affairs and the Ministry of Public Security decide the number of foreign adoption organizations granted permission to operate in Vietnam (hereinafter referred to as foreign adoption organizations).

2. Foreign adoption organizations granted permission to operate in Vietnam shall operate under the form of foreign adoption offices.

Foreign adoption offices shall have separate bank accounts and seals in accordance with the law.

3. Foreign adoption organizations are responsible for all activities of foreign adoption offices in Vietnam.

Article 3. Participation in the Implementation of Procedures for Resolving Overseas Adoptions[[3]]

Foreign adoption offices may participate in the implementation of procedures for resolving adoptions of Vietnamese children to be adopted overseas in accordance with the law on adoption..

Chapter II. GUIDANCE ON CERTAIN PROCEDURES FOR ISSUING, EXTENDING, AND AMENDING LICENSES FOR FOREIGN ADOPTION ACTIVITIES

 

Article 4. Regarding the application dossier for issuance, extension, and amendment of the business license

1. The application dossier of foreign child adoption organizations for issuance, extension, and amendment of the business license for foreign child adoption activities in Vietnam must comply with the provisions of Articles 31, 34, and 35 of Decree No. 19/2011/NĐ-CP and the following guidelines:

a) A certified copy of the business license of the foreign child adoption organization according to point c, Clause 1, Article 31 of Decree No. 19/2011/NĐ-CP must be a certified true copy, clearly indicating that the organization is authorized to operate in the field of foreign child adoption in Vietnam or international child adoption.

b) In cases where the foreign child adoption organization has already operated in the field of foreign child adoption in Vietnam, the report on the situation of operations in Vietnam according to point d, Clause 1, Article 31 and Clause 2, Article 34 of Decree No. 19/2011/NĐ-CP must be signed and stamped by the head of the foreign child adoption organization.

2.[[4]] The application dossier of foreign child adoption organizations for issuance, extension, and amendment of the business license for foreign child adoption activities in Vietnam must be legalized according to Article 30 of the Adoption Law, prepared in two sets, and translated into Vietnamese. The translation must be certified by the signature of the translator according to Vietnamese law.

Article 5. Procedures for Issuance, Extension, and Amendment of Business License

1. The procedures for issuance, extension, and amendment of the business license for foreign child adoption activities in Vietnam by foreign child adoption organizations shall be carried out according to the provisions of Articles 33, 34, and 35 of Decree No. 19/2011/NĐ-CP and the following guidelines:

a)[[5]] After receiving the reply document from the Ministry of Public Security according to Clause 2, Article 33, Clause 4, Article 34 of Decree No. 19/2011/NĐ-CP and Clause 2, Article 35 of Decree No. 19/2011/NĐ-CP which has been amended and supplemented by some articles according to Decree No. 06/2025/NĐ-CP dated January 8, 2025 of the Government amending and supplementing some articles of decrees on adoption, the Minister of Justice will consider and decide on issuing, extending, and amending the business license for foreign child adoption activities in Vietnam for foreign child adoption organizations.

b) In cases where the foreign child adoption organization is permitted by the competent authority of the foreign country to operate in Vietnam for a shorter period than the maximum period stipulated in Clause 4, Article 33 of Decree No. 19/2011/NĐ-CP, the business license for foreign child adoption activities in Vietnam will only be issued or extended for the duration specified in the permit issued by the competent authority of the foreign country.

2. Foreign child adoption organizations that actively support finding substitute families for children with disabilities, HIV-infected children, and other seriously ill children and meet all conditions prescribed by law shall be given priority in considering the issuance of the business license for foreign child adoption activities in Vietnam.

Chapter III. RIGHTS AND OBLIGATIONS OF FOREIGN ADOPTION OFFICES

 

Article 6. Acting on behalf of adoptive parents to handle adoption procedures in Vietnam

1. According to point b, Clause 2, Article 43 of the Adoption Law, the foreign adoption office may act on behalf of the adoptive parent to carry out the following activities to handle adoption procedures in Vietnam:

a) Completing the dossier of the adoptive parent according to Vietnamese law;

b) Submitting the dossier of the adoptive parent to the Ministry of Justice[[6]] and paying the registration fee for foreign child adoption as prescribed;

c) Supplementing documents and papers in the dossier of the adoptive parent upon request of the Ministry of Justice[[7]];

d)[[8]] Sending photos and reports about the child, detailed and comprehensive health information of the child being processed for foreign adoption to the adoptive parent or the competent authority of the foreign country, after obtaining approval from the Ministry of Justice;[[9]];

đ)[[10]] Supporting additional or specialized health examinations, medical treatment, and care for the child being processed for foreign adoption at the request of the adoptive parent; supporting psychological preparation, language, and other necessary conditions for the child being processed for foreign adoption;

e) Submitting to the Ministry of Justice[[11]] the adoptive parent's consent regarding the child being processed for foreign adoption[[12]] and the consent of the competent authority of the foreign country for continuing the adoption process;

g) Paying the costs for processing foreign adoption according to regulations;

h) Supporting the adoptive parent in immigration, travel, residence, and translation procedures when they come to Vietnam to complete the adoption procedures;

i) Coordinating with childcare facilities to organize meetings and interactions between the adoptive parent and the child being processed for foreign adoption;[[13]];

k) Supporting the adoptive parent in the adoption handover ceremony;

l) Supporting the adoptive parent in passport and visa procedures for the child's departure from Vietnam, entry, and settlement in the foreign country;[[14]]

m)[[15]] Requesting certification of the adoption process according to Article 38 of the Adoption Law.

2. The foreign adoption office shall not represent the adoptive parents legally.

3.[[16]] In cases where the foreign child adoption organization has had its business license for foreign child adoption activities in Vietnam revoked according to Clause 1, Article 36 of Decree No. 19/2011/NĐ-CP, the Ministry of Justice will exchange with the Central Agency on International Child Adoption of the foreign country concerned about:

a) Measures to support the completion of processing for those dossiers that have been transferred to the Department of Justice;

b) Methods to continue implementing the responsibility of reporting on the development of Vietnamese children adopted abroad according to point g, Clause 2, Article 43 of the Adoption Law.

Article 7.[[17]] (Repealed)

Article 8. Leasing premises, using Vietnamese labor

Foreign adoption organizations may lease premises and use Vietnamese labor to work at foreign adoption offices in Vietnam in accordance with point d, Clause 2, Article 43 of the Adoption Law and the following guidelines:

1. Foreign adoption organizations must submit to the Ministry of Justice[[18]] a notification document regarding the address of the office, telephone number, fax number, postal address of the foreign adoption office in Vietnam, and one copy of the lease agreement for the office premises (if applicable).

2. In cases where Vietnamese labor is used to work at the foreign adoption office in Vietnam, foreign adoption organizations must enter into a labor usage contract in accordance with Vietnamese law and submit to the Ministry of Justice[[19]] a notification document regarding the list of employees working at the office, contact address, and one copy of the labor usage contract. Employees working at the foreign adoption office must have appropriate professional qualifications, relevant work experience, and good morals.

Article 9. Obligation to report on the development status of children

1. The foreign adoption office has the responsibility to urge adoptive parents to strictly comply with the obligation to timely report on the development status of Vietnamese children adopted abroad within three years from the date of adoption.[[20]]

2.[[23]] Based on reports from adoptive parents, the foreign adoption office has the responsibility to submit to the Ministry of Justice[[24]] a report on the development status of Vietnamese children adopted abroad in accordance with point g, Clause 2, Article 43 of the Adoption Law.

3. In addition to[[25]] submitting annual periodic reports as stipulated in Clause 2 of this Article, the foreign adoption office has the responsibility to submit ad hoc reports on specific cases of Vietnamese children adopted abroad upon request of the Ministry of Justice.[[26]].

4. Strict compliance with the obligation to report on the development status of Vietnamese children adopted abroad is considered one of the grounds for the Ministry of Justice[[27]] to accept applications to adopt Vietnamese children through foreign adoption organizations.

Article 10. Obligation to report on operational status

1.[[28]] The foreign adoption office has the responsibility to submit to the Ministry of Justice semi-annual and annual reports on the operational status of foreign adoption organizations permitted to operate in Vietnam..

2. Strict compliance with the obligation to report on the operational status of the foreign adoption office is considered one of the grounds for considering the extension of the operating permit of foreign adoption organizations in Vietnam.

3.[[29]] The foreign adoption office shall submit reports in paper form or electronic format in PDF of the paper report as stipulated in Clause 1 of this Article.

Article 10a. Establishment, management, use, and preservation of books and forms[[30]]

1. The foreign adoption office in Vietnam has the responsibility to establish, manage, and use various types of books and forms.

2. The head of the foreign adoption office in Vietnam has the responsibility to use and manage various types of books and forms; preserve generated documents during operations; annually compile statistics and create archival files; implement technical measures to protect and safely preserve archival materials and ensure their use.

Chapter IV. INSPECTION, AUDIT, AND HANDLING OF VIOLATIONS AGAINST FOREIGN ADOPTION OFFICES

 

Article 11. Inspection Authority

1.[[31]] Ministry of Justice shall carry out management and inspection of foreign adoption offices in Vietnam.

2. In cases where necessary or upon request from relevant ministries or agencies, the Ministry of Justice shall establish an inter-ministerial team to inspect foreign adoption offices in Vietnam.

Article 12. Content of Inspection

1. The inspection of activities of foreign adoption offices includes:

a) Compliance with the non-profit principle of foreign adoption offices: financial income and expenditure situations and record-keeping systems for financial transactions of foreign adoption offices in Vietnam;

b) Compliance with the operating license for foreign adoption activities issued by the Ministry of Justice;

c) Results of facilitating children's adoption through the support of foreign adoption offices;

d) Compliance with regulations, guidelines, and directives related to the professional operations of foreign adoption offices;

e) Fulfillment of reporting obligations as stipulated in Articles 9 and 10 of this Circular;

f) Fulfillment of other obligations of foreign adoption offices as prescribed by the Adoption Law, Decree No. 19/2011/NĐ-CP, and other relevant laws;[[32]]

g)[[33]] Implementation of obligations to establish, manage, and use various types of ledgers and forms.

2. The inspection of personnel of foreign adoption offices includes:

a) Compliance with the qualifications of the head of foreign adoption offices as stipulated in Article 32 of Decree No. 19/2011/NĐ-CP;

b) Execution of labor contracts and compliance with the qualifications of staff of foreign adoption offices as stipulated in Clause 2 of Article 8 of this Circular;

c) Other issues related to the organizational structure of personnel of foreign adoption offices in Vietnam.

3. Inspection of compliance with legal provisions regarding office leasing (if applicable).

Article 13. Procedure for Conducting Inspections

1. Inspections of foreign adoption offices in Vietnam shall be conducted annually or at random.

2. For annual inspections, the Ministry of Justice[[34]] shall notify foreign adoption offices at least five working days in advance about the time, composition, content, plan, and location of the inspection; in case of random inspections, notification shall be made at least one working day in advance.

3. When conducting inspections, records must be made of all inspection contents; these records must be signed by the head of the inspection team and the head of the foreign adoption office. If the inspection results indicate that there are violations by the foreign adoption office that need to be addressed promptly, the head of the inspection team shall immediately propose to the competent authority to apply temporary measures to prevent further damage and suggest appropriate actions against the foreign adoption office.

4.[[35]] Within thirty days after the completion of the inspection, the Ministry of Justice shall notify foreign adoption offices in Vietnam and related adoption organizations about the inspection conclusions.

Article 14. Oversight of Activities of Foreign Adoption Offices

1. The Inspectorate of the Ministry of Justice shall conduct oversight of all foreign adoption offices in Vietnam.

2. The procedures and formalities for overseeing the activities of foreign adoption offices shall be carried out in accordance with the law on oversight.

Article 15. Rewards and Handling of Violations

1.[[36]] The foreign adoption offices and their heads in Vietnam strictly comply with this Circular and other relevant laws. If they achieve outstanding results in activities supporting the search for substitute families for children in special circumstances or assisting disabled children and those suffering from serious illnesses in Vietnam, they shall be rewarded according to current legal provisions.

2. Foreign adoption offices, their heads, and employees who violate this Circular and other relevant Vietnamese laws on adoption shall be subject to administrative penalties or criminal responsibility, depending on the nature and severity of the violation, as stipulated by law.

Chapter V. IMPLEMENTING PROVISIONS[[37]]

 

Article 16. Abolition of Relevant Legal Normative Documents

The Decision No. 09/2006/QĐ-BTP dated November 30, 2006, issued by the Minister of Justice regarding the Regulation on Managing Foreign Adoption Offices in Vietnam is hereby abolished.

Article 17. Effective Date

This Circular takes effect from January 5, 2012.

Article 18. Implementation of the Circular[38]

1. The Ministry of Justice shall implement this Circular and coordinate with the Ministry of Public Security and the Ministry of Foreign Affairs to manage foreign adoption offices in Vietnam.

2. During implementation, if there are any difficulties or new issues arise, related agencies shall inform the Ministry of Justice in a timely manner for guidance.

Circular No. 01/2025/TT-BTP amending and supplementing certain provisions of Circular No. 21/2011/TT-BTP dated November 21, 2011, of the Minister of Justice on managing foreign adoption offices in Vietnam, which has been amended and supplemented by Circular No. 11/2021/TT-BTP dated December 28, 2021, of the Minister of Justice, is based on the following grounds:

[[2]] This clause is amended and supplemented pursuant to Clause 1 of Article 1 of Circular No. 01/2025/TT-BTP amending and supplementing certain provisions of Circular No. 21/2011/TT-BTP dated November 21, 2011, of the Minister of Justice on managing foreign adoption offices in Vietnam, which has been amended and supplemented by Circular No. 11/2021/TT-BTP dated December 28, 2021, of the Minister of Justice, and shall take effect from April 8, 2025.

[[37]] Article 9 of Circular No. 10/2020/TT-BTP guiding the recording, use, management, and storage of Adoption Books, forms, and adoption files becomes effective from February 26, 2021, and is stipulated as follows:

Article 9. Effective Date

1. This Circular takes effect from February 26, 2021, and replaces Circular No. 12/2011/TT-BTP dated June 27, 2011, issued by the Ministry of Justice on the issuance and guidance for recording, storing, and using adoption forms, and Circular No. 24/2014/TT-BTP dated December 29, 2014, issued by the Ministry of Justice amending and supplementing certain articles of Circular No. 12/2011/TT-BTP dated June 27, 2011, issued by the Ministry of Justice on the issuance and guidance for recording, storing, and using adoption forms.

2. The Model No. 01/BC/PTTE specified in Point a Clause 2 Article 9 and Model No. 02/BC/VPCNNNg specified in Clause 1 Article 10 of Circular No. 21/2011/TT-BTP dated November 21, 2011, issued by the Ministry of Justice on the management of Overseas Adoption Offices in Vietnam are abolished.

3. During the implementation process, if there are difficulties, it is requested that the People's Committees of provinces and centrally governed cities, Departments of Justice, and Vietnamese representative offices abroad promptly reflect to the Ministry of Justice for guidance..

Article 3 of Circular No. 11/2021/TT-BTP amending and supplementing certain articles of Circular No. 21/2011/TT-BTP dated November 21, 2011, issued by the Minister of Justice on the management of Overseas Adoption Offices in Vietnam, becomes effective from February 11, 2022, and is stipulated as follows:

Article 3. Implementation Provisions

This Circular takes effect from February 11, 2022.

Article 3 of Circular No. 01/2025/TT-BTP amending and supplementing certain articles of Circular No. 21/2011/TT-BTP dated November 21, 2011, issued by the Minister of Justice on the management of Overseas Adoption Offices in Vietnam, which has been amended and supplemented by Circular No. 11/2021/TT-BTP dated December 28, 2021, issued by the Minister of Justice, becomes effective from April 8, 2025, and is stipulated as follows:

"Article 3. Implementation Provisions

This Circular takes effect from April 8, 2025.

[[39]] This model is abolished according to Clause 2 Article 9 of Circular No. 10/2020/TT-BTP guiding the recording, use, management, and storage of Adoption Books, forms, and adoption files, becoming effective from February 26, 2021.
