CIRCULAR

ISSUING REGULATIONS ON THE MANAGEMENT AND USE OF APARTMENT BUILDINGS

Pursuant to the Law on Housing No. 65/2014/QH13;

Pursuant to Decree No. 62/2013/NĐ-CP dated June 25, 2013 of the Government stipulating the functions, tasks, powers, and organizational structure of the Ministry of Construction;

Pursuant to Decree No. 99/2015/NĐ-CP dated October 20, 2015 of the Government detailing and guiding the implementation of certain provisions of the Law on Housing;

Considering the proposal of the Director of the Department of Housing Management and Real Estate Market,

The Minister of Construction issues this Circular on Regulations on the Management and Use of Apartment Buildings.

Article 1. These Regulations are promulgated together with this Circular.

Article 2. This Circular shall take effect from April 2, 2016. The following documents shall cease to be effective from the date this Circular takes effect:

a) Decision No. 08/2008/QĐ-BXD dated May 28, 2008 of the Minister of Construction promulgating the Regulations on the Management and Use of Apartment Buildings;

b) Circular No. 05/2014/TT-BXD dated May 9, 2014 of the Minister of Construction amending and supplementing Point a Clause 2 Article 17 of the Regulations on the Management and Use of Apartment Buildings issued together with Decision No. 08/2008/QĐ-BXD dated May 28, 2008 of the Minister of Construction.

Provisions on the management and use of apartment buildings issued by the Ministry of Construction, relevant ministries, sectors, and provincial/municipal people's committees before the date this Circular takes effect that differ from the provisions within the scope of adjustment of the Regulations on the Management and Use of Apartment Buildings promulgated together with this Circular shall be implemented according to the provisions of the Regulations on the Management and Use of Apartment Buildings promulgated together with this Circular.

Article 3. The Minister, heads of ministerial-level agencies, agencies under the Government, Chairpersons of provincial/municipal people's committees, and related organizations and individuals are responsible for implementing this Circular.

REGULATIONS

MANAGEMENT AND USE OF APARTMENT BUILDINGS

(PROMULGATED TOGETHER WITH CIRCULAR NO. 02/2016/TT-BXD DATED FEBRUARY 15, 2016 OF THE MINISTER OF CONSTRUCTION)

PART I
GENERAL PROVISIONS

Article 1. Scope of Regulation

1. These regulations apply to residential apartment buildings and mixed-use apartment buildings for residential purposes and other uses as prescribed in the Law on Housing No. 65/2014/QH13 (hereinafter referred to as the Law on Housing), including:

a) Commercial apartment buildings;

b) Social apartment buildings, except those specified in Clause 2 of this Article;

c) Apartment buildings for resettlement;

d) Old state-owned apartment buildings that have been renovated and rebuilt.

2. It is encouraged to apply these regulations to old state-owned apartment buildings that have not yet been renovated and rebuilt. For social apartment buildings solely for dormitory-style accommodation for students, trainees, and workers, they are not subject to the scope of regulation of these regulations.

Article 2. Applicability

1. Project investors for the construction of apartment buildings; owners and users of apartment buildings; management boards of apartment buildings; units managing and operating apartment buildings.

2. State management agencies related to the management and use of apartment buildings.

3. Other organizations and individuals related to the management and use of apartment buildings.

Article 3. Explanation of Terms

In this Regulation, the following terms shall be understood as follows:

1. Apartment building is housing as defined in Clause 3, Article 3 of the Law on Housing.

2. Apartment building complex is a single apartment building (with one or more units) constructed according to planning and project files approved by competent authorities.

3. Apartment building cluster is a collection of two or more apartment buildings constructed on a plot of land according to planning and project files approved by competent authorities and having the same ownership form, either one owner or multiple owners.

4. Apartment building for residential purposes is an apartment building designed and constructed exclusively for residential use.

5. Mixed-use apartment building is an apartment building designed and constructed for residential use and other purposes such as offices, services, and commerce.

6. Project investor for the construction of apartment buildings is the capital owner or organization/person assigned to manage and use the capital to implement housing investment projects, including apartment buildings, as stipulated by the Law on Housing and related laws (hereinafter referred to as the investor).

7. Owner of apartment buildings is the owner of an apartment unit and the owner of other areas in the apartment building that are not apartment units.

8. User of apartment buildings is the owner directly using the apartment building or an organization, household, or individual legally using an apartment unit or other area in the apartment building through leasing, borrowing, residing temporarily, being authorized to manage and use, or using pursuant to a decision of a competent authority.

9. Representative of the owner of an apartment unit or other area in the apartment building that is not an apartment unit is the person representing each apartment unit owner, each non-apartment unit area owner, or a lawful user if the owner does not use it and has a lawful authorization (hereinafter collectively referred to as the representative of the apartment unit owner).

10. Apartment building with one owner is an apartment building with only one owner for the entire building without division of common ownership and private ownership.

11. Apartment building with multiple owners is an apartment building with two or more owners, each having their own share of private ownership and a shared portion for common use among the owners.

12. Part on common ownership of apartment buildings refers to the area and equipment systems, technical infrastructure systems as defined in Clause 2, Article 100 of the Law on Housing but which belong to the common ownership and shared use of the apartment building owners.

13. Part on common ownership of condominium units refers to the area and equipment systems as defined in Point b, Clause 2, Article 100 of the Law on Housing but which belong to the common ownership and shared use of the condominium unit owners.

14. Part on common ownership of office, service, and commercial areas refers to the area and equipment systems as defined in Point b, Clause 2, Article 100 of the Law on Housing but which belong to the common ownership and shared use of the owners of these functional areas.

15. Part on common ownership of clustered apartment buildings refers to the area, facilities, equipment systems, and technical infrastructure systems belonging to the common ownership and shared use of the clustered apartment building owners, including water tanks, generators, septic tanks, water pumps, public gardens (if any), and other facilities and equipment constructed and installed according to approved designs for shared use among multiple buildings within the clustered apartment complex.

Article 4. Principles for Managing and Using Apartment Buildings

1. Apartment buildings must be used in accordance with their designed functions and purposes as approved in the project.

2. The management and use of apartment buildings must comply with the internal regulations for each apartment building, laws on housing, this Regulation, and related laws.

3. The payment of management and operation fees for apartment buildings shall be carried out based on agreements between the owners and users of the apartment buildings and the management and operation units in accordance with the provisions of the laws on housing. The use of management and operation funds, maintenance funds for the common ownership part of the apartment buildings must ensure proper purpose, transparency, and compliance with the provisions of the laws on housing and this Regulation; contributions of various fees and charges during the use of apartment buildings must comply with relevant laws.

4. Owners and users of apartment buildings must pay maintenance fees, management and operation fees, operating costs of the Management Board of the apartment building, and other fees and charges during the use of the apartment building as stipulated in this Regulation and related laws; they must comply with internal regulations for managing and using apartment buildings, laws on housing, this Regulation, and related laws during the management and use of apartment buildings.

5. The Management Board of the apartment building acts on behalf of the owners and current users to exercise rights and responsibilities related to the management and use of apartment buildings in accordance with the laws on housing and this Regulation; in cases where the establishment of a Management Board is not mandatory under the Law on Housing, the owners and current users may agree on management plans for the apartment buildings.

6. Disputes and complaints related to the management and use of apartment buildings shall be resolved in accordance with the Law on Housing, this Regulation, and related laws.

7. Any violations of regulations on the management and use of apartment buildings must be promptly and strictly dealt with in accordance with the law.

Chapter II
CONTENT ON MANAGEMENT AND USE OF APARTMENT BUILDINGS

Article 5. Establishment, handover, and storage of condominium building files

1. The owner of the condominium building must establish and store files on housing in accordance with Articles 76 and 77 of the Law on Housing.

2. The developer is responsible for establishing the condominium building file, which includes:

a) The project investment and construction file of the condominium building that has been approved by the competent authority, including the legal file of the project and the completion file in accordance with the law on construction; for condominium buildings without legal files or completion files, a new drawing file of the condominium building (hereinafter referred to as the approved project file) must be established;

b) The maintenance procedure for the condominium building organized and approved by the developer in accordance with the law on construction;

c) The maintenance procedure for common-owned equipment in the condominium building established by the equipment supplier;

d) The floor plan of the parking area established by the developer based on the approved project and design, clearly defining the parking areas for condominium owners and users (including common-owned parking spaces and automobile parking spaces) and public parking areas.

3. The storage of condominium building files as stipulated in Clause 2 of this Article shall be regulated as follows:

a) The developer is responsible for storing the files specified in Clause 2 of this Article; within twenty working days from the date when the Condominium Management Board or the representative managing the condominium building (in cases where the Condominium Management Board is not established) issues a written request for the handover of the condominium building files, the developer is responsible for handing over two sets of true copies of the files specified in Clause 2 of this Article to the Condominium Management Board;

b) After receiving the handover of the condominium building files, the Condominium Management Board is responsible for storing and managing these files; if the condominium building requires a management operation unit in accordance with the Law on Housing, the Condominium Management Board must provide one set of the received files from the developer to the management operation unit, except in cases where the management operation unit is the developer;

c) If the developer fails to hand over the condominium building files beyond the time limit specified in Point a of this Clause, the Condominium Management Board must issue a written request to the People's Committee of the district, town, or city under the province where the condominium building is located (hereinafter collectively referred to as the District People's Committee) to require the developer to hand over the files;

Within five working days from the date of receipt of the written request from the Condominium Management Board, the District People's Committee must inspect; if the developer has not handed over the condominium building files as prescribed, they must issue a written request for the developer to hand over the files; within ten working days from the date of receipt of the District People's Committee's document, if the developer does not hand over the condominium building files, they will be subject to administrative penalties under the law on administrative violations in the field of management and use of housing and be compelled to hand over the condominium building files in accordance with this Regulation.

4. Prior to the handover of the condominium building files, the developer and the Condominium Management Board or the representative managing the condominium building must carry out an inventory of equipment and physically define the common-owned parts of the condominium building in accordance with the Law on Housing; the actual site handover and the handover of the condominium building files must be recorded in a protocol confirmed by all parties.

Article 6. Management of the separate ownership portion in multi-owner apartment buildings

1. The area and equipment belonging to the separate ownership of the owner as stipulated in Clause 1, Article 100 of the Law on Housing must be clearly recorded in the purchase contract, lease-purchase contract for an apartment unit or other areas not being apartment units in the apartment building (hereinafter referred to collectively as the purchase or lease-purchase contract for an apartment unit).

Along with the purchase or lease-purchase contract for an apartment unit, the developer must provide the drawings as prescribed in Point d, Clause 2, Article 5 of this Regulation to the buyer or lessee.

2. In cases where the purchase or lease-purchase contract for an apartment unit is signed before this Regulation takes effect, the determination of the area and equipment belonging to the separate ownership and the provision of accompanying drawings shall be carried out according to the provisions of the law on housing at the time of signing the contract; if there are no provisions in the law on housing, it shall be determined according to the agreement in the purchase or lease-purchase contract for an apartment unit.

3. The owner of the apartment building may directly manage or authorize another person to manage their separate ownership portion, but the use of this separate ownership portion must ensure compliance with the design function, approved purpose, and must not affect the separate ownership portions of other owners or the common ownership portion of the apartment building.

Article 7. Management of the common ownership and shared use of multi-owner apartment buildings

1. The area and equipment systems belonging to the common ownership of the apartment building owners are determined according to the provisions of Clause 2, Article 100 of the Law on Housing and must be clearly recorded in the purchase or lease-purchase contract for an apartment unit. Accompanying the purchase or lease-purchase contract for an apartment unit must be a list of common ownership portions as prescribed by the Law on Housing; the common ownership portion of the apartment building must be used for its intended purpose and in accordance with the approved design function.

2. For facilities serving the daily life of the owners and users of the apartment building that must be handed over to state management according to the approved project but have not yet been handed over, the developer has the responsibility to manage these facilities; after handing them over to the state, the entity entrusted by the state to manage them will be responsible for managing, maintaining, and using them according to their approved intended purpose and design function.

3. For facilities serving the daily life of the owners and users of the apartment building constructed by the developer for business purposes according to the approved project content, the developer has the right of ownership and is responsible for managing and maintaining the facility.

4. For the common ownership portion of the apartment building intended for residential purposes, the apartment building owners have the responsibility to jointly manage it; if the apartment building requires a management operation unit, then this portion of the common ownership is assigned to the management operation unit to manage; in cases where it does not require a management operation unit, the residents' meeting decides to assign it to the Apartment Building Management Board or to another entity to manage the common ownership portion.

5. For the common ownership portion of the apartment building intended for mixed-use purposes, management shall be carried out according to the following regulations:

a) In cases where the common ownership portion of the office, service, and commercial area cannot be separately divided from the apartment area, the apartment building owners have the responsibility to jointly manage this common ownership portion; the management operation of this common ownership portion shall be carried out according to the provisions of Clause 4 of this Article;

b) In cases where the common ownership portion of the office, service, and commercial area can be separately divided from the apartment area, the owner of the apartment area is responsible for managing the common ownership portion of the apartment area; the management operation of this common ownership portion shall be carried out according to the provisions of Clause 4 of this Article. As for the common ownership portion of the office, service, and commercial area, it shall be managed by the management operation unit, and if the apartment building does not require a management operation unit, it shall be managed by the owner of this functional area.

For the common ownership portion of the entire building, the apartment building owners have the responsibility to jointly manage it; the management operation of this common ownership portion shall be carried out according to the provisions of Clause 4 of this Article.

6. For the community living house of the apartment building, it shall be managed by the owners or the Management Board (if the apartment building has a Management Board) or the apartment building management operation unit according to the decision of the residents' meeting.

7. For the common ownership portion of a cluster of apartment buildings, the Management Board of the cluster of apartment buildings represents the owners to manage this common ownership portion.

8. In cases where the purchase or lease-purchase contract for an apartment unit is signed before this Regulation takes effect, the determination of the common ownership portion of the apartment building shall be carried out according to the provisions of the law on housing at the time of signing the contract; if there are no provisions in the law on housing, it shall be determined according to the agreement in the purchase or lease-purchase contract for an apartment unit.

Article 8. Ownership and Management of Parking Spaces in Apartment Buildings

1. Parking spaces in apartment buildings shall be constructed based on construction standards and approved design documents. Parking spaces may be arranged in the basement, on the first floor, or in other areas within or outside the apartment building and must be clearly stated in the sales contract or lease purchase agreement for apartments; parking spaces must be used for their intended purpose as specified in the approved project and in accordance with Article 101 of the Law on Housing.

2. For apartment buildings owned by a single owner, the parking spaces belong to the owner's ownership and management but must be used according to the approved project content, provisions of the Law on Housing, and this Regulation. In cases where an apartment building requires a management operation unit, such unit shall manage the parking spaces; if not required to have a management operation unit, the owner shall self-manage or hire another unit to manage the parking spaces.

3. For parking spaces belonging to common ownership as provided for in Point a Clause 1 Article 101 of the Law on Housing, they shall be managed by the management operation unit. In cases where an apartment building does not require a management operation unit but must have a Residents' Management Board under the Law on Housing, the residents' meeting shall decide to entrust the Board or another unit to represent the owners in managing these parking spaces; if the apartment building does not require a management operation unit and has no Residents' Management Board, the owners shall organize self-management or hire another unit to manage the parking spaces.

4. For parking spaces designated for apartment owners as provided for in Point b Clause 1 Article 101 of the Law on Housing, the following regulations shall apply:

a) The buyer or lessee of an apartment or other area in the apartment building (hereinafter referred to as the apartment buyer) decides to purchase or lease parking spaces designated for apartment owners as stipulated by the Law on Housing.

If the apartment building has sufficient parking spaces for each apartment and the apartment buyer wishes to purchase or lease such parking spaces, the developer must resolve to sell or lease these parking spaces while ensuring that each apartment owner or other area owner in the apartment building does not purchase or lease more than the number of parking spaces designed and constructed for one apartment or one privately-owned area in the apartment building as approved in the project.

b) If the apartment building lacks sufficient parking spaces for each apartment, the developer shall resolve to sell or lease these parking spaces based on agreements among apartment buyers; if the buyers cannot reach an agreement, the developer shall resolve through a lottery system to allocate the right to purchase or lease these parking spaces.

c) The sale or lease of parking spaces as provided for in Points a and b of this Clause may be recorded in the sales or lease purchase contract for apartments or established in a separate contract; rental fees for parking spaces shall be paid monthly or periodically, and purchase fees shall be paid in one lump sum or in installments as agreed by the parties. In cases of leasing parking spaces, the responsibility for paying management operation costs and parking fees shall be determined by the lease contract; in cases of purchasing parking spaces, the purchaser must pay management operation costs and parking fees as prescribed by law and as agreed with service providers.

d) A purchaser of a parking space who wishes to transfer or lease it may only transfer or lease it to other owners or users of the apartment building or return it to the developer.

đ) If the buyer or lessee of an apartment does not purchase the parking space as provided for in this Clause, the parties must clearly state in the sales or lease purchase contract that this area belongs to the developer's ownership and management, and the developer may not include the cost of constructing the parking space in the price of the apartment; if the buyer or lessee purchases or leases a parking space, the developer must separately calculate the price of the parking space from the price of the apartment.

e) The parking spaces as provided for in this Clause shall be managed by the management operation unit; if the apartment building does not require a management operation unit under the Law on Housing, the owners shall self-manage or hire another unit to manage the parking spaces.

5. The management of public parking spaces in apartment buildings (parking spaces for non-owners or users of the apartment building) shall be carried out as follows:

a) If the owner of a functional zone such as office, service, or commercial space purchases public parking spaces from the developer, the owner of this functional zone shall be responsible for managing them.

b) If the public parking spaces belong to the developer, the developer shall be responsible for managing them; if the owner of a functional zone such as office, service, or commercial space leases the public parking spaces from the developer, the management of these parking spaces shall be carried out according to the terms of the lease contract.

c) If the public parking spaces are managed by the State according to the approved project documents, the unit entrusted by the State to manage them shall be responsible for managing these parking spaces.

6. Organizations or individuals owning parking spaces as provided for in Clauses 4 and 5 of this Article shall be responsible for paying management operation costs and maintaining the parking spaces; in cases of leasing parking spaces, the maintenance responsibility shall be carried out according to the terms of the lease contract.

Article 9. The House Management and Usage Regulations

1. All apartment buildings within the scope of application of this Regulation must have House Management and Usage Regulations containing the contents stipulated in Clause 2 of this Article and comply with the model prescribed in Appendix No. 01 issued together with this Regulation.

2. The House Management and Usage Regulations shall contain the following main contents:

a) Provisions applicable to owners, users, temporary residents, and visitors to the apartment building;

b) Acts prohibited in the use of apartment buildings and the handling of violations of the house management and usage regulations;

c) Provisions on the use of common ownership parts of the apartment building;

d) Provisions on repairing damages, changing equipment in private ownership parts, and handling incidents in the apartment building;

đ) Provisions on fire prevention and explosion control in the apartment building;

e) Provisions on publicizing information related to the use of the apartment building;

g) Provisions on the obligations of owners and users of the apartment building;

h) Other provisions depending on the characteristics of each apartment building.

3. In cases where the first condominium meeting has not been organized, the developer shall be responsible for drafting the House Management and Usage Regulations according to the provisions of Clause 1 and Clause 2 of this Article, attaching it to the sales contract, lease purchase contract for apartments, and publicly announcing this regulation in the community house area, elevator lobby, and reception area of the apartment building.

4. When organizing the first condominium meeting, the meeting may consider, amend, and supplement the House Management and Usage Regulations established by the developer, but the amended and supplemented contents must not contravene the laws on housing and the provisions of this Regulation. After the first condominium meeting, the Condominium Management Board or the representative managing the apartment building in cases where the Condominium Management Board is not established shall be responsible for publicly announcing this regulation in the community house area, elevator lobby, and reception area of the apartment building.

Article 10. Operation and Management of Apartment Buildings

1. The operation and management activities of apartment buildings include the following tasks:

a) Controlling, maintaining operations, and regular maintenance of the elevator system, water pumps, generators, automatic fire alarm systems, firefighting systems, firefighting equipment, backup devices, and other common and shared-use equipment of the apartment building or cluster of apartment buildings;

b) Providing security services, environmental sanitation, waste collection, garden care, pest control, and other services to ensure normal operation of the apartment building;

c) Other related tasks.

2. In cases where an apartment building must have a management and operation unit according to Point a Clause 1 Article 105 of the Law on Housing, all tasks prescribed in Clause 1 of this Article must be carried out by the management and operation unit; owners and users are not allowed to separately hire different services to manage and operate. The apartment building management and operation unit may enter into contracts with service providers to perform management and operation tasks of the apartment building but must bear responsibility for management and operation according to the content of the service contract signed with the Condominium Management Board.

Article 11. Maintenance of apartment buildings

1. The maintenance activities of apartment buildings include inspection, monitoring, quality assessment, minor repairs, regular repairs, and major repairs of the building structure of apartment buildings; checking and maintaining fire safety systems; replacing common components or equipment of the building or cluster of apartment buildings.

2. The owner of an apartment has the responsibility to maintain their private portion and contribute funds for the maintenance of the common portions of the apartment building in accordance with the provisions of the Law on Housing and this Regulation.

In cases where damage to the private portion affects other owners, the owner shall be responsible for repairing such damage; if the owner does not carry out the repair, the management unit or the person entrusted with managing the apartment building may temporarily suspend or request the service provider to temporarily suspend the provision of electricity and water services for that private portion; in cases where there is damage to the common portion within the private ownership area, the owner of the private portion shall be responsible for creating conditions and supporting the management unit of the apartment building and the construction unit to repair such damage.

3. The maintenance of the building structure of apartment buildings must be carried out by units with the capacity as prescribed by laws on construction; the maintenance of the equipment systems of apartment buildings must be carried out by units with corresponding capacity for the maintenance work. If the management unit of the apartment building has the capacity for maintenance, it can be hired to perform the maintenance.

4. During the period before the first residents' meeting of the apartment building is held, the maintenance of the common portions of the apartment building shall be carried out according to the maintenance procedures specified in Points b and c Clause 2 Article 5 of this Regulation.

5. After the first residents' meeting of the apartment building is organized, the maintenance of the common portions of the apartment building with multiple owners shall be carried out according to the maintenance procedures specified in Points b and c Clause 2 Article 5 of this Regulation and the annual maintenance plan approved by the residents' meeting in accordance with this Regulation; in cases of sudden damage or damage caused by natural disasters or fires, the Management Board of the apartment building shall decide on the maintenance in accordance with this Regulation and relevant laws but must report to the residents' meeting at the next meeting.

6. The implementation of the maintenance of the common portions of the apartment building shall be carried out in accordance with the provisions of Section 4 Chapter III of this Regulation.

Chapter III
ORGANIZATION OF MANAGEMENT AND USE OF APARTMENT BUILDINGS

Section 1
RESIDENTS' MEETING OF APARTMENT BUILDINGS

Article 12. Residents' Meeting of Apartment Buildings

1. For apartment buildings with one owner, the residents' meeting of the apartment building is a meeting of the representative of the owner and the user of the apartment building.

2. For apartment buildings with multiple owners, the residents' meeting of the apartment building is a meeting of representatives of the apartment owners or users if the owners do not attend (including cases where they have received delivery of the apartment or other areas in the apartment building but have not yet paid the full amount to the developer, except in cases where the purchase or lease-purchase contract for the apartment is terminated).

3. The residents' meeting of the apartment building has the right to decide on matters related to the management and use of the apartment building as stipulated in Article 102 of the Law on Housing and the provisions of this Regulation.

Article 13. First Building Owners' Meeting

1. The conditions for organizing the first building owners' meeting shall be as follows:

a) The building owners' meeting must be organized within twelve months from the date the residential building is handed over for use and at least fifty percent of the apartments have been handed over (including apartments retained by the developer without sale); in cases where the residential building has not reached fifty percent of apartments handed over within the prescribed time limit, the building owners' meeting shall be organized once fifty percent of the apartments have been handed over;

b) The cluster of residential buildings' meeting shall be organized when at least fifty percent of the apartments in each building in the cluster have been handed over (including apartments retained by the developer without sale) and at least seventy-five percent of apartment owners' representatives in each building agree to incorporate the building into the cluster of residential buildings.

2. The conditions regarding the number of participants in the first building owners' meeting shall be as follows:

a) For the building owners' meeting, there must be at least seventy-five percent of apartment owners' representatives who have received the handover attending; if the first meeting is convened but does not reach seventy-five percent of apartment owners' representatives attending, a second meeting shall be convened when at least fifty percent of apartment owners' representatives who have received the handover attend. If the second meeting is convened but does not meet the required number of attendees as stipulated herein, the developer shall request the People's Committee of the commune, ward, town (hereinafter referred to as the People's Committee of the commune level) to organize the meeting according to Clause 5 of this Article;

b) For the cluster of residential buildings' meeting, there must be sufficient people who have agreed to incorporate the building into the cluster of residential buildings as stipulated in Point b of Clause 1 of this Article attending; if the first meeting is convened but does not meet the required number of attendees, a second meeting shall be convened when at least fifty percent of people who have agreed to incorporate the building into the cluster of residential buildings attend; if the second meeting is convened but does not meet the required number of attendees, the People's Committee of the commune level shall be requested to organize the meeting according to Clause 5 of this Article, except in cases where the building in the cluster holds a separate building owners' meeting according to Point c of this Clause;

c) In cases where the residential building in the cluster does not have sufficient attendees for the cluster of residential buildings' meeting after convening the second meeting as stipulated in Point b of this Clause, the building owners may organize a building owners' meeting to establish a separate Management Board according to Point a of this Clause.

3. The developer (if it is a residential building with multiple owners) or the owner (if it is a residential building with a single owner) shall be responsible for preparing the meeting contents, announcing the time and place, and organizing the formal meeting for the building owners and users. The developer or owner may also organize preparatory meetings to prepare the contents for the formal building owners' meeting. The preparation for the first building owners' meeting includes the following tasks:

a) Checking and determining the representative status of apartment owners attending the meeting; in case of delegation, a valid power of attorney must be provided;

b) Drafting the rules of procedure for the building owners' meeting;

c) Proposing amendments and supplements to the internal regulations on management and use of the residential building (if applicable);

d) Drafting the rules of procedure for electing the Management Board of the residential building, proposing the name of the Management Board according to Point a of Clause 1 of Article 23 of these Rules, proposing the list and number of Management Board members, and anticipating the Chairman and Deputy Chairmen of the Management Board (if the residential building requires a Management Board);

đ) For residential buildings with multiple owners, additional contents need to be prepared, including proposing service fee levels for management and operation of the residential building, drafting a maintenance plan for common property of the residential building, proposing a management and operation unit in cases where the residential building requires a management and operation unit but the developer lacks the function or capability to manage and operate or has the function and capability but does not participate in management and operation and does not delegate to another unit to manage and operate; in cases where the residential building requires a Management Board, the model of operation of the Management Board, draft rules of operation, and financial income and expenditure rules of the Management Board must be proposed;

e) Announcing the prices of services such as swimming pools, gyms, tennis courts, spas, supermarkets, and other services (if applicable);

g) Other proposals related to the management and use of the residential building that need to be reported to the first building owners' meeting;

4. The first building owners' meeting shall decide on the following matters:

a) Rules of procedure for the building owners' meeting (including the first meeting, annual meetings, and extraordinary meetings);

b) Rules of procedure for electing the Management Board of the residential building, the name of the Management Board, the number and list of Management Board members, the Chairman, and Deputy Chairmen of the Management Board (if the residential building establishes a Management Board);

c) Amendments and supplements to the internal regulations on management and use of the residential building (if applicable);

d) Contents specified in Point đ of Clause 3 of this Article; specifically, for the service fee for management and operation of the residential building, the building owners' meeting shall decide based on the provisions of these Rules and agreement with the management and operation unit;

đ) Financial contributions that the owners and users of the residential building must make during the use of the residential building;

e) Other related contents.

5. The People's Committee of the commune level shall be responsible for organizing the first building owners' meeting in any of the following cases:

a) The residential building has been handed over for use beyond the twelve-month period and has reached fifty percent of apartments handed over as stipulated in Point a of Clause 1 of this Article, but the developer has not organized the building owners' meeting and there is a request from the representative of apartment owners who have received the handover to request the People's Committee of the commune level to organize the meeting;

b) The developer has organized a building owners' meeting but did not reach the required number of attendees as stipulated in Clause 2 of this Article, and the developer or representative of apartment owners have a written request to the People's Committee of the commune level to organize the meeting.

6. Within thirty days from the date of receipt of the application from the representative of the apartment owner or the request document from the developer as prescribed in Clause 5 of this Article, the People's Committee of the ward shall be responsible for organizing the first condominium meeting. The result of the first condominium meeting organized by the People's Committee of the ward has the effect of applying to the owners and users of the condominium as if it were organized by the developer.

Article 14. Unusual Condominium Meeting

1. An unusual condominium meeting shall be organized when there is one of the following cases:

a) Electing a replacement for the Head or Deputy Head of the Management Board due to being relieved of duty, dismissed, or deceased, missing; in the case of replacing the Deputy Head of the Management Board who is the representative of the developer, the developer appoints another person to take over without having to organize an unusual condominium meeting;

b) Relieving or dismissing all members of the Management Board and electing a new Management Board;

c) Electing a replacement for a member of the Management Board other than the Head or Deputy Head due to being relieved of duty, dismissed, or deceased, missing, provided that a consultation with the owners of the condominium has been held but not enough people agree according to Point b, Clause 3, Article 26 of this Regulation or electing a replacement for a member of the Management Board of the condominium as prescribed in Point b, Clause 4, Article 26 of this Regulation;

d) The Management Board of the condominium proposes to replace the management and operation unit or requests to adjust the service fee for management and operation of the condominium;

đ) Other cases when there is a request from more than 50% of the representatives of the apartment owners who have taken possession.

2. The conditions regarding the number of participants in an unusual condominium meeting are stipulated as follows:

a) In the case of holding a condominium meeting to decide on one of the issues prescribed in Points a, b, c, or d of Clause 1 of this Article, there must be at least 50% of the representatives of the apartment owners who have taken possession participating;

b) In the case of holding a condominium meeting based on the request of the apartment owners prescribed in Point đ of Clause 1 of this Article, there must be at least 75% of the people who have submitted a request to organize an unusual condominium meeting participating.

3. The conditions regarding the number of participants in an unusual cluster condominium meeting are stipulated as follows:

a) In the case of holding a cluster condominium meeting to elect the Head or elect a new entire Management Board of the cluster condominium or decide on the content prescribed in Point d of Clause 1 of this Article, there must be at least 50% of the representatives of the apartment owners who have taken possession of the cluster condominium participating.

In the case where each building in the cluster has its own management and operation unit and a building proposes to change the management and operation unit or requests to adjust the service fee for management and operation of the building, there must be at least 50% of the representatives of the apartment owners who have taken possession of that building participating, and only the unusual condominium meeting of that building shall be organized to make the decision;

b) In the case of electing a replacement for the Deputy Head of the Management Board or members of the Management Board representing the building in the cluster condominium, only the unusual condominium meeting of that building shall be organized to elect a replacement member; the meeting of the building shall be organized to elect a replacement when at least 50% of the representatives of the apartment owners who have taken possession of that building participate;

c) In the case of organizing a cluster condominium meeting based on the request of the apartment owners prescribed in Point đ of Clause 1 of this Article, there must be at least 75% of the people who have submitted a request to organize an unusual cluster condominium meeting participating.

4. The Management Board of the condominium is responsible for preparing the agenda, announcing the time and place, and organizing the formal meeting for the owners and users of the condominium.

5. The People's Committee of the ward shall be responsible for organizing an unusual condominium meeting, cluster condominium meeting to decide on one of the contents prescribed in Points a, b, or c of Clause 1 of this Article when there is one of the following cases:

a) The Management Board of the condominium has organized an unusual condominium meeting, cluster condominium meeting but did not have enough participants as prescribed in Point a of Clause 2 or Point a of Clause 3 of this Article and has a request document from the Management Board of the condominium;

b) There is a request from at least 50% of the representatives of the apartment owners who have taken possession requesting to organize an unusual condominium meeting to decide on one of the contents prescribed in Points a, b, or c of Clause 1 of this Article, but the Management Board of the condominium does not organize an unusual condominium meeting, cluster condominium meeting.

6. Within thirty days from the date of receipt of the request document from the Management Board or the application from the representative of the apartment owner as prescribed in Clause 5 of this Article, the People's Committee of the ward shall be responsible for organizing an unusual condominium meeting. The result of the unusual condominium meeting organized by the People's Committee of the ward has the effect of applying to the owners and users of the condominium as if it were organized by the Management Board of the condominium as prescribed in this Article.

Article 15. Annual Condominium Meeting

1. The annual condominium meeting shall be held once a year when at least 30% of representatives of apartment owners who have taken possession attend, or a smaller number due to unanimous agreement among condominium owners. The annual condominium meeting shall include the following contents:

a) Listening to reports on the activities of the Management Board and approving the annual income and expenditure of the condominium management board;

b) Reviewing and approving the final accounts of the maintenance fund for the common parts of the condominium for the year and approving the maintenance plan for the common parts of the condominium for the following year;

c) Listening to reports on the management and operation of the condominium;

d) Deciding on other matters as stipulated in Article 102 of the Law on Housing (if applicable).

2. For the annual meeting of the condominium building that decides on one of the following issues, at least 50% of representatives of apartment owners who have taken possession must attend:

a) Electing a replacement for the Head or Deputy Head of the Management Board who has been relieved of duty, dismissed, or died or gone missing; in the case of replacing a Deputy Head of the Management Board who is a representative of the developer, the developer appoints another person to take over without having to organize a condominium meeting;

b) Relieving or dismissing all members of the Management Board and electing a new Management Board;

c) Electing a replacement for a member of the Management Board who is neither the Head nor the Deputy Head who has been relieved of duty, dismissed, or died or gone missing, provided that a poll of condominium owners has been organized but does not meet the required number of agreements as stipulated in Point b Clause 3 Article 26 of this Regulation, or electing a member of the Management Board according to the provisions of Point b Clause 4 Article 26 of this Regulation.

3. For the annual condominium cluster meeting that decides on electing the Head of the Management Board or deciding on the issues specified in Point b, Point d Clause 1 Article 14 of this Regulation, at least 50% of representatives of apartment owners who have taken possession of that condominium cluster must attend.

4. The Management Board of the condominium is responsible for preparing the agenda, announcing the time and place, and organizing the formal meeting for condominium owners and users; the Management Board may organize preparatory meetings to prepare the agenda for the formal meeting.

5. In cases where the number of attendees does not meet the requirements stipulated in Clause 2 of this Article, the Management Board of the condominium shall issue a document requesting the People's Committee of the ward to organize the condominium meeting in accordance with the provisions of Clause 5 and Clause 6 Article 14 of this Regulation.

6. In cases where, through supervision and discussion at the condominium meeting, condominium owners discover financial violations by the Management Board or members of the condominium Management Board, depending on the severity of the violation, the condominium meeting may decide to dismiss one, several, or all members of the Management Board and elect replacements according to the provisions of Clause 2 or Clause 3 and Clause 5 of this Article; if the person committing the violation falls under the category subject to criminal liability, the condominium meeting passes a decision to request the competent authority to examine and handle criminal responsibility in accordance with the law.

If necessary, the condominium meeting decides to establish an inspection team or hire a specialized unit to inspect the books and financial receipts and expenditures of the condominium Management Board; in the case of hiring a specialized unit, condominium owners and current users must contribute funds to pay for the costs of this unit according to the agreement.

Article 16. Participants and Voting at the Building Owners' Meeting

1. For buildings with a single owner, the participants in the building owners' meeting shall include representatives of the owner, users of the building, and representatives of the People's Committee of the ward where the building is located shall be invited to attend.

2. For buildings with multiple owners, the participants in the building owners' meeting shall be determined as follows:

a) In the case of the first building owners' meeting, the participants shall include representatives of the developer, representatives of apartment owners who have taken possession, and representatives of the People's Committee of the ward shall be invited.

b) In the case of extraordinary meetings and annual meetings, the participants shall include representatives of apartment owners who have taken possession, representatives of the developer (if the developer still owns area within the building), representatives of the management and operation unit (if the building must hire a management and operation unit), and representatives of the People's Committee of the ward shall be invited.

3. The right to vote at the building owners' meeting shall be calculated based on apartment units and shall be determined as follows:

a) Each apartment unit in the building corresponds to one voting ballot;

b) For other areas in the building that are not apartment units, each floor area shall correspond to one voting ballot equivalent to the largest floor area of an apartment unit according to the approved design in the building.

4. All decisions of the building owners' meeting shall be passed through majority voting by ballot or vote; the contents of the meeting must be recorded in minutes, signed by the chairperson and secretary of the meeting.

Section 2
MANAGEMENT BOARD OF THE BUILDING

Article 17. Management Board of the Building

1. For buildings with multiple owners that must establish a Management Board in accordance with the Law on Housing, the Management Board of the Building is an organization with legal personality, has a seal, and operates under the model prescribed in Clause 1, Article 18 of this Regulation; the Management Board is elected by the building owners' meeting to perform the rights and responsibilities stipulated in Clause 1 and Clause 2, Article 41 of this Regulation.

2. For buildings with a single owner or buildings with multiple owners but less than twenty apartment units, the building owners' meeting decides whether to establish a Management Board or not. If a Management Board is established, the principles of operation and organizational structure of the Management Board shall be as follows:

a) In the case of a building with a single owner, the Management Board of the Building does not have legal personality, does not have a seal; the Management Board operates under the model prescribed in Clause 3, Article 18 and performs the rights and responsibilities stipulated in Clause 2, Article 41 of this Regulation;

b) In the case of a building with multiple owners, the organizational structure and principles of operation of the Management Board of the Building shall be implemented in accordance with the provisions of Clause 1 of this Article.

3. The Management Board of the Building prescribed in Clause 1 and Clause 2 of this Article shall have a term of three years and shall be re-elected at the annual building owners' meeting of the last year of the term, except in the case of an extraordinary meeting to elect a new Management Board.

4. Decisions of the Management Board of the Building that exceed the authority prescribed in Article 41 of this Regulation shall not have legal effect; if causing damage to the legitimate rights and interests of organizations and individuals, members of the Management Board shall bear responsibility for compensation in accordance with the law.

5. In the case where a building must have a management and operation unit in accordance with the Law on Housing, the Management Board of the Building shall not employ workers, nor establish subordinate departments; in the case where a building does not require a management and operation unit, the Management Board may hire separate services to manage and operate the building. Members of the Management Board of the Building shall be responsible for performing tasks assigned in the operational regulation of the Management Board.

6. The Management Board of the Building shall have operating funds contributed annually by the owners and users of the building based on the decision of the building owners' meeting; these funds shall be clearly stated in the operational regulation of the Management Board and managed through an operational account of the Management Board; the Management Board of the Building must use the operating funds for their intended purpose, shall not use them for business purposes, and must report income and expenditure at the annual building owners' meeting.

7. The remuneration of members of the Management Board of the Building shall be contributed by the owners and users of the building based on the decision of the building owners' meeting, taking into account the specific conditions of each building, cluster of buildings, and locality, except in cases where members of the Management Board refuse to accept remuneration.

In the case where a building has a management and operation unit in accordance with the Law on Housing and this Regulation, the owners and current users of the building shall be responsible for paying remuneration through this unit to cover the expenses for members of the Management Board; this amount shall not be included in the business activities of the management and operation unit. If the building does not have a management and operation unit in accordance with the Law on Housing and this Regulation, then this remuneration shall be collected and paid to each member by the Management Board of the Building.

Article 18. Model of the Management Board of Apartment Buildings

1. The Management Board of Apartment Buildings with multiple owners shall be established and operate according to the model of the Management Committee or the Board of Directors of a cooperative, or the model of the Board of Directors of a joint-stock company. The Apartment Building Meeting decides on the operational model of the Management Board of the Apartment Building.

2. In cases where the Management Board of the Apartment Building operates under the model of the Management Committee or the Board of Directors of a cooperative, the convening and organization of meetings of the Management Board shall be carried out in accordance with the provisions of the Law on Cooperatives. In cases where the Management Board of the Apartment Building operates under the model of the Board of Directors of a joint-stock company, the convening and organization of meetings of the Management Board shall be carried out in accordance with the provisions of the Enterprise Law.

Voting and recording minutes of the Management Board of the Apartment Building's meetings must comply with the provisions set forth in Article 25 of this Regulation.

3. The Management Board of Apartment Buildings with a single owner shall be established and operate according to the self-management model; members of the Management Board shall independently coordinate to perform the rights and responsibilities stipulated in Clause 2, Article 41 of this Regulation.

Article 19. Requirements for Members of the Management Board of Apartment Buildings

1. For Apartment Buildings with multiple owners, members of the Management Board of the Apartment Building must be owners currently using the Apartment Building; for Apartment Buildings with a single owner, members of the Management Board are representatives of the owner and those currently using the Apartment Building. Members of the Management Board of the Apartment Building must be healthy individuals without prior criminal records; preference should be given to selecting individuals with knowledge and experience in construction, architecture, finance, and law to join the Management Board of the Apartment Building.

2. Members of the Management Board of the Apartment Building must participate in training courses on management and use of Apartment Buildings organized by training institutions specializing in professional management and operation of Apartment Buildings, in accordance with the regulations of the Ministry of Construction.

Article 20. Number and Composition of the Management Board of Apartment Buildings

1. The number of members of the Management Board of Apartment Buildings, Apartment Complexes shall be decided by the Apartment Building Meeting but must comply with the following provisions:

a) For the Management Board of an Apartment Building, there shall be from three to five members;

b) For the Management Board of an Apartment Complex, there shall be from six to twenty-five members, with each building in the complex having from three to five members.

2. The composition of the Management Board of Apartment Buildings, Apartment Complexes with multiple owners is specified as follows:

a) The Management Board of an Apartment Building includes one Chairperson, one or two Deputy Chairpersons, and other members decided by the Apartment Building Meeting.

If the developer still owns area within the Apartment Building, the representative of the developer may be elected by the Apartment Building Meeting as Chairperson of the Management Board of the Apartment Building; if not elected as Chairperson, they may participate as Deputy Chairperson of the Management Board of the Apartment Building;

b) The Management Board of an Apartment Complex includes one Chairperson; each building in the complex organizes a meeting to elect one or two representatives as Deputy Chairpersons, and other members decided by the Apartment Complex Meeting.

If the developer still owns area within the Apartment Complex, the representative of the developer may be elected by the Apartment Complex Meeting as Chairperson of the Management Board of the Apartment Complex. Each building in the Apartment Complex where the developer still owns area, the developer may appoint a representative to participate as Deputy Member of the Management Board of the Complex, except in cases where the representative of the developer of that building is elected as Chairperson of the Management Board of the Apartment Complex.

3. The composition of the Management Board of Apartment Buildings, Apartment Complexes with a single owner includes one Chairperson, one or two Deputy Chairpersons, and other members decided by the Apartment Complex Meeting.

Article 21. Division and Merger of Management Boards of Apartment Buildings

1. The division and merger of management boards of apartment buildings as provided for in this Article shall only apply to apartment buildings with multiple owners that have established management boards.

2. The division of the management board of a cluster of apartment buildings shall be regulated as follows:

a) In cases where representatives of apartment owners in a building within a cluster of apartment buildings request to separate from the cluster to establish a management board for their own building, they must organize a meeting of the building's owners to gather opinions; if at least 50% of the representatives of the apartment owners who have taken possession of the building agree (through a collective proposal record), then the members of the management board representing the building shall send the collective proposal record to the management board of the cluster of apartment buildings.

After sending the proposal record to the management board of the cluster of apartment buildings, the owners of the building requesting separation from the cluster shall unify in electing a temporary organizing committee to organize the first residents' meeting according to Articles 13(1), (2), (3), and (4) of this Regulation; the election, determination of composition, number, and operational model of the management board of the apartment building shall be carried out according to the provisions of this Section. Representatives of the building currently serving as members of the cluster management board will not be recognized as members of the cluster management board after the establishment of the management board of the apartment building.

b) In cases where the apartment building separates from the cluster while the representative of the building is the Head of the cluster management board, after the establishment of the management board of the building, the cluster management board must convene an extraordinary meeting of the cluster of apartment buildings to elect a new Head of the cluster management board according to Article 14 of this Regulation;

c) In cases where representatives of apartment owners in the cluster request to separate into individual management boards for each building, after the buildings organize meetings of the apartment buildings to obtain collective proposal records according to paragraph a of this Clause, the cluster management board must convene a meeting to unify the handover procedures for files and maintenance funds of each building to the newly established building management boards.

After the representatives of the building send the collective proposal record to the cluster management board, the buildings proceed to organize meetings of the apartment buildings according to paragraph a of this Clause;

d) The recognition procedure for the management board of the apartment building as stipulated in this Clause shall be implemented according to Article 22 of this Regulation.

3. The merger of the management board of an apartment building into the management board of a cluster of apartment buildings shall be regulated as follows:

a) In cases where apartment buildings already have independent operating management boards and meet the conditions to form a cluster of apartment buildings according to this Regulation, these building management boards must convene a meeting to unify the establishment of a cluster management board; the meeting minutes must clearly state the plan for merging the cluster management board, the transfer of building files, the operation files of the management board, and all funds managed by the building management boards.

Each building management board must convene a meeting to gather opinions from the building owners; if at least 50% of the representatives of the apartment owners who have taken possession of each building agree to join the cluster of apartment buildings (through a collective proposal record), then the management boards of these buildings have the responsibility to organize the first cluster of apartment buildings meeting. The first cluster of apartment buildings meeting must comply with the provisions of Articles 13(1), (2), (3), (4) and Article 26 of this Regulation;

b) In cases where an apartment building already has an independently operating management board and requests to join the management board of an existing cluster of apartment buildings, the building management board and the cluster management board must convene a meeting and produce a unified record regarding the merger of the building management board into the cluster management board.

After obtaining the unified record, the cluster management board must convene a meeting to gather opinions from the owners in the cluster of apartment buildings, and the building management board must convene a meeting to gather opinions from the building's owners; if at least 50% of the representatives of the apartment owners who have taken possession of the cluster of apartment buildings and 50% of the representatives of the apartment owners who have taken possession of the building agree to join the cluster of apartment buildings (through a unified collective record), then the building management board must convene a meeting of the building to elect representatives to participate in the cluster management board.

The number and composition of representatives of the building participating in the cluster management board shall be determined similarly to other buildings in the cluster of apartment buildings; in cases where there is a representative of the developer currently serving as Deputy Head of the building management board, this representative may participate as Deputy Head of the cluster management board;

c) The recognition procedure for the cluster management board as stipulated in this Clause shall be implemented according to Article 22 of this Regulation.

4. The handover and management of files related to the building, operation files of the management board of the apartment building, and the handover of related funds for the cases stipulated in Clause 2 and Clause 3 of this Article shall be carried out as follows:

a) For cases stipulated in Clause 2 of this Article, within seven working days from the date the new management board of the building sends a written request, the management board of the cluster of apartment buildings shall be responsible for handing over files and all related funds of the building that has separated from the cluster to the new management board of the building for management according to regulations;

b) For cases stipulated in Clause 3 of this Article, within seven working days from the date the new management board of the cluster of apartment buildings sends a written request, the management board of the building shall be responsible for handing over the building's files, operation files of the management board, and transferring all related funds of the building to the management board of the cluster of apartment buildings for management according to regulations;

c) The management board of the apartment building or cluster of apartment buildings shall submit a request accompanied by a certified copy of the decision recognizing the management board issued by the District People's Committee to the credit institution managing the maintenance fund of the apartment building or cluster of apartment buildings, requesting the transfer of this fund to the new management board.

d) Upon receipt of the application file as stipulated in Point c Clause of this Article, the credit institution managing the fund shall be responsible for transferring the entire remaining amount as specified in Points a and b of this Clause to the new management board; the handover of the operation files of the management board and the transfer of the funds specified in this Clause must be recorded in a protocol signed by all relevant parties; the management and use of these funds after their transfer to the new apartment building management board shall be carried out in accordance with the laws on housing and this Regulation.

Article 22. Procedures for Recognizing and Announcing the Operation of the Apartment Building Management Board

1. Within ten working days from the date of being elected by the apartment building meeting (including the first election of the management board; the election of the management board at the end of its term or when it is dissolved or replaced; the election of a new management board when splitting, merging management boards or electing a replacement for the head or deputy head of the apartment building management board), the apartment building management board shall be responsible for submitting the application file for recognition of the management board as prescribed in Article 23 of this Regulation to the District People's Committee where the apartment building is located.

2. Within seven working days from the date of receiving the complete application file of the apartment building management board, the District People's Committee shall be responsible for reviewing and issuing a Decision recognizing the apartment building management board; if the District People's Committee has already issued a Decision recognizing the management board, it must revoke this Decision before handing over the new Recognition Decision to the apartment building management board.

3. The contents of the Decision recognizing the apartment building management board include:

a) The name of the management board and its operational model;

b) The number of members of the management board;

c) The full name and position of the head and deputy head of the management board;

d) The term of operation of the management board;

đ) The responsibility to implement decisions of related organizations and individuals.

4. After the issuance of the Decision recognizing the management board by the District People's Committee, the recognized management board shall be responsible for establishing an account for the management board's operations; in cases where the apartment building has multiple owners, the management board must establish an account for managing the common maintenance fund according to the laws on housing, this Regulation, and register the seal according to the laws on seal registration (the name of the apartment building management board engraved on the seal must match the name of the management board recognized by the District People's Committee), except in cases where the management board already has a seal and an account established in accordance with regulations.

5. An apartment building management board with a single owner may commence operations from the date of recognition by the District People's Committee. An apartment building management board with multiple owners may commence operations from the date the seal is registered according to the law and accounts are established in accordance with this Regulation.

For an apartment building management board with multiple owners that already has a seal and an account established in accordance with regulations and does not fall under the case of changing the name of the management board, there must be a notification letter submitted to the credit institution where the account was opened, accompanied by a certified copy of the decision recognizing the management board, to carry out transactions with the credit institution as prescribed.

Article 23. Documents for Requesting Recognition of the Management Board of Apartment Buildings

1. In the case of establishing the Management Board of an apartment building for the first time, the documents for requesting recognition shall include:

a) A request document from the Management Board, specifying the name of the Management Board approved by the Apartment Building Owners' Meeting; if establishing the Management Board of a residential building, the name of the Management Board shall be based on the name or number of the building; if establishing the Management Board of a cluster of apartment buildings, the name of the Management Board shall be decided by the Apartment Building Owners' Meeting;

b) Minutes of the Apartment Building Owners' Meeting on electing the Management Board;

c) List of Management Board members; names of the Chairperson and Deputy Chairperson of the Management Board;

d) Operation Regulations of the Management Board approved by the Apartment Building Owners' Meeting.

2. In the case of re-electing the Management Board of an apartment building at the end of its term or electing a new Management Board due to removal according to regulations or replacing the Chairperson or Deputy Chairperson of the Management Board, the documents for requesting recognition of the Management Board of an apartment building shall include:

a) A request document from the Management Board;

b) Original Decision recognizing the Management Board of an apartment building;

c) Minutes of the Apartment Building Owners' Meeting on re-electing, replacing the Management Board or replacing the Chairperson or Deputy Chairperson of the Management Board;

d) List of the Management Board (including list of Management Board members, positions of the Chairperson and Deputy Chairperson of the Management Board);

đ) Operation Regulations of the Management Board approved by the Apartment Building Owners' Meeting (if there are amendments or supplements to these regulations).

3. In the case of splitting the Management Board of a cluster of apartment buildings as prescribed in Clause 2, Article 21 of this Regulation, the documents for requesting recognition of the Management Board shall be stipulated as follows:

a) In the case of requesting recognition of the Management Board of a building after splitting from a cluster of apartment buildings, the documents shall include the documents prescribed in Clause 1 of this Article along with the minutes of the unified agreement to split from the cluster of apartment buildings by representatives of the owners of the apartment buildings as prescribed in Point a, Clause 2, Article 21 of this Regulation; in cases prescribed in Point c, Clause 2, Article 21 of this Regulation, the original Decision recognizing the Management Board of an apartment building must also be included;

b) In the case of requesting recognition of the Management Board of a cluster of apartment buildings after a building has split from the cluster, the documents shall include a request document from the Management Board of the cluster of apartment buildings, the original Decision recognizing the Management Board of the cluster of apartment buildings, a list of remaining Management Board members of the cluster of apartment buildings (specifying the names and positions of each Management Board member); in cases where it is necessary to re-elect the Chairperson of the Management Board of the cluster of apartment buildings as prescribed in Point b, Clause 2, Article 21 of this Regulation, the minutes of the Apartment Building Owners' Meeting on electing the Chairperson and the list of elected persons must also be included.

4. In the case of merging the Management Board of an apartment building as prescribed in Clause 3, Article 21 of this Regulation, the documents for requesting recognition of the Management Board of a cluster of apartment buildings shall be stipulated as follows:

a) In the case of requesting recognition of the Management Board of a cluster of apartment buildings after merging the Management Boards of several buildings, the documents shall include the documents prescribed in Clause 1 of this Article, the minutes of the collective proposal of representatives of the owners of the apartment buildings as prescribed in Point a, Clause 3, Article 21 of this Regulation, and the original Decisions recognizing the Management Boards of the apartment buildings;

b) In the case of requesting recognition of the Management Board of a cluster of apartment buildings by merging the Management Board of a building into the Management Board of a cluster of apartment buildings, the documents shall include a request document from the Management Board of the cluster of apartment buildings, the minutes of the collective agreement of the owners of the building and the cluster of apartment buildings, the minutes of the Apartment Building Owners' Meeting of the building that needs to be merged into the cluster as prescribed in Point b, Clause 3, Article 21 of this Regulation, a list of Management Board members of the cluster (including new members from the building being merged into the cluster), and the original Decisions recognizing the Management Board of the building and the cluster of apartment buildings.

Article 24. Rules on operation and financial revenue and expenditure regulations of the Management Board of the apartment building

1. The rules on operation and financial revenue and expenditure regulations of the Management Board of the apartment building, cluster of apartment buildings shall be approved at the apartment building meeting, ensuring transparency and compliance with the provisions of this Regulation, laws on housing, and related laws.

2. The rules on operation of the Management Board of the apartment building, cluster of apartment buildings shall include the following contents:

a) The operational model of the Management Board; relationships among Management Board members and between the Management Board and relevant agencies and organizations during the management and use of the apartment building;

b) Principles for convening Management Board meetings, including provisions on the person calling the meeting, conditions for holding the meeting, the chairperson of the meeting, contents of the minutes, voting procedures, decision-making on issues within the responsibilities and authority of the Management Board, and the effectiveness of Management Board decisions;

c) Rights, obligations of the Management Board, and specific responsibilities of each Management Board member, including clearly stating the responsibility to sign Management Board documents, sign contracts with management and operation units, maintenance units of common property of the apartment building; responsibility to manage operations in the absence of the Chairman or Deputy Chairman of the Management Board; responsibility to manage the Management Board's seal (if there is a seal);

d) Right to provide information and responsibility to provide information among Management Board members;

đ) Procedures for receiving and responding to suggestions from owners and users of the apartment building, handling cases related to the removal or dismissal of Management Board members, and liability for compensation by persons who violate;

e) Mechanism for reporting and approving expenditures of the Management Board; person responsible for managing records and documents of the Management Board's activities;

g) Other contents depending on the characteristics of each building or cluster of apartment buildings.

3. Financial revenue and expenditure regulations of the Management Board of the apartment building, cluster of apartment buildings shall include the following contents:

a) Provisions on revenues managed by the Management Board, name of the account holder for operational accounts, accounts managing maintenance funds for common property managed by the Management Board, provisions on the term of deposit for maintenance funds for common property of the apartment building;

b) Provisions on remuneration levels for each Management Board member and expenses serving the activities of the Management Board;

c) Allocation of responsibilities for collecting funds, signing off on expenditures for Management Board activities on behalf of the Management Board, signing documents requesting withdrawal of maintenance funds for common property of the apartment building, and signing settlement documents with maintenance units and management and operation units;

d) Provisions on the withdrawal process and specific documents required to process withdrawals from accounts managed by the Management Board;

đ) Allocation of responsibilities for recording and managing ledgers, receipts, and payment vouchers of the Management Board's financial transactions;

e) Provisions on the maximum amount of cash the Management Board can withdraw directly to pay the unit performing maintenance of common property of the apartment building; provisions on the budget the Management Board can use to maintain urgent work without convening an apartment building meeting or seeking the opinion of apartment building owners to make a decision;

g) Provisions on the form of handling violations when there is misuse of funds or misappropriation of funds managed by the Management Board or errors in recording and managing ledgers, receipts, and payment vouchers;

h) Provisions on other related contents.

Article 25. Voting to Approve Decisions of the Management Board of the Apartment Building

1. Decisions of the Management Board of the Apartment Building or Cluster of Apartment Buildings shall be approved through voting or ballot according to the operational regulations of the Management Board, recorded in minutes, signed by the meeting secretary, attending members of the Management Board, and stamped by the Management Board (if there is a seal). In cases where the approval ratio reaches 50% of the total number of Management Board members, the final result shall be determined based on the vote of the Chairperson or Deputy Chairperson presiding over the meeting (if the Chairperson is absent), except for the cases stipulated in Clause 2 and Clause 3 of this Article.

2. For apartment buildings with multiple owners, the following proposals shall only be approved if at least 75% of the total number of Management Board members of the Apartment Building or Cluster of Apartment Buildings agree:

a) Proposals to change the management operation unit;

b) Decisions to select units to carry out maintenance;

c) Proposals to change the service management operation fee of the Apartment Building;

d) Proposals and requirements of the Management Board towards the developer during the management and use of the Apartment Building;

đ) Other cases decided by the residents' assembly.

3. For decisions on spending maintenance funds for common property of apartment buildings with multiple owners, the voting shall be conducted as follows:

a) When the Management Board of the Apartment Building decides on the maintenance of common property of the Apartment Building, it must be agreed upon by 100% of the Board members, except in cases of absence due to force majeure;

b) When the Management Board of the Cluster of Apartment Buildings decides on the maintenance of common property of the entire Cluster of Apartment Buildings, it must be agreed upon by 100% of the Board members of the Cluster of Apartment Buildings; if only the maintenance of common property of one or some buildings within the Cluster is involved, it must be agreed upon by the Chairperson and 100% of the Board members representing one or some of those buildings, except in cases of absence due to force majeure.

Article 26. Removal and Dismissal of Management Board Members or Dismissal of the Management Board of the Apartment Building

1. The removal of Management Board members of the Apartment Building or Cluster of Apartment Buildings shall be carried out when any of the following situations occur:

a) A Management Board member ceases participation or requests removal;

b) A Management Board member is no longer the owner of an apartment or other area in the Apartment Building (for cases involving multiple owners);

c) A Management Board member moves to another location;

d) The Chairperson of the Management Board of the Apartment Building separates from the Cluster of Apartment Buildings as provided in Point b, Clause 2, Article 21 of these Regulations;

đ) A Management Board member of the Apartment Building joins the Cluster of Apartment Buildings as provided in Clause 3, Article 21 of these Regulations.

2. The dismissal of the Management Board or Management Board members of the Apartment Building or Cluster of Apartment Buildings shall be carried out when there is a proposal from the Management Board or a representative of apartment owners in the following situations:

a) The Management Board does not report its activities to the residents' assembly as required by these Regulations;

b) The Management Board does not operate after being elected;

c) A Management Board member violates the operational regulations or financial income and expenditure regulations of the Management Board;

d) A Management Board member does not participate in Management Board activities for six consecutive months or does not attend at least 30% of all Management Board meetings in one year.

3. Re-election of Management Board members of the Apartment Building shall be conducted as follows:

a) In cases of re-election of the Management Board or re-election of the Chairperson or Deputy Chairperson, an extraordinary residents' assembly must be organized to decide according to Article 14 of these Regulations; in cases of removal or dismissal of a Deputy Chairperson representing the developer, the developer appoints another representative to replace without having to organize an extraordinary residents' assembly;

b) In cases of re-election of Management Board members not covered under Point a of this Clause, the Management Board proposes a replacement and sends a request for opinions from representatives of apartment owners; if at least 50% of the representatives of apartment owners who have taken possession or fewer according to the decision of the residents' assembly agree, then the proposed person will be recognized as a Management Board member of the Apartment Building; if there is not enough agreement as stipulated in this point, an extraordinary residents' assembly of the building must be convened to elect a replacement according to Article 14 of these Regulations.

4. Re-election of Management Board members of the Cluster of Apartment Buildings shall be conducted as follows:

a) In cases of re-election of the Management Board of the Cluster of Apartment Buildings or re-election of the Chairperson, an extraordinary cluster residents' assembly must be organized to decide according to Article 14 of these Regulations;

b) In cases of re-election of Management Board members of the Cluster of Apartment Buildings not covered under Point a of this Clause, the Management Board proposes a replacement and sends a request for opinions from representatives of apartment owners of the building whose Management Board member needs to be replaced; if at least 50% of the representatives of apartment owners who have taken possession of that building or fewer according to the decision of the residents' assembly agree, then the proposed person will be recognized as a Management Board member of the Cluster of Apartment Buildings; if there is not enough agreement as stipulated in this point, an extraordinary residents' assembly of that building must be convened to elect a replacement according to Article 14 of these Regulations.

In cases of removal or dismissal of a Deputy Chairperson of the Cluster of Apartment Buildings representing the developer, the developer appoints another representative to replace without having to organize an extraordinary cluster residents' assembly.

Section 3
MANAGEMENT AND OPERATION OF APARTMENT BUILDINGS

Article 27. Management and Operation Units of Apartment Buildings

1. The management and operation unit of apartment buildings is an organization or enterprise with functions and capabilities as prescribed in Clause 1 of Article 28 of this Regulation and must be listed on the website of the Department of Housing Management and Real Estate Market and the Ministry of Construction. The management and operation unit may be the developer or another entity as provided for in this Regulation.

2. The developer may directly manage and operate or entrust another entity with functions and capabilities as prescribed in Clause 1 of Article 28 of this Regulation to manage and operate the apartment building until the first residents' meeting is organized. After organizing the first residents' meeting, the Management Board shall enter into a service management and operation contract with the developer if the developer has the functions and capabilities to manage and operate the apartment building and participates in management and operation, or enters into a contract with another entity entrusted by the developer that has such functions and capabilities.

In cases where the apartment building does not have an elevator, the residents' meeting decides to hire a management and operation unit or self-manage; if hiring a management and operation unit, it must comply with the regulations on managing and operating apartment buildings as stipulated in this Regulation.

3. In cases where, after signing a service management and operation contract with the management and operation unit as prescribed in Clause 2 of this Article, the unit fails to fulfill the agreements and falls within the scope of termination of the signed contract or is removed from the website of the Department of Housing Management and Real Estate Market and the Ministry of Construction, the Management Board shall convene an extraordinary residents' meeting in accordance with Article 14 of this Regulation to consider and decide to replace the management and operation unit.

4. Each apartment building can only have one management and operation unit. For clusters of apartment buildings, there may be one management and operation unit or each building in the cluster may have its own management and operation unit according to the decision of the cluster residents' meeting. If each building in the cluster has its own management and operation unit, the cluster's Management Board shall coordinate with these units to manage and operate common facilities and technical systems for the cluster of apartment buildings.

5. The management and operation unit of apartment buildings may enter into contracts with service-providing enterprises to perform management and operation services for apartment buildings but must bear responsibility for the contents of the contracts signed with the apartment building's Management Board.

Article 28. Conditions Regarding Functions and Capabilities of Management and Operation Units and Public Announcement of Lists of Management and Operation Units

1. The management and operation unit of apartment buildings must meet the conditions regarding functions and capabilities as follows:

a) Established and operating in accordance with the Law on Enterprises or the Law on Cooperatives and having the function of managing and operating apartment buildings or real estate management functions;

b) Must have at least specialized departments or sections, including technical; security, safety; service, reception; and cleaning, environment;

c) Members of the Board of Directors and staff working in the specialized departments or sections as prescribed in Point b of Clause 1 of this Article must have corresponding professional qualifications for their positions and must hold Certificates of Completion of Training Courses on Professional Knowledge and Skills in Managing and Operating Apartment Buildings as prescribed by the Ministry of Construction.

2. A management and operation unit of apartment buildings that meets the conditions prescribed in Clause 1 of this Article must submit one set of documents to the Ministry of Construction (through the Department of Housing Management and Real Estate Market) to be reviewed and notified of meeting the conditions for managing and operating, and publicly announced on the website of the Department of Housing Management and Real Estate Market and the Ministry of Construction. The documents include:

a) Certified copies of documents proving the functions as prescribed in Point a of Clause 1 of this Article;

b) Certified copies of decisions establishing the specialized departments or sections as prescribed in Point b of Clause 1 of this Article and a list of staff in these departments or sections;

c) Certified copies of Certificates of Completion of Training Courses on Professional Knowledge and Skills in Managing and Operating Apartment Buildings of members of the Board of Directors, heads and deputies of departments or sections, and heads and deputies of technical and operational shifts of the unit.

3. Within twenty working days from the date of receiving the complete documents as prescribed in Clause 2 of this Article, the Department of Housing Management and Real Estate Market shall be responsible for reviewing and inspecting; if the unit meets the conditions regarding functions and capabilities as prescribed in Clause 1 of this Article, it must issue a notification of meeting the conditions for managing and operating apartment buildings to the submitting unit. The notification will be publicly announced on the website of the Department of Housing Management and Real Estate Market and the Ministry of Construction to serve as a basis for the residents' meeting to refer to and decide on selecting the management and operation unit. Only management and operation units listed on the website of the Department of Housing Management and Real Estate Market and the Ministry of Construction are eligible to sign service management and operation contracts with the apartment building's Management Board or representatives managing the apartment building.

In cases where, after being posted on the website of the Department of Housing Management and Real Estate Market and the Ministry of Construction, the management and operation unit is dissolved, bankrupted, ceases operations, or during the inspection process, the competent authority finds that the unit no longer meets the conditions regarding functions and capabilities for managing and operating apartment buildings as prescribed in Clause 1 of this Article, the Department of Housing Management and Real Estate Market shall be responsible for inspecting or requesting the Construction Department where the management and operation unit is headquartered to inspect; if the unit no longer meets the conditions for managing and operating as prescribed, it shall be removed from the website of the Department of Housing Management and Real Estate Market and the Ministry of Construction.

4. For residential buildings under state ownership, depending on each case as prescribed by laws on housing, management and operation may be carried out by units meeting the conditions stipulated in Clause 1 of this Article or by other organizations implementing management and operation according to regulations on managing and using state-owned housing.

Article 29. Management and Operation Service Contract for Residential Buildings

1. The management and operation of residential buildings must be implemented through a management and operation service contract signed between the management and operation unit and the Resident Management Board of the residential building. The service contract concluded by the parties must include the contents prescribed in Clause 2 of this Article and comply with the model prescribed in Appendix No. 02 issued together with this Regulation.

2. The management and operation service contract includes the following contents:

a) Names, addresses, representatives participating in signing the contract;

b) Scale and area of parts inside and outside the residential building belonging to common ownership that need to be managed and operated;

c) Contents and quality requirements, quantity, time, location of providing management and operation services;

d) Management and operation service fee calculated per square meter (m2) of usage; payment methods for fees;

đ) Duration of the service contract;

e) Circumstances for terminating the contract;

g) Rights and obligations of the parties; coordination responsibilities of the parties; handling disputes regarding the contract contents;

h) Other agreements;

i) Effectiveness of the contract.

3. Acceptance, payment, settlement, and liquidation of the management and operation service contract for residential buildings shall be carried out according to the agreement in the contract and in accordance with civil law regulations.

Article 30. Management and Operation Service Fee for Residential Buildings

1. The management and operation service fee for residential buildings is determined according to Article 106 of the Housing Law, based on each residential building and upon agreement with the management and operation unit. In cases where residential buildings have been handed over for use but the first residents' meeting has not yet been organized, the service fee is decided by the developer and clearly stated in the sales or lease-purchase contract; after organizing the residents' meeting, the service fee is decided by the meeting based on consensus with the management and operation unit.

2. The management and operation service fee for residential buildings is determined in Vietnamese dong and calculated per square meter (m2) of usable apartment area or other areas within the residential building (determined based on gross floor area).

3. For residential buildings with mixed purposes, the management and operation service fee applicable to office, service, commercial areas, and private ownership areas used for parking cars is determined according to the following principles:

a) The management and operation service fee applicable to office, service, and commercial areas is agreed upon by the parties based on the actual situation of business operations, services, offices, and the specific location of the residential building;

b) The management and operation service fee applicable to private ownership areas used for parking cars is agreed upon by the parties and may be lower than the service fee applicable to apartments in the same building. This provision also applies to private ownership areas used for parking cars in residential buildings intended solely for residence;

c) If the parties cannot agree on the service fee specified in Points a and b of this Clause, it will be determined according to the service fee range set by the People's Committee of the province where the residential building is located.

4. The management and operation unit of the residential building determines specifically and collects management and operation fees from the owners and users of the residential building based on the fee level determined according to this Article.

Article 31. Management and Operation Expenses for Apartment Buildings

1. The management and operation expenses for apartment buildings shall be paid monthly or periodically by the owners and users of the apartment building (including cases where they have received handover of apartments or other areas within the apartment building but have not yet used them) to the management unit to carry out the tasks specified in Clause 1, Article 10 of this Regulation.

2. The management and operation expenses for apartment buildings shall be calculated based on the management and operation service fee stipulated in Article 30 of this Regulation multiplied (x) by the area (m2) of the apartment or other non-apartment areas used within the apartment building.

3. The usage area of the apartment or other non-apartment areas within the apartment building serving as the basis for calculating the management and operation expenses shall be defined as follows:

a) In cases where a Certificate of Land Use Right, House Ownership Right, and Fixed Assets Attached to the Land (hereinafter referred to collectively as the Certificate) has been issued, the area serving as the basis for calculating the management and operation expenses is the area recorded in the Certificate.

b) In cases where a Certificate has not yet been issued, the area serving as the basis for calculating the management and operation expenses is the privately-owned usage area (the net usable area determined according to Clause 2, Article 101 of the Housing Law), which is determined in the sales or lease-purchase contract for the apartment or confirmed based on actual conditions.

4. For apartment buildings owned by the state, the collection of management and operation expenses shall be carried out according to the service fees prescribed in Point a, Clause 5, Article 106 of the Housing Law.

Section 4
MAINTENANCE OF APARTMENT BUILDINGS

Article 32. Principles for Maintaining Apartment Buildings

1. The owner of an apartment building is responsible for maintaining their private ownership portion and contributing to the maintenance fund for the common ownership portion of the apartment building to maintain the quality of housing and ensure safety during use.

2. Maintenance of the private ownership portion must not affect the private ownership portions of other owners and the common systems, facilities, and equipment of the apartment building.

3. Maintenance of the common ownership portion of apartment buildings intended for residential purposes and mixed-use apartment buildings where the common ownership portions of the residential and office/service/trading areas cannot be separately divided shall be carried out according to the maintenance plan approved by the apartment building meeting and in accordance with the building maintenance procedures and equipment maintenance procedures established in accordance with this Regulation.

4. Maintenance of the common ownership portion of mixed-use apartment buildings where the common ownership portions of the residential and office/service/trading areas can be separately divided shall be carried out according to the following principles:

a) For the common ownership portion of the residential area and the entire building, the owners shall carry out maintenance according to the approved maintenance plan and procedures, except in cases of sudden damage caused by natural disasters or fires;

b) For the common ownership portion of the office/service/trading area, the owner of this functional area shall carry out maintenance according to the building maintenance procedures and system maintenance procedures established in accordance with the regulations.

5. Maintenance of the common ownership portion of a cluster of apartment buildings shall be carried out by the owners and users of the cluster of apartment buildings.

6. Owners and the Management Board of the apartment building may only hire individuals or units that meet the corresponding conditions and capabilities required for the maintenance work as stipulated to carry out maintenance.

Article 33. Maintenance Plan for Common Ownership Parts of Apartment Buildings

1. The maintenance plan for common ownership parts of apartment buildings shall be approved by the apartment building meeting to apply to cases stipulated in Clause 3 and Point a, Clause 4, Article 32 of this Regulation.

2. The developer shall be responsible for preparing the maintenance plan to report to the first apartment building meeting for approval; for subsequent apartment building meetings, the management board of the apartment building shall be responsible for coordinating with the operation management unit or a competent maintenance unit to prepare the maintenance plan to report to the apartment building meeting for approval.

3. The maintenance plan for common ownership parts of apartment buildings applicable to cases stipulated in Clause 3 and Point a, Clause 4, Article 32 of this Regulation shall be established and approved based on the building maintenance procedures of the building, equipment system maintenance procedures provided by the developer, and the current status of the common ownership parts of the apartment building.

4. The contents of the maintenance plan for common ownership parts of apartment buildings applicable to cases stipulated in Clause 3 and Point a, Clause 4, Article 32 of this Regulation include:

a) Items to be maintained during the year and projected for the next three to five years; projected emergency maintenance items during the year (if any);

b) Timeframe and progress schedule for each item to be maintained during the year;

c) Projected budget for implementing each maintenance item;

d) Responsibilities of related owners to support and facilitate maintenance in the required area; responsibilities of the management board of the apartment building to inspect, supervise, and accept maintenance work;

đ) Other related issues.

Article 34. Items of Apartment Buildings to be Maintained Using Common Ownership Maintenance Funds

1. Maintenance of items and areas of common ownership as specified in Points a and b, Clause 2, Article 100 of the Housing Law.

2. Maintenance of common ownership equipment systems of apartment buildings, including elevators, generators, water pumps, ventilation systems, lighting electrical systems, household electrical systems, shared electrical devices, water supply and drainage systems, gas supply systems, central heating systems, broadcasting and television systems, communication systems, fire prevention and extinguishing systems, lightning rods, and other shared devices for apartment buildings.

3. Maintenance of external technical infrastructure connected to the apartment building; public works as specified in Point d, Clause 2, Article 100 of the Housing Law.

4. Handling of blocked sewage, regular pumping of septic tanks; inoculation of microorganisms for the apartment building's sewage system.

5. Other items of the apartment building under the common ownership of apartment owners as agreed upon in the purchase or lease contracts or as prescribed by housing laws.

Article 35. Signing and Implementing Maintenance Contracts for Common Ownership Parts of Apartment Buildings

1. The management board of the apartment building, owners of office, service, and commercial areas shall select and sign maintenance contracts according to the following provisions:

a) For the building structure, directly hire the operation management unit to perform maintenance (if the apartment building has an operation management unit with maintenance capability); if the apartment building does not require an operation management unit or has such a unit but lacks maintenance capability, then hire another unit with maintenance capability to perform maintenance;

b) For common ownership equipment systems, may hire or authorize the operation management unit to hire the equipment supplier or another unit with maintenance capability to perform maintenance; if new equipment replacement is necessary, the equipment supplier must provide warranty services according to the manufacturer's warranty period; after the warranty period expires, maintenance or replacement shall be carried out according to the provisions herein.

2. The maintenance unit must perform maintenance according to the established maintenance procedures, ensure safety for owners and users during maintenance, comply with the schedule and agreements in the signed maintenance contract.

3. The maintenance contract shall be established and signed between the management board of the apartment building or the owner of office, service, and commercial areas and the maintenance performing unit in accordance with the law. In cases where the apartment building does not have a management board, the representative of the apartment building owners shall sign the contract with a competent maintenance unit.

4. Upon completion of maintenance work, all parties must organize acceptance of completed maintenance work; settlement of maintenance costs shall be conducted according to the agreement in the contract and must be supported by full invoices and documents as prescribed by law.

Article 36. Establishment, Transfer, and Management of Maintenance Funds for Common Ownership Parts of Multi-Owner Apartment Buildings

1. The developer shall be responsible for establishing an account at a credit institution operating in Vietnam to temporarily manage maintenance funds for common ownership parts of multi-owner apartment buildings in accordance with the detailed regulations and guidance on implementing certain provisions of the Law on Housing stipulated in Decree No. 99/2015/ND-CP dated October 20, 2015 of the Government (hereinafter referred to as Decree No. 99/2015/ND-CP).

2. For apartment buildings intended for residential purposes or mixed-use apartment buildings where the common ownership parts of the residential area and office, service, and commercial areas cannot be separately identified, after the first condominium meeting, the establishment of accounts, transfer, and management of maintenance funds for common ownership parts shall be carried out as follows:

a) The condominium management board shall establish an account at a credit institution operating in Vietnam to manage and use maintenance funds for the entire building's common ownership parts.

b) Within seven working days from the date the condominium management board issues a written request for transfer, the developer shall be responsible for transferring maintenance funds collected from buyers and lease-purchase tenants and maintenance funds that the developer must pay for retained areas not sold or lease-purchased according to Point b Clause 1 Article 108 of the Law on Housing to the account established by the condominium management board under this Point for management and use in accordance with the law.

c) The account holder for maintenance fund deposits for residential apartment buildings may be one or multiple members of the condominium management board; the account holder for maintenance fund deposits for mixed-use apartment buildings shall be joint account holders, including one member of the condominium management board representing the residential area owner and one member representing the office, service, and commercial area owner.

The deposit term and name of the joint account holder for maintenance fund deposits specified in this Clause shall be stipulated in the financial collection and expenditure regulation of the condominium management board approved by the condominium meeting.

3. For mixed-use apartment buildings where the common ownership parts of the residential area and office, service, and commercial areas can be separately identified, after the first condominium meeting, the establishment of accounts, transfer, and management of maintenance funds for common ownership parts shall be carried out as follows:

a) The condominium management board shall establish an account at a credit institution operating in Vietnam to manage maintenance funds for the residential area's common ownership parts and maintenance funds for the entire building's common ownership parts.

b) The deposit term and account holder for maintenance fund deposits specified in Point a of this Clause shall be determined similarly to the case of residential apartment buildings as stipulated in Point c Clause 2 of this Article.

c) The owner of the office, service, and commercial area's portion shall be responsible for managing the retained maintenance funds as stipulated in Point b Clause 4 of this Article to maintain the common ownership parts of this functional area.

d) The transfer of maintenance funds for common ownership parts of apartment buildings as stipulated in this Clause shall be carried out in accordance with the provisions of Clause 4 of this Article.

4. The transfer and management of maintenance funds for the cases stipulated in Clause 3 of this Article shall be regulated as follows:

a) Within seven working days from the date of receiving the written request from the condominium management board, the developer shall be responsible for transferring maintenance funds collected from buyers and lease-purchase tenants and maintenance funds that the developer must pay for unsold or unsold and unlease-purchased units according to Point b Clause 1 Article 108 of the Law on Housing to the account established by the condominium management board under Point a Clause 3 of this Article for management and use in accordance with the law.

b) For the portion of maintenance funds that the developer must pay for the office, service, and commercial area's portion, the developer shall transfer the funds according to the agreed ratio with buyers and lease-purchase tenants in the sales or lease-purchase contracts stipulated in Clause 5 Article 108 of the Law on Housing or agreed upon in the condominium meeting (if not agreed in the sales or lease-purchase contracts) to the account established by the condominium management board under Point a Clause 3 of this Article for management and maintenance of the entire building's common ownership parts; for the remaining portion, the developer may manage and use it according to Point c Clause 3 of this Article.

5. In the case of establishing a cluster of apartment buildings, based on the purpose of each building, the cluster condominium management board must establish separate accounts to manage maintenance funds for each building in accordance with Clauses 2, 3, and 4 of this Article.

6. The party transferring and the party receiving the transfer of maintenance funds for common ownership parts of apartment buildings as stipulated in this Article shall be responsible for completing settlement procedures for these funds before transferring them. Documentation for settling maintenance funds includes:

a) A record confirming the areas and equipment belonging to the common ownership parts of the apartment building as stipulated by the Law on Housing;

b) A record confirming the total amount of maintenance funds collected in accordance with the law on housing, specifying the amounts collected from buyers and lease-purchase tenants and the amounts the developer must pay according to the regulations; the name, account number, and location of the maintenance fund deposit account managed by the developer;

c) A list of common ownership part maintenance works performed by the developer accompanied by invoices and supporting documents proving the maintenance payments made to the maintenance provider and the remaining maintenance funds after deducting the maintenance costs incurred by the developer (if applicable).

For maintenance work within the warranty period stipulated by the Law on Housing, the developer shall not deduct it from the maintenance funds to be transferred to the condominium management board.

7. In case the investor does not hand over or fails to hand over fully and on time the maintenance fund for the common ownership as stipulated herein, the management board of the apartment building shall request the provincial People's Committee where the apartment building is located to enforce compulsory measures in accordance with Decree No. 99/2015/NĐ-CP dated October 20, 2015 detailing and guiding the implementation of certain provisions of the Law on Housing.

8. The investor is responsible for collecting the maintenance fund for the common ownership to hand over to the management board of the apartment building in accordance with the laws on housing and this Regulation; if the investor fails to collect and hand over this fund, the investor must pay the said amount.

Article 37. Use of Maintenance Fund for Common Ownership of Apartment Buildings with Multiple Owners

1. The maintenance fund for the common ownership of any apartment building may only be used for maintaining the common ownership of that building. The management board of the apartment building may only use the maintenance fund for the common ownership of the apartment building for the purposes specified in Article 34 of this Regulation; in cases where the apartment building needs to be demolished and the maintenance fund has not been fully utilized, it can be used to support resettlement or included in the maintenance fund for the common ownership of the newly constructed apartment building.

2. The management board of the apartment building must publicly announce at the apartment building meeting information about the bank account established for the maintenance fund deposit and may not change this account. The use of the maintenance fund for the common ownership of the apartment building must comply with the provisions of this Regulation and must have books, invoices, and supporting documents as required for monitoring and management.

3. For cases where a management account for the maintenance fund must be established in accordance with Point a Clause 3 Article 36 of this Regulation, the management board of the apartment building and the investor must agree on the ratio of funds used for maintaining the common ownership of the entire building and funds used for maintaining the common ownership of the residential area.

When it is necessary to maintain the common ownership of the residential area, the management board may only use the funds from the agreed allocation for maintenance; in cases where these funds are exhausted, the owners of the residential area are responsible for contributing together. As for the portion of funds allocated for maintaining the common ownership of the entire building, they may only be used for maintaining the common ownership of the entire building; in cases where these funds are exhausted, the owners of the residential area and the owners of the office, service, and commercial functional areas are responsible for contributing together. The investor and the management board of the apartment building may agree to establish two separate accounts to manage the two types of funds specified in this Clause.

4. Financial institutions managing the bank account for the maintenance fund for the common ownership of the apartment building are responsible for transferring money into the account of the entity performing maintenance within three working days from the date of receiving the application file from the management board of the apartment building. The application file for transferring money includes the following documents:

a) A written request from the management board specifying the reasons for requesting the transfer of money and the amount needed to be transferred to the entity performing maintenance;

b) Minutes of the management board meeting regarding the withdrawal of the maintenance fund;

c) The maintenance plan approved by the apartment building meeting, except in cases of emergency maintenance;

d) The maintenance contract signed with individuals or entities capable of performing maintenance in accordance with the law.

5. In cases where maintenance work with a contract value below the limit allowed by the financial income and expenditure regulations of the management board to withdraw cash, after receiving the application file as stipulated in Clause 4 of this Article, the financial institution will process the cash withdrawal procedures for the management board to directly pay to the entity performing maintenance.

6. In cases of emergency maintenance work that is permitted under the financial income and expenditure regulations, the management board shall submit a written request for the transfer of money along with the minutes of the management board meeting on the withdrawal of money and the signed maintenance contract to the financial institution where the maintenance fund deposit account is opened; based on the application file, the financial institution is responsible for transferring money to the entity performing maintenance within three working days; the transfer of money through the account or payment in cash shall be carried out in accordance with Clauses 4, 5 of this Article.

7. Regarding the maintenance of the common ownership of buildings in a cluster of apartment buildings, the maintenance fund shall be used as follows:

a) In cases where maintenance work for the common ownership of the entire cluster of apartment buildings arises, the maintenance fund for the common ownership of each building in the cluster shall be evenly allocated for maintenance;

b) In cases where maintenance work for the common ownership of some buildings in the cluster arises, the maintenance fund for the common ownership of the related buildings shall be evenly allocated for maintenance;

c) The withdrawal of funds for the maintenance of the common ownership as stipulated in Points a and b of this Clause shall be carried out in accordance with the provisions of Clauses 4, 5, and 6 of this Article.

Section 5
RIGHTS AND OBLIGATIONS OF ORGANIZATIONS AND INDIVIDUALS

IN THE MANAGEMENT AND USE OF APARTMENT BUILDINGS

Article 38. Rights and responsibilities of the project investor

1. Shall be responsible for managing and operating the apartment building in accordance with Clause 2, Article 27 of this Regulation. Propose a management and operation unit that meets the conditions stipulated in this Regulation for the first residents' meeting to consider and decide on selection in the following cases:

a) The project investor does not have the function or capacity to manage and operate the apartment building and does not entrust another entity with such functions and capacities to manage and operate the apartment building;

b) The project investor has the function and capacity to manage and operate but does not participate in managing and operating the apartment building and also does not entrust another entity with such functions and capacities to manage and operate the apartment building.

2. Collect maintenance fees for the common property of the apartment building in accordance with Articles 108 and 109 of the Law on Housing, Decree No. 99/2015/ND-CP, and hand over these funds to the Management Board of the apartment building in accordance with housing laws and this Regulation.

3. Chair the first residents' meeting, appoint representatives to join the Management Board of the apartment building, and participate in voting at the residents' meeting in accordance with this Regulation.

4. Hand over the external infrastructure system of the apartment building to the specialized management agency of the locality in accordance with the law; prepare and hand over the apartment building dossier to the Management Board of the apartment building in accordance with this Regulation.

5. Manage and use facilities serving the common living activities of apartment building owners and users assigned by the State or constructed for business purposes in accordance with the approved project content.

6. Maintain their own exclusive property; shall be responsible for compensation if maintenance or lack thereof causes damage to other owners.

7. Request competent authorities to handle acts of infringement against their legally owned assets or acts hindering lawful business operations according to the approved project content. Competent authorities shall be responsible for handling violations by organizations or individuals against the lawful assets or business operations of the project investor.

8. Cooperate with the Management Board of the apartment building to resolve difficulties and issues in managing and using the apartment building.

9. Purchase compulsory fire and explosion insurance in accordance with laws on fire prevention and fighting and laws on insurance business.

10. Compensate losses to the affected party in accordance with agreements or laws; comply with decisions on resolution, handling, and punishment issued by competent state agencies.

11. Other rights and responsibilities as prescribed by law.

Article 39. Rights and responsibilities of apartment building owners

1. For apartment buildings with multiple owners, the owners have the following rights and responsibilities in managing and using the apartment building:

a) Right to ownership and use of exclusive property; right to use common property in accordance with housing laws and this Regulation. Shall be responsible for maintaining exclusive property in accordance with housing laws and this Regulation; shall be responsible for compensation if maintenance or lack thereof causes damage to other owners;

b) Request the project investor, Management Board of the apartment building, or Ward People's Committee to organize a residents' meeting in accordance with this Regulation; attend the residents' meeting and vote on agenda items in accordance with the Law on Housing and this Regulation;

c) Request the project investor, management and operation unit, and Management Board of the apartment building to provide information and disclose contents related to managing and using the apartment building;

d) Fully comply with decisions of the residents' meeting, including cases where they do not attend the residents' meeting; comply with decisions on resolution and handling issued by competent state agencies;

đ) Pay fully and on time management and operation fees, common property maintenance fees, and other costs and fees as prescribed by law or agreed upon with service providers;

If an owner fails to pay management and operation fees as prescribed, they will be handled according to the agreement in the apartment building management and operation service contract signed between the Management Board of the apartment building and the management and operation unit;

e) Comply with internal regulations and rules on managing and using the apartment building; promptly report to the management and operation unit or competent state agencies any violations in managing and using the apartment building;

g) Create conditions and support entities with the function of maintaining common property as prescribed;

h) Restore the original condition and compensate for damages if causing damage to common area or equipment or to the exclusive area or equipment of another owner; be subject to legal penalties and must compensate for damages when obstructing lawful business operations of office, service, or commercial owners;

i) Purchase compulsory fire and explosion insurance in accordance with laws on fire prevention and fighting and laws on insurance business;

k) Implement other relevant legal provisions;

2. For apartment buildings with a single owner, the owner has the right to use the apartment building and can exercise the rights and responsibilities specified in Points b, c, d, e, and k of Clause 1 of this Article.

Article 40. Rights and responsibilities of users who are not owners of condominium units

1. Use their own private parts and common parts of the condominium unit in accordance with the laws on housing and this Regulation.

2. Exercise rights and fulfill obligations as agreed upon with the owner when the user is not the owner.

3. Attend the condominium meeting (in cases where there is only one owner of the condominium); represent the owner to attend the condominium meeting and vote if the owner does not participate (in cases where there are multiple owners of the condominium); in cases where multiple people are using the same apartment or other part of the condominium, appoint one representative to attend and vote at the condominium meeting.

4. Perform the rights and responsibilities stipulated in Points b, c, d, đ, e, g, h, and k Clause 1 Article 39 of this Regulation.

Article 41. Rights and responsibilities of the Condominium Management Board

1. The Condominium Management Board for condominiums with multiple owners shall exercise the rights and responsibilities specified in Clause 1 Article 104 of the Law on Housing and the following rights and responsibilities:

a) Accept, store, and manage condominium records; provide a set of records received from the developer to the management and operation unit in cases where the condominium must have a management and operation unit according to Clause 2 Article 5 of this Regulation, except when the management and operation unit is the developer;

b) Prepare contents and organize condominium meetings in accordance with this Regulation; publicly announce the contents of the management and operation contract and maintenance contract signed at the condominium meeting;

c) Report on the activities' results, financial income and expenditure of the Management Board, maintenance work results, and the collection and expenditure of maintenance funds for the common parts of the condominium for the condominium meeting to review, supervise, and approve according to this Regulation;

d) Represent the owners to exercise rights over the common parts of the condominium in accordance with the Law on Housing and this Regulation; shall not incite others to cause disorder and insecurity in the condominium area;

đ) Be responsible to the condominium owners for assigned tasks; comply with the operational regulations and financial income and expenditure regulations of the Management Board;

e) Propose competent authorities to convene condominium meetings and recognize the Condominium Management Board according to this Regulation; convene condominium meetings to decide on replacing the management and operation unit when the current management and operation unit no longer meets the conditions for managing and operating the condominium according to this Regulation;

g) Request competent authorities to resolve issues when the developer fails to hand over condominium records or maintenance funds for the common parts of the condominium as required;

h) Hand over records, books, and documents under management to the newly recognized Management Board;

i) If members of the Management Board violate this Regulation and related laws, they will be dealt with according to the level of violation as stipulated in this Regulation, subject to administrative penalties or criminal liability; if damage is caused, compensation must be provided to the aggrieved party;

k) Comply with decisions made by competent state authorities and perform other rights and responsibilities as prescribed by law;

l) Perform other rights and responsibilities stipulated in the operational regulations and financial income and expenditure regulations of the Management Board approved by the condominium meeting and as stipulated in this Regulation.

2. The Condominium Management Board for condominiums with a single owner shall exercise the rights and responsibilities specified in Clause 2 Article 104 of the Law on Housing and the relevant rights and responsibilities stipulated in Points a, b, đ, e, g, h, i, k, and l Clause 1 of this Article.

Article 42. Rights and responsibilities of the unit managing and operating the condominium building

1. Implement management and operation of the condominium building in accordance with the provisions of this Regulation and the service management and operation contract signed with the Condominium Management Board or the representative managing the condominium building (for condominium buildings that do not need to establish a Condominium Management Board); perform maintenance on the common ownership part of the condominium building according to the maintenance contract if it has the capacity for maintenance.

2. Sign subsidiary contracts with service providers in the management and operation of the condominium building (if any); supervise the provision of services by these entities.

3. Notify in writing about the collection and payment of related fees; notify requirements and matters needing attention to condominium users in case of emergency situations such as natural disasters, epidemics, fires; guide the installation of equipment in the private ownership portion of the owner.

4. Collect management and operation service fees from owners and condominium users according to agreements; collect and pay remuneration to members of the Condominium Management Board according to the decision of the condominium meeting.

5. Report publicly on management and operation activities of the condominium building to the Condominium Management Board every six months or upon request of the competent authority; report the situation of management and operation at the condominium meeting; seek opinions from users regarding the provision of management and operation services.

6. Coordinate with the Condominium Management Board to resolve other issues related to the management and operation of the condominium building.

7. Comply with decisions made by state agencies with competent authority.

8. Perform other rights and responsibilities agreed in the service management and operation contract or as prescribed by relevant laws.

Chapter IV
SETTLEMENT OF DISPUTES AND HANDLING OF VIOLATIONS

IN THE MANAGEMENT AND USE OF APARTMENT BUILDINGS

Article 43. Resolution of Disputes

1. Disputes concerning condominium ownership rights shall be resolved through negotiation and mediation in accordance with the law on housing, this Regulation, and relevant laws; in cases where negotiation and mediation fail, parties may request the People's Court to resolve the dispute in accordance with the law.

2. Disputes concerning management and operation expenses of the condominium building, and the handover, management, and use of maintenance funds for the common ownership part of the condominium building shall be resolved by the provincial People's Committee where the condominium building is located; in cases where the party disagrees with the decision of the provincial People's Committee, they have the right to request the People's Court to resolve the dispute in accordance with the law.

3. Disputes among members of the Condominium Management Board shall be resolved according to the operational regulations of the Condominium Management Board approved by the condominium meeting.

4. Disputes between the Condominium Management Board and owners or users of the condominium building regarding the election, appointment, removal, and replacement of Condominium Management Board members shall be resolved through negotiation; in cases where negotiation fails, the organization of a condominium meeting to resolve the issue shall be proposed.

5. Disputes concerning service management and operation contracts, maintenance contracts, and condominium management and operation service contracts between service providers and management and operation units shall be resolved according to the agreement between the parties; in cases where agreement cannot be reached, parties may request the People's Court to resolve the dispute in accordance with the law.

Article 44. Handling of Violations

1. The Condominium Management Board and members of the Condominium Management Board who violate regulations on the management and use of condominium buildings and this Regulation shall be removed or replaced according to the level of violation as stipulated in this Regulation and be subject to administrative penalties or criminal liability as prescribed by law.

2. In cases where the condominium meeting is convened improperly in violation of this Regulation, the decisions and results of the condominium meeting will not be recognized and a new condominium meeting must be organized to make the decision again.

3. In cases where the Condominium Management Board makes decisions inconsistent with operational regulations or financial income and expenditure regulations, such decisions will not be recognized.

4. Individuals who abuse their positions, owners, or users of the condominium building who violate regulations on the management and use of condominium buildings shall be subject to administrative penalties or criminal liability depending on the level of violation.

5. Individuals whose violations cause damage must compensate according to the law.

Chapter V
Article 45. Transitional Provisions for the Operation Model of the Management Board of Apartment Buildings and the Management of Maintenance Funds for Common Ownership Parts of Apartment Buildings

Article 45. Handling of transitional provisions for the operation model of the Management Board of apartment buildings and the management of maintenance funds for common ownership parts of apartment buildings

1. For apartment buildings that have established a Management Board before this Regulation takes effect, if the Management Board needs to reorganize its operational model, change the number or composition of the Management Board according to the provisions of the Housing Law and this Regulation, or split or merge the Management Board, they must convene a meeting of the apartment building residents to elect a Management Board in accordance with the provisions of this Regulation.

2. For apartment buildings that have established a Management Board before this Regulation takes effect, if the Management Board has an operational regulation and financial income and expenditure regulation but these do not comply with the provisions of this Regulation, or if there is no operational regulation or financial income and expenditure regulation as required by this Regulation, then the Management Board must establish or amend and supplement these regulations to report to the meeting of the apartment building residents for approval in accordance with the provisions of this Regulation.

3. For apartment buildings that have established a Management Board before this Regulation takes effect, if they fall under the category of not being required to have a Management Board according to the provisions of the Housing Law and this Regulation, the Management Board must convene a meeting of the apartment building residents to decide on the operation of the Management Board.

4. In cases where maintenance funds for common ownership parts of apartment buildings were transferred before this Regulation takes effect, management and use shall be carried out in accordance with the laws on housing and this Regulation. The Management Board of the apartment building and the developer may agree to re-establish an account to manage the deposit of maintenance funds for common ownership parts of the apartment building in accordance with the provisions of this Regulation, but must report to the nearest meeting of the apartment building residents.

Article 46. Transitional Provisions for the Management and Operation of Apartment Buildings

Article 46. Handling of transitional provisions for the management and operation of apartment buildings

1. For apartment buildings that currently have a management and operation unit but are not required to have such a unit according to the provisions of the Housing Law, the meeting of the apartment building residents must convene to decide whether to terminate the service contract already signed with the management and operation unit or continue to implement this contract.

2. Units currently managing and operating apartment buildings but lacking the necessary functions and capabilities as stipulated in this Regulation must supplement the conditions to be eligible for management and operation and submit the relevant documents to the Ministry of Construction within one year from the date this Regulation takes effect, as provided for in Article 28 of this Regulation; if the management and operation unit fails to supplement the necessary conditions and documents within this period, it will not be allowed to sign a service contract for the management and operation of apartment buildings, except in cases where state-owned apartment buildings are being managed and operated in accordance with the laws on the management and use of state-owned housing.

Chapter VI
IMPLEMENTATION

Article 47. Responsibilities of the People's Committee of the province and the Construction Department

1. Provincial People's Committees shall be responsible for:

a) Direct the implementation of the provisions of this Regulation on its territory; based on the actual situation of the locality and this Regulation, issue specific guidelines for the management and use of apartment buildings to be applied on its territory;

b) Organize the dissemination and propaganda of regulations concerning the management and use of apartment buildings within its territory;

c) Issue a framework of service fees for managing and operating apartment buildings in accordance with Clause 5, Article 106 of the Law on Housing;

d) Organize the compulsory recovery of maintenance funds for common property in apartment buildings in accordance with the laws on housing and this Regulation;

đ) Direct the competent agencies of the locality to accept construction projects and infrastructure systems in housing development projects according to the approved project content and investment approval documents from authorized agencies;

e) Examine and decide on the management of residents in each building or cluster of apartment buildings in accordance with the law;

Organize inspections, audits, and handle violations within their authority or propose that authorized agencies handle violations related to the management and use of apartment buildings in accordance with the law;

Fulfill other responsibilities as prescribed by law.

2. The Construction Department shall assist the People's Committee of the province in performing state management functions regarding the management and use of apartment buildings within its territory; report to the Ministry of Construction on the situation of management and use of apartment buildings within its territory every six months, annually, or upon urgent request.

Điều 48. Trách nhiệm của Ủy ban nhân dân cấp quận

1. Báo cáo Ủy ban nhân dân cấp tỉnh quyết định phân giao trách nhiệm quản lý hành chính khu vực có nhà chung cư và xử lý các vướng mắc theo thẩm quyền.

2. Quyết định công nhận Ban quản trị nhà chung cư theo quy định của Quy chế này.

3. Kiểm tra công tác quản lý, sử dụng nhà chung cư; xử lý theo thẩm quyền hoặc đề nghị cơ quan có thẩm quyền xử lý các hành vi vi phạm quy định về quản lý, sử dụng nhà chung cư trên địa bàn.

4. Thực hiện các trách nhiệm khác do Ủy ban nhân dân cấp tỉnh giao và theo quy định của pháp luật.

Điều 49. Trách nhiệm của Ủy ban nhân dân cấp phường

1. Tuyên truyền, vận động các tổ chức, cá nhân chấp hành quy định của Quy chế này và pháp luật về quản lý, sử dụng nhà chung cư.

2. Theo dõi, kiểm tra, giải quyết các vướng mắc phát sinh trong công tác quản lý, sử dụng nhà chung cư theo thẩm quyền hoặc báo cáo Ủy ban nhân dân cấp quận xem xét, giải quyết.

3. Phối hợp, tạo điều kiện để đơn vị quản lý vận hành nhà chung cư thực hiện cung cấp các dịch vụ nhà chung cư trên địa bàn.

4. Tổ chức hội nghị nhà chung cư và tham dự cuộc họp hội nghị nhà chung cư theo quy định của Quy chế này.

5. Thực hiện các trách nhiệm khác theo quy định của pháp luật.

Điều 50. Trách nhiệm của Cục Quản lý nhà và thị trường bất động sản

1. Hướng dẫn, đôn đốc việc thực hiện Quy chế này.

2. Kiểm tra việc quản lý, sử dụng nhà chung cư trong phạm vi cả nước và đề xuất cơ quan có thẩm quyền xử lý các hành vi vi phạm pháp luật về quản lý, sử dụng nhà chung cư.

3. Phối hợp với các cơ quan liên quan tổ chức tập huấn, phổ biến, tuyên truyền các quy định của pháp luật về quản lý, sử dụng nhà chung cư trên phạm vi cả nước.

4. Tổng hợp ý kiến phản ánh của các tổ chức, cá nhân có liên quan về các vấn đề vướng mắc phát sinh và đề xuất sửa đổi, bổ sung Quy chế này cho phù hợp.

5. Thực hiện các nhiệm vụ khác liên quan đến việc quản lý, sử dụng nhà chung cư theo quy định của Quy chế này hoặc theo chỉ đạo của Bộ trưởng Bộ Xây dựng.

Trong quá trình thực hiện, nếu gặp khó khăn, vướng mắc, đề nghị phản ánh kịp thời về Bộ Xây dựng để hướng dẫn hoặc sửa đổi, bổ sung cho phù hợp./.

 

PHỤ LỤC SỐ 01

MẪU NỘI QUY QUẢN LÝ, SỬ DỤNG NHÀ CHUNG CƯ

NỘI QUY QUẢN LÝ, SỬ DỤNG NHÀ CHUNG CƯ

Điều 1. Quy định đối với chủ sở hữu, người sử dụng, người tạm trú và khách ra vào nhà chung cư

1. Chủ sở hữu nhà chung cư phải chấp hành nghiêm chỉnh Quy chế quản lý, sử dụng nhà chung cư do Bộ Xây dựng ban hành và Bản nội quy này.

2. Khách ra vào nhà chung cư phải đăng ký, xuất trình giấy tờ chứng minh nhân thân tại quầy lễ tân (nếu có) hoặc tại tổ bảo vệ và phải tuân thủ sự hướng dẫn của lễ tân hoặc bảo vệ nhà chung cư. Trong trường hợp cần thiết, lễ tân hoặc bảo vệ nhà chung cư được giữ các giấy tờ chứng minh nhân thân của khách ra vào nhà chung cư để phục vụ cho việc kiểm soát an ninh, an toàn của nhà chung cư. Đối với khu vực dành cho văn phòng, dịch vụ, thương mại thì không cần phải đăng ký, xuất trình giấy tờ chứng minh nhân thân này.

3. Người đến tạm trú tại căn hộ phải đăng ký danh sách người tạm trú với quầy lễ tân (nếu có) hoặc tại tổ bảo vệ; đăng ký tạm trú tại cơ quan công an cấp phường sở tại.

4. Người sử dụng căn hộ, người tạm trú phải chịu trách nhiệm trước pháp luật về các hành vi vi phạm Quy chế quản lý, sử dụng nhà chung cư và Bản nội quy này.

5. Các quy định áp dụng đối với nhân viên làm việc tại khu vực văn phòng, dịch vụ, thương mại: do chủ đầu tư, Hội nghị nhà chung cư quy định thêm cho phù hợp với từng nhà chung cư.

Điều 2. Các hành vi bị nghiêm cấm trong việc sử dụng nhà chung cư

1. Gây mất an ninh, trật tự, nói tục, chửi bậy, sử dụng truyền thanh, truyền hình hoặc các thiết bị phát ra âm thanh gây ồn ào làm ảnh hưởng đến sinh hoạt của các chủ sở hữu, người sử dụng nhà chung cư.

2. Phóng uế, xả rác hoặc các loại chất thải, chất độc hại không đúng nơi quy định, gây ô nhiễm môi trường nhà chung cư.

3. Ném bất cứ vật gì từ cửa sổ, ban công của căn hộ.

4. Chăn, thả, nuôi gia súc, gia cầm trong nhà chung cư.

5. Đốt vàng mã, đốt lửa trong nhà chung cư, trừ địa điểm được đốt vàng mã theo quy định tại nhà chung cư.

6. Phơi, để quần áo và bất cứ vật dụng nào trên lan can hoặc tại phần không gian từ lan can trở lên hoặc vắt ngang cửa sổ của căn hộ.

7. Đánh bạc, hoạt động mại dâm trong nhà chung cư.

8. Kinh doanh các ngành nghề có liên quan đến vật liệu nổ, dễ cháy, gây nguy hiểm cho tính mạng, tài sản của người sử dụng nhà chung cư.

9. Mua, bán, tàng trữ, sử dụng trái phép chất ma túy tại căn hộ và các khu vực khác trong nhà chung cư.

10. Tự ý chuyển đổi công năng, mục đích sử dụng phần diện tích, các thiết bị thuộc sở hữu chung, sử dụng chung của nhà chung cư.

11. Các hành vi khác theo quy định của pháp luật có liên quan đến nhà chung cư: do Hội nghị nhà chung cư quy định thêm cho phù hợp với từng nhà chung cư.

12. Các hành vi bị nghiêm cấm khác theo quy định của pháp luật.

Điều 3. Quy định về việc sử dụng phần sở hữu chung của nhà chung cư

Chủ sở hữu, người sử dụng và khách ra, vào nhà chung cư phải tuân thủ các quy định sau đây:

1. Sử dụng thang máy và các thiết bị sử dụng chung theo đúng mục đích, công năng thiết kế sử dụng. Trẻ em dưới 12 tuổi khi sử dụng thang máy hoặc công trình phục vụ chung phải có cha, mẹ hoặc người trông coi đi kèm và giám sát.

2. Không được làm hư hỏng hoặc có hành vi vi phạm đến tài sản chung của nhà chung cư.

3. Không được chiếm dụng, sử dụng phần diện tích thuộc sở hữu chung, sử dụng chung vào mục đích riêng; không được để các vật dụng thuộc sở hữu riêng tại phần sở hữu chung.

4. Tuân thủ đầy đủ các quy định về việc dừng, đỗ xe tại nơi được dừng, đỗ xe theo quy định.

5. Sử dụng nhà sinh hoạt cộng đồng vào đúng mục đích, công năng theo quy định của pháp luật về nhà ở.

6. Tuân thủ đầy đủ các quy định về an toàn phòng cháy, chữa cháy của nhà chung cư.

7. Các quy định khác: do Hội nghị nhà chung cư quy định thêm cho phù hợp với từng nhà chung cư.

Điều 4. Quy định về việc sửa chữa các hư hỏng, thay đổi hoặc lắp đặt thêm trong căn hộ, phần diện tích khác thuộc sở hữu riêng

1. Trường hợp căn hộ hoặc phần diện tích khác thuộc sở hữu riêng có hư hỏng thì chủ sở hữu hoặc người sử dụng được quyền sửa chữa, thay thế nhưng không được làm hư hỏng phần sở hữu chung và ảnh hưởng đến các chủ sở hữu khác.

2. Trường hợp thay thế, sửa chữa hoặc lắp đặt thiết bị thêm thì phải bảo đảm không làm thay đổi, biến dạng hoặc làm hư hỏng kết cấu của nhà chung cư.

3. Trường hợp có hư hỏng các thiết bị thuộc phần sở hữu chung, sử dụng chung gắn liền với căn hộ, phần diện tích khác thuộc sở hữu riêng thì việc thay thế, sửa chữa phải được thực hiện theo quy định của Quy chế quản lý, sử dụng nhà chung cư do Bộ Xây dựng ban hành nhưng không được làm ảnh hưởng đến phần sở hữu riêng của chủ sở hữu khác. Chủ sở hữu phải thông báo cho Ban quản lý nhà chung cư để kịp thời sửa chữa, thay thế khi có hư hỏng và phải tạo điều kiện thuận lợi cho đơn vị thi công khi sửa chữa các hư hỏng này.

4. Trường hợp nhà chung cư có khu văn phòng, dịch vụ, thương mại mà có hư hỏng các thiết bị thuộc phần sử dụng chung của nhà chung cư thì chủ sở hữu khu chức năng này phải thực hiện sửa chữa, thay thế theo quy định của Quy chế quản lý, sử dụng nhà chung cư do Bộ Xây dựng ban hành.

5. Trường hợp vận chuyển các thiết bị, đồ dùng trong nhà chung cư hoặc vận chuyển vật liệu khi sửa chữa các hư hỏng thì phải thông báo cho Ban Quản lý nhà chung cư và chỉ được thực hiện trong thời gian từ 8 giờ sáng tới 18 giờ chiều hàng ngày để tránh làm ảnh hưởng đến hoạt động của nhà chung cư.

6. Các quy định khác: do Hội nghị nhà chung cư quy định thêm cho phù hợp với từng nhà chung cư.

Điều 5. Quy định về việc xử lý khi có sự cố của nhà chung cư

1. Khi gặp sự cố có thể gây nguy hiểm đến tính mạng và an toàn tài sản trong nhà chung cư thì chủ sở hữu, người sử dụng phải thông báo ngay cho Ban Quản lý nhà chung cư để xử lý.

2. Trường hợp gặp sự cố khẩn cấp, cần thiết phải sơ tán người ra khỏi nhà chung cư thì phải thực hiện theo hướng dẫn trên loa phát thanh hoặc biển chỉ dẫn thoát hiểm hoặc hướng dẫn của bảo vệ, đơn vị có thẩm quyền để di chuyển người đến nơi an toàn.

Điều 6. Quy định về việc công khai thông tin của nhà chung cư

1. Ban Quản lý nhà chung cư phải thông báo công khai các thông tin có liên quan đến việc quản lý, sử dụng nhà chung cư trên bản tin hoặc bảng thông báo hoặc phương tiện thông tin khác của nhà chung cư.

2. Các nội quy về phòng cháy, chữa cháy phải được gắn đúng nơi quy định; nội quy sử dụng thang máy phải được gắn bên cạnh thiết bị này để đảm bảo việc sử dụng được an toàn, thuận tiện.

Điều 7. Quyền và nghĩa vụ của chủ sở hữu, người sử dụng nhà chung cư

1. Yêu cầu Ban quản trị và Ban Quản lý nhà chung cư cung cấp thông tin, các nội dung liên quan đến quản lý, sử dụng nhà chung cư.

2. Chủ sở hữu nhà chung cư có trách nhiệm đóng bảo hiểm cháy, nổ theo quy định của pháp luật.

3. Chấp hành nghiêm chỉnh các quy định của Bản nội quy này và Quy chế quản lý, sử dụng nhà chung cư do Bộ Xây dựng ban hành.

4. Đóng đầy đủ, đúng thời hạn kinh phí quản lý vận hành nhà chung cư và các chi phí khác theo quy định của pháp luật và theo thỏa thuận với các nhà cung cấp dịch vụ.

Điều 8. Xử lý các hành vi vi phạm

1. Chủ sở hữu, người sử dụng, người tạm trú và khách ra vào nhà chung cư nếu có hành vi vi phạm các quy định của Bản nội quy này hoặc vi phạm quy định của Quy chế quản lý, sử dụng nhà chung cư do Bộ Xây dựng ban hành thì tùy theo mức độ vi phạm sẽ bị xem xét, xử lý theo quy định của pháp luật và phải bồi thường thiệt hại do hành vi vi phạm của mình gây ra.

2. Chủ sở hữu, người sử dụng phải nghiêm chỉnh chấp hành quyết định xử lý vi phạm của cơ quan, tổ chức có thẩm quyền.

Ghi chú: Ngoài các nội dung quy định nêu trên, chủ đầu tư, hội nghị nhà chung cư có thể thống nhất quy định thêm các nội dung khác cho phù hợp với từng nhà chung cư nhưng các quy định thêm này không được trái pháp luật và đạo đức xã hội.

Căn cứ Bộ Luật dân sự số 33/2005/QH11;

Căn cứ Luật Nhà ở số 65/2014/QH13;

Căn cứ Luật Xây dựng số 60/2014/QH13;

Căn cứ Nghị định số 99/2015/NĐ-CP ngày 20 tháng 10 năm 2015 của Chính phủ quy định chi tiết và hướng dẫn thi hành một số điều của Luật Nhà ở;

Căn cứ Thông tư số 02/2016/TT-BXD ngày 15 tháng 02 năm 2016 của Bộ Xây dựng ban hành kèm theo Quy chế quản lý; sử dụng nhà chung cư;

Căn cứ vào nhu cầu giữa hai bên.

Hai bên tham gia ký kết hợp đồng dưới đây bao gồm:

Hôm nay, ngày ... tháng ... năm ..., hai bên đồng ý ký kết hợp đồng dịch vụ quản lý vận hành nhà chung cư với các điều, khoản sau đây:

Điều 1. Giải thích từ ngữ

Các từ và cụm từ ghi trong hợp đồng này được hiểu như sau:

1. “Ban quản trị, người đại diện quản lý nhà chung cư” là Ban quản trị nhà chung cư hoặc người đại diện quản lý nhà chung cư ………(1), địa chỉ ……, được viết tắt là Bên A.

2. “Đơn vị quản lý vận hành nhà chung cư” là …(2), được viết tắt là Bên B.

3. “Ngày, tháng” được tính theo ngày, tháng dương lịch, trừ khi các bên có thỏa thuận khác.

4. “Bất khả kháng” là các sự kiện quy định tại Điều 14 của hợp đồng này.

5. “Công việc” là các dịch vụ do Bên B thực hiện theo quy định tại Điều 3 của hợp đồng này.

6. “Khách hàng/cư dân” là chủ sở hữu căn hộ, chủ sở hữu các phần diện tích khác trong nhà chung cư, người sử dụng hợp pháp nhà chung cư.

7. “Tài sản” là toàn bộ các thiết bị, cơ sở vật chất gắn liền với nhà chung cư.

8. “Quỹ kết dư” là số tiền lũy kế chênh lệch giữa các khoản thu của tòa nhà trừ đi các chi phí phát sinh trong quá trình vận hành và hoạt động của tòa nhà (không tính các khoản chi lấy từ quỹ bảo trì).

Điều 2. Đặc điểm của nhà chung cư

Bên B cam kết thực hiện dịch vụ quản lý vận hành nhà chung cư với các đặc điểm như sau:

Điều 3. Công việc quản lý vận hành nhà chung cư

1. Bên A đồng ý thuê Bên B thực hiện các công việc quản lý vận hành nhà chung cư tại địa chỉ ...... như sau(5):

a) Lập và thực hiện kế hoạch quản lý vận hành nhà chung cư;

b) Xây dựng bộ máy quản lý vận hành và cung cấp nhân sự quản lý vận hành nhà chung cư; kiểm soát quá trình quản lý vận hành theo kế hoạch thông qua bộ phận kiểm soát từ văn phòng quản lý theo định kỳ và thường xuyên tại nhà chung cư;

c) Thiết lập, điều chỉnh các quy trình quản lý, vận hành, biểu mẫu phù hợp với đặc điểm của nhà chung cư và vận dụng vào quản lý thực tế tại nhà chung cư;

d) Kiểm soát, bảo đảm trật tự, an ninh công cộng, xử lý vệ sinh, môi trường, bảo dưỡng hệ thống kỹ thuật (điện, nước, máy bơm nước, máy phát điện, hệ thống thang máy, thang cuốn, thông tin liên lạc,...) và các dịch vụ khác của nhà chung cư;

đ) Chủ động liên hệ, phối hợp làm việc với các nhà cung cấp dịch vụ và hỗ trợ cư dân đăng ký sử dụng các dịch vụ về nước sinh hoạt, dịch vụ truyền hình, internet, điện thoại...;

e) Thay mặt Bên A quản lý, cập nhật, phát hành thông báo giá dịch vụ quản lý vận hành và tiến hành thu kinh phí quản lý vận hành nhà chung cư, phí dịch vụ, phí tiêu thụ nước sinh hoạt của chủ sở hữu căn hộ theo định kỳ hàng tháng, đề xuất với Bên A các biện pháp bắt buộc thích hợp khi cần thiết để đảm bảo việc thu các khoản tiền này;

g) Giám sát công ty bảo trì cơ điện thực hiện việc bảo trì các thiết bị cơ điện hàng tháng, hàng quý, hàng năm theo kế hoạch đã lập và báo cáo định kỳ cho Bên A;

h) Quản lý vận hành các hệ thống kỹ thuật tòa nhà; bố trí lịch làm việc của nhân viên kỹ thuật làm việc tại nhà chung cư; giám sát công việc hàng ngày của nhân viên kỹ thuật bao gồm các hạng mục phải kiểm tra cũng như những công việc sửa chữa khác;

i) Thực hiện việc sửa chữa đơn giản các thiết bị nhà chung cư: thay bóng đèn, công tắc tại khu vực chung. Bên B chỉ chịu chi phí nhân lực sửa chữa và vật tư đơn giản (đèn chiếu sáng hành lang, công tắc, phụ liệu...); Bên A chịu trách nhiệm về phần vật tư, thiết bị thay thế thuộc phạm vi quỹ bảo trì; trừ trường hợp hai bên có thỏa thuận khác;

k) Thay mặt Bên A làm việc với các cơ quan có liên quan và phối hợp với chính quyền địa phương thực hiện các quy định của pháp luật về an ninh trật tự, vệ sinh môi trường và các phong trào chung;

l) Đôn đốc, nhắc nhở cư dân thực hiện nội quy quản lý, sử dụng nhà chung cư. Nhắc nhở và hỗ trợ cư dân đăng ký tạm trú, thường trú khi vào sinh sống tại nhà chung cư; tiếp thu ý kiến và giải quyết khiếu nại của cư dân liên quan đến công tác quản lý vận hành nhà chung cư;

m) Tổ chức thực tập phòng cháy, chữa cháy nội bộ định kỳ để các thành viên trong Ban quản lý, bộ phận kỹ thuật, lực lượng bảo vệ, an ninh, bộ phận dịch vụ vệ sinh (và có thể có cư dân); phối hợp với Bên A lập phương án phòng cháy, chữa cháy định kỳ theo quy định để hướng dẫn khách hàng/cư dân nhà chung cư nắm được các bước cần thực hiện khi có tình huống khẩn cấp xảy ra;

n) Lựa chọn, ký kết hợp đồng dịch vụ với các nhà thầu có năng lực, có uy tín để cung cấp dịch vụ bảo vệ, dịch vụ giữ xe, dịch vụ duy trì vệ sinh hàng ngày, chăm sóc cây cảnh, xử lý côn trùng...; tư vấn cho Bên A lựa chọn và ký hợp đồng với các nhà thầu có năng lực và uy tín cung cấp dịch vụ bảo trì, sửa chữa khác (nếu có),...;

o) Báo cáo tình hình quản lý và các chi phí hoạt động hàng tháng, hàng năm tại hội nghị nhà chung cư;

p) Thực hiện các công việc khác do các bên thỏa thuận: .......

2. Bên B đảm bảo quản lý vận hành và cung cấp các dịch vụ cho nhà chung cư (cụm nhà chung cư) đúng yêu cầu của Bên A với chất lượng tốt, đảm bảo an toàn, vệ sinh, môi trường và phòng chống cháy, nổ phù hợp với các quy định của pháp luật hiện hành. Việc thực hiện sẽ được tiến hành theo tiêu chí: đảm bảo dịch vụ cho các chủ sở hữu, người sử dụng (nếu có) ở mức độ tiêu chuẩn, chất lượng phù hợp, áp dụng đầy đủ các quy trình và biểu mẫu để xử lý công việc, vận hành nhà chung cư an toàn (kỹ thuật, phòng cháy, chữa cháy...), an ninh và vệ sinh được đảm bảo.

3. Bên B thực hiện công việc quản lý vận hành theo hình thức cung cấp nhân sự Ban quản lý, kỹ thuật, kiểm soát, điều hành hoạt động nhà chung cư và chỉ thực hiện các công việc theo ủy quyền quản lý của Bên A.

4. Trường hợp Bên B có đủ năng lực thực hiện việc bảo trì phần sở hữu chung của nhà chung cư thì Bên A xem xét, quyết định để ký kết hợp đồng thuê Bên B thực hiện bảo trì phần sở hữu chung của nhà chung cư.

Điều 4. Giá dịch vụ quản lý vận hành nhà chung cư, thời hạn và phương thức thanh toán kinh phí quản lý vận hành

1. Giá dịch vụ quản lý vận hành nhà chung cư được xác định cụ thể như sau:

(nếu có các diện tích này)

 

Bên B được thu thêm các khoản thu khác tại nhà chung cư như khai thác các dịch vụ cộng thêm (quảng cáo trong thang máy, cho thuê bãi đỗ xe taxi, các khoản thu khác, ...): do các bên thỏa thuận.

2. Nội dung giá dịch vụ quản lý vận hành nhà chung cư bao gồm (7):

a) Chi phí điện dùng cho máy móc thiết bị, hệ thống sử dụng chung của tòa nhà; chi phí nước sử dụng trong khu vực công cộng, tưới cây; chi phí dầu Do vận hành máy phát điện dự phòng phục vụ cho khu vực công cộng; đèn chiếu sáng hành lang, đèn chiếu sáng thang thoát hiểm; điện sử dụng thang máy, máy bơm nước sinh hoạt, bơm nước thải,

b) Chi phí dịch vụ an ninh, bảo vệ (bao gồm dụng cụ hỗ trợ: bộ đàm, đèn pin,...);

c) Chi phí dịch vụ vệ sinh công cộng (bao gồm dụng cụ, hóa chất,...); dịch vụ chăm sóc cây xanh, phân bón và tưới cây; diệt côn trùng định kỳ; chi phí thu gom vận chuyển rác sinh hoạt hàng tháng;

d) Chi phí sách báo tại sảnh; chi phí điện thoại, internet, văn phòng phẩm cho hoạt động của Ban quản lý; chi phí liên lạc với chính quyền sở tại khi có yêu cầu; chi phí trang trí các dịp lễ, tết;

đ) Chi phí hóa chất xử lý thông cống, rãnh, bể phốt; chi phí diễn tập phòng cháy, chữa cháy nội bộ định kỳ hàng năm;

e) Chi phí kiểm tra mẫu nước sinh hoạt định kỳ; súc rửa bể nước ngầm, bể nước sinh hoạt (nếu có);

g) Chi phí cho đơn vị quản lý vận hành như chi phí trang thiết bị văn phòng Ban quản lý (bàn ghế, máy tính, máy in, ...) và dụng cụ kỹ thuật; chi phí đồng phục nhân viên Ban quản lý, chi phí tiền công tiền lương, phụ cấp, bảo hiểm xã hội phúc lợi xã hội cho nhân viên thực hiện quản lý vận hành nhà chung cư này;

h) Các chi phí khác: do các bên thỏa thuận.

3. Nguyên tắc xác định giá dịch vụ quản lý vận hành nhà chung cư:

a) Giá dịch vụ quản lý vận hành nhà chung cư quy định tại Khoản 1 Điều này không thay đổi trong 12 tháng, kể từ ngày hợp đồng này có hiệu lực;

b) Trong trường hợp có sự thay đổi về chính sách tiền lương do Nhà nước Việt Nam ban hành, sự điều chỉnh giá năng lượng: điện, nước, dầu làm ảnh hưởng đến đơn giá nhân sự và chi phí năng lượng thì các bên trao đổi để xác định lại giá dịch vụ cho phù hợp với tình hình thực tế.

4. Thời hạn và phương thức thanh toán kinh phí quản lý vận hành nhà chung cư được quy định như sau:

a) Đối với khu căn hộ:

Bên B thực hiện thu kinh phí quản lý vận hành nhà chung cư (tính theo giá dịch vụ quy định tại Khoản 1 Điều này nhân (x) với diện tích sử dụng của từng căn hộ). Thời hạn thu từ ngày ... đến ngày ... hàng tháng thông qua phương thức thanh toán bằng tiền Việt Nam đồng hoặc chuyển khoản (do các bên thỏa thuận).

b) Đối với khu văn phòng, dịch vụ, thương mại hoặc các khoản thu tăng thêm khác:

Bên B thực hiện thu kinh phí quản lý vận hành nhà chung cư (tính theo giá dịch vụ quy định tại Khoản 1 Điều này nhân (x) với diện tích sử dụng văn phòng, dịch vụ, thương mại). Thời hạn từ ngày ... đến ngày ... hàng tháng thông qua phương thức thanh toán bằng tiền mặt Việt Nam đồng hoặc chuyển khoản (do các bên thỏa thuận).

Điều 5. Quyền và nghĩa vụ của Bên A(8)

1. Bên A có các quyền sau đây:

a) Yêu cầu Bên B thông báo kịp thời, đầy đủ các thông tin về việc thực hiện các công việc đã thỏa thuận trong hợp đồng hoặc được ủy quyền;

b) Được hưởng các khoản doanh thu từ việc Bên B khai thác các dịch vụ tại nhà chung cư để bổ sung vào quỹ của Bên A nhằm phục vụ các hoạt động lợi ích chung của cư dân trong nhà chung cư này;

c) Được chấm dứt hợp đồng theo quy định tại Điều 11 của hợp đồng này;

d) Được áp dụng các chế tài quy định tại Điều 12 của hợp đồng này;

đ) Các quyền khác do các bên thỏa thuận...

2. Bên A có các nghĩa vụ sau đây:

a) Thanh toán chi phí sửa chữa, bảo trì, thay thế các thiết bị hư hỏng bao gồm chi phí vật tư và nhân công và các chi phí khác thuộc trách nhiệm của Bên A (ngoại trừ các công việc thuộc trách nhiệm của Bên B quy định tại Khoản 2 Điều 3 của hợp đồng này). Nếu các thiết bị hư hỏng do lỗi vận hành của Bên B thì Bên B phải chịu toàn bộ chi phí sửa chữa;

b) Thanh toán cho Bên B kinh phí quản lý vận hành nhà chung cư theo giá thỏa thuận tại Điều 4 của Hợp đồng này;

c) Cung cấp hồ sơ lưu trữ nhà chung cư và các thông tin, tài liệu cần thiết theo quy định của pháp luật để Bên B thực hiện dịch vụ quản lý vận hành nhà chung cư;

d) Bố trí cho Bên B phòng làm việc cho Ban quản lý (diện tích, vị trí……) và chỗ để xe cho nhân sự Ban quản lý, bảo vệ và vệ sinh;

đ) Tạo điều kiện và phối hợp chặt chẽ với Bên B trong quá trình thực hiện hợp đồng;

e) Nhắc nhở chủ sở hữu, người sử dụng nhà chung cư thực hiện các nghĩa vụ có liên quan đến việc quản lý, sử dụng nhà chung cư theo hợp đồng này và theo quy định của pháp luật;

g) Các nghĩa vụ khác do các bên thỏa thuận...

Điều 6. Quyền và nghĩa vụ của Bên B

1. Bên B có các quyền sau đây:

a) Yêu cầu Bên A cung cấp hồ sơ nhà chung cư và các thông tin, tài liệu cần thiết theo quy định của pháp luật để phục vụ cho việc quản lý vận hành nhà chung cư;

b) Thu kinh phí quản lý vận hành nhà chung cư theo quy định tại Điều 4 của hợp đồng này;

c) Thực hiện việc thu tiền của cư dân để chi trả thù lao cho các thành viên Ban quản trị nhà chung cư hoặc đại diện các chủ sở hữu nhà chung cư (theo mức tiền mà hội nghị nhà chung cư đã quyết định), thu tiền điện, nước,... của người sử dụng (nếu có); thực hiện xử lý các trường hợp không nộp, chậm nộp theo thỏa thuận trong hợp đồng này và theo quy định của Quy chế quản lý, sử dụng nhà chung cư do Bộ Xây dựng ban hành;

d) Được hưởng thêm các khoản thu khác tại nhà chung cư như khai thác các dịch vụ cộng thêm (quảng cáo thang máy, cho thuê bãi đậu xe taxi, các khoản thu khác,...);

đ) Được tạm ngừng cung cấp các dịch vụ:……….. hoặc đề nghị đơn vị cung cấp điện, nước, năng lượng... cho nhà chung cư tạm ngừng cung cấp các dịch vụ này trong trường hợp chủ sở hữu, người sử dụng nhà chung cư đã được thông báo bằng văn bản đến lần thứ hai yêu cầu nộp kinh phí quản lý vận hành và kinh phí khác do Bên B thu nhưng vẫn không nộp các kinh phí này;

e) Được thể hiện logo/thương hiệu trên các văn bản của Bên B trong việc quản lý vận hành, chăm sóc khách hàng và được treo bảng hiệu của Bên B tại nhà chung cư sau khi đã được Bên A đồng ý về vị trí, kích thước và hình thức;

g) Các quyền khác do các bên thỏa thuận...

2. Bên B có các nghĩa vụ sau đây:

a) Thực hiện đầy đủ và bảo đảm đúng chất lượng các công việc theo quy định tại Điều 3 của hợp đồng này, bao gồm cả công việc ủy quyền (nếu có) và gửi báo cáo cho Bên A về tiến độ, kết quả thực hiện;

b) Kiểm tra, giám sát hoạt động của các nhân viên của Bên B để thực hiện công việc quản lý vận hành và phải chịu trách nhiệm bồi thường thiệt hại xảy ra cho Bên A hoặc bên thứ ba nếu do nhân viên của Bên B gây thiệt hại;

c) Kiểm tra, giám sát việc quản lý vận hành liên quan đến hoạt động của nhà chung cư bao gồm: thang máy, dụng cụ thiết bị phòng cháy chữa cháy, máy phát điện dự phòng, máy bơm nước, vệ sinh, môi trường...;

d) Cam kết đảm bảo quản lý và vận hành hệ thống kỹ thuật nhà chung cư theo đúng khuyến cáo và hướng dẫn sử dụng của nhà sản xuất hoặc theo thiết kế;

đ) Chậm nhất ngày 15 hàng tháng phải gửi cho Bên A các báo cáo tình hình hoạt động nhà chung cư của tháng trước liền kề;

e) Bồi thường thiệt hại nếu vi phạm hợp đồng theo mức thiệt hại thực tế phát sinh do lỗi của Bên B; phải chịu trách nhiệm trước Bên A và trước pháp luật về mọi hoạt động do nhân lực của mình thực hiện;

g) Có trách nhiệm quản lý, bảo quản, sử dụng có hiệu quả, đúng mục đích các tài liệu, thiết bị và các tài sản do Bên A trang bị; có trách nhiệm hoàn trả cho Bên A khi hoàn thành các nghĩa vụ theo hợp đồng trong tình trạng hoạt động tốt (ngoại trừ các hao mòn tự nhiên);

h) Được khai thác các dịch vụ tại nhà chung cư để tăng thêm doanh thu và chia sẻ khoản doanh thu này với Bên A theo quy định tại Điều 15 của hợp đồng này để làm quỹ cộng đồng phục vụ lợi ích chung của cư dân nhà chung cư;

i) Thực hiện tất cả các nghĩa vụ theo quy định của pháp luật đối với hoạt động kinh doanh của mình như: đăng ký kinh doanh, đăng ký hành nghề, hoàn thành tất cả các nghĩa vụ thuế;

k) Bàn giao lại cho Ban quản trị bộ hồ sơ nhà chung cư quy định tại Điều 5 của Quy chế này khi chấm dứt hợp đồng quản lý vận hành này;

l) Các nghĩa vụ khác do các bên thỏa thuận...

Điều 7. Bố trí sử dụng nhân viên quản lý nhà chung cư

1. Bên B có quyền bố trí hoặc thuyên chuyển bất kỳ nhân viên nào đang làm việc cho Bên B tại nhà chung cư khi cần thiết, nhưng phải đảm bảo không gây trở ngại cho việc quản lý nhà chung cư. Trường hợp thay trưởng Ban quản lý tòa nhà thì phải thông báo bằng văn bản cho Bên A biết.

2. Trong trường hợp nhân viên của Bên B (kể cả trưởng Ban quản lý nhà chung cư) không hoàn thành nhiệm vụ theo quy định trong hợp đồng này, thì Bên B sẽ tiến hành kiểm tra, nếu không hoàn thành nhiệm vụ sẽ thay thế người khác và có trách nhiệm thông báo lại cho Bên A biết.

3. Quy định thời gian làm việc của các bộ phận thuộc Ban quản lý như sau:(9)

a) Văn phòng Ban quản lý: (sáng từ ... giờ đến ... giờ; chiều từ ... giờ đến ... giờ);

b) Bộ phận Lễ tân - CSKH: Làm theo ca (gồm các ca cụ thể sau:……);

c) Bộ phận kỹ thuật: Trực 24/24h (làm việc 7 ngày/tuần, kể cả ngày lễ, tết).

Điều 8. Thanh toán kinh phí thuộc trách nhiệm chi trả của Bên A

1. Trước ngày 31 tháng 12 của năm trước liền kề, Bên B phải gửi cho Bên A dự kiến kế hoạch chi phí phục vụ cho việc quản lý vận hành nhà chung cư, bao gồm các khoản thu từ dịch vụ quản lý vận hành đối với khu căn hộ, khu văn phòng, dịch vụ, thương mại và dịch vụ khác kèm theo (nếu có); các khoản chi cho việc quản lý vận hành nhà chung cư, các khoản chi thuộc trách nhiệm chi trả của Bên B và các khoản chi thuộc trách nhiệm chi trả của Bên A.

2. Bên A có trách nhiệm thanh toán cho các nhà thầu dịch vụ như bảo trì, sửa chữa hư hỏng trang thiết bị,... và các khoản tương tự thuộc trách nhiệm thanh toán của Bên A.

Điều 9. Phương thức phối hợp giữa Bên A và Bên B

1. Trách nhiệm của Bên A:

a) Là đại diện cho các chủ sở hữu, người sử dụng hợp pháp nhà chung cư ký kết hợp đồng dịch vụ quản lý vận hành với Bên B để thực hiện công việc quản lý vận hành nhà chung cư quy định tại Điều 3 của hợp đồng này;

b) Quản lý quỹ bảo trì phần sở hữu chung của nhà chung cư theo quy định của pháp luật; quản lý quỹ phục vụ lợi ích chung của cư dân nhà chung cư (nếu có) để phục vụ chi trả cho các mục đích bảo trì, các mục đích công cộng khác;

c) Đại diện cho cư dân để làm việc với các tổ chức, cơ quan chức năng theo yêu cầu hoặc theo quy định của pháp luật;

d) Xem xét, thống nhất kế hoạch quản lý vận hành và các nội dung liên quan đến trách nhiệm, quyền hạn của Bên A. Ký kết hợp đồng với nhà thầu ngoài phạm vi của Bên B như bảo trì, sửa chữa, thay thế cây cảnh,... (nếu có);

đ) Chi trả các khoản chi phí liên quan đến hoạt động vận hành của nhà chung cư ngoài phạm vi chi trả của Bên B như mua sắm vật tư, trang thiết bị; việc bảo trì, cải tạo, trang trí nhà chung cư;

e) Cử đại diện để phối hợp chặt chẽ với Bên B trong việc quản lý vận hành nhà chung cư theo đúng các quy trình quản lý nhằm đáp ứng yêu cầu chất lượng dịch vụ.

2. Trách nhiệm của Bên B:

a) Tổ chức điều hành mọi hoạt động thuộc phạm vi quản lý vận hành nhà chung cư theo hợp đồng này;

b) Cung cấp nhân sự quản lý vận hành để đảm nhiệm công tác vận hành kỹ thuật, quản lý và chăm sóc khách hàng, kiểm soát hoạt động nhà chung cư;

c) Quản lý và giám sát dịch vụ khách hàng, dịch vụ vệ sinh môi trường, bảo vệ an ninh, an toàn phòng cháy, chữa cháy, dịch vụ trông giữ xe, diệt côn trùng, chăm sóc cây cảnh cho nhà chung cư, ... Bên B có trách nhiệm quản lý, kiểm soát về mặt nghiệp vụ và khối lượng công việc của các nhà thầu này theo tiêu chuẩn và quy trình quản lý đã thiết lập, định kỳ báo cáo công việc cho Bên A.

Điều 10. Thời hạn thực hiện hợp đồng (10)

1. Thời hạn hợp đồng này là ... tháng, kể từ ngày ... tháng ... năm ...

2. Trước khi hết thời hạn hợp đồng tối thiểu 30 ngày, Bên B gửi đề xuất gia hạn hợp đồng cho Bên A; nếu sau 15 ngày, kể từ ngày Bên A nhận được văn bản đề xuất gia hạn của Bên B mà Bên A không có ý kiến bằng văn bản thì hợp đồng sẽ được tự động gia hạn bằng với thời hạn của hợp đồng quy định tại Khoản 1 Điều này.

Điều 11. Chấm dứt hợp đồng và đơn phương chấm dứt hợp đồng trước thời hạn

1. Hợp đồng này chấm dứt khi có một trong các trường hợp sau đây:

a) Hết hạn hợp đồng mà các bên nhất trí không gia hạn hợp đồng;

b) Hai bên cùng thỏa thuận chấm dứt hợp đồng trước thời hạn;

c) Một trong hai bên bị phá sản hoặc giải thể hoặc chấm dứt hoạt động theo quy định của pháp luật;

d) Do sự kiện bất khả kháng nhưng không khắc phục được trong thời hạn... tháng liên tục.

2. Bên A được quyền đơn phương chấm dứt hợp đồng khi Bên B có một trong các vi phạm sau đây(11):

a) Vi phạm nghĩa vụ quy định tại Khoản 2 Điều 6 của hợp đồng này và gây thiệt hại cho Bên A;

b) Tăng mức giá dịch vụ quản lý vận hành nhà chung cư không theo quy định tại Điều 4 của hợp đồng này hoặc thay đổi các điều khoản trong hợp đồng này nhưng không được sự đồng ý của Bên A;

c) Chuyển nhượng hợp đồng này hoặc giao việc quản lý vận hành nhà chung cư cho một đơn vị khác mà không có sự đồng ý bằng văn bản của Bên A;

d) Không khắc phục các vi phạm nghĩa vụ theo hợp đồng này trong thời hạn ... ngày, kể từ ngày nhận được thông báo bằng văn bản của Bên A;

đ) Bị phá sản hoặc bị giải thể hoặc bị chấm dứt hoạt động;

e) Trường hợp khác do các bên thỏa thuận...

Bên A không được tự ý đơn phương chấm dứt hợp đồng ngoài các trường hợp quy định tại Khoản này; nếu tự ý đơn phương chấm dứt hợp đồng thì Bên A phải bồi thường theo quy định tại Khoản 2 Điều 12 của hợp đồng này.

3. Bên B được quyền đơn phương chấm dứt hợp đồng khi Bên A có một trong các vi phạm sau đây:

a) Không thanh toán đầy đủ các khoản tiền đến hạn cho Bên B theo hợp đồng này trong thời hạn ... ngày, kể từ ngày nhận được thông báo bằng văn bản của Bên B về những khoản thanh toán đã bị quá hạn;

b) Không cung cấp hồ sơ nhà chung cư và các thông tin, tài liệu cần thiết theo quy định của pháp luật để Bên B thực hiện công việc quản lý vận hành nhà chung cư;

c) Trường hợp khác do các bên thỏa thuận...

Bên B không được tự ý đơn phương chấm dứt hợp đồng ngoài các trường hợp quy định tại Khoản này; nếu tự ý đơn phương chấm dứt hợp đồng thì Bên B phải bồi thường theo quy định tại Khoản 2 Điều 12 của hợp đồng này.

4. Bàn giao khi chấm dứt hợp đồng:

a) Trong thời hạn ... ngày, kể từ ngày thông báo chấm dứt hợp đồng, hai bên có trách nhiệm thảo luận và xác định giá trị quyết toán hợp đồng. Trong thời hạn ... ngày, kể từ ngày Bên B hoàn thành nghĩa vụ báo cáo, bàn giao số liệu, bàn giao tài sản và hai bên đã ký thỏa thuận thanh lý hợp đồng này, Bên A phải thanh toán cho Bên B các khoản tiền còn lại theo biên bản quyết toán (nếu có);

b) Trong thời hạn ... ngày, kể từ ngày chấm dứt hợp đồng, Bên B phải bàn giao cho Bên A toàn bộ tài sản theo đúng hiện trạng của Bên A, sổ sách kế toán hợp đồng và số liệu công nợ (bằng file mềm và bản cứng), hồ sơ nhà chung cư, các thông tin khách hàng/cư dân ... và các tài liệu, tài sản khác (nếu có) thuộc quyền sở hữu của Bên A;

c) Các thỏa thuận khác...

Điều 12. Vi phạm hợp đồng và bồi thường thiệt hại

1. Bên B phải bồi thường cho Bên A toàn bộ chi phí khắc phục thực tế hư hỏng và các chi phí có liên quan đến những hư hỏng làm mất tài sản khi có một trong các trường hợp sau đây(12):

a) Phát sinh do lỗi của Bên B;

b) Bên B thiếu trách nhiệm hoặc có hành vi vi phạm hợp đồng.

c) Trường hợp một trong hai bên vi phạm quy định tại Khoản 2 hoặc Khoản 3 Điều 11 của hợp đồng này thì bên vi phạm phải bồi thường cho bên kia số tiền bằng ……lần giá dịch vụ quản lý vận hành tại nhà chung cư của tháng gần nhất (theo số liệu Bên B cung cấp).

Điều 13. Trách nhiệm sau khi chấm dứt hợp đồng

1. Bên A không được quyền sử dụng các biểu mẫu và quy trình quản lý, biểu mẫu do Bên B thiết lập, trừ khi có sự đồng ý bằng văn bản của Bên B.

2. Bên B không được phép sử dụng thông tin khách hàng, cư dân phục vụ mục đích kinh doanh của Bên B.

3. Bên B phải bàn giao toàn bộ tài sản, số liệu sổ sách cho Bên A trong thời hạn ... ngày, kể từ ngày chấm dứt hợp đồng để Bên A tiếp tục quản lý vận hành chung cư một cách liên tục và không ảnh hưởng đến sinh hoạt của cư dân. Nếu vi phạm quy định này thì Bên B sẽ chịu bồi thường thiệt hại cho Bên A là………

4. Các thỏa thuận khác...

Điều 14. Sự kiện bất khả kháng

1. Các trường hợp sau đây được coi là sự kiện bất khả kháng:

a) Do chiến tranh hoặc do thiên tai hoặc do thay đổi chính sách, pháp luật của Nhà nước Việt Nam;

b) Do phải thực hiện quyết định của cơ quan nhà nước có thẩm quyền hoặc các trường hợp khác do pháp luật quy định;

c) Do tai nạn, ốm đau thuộc diện phải đi cấp cứu tại cơ sở y tế;

d) Các trường hợp khác: do các bên thỏa thuận.

2. Thông báo tình trạng bất khả kháng:

a) Khi xuất hiện một trong các trường hợp bất khả kháng theo thỏa thuận tại Khoản 1 Điều này thì bên bị tác động bởi trường hợp bất khả kháng phải thông báo bằng văn bản hoặc thông báo trực tiếp cho bên còn lại biết trong thời hạn ... ngày, kể từ ngày xảy ra trường hợp bất khả kháng (nếu có giấy tờ chứng minh về lý do bất khả kháng thì phải xuất trình giấy tờ này);

b) Bên bị tác động bởi trường hợp bất khả kháng không thực hiện được nghĩa vụ của mình sẽ không bị coi là vi phạm nghĩa vụ theo hợp đồng và cũng không phải là cơ sở để chấm dứt hợp đồng này;

c) Bên bị tác động bởi trường hợp bất khả kháng phải gửi thông báo cho bên kia khi không còn bị ảnh hưởng bởi tình trạng bất khả kháng;

d) Các bên phải tiếp tục thực hiện nghĩa vụ khi điều kiện bất khả kháng không còn;

đ) Nếu sự kiện bất khả kháng xảy ra trong ... tháng liên tục nhưng không khắc phục được thì hợp đồng đương nhiên hết hiệu lực, trừ trường hợp các bên có thỏa thuận khác.

3. Trách nhiệm của các bên trong trường hợp bất khả kháng:

Việc thực hiện các nghĩa vụ có liên quan theo hợp đồng của các bên sẽ được tạm dừng trong thời gian xảy ra sự kiện bất khả kháng. Các bên sẽ tiếp tục thực hiện các nghĩa vụ của mình sau khi sự kiện bất khả kháng chấm dứt, trừ trường hợp quy định tại Điểm đ Khoản 2 Điều này.

Điều 15. Khai thác, cung cấp dịch vụ phụ và quỹ kết dư

1. Bên A có quyền và trách nhiệm sau đây:

a) Trong thời hạn hợp đồng này, Bên A ủy quyền cho Bên B tìm kiếm, khai thác môi giới khai thác kinh doanh các dịch vụ thuộc quyền sở hữu chung của nhà chung cư như thu phí quảng cáo, bảng hiệu, khai thác mặt bằng trống, các dịch vụ khác.... Việc khai thác này phải đảm bảo không được làm ảnh hưởng đến công tác quản lý vận hành nhà chung cư của Bên B, mỹ quan, môi trường và trật tự công cộng tại nhà chung cư.

b) Được nhận ...% số tiền thu tăng thêm so với các khoản thu hiện hữu từ khai thác dịch vụ để Bên A bổ sung vào nguồn quỹ nhằm thực hiện các hoạt động phục vụ lợi ích chung cho nhà chung cư.

2. Bên B có quyền và trách nhiệm sau đây:

a) Theo sự ủy quyền của Bên A, được quyền tìm kiếm đối tác và quản lý việc khai thác, lắp đặt quảng cáo, bảng hiệu và các dịch vụ khác nhằm mục đích gia tăng nguồn thu cho nhà chung cư. Mức phí được hưởng là ...% giá trị thu tăng thêm so với các khoản thu được từ việc khai thác và quản lý dịch vụ đó;

b) Được quyền tham gia dự thầu khai thác dịch vụ nhà chung cư (nếu có) theo chỉ định hoặc mời thầu từ Bên A.

3. Quỹ kết dư:

Với phương thức tự thu, tự chi, hai bên thống nhất rằng, quỹ kết dư (nếu có) trong thời gian hợp đồng này có hiệu lực là thuộc sở hữu của Bên B. Bên B đồng ý sẽ trích ...% quỹ kết dư này để Bên A bổ sung vào quỹ nhằm thực hiện các hoạt động phục vụ lợi ích chung cho nhà chung cư.

Điều 16. Các thỏa thuận khác

Các bên căn cứ vào từng nhà chung cư cụ thể để thỏa thuận thêm các nội dung khác nhưng không được mâu thuẫn với các nội dung trong hợp đồng này, không được trái với quy định của Quy chế quản lý sử dụng nhà chung cư, pháp luật về nhà ở và đạo đức xã hội.

Điều 17. Các phụ lục hợp đồng

Các tài liệu sau đây là một phần của hợp đồng này:

1. Kế hoạch quản lý vận hành nhà chung cư;

2. Hồ sơ nhà chung cư;

3. Các phụ lục khác được ký giữa hai bên (nếu có).

Điều 18. Tranh chấp và giải quyết tranh chấp

1. Nếu có phát sinh tranh chấp về nội dung hợp đồng này thì các bên phải tiến hành thương lượng để giải quyết.

2. Trường hợp có tranh chấp về kinh phí quản lý vận hành nhà chung cư mà thương lượng không có kết quả thì trong thời hạn ... ngày, kể từ ngày phát sinh tranh chấp, các bên có quyền gửi đơn đến Ủy ban nhân dân cấp tỉnh nơi có nhà chung cư để xem xét, giải quyết; trường hợp không đồng ý với quyết định của Ủy ban nhân dân cấp tỉnh thì có quyền khởi kiện tại Tòa án nhân dân theo quy định của pháp luật.

3. Trường hợp có tranh chấp về việc thực hiện hợp đồng dịch vụ quản lý vận hành thì các bên có quyền yêu cầu Tòa án nhân dân có thẩm quyền giải quyết theo quy định của pháp luật. Quyết định của Tòa án nhân dân là quyết định cuối cùng và có tính chất bắt buộc với các bên.

Điều 19. Hiệu lực của hợp đồng

1. Hợp đồng này có hiệu lực kể từ ngày ... tháng ... năm ...

2. Việc thanh lý hợp đồng này được thực hiện bằng biên bản thanh lý do hai bên cùng ký kết.

3. Hai bên thỏa thuận cam kết thực hiện đúng nội dung của hợp đồng này; tài sản được ủy quyền quản lý không thuộc diện bị tranh chấp về quyền sở hữu, quyền sử dụng.

4. Hợp đồng này được lập thành ... bản, có giá trị pháp lý như nhau, mỗi bên giữ ... bản để cùng thực hiện.

5. Trường hợp các bên có thỏa thuận thay đổi nội dung của hợp đồng này thì phải lập phụ lục hợp đồng hoặc ký kết hợp đồng bổ sung bằng văn bản./.

1 Tên nhà chung cư.

2 Tên của đơn vị quản lý vận hành theo giấy tờ đăng ký kinh doanh hoặc quyết định thành lập của cơ quan có thẩm quyền.

3 Tên của tòa nhà/ cụm nhà chung cư.

4 Ghi rõ là nhà chung cư thuộc loại công trình chỉ có mục đích để ở hoặc công trình hỗn hợp gồm để ở và kinh doanh dịch vụ.

5 Tùy thuộc vào thỏa thuận giữa Bên A và Bên B, các bên có thể bổ sung hoặc giảm bớt hoặc thay đổi các công việc mà Bên B được thực hiện tại Khoản 1 Điều 3 này.

6 Diện tích m2 được xác định để tính giá là diện tích m2 sử dụng (tính theo diện tích thông thủy).

7 Các chi phí trong giá dịch vụ nêu tại Khoản 2 Điều 4 này có thể được thay đổi, điều chỉnh bổ sung theo thỏa thuận của các bên.

8 Ngoài các quyền và nghĩa vụ nêu tại Điều 5Điều 6, các bên có thể thỏa thuận bổ sung thêm các quyền và nghĩa vụ khác cho phù hợp với yêu cầu công việc.

9 Các bên thỏa thuận cụ thể nội dung nêu tại Khoản 3 Điều 7 này.

10 Các bên thỏa thuận cụ thể nội dung nêu tại Điều 10.

11 Các bên có thể thỏa thuận bổ sung thêm các trường hợp được đơn phương chấm dứt hợp đồng nêu tại Khoản 2 và Khoản 3 Điều 11 này.

12 Các bên có thể thỏa thuận thêm nội dung của Khoản 1 Điều 12.

13 Các phần để trống trong hợp đồng này do các bên thỏa thuận cho phù hợp với tình hình thực tế.
