THE MINISTER OF POSTS AND TELECOMMUNICATIONS

Pursuant to Decree No. 90/2002/NĐ-CP dated 11/11/2002 of the Government stipulating the functions, tasks, powers, and organizational structure of the Posts and Telecommunications Ministry;         

Pursuant to Decision No. 129/2003/QĐ-TTg dated June 26, 2003 of the Prime Minister approving the overall plan for restructuring and modernizing State-owned enterprises under Vietnam Television until 2005;

Considering the proposal of the General Director of the Investment and Development of Television Technology Company Vietnam Male at the report No. 599/TT-VTC on 07/8/2003;

At the proposal of the Director of the Cadre and Civil Servant Department,

DECISION:

Article 1: the date Investment and Development of Television Technology Company abroad Decree Vietnam Television Technology Investment and Development Company is a state-owned enterprise with 100% state capital operating independently  in accordance with the Law on State-Owned Enterprises and other relevant laws.

International Trade Name: Vietnam Television Technology Investment and Development Company.

 Abbreviation: VTC

Article 2: The Vietnam Television Technology Investment and Development Company has the following tasks and powers:

1. Engaging in import and export of machinery, equipment, specialized materials in the fields of broadcasting-television, postal services, telecommunications, electronics, information technology, medical electronics, power, mechanical engineering, construction, sports, transportation, maritime, banking, scientific measurement, testing, lighting, mining geology, consumer electronics; equipment and means for fire prevention, firefighting, rescue, environmental sanitation; equipment for printing, food processing, fishery products and other business activities as prescribed by law.

2. Researching, applying, designing, manufacturing, testing, producing, installing, transferring technology, maintenance, and repair of machinery and equipment in the fields of broadcasting-television, postal services, telecommunications, electronics, information technology, consumer electronics (elevators, refrigeration equipment, escalators, conveyor belts, vacuum cleaners, dehumidifiers).  Erecting high towers for broadcasting and television transmission, telecommunication works, and power projects.

3. Engaging in television service provision over telecommunications networks and the Internet as stipulated in Document No. 3409/VHTT-BC dated August 4, 2003 of the Ministry of Culture and Information. Engaging in postal, telecommunications, and information technology services in accordance with the law.

4. Providing investment and construction consultancy (as per Decision No. 19/BXD-CSXD dated June 10, 1995 of the Ministry of Construction) for broadcasting-television projects both domestic and foreign, telecommunication, electronic, and information technology projects.

5. Signing contracts, organizing labor and students to work and study abroad, and providing related services; organizing conference, seminar, trade fair, and exhibition services in accordance with the law.

6. Producing advertising programs; providing advertising services on broadcasting and television waves, telecommunications networks, and the Internet domestically and internationally, and on other mass media; providing video tapes, videos, television series in accordance with the law.

7. Being permitted to mobilize various sources of capital and cooperate with economic sectors both domestically and internationally to develop broadcasting-television and postal services, telecommunications, electronics, and information technology.

Article 3: 

the date Investment and Development of Television Technology Company Vietnam has a General Director, Deputy General Directors, Chief Accountant, and supporting staff.

The General Director, Deputy General Directors, and Chief Accountant of the Company are appointed by the Minister of Posts and Telecommunications.

The General Director manages and operates the company, is responsible before the Minister and the law for performing the assigned rights and duties. The Deputy General Directors and Chief Accountant assist the General Director and are responsible to the General Director for their assigned tasks.

The Vietnam Television Technology Investment and Development Company abroad  includes subordinate units under its accounting control comprising: affiliated companies, factories, centers, branches. Leaders of these subordinate units are appointed by the General Director of the Investment and Development of Television Technology Company Vietnam Television Technology Investment and Development Company.

General Director of the  Vietnam Television Technology Investment and Development Company abroad  is responsible for drafting the Charter of organization and operation of the Company to be submitted to the Minister for approval and promulgation.

Article 4: The organizational structure of the VTC Company comprises:

1/ Ten functional departments:  10 departments.

- Corporate Office.

Department of Organizational Labor - Wages.

Financial Department  - Accounting.

Internal Audit Department.

Planning Department.

Project and Investment Department.

Sales Department.

Import and Export Department.

Scientific Research and Development Department.

Software Development Department.

2/ Affiliated Units:

Television Communication Development Company (CTC).

Vietnam Cable Television Electronics Company (CEC).

Broadcasting and Television Equipment and Advertising Company (EAC).

VTC Electronics and Telecommunications Company.

+ Factory: 1 factory, 6 centers:

Electronic Factory DTH.

Service Center for Warranty and Product Introduction.

International Cooperation Center.

Investment and Construction Consultancy Center for Broadcasting and Television  and Telecommunications.

Technology Transfer Center for Broadcasting and Telecommunications.

Application Center for Broadcasting and Telecommunications Technology.

Digital Television Center.

+ Branches: 4 branches:

VTC Company Branch in Angola.

VTC Company Branch in Laos.

VTC Company Branch in Ho Chi Minh City.

VTC Company Branch in Da Nang City.

Functions, tasks, powers, and working relationships between subordinate units are defined by the General Director of the Vietnam Television Technology Investment and Development Company. Vietnam has legal personality, enjoys civil rights and obligations as prescribed by law, bears full responsibility for all business operations before the law, has its own seal, and can open accounts at domestic and foreign banks.

Article 5: the date Investment and Development of Television Technology Company Vietnam's main office is located at:

The Vietnam Television Technology Investment and Development Company 67B Ham Long Street,  Hoan Kiem District - Hanoi City;  Branches of the Company have separate seals and accounts, located in Ho Chi Minh City, Da Nang City, Angola, and Laos.

This Decision takes effect from the date of signature. All previous regulations contrary to this Decision are abolished.

Article 6: The Head of the Office, Heads of the Cadre and Personnel Department, the Finance and Planning Department, Heads of agencies and units under the Ministry of Posts and Telecommunications, the General Director of the

Article 7:  Vietnam Television Technology Investment and Development Company are responsible for implementing this Decision./. Investment and Development of Television Technology Company Vietnam shall be responsible for implementing this Decision./.
