The Government promulgates this Decree on granting licenses for the establishment and operations of banks, foreign exchange management, anti-money laundering, counterterrorism financing, and counternarcotic weapons of mass destruction financing at the International Financial Center in Vietnam.
PART I
GENERAL PROVISIONS
Article 1. Scope of Regulation
This Decree provides detailed regulations and guidance on implementing Clause 4 Article 10; Point b, d Clause 1 Article 11; Clause 1 Article 12; Article 16; Article 17 and Article 31 of Resolution No. 222/2025/QH15 on the establishment, organization, and operation of commercial banks and foreign bank branches at the International Financial Center in Vietnam (hereinafter referred to as the Financial Center) and foreign exchange management, anti-money laundering, counterterrorism financing, and counternarcotic weapons of mass destruction financing at the Financial Center.
Article 2. Applicability
This Decree applies to:
1. Members are commercial banks and foreign bank branches (hereinafter referred to as member banks).
2. Individuals and organizations (including members) conducting foreign exchange transactions with members.
3. Reporting entities as prescribed in Article 4 of the Law on Prevention and Combating Money Laundering (hereinafter referred to as reporting entities).
4. Financial Center Management Authority (hereinafter referred to as the Management Authority), Financial Center Supervisory Authority (hereinafter referred to as the Supervisory Authority), Financial Center Dispute Resolution Authority (hereinafter referred to as the Dispute Resolution Authority).
5. Other related agencies, organizations, and individuals.
Article 3. Explanation of Terms
In this Decree, the following terms shall be understood as follows:
1. Domestic borrower is an organization within the territory of Vietnam that is not a member including enterprises, cooperatives, cooperative unions, credit institutions and foreign bank branches established and operating in Vietnam having loan transactions with members.
2. Credit provision is an agreement for an organization or individual to use a sum of money or a commitment to allow the use of a sum of money according to the principle of repayment through lending, discounting, factoring, bank guarantee, letter of credit, and issuance of credit cards.
3. Foreign bank branch within the territory of Vietnam that is not a member (hereinafter referred to as non-member foreign bank branch) is a foreign bank branch established, organized, and operated in accordance with the Law on Credit Organizations.
4. Member foreign bank branch is an economic entity without legal personality, established, organized, and operated in accordance with Resolution No. 222/2025/QH15 and this Decree. A member foreign bank branch is a subsidiary of a foreign bank, guaranteed by the foreign bank to be responsible for all obligations and commitments of the branch at the Financial Center.
5. Ownership policy, parent bank policy is the ownership policy, parent bank policy currently being implemented in compliance with the laws of the country where the owner and parent bank are headquartered, Resolution No. 222/2025/QH15 and this Decree.
6. Member enterprise is a member that is not a member bank.
7. Direct investment from the Financial Center abroad by members is the transfer of capital abroad for investment in the following forms: Establishing an economic organization in accordance with the laws of the receiving country; contributing capital, purchasing shares, purchasing equity interests of economic organizations abroad to participate in management and conduct business activities abroad.
8. Indirect investment from the Financial Center abroad by members is the transfer of capital abroad for investment in the form of buying and selling securities, other negotiable instruments issued in foreign currency abroad or investing through foreign stock funds and other financial intermediaries.
9. License is the License for Establishment and Operation of member banks issued by the Management Authority in the city; documents of the Management Authority in the city regarding amendments and supplements to the License are integral parts of the License.
10. Debt subject to purchase and sale is debt denominated in foreign currency arising from lending operations and substitute payment in guarantee operations of member banks and Vietnamese credit institutions towards customers who are neither member banks nor Vietnamese credit institutions nor foreign credit institutions.
11. Purchase and sale of debt is a written agreement on the transfer of the right to claim debt for debts subject to purchase and sale, whereby the seller transfers ownership of the sold debt to the buyer and receives payment from the buyer.
12. Commercial bank within the territory of Vietnam that is not a member (hereinafter referred to as non-member commercial bank) is a type of bank carrying out all banking and other business activities in accordance with the Law on Credit Organizations for profit-making purposes.
13. Member commercial bank is an economic entity with legal personality established, organized, and operated in accordance with Resolution No. 222/2025/QH15 and this Decree for profit-making purposes. Member commercial banks include wholly foreign-owned limited liability commercial banks (hereinafter referred to as wholly foreign-owned commercial banks) and wholly domestically-owned limited liability commercial banks (hereinafter referred to as wholly domestically-owned commercial banks).
14. Related party is determined as follows:
a) For wholly foreign-owned commercial banks, branches of foreign banks with ownership, and parent banks that do not apply International Financial Reporting Standards (IAS/IFRS) issued by the International Accounting Standards Board or generally accepted accounting principles as stipulated in Point e, Clause 1, Article 11 of Resolution No. 222/2025/QH15, and wholly domestically-owned commercial banks (hereinafter referred to as non-IFRS applying commercial banks), related parties shall be determined according to the Law on Credit Institutions;
b) For wholly foreign-owned commercial banks, branches of foreign banks with ownership, and parent banks that apply International Financial Reporting Standards (IAS/IFRS) issued by the International Accounting Standards Board or generally accepted accounting principles as stipulated in Point e, Clause 1, Article 11 of Resolution No. 222/2025/QH15 (hereinafter referred to as IFRS applying commercial banks), related parties shall be determined according to the provisions of the owner and parent bank;
15. The management personnel of member commercial banks include General Directors (Directors), Deputy General Directors (Deputy Directors), Chief Accountants, and other equivalent positions as stipulated in the Charter of the member commercial bank;
16. The management personnel of member commercial banks include the Chairman, other members of the Board of Members; General Directors (Directors), and other management positions as stipulated in the Charter of the member commercial bank;
17. Deposit-taking is the activity of receiving funds from organizations and individuals in the form of demand deposits and term deposits based on the principle of repayment according to agreements made with depositors (hereinafter referred to as depositors);
18. Derivative products are financial instruments valued based on anticipated fluctuations in the value of underlying financial assets including interest rates, foreign exchange, and currency;
19. A settlement account is a demand deposit account opened by customers at member banks for the purpose of utilizing payment services provided by the member bank;
20. Credit institutions operating within the territory of Vietnam that are not members (hereinafter referred to as non-member credit institutions) are economic organizations with legal personality conducting one, several, or all banking activities as prescribed by the Law on Credit Institutions and are not members of the Financial Center;
21. Foreign credit institutions are credit institutions and foreign branches of banks established abroad in accordance with the laws of their respective countries;
22. Vietnamese credit institutions include non-member credit institutions and foreign branches of banks that are not members;
23. Foreign financial organizations are financial organizations established abroad in accordance with the laws of their respective countries;
24. Consulting on banking activities and other business operations involves the service provider carrying out one or more activities, including collecting, processing information, applying specialized knowledge, identifying issues, evaluating problems, and proposing solutions or plans independently and objectively, or recommending products, services, transactions upon the request of clients;
25. The charter capital of member banks is the total amount of money contributed to the member commercial bank by shareholders or the total amount of money allocated to the branch of a foreign bank by the parent bank;
26. Core capital includes the actual value of the charter capital of non-IFRS applying commercial banks plus certain reserve funds, plus certain other debt assets, minus certain deductions. The determination of core capital is carried out according to the current regulations of the Governor of the State Bank of Vietnam (hereinafter referred to as the Governor of the State Bank) regarding the capital adequacy ratio for commercial banks and foreign bank branches;
27. The following terms are defined in Article 4 of the Law on Credit Institutions: Collection and payment guarantee, bank guarantee, discounting, lending, provision of payment services through accounts, banking activities, foreign exchange brokerage, letter of credit, statutory capital.
Article 4. Presence of Investors
1. An investor as prescribed in Clause 4, Article 10, Resolution No. 222/2025/QH15 shall only establish one presence at the Financial Center in one of the forms prescribed in Clause 1, Article 17, Resolution No. 222/2025/QH15.
2. Member banks shall not expand their network of operations; they shall not relocate their headquarters outside the geographical boundaries of the Financial Center.
Article 5. Responsibilities of Member Banks in Protecting Customer Rights
Facilitate customers in depositing and withdrawing money, ensure timely and full payment of principal and interest on deposits according to agreements in compliance with the law and without participating in deposit insurance under the Law on Deposit Insurance in Vietnam. Other responsibilities of member banks in protecting customer rights shall be carried out in accordance with Article 10 of the Law on Credit Organizations.
Article 6. Legal Representative of Commercial Bank Members
1. The legal representative of commercial bank members is stipulated in the Charter and must be the Chairman of the Board of Members or the General Director (Director).
2. The legal representative of commercial bank members must reside in Vietnam; in case of absence from Vietnam, they must authorize in writing another person who is a manager or operator of the commercial bank member residing in Vietnam to perform the rights and obligations of the legal representative of the commercial bank member.
3. The commercial bank member must notify the Management Agency in the city about the legal representative of the commercial bank member within ten days from the date of appointment to the position of legal representative as stipulated in the Charter of the commercial bank member or upon change of the legal representative or change of information about the legal representative. The Management Agency in the city updates this information in the Registration and Recognition System for Members.
Article 7. Provision of Information
1. Member banks must provide complete information to customers, guide and advise customers so that they understand and take responsibility for potential risks arising from the ability of the member bank to pay the customer's deposit during the entire deposit period. The provision of information, guidance, and advice to customers must be regulated in the internal regulations of the member bank.
2. Member banks have the responsibility to report to the State Bank information related to customers in credit-granting activities and to receive customer information from the State Bank concerning customers having credit relationships with Vietnamese credit organizations and banks that are members, in accordance with current regulations of the Governor of the State Bank regarding the State Bank's credit information activities.
3. Member banks have the responsibility to report on business activities as prescribed in Article 98 of this Decree.
4. Other provisions regarding the provision of information shall be implemented in accordance with Clause 1, Clause 3, and Clause 4 of Article 12 of the Law on Credit Organizations.
Article 8. Application of Law at the Financial Center
1. In cases where this Decree does not provide for regulation, members shall comply with legal documents governing the Financial Center, current laws of Vietnam applicable to individuals and organizations on Vietnamese territory that are not members, and related laws.
2. Member banks shall comply with the provisions of the Law on Credit Organizations regarding the following contents:
a) Applying commercial customs;
b) Using terms related to banking activities;
c) Rights to autonomous business operations;
d) Banking operation rights;
đ) Cooperation and competition in banking activities;
e) Information security;
g) Data safety and ensuring continuous operation;
h) Prohibited conduct;
i) Credit file retention;
k) Electronic transactions in banking activities;
l) Requirements for ensuring the safety of electronic transactions in banking activities.
3. The application of the Governor's regulations of the State Bank of Vietnam in this Decree shall be implemented according to the following principles:
a) Not applying the Governor's regulations of the State Bank of Vietnam concerning reporting responsibilities; state management responsibilities of relevant agencies and units; regulations on foreign exchange activity licensing;
b) The process of handling license applications and the competent authority issuing licenses shall be carried out in accordance with the provisions of this Decree.
Chapter II
LICENSE OF MEMBER BANKS
Article 9. Issuance, Amendment, Supplement, and Revocation of Licenses
1. The administrative body in the city shall perform the following:
a) Issuing the establishment and operation license of member banks;
b) Amending and supplementing the establishment and operation license of member banks;
c) Revoking the establishment and operation license of member banks.
2. The establishment and operation license of member banks is simultaneously a Certificate of Membership Registration.
3. The administrative body shall guide the Model of the Establishment and Operation License of member banks, which must include at least the following contents: name of the member bank, name of the owner or parent bank, address of the headquarters, duration of operation, charter capital, content of the member bank’s operations.
The validity period of the license is the duration of operation of the member bank, with a maximum of ninety-nine years.
4. The administrative body in the city updates the Registration and Recognition System of Members with information on issuance, amendment, supplementation, revocation of licenses; information on the appointment, change of legal representative, change of information of the legal representative of member commercial banks; appointment, change of information of the General Manager (Director) of branches of foreign member banks; information on owners or parent banks, changes in ownership of member commercial banks; other related information of member banks.
Article 10. Statutory Capital
1. Member banks shall comply with the legal provisions on the statutory capital of credit institutions and branches of foreign banks and must maintain the actual value of the charter capital at a minimum level equivalent to the statutory capital.
2. The actual value of the charter capital is determined by adding the charter capital to the cumulative undistributed profits and subtracting the cumulative unrecovered losses reflected in the accounting books.
3. Member banks shall monitor and evaluate the actual value of the charter capital and periodically report to the supervisory body as follows:
a) For member banks whose financial year-end reports end on December 31:
By no later than July 15 and January 15 each year, report the actual value of the charter capital at the end of June 30 and December 31;
b) For member banks whose financial year-end reports end on a date other than December 31:
By no later than the first day of the month of the first quarter accounting period and the third quarter accounting period, report the actual value of the charter capital at the end of the immediately preceding quarter accounting period;
c) If the actual value of the charter capital reported under points a and b of this clause does not include independent auditor adjustments (if any), member banks shall supplement it in the next quarterly financial report.
Article 11. Handling when the actual value of the charter capital is lower than the statutory capital
1. When the actual value of the charter capital of a member bank falls below the statutory capital, the member bank must:
a) Report to the owner and the parent bank when the actual value of the charter capital of the member bank falls below the statutory capital; develop and implement on its own a plan to handle the situation to ensure that the actual value of the charter capital is at least equivalent to the statutory capital;
b) Within a maximum period of 30 days from the time the actual value of the charter capital falls below the statutory capital, submit a written report on the handling plan and commitment to implement the plan directly or through postal service to the Supervisory Authority, which must include at least the following contents:
b.1) The actual value of the charter capital as stipulated in Article 10 of this Decree;
b.2) Reasons for the actual value of the charter capital falling below the statutory capital;
b.3) Measures to ensure that the actual value of the charter capital does not fall below the statutory capital and maintain safety ratios in operations;
c) Organize the implementation of measures to handle the situation according to the requirements of the Supervisory Authority (if any).
2. Measures applied by the Supervisory Authority to handle situations where the charter capital of a member bank falls below the statutory capital:
a) Evaluate, inspect, audit, or require the member bank to hire an independent auditing organization to audit the financial statements of the member bank in accordance with current regulations of the Governor of the State Bank regarding independent auditing. The Supervisory Authority will base its assessment of the actual value of the charter capital in the handling plan reported by the member bank under Clause 1 of this Article on the audited financial statements;
b) Require the member bank to amend, supplement, and perfect the handling measures when the actual value of the charter capital is lower than the statutory capital as stated in the handling plan under Clause 1 of this Article if necessary;
c) Monitor and inspect the organization and implementation of measures in the handling plan and measures required by the Supervisory Authority.
3. Responsibilities of the owner and the parent bank when the actual value of the charter capital of the member bank falls below the statutory capital:
a) The owner and the parent bank must support the member bank to rectify the situation where the actual value of the charter capital falls below the statutory capital within six months from the date such situation occurs;
b) If the member bank fails to rectify the situation where the actual value of the charter capital falls below the statutory capital within the support period specified in point a of this clause, the member bank must be dissolved, cease operations, and liquidate assets in accordance with this Decree.
Article 12. Conditions for Issuing a License to Establish a 100% Domestic Capital Commercial Bank
1. Have a minimum charter capital equivalent to the statutory capital.
2. The owner is a domestic commercial bank meeting the following conditions:
a) At the end of December of the year immediately preceding the year of application, the actual value of the charter capital must be at least twice the statutory capital. The actual value of the charter capital is determined based on the audited standalone financial statements of the year immediately preceding the year of application;
b) Comply with restrictions to ensure safety in the operation of credit organizations as stipulated in Chapter VII of the Law on Credit Organizations and current guidelines issued by the Governor of the State Bank regarding these provisions continuously for twelve months prior to the month of application;
c) Properly and fully comply with legal regulations on asset classification, provisioning rates, provisioning methods, and the use of provisions to address risks in operations in the quarter immediately preceding the application date;
d) Have a non-performing loan ratio as stipulated in current regulations of the Governor of the State Bank regarding asset classification in the operations of commercial banks, non-bank credit institutions, and foreign bank branches at the end of December of the year immediately preceding the year of application and at the end of the month immediately preceding the application date not exceeding 3% or another lower ratio as decided by the Governor of the State Bank during each period;
đ) At the application date, the Board of Directors, Board of Members, and Audit Committee have the number and structure as prescribed by law, without being missing a General Director;
e) At the application date, the owner has an internal audit department and an internal control system ensuring compliance with Article 57, Article 58 of the Law on Credit Organizations and related legal regulations;
g) Not subject to administrative penalties for organizational, management, and operational violations (except for internal regulation violations); credit provision; safety ratio; asset classification, off-balance sheet commitments, provisioning, and use of provisions to address risks; foreign exchange activities as stipulated in the Law on Administrative Penalties in the Field of Currency and Banking within twelve months prior to the application date;
h) Not subject to measures to restrict expansion of the network;
i) Ranked A, B based on the latest ranking results announced by the State Bank at the application date and approval date;
k) Total assets ranked among large commercial banks as stipulated in current regulations of the Governor of the State Bank on ranking credit organizations and foreign bank branches;
l) Engage in profitable business operations as evidenced by consolidated and standalone audited financial reports for five consecutive years immediately preceding the year of application.
3. Managers, operators, and members of the Audit Committee meet the criteria and conditions stipulated in Article 30 of this Decree.
4. Bylaws consistent with this Decree and other relevant laws.
5. The project for establishment and a feasible business plan must ensure that they do not affect the safety and stability of the credit organization system, nor create monopolies or restrict competition or unfair competition within the credit organization system. The owner must provide a written commitment regarding the above contents when submitting the project for establishment and the business plan to the Management Agency in the city.
6. The owner must provide a written commitment to support the domestic commercial bank with 100% domestic capital in terms of finance, technology, management, operation, and activities; ensuring that the domestic commercial bank with 100% domestic capital maintains the actual value of its charter capital at no less than the statutory capital level and complies with the regulations on restrictions to ensure safety in operations as stipulated in this Decree.
Article 13. Conditions for Issuing a License to Establish a Commercial Bank with 100% Foreign Capital
1. Have a minimum charter capital equivalent to the statutory capital.
2. The owner must be a foreign bank operating according to the laws of the country where its headquarters is located and must meet the following conditions:
a) Not having seriously violated banking activity regulations and other relevant laws of the country where the owner's headquarters is located for five consecutive years immediately preceding the year of submitting the application for the license and up to the time of considering the issuance of the license;
b) Having international operational experience and being rated by international credit rating organizations as follows:
Credit rating from AA- or higher (according to Standard & Poor’s or Fitch Ratings) or from Aa3 or higher (according to Moody’s) as of the nearest date from the date of submitting the application for the license. In cases where the international credit rating organization has a different credit rating scale from that of Standard & Poor’s or Moody’s or Fitch Ratings, the credit rating shall not be lower than the corresponding rating of Standard & Poor’s or Moody’s or Fitch Ratings.
The outlook for the credit rating specified in this point must be stable or better;
c) Operating profitably for five consecutive years immediately preceding the year of submitting the application for the license and up to the time of considering the issuance of the license;
d) Having total assets of at least $10 billion at the end of the year immediately preceding the year of submitting the application for the license;
đ) Being evaluated by the competent authority of the country where the owner's headquarters is located as ensuring the capital adequacy ratio, other safety ratios, full compliance with risk management regulations, and adequate provisioning as required by the laws of the country where the owner's headquarters is located in the year immediately preceding the year of submitting the application for the license and up to the time of considering the issuance of the license.
3. Managers, operators, and members of the Audit Committee meet the criteria and conditions stipulated in Article 30 of this Decree.
4. Bylaws consistent with this Decree and other relevant laws.
5. The project for establishment and a feasible business plan must ensure that they do not affect the safety and stability of the credit organization system, nor create monopolies or restrict competition or unfair competition within the credit organization system. The owner must provide a written commitment regarding the above contents when submitting the project for establishment and the business plan to the Management Agency in the city.
6. The planned activities of the member commercial bank must be activities that the owner is currently permitted to carry out in the country where the owner's headquarters is located.
7. The competent authority of the country where the owner's headquarters is located must have signed an agreement with the State Bank or the Management Agency or the Supervisory Agency regarding inspections, supervision of banking activities, exchange of supervisory information on banking safety, and provide a written commitment to conduct consolidated supervision according to international practices for the owner's activities.
8. The owner must provide a written commitment to support the foreign commercial bank with 100% foreign capital in terms of finance, technology, management, operation, and activities; ensuring that the foreign commercial bank with 100% foreign capital maintains the actual value of its charter capital at no less than the statutory capital level and complies with the regulations on restrictions to ensure safety in operations as stipulated in this Decree.
Article 14. Conditions for Issuing a License to Establish a Branch of a Foreign Bank Member
1. Have a minimum charter capital equivalent to the statutory capital.
2. The parent bank must be a foreign bank operating under the banking laws of the country where its headquarters is located, and must meet the following conditions:
a) Not seriously violating banking operation regulations and other relevant laws of the country where the parent bank's headquarters is located for five consecutive years immediately preceding the year of submitting the application for the license and up to the time of considering the issuance of the license;
b) Having international operational experience and being rated by international credit rating organizations as follows:
Credit rating from AA- or higher (according to Standard & Poor’s or Fitch Ratings) or from Aa3 or higher (according to Moody’s) as of the nearest date from the date of submitting the application for the license. In cases where the international credit rating organization has a different credit rating scale from that of Standard & Poor’s or Moody’s or Fitch Ratings, the credit rating shall not be lower than the corresponding rating of Standard & Poor’s or Moody’s or Fitch Ratings.
The outlook for the credit rating specified in this point must be stable or better;
c) Being evaluated by the competent authority of the country where the parent bank's headquarters is located as ensuring capital adequacy ratios, other safety ratios, fully complying with risk management regulations, and adequately provisioning according to the regulations of the country where the parent bank's headquarters is located in the year immediately preceding the year of submitting the application for the license and up to the time of considering the issuance of the license;
d) Operating profitably for five consecutive years immediately preceding the year of submitting the application for the license and up to the time of considering the issuance of the license;
đ) Having total assets of at least equivalent to 20 billion US dollars at the end of the year immediately preceding the year of submitting the application for the license.
3. The General Director (Director) must meet the standards and conditions stipulated in Article 43 of this Decree.
4. The proposal for establishment, feasible business plan, ensuring no impact on the safety and stability of the credit organization system, not creating monopoly or restricting competition or unfair competition in the credit organization system. The parent bank must provide a written commitment regarding the above contents when submitting the proposal for establishment and business plan to the Regulatory Authority in the city.
5. The planned activities to be carried out by the branch of the foreign bank member must be activities that the parent bank is currently permitted to carry out in the country where the parent bank's headquarters is located.
6. The competent authority of the country where the parent bank's headquarters is located has signed an agreement with the State Bank or the Regulatory Authority or the Supervisory Authority regarding inspection and supervision of banking operations, exchange of supervisory information on banking safety, and provided a written commitment to conduct consolidated supervision in accordance with international practices for the parent bank's operations.
7. The parent bank must provide a written guarantee to assume responsibility for all obligations and commitments of the branch of the foreign bank member; ensure the actual value of the charter capital does not fall below the statutory level, and comply with restrictions to ensure safety in operations as prescribed in this Decree.
Article 15. Documents and Procedures for Issuing a License
The initial issuance procedures for the License shall be carried out in accordance with the guidance of the Regulatory Authority.
Article 16. Time Limit for Issuing a License
1. Within 120 days from the date of receiving complete valid documents, the Regulatory Authority in the city shall issue the License or refuse to issue the License for establishing and operating a member bank.
2. In case of refusal to issue the License, the Regulatory Authority in the city must notify in writing and specify the reasons.
Article 17. Fees for Issuing a License
Payment of fees related to licensing shall be implemented in accordance with Clause 1 of Article 29 of Resolution No. 222/2025/QH15.
Article 18. Announcing information about the opening of operations
Member banks must announce on at least one financial center communication medium and one printed newspaper for three consecutive issues, and on one Vietnamese online newspaper at least thirty days before the expected date of opening operations, the following information:
1. The name and headquarters address of the member bank.
2. The number and date of issuance of the License.
3. The charter capital of the member bank.
4. The legal representative of the member commercial bank, the General Director (Director) of the member foreign bank branch.
5. The owner of the member commercial bank, the parent bank of the member foreign bank branch.
6. The expected date of opening operations.
Article 19. Conditions for opening operations
1. A member bank granted a License may only commence operations from the date of opening operations.
2. To open operations, a member bank granted a License must meet the following conditions:
a) Has submitted to the Regulatory Authority in the city the Charter of the member commercial bank approved by the Board of Members.
b) Has sufficient charter capital. The charter capital must be fully deposited into a non-interest-bearing frozen account opened at the State Bank at least thirty days before the expected date of opening operations. The charter capital will be unfrozen when the member bank has opened operations.
c) Has a management structure, internal control system, and internal audit system appropriate to the type of operation as prescribed in this Decree and other relevant laws.
d) Has an information technology system that meets management requirements and the scale of operations.
đ) Has internal regulations regarding the organization and operation of the Board of Members, the Supervisory Board, the General Director (Director), specialized departments; internal regulations on risk management.
e) Has a headquarters that facilitates transactions with customers.
g) Has announced information about the opening of operations as stipulated in Article 18 of this Decree.
3. A member bank granted a License must conduct the opening of operations within twelve months from the date of issuance of the License, except in cases of force majeure; if it fails to open operations beyond this period, the License becomes invalid. The Regulatory Authority in the city must announce on at least one financial center communication medium about the expiration of the License.
4. A member bank granted a License must notify the Regulatory Authority in the city of the conditions for opening operations as stipulated in Clause 2 of this Article at least fifteen days before the expected date of opening operations. The Regulatory Authority in the city will suspend the opening of operations if the member bank does not meet the conditions stipulated in Clause 2 of this Article.
Article 20. Use of the License
1. A member bank granted a License must use the correct name and operate according to the content specified in the License.
2. A member bank granted a License may not erase, alter, buy, sell, transfer, lease, or lend the License.
Article 21. Changes that Must Be Approved by the Regulatory Authority in the City
1. A member bank must obtain written approval from the Regulatory Authority in the city before implementing procedures to change any of the following contents:
a) The name and location of the headquarters of the member bank.
b) Authorized capital amount;
c) The content and duration of operations.
d) Suspension of transactions for five working days or more, except in cases of suspension due to force majeure.
đ) Purchase, sale, or transfer of the entire shareholding of the owner at the member commercial bank. The new owner of the member commercial bank must meet the conditions for owners as stipulated in Clause 2 of Article 12 or Clause 2 of Article 13 of this Decree.
2. The documents and procedures for approving changes as stipulated in Clause 1 of this Article and the amendment and supplementation of the License shall be carried out in accordance with the guidance of the Regulatory Authority.
3. When changes as stipulated in Clause 1 of this Article are approved, the member bank must implement the following procedures:
a) Amend and supplement the Charter in accordance with the approved changes stipulated in Points a, b, c, and đ of Clause 1 of this Article for the case of the member commercial bank.
b) Announce the changes stipulated in Points a, b, c, and đ of Clause 1 of this Article within seven working days from the date of approval by the Regulatory Authority in the city on at least one financial center communication medium and one printed newspaper for three consecutive issues and on one Vietnamese online newspaper.
Chapter III
ORGANIZATION, MANAGEMENT, AND OPERATIONS OF THE MEMBER BANK
Section 1. MEMBER COMMERCIAL BANKS
Article 22. Management Structure of Member Commercial Banks
The management structure of member commercial banks includes the Board of Members, Supervisory Board, General Director (Director).
Article 23. Rights and Obligations of the Owner of Member Commercial Banks
1. The owner has the following rights:
a) To decide on the number of members of the Board of Members and record it in the Charter of the member commercial bank, but not less than five members;
b) To appoint a proxy representative with a term not exceeding five years to exercise the rights and obligations of the owner as stipulated in this Decree. The proxy representative must meet all the criteria and conditions specified in Article 30 of this Decree;
c) To appoint with a term not exceeding five years, dismiss, remove the Chairman, other members of the Board of Members; Head, other members of the Supervisory Board; General Director (Director), Deputy General Director (Deputy Director), Chief Accountant;
d) To decide on changes to the charter capital of the member commercial bank;
đ) To approve the annual financial report; to decide on the use of profits after fulfilling tax obligations and other financial obligations of the member commercial bank;
e) To decide on dissolution, request the Court to initiate bankruptcy proceedings for the member commercial bank;
g) To decide on the remuneration, salary, bonuses, and other benefits of the Chairman, other members of the Board of Members, Head, other members of the Supervisory Board, General Director (Director).
2. The owner has the following obligations:
a) To contribute capital fully and on time as committed;
b) Not to transfer part of the contributed capital at the member commercial bank;
c) To comply with the Charter of the member commercial bank;
d) To determine and separate the owner's assets from the assets of the member commercial bank;
đ) To comply with the law in the purchase, sale, borrowing, lending, leasing, renting, and other contracts and transactions between the member commercial bank and the owner;
e) Other obligations as prescribed by this Decree and the Charter of the member commercial bank.
Article 24. Rights and Obligations of Managers and Operators of Member Commercial Banks
1. To comply with the law, decisions of the owner, and the Charter of the member commercial bank.
2. To perform assigned rights and obligations honestly, carefully, in the interest of the member commercial bank and its owner.
3. Not to use information, trade secrets, business opportunities of the member commercial bank, abuse position, duties, and assets of the member commercial bank to benefit personally or serve the interests of other organizations or individuals that harm the interests of the member commercial bank and its owner.
4. To be responsible for complying with restrictions to ensure safety in banking operations of the member commercial bank as stipulated in this Decree.
5. To ensure the storage of records of the member commercial bank to provide data serving management, operation, supervision of all activities of the member commercial bank, inspection, audit, and supervision activities of the supervisory authority.
6. To understand various risks in the operations of the member commercial bank.
7. To promptly, fully, and accurately inform the member commercial bank about their rights in other organizations, transactions with other organizations or individuals that may conflict with the interests of the member commercial bank and only participate in such transactions upon approval by the Board of Members.
8. Not to create conditions for themselves or related parties to borrow funds, use other banking services of the member commercial bank under more favorable terms than those generally applicable in the member commercial bank.
9. Within the scope of assigned rights and obligations, to be responsible for implementing written requests of the city management agency, supervisory agency regarding matters within their jurisdiction. To implement recommendations, warnings on risk and operational safety, warnings on potential violations of monetary and banking laws; conclusions, recommendations, and decisions on inspection and audit.
10. Other rights and obligations as prescribed by law and the Charter of the member commercial bank.
Article 25. Board of Members and Structure of the Board of Members of Member Commercial Banks
1. The Board of Members is the governing body with full authority to act on behalf of the member commercial bank to decide and perform the rights and obligations of the member commercial bank, except for matters within the authority of the owner.
2. The Board of Members consists of all authorized representatives of the owner, acting on behalf of the owner to organize the performance of the owner's rights and obligations; acting on behalf of the member commercial bank to perform the member commercial bank's rights and obligations; being responsible to the owner for the performance of their duties and powers according to this Decree and the Charter of the member commercial bank.
3. In cases where the number of members of the Board of Members is less than the minimum number prescribed in point a, Clause 1, Article 23 of this Decree, within ninety days from the date when the minimum number is not met, the member commercial bank must supplement to ensure the minimum number of members.
4. The Board of Members has a support department. The functions and responsibilities of the support department are defined by the Board of Members.
5. The term of office of the Board of Members does not exceed five years. The term of office of the Chairman of the Board of Members and other members of the Board of Members is stipulated in the Charter of the member commercial bank but does not exceed five years. The term of office of a Board of Members member who is supplemented or replaced is the remaining period of the term. The Board of Members of the just-ended term continues to operate until the Board of Members of the new term takes over the work.
6. The Board of Members uses the seal of the member commercial bank to perform its duties and powers.
7. The Board of Members must establish Committees to assist the Board of Members in performing its duties and powers, including at least the Risk Management Committee and the Human Resources Committee. The Board of Members decides the duties and powers of the Committees in accordance with the provisions of Article 26 of this Decree.
8. The duties and powers of the Board of Members; the rights and obligations of the Chairman and members of the Board of Members are regulated in the Charter of the member commercial bank in accordance with the provisions of this Decree and Articles 74, 75, and 76 of the Law on Credit Organizations.
Article 26. Organizational Structure and Rules of Operation of the Risk Management Committee and the Human Resources Committee of the Member Commercial Bank
1. The Risk Management Committee and the Human Resources Committee must have a minimum of three members, including the Head of the Committee who is a member of the Board of Members and other members appointed, dismissed by the Board of Members according to internal regulations and the Charter of the member commercial bank, ensuring that each Committee has at least more than half of the total number of voting members are non-executive members. A member of the Board of Members can only be the Head of one Committee.
2. When establishing the Committees, the Board of Members must issue rules of operation and functions and responsibilities of the Committees according to the current regulations of the Governor of the State Bank. Within ten days from the date of issuance, the member commercial bank must send these regulations to the Regulatory Authority in the city and the Supervisory Authority for reporting.
Article 27. Supervisory Board of Member Commercial Banks
1. The Supervisory Board shall oversee and evaluate the compliance with laws, internal regulations, the Charter of member commercial banks, and resolutions and decisions of shareholders and the Board of Members.
2. The Supervisory Board of a member commercial bank must have at least three members, the number of which is stipulated in the Charter of the member commercial bank.
3. The Supervisory Board has an internal audit department and a support unit to perform its tasks.
4. The term of office of the Supervisory Board does not exceed five years. The term of office of the Chairman and other members of the Supervisory Board is specified in the Charter of the member commercial bank but does not exceed five years. The term of office of newly appointed or replaced members is the remaining period of the term of the Supervisory Board. The Supervisory Board of the previous term continues to operate until the new term takes over.
5. In case the number of members of the Supervisory Board is less than the minimum number prescribed in Clause 2 of this Article, within ninety days from the date when the minimum number is not met, the member commercial bank must supplement to ensure the minimum number of members.
6. The duties and powers of the Supervisory Board; the rights and obligations of the Chairman and members of the Supervisory Board are stipulated in the Charter of the member commercial bank in accordance with the provisions of this Decree and Articles 52, 53, and 54 of the Law on Credit Organizations. For the provision in Clause 13 of Article 52 of the Law on Credit Organizations, the Supervisory Board promptly reports to the Management Agency in the city and the Supervisory Agency.
Article 28. General Director (Director) of Member Commercial Banks
1. Shareholders appoint the General Director (Director) for a term not exceeding five years.
2. The General Director (Director) is the highest executive officer of the member commercial bank, accountable to the Board of Members and shareholders for the performance of his/her rights and obligations.
3. In case of vacancy of the General Director (Director), the shareholders of the member commercial bank must appoint a new General Director (Director) within ninety days from the date of vacancy.
4. The rights and obligations of the General Director (Director) are stipulated in the Charter of the member commercial bank in accordance with the provisions of this Decree and Article 56 of the Law on Credit Organizations.
Article 29. Charter of Member Commercial Banks
1. The Charter of member commercial banks must include the following main contents:
a) Name and location of headquarters;
b) Scope of activities;
c) Term of operation;
d) Registered capital, methods of contribution, increase, and decrease of registered capital;
đ) Duties and powers of the Board of Members, Supervisory Board; rights and obligations of the Chairman, members of the Board of Members, Chairman, members of the Supervisory Board, and the General Director (Director);
e) Procedures for appointment and removal of members of the Board of Members, members of the Supervisory Board, and the General Director (Director);
g) Name, address of headquarters, nationality of shareholders;
h) Rights and obligations of shareholders;
i) Legal representative;
k) Financial, accounting, control, and internal audit principles;
l) Procedures for passing decisions of the member commercial bank; principles for resolving internal disputes;
m) Basis and methods for determining remuneration, salary, and bonuses for managers, executives, and members of the Supervisory Board;
n) Circumstances and procedures for dissolution;
o) Procedures for amending and supplementing the Charter.
2. The Charter and amendments or supplements to the Charter of member commercial banks must be submitted to the Management Agency in the city and the Supervisory Agency within fifteen days from the date of approval.
Article 30. Standards and conditions for managers, executives, and certain other positions of member commercial banks
1. Members of the Board of Members must meet the following standards and conditions:
a) Not falling under the cases prohibited from assuming office as stipulated in Clause 1, Article 33 of this Decree;
b) Possessing professional ethics as prescribed in Article 31 of this Decree;
c) Having a bachelor's degree or higher;
d) Meeting one of the following conditions: having at least three years of experience as a manager or executive of a credit organization that is not a member or a member commercial bank; having at least five years of experience as a manager of a business operating in the financial, accounting, auditing industry or another business with minimum capital equal to the statutory capital requirement for commercial banks; having at least five years of direct work experience in the operational departments of Vietnamese credit organizations or member banks; having at least five years of direct work experience in the financial, banking, accounting, or auditing sectors.
2. Members of the Supervisory Board must meet the following standards and conditions:
a) The standards and conditions specified in points a and b of Clause 1 of this Article;
b) Having a bachelor's degree or higher in finance, banking, economics, business administration, law, accounting, or auditing;
c) Having at least three years of direct work experience in the financial, banking, accounting, or auditing sectors;
d) Not being related to the manager of the member commercial bank;
đ) The Chairman of the Supervisory Board must reside in Vietnam during their term of office.
3. General Directors (Directors) must meet the following standards and conditions:
a) The standards and conditions specified in points a and b of Clause 1 of this Article;
b) Having a bachelor's degree or higher in finance, banking, economics, business administration, law, accounting, or auditing;
c) Meeting one of the following conditions: having at least five years of experience as an executive of a credit organization that is not a member or a member commercial bank; having at least five years of experience as a General Director (Director) or Deputy General Director (Deputy Director) of a business with minimum capital equal to the statutory capital requirement for commercial banks and having at least five years of direct work experience in the financial, banking, accounting, or auditing sectors; having at least ten years of direct work experience in the financial, banking, accounting, or auditing sectors;
d) Residing in Vietnam during their term of office.
4. Deputy General Directors (Deputy Directors), Chief Accountants, and equivalent positions as stipulated in the Charter of member commercial banks must meet the following standards and conditions:
a) Not falling under the cases prohibited from assuming office as stipulated in Clause 2, Article 33 of this Decree; for Deputy General Directors (Deputy Directors), they must not fall under the cases prohibited from assuming office as stipulated in Clause 1, Article 33 of this Decree;
b) Meeting one of the following conditions: having a bachelor's degree or higher in finance, banking, economics, business administration, law, accounting, auditing, or another specialized field relevant to the position to be assumed; having a bachelor's degree or higher in another field and having at least three years of direct work experience in the financial, banking sector or in the specialized field relevant to the position to be assumed;
c) Residing in Vietnam during their term of office;
d) Chief Accountants must also meet the standards and conditions prescribed by the law on accounting.
5. Standards and conditions for individuals proposed to be appointed as members of the Board of Members; members of the Supervisory Board; General Directors (Directors); Deputy General Directors (Deputy Directors), Chief Accountants, and equivalent positions as stipulated in the Charter of member commercial banks who have not worked in Vietnam include the provisions regarding cases prohibited from assuming office as stipulated in points a, b, c, d, e of Clause 1 and Clause 2, Article 33 of this Decree, except for the prohibition on assuming office.
Article 31. On Professional Ethics Evaluation
1. The following persons shall be evaluated as not ensuring professional ethics:
a) A person who bears responsibility according to the inspection and audit conclusion leading to a Vietnamese credit organization or member bank being administratively sanctioned at the highest fine level for violations concerning licensing, governance, management, shareholding, shares, capital contribution, purchasing shares, granting credit, purchasing corporate bonds, safety ratios as prescribed by laws on administrative sanctions in the monetary and banking sector;
b) A person who bears responsibility according to the inspection and audit conclusion leading to a Vietnamese credit organization or member bank being administratively sanctioned in the monetary and banking sector within six months from the date of completion of the administrative sanction decision;
c) A person who has been administratively sanctioned for violations in the monetary and banking sector within one year from the date of completion of the administrative sanction decision;
d) A person who bears individual responsibility for violations concerning licensing, governance, management, shareholding, shares, capital contribution, purchasing shares, granting credit, purchasing corporate bonds, safety ratios, asset classification, off-balance sheet commitments, provision establishment and usage for risk handling as prescribed by laws mentioned in the inspection, audit conclusions of competent state agencies where recommendations related to these violations have not yet been assessed by competent state agencies as having completed rectification and correction;
2. For those persons not covered under Clause 1 of this Article, during their employment at a Vietnamese credit organization or member bank, they must comply with the rules and ethical standards established by the Vietnamese credit organization or member bank itself pursuant to the State Bank's internal control system regulations or the policies of the owner or parent bank of the member bank, except in cases where the first license issuance has not yet established such rules and standards;
3. For persons with work experience at foreign credit organizations and owners of member commercial banks, and these persons must commit to complying with the rules and ethical standards established by the foreign credit organization itself (if any);
4. The evaluation of professional ethics for persons proposed to be appointed as members of the Board of Directors, members of the Supervisory Board, General Director (Director) without having worked in Vietnam does not include the provisions of Clause 1 and Clause 2 of this Article.
Article 32. Approval of Lists of Persons Proposed for Appointment as Members of the Board of Directors, Members of the Supervisory Board, General Director (Director) of Member Commercial Banks
1. The list of persons proposed for appointment as members of the Board of Directors, members of the Supervisory Board, General Director (Director) of member commercial banks must be approved in writing by the Management Agency in the city before appointing these positions. Those appointed as members of the Board of Directors, members of the Supervisory Board, General Director (Director) of member commercial banks must belong to the list already approved by the Management Agency in the city;
2. The procedures and documents for approving the list of persons proposed for appointment to the positions specified in Clause 1 of this Article shall be carried out in accordance with the guidance of the Management Agency;
3. Member commercial banks must notify the Management Agency in the city and the Supervisory Agency of the list of persons appointed as members of the Board of Directors, members of the Supervisory Board, General Director (Director) within ten days from the date of appointment.
Article 33. Situations where individuals are not eligible to hold positions
1. The following persons shall not be members of the Board of Directors, members of the Supervisory Board, General Director (Director), Deputy General Director (Deputy Director), and equivalent positions as stipulated in the Charter of member commercial banks:
a) Persons falling under the category specified in Clause 2 of this Article;
b) Persons prohibited from participating in management and operation of enterprises and cooperatives according to laws on cadres, civil servants, public officials, and anti-corruption laws;
c) Persons who were once owners of private enterprises, general partners of limited liability companies, General Directors (Directors), members of the Board of Management, members of the Board of Directors, members of the Board of Members, supervisors, members of the Supervisory Board of enterprises, members of the Board of Management and General Directors (Directors) of cooperatives at the time when those enterprises or cooperatives were declared bankrupt, except in cases where they were appointed, designated, or appointed to manage, operate, or supervise non-member credit organizations or member commercial banks that were declared bankrupt upon request for tasks;
d) Persons who were previously suspended from the position of Chairman, other members of the Board of Management; Chairman, other members of the Board of Members; Head, other members of the Supervisory Board; General Director (Director) of non-member credit organizations or member commercial banks according to Article 37 of this Decree and Article 47 of the Law on Credit Institutions, or were determined by competent authorities to have violated regulations leading to the revocation of the license of non-member credit organizations or member commercial banks;
e) Relatives of members of the Board of Members, General Directors (Directors) of member commercial banks, except in cases provided for in point b, Clause 1, Article 23 of this Decree;
f) Persons responsible for administrative penalties resulting from audit conclusions leading to Vietnamese credit institutions or member banks being subject to the highest fine range for violations concerning licenses, governance, operations, shares, share purchases, capital contributions, lending, corporate bond purchases, safety ratios as prescribed by laws on administrative violations in the monetary and banking sector;
2. The following persons shall not be Chief Accountants of member banks:
a) Minors; persons with difficulties in understanding and controlling their behavior; persons restricted or deprived of civil capacity;
b) Persons currently under criminal prosecution, serving a prison sentence; serving administrative measures at compulsory drug rehabilitation centers or compulsory education centers; prohibited by the Court from holding positions, practicing professions, or performing certain jobs;
c) Persons previously convicted of serious crimes or more severe offenses;
d) Persons previously convicted of property-related crimes without having had their criminal records expunged;
e) Cadres, civil servants, public officials, managers at the department level or higher in enterprises where the State holds at least 50% of the charter capital;
f) Officers, non-commissioned officers, professional soldiers, workers, defense officials in agencies and units under the Vietnam People's Army; officers, non-commissioned officers, professional workers in agencies and units under the Vietnam People's Public Security;
g) Other situations as stipulated in the Charter of member banks;
3. Spouses, parents, children, brothers, sisters, and relatives of members of the Board of Members, General Directors (Directors) of member banks and spouses of these individuals shall not be Chief Accountants or financial officers of such member banks;
4. Situations where individuals are not eligible to hold positions for those proposed to be appointed as members of the Board of Members; members of the Supervisory Board; General Directors (Directors); Deputy General Directors (Deputy Directors), Chief Accountants, and equivalent positions as stipulated in the Charter of member commercial banks who have not worked in Vietnam include the provisions in points a, b, c, d, and e of Clause 1 and Clause 2 of this Article.
Article 34. Situations where individuals cannot concurrently hold positions
1. The Chairman of the Board of Members of a member commercial bank shall not concurrently be the person in charge, a member of the Supervisory Board of that member commercial bank and other non-member credit institutions, another member commercial bank, or a manager of another enterprise in Vietnam.
2. A member of the Board of Members of a member commercial bank shall not concurrently hold any of the following positions:
a) The person in charge of that member commercial bank, except if they are the General Director (Director) of that member commercial bank;
b) Manager or person in charge of other non-member credit institutions, another member commercial bank, or another enterprise in Vietnam, except if they are the manager or person in charge of the owner of that member commercial bank;
c) Auditor or member of the Supervisory Board of other non-member credit institutions, another member commercial bank, or another enterprise in Vietnam.
3. A member of the Supervisory Board of a member commercial bank shall not concurrently hold any of the following positions:
a) Manager or person in charge of that member commercial bank, other non-member credit institutions, another member commercial bank, or another enterprise in Vietnam; or an employee of that member commercial bank;
b) An employee of an enterprise where a member of the Board of Members of the member commercial bank is a member of the Management Board, person in charge, or major shareholder of that enterprise in Vietnam.
4. The General Director (Director), Deputy General Director (Deputy Director), and equivalent positions as stipulated in the Charter of the member commercial bank shall not concurrently be managers, persons in charge, auditors, or members of the Supervisory Board of other non-member credit institutions, another member commercial bank, or another enterprise in Vietnam, except if the Deputy General Director (Deputy Director) and equivalent positions as stipulated in the Charter of the member commercial bank are managers or persons in charge of the owner of that member commercial bank.
Article 35. Situations leading to automatic disqualification
1. The following situations automatically result in the disqualification of membership in the Board of Members, membership in the Supervisory Board, or the position of General Director (Director) of a member commercial bank:
a) Belonging to one of the situations where holding a position is prohibited as specified in Article 33 of this Decree;
b) No longer being the authorized representative of the Owner of the member commercial bank;
c) Being expelled from the territory of the Socialist Republic of Vietnam;
d) When the member commercial bank has its License revoked;
e) When the contract for hiring the General Director (Director) expires;
f) Death.
2. Except in cases where the member commercial bank's License is revoked, the Board of Members of the member commercial bank must submit a report with supporting documentation regarding personnel who have automatically lost their qualifications as stipulated in Clause 1 of this Article to the Regulatory Authority in the city and the Supervisory Authority within five working days from the date such personnel lose their qualifications, and bear responsibility for the accuracy and truthfulness of this report; and carry out procedures to appoint replacements for vacant positions in accordance with the law.
3. After losing their qualifications, members of the Board of Members, members of the Supervisory Board, and the General Director (Director) of a member commercial bank still bear responsibility for decisions made during their tenure.
Article 36. Removal and Dismissal
1. Except for the cases of automatically losing qualifications as provided for in Article 35 of this Decree, the Chairman, other members of the Board of Members; the Head, other members of the Supervisory Board; the General Director (Director) of member commercial banks shall be removed or dismissed when they fall under any of the following circumstances:
a) Removal upon submission of a resignation letter to the Board of Members, the Supervisory Board of the member commercial bank;
b) Dismissal if they fail to participate in the activities of the Board of Members, the Supervisory Board for six consecutive months, except in cases of force majeure;
c) Dismissal if they fail to meet the standards and conditions stipulated in Article 30 of this Decree;
d) Other removals or dismissals according to the Charter of the member commercial bank.
2. After being removed or dismissed, the Chairman, other members of the Board of Members; the Head, other members of the Supervisory Board; the General Director (Director) of the member commercial bank must still bear responsibility for their decisions made during their tenure.
3. Within ten days from the date of passing the decision on removal or dismissal of personnel as prescribed in Clause 1 of this Article, the Board of Members of the member commercial bank must submit a report with relevant documents to the Management Authority in the city and the Supervisory Authority.
Article 37. Suspension of Exercise of Rights and Duties of Members of the Board of Members, Supervisory Board, and Managers of Member Commercial Banks
1. The Management Authority in the city, the Supervisory Authority have the right to suspend the exercise of rights and duties of the Chairman, other members of the Board of Members; the Head, other members of the Supervisory Board; managers of member commercial banks who violate the provisions of Clause 9 of Article 24 of this Decree, the provisions regarding non-concurrent holding of positions as stipulated in Clause 34 of this Decree, or other relevant laws during the performance of assigned rights and duties, or failing to meet the standards and conditions stipulated in Article 30 of this Decree; they may require the owner to remove, dismiss, appoint a replacement, or designate a replacement if deemed necessary.
2. Persons whose exercise of rights and duties is suspended as provided for in Clause 1 of this Article must participate in handling existing issues and violations related to personal responsibility at the request of the Management Authority in the city, the Supervisory Authority, the Board of Members, the Supervisory Board of the member commercial bank.
Article 38. Provision and Public Disclosure of Information
1. Members of the Board of Members, members of the Supervisory Board, the General Director (Director), Deputy General Director (Deputy Director), and equivalent positions as stipulated in the Charter of the member commercial bank must provide the member commercial bank with the following information:
a) Name, business registration code, main office address of other enterprises, economic organizations that they or they and related parties hold shares or stocks of five percent or more of the charter capital, including authorized or entrusted shares or stocks held by other organizations or individuals;
b) Name, business registration code, main office address of other enterprises, economic organizations where they and related parties are members of the Board of Directors, members of the Board of Members, supervisors, members of the Supervisory Board, General Director (Director);
c) Information about related parties who are individuals, including: full name; individual identification number; nationality, passport number, date and place of issue for foreigners; relationship with the person providing the information;
d) Information about related parties who are organizations, including: name, business registration code, main office address of the enterprise, business registration certificate number or equivalent legal document; legal representative, relationship with the person providing the information.
2. The subjects specified in Clause 1 of this Article must submit the information to the member commercial bank in writing for the first time and when there are changes within seven working days from the date of occurrence or change of information.
3. The member commercial bank must display and retain the information specified in Clause 1 of this Article at its headquarters and submit a written report to the Management Authority in the city, the Supervisory Authority within seven working days from the date it receives the provided information. Annually, the member commercial bank must publicly disclose the information specified in points a, b, d of Clause 1 of this Article to the Board of Members of the member commercial bank.
4. Subjects providing and publicly disclosing information must ensure the truthfulness, accuracy, completeness, and timeliness of the information provided and disclosed, and must bear responsibility for such provision and public disclosure.
Article 39. Internal Control System
1. Member commercial banks shall establish an internal control system and implement technology applications in internal control activities in accordance with the policies of the owners and in compliance with the provisions of this Decree regarding organization, governance, and management.
2. The Management Agency in the city and the Supervisory Agency have the right to request member commercial banks to hire independent auditing organizations to evaluate part or all of their internal control systems when deemed necessary.
Article 40. Internal Audit
1. Member commercial banks must establish an internal audit department under the Board of Supervisors to conduct internal audit activities.
2. Internal audit performs independent and objective reviews and evaluations on the appropriateness and compliance of mechanisms, policies, procedures, and internal regulations of member commercial banks; provides recommendations to enhance the effectiveness of systems, procedures, and regulations, contributing to ensuring that member commercial banks operate safely, efficiently, and in accordance with the law.
3. The results of internal audits must be reported to the Board of Supervisors and sent to the Board of Members and General Director (Director) of member commercial banks.
Article 41. Independent Audit
Before the end of the fiscal year, member commercial banks must select an independent auditing organization that meets the current requirements stipulated by the Governor of the State Bank of Vietnam for independent audits to audit financial reports and provide assurance services for the internal control system's activities in preparing and presenting financial reports for the next fiscal year.
Section 2. BRANCHES OF FOREIGN BANKS MEMBERS
Article 42. Organizational Structure of Management of Branches of Foreign Banks Members
The organizational structure of management of branches of foreign bank members is determined by the parent bank and complies with the provisions of this Decree regarding organization, governance, and management; provisions on internal control systems and independent audits set forth in Articles 39 and 41 of this Decree; internal audits are conducted in accordance with the regulations of the parent bank.
Article 43. General Director (Director) of Branches of Foreign Bank Members
1. The General Director (Director) of branches of foreign bank members represents the branch before the law, is responsible for all activities of the branch of foreign bank members, and manages daily operations in accordance with rights and obligations consistent with the provisions of this Decree and other relevant laws; in case of absence from Vietnam, they must delegate by written authorization to another person to perform the rights and obligations of the General Director (Director) of branches of foreign bank members.
2. The General Director (Director) of branches of foreign bank members may not simultaneously manage or direct credit institutions in Vietnam, member commercial banks, branches of foreign bank members, and other economic organizations in Vietnam.
3. The General Director (Director) of branches of foreign bank members must meet the qualifications and conditions stipulated in Clause 3 of Article 30 of this Decree. A person proposed for appointment as the General Director (Director) of branches of foreign bank members must be approved in writing by the Management Agency in the city before appointment.
4. The qualifications and conditions for a person proposed for appointment as the General Director (Director) of branches of foreign bank members who has not worked in Vietnam do not include the provisions on disqualification from holding positions set forth in Article 33 of this Decree and do not include the provisions on professional ethics assessment set forth in Clauses 1 and 2 of Article 31 of this Decree.
5. If a person proposed for appointment as the General Director (Director) of branches of foreign bank members has worked at a foreign credit institution, the parent bank of the branch of foreign bank members and this person must commit to complying with the rules and ethical standards established by the foreign credit institution (if any).
6. The procedures for approving a person proposed for appointment as the General Director (Director) of branches of foreign bank members shall be carried out in accordance with the guidance of the Management Agency.
7. Branches of foreign bank members must notify the Management Agency in the city and the Supervisory Agency of the list of persons appointed as General Directors (Directors) within ten days from the date of appointment.
8. The disclosure and provision of information related to the General Director (Director) of branches of foreign bank members shall be implemented in accordance with the provisions of Article 38 of this Decree.
Article 44. Removal and Dismissal of the General Director (Director) of Branches of Foreign Banks Members
1. The removal and dismissal of the General Director (Director) of branches of foreign banks members shall be decided by the parent bank and reported to the Management Authority at the city and Supervisory Authority within ten days from the date of passing the decision on removal or dismissal, along with relevant documents.
2. After removal or dismissal, the General Director (Director) of the branch of a foreign bank member still bears responsibility for their decisions made during their term of office.
Article 45. Situations Leading to Automatic Loss of Qualification of the General Director (Director) of Branches of Foreign Banks Members
1. The following situations automatically lead to the loss of qualification of the General Director (Director) of branches of foreign banks members:
a) Belonging to one of the cases prohibited from assuming the position as stipulated in Article 33 of this Decree;
b) Being expelled from the territory of the Socialist Republic of Vietnam;
c) When the branch of the foreign bank is revoked its License;
d) When the appointment letter of the General Director (Director) issued by the parent bank expires and is not renewed;
đ) Death.
2. The branch of a foreign bank member must submit a report with supporting documents regarding the automatic loss of qualification of personnel as prescribed in Clause 1 of this Article (except in the case of revocation of the license), to the Management Authority at the city and Supervisory Authority within five working days from the date of such automatic loss of qualification, and bear responsibility for the accuracy and truthfulness of the report; implement procedures for electing or appointing a replacement according to the provisions of the law.
3. After the automatic loss of qualification, the General Director (Director) of the branch of a foreign bank member still bears responsibility for their decisions made during their term of office.
Article 46. Suspension of Rights and Obligations of the General Director (Director) of Branches of Foreign Banks Members
1. The Management Authority at the city and Supervisory Authority have the right to suspend the exercise of rights and obligations of the General Director (Director) of branches of foreign banks members who violate the provisions of Clause 9 of Article 24, Clause 2 of Article 43 of this Decree or other relevant laws during the performance of assigned duties or failing to meet the standards and conditions specified in Clause 3 of Article 30 of this Decree; request the parent bank to remove, dismiss, appoint a replacement, or designate a substitute if deemed necessary.
2. The person whose rights and obligations are suspended as prescribed in Clause 1 of this Article must participate in resolving existing issues and violations related to personal responsibility upon request of the Management Authority at the city and Supervisory Authority.
Chapter IV
ACTIVITIES OF BANK MEMBERS
Section 1. GENERAL PROVISIONS ON THE ACTIVITIES OF BANK MEMBERS
Article 47. Content of Activities of Bank Members
1. Bank members carry out banking activities and other business operations recorded in the License granted to each bank member.
2. Bank members may conduct activities as prescribed in Sections 2 and 3 of this Chapter. Bank members can only engage in other activities outside those prescribed in Sections 2 and 3 of this Chapter according to the guidelines of the Board of Management as stipulated in Clause 4 of Article 113 of this Decree.
3. Bank members carry out activities as prescribed in Sections 2 and 3 of this Chapter in accordance with the policies of the owner, parent bank, except for Clause 19, 21 of Article 51; Clause 9, 10, 11, 13 of Article 52; Clause 1, 7, 8, 9, 11, 13 of Article 53; Clause 5, 6, 7, 9 of Article 54; Clause 7 of Article 55; Clause 4, 17 of Article 57; Clause 4, 11 of Article 58; Clause 1, 2, 5, 9, 11 of Article 59; Clause 5, 9 of Article 60; Clause 7 of Article 61 of this Decree.
4. Bank members carry out activities as prescribed in Sections 2 and 3 of this Chapter in foreign currencies, except for Clause 16 of Article 51; Clause 12, 13 of Article 52; Clause 9, 10, 11 of Article 53; Clause 9, point b of Clause 6 and Clause 8, 9 of Article 54; Clause 6, 7 of Article 55; Clause 14 of Article 57; Clause 10, 11 of Article 58; Clause 7, 8, 9 of Article 59; Clause 5, point b of Clause 6, Clause 8, 9 of Article 60; Clause 6, 7 of Article 61 of this Decree.
5. Activities prescribed in this Chapter must comply with the regulations on foreign exchange management in Chapter VIII of this Decree.
Article 48. Interest Rates and Fees in Banking Activities of Member Banks
1. Member banks have the right to set and must publicly display the rates for service fees in their banking activities.
2. Member banks and customers have the right to negotiate interest rates and credit fees in the banking activities of member banks according to the provisions of the law regarding credit activities as stipulated in Sections 2 and 3 of this Chapter.
3. Member banks have the right to set and publicly display deposit interest rates for individuals and organizations outside Vietnam and member enterprises.
Article 49. Internal Regulations
1. Member banks must establish and promulgate internal regulations for the business operations specified in this Chapter, including electronic transaction activities, ensuring internal control mechanisms, internal auditing, risk management tied to each business process, and emergency handling plans.
2. Member banks must promulgate internal regulations on the following matters:
a) Credit provision and credit management;
b) Asset classification, reserve establishment and utilization;
c) Asset quality assessment and compliance with minimum capital adequacy ratios;
d) Liquidity management, including procedures and limits for liquidity management;
đ) Internal control and internal auditing appropriate to the nature and scale of the member bank's operations;
e) An internal credit rating system that member banks must establish an internal credit rating system;
g) Risk management in the operations of member banks;
h) Anti-money laundering, anti-terrorism financing, and anti-proliferation financing;
i) Emergency handling plans.
3. Member banks must develop and submit to the Management Authority in the city and the Supervisory Authority:
a) The internal regulations under Clause 1 and 2 of this Article when submitting the application for a License;
b) The internal regulations related to Clause 1 of this Article when requesting amendments or additions to the content of the License;
c) The internal regulations under Clause 1 and 2 of this Article within ten days from the date of issuance.
Article 50. Syndicated Lending
1. Member banks shall implement syndicated lending in accordance with the current regulations of the Governor of the State Bank of Vietnam on syndicated lending by credit institutions to customers, except in the case provided for in Clause 2 of this Article.
2. In cases where syndicated lending involves only the participation of wholly foreign-owned commercial banks, branches of foreign banks, and foreign credit institutions for individuals and organizations outside Vietnam, such arrangements may be agreed upon according to the policies of the owners and parent banks.
Section 2. ACTIVITIES OF WHOLLY FOREIGN-OWNED COMMERCIAL BANKS AND BRANCHES OF FOREIGN BANKS
Article 51. Wholly Foreign-Owned Commercial Banks and Branches of Foreign Banks May Conduct the Following Activities with Individuals and Organizations Outside Vietnam
1. Accepting demand deposits as stipulated in Clause 9 of this Article, accepting time deposits.
2. Depositing funds at foreign credit institutions.
3. Borrowing and lending.
4. Discounting.
5. Bank guarantees.
6. Factoring and other related services.
7. Documentary credit transactions and other related business activities.
8. Issuing credit cards.
9. Opening settlement accounts and providing settlement services through accounts.
10. Opening and using settlement accounts at foreign credit institutions.
11. Transactions between different foreign currencies (hereinafter referred to as foreign currency - foreign currency transactions). Transactions between Vietnamese dong and foreign currencies are not allowed.
12. Trading and supplying interest rate derivatives products, excluding transactions involving Vietnamese dong.
13. Trading and supplying foreign exchange derivatives products, excluding transactions involving Vietnamese dong.
14. Supplying commodity price derivatives products, excluding transactions involving Vietnamese dong.
15. Providing foreign exchange brokerage services for foreign credit institutions.
16. Buying and selling corporate bonds issued in Vietnam, excluding bonds issued by Vietnamese credit institutions.
17. Buying and selling corporate bonds denominated in foreign currencies issued abroad.
18. Buying and selling government bonds denominated in foreign currencies issued abroad.
19. Issuing bonds in accordance with securities laws and Article 87 of this Decree.
20. Selling debts.
21. Entrusting and receiving entrustment in banking activities with foreign credit institutions according to the policies of the owners and parent banks and ensuring the following principles:
a) Entrusting matters that wholly foreign-owned commercial banks, branches of foreign banks can perform within the scope of the License, in accordance with the provisions of this Chapter. The entrusted party can only accept entrustments for matters that it is authorized to perform.
b) Receiving entrustment to perform matters that wholly foreign-owned commercial banks, branches of foreign banks can perform within the scope of the License, in accordance with the provisions of this Chapter.
22. Providing advisory services on banking activities and other business activities in accordance with the scope of activities specified in the License granted by the Management Authority in the city. Solutions and plans for advice must be implemented by the wholly foreign-owned commercial bank, branch of foreign bank or another member bank in accordance with the scope of activities granted in the License issued by the Management Authority in the city to the member bank.
23. Acting as an agent to manage collateral for lenders who are international financial organizations and foreign credit institutions.
24. Providing asset custody services, safe deposit box rental.
Article 52. A wholly foreign-owned commercial bank, a branch of a foreign bank member may carry out activities with member enterprises
1. Accepting demand deposits in accordance with Clause 8 of this Article, accepting time deposits.
2. Granting loans.
3. Discounting.
4. Bank guarantees.
5. Factoring and other related services.
6. Documentary credit operations and other business activities related to documentary credits.
7. Issuing credit cards.
8. Opening settlement accounts, providing payment services through accounts.
9. Foreign currency - foreign currency transactions in accordance with the Governor's regulations on foreign currency transactions in the foreign exchange market for credit institutions authorized to operate in foreign exchange. Transactions between Vietnamese dong and foreign currencies shall not be carried out.
10. Trading and supplying interest rate derivative products in accordance with the Governor's regulations on trading and supplying interest rate derivative products by commercial banks, branches of foreign banks; excluding derivative transactions related to Vietnamese dong.
11. Supplying commodity price derivative products in accordance with the Governor's regulations on supplying commodity price derivative products by commercial banks; excluding derivative transactions related to Vietnamese dong.
12. Buying and selling corporate bonds issued within Vietnam's territory, excluding bonds issued by Vietnamese credit institutions.
13. Buying and selling Government of Vietnam bonds, Government-guaranteed bonds, local government bonds in accordance with laws on Government bonds, guaranteed Government bonds, and local government bonds.
14. Selling debts.
15. Providing consulting services on banking activities and other business activities in accordance with the scope of activities specified in the License granted by the Regulatory Authority at the city level. The solutions and plans for advice must be implemented by the wholly foreign-owned commercial bank, branch of a foreign bank member or another member bank in accordance with the scope of activities granted in the License issued by the Regulatory Authority at the city level to the member bank.
16. Supplying asset custody services, renting safes and safety deposit boxes.
Article 53. A wholly foreign-owned commercial bank, a branch of a foreign bank member may carry out activities with member banks
1. Granting loans, borrowing, depositing money, accepting deposits, buying and selling negotiable instruments issued in foreign currency according to the policy of the owner, parent bank of the lender, depositor, buyer of negotiable instruments or borrower, acceptor of deposits, seller of negotiable instruments as agreed between both parties.
2. Bank guarantees.
3. Factoring and other related services.
4. Documentary credit operations and other business activities related to documentary credits.
5. Issuing credit cards.
6. Opening settlement accounts, providing payment services through accounts.
7. Foreign currency transactions:
a) Foreign currency - foreign currency transactions in accordance with the following provisions:
a.1) Member banks may choose applicable laws in accordance with the Governor's regulations on foreign currency transactions in the foreign exchange market for credit institutions authorized to operate in foreign exchange or according to the policy of the owner, parent bank, except for the provisions in point a.2 of this clause;
a.2) Member banks must conduct transactions in accordance with the scope of transactions applicable to transactions between Vietnamese credit institutions authorized to operate in foreign exchange with each other as stipulated by the Governor's regulations on foreign currency transactions in the foreign exchange market for credit institutions authorized to operate in foreign exchange;
b) Transactions between Vietnamese dong and foreign currencies shall not be carried out.
8. Trading and supplying interest rate derivative products in accordance with the Governor's regulations on trading and supplying interest rate derivative products by commercial banks, branches of foreign banks; excluding derivative transactions related to Vietnamese dong.
9. Supplying foreign exchange brokerage services in accordance with the Governor's regulations on foreign exchange brokerage activities.
10. Buying and selling corporate bonds issued within Vietnam's territory, excluding bonds issued by Vietnamese credit institutions.
11. Buying and selling Government of Vietnam bonds, Government-guaranteed bonds, local government bonds in accordance with laws on Government bonds, guaranteed Government bonds, and local government bonds.
12. Buying and selling debts.
13. Entrusting, receiving entrustment in banking activities according to the policy of the owner, parent bank and ensuring principles as stipulated in Clause 21 of Article 51 of this Decree.
14. Providing consulting services on banking activities and other business activities in accordance with the scope of activities specified in the License granted by the Regulatory Authority at the city level. The solutions and plans for advice must be implemented by the wholly foreign-owned commercial bank, branch of a foreign bank member or another member bank in accordance with the scope of activities granted in the License issued by the Regulatory Authority at the city level to the member bank.
15. Supplying cash management services, asset custody services, renting safes and safety deposit boxes.
Article 54. A wholly foreign-owned commercial bank, a branch of a foreign bank member may carry out activities with Vietnamese credit institutions.
1. Lending.
2. Bank guarantee:
a) Bank guarantee for Vietnamese credit institutions;
b) Being a customer receiving a bank guarantee from a Vietnamese credit institution:
A wholly foreign-owned commercial bank, a branch of a foreign bank member may be granted a bank guarantee by a Vietnamese credit institution when the beneficiary is an individual or organization within the territory of Vietnam or when the wholly foreign-owned commercial bank, a branch of a foreign bank member deposits collateral equivalent to 100% of the guarantee value.
A wholly foreign-owned commercial bank, a branch of a foreign bank member may provide corresponding guarantees to Vietnamese credit institutions when a Vietnamese credit institution grants a guarantee to a member enterprise that is a customer of the wholly foreign-owned commercial bank, a branch of a foreign bank member, where the beneficiary is an individual or organization within the territory of Vietnam or the wholly foreign-owned commercial bank, a branch of a foreign bank member deposits collateral equivalent to 100% of the guarantee value.
A wholly foreign-owned commercial bank, a branch of a foreign bank member may have its guarantee confirmed by a Vietnamese credit institution when it provides a guarantee to a member enterprise where the beneficiary is an individual or organization within the territory of Vietnam or the wholly foreign-owned commercial bank, a branch of a foreign bank member deposits collateral equivalent to 100% of the guarantee value.
3. Factoring and other related services.
4. Documentary credit operations and other business activities related to documentary credits.
5. Opening a Vietnamese dong-denominated and foreign currency-denominated current account at a non-member commercial bank, a non-member foreign bank branch in accordance with the provisions of the law on opening and using current accounts, consistent with the Governor's regulations on the use of Vietnamese dong accounts by non-residents.
6. Foreign exchange transactions:
a) Foreign exchange - foreign exchange transactions in accordance with the scope of transactions between Vietnamese credit institutions and foreign financial organizations as stipulated by the Governor of the State Bank of Vietnam regarding the scope of foreign exchange operations, conditions, procedures, and approval processes for foreign exchange activities of credit institutions, foreign bank branches, and according to the Governor's regulations on foreign exchange transactions in the foreign exchange market of authorized credit institutions.
b) Transactions between Vietnamese dong and foreign currencies in accordance with the scope of transactions between Vietnamese credit institutions and non-resident customers as stipulated by the Governor of the State Bank of Vietnam regarding foreign exchange transactions in the foreign exchange market of authorized credit institutions.
7. Trading and supplying interest rate derivative products in accordance with the Governor's regulations on trading and supplying interest rate derivative products by commercial banks, foreign bank branches; excluding transactions related to Vietnamese dong derivatives.
8. Purchasing and selling corporate bonds issued on the territory of Vietnam, excluding bonds issued by Vietnamese credit institutions.
9. Purchasing and selling Government of Vietnam bonds, guaranteed Government of Vietnam bonds, local government bonds in accordance with the laws on Government bonds, guaranteed Government bonds, and local government bonds. It is not allowed to sell Government of Vietnam bonds issued in foreign currency, guaranteed Government of Vietnam bonds issued in foreign currency, and local government bonds issued in foreign currency.
10. Purchasing debts.
Article 55. A wholly foreign-owned commercial bank and a foreign bank branch member may carry out activities with organizations on the territory of Vietnam that are not Vietnamese credit institutions.
1. Lending.
2. Discounting.
3. Bank guarantee.
4. Factoring and other related services.
5. Letter of credit operations and other trading activities related to letters of credit.
6. Purchase and sale of corporate bonds issued on the territory of Vietnam, excluding those issued by Vietnamese credit institutions.
7. Purchase and sale of Government of Vietnam bonds, guaranteed Government of Vietnam bonds, and local government bonds in accordance with the laws on Government bonds, guaranteed Government bonds, and local government bonds; including purchases on the primary market. Sale of Government of Vietnam bonds denominated in foreign currency, guaranteed Government of Vietnam bonds denominated in foreign currency, and local government bonds denominated in foreign currency is not allowed.
Article 56. A wholly foreign-owned commercial bank and a foreign bank branch member participating in the international payment system
Participate in international payment systems where the owner and parent bank are already members.
Section 3. ACTIVITIES OF WHOLLY DOMESTIC CAPITAL COMMERCIAL BANKS
Article 57. A wholly domestic capital commercial bank may carry out activities with individuals and organizations outside the territory of Vietnam.
1. Accepting demand deposits as stipulated in Clause 9 of this Article, accepting time deposits.
2. Depositing funds at foreign credit institutions.
3. Borrowing.
4. Lending in accordance with Clause 2, Article 88 and Article 89, Chapter VIII of this Decree.
5. Bank guarantees.
6. Factoring and other related services.
7. Documentary credit transactions and other related business activities.
8. Issuing credit cards.
9. Opening settlement accounts and providing settlement services through accounts.
10. Opening and using settlement accounts at foreign credit institutions.
11. Foreign currency - foreign currency transactions consistent with the scope of foreign exchange operations on the international market as specified in the License of the owner and parent bank. Transactions between Vietnamese dong and foreign currencies shall not be carried out.
12. Trading and supplying interest rate derivatives products, excluding transactions involving Vietnamese dong.
13. Supply derivative price products, excluding derivative transactions related to Vietnamese dong.
14. Purchase and sale of corporate bonds issued on the territory of Vietnam, excluding those issued by Vietnamese credit institutions.
15. Purchase and sale of corporate bonds issued in foreign currency abroad.
16. Purchase and sale of Government bonds issued in foreign currency abroad.
17. Issuance of bonds in accordance with the laws on securities and Article 87 of this Decree.
18. Sale of debt.
19. Provision of advisory services on banking activities and other business activities consistent with the scope of activities specified in the License granted by the city regulatory authority. The solutions and plans for advice must be implemented by the wholly domestic capital commercial bank itself or another member bank consistent with the scope of activities granted in the License issued by the city regulatory authority to the member bank.
20. Acting as agent for managing collateral assets for lending organizations that are international financial organizations or foreign credit institutions.
21. Supplying asset custody services, safe deposit box rental.
Article 58. A wholly domestic capital commercial bank may carry out activities with affiliated enterprises.
1. Accepting demand deposits in accordance with Clause 6 of this Article and accepting time deposits.
2. Lending in accordance with the Governor's regulations on lending in foreign currency by credit institutions and foreign bank branches to resident borrowers without applying the provisions on foreign currency loan needs, approval procedures, and foreign currency loan approval formalities.
3. Discounting.
4. Bank guarantees, factoring and other related services, letter of credit operations, and other trading activities related to letters of credit in accordance with the commercial practices stipulated in Article 3 of the Law on Credit Institutions.
5. Issuing credit cards.
6. Opening settlement accounts, providing payment services through accounts.
7. Foreign currency - foreign currency transactions in accordance with the Governor's regulations on foreign currency transactions of credit institutions permitted to operate in foreign exchange markets. Transactions between Vietnamese dong and foreign currencies shall not be carried out.
8. Trading and supplying interest rate derivative products, excluding derivative transactions related to Vietnamese dong.
9. Supplying derivative price products, excluding derivative transactions related to Vietnamese dong.
10. Buying and selling corporate bonds issued within Vietnam's territory, excluding bonds issued by Vietnamese credit institutions.
11. Buying and selling Government of Vietnam bonds, Government-guaranteed bonds, local government bonds in accordance with laws on Government bonds, guaranteed Government bonds, and local government bonds.
12. Sale of debt.
13. Provision of advisory services on banking activities and other business activities consistent with the scope of activities specified in the License granted by the city regulatory authority. The solutions and plans for advice must be implemented by the wholly domestic capital commercial bank itself or another member bank consistent with the scope of activities granted in the License issued by the city regulatory authority to the member bank.
14. Supplying asset custody services, safe deposit box rental.
Article 59. A wholly domestic-owned commercial bank may carry out activities with member banks
1. Granting loans, borrowing, depositing money, accepting deposits, buying and selling negotiable instruments issued in foreign currency according to the policy of the owner, parent bank of the lender, depositor, buyer of negotiable instruments or borrower, acceptor of deposits, seller of negotiable instruments as agreed between both parties.
2. Bank guarantees, factoring, and other services related to factoring, documentary credit transactions, and other business activities related to documentary credits as prescribed in Article 3 of the Law on Credit Institutions.
3. Issuing credit cards.
4. Opening settlement accounts, providing payment services through accounts.
5. Foreign exchange transactions:
a) Foreign currency - foreign currency transactions in accordance with the following provisions:
a.1) Member banks may choose applicable laws in accordance with the Governor's regulations on foreign currency transactions in the foreign exchange market for credit institutions authorized to operate in foreign exchange or according to the policy of the owner, parent bank, except for the provisions in point a.2 of this clause;
а.2) Member banks shall conduct transactions in accordance with the scope of transactions applicable to foreign exchange transactions between permitted Vietnamese credit institutions as stipulated by the Governor of the State Bank of Vietnam regarding foreign exchange transactions on the foreign exchange market of permitted credit institutions.
b) Transactions between Vietnamese dong and foreign currencies shall not be carried out.
6. Trading and supplying interest rate derivative products, excluding derivative transactions related to the Vietnamese dong.
7. Providing foreign exchange brokerage services.
8. Purchasing and selling corporate bonds issued on the territory of Vietnam, excluding bonds issued by Vietnamese credit institutions.
9. Purchasing and selling Vietnamese government bonds, guaranteed Vietnamese government bonds, and local government bonds in accordance with the laws on government bonds, guaranteed government bonds, and local government bonds.
10. Purchasing and selling debts.
11. Entrusting and accepting entrustment in banking activities according to the policy of the owner, parent bank, and ensuring principles as prescribed in Clause 21, Article 51 of this Decree.
12. Providing advisory services on banking activities and other business activities within the scope of operations specified in the License issued by the Regulatory Authority in the city. The solutions and plans for advice must be implemented by the wholly domestic-owned commercial bank itself or another member bank in accordance with the scope of operations granted in the License issued by the Regulatory Authority in the city to the member bank.
13. Providing cash management services, asset custody services, safe deposit box rental.
Article 60. A wholly domestic-owned commercial bank may carry out activities with Vietnamese credit institutions
1. Lending.
2. Bank guarantee:
a) Bank guarantee for Vietnamese credit institutions;
b) Being a customer receiving a bank guarantee from a Vietnamese credit institution:
A wholly domestic-owned commercial bank may obtain bank guarantees from Vietnamese credit institutions if the beneficiary is an individual or organization within the territory of Vietnam or if the wholly domestic-owned commercial bank provides collateral equal to 100% of the guarantee value.
A wholly domestic-owned commercial bank may provide corresponding guarantees to Vietnamese credit institutions if the Vietnamese credit institution provides guarantees for member enterprises that are customers of the wholly domestic-owned commercial bank, where the beneficiary is an individual or organization within the territory of Vietnam or if the wholly domestic-owned commercial bank provides collateral equal to 100% of the guarantee value.
A wholly domestic-owned commercial bank may have its guarantees confirmed by Vietnamese credit institutions if the wholly domestic-owned commercial bank provides guarantees for member enterprises, where the beneficiary is an individual or organization within the territory of Vietnam or if the wholly domestic-owned commercial bank provides collateral equal to 100% of the guarantee value.
3. Factoring and other related services.
4. Documentary credit operations and other business activities related to documentary credits.
5. Opening a Vietnamese dong-denominated and foreign currency-denominated current account at a non-member commercial bank, a non-member foreign bank branch in accordance with the provisions of the law on opening and using current accounts, consistent with the Governor's regulations on the use of Vietnamese dong accounts by non-residents.
6. Foreign exchange transactions:
a) Foreign currency - foreign currency transactions in accordance with the scope of transactions of Vietnamese credit institutions with foreign financial organizations as prescribed by the Governor of the State Bank of Vietnam regarding the scope of foreign exchange operations, conditions, procedures, and approval formalities for foreign exchange operations of credit institutions and foreign bank branches, and in accordance with the Governor's regulations on foreign exchange transactions on the foreign exchange market of permitted credit institutions.
b) Transactions between Vietnamese dong and foreign currencies in accordance with the scope of transactions between Vietnamese credit institutions and non-resident customers as stipulated by the Governor of the State Bank of Vietnam regarding foreign exchange transactions in the foreign exchange market of authorized credit institutions.
7. Trading and supplying interest rate derivative products, excluding derivative transactions related to the Vietnamese dong.
8. Purchasing and selling corporate bonds issued on the territory of Vietnam, excluding bonds issued by Vietnamese credit institutions.
9. Purchasing and selling Government of Vietnam bonds, guaranteed Government of Vietnam bonds, local government bonds in accordance with the laws on Government bonds, guaranteed Government bonds, and local government bonds. It is not allowed to sell Government of Vietnam bonds issued in foreign currency, guaranteed Government of Vietnam bonds issued in foreign currency, and local government bonds issued in foreign currency.
10. Purchasing debts.
Article 61. A wholly domestic-owned commercial bank may conduct activities with organizations on the territory of Vietnam that are not Vietnamese credit institutions.
1. Lending.
2. Discounting.
3. Bank guarantee.
4. Factoring and other related services.
5. Letter of credit operations and other trading activities related to letters of credit.
6. Purchase and sale of corporate bonds issued on the territory of Vietnam, excluding those issued by Vietnamese credit institutions.
7. Purchase and sale of Government of Vietnam bonds, guaranteed Government of Vietnam bonds, and local government bonds in accordance with the laws on Government bonds, guaranteed Government bonds, and local government bonds; including purchases on the primary market. Sale of Government of Vietnam bonds denominated in foreign currency, guaranteed Government of Vietnam bonds denominated in foreign currency, and local government bonds denominated in foreign currency is not allowed.
Article 62. A wholly domestic-owned commercial bank participates in the international payment system.
Participate in international payment systems where the owner is already a member.
Chapter V
LIMITATIONS TO ENSURE THE SAFETY OF OPERATIONS FOR BANK MEMBERS
Article 63. Cases where credit shall not be granted
1. A bank that does not apply International Accounting Standards shall not grant credit to the following organizations and individuals:
a) Members of the Board of Members, members of the Supervisory Board, General Director (Director), Deputy General Director (Deputy Director) and equivalent positions as stipulated in the Charter of the commercial bank; the owner of the commercial bank; the General Director (Director), Deputy General Director (Deputy Director) of the foreign bank branch; the parent bank of the foreign bank branch;
b) Spouse, father, mother, son, daughter, brother, sister, or younger brother of members of the Board of Members, members of the Supervisory Board, General Director (Director), Deputy General Director (Deputy Director) and equivalent positions as stipulated in the Charter of the commercial bank; the General Director (Director), Deputy General Director (Deputy Director) of the foreign bank branch.
2. A bank that does not apply International Accounting Standards shall not grant credit to customers based on guarantees from the objects specified in Clause 1 of this Article. A bank that does not apply International Accounting Standards shall not provide any form of guarantee for another member bank, foreign credit institution, or Vietnamese credit institution to grant credit to the objects specified in Clause 1 of this Article.
3. A bank that applies International Accounting Standards shall comply with cases where credit shall not be granted according to the policy of the owner, the parent bank.
4. A member bank shall not grant credit to contribute capital or purchase shares of a credit institution that is not a member.
5. The granting of credit as prescribed in Clauses 1, 2, and 4 of this Article includes the activity of purchasing, holding, and investing in corporate bonds.
Article 64. Limitations on granting credit
1. A bank that does not apply International Accounting Standards shall not grant unsecured credit or credit with preferential conditions to the following organizations and individuals:
a) Auditing organizations, auditors auditing at that bank; persons issuing inspection decisions, members of the inspection team, supervisors of the inspection team inspecting at that bank;
b) Chief Accountant of that bank;
c) Enterprises where one of the objects specified in Clause 1 of this Decree owns more than 10% of the charter capital of that enterprise;
d) Credit assessment and approval personnel at that bank.
2. The total outstanding balance of credit granted to the objects specified in Clause 1 of this Article shall not exceed five percent of the bank's own capital that does not apply International Accounting Standards.
3. Granting credit to the objects specified in Clause 1 of this Article must be approved by the Board of Members of the commercial bank member that does not apply International Accounting Standards, except in the case prescribed in Clause 4 of this Article. The granting of credit must be publicly disclosed in the bank that does not apply International Accounting Standards.
4. The Board of Members (for commercial bank members), General Director (Director) (for member foreign bank branches) of the bank that does not apply International Accounting Standards shall specify the total outstanding balance of credit granted to the object specified in point d of Clause 1 of this Article which the Board of Members, General Director (Director) must approve according to internal regulations of the member bank.
5. The total outstanding balance of credit specified in Clause 2 of this Article includes the total amount purchased, held, and invested in bonds issued by the objects specified in points a and c of Clause 1 of this Article.
6. A bank that does not apply International Accounting Standards must report to:
a) The owner, manager, operator of the commercial bank; the parent bank of the foreign bank branch when granting credit to the objects specified in Clause 1 of this Article;
b) Regulatory authorities regarding credits granted to the objects specified in Clause 1 of this Article.
7. A bank that applies International Accounting Standards shall comply with the provisions on limitations on granting credit according to the policy of the owner, the parent bank.
Article 65. Credit Limit
1. The total amount of outstanding credit granted to a customer shall not exceed 10% of the bank's own capital that does not apply International Accounting Standards; the total amount of outstanding credit granted to a customer and related parties of such customer shall not exceed 15% of the bank's own capital that does not apply International Accounting Standards.
2. The total amount of outstanding credit specified in Clause 1 of this Article does not include loans from entrusted funds that the bank does not apply International Accounting Standards receives without risk or cases where the borrowing customer is a member bank.
3. The total amount of outstanding credit specified in Clause 1 of this Article includes the total amount of purchasing, holding, and investing in bonds issued by the customer and related parties of such customer.
4. The limits and conditions for granting credit to invest in and trade in stocks and corporate bonds shall be implemented according to the provisions of Article 68 of this Decree.
5. In case the capital requirement of a customer, a customer and related parties of such customer exceeds the credit limit specified in Clause 1 of this Article, the bank that does not apply International Accounting Standards may grant combined credit according to the provisions of Article 50 of this Decree and shall not exceed the limit.
6. Banks applying International Accounting Standards must comply with credit limits according to the policies of the owner and parent bank. In case the capital requirement of a customer, a customer and related parties of such customer exceeds the credit limit, the bank applying International Accounting Standards may grant combined credit according to the provisions of Article 50 of this Decree and shall not exceed the limit according to the policies of the owner and parent bank.
7. Banks applying International Accounting Standards calculate credit limits based on their own capital.
Article 66. Safety Ratios
1. Banks that do not apply International Accounting Standards must maintain the following safety ratios:
a) Capital Adequacy Ratio:
a.1) Banks implement the current regulations of the Governor of the State Bank of Vietnam regarding the capital adequacy ratio for commercial banks and foreign bank branches, except for the provisions at points a.2, a.3, a.4, a.5 of this clause;
a.2) Banks can implement internal ratings-based methods for credit risk after obtaining approval from the Regulatory Authority in the city. During the transition period to internal ratings-based methods, banks must submit independent audit reports and bank reports with relevant documents to the Regulatory Authority in the city before April 15 each year;
a.3) Banks can repurchase and repay the principal of additional Tier 1 capital instruments after obtaining approval from the Regulatory Authority;
a.4) The procedures and formalities for approving requests at point a.2 and point a.3 shall be carried out according to the regulations of the Regulatory Authority;
a.5) When calculating credit risk, market risk, transaction value, and underlying asset value, they must be taken according to market value (mark-to-market). In the absence of market value, banks must calculate values based on market data (mark-to-model) and bear responsibility for the accuracy and reasonableness of the calculation method, while reporting to the Regulatory Authority before implementation. The Regulatory Authority requires banks to modify the calculation method if necessary;
b) Liquidity Ratio (liquidity reserve ratio, 30-day liquidity ratio) in US dollars and other convertible currencies according to the current regulations of the Governor of the State Bank of Vietnam. The components and ratios are similar to those for Vietnamese dong according to the current regulations of the Governor of the State Bank of Vietnam regarding the limits and safety ratios in banking operations, foreign bank branches. Banks that do not apply International Accounting Standards are not required to comply with the liquidity ratio in Vietnamese dong;
c) The ratio of purchasing, holding, and investing in Government of Vietnam bonds and Government-guaranteed bonds according to the current regulations of the Governor of the State Bank of Vietnam regarding the limits and safety ratios in banking operations, foreign bank branches;
d) Other safety ratios outside the ratios at points a, b, c of this clause shall be implemented according to the current regulations of the Governor of the State Bank of Vietnam regarding the limits and safety ratios in banking operations, foreign bank branches.
2. Banks applying International Accounting Standards must comply with safety ratios according to the policies of the owner and parent bank, including at least the following safety ratios: Capital Adequacy Ratio, Leverage Ratio (LEV), Liquidity Coverage Ratio (LCR), Net Stable Funding Ratio (NSFR).
3. Based on the results of supervision, inspection, and audit by the Regulatory Authority of member banks, in case it is necessary to ensure the safety of member bank operations, depending on the nature and level of risk, the Regulatory Authority may require member banks to implement stricter safety ratios than those stipulated in the current policies of the member banks.
4. Banks applying International Accounting Standards are not required to comply with the ratio of purchasing, holding, and investing in Government of Vietnam bonds and Government-guaranteed bonds according to Vietnamese law.
5. Member banks are not required to comply with the maximum foreign currency position relative to own capital according to Vietnamese law.
Article 67. Management and Handling of Non-compliance with Liquidity Coverage Ratio
1. Member banks must monitor and manage to ensure compliance with the liquidity coverage ratio as prescribed in Article 66 of this Decree.
2. In cases where the calculated liquidity coverage ratio results of a bank that does not apply International Financial Reporting Standards (IFRS) do not meet the requirements set out in Article 66 of this Decree, the following actions shall be taken:
a) The member bank must immediately implement self-corrective measures to ensure compliance with the liquidity coverage ratio;
b) The supervisory authority shall examine and handle according to its jurisdiction any non-compliance by the member bank with the requirements set out in Article 66 of this Decree.
3. Each day, member banks must report their liquidity coverage ratio to the supervisory authority. By 10:00 AM the next day, the member bank must submit a written report to the supervisory authority on any temporary shortfall in the liquidity coverage ratio (if any) and the measures already implemented to address such shortfall.
Article 68. Conditions and Limits for Credit Granting for Investment and Trading in Shares and Corporate Bonds
1. Banks that do not apply International Financial Reporting Standards (IFRS) may grant credit for investment and trading in shares and corporate bonds in accordance with the current regulations of the Governor of the State Bank of Vietnam regarding limits and safety ratios in banking operations, including foreign bank branches.
2. Banks that apply IFRS must comply with conditions and limits for granting credit for investment and trading in shares and corporate bonds in accordance with the policies of their owners and parent banks.
3. Based on the results of supervision, inspection, and audit by the supervisory authority of member banks, if necessary to ensure the safety of member bank operations, depending on the nature and degree of risk, the supervisory authority may require member banks to implement stricter limits than those stipulated in the policies currently being applied by the member banks.
Article 69. Classification of Assets
1. Banks applying IFRS and wholly domestic-owned commercial banks must classify assets according to the policies of their owners and parent banks.
2. For wholly foreign-owned commercial banks and foreign bank branches that have owners and parent banks not applying IFRS, they must follow the provisions of Vietnamese law on asset classification, provision establishment, and utilization for risk management, except for the provisions in Clauses 3, 4, and 5 of this Article.
3. Foreign bank branches with parent banks not applying IFRS may adopt the risk provision policy of their parent banks for asset classification, provision establishment, and utilization for risk management after approval by the city regulatory body.
4. Wholly foreign-owned commercial banks and foreign bank branches with owners and parent banks not applying IFRS may implement asset classification and off-balance sheet commitments using qualitative methods after approval by the city regulatory body.
5. Documentation, procedures, and processes for approving requests under Clause 3 and Clause 4 of this Article shall be in accordance with the regulations of the regulatory body.
Article 70. Real Estate Business
Member banks shall not engage in real estate business except for purchasing, investing in, and owning real estate to be used as their headquarters or workplace, and ensuring compliance with the fixed asset investment ratio as prescribed in Clause 3, Article 144 of the Law on Credit Organizations.
Chapter VI
||| BAD DEBT MANAGEMENT AND SECURED ASSETS OF MEMBER BANKS
Article 71. Bad Debts
Bad debts shall be governed by the provisions of this Chapter as follows:
1. For domestic commercial banks with 100% domestic capital, foreign commercial banks with 100% foreign capital, and branches of foreign banks that are member owners, parent banks shall not apply International Accounting Standards including:
a) Bad debts recorded in financial statements according to the current regulations of the State Bank Governor on classifying assets in commercial bank operations, non-bank credit organizations, and foreign bank branches;
b) Bad debts that have been handled using risk reserves but have not yet been recovered and are being monitored outside of financial statements.
2. For foreign commercial banks with 100% foreign capital, foreign bank branches that are member owners, and parent banks, bad debts shall be determined according to the policies of the owner and parent bank, applying International Accounting Standards.
Article 72. Principles for Handling Bad Debts
Member banks and related parties have the autonomy to choose methods for handling bad debts, including debt recovery, restructuring, selling debts, and other appropriate methods in accordance with Resolution No. 222/2025/QH15, this Decree, and relevant laws.
Article 73. Principles for Handling Secured Assets
The handling of secured assets shall be carried out in accordance with Resolution No. 222/2025/QH15, this Decree, and the provisions of civil law.
Chapter VII
REVOCATION OF LICENSE, LIQUIDATION, BANKRUPTCY, AND DISPOSAL OF ASSETS OF MEMBER BANKS
Article 74. Situations Where Member Banks Encounter Troubles
1. A member bank encounters trouble when it falls under one or more of the following situations:
a) The cumulative losses of the member bank exceed 15% of the value of its charter capital and reserves (reserves deducted from post-tax profits and recorded in the equity section of the balance sheet) as reported in the most recent audited financial statement or concluded by authorized state agencies through inspection and audit, and violates the capital adequacy ratio;
b) Violates the liquidity ratio for a continuous period of 30 days;
c) Violates the capital adequacy ratio for a continuous period of six months.
d) Experiencing a run on deposits. A run on deposits occurs when a member bank faces simultaneous withdrawals by many depositors leading to a risk of loss of liquidity or actual loss of liquidity. Determination of such risks and actual loss of liquidity by the member bank shall be conducted in accordance with the State Bank Governor's regulations on limits and ratios to ensure safety in banking and foreign bank branch operations.
2. When encountering troubles as specified in Clause 1 of this Article, member banks must promptly report to the supervisory authority, owners, and parent banks.
Article 75. Remedial Measures in Case of Incident
1. Member banks must develop a proposed remedial plan for cases of incidents as stipulated in Article 74 of this Decree, which must include support contents from shareholders and parent banks.
2. The remedial plan prescribed in Clause 1 of this Article must be approved by shareholders and parent banks within one year from the date the member bank is granted the License and submitted to the Supervisory Authority within ten days from the date of approval by shareholders and parent banks.
3. At least every two years, member banks must update and adjust the remedial plan prescribed in Clause 1 of this Article. The updated and adjusted remedial plan must be submitted to the Supervisory Authority within ten days from the date of approval by shareholders and parent banks.
4. When a member bank encounters an incident as specified in one or more cases under Article 74 of this Decree, the Supervisory Authority shall issue a written request to the member bank:
a) To identify the cause of the incident and promptly update and implement the remedial plan prescribed in Clause 1 of this Article. The updated remedial plan must be submitted to the Supervisory Authority within ten days from the date of approval by shareholders and parent banks;
b) In case the member bank has not yet developed the remedial plan prescribed in Clause 1 of this Article, the member bank must urgently identify the cause of the incident, develop a remedial plan, and immediately implement it. The remedial plan must be submitted to the Supervisory Authority within ten days from the date of approval by shareholders and parent banks.
5. Trường hợp ngân hàng thành viên đã khắc phục được sự cố, ngân hàng thành viên có văn bản báo cáo Cơ quan giám sát về việc đã khắc phục được sự cố.
Điều 76. Trách nhiệm của chủ sở hữu, ngân hàng mẹ khi ngân hàng thành viên gặp sự cố
1. Chủ sở hữu, ngân hàng mẹ phải thực hiện hỗ trợ ngân hàng thành viên khắc phục sự cố quy định tại Điều 74 Nghị định này trong thời hạn 06 tháng kể từ ngày xảy ra sự cố.
2. Hết thời hạn hỗ trợ của chủ sở hữu, ngân hàng mẹ quy định tại khoản 1 Điều này mà ngân hàng thành viên không khắc phục được sự cố thì phải giải thể, chấm dứt hoạt động, thanh lý tài sản theo quy định tại Nghị định này.
3. Ngân hàng mẹ có nghĩa vụ thực hiện cam kết theo quy định tại Điều 14 Nghị định này nêu trong quá trình thanh lý tài sản, chi nhánh ngân hàng nước ngoài thành viên không có khả năng thanh toán hết các khoản nợ và nghĩa vụ tài sản khác.
4. Chủ sở hữu, ngân hàng mẹ có trách nhiệm phê duyệt phương án khắc phục theo quy định tại khoản 1 Điều 75 Nghị định này do ngân hàng thành viên xây dựng trong thời hạn 01 năm kể từ ngày ngân hàng thành viên được cấp Giấy phép; phê duyệt phương án khắc phục được cập nhật định kỳ hoặc đột xuất.
Điều 77. Trường hợp giải thể, chấm dứt hoạt động của ngân hàng thành viên
1. Không đề nghị gia hạn hoặc đề nghị gia hạn nhưng không được Cơ quan điều hành tại thành phố chấp thuận bằng văn bản khi hết thời hạn hoạt động.
2. Bị thu hồi Giấy phép.
3. Tự nguyện giải thể nếu có khả năng thanh toán hết nợ và được Cơ quan điều hành tại thành phố chấp thuận bằng văn bản.
4. Gặp sự cố và không khắc phục được sự cố sau khi được chủ sở hữu, ngân hàng mẹ hỗ trợ trong thời hạn 06 tháng kể từ ngày xảy ra sự cố.
5. Không khắc phục được tình trạng giá trị thực của vốn điều lệ giảm thấp hơn mức vốn pháp định trong thời hạn 06 tháng kể từ ngày xảy ra tình trạng này.
Điều 78. Thanh lý tài sản trong trường hợp giải thể, chấm dứt hoạt động
1. Khi giải thể, chấm dứt hoạt động theo quy định tại Nghị định này, ngân hàng thành viên phải tiến hành thanh lý tài sản dưới sự giám sát của Cơ quan điều hành tại thành phố và theo trình tự, thủ tục thanh lý tài sản do Cơ quan điều hành quy định.
2. Trong quá trình giám sát thanh lý tài sản của ngân hàng thương mại thành viên bị giải thể, nếu phát hiện ngân hàng thương mại thành viên không có khả năng thanh toán đầy đủ các khoản nợ, Cơ quan điều hành tại thành phố quyết định chấm dứt thanh lý tài sản và ngân hàng thương mại thành viên phải thực hiện thủ tục phá sản theo quy định tại Điều 80 Nghị định này.
3. Ngân hàng thành viên bị thanh lý tài sản có trách nhiệm thanh toán các chi phí liên quan đến việc thanh lý tài sản.
4. Trong quá trình thanh lý tài sản, nếu chi nhánh ngân hàng nước ngoài thành viên không có khả năng thanh toán hết các khoản nợ và nghĩa vụ tài sản khác, ngân hàng mẹ có nghĩa vụ thực hiện cam kết quy định tại khoản 3 Điều 76 Nghị định này.
Điều 79. Thu hồi Giấy phép
1. Cơ quan điều hành tại thành phố thu hồi Giấy phép trong các trường hợp sau đây:
a) Hồ sơ đề nghị cấp Giấy phép có thông tin gian lận để có đủ điều kiện được cấp Giấy phép;
b) Ngân hàng thương mại thành viên giải thể, phá sản; chi nhánh ngân hàng nước ngoài thành viên giải thể;
c) Ngân hàng thành viên hoạt động không đúng nội dung quy định trong Giấy phép;
d) Ngân hàng thành viên vi phạm nghiêm trọng quy định của pháp luật về tỷ lệ bảo đảm an toàn hoạt động;
đ) Ngân hàng thành viên không thực hiện hoặc thực hiện không đầy đủ quyết định xử lý của cơ quan có thẩm quyền để bảo đảm an toàn trong hoạt động ngân hàng;
e) Ngân hàng mẹ của chi nhánh ngân hàng nước ngoài thành viên bị giải thể, phá sản hoặc bị cơ quan có thẩm quyền của nước nơi ngân hàng mẹ đặt trụ sở chính thu hồi Giấy phép hoặc đình chỉ hoạt động.
2. Quyết định thu hồi Giấy phép được Cơ quan điều hành tại thành phố công bố trên 01 phương tiện truyền thông của Trung tâm tài chính.
3. Ngân hàng thành viên bị thu hồi Giấy phép phải chấm dứt hoạt động kinh doanh kể từ ngày Quyết định thu hồi Giấy phép của Cơ quan điều hành tại thành phố có hiệu lực.
4. Hồ sơ, thủ tục thu hồi Giấy phép thực hiện theo hướng dẫn của Cơ quan điều hành.
Điều 80. Phá sản ngân hàng thương mại thành viên
1. Ngân hàng thương mại thành viên phải thực hiện thủ tục phá sản khi thuộc một trong các trường hợp sau:
a) Ngân hàng thương mại thành viên mất khả năng thanh toán. Việc xác định ngân hàng thương mại thành viên mất khả năng thanh toán thực hiện theo quy định của pháp luật Việt Nam về phá sản;
b) Ngân hàng thương mại thành viên thuộc trường hợp quy định tại khoản 2 Điều 78 Nghị định này.
2. Ngân hàng thương mại thành viên khi thuộc một trong các trường hợp quy định tại khoản 1 Điều này phải nộp đơn yêu cầu Tòa án mở thủ tục phá sản và thực hiện việc phá sản theo hướng dẫn của Cơ quan điều hành, quy định của pháp luật Việt Nam về phá sản doanh nghiệp.
Chương VIII
QUẢN LÝ NGOẠI HỐI
Mục 1. NGUYÊN TẮC CHUNG VỀ QUẢN LÝ NGOẠI HỐI
Điều 81. Nguyên tắc minh bạch dòng tiền
1. Thành viên, nhà đầu tư nước ngoài và các bên liên quan trong các giao dịch chuyển tiền thực hiện hoạt động nêu tại điểm a khoản 1 và khoản 3 Điều 84 Nghị định này có trách nhiệm ghi rõ mục đích của giao dịch chuyển tiền để ngân hàng thành viên cung ứng dịch vụ tài khoản có cơ sở đối chiếu, kiểm tra, lưu giữ chứng từ và thực hiện giao dịch.
2. Thống đốc Ngân hàng Nhà nước hướng dẫn chi tiết Điều này.
Điều 82. Kiểm tra chứng từ
Ngân hàng thành viên khi thực hiện các giao dịch ngoại hối cho khách hàng có trách nhiệm xem xét, kiểm tra, lưu trữ các giấy tờ và các chứng từ phù hợp với các giao dịch thực tế để đảm bảo việc cung ứng các dịch vụ ngoại hối được thực hiện đúng mục đích và phù hợp với quy định của pháp luật; xây dựng và tự chịu trách nhiệm về nội dung của quy định nội bộ về quy trình nghiệp vụ, quy trình quản lý rủi ro đối với hoạt động ngoại hối.
Điều 83. Thẩm quyền hướng dẫn, tiếp nhận thông tin khai báo, xử lý thủ tục đăng ký, đăng ký thay đổi về quản lý ngoại hối
1. Cơ quan điều hành có thẩm quyền ban hành:
a) Hướng dẫn khai báo khoản vay nước ngoài, khoản cho vay ra nước ngoài của thành viên; hướng dẫn hồ sơ, trình tự, thủ tục khai báo, đăng ký, đăng ký thay đổi khoản vay từ thành viên của bên đi vay trong nước;
b) Hướng dẫn khai báo liên quan đến chuyển tiền đầu tư từ Trung tâm tài chính ra nước ngoài của thành viên; hướng dẫn về hồ sơ, trình tự, thủ tục đăng ký, đăng ký thay đổi giao dịch ngoại hối liên quan đến hoạt động đầu tư trực tiếp từ Trung tâm tài chính ra nước ngoài;
c) Hướng dẫn hồ sơ, trình tự, thủ tục cấp giấy chứng nhận đăng ký mua, bán trái phiếu phát hành bằng ngoại tệ ở nước ngoài của ngân hàng thương mại 100% vốn trong nước.
2. Cơ quan điều hành tại thành phố tiếp nhận thông tin khai báo khoản vay nước ngoài, khoản cho vay ra nước ngoài, khoản vay từ thành viên của bên đi vay trong nước, xử lý thủ tục đăng ký, đăng ký thay đổi khoản vay từ thành viên của bên đi vay trong nước; tiếp nhận thông tin khai báo liên quan đến chuyển tiền đầu tư từ Trung tâm tài chính ra nước ngoài của thành viên, đăng ký, đăng ký thay đổi giao dịch ngoại hối liên quan đến hoạt động đầu tư trực tiếp từ Trung tâm tài chính ra nước ngoài, cấp giấy chứng nhận đăng ký tự doanh mua, bán trái phiếu phát hành bằng ngoại tệ ở nước ngoài của ngân hàng thương mại 100% vốn trong nước.
Mục 2. MỞ VÀ SỬ DỤNG TÀI KHOẢN THANH TOÁN
Điều 84. Sử dụng tài khoản thanh toán bằng ngoại tệ tại ngân hàng thành viên
1. Doanh nghiệp thành viên sử dụng tài khoản thanh toán bằng ngoại tệ theo nguyên tắc sau:
a) Sử dụng tài khoản thanh toán bằng ngoại tệ tại một ngân hàng thành viên (tài khoản vốn của doanh nghiệp thành viên) cho các mục đích sau đây:
a.1) Vay vốn từ cá nhân, tổ chức ngoài lãnh thổ Việt Nam;
a.2) Cho vay đối với cá nhân, tổ chức ngoài lãnh thổ Việt Nam và bên đi vay trong nước;
a.3) Đầu tư từ Trung tâm tài chính ra nước ngoài;
a.4) Đầu tư từ Trung tâm tài chính vào phần còn lại của Việt Nam.
b) Sử dụng tài khoản thanh toán bằng ngoại tệ tại các ngân hàng thành viên cho các mục đích sử dụng khác ngoài mục đích quy định tại điểm a khoản này.
2. Ngân hàng thành viên được sử dụng tài khoản thanh toán mở tại chính ngân hàng thành viên hoặc mở tại ngân hàng thành viên khác để thực hiện các hoạt động quy định tại điểm a khoản 1 Điều này, không phải mở và sử dụng tài khoản vốn.
3. Nhà đầu tư nước ngoài phải sử dụng tài khoản thanh toán bằng ngoại tệ mở tại một ngân hàng thành viên (tài khoản vốn của nhà đầu tư nước ngoài) để thực hiện giao dịch đầu tư nước ngoài vào Trung tâm tài chính.
4. Tổ chức, cá nhân ngoài lãnh thổ Việt Nam được sử dụng tài khoản thanh toán bằng ngoại tệ tại ngân hàng thành viên theo quy định hiện hành của Thống đốc Ngân hàng Nhà nước hướng dẫn sử dụng tài khoản ngoại tệ, tài khoản đồng Việt Nam của người cư trú, người không cư trú tại ngân hàng được phép.
5. Thống đốc Ngân hàng Nhà nước hướng dẫn việc sử dụng tài khoản quy định tại khoản 1, khoản 3 Điều này.
Điều 85. Sử dụng tài khoản thanh toán bằng ngoại tệ của doanh nghiệp thành viên tại ngân hàng thương mại không là thành viên, chi nhánh ngân hàng nước ngoài không là thành viên
Doanh nghiệp thành viên được sử dụng tài khoản thanh toán bằng ngoại tệ tại các ngân hàng thương mại không là thành viên, chi nhánh ngân hàng nước ngoài không là thành viên theo quy định hiện hành của Thống đốc Ngân hàng Nhà nước hướng dẫn sử dụng tài khoản ngoại tệ, tài khoản đồng Việt Nam của người cư trú, người không cư trú tại ngân hàng được phép.
Mục 3. SỬ DỤNG NGOẠI TỆ CỦA THÀNH VIÊN
Điều 86. Quy định về sử dụng ngoại tệ của thành viên
1. Ngân hàng thành viên được thực hiện giao dịch thanh toán, chuyển tiền, niêm yết, quảng cáo, báo giá, định giá, ghi giá bằng ngoại tệ đối với các hoạt động, dịch vụ cung cấp cho khách hàng phù hợp với phạm vi hoạt động theo quy định tại Chương IV Nghị định này.
2. Doanh nghiệp thành viên được thực hiện giao dịch thanh toán, chuyển tiền, niêm yết, quảng cáo, báo giá, định giá, ghi giá bằng ngoại tệ đối với các hoạt động, dịch vụ cung cấp cho:
a) Thành viên khác, cá nhân, tổ chức ngoài lãnh thổ Việt Nam;
b) Cá nhân, tổ chức trên lãnh thổ Việt Nam không là thành viên theo quy định pháp luật hiện hành về sử dụng ngoại hối trên lãnh thổ Việt Nam.
3. Việc thanh toán, chuyển tiền giữa các thành viên phải thực hiện thông qua tài khoản thanh toán bằng ngoại tệ tại ngân hàng thành viên.
Mục 4. QUY ĐỊNH QUẢN LÝ NGOẠI HỐI ĐỐI VỚI HOẠT ĐỘNG VAY, CHO VAY CỦA THÀNH VIÊN
Điều 87. Nguyên tắc vay vốn từ cá nhân, tổ chức ngoài lãnh thổ Việt Nam
Thành viên được vay vốn bằng ngoại tệ từ cá nhân, tổ chức ngoài lãnh thổ Việt Nam và phải thực hiện khai báo thông tin, tuân thủ chế độ báo cáo.
Điều 88. Nguyên tắc cho vay ra nước ngoài
1. Thành viên do nhà đầu tư nước ngoài sở hữu 100% vốn điều lệ được cho cá nhân, tổ chức ngoài lãnh thổ Việt Nam vay vốn và phải thực hiện khai báo thông tin, tuân thủ chế độ báo cáo.
2. Thành viên không do nhà đầu tư nước ngoài sở hữu 100% vốn điều lệ phải tuân thủ quy định về điều kiện cho vay ra nước ngoài tại Điều 89 Nghị định này và phải thực hiện khai báo thông tin, tuân thủ chế độ báo cáo.
Điều 89. Điều kiện cho vay ra nước ngoài đối với bên cho vay là thành viên không do nhà đầu tư nước ngoài sở hữu 100% vốn điều lệ
1. Bên cho vay là ngân hàng thương mại 100% vốn trong nước được cho vay bằng ngoại tệ đối với các đối tượng:
a) Tổ chức được thành lập và hoạt động ngoài lãnh thổ Việt Nam có trên 50% cổ phần, phần vốn góp của thành viên hoặc của doanh nghiệp Việt Nam không là thành viên;
b) Tổ chức được thành lập và hoạt động ngoài lãnh thổ Việt Nam do tổ chức thuộc đối tượng quy định tại điểm a khoản này nắm giữ trên 50% cổ phần, phần vốn góp.
2. Bên cho vay là doanh nghiệp thành viên được cho vay tổ chức được thành lập và hoạt động ngoài lãnh thổ Việt Nam có trên 50% cổ phần, phần vốn góp của bên cho vay hoặc của công ty mẹ của bên cho vay trên lãnh thổ Việt Nam.
3. Bên cho vay phải đáp ứng các điều kiện về giới hạn cho vay như sau:
a) Giá trị cho vay đối với mỗi dự án đầu tư ở nước ngoài tối đa bằng phần chênh lệch giữa tổng mức vốn đầu tư của dự án đầu tư tại nước ngoài và vốn góp theo ghi nhận tại Giấy chứng nhận đăng ký đầu tư ra nước ngoài hoặc văn bản có giá trị pháp lý tương đương do cơ quan có thẩm quyền của nước tiếp nhận vốn đầu tư quy định;
b) Giới hạn tổng dư nợ cho vay ra nước ngoài của bên cho vay tối đa không vượt quá 3 lần vốn chủ sở hữu của bên cho vay được ghi nhận tại báo cáo tài chính được kiểm toán gần nhất hoặc vốn điều lệ của bên cho vay trong trường hợp bên cho vay mới thành lập và chưa có báo cáo tài chính được kiểm toán;
c) Trường hợp dự án đầu tư ở nước ngoài không thuộc diện được cấp Giấy chứng nhận đăng ký đầu tư ra nước ngoài và nước tiếp nhận vốn đầu tư không có văn bản quy định quy mô tổng mức vốn đầu tư và vốn góp của dự án đầu tư tại nước ngoài, bên cho vay phải đảm bảo giới hạn cho vay quy định tại điểm b khoản này.
4. Bên cho vay phải đáp ứng tỷ lệ bảo đảm an toàn, tỷ lệ an toàn tài chính (nếu có) trong 3 tháng liền kề trước ngày ký thỏa thuận cho vay đến khi giải ngân khoản cho vay.
5. Bên cho vay có văn bản cam kết đã thực hiện đầy đủ nghĩa vụ thuế với ngân sách nhà nước trong 01 năm liền kề trước năm thực hiện giao dịch cho vay ra nước ngoài (trừ trường hợp năm đầu thành lập).
6. Bên cho vay phải có báo cáo thẩm định khoản cho vay ra nước ngoài được cấp có thẩm quyền của bên cho vay phê duyệt bao gồm nội dung thẩm định dự án cho vay, khả năng quản trị và phòng ngừa rủi ro tín dụng đối với khoản cho vay ra nước ngoài.
Điều 90. Nguyên tắc cho vay đối với bên đi vay trong nước
Bên đi vay trong nước khi vay từ thành viên phải tuân thủ quy định về điều kiện vay quy định tại Điều 91 Nghị định này và thực hiện khai báo khoản vay, đăng ký, đăng ký thay đổi khoản vay.
Điều 91. Điều kiện vay từ thành viên áp dụng đối với bên đi vay trong nước
1. Bên đi vay trong nước không là tổ chức tín dụng Việt Nam phải đáp ứng các điều kiện sau:
a) Thời hạn vay từ 12 tháng trở lên;
b) Mục đích vay nhằm thực hiện:
b.1) Dự án đầu tư theo Giấy chứng nhận đăng ký đầu tư, văn bản chấp thuận chủ trương đầu tư hoặc các văn bản khác theo quy định của pháp luật về đầu tư và các quy định khác của pháp luật có liên quan;
b.2) Hoạt động sản xuất, kinh doanh phù hợp với phạm vi hoạt động được phép của bên đi vay trong nước theo phương án sử dụng vốn vay được cấp có thẩm quyền của bên đi vay trong nước phê duyệt;
b.3) Cơ cấu lại khoản nợ nước ngoài và khoản nợ thành viên của bên đi vay trong nước theo phương án cơ cấu nợ được cấp có thẩm quyền của bên đi vay trong nước phê duyệt.
2. Bên đi vay trong nước là tổ chức tín dụng Việt Nam phải tuân thủ:
a) Khi vay ngắn hạn, bên đi vay trong nước phải đảm bảo tỷ lệ tổng dư nợ gốc của các khoản vay ngắn hạn từ thành viên tính trên vốn tự có riêng lẻ không vượt quá 30% áp dụng đối với bên đi vay là ngân hàng thương mại không là thành viên và 150% áp dụng đối với bên đi vay là chi nhánh ngân hàng nước ngoài không là thành viên, tổ chức tín dụng khác không là thành viên;
b) Khoản vay có thời hạn vay trên 12 tháng phải phục vụ hoạt động cấp tín dụng của bên đi vay trong nước trong đó tối thiểu 50% giá trị khoản vay được sử dụng để cho vay lại dự án đầu tư thuộc ngành nghề ưu đãi đầu tư theo quy định của pháp luật hiện hành về đầu tư.
3. Bên đi vay trong nước quy định tại khoản 1 và khoản 2 Điều này phải đáp ứng tỷ lệ bảo đảm an toàn, tỷ lệ an toàn tài chính (nếu có) trong giai đoạn 3 tháng liền trước ngày ký thỏa thuận vay, thỏa thuận thay đổi tăng giá trị khoản vay đến khi khai báo hoặc đăng ký khoản vay.
Mục 5. QUẢN LÝ NGOẠI HỐI ĐỐI VỚI HOẠT ĐỘNG ĐẦU TƯ NƯỚC NGOÀI VÀO TRUNG TÂM TÀI CHÍNH VÀ HOẠT ĐỘNG ĐẦU TƯ TỪ TRUNG TÂM TÀI CHÍNH VÀO PHẦN CÒN LẠI CỦA VIỆT NAM
Điều 92. Nhà đầu tư nước ngoài chuyển tiền liên quan đến hoạt động đầu tư nước ngoài vào Trung tâm tài chính
Nhà đầu tư nước ngoài phải chuyển tiền thông qua tài khoản vốn của nhà đầu tư nước ngoài mở tại ngân hàng thành viên quy định tại khoản 3 Điều 84 Nghị định này khi thực hiện các giao dịch chuyển vốn đầu tư nước ngoài vào Trung tâm tài chính; chuyển vốn, lợi nhuận và các khoản thu hợp pháp từ Trung tâm tài chính ra nước ngoài của nhà đầu tư nước ngoài.
Điều 93. Thành viên chuyển tiền liên quan đến hoạt động đầu tư từ Trung tâm tài chính vào phần còn lại của Việt Nam
Khi thực hiện các giao dịch chuyển tiền liên quan đến hoạt động đầu tư từ Trung tâm tài chính vào phần còn lại của Việt Nam theo quy định pháp luật về hoạt động đầu tư từ Trung tâm tài chính vào phần còn lại của Việt Nam:
1. Thành viên phải chuyển khoản thông qua tài khoản quy định tại điểm a khoản 1 Điều 84 Nghị định này.
2. Thành viên là doanh nghiệp phải thực hiện quy định như đối với nhà đầu tư nước ngoài theo quy định của Thống đốc Ngân hàng Nhà nước hướng dẫn về quản lý ngoại hối đối với hoạt động đầu tư trực tiếp nước ngoài vào Việt Nam và gián tiếp nước ngoài vào Việt Nam.
Mục 6. QUẢN LÝ NGOẠI HỐI ĐỐI VỚI HOẠT ĐỘNG ĐẦU TƯ TỪ TRUNG TÂM TÀI CHÍNH RA NƯỚC NGOÀI CỦA THÀNH VIÊN
Điều 94. Thành viên do nhà đầu tư nước ngoài sở hữu 100% vốn điều lệ chuyển tiền liên quan đến hoạt động đầu tư từ Trung tâm tài chính ra nước ngoài
Thành viên do nhà đầu tư nước ngoài sở hữu 100% vốn điều lệ không phải tuân thủ các quy định về đăng ký, đăng ký thay đổi giao dịch ngoại hối liên quan đến hoạt động đầu tư ra nước ngoài nhưng phải thực hiện chuyển khoản thông qua tài khoản quy định tại điểm a khoản 1 Điều 84 và thực hiện các quy định về khai báo thông tin, tuân thủ chế độ báo cáo theo quy định tại Điều 98 Nghị định này.
Điều 95. Thành viên không do nhà đầu tư nước ngoài sở hữu 100% vốn điều lệ chuyển tiền liên quan đến hoạt động đầu tư từ Trung tâm tài chính ra nước ngoài
1. Khi được phép thực hiện hình thức đầu tư liên quan đến hoạt động đầu tư trực tiếp từ Trung tâm tài chính ra nước ngoài theo quy định của pháp luật về đầu tư, thành viên không do nhà đầu tư nước ngoài sở hữu 100% vốn điều lệ phải thực hiện như sau:
a) Đăng ký giao dịch ngoại hối liên quan đến hoạt động đầu tư trực tiếp từ Trung tâm tài chính ra nước ngoài với Cơ quan điều hành tại thành phố tại địa phương trước khi chuyển tiền để thực hiện hoạt động đầu tư trực tiếp từ Trung tâm tài chính ra nước ngoài;
b) Đăng ký thay đổi giao dịch ngoại hối với Cơ quan điều hành tại thành phố khi phát sinh thay đổi liên quan đến hoạt động đầu tư trực tiếp từ Trung tâm tài chính ra nước ngoài;
c) Thực hiện các giao dịch chuyển vốn ra nước ngoài, chuyển vốn đầu tư gốc, lợi nhuận và khoản thu hợp pháp từ nước ngoài về Trung tâm tài chính thông qua tài khoản quy định tại điểm a khoản 1 Điều 84 Nghị định này.
2. Khi được phép thực hiện hình thức đầu tư liên quan đến hoạt động đầu tư gián tiếp từ Trung tâm tài chính ra nước ngoài theo quy định của pháp luật, thành viên không do nhà đầu tư nước ngoài sở hữu 100% vốn điều lệ phải chuyển tiền thông qua tài khoản quy định tại điểm a khoản 1 Điều 84 Nghị định này.
Điều 96. Điều kiện của ngân hàng thành viên để thực hiện mua, bán trái phiếu Chính phủ, trái phiếu doanh nghiệp phát hành bằng ngoại tệ ở nước ngoài
1. Ngân hàng thương mại 100% vốn nước ngoài, chi nhánh ngân hàng nước ngoài thành viên không phải thực hiện các quy định về điều kiện để được mua, bán trái phiếu phát hành bằng ngoại tệ ở nước ngoài quy định tại khoản 3 Điều này, nhưng phải thực hiện các quy định về khai báo thông tin Cơ quan điều hành tại thành phố, sử dụng tài khoản theo quy định tại khoản 2 Điều 84 và chế độ báo cáo quy định tại Điều 98 Nghị định này.
2. Ngân hàng thương mại 100% vốn trong nước phải đáp ứng các điều kiện sau để được Cơ quan điều hành tại thành phố cấp giấy chứng nhận đăng ký mua, bán trái phiếu phát hành bằng ngoại tệ ở nước ngoài:
a) Có lãi trong 03 năm liên tục liền kề trước năm nộp hồ sơ đề nghị cấp giấy chứng nhận đăng ký mua, bán trái phiếu phát hành bằng ngoại tệ ở nước ngoài được thể hiện trên báo cáo tài chính đã được kiểm toán độc lập và không có ý kiến ngoại trừ theo quy định hiện hành của Bộ Tài chính;
b) Thực hiện đầy đủ các nghĩa vụ tài chính với nhà nước theo quy định hiện hành của pháp luật về thuế (trừ trường hợp năm đầu thành lập);
c) Tuân thủ quy định về các giới hạn, tỷ lệ bảo đảm an toàn trong hoạt động ngân hàng tại Chương V Nghị định này.
3. Ngân hàng thương mại 100% vốn trong nước chỉ mua, bán trái phiếu phát hành bằng ngoại tệ ở nước ngoài khi đáp ứng các điều kiện sau:
a) Được cấp phép thực hiện mua, bán trái phiếu phát hành bằng ngoại tệ ở nước ngoài theo quy định tại khoản 2 Điều này;
b) Tuân thủ quy định về tỷ lệ đầu tư an toàn, nguồn vốn để mua, bán trái phiếu phát hành bằng ngoại tệ ở nước ngoài trong quá trình thực hiện quy định tại khoản 4, khoản 5 Điều này.
4. Hoạt động mua, bán trái phiếu phát hành bằng ngoại tệ ở nước ngoài của ngân hàng thương mại 100% vốn trong nước phải đảm bảo không được vượt quá 7% vốn tự có của ngân hàng thương mại 100% vốn trong nước đó, đồng thời đảm bảo tuân thủ các quy định tại Chương V Nghị định này.
5. Ngân hàng thương mại 100% vốn trong nước tự cân đối nguồn vốn để mua, bán trái phiếu phát hành bằng ngoại tệ ở nước ngoài trên cơ sở đảm bảo tuân thủ quy định tại Chương V Nghị định này.
6. Trái phiếu được ngân hàng thương mại 100% vốn trong nước mua, bán ở nước ngoài phải được xếp hạng tín nhiệm bởi các tổ chức xếp hạng tín nhiệm quốc tế: Standard & Poor’s, Moody’s và Fitch Ratings.
Mục 7. GIAO DỊCH NGOẠI TỆ CỦA DOANH NGHIỆP THÀNH VIÊN
Điều 97. Giao dịch ngoại tệ của doanh nghiệp thành viên
Doanh nghiệp thành viên được thực hiện giao dịch ngoại tệ với tổ chức tín dụng Việt Nam phù hợp với phạm vi giao dịch của khách hàng là người không cư trú với tổ chức tín dụng Việt Nam theo quy định của Thống đốc Ngân hàng Nhà nước về giao dịch ngoại tệ trên thị trường ngoại tệ của các tổ chức tín dụng được phép hoạt động ngoại hối.
Chương IX
CHẾ ĐỘ BÁO CÁO
Điều 98. Chế độ báo cáo
1. Cơ quan điều hành chủ trì xây dựng, ban hành quy định báo cáo về hoạt động ngân hàng, hoạt động ngoại hối và hoạt động khác áp dụng đối với thành viên và các tổ chức có liên quan trên cơ sở thống nhất với Ngân hàng Nhà nước.
2. Thành viên và các tổ chức có liên quan báo cáo về hoạt động ngân hàng, hoạt động ngoại hối và hoạt động khác theo quy định của Cơ quan điều hành.
Chương X
PHÒNG CHỐNG RỬA TIỀN, PHÒNG CHỐNG TÀI TRỢ KHỦNG BỐ, PHÒNG CHỐNG TÀI TRỢ PHỔ BIẾN VŨ KHÍ HỦY DIỆT HÀNG LOẠT
Điều 99. Áp dụng quy định pháp luật về phòng chống rửa tiền, phòng chống tài trợ khủng bố, phòng chống tài trợ phổ biến vũ khí hủy diệt hàng loạt
1. Các thành viên là đối tượng báo cáo thực hiện phòng chống rửa tiền, phòng chống tài trợ khủng bố, phòng chống tài trợ phổ biến vũ khí hủy diệt hàng loạt theo quy định của Luật Phòng, chống rửa tiền, Luật Phòng, chống khủng bố và các văn bản hướng dẫn Luật; pháp luật về phòng chống phổ biến vũ khí hủy diệt hàng loạt, trừ quy định tại khoản 2, khoản 3 Điều này.
2. Việc báo cáo giao dịch chuyển tiền điện tử của các đối tượng báo cáo áp dụng theo chế độ báo cáo giao dịch chuyển tiền điện tử quốc tế theo quy định tại Luật Phòng, chống rửa tiền và các văn bản hướng dẫn.
3. Đối tượng báo cáo gửi quy định nội bộ, báo cáo kiểm toán nội bộ về phòng chống rửa tiền, phòng chống tài trợ khủng bố, phòng chống tài trợ phổ biến vũ khí hủy diệt hàng loạt cho Cơ quan giám sát; gửi Báo cáo kết quả đánh giá, cập nhật rủi ro về rửa tiền và đăng ký thông tin về người chịu trách nhiệm, người phụ trách, bộ phận phòng, chống rửa tiền cho Ngân hàng Nhà nước và Cơ quan giám sát.
4. Thẩm quyền thanh tra, kiểm tra, giám sát, xử lý vi phạm về phòng chống rửa tiền, phòng chống tài trợ khủng bố, phòng chống tài trợ phổ biến vũ khí hủy diệt hàng loạt đối với đối tượng báo cáo tại Trung tâm tài chính thực hiện theo quy định tại khoản 4 Điều 107 và Điều 114 Nghị định này.
Chương XI
THANH TRA, GIÁM SÁT
Mục 1. THANH TRA
Điều 100. Hoạt động thanh tra
1. Cơ quan giám sát tổ chức thực hiện các cuộc thanh tra theo kế hoạch và thanh tra đột xuất; xử lý vi phạm đối với hoạt động ngân hàng, hoạt động ngoại hối khi phát hiện dấu hiệu vi phạm hoặc rủi ro trong hoạt động của thành viên.
2. Cơ quan giám sát chủ trì, phối hợp với các cơ quan có thẩm quyền thanh tra theo quy định pháp luật trong công tác thanh tra hoạt động ngân hàng, hoạt động ngoại hối của thành viên.
3. Nội dung thanh tra:
Thanh tra việc chấp hành pháp luật về hoạt động ngân hàng và hoạt động ngoại hối theo Nghị quyết số 222/2025/QH15, Nghị định này và các văn bản hướng dẫn, thông lệ quốc tế, quy định khác của pháp luật Việt Nam có liên quan, việc thực hiện các quy định trong Giấy phép thành lập và hoạt động.
Điều 101. Biện pháp xử lý vi phạm
Cơ quan giám sát áp dụng các biện pháp xử lý vi phạm qua thanh tra như sau:
1. Kiến nghị, yêu cầu đối tượng thanh tra có biện pháp hạn chế, giảm thiểu và xử lý rủi ro để bảo đảm an toàn hoạt động ngân hàng, hoạt động ngoại hối và phòng ngừa, ngăn chặn hành động dẫn đến vi phạm pháp luật.
2. Xử phạt vi phạm hành chính theo thẩm quyền hoặc kiến nghị cơ quan nhà nước có thẩm quyền xử phạt vi phạm hành chính theo quy định của pháp luật; chuyển hồ sơ cho cơ quan điều tra có thẩm quyền xem xét, xử lý theo quy định pháp luật trong trường hợp có dấu hiệu tội phạm.
3. Áp dụng các biện pháp xử lý khác theo quy định của pháp luật.
Mục 2. GIÁM SÁT
Điều 102. Hoạt động giám sát ngân hàng
1. Giám sát ngân hàng tại Trung tâm tài chính là việc Cơ quan giám sát thực hiện thu thập, tổng hợp, phân tích thông tin về đối tượng giám sát tại Trung tâm tài chính thông qua hệ thống thông tin, báo cáo nhằm phòng ngừa, phát hiện, ngăn chặn và xử lý kịp thời rủi ro gây mất an toàn hoạt động ngân hàng, vi phạm quy định an toàn hoạt động ngân hàng và các quy định khác của pháp luật có liên quan áp dụng đối với các đối tượng giám sát tại Trung tâm tài chính.
2. Cơ quan có thẩm quyền thực hiện giám sát ngân hàng tại Trung tâm tài chính là Cơ quan giám sát.
3. Đối tượng giám sát tại Trung tâm tài chính là các ngân hàng thành viên.
4. Trình tự, thủ tục giám sát ngân hàng tại Trung tâm tài chính do Cơ quan giám sát ban hành để thực hiện giám sát ngân hàng theo thông lệ quốc tế, dựa trên rủi ro.
Điều 103. Quyền, nghĩa vụ của đối tượng giám sát
1. Cung cấp kịp thời, đầy đủ, chính xác thông tin, tài liệu theo yêu cầu của Cơ quan giám sát; chịu trách nhiệm trước pháp luật về tính chính xác, trung thực của thông tin, tài liệu đã cung cấp.
2. Bảo đảm khả năng kết nối, truy cập dữ liệu trực tuyến phục vụ hoạt động giám sát của Cơ quan giám sát.
3. Báo cáo, giải trình đối với khuyến nghị, cảnh báo rủi ro và an toàn hoạt động của Cơ quan giám sát.
4. Thực hiện khuyến nghị, cảnh báo rủi ro và an toàn hoạt động của Cơ quan giám sát.
5. Quyền, nghĩa vụ khác theo quy định của pháp luật.
Điều 104. Nội dung giám sát ngân hàng
1. Thu thập, tổng hợp và xử lý tài liệu, thông tin, dữ liệu theo yêu cầu giám sát.
2. Theo dõi tình hình chấp hành các quy định về an toàn hoạt động ngân hàng và các quy định khác của pháp luật về tiền tệ và ngân hàng tại Trung tâm tài chính; việc thực hiện khuyến nghị, cảnh báo về giám sát ngân hàng.
3. Phân tích, đánh giá tình hình tài chính, hoạt động, quản trị, điều hành và mức độ rủi ro của ngân hàng thành viên.
4. Phát hiện, cảnh báo rủi ro gây mất an toàn hoạt động ngân hàng và nguy cơ dẫn đến vi phạm pháp luật về hoạt động ngân hàng và quản lý ngoại hối.
5. Kiến nghị, đề xuất biện pháp phòng ngừa, ngăn chặn và xử lý rủi ro, vi phạm pháp luật.
Điều 105. Xử lý đối tượng giám sát
1. Đối tượng giám sát vi phạm pháp luật về tiền tệ và ngân hàng thì tùy theo tính chất, mức độ vi phạm mà bị xử lý theo quy định của pháp luật.
2. Căn cứ vào kết quả giám sát, tùy theo tính chất, mức độ rủi ro, Cơ quan giám sát thực hiện:
a) Cảnh báo, khuyến nghị đối với đối tượng giám sát;
b) Tiến hành thanh tra, kiểm tra đối tượng giám sát hoặc kiến nghị cơ quan có thẩm quyền thanh tra thực hiện thanh tra, kiểm tra khi phát hiện có dấu hiệu vi phạm pháp luật, dấu hiệu rủi ro, không an toàn trong hoạt động;
c) Lập biên bản vi phạm hành chính và chuyển cơ quan có thẩm quyền để xử lý vi phạm hành chính đối với các hành vi vi phạm pháp luật của đối tượng giám sát theo quy định của pháp luật về xử lý vi phạm hành chính;
d) Cơ quan giám sát có quyền yêu cầu ngân hàng thành viên thuê công ty kiểm toán do Cơ quan giám sát chỉ định thực hiện kiểm toán hoặc dịch vụ khác để đánh giá một phần hoặc toàn bộ nội dung liên quan đến tổ chức, hoạt động và tài chính của ngân hàng khi xét thấy cần thiết để đánh giá thực trạng tài chính, hoạt động và mức độ an toàn, lành mạnh của ngân hàng thành viên. Chi phí thuê tổ chức kiểm toán độc lập do ngân hàng thành viên chi trả;
đ) Các biện pháp xử lý khác theo quy định của pháp luật.
Điều 106. Phối hợp trong giám sát
1. Cơ quan giám sát chủ trì, phối hợp với Ngân hàng Nhà nước, các bộ, cơ quan ngang bộ có liên quan, Ủy ban nhân dân Thành phố Hồ Chí Minh và Ủy ban nhân dân thành phố Đà Nẵng để trao đổi thông tin về giám sát hoạt động của đối tượng giám sát. Định kỳ hằng quý hoặc đột xuất theo yêu cầu thực tế, Cơ quan giám sát gửi Ngân hàng Nhà nước thông tin, kết quả tình hình thực hiện giám sát ngân hàng tại Trung tâm tài chính để phối hợp quản lý, giám sát theo chức năng, nhiệm vụ.
Cơ quan giám sát trao đổi thông tin và phối hợp với cơ quan có thẩm quyền của nước ngoài trong việc giám sát hoạt động của đối tượng giám sát. Cơ quan giám sát thỏa thuận với cơ quan có thẩm quyền của nước ngoài về hình thức, nội dung, cơ chế trao đổi thông tin và phối hợp giám sát phù hợp với quy định pháp luật Việt Nam.
2. Cơ quan điều hành chủ trì, phối hợp với Cơ quan giám sát xây dựng, ban hành văn bản hướng dẫn việc quản lý, giám sát hoạt động ngân hàng trong Trung tâm tài chính.
3. Cơ quan giám sát chủ trì, phối hợp với Ngân hàng Nhà nước, Ủy ban nhân dân Thành phố Hồ Chí Minh, Ủy ban nhân dân thành phố Đà Nẵng trong phạm vi thẩm quyền được giao thực hiện hoạt động giám sát, phòng ngừa và xử lý các vi phạm về tiền tệ, ngân hàng của cơ quan, cá nhân, tổ chức tại Trung tâm tài chính.
4. Ngân hàng Nhà nước và các bộ, cơ quan ngang bộ, Ủy ban nhân dân Thành phố Hồ Chí Minh, Ủy ban nhân dân thành phố Đà Nẵng có trách nhiệm thực hiện chức năng quản lý nhà nước theo quy định của pháp luật; phối hợp, trao đổi thông tin và hỗ trợ Cơ quan giám sát thực hiện hoạt động giám sát ngân hàng tại Trung tâm tài chính đảm bảo an toàn, thông suốt, hiệu quả trong phạm vi thẩm quyền được giao theo quy định tại Nghị định này, Nghị định về thành lập Trung tâm tài chính và các quy định pháp luật khác có liên quan.
Chương XII
TỔ CHỨC THỰC HIỆN
Điều 107. Trách nhiệm của Ngân hàng Nhà nước
1. Trường hợp đặc biệt để đảm bảo an ninh tài chính, tiền tệ quốc gia, Ngân hàng Nhà nước phối hợp với các bộ, ngành liên quan để thực hiện các biện pháp sau:
a) Đình chỉ, tạm đình chỉ một, một số hoặc toàn bộ hoạt động ngân hàng, hoạt động kinh doanh khác của ngân hàng thành viên;
b) Hạn chế đối tượng giao dịch, đồng tiền giao dịch đối với từng hoạt động cụ thể của ngân hàng thành viên;
c) Các biện pháp khác.
2. Ngân hàng Nhà nước không thực hiện cho vay đặc biệt, các nghiệp vụ ngân hàng trung ương như quy định tại Luật Các tổ chức tín dụng và Luật Ngân hàng Nhà nước bao gồm: tái cấp vốn, dự trữ bắt buộc, nghiệp vụ thị trường mở, mua bán ngoại tệ đối với ngân hàng thành viên.
3. Ngân hàng Nhà nước không thực hiện can thiệp sớm, kiểm soát đặc biệt, xếp hạng ngân hàng thành viên.
4. Tiếp nhận các báo cáo và giám sát đối tượng báo cáo trong việc thực hiện báo cáo quy định tại các Điều 25, Điều 26 và Điều 34 của Luật Phòng, chống rửa tiền; phối hợp cung cấp thông tin giám sát cho Cơ quan giám sát để phục vụ công tác thanh tra, kiểm tra, giám sát về phòng chống rửa tiền tại Trung tâm tài chính.
5. Phối hợp với các bộ, ngành, cơ quan, địa phương liên quan, Cơ quan điều hành, Cơ quan giám sát, Cơ quan giải quyết tranh chấp để thực hiện chức năng quản lý nhà nước tại Nghị định này.
6. Thực hiện các nhiệm vụ khác theo quy định tại Điều 112 Nghị định này.
Điều 108. Trách nhiệm của Bộ Tài chính
1. Quản lý nhà nước trong hoạt động về chứng khoán và thị trường chứng khoán.
2. Đầu mối hướng dẫn về chế độ tài chính, hạch toán, kế toán của ngân hàng thành viên.
3. Thực hiện các nhiệm vụ khác theo quy định tại Điều 112 Nghị định này.
Điều 109. Trách nhiệm của Bộ Công an
1. Bộ Công an trong phạm vi chức năng, nhiệm vụ, quyền hạn của mình chủ trì, phối hợp với các bộ, ngành, Hội đồng nhân dân, Ủy ban nhân dân Thành phố Hồ Chí Minh, Hội đồng nhân dân, Ủy ban nhân dân thành phố Đà Nẵng, Cơ quan điều hành và Cơ quan giám sát thực hiện quản lý nhà nước về phòng chống tài trợ khủng bố tại Trung tâm tài chính.
2. Thực hiện các nhiệm vụ khác theo quy định tại Điều 112 Nghị định này.
Điều 110. Trách nhiệm của Bộ Quốc phòng
1. Bộ Quốc phòng trong phạm vi chức năng, nhiệm vụ, quyền hạn của mình phối hợp với Hội đồng nhân dân và Ủy ban nhân dân Thành phố Hồ Chí Minh, Hội đồng nhân dân và Ủy ban nhân dân thành phố Đà Nẵng, Cơ quan điều hành và Cơ quan giám sát thực hiện quản lý nhà nước về phòng chống tài trợ phổ biến vũ khí hủy diệt hàng loạt tại Trung tâm tài chính.
2. Thực hiện các nhiệm vụ khác theo quy định tại Điều 112 Nghị định này.
Điều 111. Trách nhiệm của Ủy ban nhân dân Thành phố Hồ Chí Minh và thành phố Đà Nẵng
Phối hợp với các bộ, ngành, cơ quan liên quan để thực hiện chức năng quản lý nhà nước, chỉ đạo Cơ quan điều hành và Cơ quan giám sát trong thực hiện nhiệm vụ được giao tại Nghị định này.
Điều 112. Trách nhiệm của bộ, cơ quan ngang bộ
1. Trong phạm vi nhiệm vụ, quyền hạn của mình, có trách nhiệm quản lý nhà nước đối với ngân hàng thành viên theo quy định của pháp luật.
2. Các bộ, cơ quan ngang bộ trong phạm vi chức năng, nhiệm vụ, quyền hạn của mình phối hợp với Hội đồng nhân dân và Ủy ban nhân dân Thành phố Hồ Chí Minh, Hội đồng nhân dân và Ủy ban nhân dân thành phố Đà Nẵng, Cơ quan điều hành và Cơ quan giám sát thực hiện quản lý nhà nước về quản lý ngoại hối, phòng chống rửa tiền, phòng chống tài trợ khủng bố, phòng chống tài trợ phổ biến vũ khí hủy diệt hàng loạt tại Trung tâm tài chính trên địa bàn theo quy định tại Nghị định này và pháp luật phòng chống rửa tiền, phòng chống tài trợ khủng bố, phòng chống tài trợ phổ biến vũ khí hủy diệt hàng loạt.
Điều 113. Trách nhiệm của Cơ quan điều hành
1. Hội đồng điều hành có trách nhiệm ban hành hoặc giao tại Quy chế hoạt động của Trung tâm tài chính cho Cơ quan điều hành tại thành phố ban hành các văn bản hướng dẫn quy định tại khoản 3 Điều 9, Điều 15, khoản 2 Điều 21, khoản 2 Điều 32, khoản 6 Điều 43, điểm a.4 khoản 1 Điều 66, khoản 5 Điều 69, khoản 1 Điều 78, khoản 4 Điều 79, khoản 2 Điều 80, khoản 1 Điều 83, Điều 98 và khoản 2 Điều 106 Nghị định này.
2. Hội đồng điều hành chủ trì, phối hợp với Cơ quan giám sát, Ngân hàng Nhà nước và các cơ quan liên quan xây dựng và ban hành quy chế phối hợp cung cấp, chia sẻ thông tin về hoạt động ngân hàng, hoạt động ngoại hối, phòng, chống rửa tiền, phòng chống tài trợ khủng bố, phòng chống tài trợ phổ biến vũ khí hủy diệt hàng loạt tại Trung tâm tài chính; Cơ quan điều hành thực hiện cung cấp, chia sẻ thông tin theo quy chế và theo yêu cầu của Ngân hàng Nhà nước, cơ quan có thẩm quyền.
3. Phối hợp với Ngân hàng Nhà nước, Bộ Công an, Bộ Quốc phòng, Cơ quan giám sát và các cơ quan có liên quan thực hiện quản lý nhà nước về phòng chống rửa tiền, phòng chống tài trợ khủng bố, phòng chống tài trợ phổ biến vũ khí hủy diệt hàng loạt; thực hiện đánh giá rủi ro quốc gia về rửa tiền, tài trợ khủng bố, tài trợ phổ biến vũ khí hủy diệt hàng loạt.
4. Hội đồng điều hành hướng dẫn hoạt động của ngân hàng thành viên ngoài các hoạt động quy định tại Mục 2, Mục 3 Chương IV Nghị định này sau khi thống nhất với Ngân hàng Nhà nước.
5. Thực hiện trách nhiệm khác theo quy định tại Nghị định này.
Điều 114. Trách nhiệm của Cơ quan giám sát
1. Thực hiện kiểm tra, thanh tra, giám sát, xử lý vi phạm đối với hoạt động ngân hàng, ngoại hối, phòng chống rửa tiền, phòng, chống tài trợ khủng bố, phòng chống tài trợ phổ biến vũ khí hủy diệt hàng loạt tại Trung tâm tài chính theo quy định tại Nghị định này.
2. Phối hợp với Ngân hàng Nhà nước, Bộ Công an và Bộ Quốc phòng và các cơ quan có liên quan trong công tác thanh tra, giám sát và trao đổi, chia sẻ thông tin về kết quả thanh tra, kiểm tra, giám sát hoạt động ngân hàng, ngoại hối, phòng chống rửa tiền, phòng, chống tài trợ khủng bố, phòng chống tài trợ phổ biến vũ khí hủy diệt hàng loạt.
3. Phối hợp với Cơ quan điều hành, Ngân hàng Nhà nước và các cơ quan liên quan xây dựng quy chế phối hợp cung cấp, chia sẻ thông tin về hoạt động ngân hàng, hoạt động ngoại hối, phòng, chống rửa tiền, phòng chống tài trợ khủng bố, phòng chống tài trợ phổ biến vũ khí hủy diệt hàng loạt tại Trung tâm tài chính; phối hợp với Cơ quan điều hành thực hiện cung cấp, chia sẻ thông tin theo quy chế và theo yêu cầu của Ngân hàng Nhà nước, cơ quan có thẩm quyền.
4. Thực hiện trách nhiệm khác theo quy định tại Nghị định này.
Điều 115. Điều khoản thi hành
1. Nghị định này có hiệu lực thi hành từ ngày 18 tháng 12 năm 2025.
2. Trường hợp các văn bản dẫn chiếu tại Nghị định này được sửa đổi, bổ sung, thay thế thì thực hiện theo quy định tương ứng tại văn bản sửa đổi, bổ sung, thay thế.
Điều 116. Trách nhiệm thi hành
Bộ trưởng, Thủ trưởng cơ quan ngang bộ, Thủ trưởng cơ quan thuộc Chính phủ, Chủ tịch Ủy ban nhân dân Thành phố Hồ Chí Minh, Chủ tịch Ủy ban nhân dân thành phố Đà Nẵng, các tổ chức, cá nhân có liên quan chịu trách nhiệm thi hành Nghị định này.
