CIRCULAR

Details on registering export rights and import rights for foreign traders without presence in Vstrict N |||1 ||| I hereby issue this Circular to amend and supplement certain provisions on periodic reporting regimes in Circulars issued by the Minister of Industry and Trade or jointly issued, which shall take effect from February 5, 2020;

 

Circular No. 28/2012/TT-BCT dated September 27, 2012, issued by the Minister of Industry and Trade detailing the registration of export rights and import rights for foreign traders without presence in Vietnam, which took effect from November 15, 2012, has been amended and supplemented by the following Circulars:

1. Circular No. 42/2019/TT-BCT dated December 18, 2019, issued by the Minister of Industry and Trade to amend and supplement certain provisions on periodic reporting systems in Circulars issued by the Minister of Industry and Trade or jointly issued, which took effect from February 5, 2020;ZrO2 ||| processing and transiting with foreign goods.

2. Circular No. 08/2024/TT-BCT dated April 22, 2024, issued by the Minister of Industry and Trade to amend and supplement certain Circulars of the Minister of Industry and Trade in the field of import and export, which took effect from June 7, 2024.

3. Circular No. 38/2025/TT-BCT dated June 19, 2025, issued by the Minister of Industry and Trade to amend and supplement certain provisions on the delegation of administrative procedures in fields under the management of the Ministry of Industry and Trade.

Pursuant to Decree No. 189/2007/NĐ-CP dated December 27, 2007, promulgated by the Government, stipulating the functions, tasks, powers, and organizational structure of the Ministry of Industry and Trade, and Decree No. 44/2011/NĐ-CP dated June 14, 2011, promulgated by the Government, amending and supplementing Article 3 of Decree No. 189/2007/NĐ-CP;

Pursuant to Decree No. 90/2007/NĐ-CP dated May 31, 2007, promulgated by the Government, stipulating the export rights and import rights of foreign traders without presence in Vietnam;

Pursuant to Decree No. 23/2007/NĐ-CP dated February 12, 2007, promulgated by the Government, detailing the Law on Trade regarding trading activities and related activities directly connected with trading activities of enterprises with foreign investment capital in Vietnam;

Pursuant to Decree No. 12/2006/NĐ-CP dated January 23, 2006, promulgated by the Government, detailing the implementation of the Law on Trade regarding international trading activities and agency buying, selling, processing, and transiting goods from abroad;June 2024;3 ||| international trade, implemented according to the committed timeline;

The Minister of Industry and Trade issues this Circular detailing the registration of export rights and import rights for foreign traders without presence in Vietnam as follows:[1]:

Chapter I. GENERAL PROVISIONS

 

Article 1. Scope of Regulation and Applicability

1. This Circular stipulates the issuance, reissuance, amendment, supplementation, extension, revocation of Export Registration Certificate and Import Registration Certificate for foreign traders without presence in Vietnam.

2. This Circular applies to foreign traders from countries and territories that are members of the World Trade Organization (WTO) and countries and territories that have bilateral agreements with Vietnam on export rights and import rights, and other organizations and individuals related to the export and import activities of foreign traders without presence in Vietnam.

3. This Circular does not regulate business activities at border markets, customs clearance markets, and markets within border economic zones of countries sharing borders with Vietnam.

Article 2. Exercise of Export Rights

1. Foreign traders without presence in Vietnam (hereinafter referred to as non-present traders) who have been granted an Export Registration Certificate and Import Registration Certificate shall exercise their export rights as follows:

a) They may export goods not included in the list of prohibited export goods, suspended export goods, and goods not permitted for export under international commitments. For goods subject to conditions for export, they must meet the conditions stipulated by law;

b) For goods listed in the schedule of export goods under international commitments, they shall implement according to the commitment schedule;policies4 ||| Account number for foreign currency...at bank...

c) They may directly handle export procedures at customs authorities based on purchase contracts signed with Vietnamese traders in accordance with the law;

d) Exported goods must be consistent with the content of the Export Registration Certificate and Import Registration Certificate.

2. Non-present traders may only directly purchase goods from Vietnamese traders registered for business or having export rights or distribution rights for such goods for export purposes; they are not allowed to organize networks to collect goods in Vietnam for export, including establishing locations to collect export goods, except where otherwise provided by Vietnamese law or international treaties to which the Socialist Republic of Vietnam is a party.

Article 3. Implementation of Import Rights

1. A non-resident trader who has been granted an Export and Import Registration Certificate shall implement import rights as follows:

a) They may import goods not listed in the prohibited import goods list, the temporarily suspended import goods list, or the goods list that are not allowed to be imported under international commitments. For conditional imports, they must meet the conditions stipulated by law;

b) For goods listed in the import goods schedule subject to phased implementation under international commitments, they shall follow the commitment schedule;

c) They may directly handle import procedures at customs authorities based on sales contracts signed with Vietnamese traders in accordance with the provisions of the law;

d) Imported goods must be consistent with the contents of the Export and Import Registration Certificate.

2. A non-resident trader may only directly sell imported goods to Vietnamese traders registered for business or having distribution rights for such goods, and shall not organize or participate in a distribution system in Vietnam, except where otherwise provided by Vietnamese law or international treaties to which the Socialist Republic of Vietnam is a party.

Chapter II. DOCUMENTS AND PROCEDURES FOR ISSUANCE, REISSUANCE, AMENDMENT, SUPPLEMENTATION, EXTENSION, AND REVOCATION OF THE EXPORT AND IMPORT REGISTRATION CERTIFICATE

 

Article 4. Procedures for Issuance, Reissuance, Amendment, Supplementation, Extension

1. A non-resident trader shall submit one set of documents to the issuing authority[2] to be considered for issuance, reissuance, amendment, supplementation, or extension of the Export and Import Registration Certificate.

2. The time limit for issuance, reissuance, amendment, supplementation, or extension of the Export and Import Registration Certificate shall be implemented according to the provisions of Articles 9, 12, and 13 of Decree No. 90/2007/ND-CP dated May 31, 2007 of the Government on the export and import rights of foreign traders without presence in Vietnam (hereinafter referred to as Decree No. 90/2007/ND-CP).

3. The validity period of the Export and Import Registration Certificate is five years.

Article 5. Documents for Issuance of the Export and Import Registration Certificate

1. The application package for the Export and Import Registration Certificate includes:

a) An application form for the Export and Import Registration Certificate in accordance with Model MD-1 of Appendix I attached hereto;

b) The original certificate from the competent authority of the country where the trader is registered confirming that the non-resident trader is not deprived of trading rights or is not subject to penalties related to trading activities as prescribed by the laws of the country where the foreign trader is established;

c) The original certificate from the competent authority of the country where the trader is registered confirming that the non-resident trader has no criminal record and is not restricted or deprived of civil capacity if the non-resident trader is an individual or the legal representative of the non-resident trader is an economic organization;

d) A certified copy of the business registration certificate or equivalent document for an economic organization; a certified copy of the identity card, passport, or other legally recognized personal identification for an individual;

đ) A certified copy of the audited financial report or a document confirming tax obligations or financial obligations in the most recent fiscal year issued by the competent authority of the country where the foreign trader is established, or other documents issued or confirmed by the competent authority regarding the existence and actual operation of the foreign trader in the most recent fiscal year in accordance with the laws of that country;

e) The original confirmation of operating capital and bank account number of the foreign trader in the country where it is established;

g) An agreement between the representative of the foreign trader in Vietnam and the non-resident trader specifying their names, contact addresses, and phone numbers;

h) A certified copy of the business registration certificate of the economic organization representing the non-resident trader in Vietnam or a certified copy of the identity card, passport, or other legally recognized personal identification for the representative who is an individual.

3. The documents specified in points b, c, d, đ, e of Clause 2 of this Article must be translated into Vietnamese and legalized according to Vietnamese law. In case the document specified in point g of Clause 2 of this Article is in a foreign language, it must be translated into Vietnamese and notarized or legalized.nationalp must be legalized according to Vietnamese law. Article 6. Documents for Amending, Supplementing, Reissuing Export and Import Right Registration Certificate

1. When amending or supplementing any content recorded in the Export and Import Right Registration Certificate, the non-resident trader must notify the issuing authority and simultaneously complete the procedures to amend or supplement the Export and Import Right Registration Certificate.

2. The application documents for amending, supplementing, or reissuing the Export and Import Right Registration Certificate include:

a) An application form for amending, supplementing, or reissuing the Export and Import Right Registration Certificate, implemented according to Model MD-2, MD-3 in Appendix I issued together with this Circular;

b) The original Export and Import Right Registration Certificate that has been issued. In case the original is lost, burned, or destroyed, the non-resident trader must present a certified copy or a confirmation from the competent authority;

c) The original certificate from the Vietnamese tax authority confirming that the non-resident trader has fulfilled all tax and financial obligations to the Vietnamese State up to the time of applying to amend or supplement the Export and Import Right Registration Certificate;

d) A certified copy of the business registration certificate or equivalent document for an economic organization; a certified copy of the identity card, passport, or other legally recognized personal identification for an individual;

d) A certified copy of the legal document proving the change in content within the Export and Import Right Registration Certificate.

3. The documents specified in points d and đ of Clause 2 of this Article must be translated into Vietnamese and legalized according to the provisions of Vietnamese law.

Article 7. Documents for Extending the Export and Import Right Registration Certificate

1. The application documents for extending the Export and Import Right Registration Certificate include:

a) An application form for extending the Export and Import Right Registration Certificate, implemented according to Model MD-4 in Appendix I issued together with this Circular;

b) The original Export and Import Right Registration Certificate that has been issued or a certified copy in case the original is lost, burned, or destroyed;

c) A certified copy of the audited financial report or a document confirming the fulfillment of tax or financial obligations in the most recent fiscal year, issued by the competent authority where the foreign trader was established, or other documents issued or confirmed by independent organizations with authority, proving the existence and actual operation of the foreign trader in the most recent fiscal year according to the laws of that country;

d) A report on export and import activities from the date of issuance of the Export and Import Right Registration Certificate to the date of extension request, based on annual periodic activity reports compiled in accordance with Clause 1 of Article 12 of this Circular;

đ) The original certificate from the Vietnamese tax authority confirming that the non-resident trader has fulfilled all tax and financial obligations to the Vietnamese State up to the time of requesting to extend the Export and Import Right Registration Certificate.

2. The documents specified in points c and d of Clause 1 of this Article must be translated into Vietnamese and legalized according to the provisions of Vietnamese law.

3. After the expiration of the term of the Export and Import Right Registration Certificate that has been extended, if the non-resident trader still wishes to register for export and import rights, they must follow the procedures for initial extension registration as stipulated above regarding the documents and procedures.rime Minister cu has been extended, if the non-resident trader still wishes to register for export and import rights, they must follow the procedures for initial extension registration as stipulated above regarding the documents and procedures.

Article 8. Extension and Amendment of Export and Import Registration Certificate

In cases where foreign traders without physical presence simultaneously request extension and amendment of the Export and Import Registration Certificate, the application for extension and amendment shall be carried out in accordance with the provisions of Articles 6 and 7 of this Circular, wherein the Application for Extension and Adjustment of the Export and Import Registration Certificate shall be implemented according to Model MD-5 in Appendix I attached hereto.

Article 9. Termination of Export and Import Rights in Vietnam

1. The termination of export and import rights in Vietnam by foreign traders without physical presence shall be implemented in accordance with the provisions of Article 14 of Decree No. 90/2007/ND-CP.

2. Foreign traders without physical presence terminating their export and import rights in accordance with points a and b of Clause 1 of Article 14 of Decree No. 90/2007/ND-CP must submit a notification to the licensing authority[3] regarding their planned cessation of operations using Form TB in Appendix I attached hereto.

Article 10. Revocation of Export and Import Registration Certificate

Foreign traders without physical presence will have their Export and Import Registration Certificate revoked in accordance with Clause 2 of Article 15 of Decree No. 90/2007/ND-CP.

Chapter III. RESPONSIBILITIES FOR NOTIFICATION AND REPORTING OF ACTIVITIES OF FOREIGN TRADERS WITHOUT PHYSICAL PRESENCE IN VIETNAM

 

Article 11. Notification of Activities

1. After obtaining, amending, supplementing, or extending the Export and Import Registration Certificate, foreign traders without physical presence must publicly announce the contents granted, amended, supplemented, or extended in their Registration Certificate on mass media platforms in accordance with Clause 3 of Article 9, Clause 4 of Article 12, and Clause 6 of Article 13 of Decree No. 90/2007/ND-CP.

2. Mass media platforms include television, radio, online news, and national newspapers published in Vietnam.

Article 12. Periodic and Ad hoc Reporting of Activities

1.[4] The annual periodic report of foreign traders without physical presence must be a financial report audited and implemented according to Form BC in Appendix I attached hereto. The report must be translated into Vietnamese and legalized by a consular officer or notarized by a Vietnamese notary. The report must be sent to the licensing authority[5] via postal service no later than March 31 each year of the following year.

2. Foreign traders without physical presence are responsible for providing information and reports as required by the licensing authority[6] when necessary for state management work. Information and reports must be submitted to the licensing authority[7] within five working days from the date of receipt of the official letter requesting such information or reports from the licensing authority[8].

3. Other financial reporting systems and statistical reporting systems of foreign traders without physical presence shall be implemented in accordance with Vietnamese laws.

Chapter IV. IMPLEMENTING PROVISIONS [9]

Article 13. Responsibility for Implementation [10]

1. Provincial People's Committees shall implement the issuance, reissuance, amendment, supplementation, extension, and revocation of the Export and Import Registration Certificate for foreign traders without physical presence in accordance with Clause 1 of Article 6 of Decree No. 90/2007/ND-CP and the guidance provided in this Circular.ZrO2. The Export and Import Registration Certificate issued to foreign traders without physical presence shall be made in three copies: one copy for the trader; one copy retained by the licensing authority; and one copy sent to the customs authority for coordinated management.

This Circular takes effect from November 15, 2012.

I. Guidelines for recording certain details on the Certificate of Registration of Export Rights and Import Rights

[1] Circular No. 42/2019/TT-BCT amending and supplementing certain provisions on periodic reporting regimes in Circulars issued by the Minister of Industry and Trade or jointly issued has the following basis for promulgation:

The Minister of Industry and Trade issues this Circular amending and supplementing certain provisions on periodic reporting regimes in Circulars issued by the Minister of Industry and Trade or jointly issued.”

Circular No. 08/2024/TT-BCT amending and supplementing certain Circulars of the Minister of Industry and Trade in the field of import and export has the following basis for promulgation:

"Article 37. Effectiveness

1. This Circular takes effect from February 5, 2020.

2. The following regulations are abolished:

a) Clause 6, Article 1 of Circular No. 33/2016/TT-BCT dated December 23, 2016, of the Minister of Industry and Trade amending and supplementing certain articles of Circular No. 36/2015/TT-BCT dated October 28, 2015, promulgating the National Technical Regulations for tissue paper and toilet paper products.rime Minister cb) Article 4 of Circular No. 51/2018/TT-BCT dated December 19, 2018, of the Minister of Industry and Trade amending and supplementing certain articles of Joint Circular No. 47/2011/TTLT-BCT-BTNMT dated December 30, 2011, of the Minister of Industry and Trade and the Minister of Natural Resources and Environment regarding the management of import, export, and temporary import-reexport of substances that deplete the ozone layer as prescribed in the Montreal Protocol on Substances that Deplete the Ozone Layer.

c) Clause 20, Article 1 of Circular No. 31/2018/TT-BCT dated October 5, 2018, of the Minister of Industry and Trade amending and supplementing certain articles of Circular No. 27/2013/TT-BCT dated October 31, 2013, concerning the inspection of electricity activities and electricity usage, and the resolution of disputes in power purchase contracts.No. d) Article 29 of Circular No. 43/2013/TT-BCT dated December 31, 2013, of the Minister of Industry and Trade prescribing the contents, procedures, and processes for the preparation, review, approval, and adjustment of Power Development Planning.

3. Current regular reporting systems in the field of Industry and Trade must ensure the time for finalizing report data as prescribed in Article 12 of Decree No. 09/2019/NĐ-CP. 4. During the implementation process, if there are any difficulties, organizations and individuals should reflect them in writing to the Ministry of Industry and Trade for guidance and resolution./."

Article 5 of Circular No. 08/2024/TT-BCT amending and supplementing certain Circulars of the Minister of Industry and Trade in the field of import and export, shall take effect from June 7, 2024, and is stipulated as follows:

1. This Circular takes effect from June 7, 2024.

2. During the implementation of this Circular, if any issues arise, traders, relevant agencies, organizations, and individuals should reflect them in writing to the Ministry of Industry and Trade for handling./."

Article 37 of Circular No. 38/2025/TT-BCT amending and supplementing certain provisions on the implementation of administrative procedures in fields under the management of the Ministry of Industry and Trade, shall take effect from July 1, 2025, and is stipulated as follows:

"Article 5. Effectiveness of Implementation

Suspension of Licenses, Certificates, Certifications, approval documents, consent documents for administrative procedures in fields that have been granted, approved, or consented before July 1, 2025, shall continue to be valid until their expiration date as specified in the Licenses, Certificates, Certifications, approval documents, consent documents according to regulations.

"Article 37. Implementation Provisions

1. This Circular takes effect from July 1, 2025.

2. Accompanying this Circular are new forms replacing those in administrative procedures listed in Appendix I, and new forms prescribed in administrative procedures listed in Appendix II.

3. Transitional Provisions

g) Article 2 of Circular No. 43/2023/TT-BCT of the Minister of Industry and Trade amending and supplementing certain articles of Circular No. 57/2018/TT-BCT dated December 26, 2018, of the Ministry of Industry and Trade detailing certain provisions of Decrees related to tobacco sales;无效h) Appendices 11, 12, 13, 14, 15 attached to Circular No. 43/2023/TT-BCT of the Minister of Industry and Trade amending and supplementing certain articles of Circular No. 57/2018/TT-BCT dated December 26, 2018, of the Ministry of Industry and Trade detailing certain provisions of Decrees related to tobacco sales;

4. This Circular abolishes:

l) Clause 2, Article 11 of Circular No. 59/2015/TT-BCT dated December 31, 2015, of the Minister of Industry and Trade regarding the management of e-commerce activities through mobile applications;

m) Appendix V attached to Circular No. 07/2019/TT-BCT dated June 20, 2019, of the Minister of Industry and Trade regarding the export of textile and garment products to Mexico under the Comprehensive and Progressive Agreement for Trans-Pacific Partnership;

c) Appendix I promulgated with Circular No. 40/2018/TT-BCT dated October 30, 2018, issued by the Minister of Industry and Trade on the construction and content of safety management documents in oil and gas activities;

d) Article 17 of Circular No. 36/2019/TT-BCT dated November 29, 2019, issued by the Minister of Industry and Trade on product quality management under the responsibility of the Ministry of Industry and Trade;

n) Clause 2, Article 5, Clause 3, Article 6 of Circular No. 12/2018/TT-BCT dated June 15, 2018, of the Minister of Industry and Trade detailing certain provisions of the Law on Foreign Trade Management and Decree No. 69/2018/NĐ-CP dated May 15, 2018, of the Government detailing certain provisions of the Law on Foreign Trade Management;

e) Clause 2, Article 21 of Circular No. 57/2018/TT-BCT dated December 26, 2018, issued by the Minister of Industry and Trade detailing certain provisions of Decrees related to tobacco business;

p) Clause 2, Article 5, Clause 3, Article 6, Clause 4, Article 7, Clause 2, Article 8 of Circular No. 12/2018/TT-BCT dated June 15, 2018, of the Minister of Industry and Trade detailing certain provisions of the Law on Foreign Trade Management and Decree No. 69/2018/NĐ-CP dated May 15, 2018, of the Government detailing certain provisions of the Law on Foreign Trade Management.
