Regulating the model documents and reports related to investment activities in Vietnam and promotion of investment
Based on Law No. 143/2025/QH15 on Investment dated December 11, 2025;

 

Based on Decree No. 96/2026/NĐ-CP dated March 31, 2026 of the Government regulating certain provisions and guiding implementation of some articles of the Law on Investment;

Based on Decree No. 29/2025/NĐ-CP dated February 24, 2025 of the Government on functions, tasks, powers, and organizational structure of the Ministry of Finance;

Based on Decree No. 166/2025/NĐ-CP dated June 30, 2025 of the Government amending and supplementing certain provisions of Decree No. 29/2025/NĐ-CP dated February 24, 2025 of the Government on functions, tasks, powers, and organizational structure of the Ministry of Finance;

In accordance with the request of the Director of the Department of Foreign Investment;

The Minister of Finance promulgates this Circular to regulate model documents and reports related to investment activities in Vietnam and promotion of investment.

Article 1. Scope of Application

 

This Circular regulates model documents and reports related to investment activities in Vietnam and promotion of investment.

Article 2. Applicability

1. Investors engaged in investment activities in Vietnam.

2. State agencies with authority over investment management for investment activities in Vietnam and promotion of investment.

3. Other organizations and individuals related to investment activities in Vietnam and promotion of investment.

Article 3. Model Documents and Reports Related to Investment Activities in Vietnam and Promotion of Investment

1. The model documents and reports related to investment activities in Vietnam are specified in Appendix I.

2. The model documents and reports related to promotion of investment are specified in Appendix II.

Article 4. Implementation Responsibilities

State agencies with authority over investment management for investment activities in Vietnam and promotion of investment, investors engaged in investment activities in Vietnam, organizations and individuals engaged in promotion of investment, and other relevant organizations and individuals shall bear the responsibility for implementing this Circular.

Article 5. Provisions for Implementation

1. This Circular takes effect from the date of signature and replaces Circular No. 03/2021/TT-BKHĐT dated April 9, 2021 of the Minister of Planning and Investment on model documents and reports related to investment activities in Vietnam, outbound investments from Vietnam, and promotion of investment; Circular No. 25/2023/TT-BKHĐT dated December 31, 2023 of the Minister of Planning and Investment amending and supplementing certain provisions of Circular No. 03/2021/TT-BKHĐT dated April 9, 2021 of the Minister of Planning and Investment on model documents and reports related to investment activities in Vietnam, outbound investments from Vietnam, and promotion of investment; and Circular No. 06/2025/TT-BKHĐT dated February 12, 2025 of the Minister of Planning and Investment on model documents related to special investment procedures.

2. For valid applications submitted in accordance with the model documents specified in the aforementioned Circulars prior to the effective date of this Circular but not yet processed, they shall continue to be handled and resolved. After the effective date of this Circular, state agencies shall process and resolve applications using the model documents attached hereto.

3. In the course of implementing this Circular, if any difficulties arise, relevant organizations and individuals are requested to report to the Ministry of Finance for guidance./.

IV. INVESTOR SPECIFIC ASSESSMENT

1. Construction, environmental protection, technology transfer, fire safety standards and criteria according to relevant laws on construction, environmental protection, technology transfer, fire safety as stipulated in Appendices I, II, III, IV of this model and other related technical standards applicable to the project.

2. Preliminary assessment of the project's suitability with the above-mentioned technical standards and criteria and related plans under Article 47Decree No. 96/2026/NĐ-CP.;

+ V. INVESTOR/ECONOMIC ORGANIZATION COMMITMENT

1. Responsible for the legality, accuracy, truthfulness of the application documents and other submitted documents to competent state agencies.2. Comply with Vietnamese laws and contents of the investment approval decision/investment registration certificate..

3. Commit to bear all costs and risks if the project is not approved.

4. In case of choosing market access conditions and investment procedures applicable to domestic investors, then abandon all rights and benefits of foreign investors under domestic laws or any international treaty that may apply to such investor. (

Applicable to Vietnamese citizens with dual nationality)

2. Preliminary assessment of the project's compliance with the technical standards, specifications, and conditions specified in Section IV.1 above and relevant plans as provided for in Article 47 Decree No. 96/2026/ND-CP.

V. INVESTOR/ECONOMIC ORGANIZATION COMMITMENT

1. Responsible before the law for the legality, accuracy, and truthfulness of the submitted documents and other legal texts to competent state agencies.

2. Comply with Vietnamese laws and the contents of the Investment Approval Decision/Business Registration Certificate.

3. Commit to bear all costs and risks if the project is not approved.

4. In case of choosing market access conditions and investment procedures as applicable to domestic investors, then relinquish all rights and benefits of foreign investor under domestic laws or any international treaty that may apply to such investor. (Applies to foreign citizens who are also Vietnamese nationals)

5. Meets the conditions, standards, and technical standards specified in Appendices I, II, III, and IV of this model; other conditions, standards, technical standards, and other provisions of relevant laws apply to the case of the project; no prohibited acts as stipulated in the construction law, environmental protection law, technology transfer law, fire prevention, and extinguishing law are carried out.(Applicable to projects implemented under special investment procedures as provided for in Article 47 of Decree No. 96/2026/NĐ-CP)

6. Bears full responsibility in the event that the commitments and implementation schedule are not fulfilled; if the project does not comply with its commitments and schedule, competent state agencies may consider suspending or partially suspending operations of the project, terminating or partially terminating operations of the project in accordance with investment law and other relevant laws.

VI. ACCOMPANYING DOCUMENTS

1. For projects implemented under special investment procedures: in addition to the documents specified in Clause 1 of Article 32 of Decree No. 96/2026/NĐ-CP, the accompanying documents include commitments regarding meeting the conditions, standards, and technical standards specified in Appendices I, II, III, and IV of this model.

TECHNICAL CONDITIONS, STANDARDS, AND TECHNICAL SPECIFICATIONS ACCORDING TO THE LEGISLATION ON CONSTRUCTION
ATTACHED WITH THE INVESTMENT PROJECT IMPLEMENTATION REQUEST

 

(1. National technical standards for: urban and rural planning, fire safety for buildings and structures, infrastructure engineering systems, and other relevant national technical standards currently in force.

 

2. Standards applicable to projects that have been approved by the competent authority of investment according to the construction law provisions.

3. Indicators included in the overall urban development plan, detailed planning zone development plan, and industrial park, special economic zone, high-tech zone, concentrated digital technology zone, free trade zone, functional area plans within an economic zone that have been approved by the competent authority.

4. Attach a notification of commencement document: (i) an investment construction economic and technical report including all contents as stipulated in the construction law, organized and prepared by the investor; (ii) an inspection report on the economic and technical report for construction projects, conducted by organizations or individuals qualified under the law to inspect safety, environmental protection, fire prevention and extinguishing, compliance with standards and technical specifications, for relevant state authorities responsible for urban planning management at the local level and the Industrial Zone Management Board, Free Trade Zone Management Board, High-Tech Zone Management Board before commencement of construction.

TECHNICAL CONDITIONS, STANDARDS, AND TECHNICAL SPECIFICATIONS ON FIRE SAFETY

 

ATTACHED WITH THE INVESTMENT PROJECT IMPLEMENTATION REQUEST

1. Compliance with fire safety conditions and requirements when establishing, adjusting the investment construction project, designing the project, renovating or changing the functional use of the building according to current fire safety legislation (specifically state applicable clauses, points, names of documents).
2. The design must comply with standards and technical specifications for fire safety and meet the following requirements: fire separation distances; layout and traffic facilities for firefighting, rescue operations; escape solutions; fire resistance ratings; fire prevention and spread control measures; smoke control measures; electrical systems for fire protection; firefighting equipment and systems.
