Circular number 03/2024/TT-BCT and Circular number 38/2025/TT-BCT have amended and supplemented certain provisions on the delegation of administrative procedures implementation in fields under the management of the Ministry of Industry and Trade. Specifically, from March 18, 2024 and July 1, 2025, many procedures related to representative offices and branches of foreign traders, trading activities will be delegated to the People's Committees of provinces to implement. At the same time, some report forms and legal bases have also been adjusted or abolished according to new regulations.

Circular No. 11/2016/TT-BCT dated July 5, 2016 of The Minister of Industry and Trade stipulates the forms for implementing Decree No. 07/2016/NĐ-CP dated January 25, 2016 of the Government detailing the Commercial Law regarding Representative Offices and Branches of foreign traders in Vietnam, shall take effect from August 20, 2016, amended and supplemented by:
1. Circular No.03/2024/TT-BCT dated January 30, 2024 of the Minister of Industry and Trade amending and supplementing some provisions of Circulars of the Minister of Industry and Trade in the field of franchising, representative offices and branches of foreign traders, trading activities, and other activities directly related to trading activities of foreign service providers, shall take effect from March 18, 2024;
2. Circular No. 38/2025/TT-BCT dated June 19, 2025 of the Minister of Industry and Trade amending and supplementing certain provisions on the delegation of administrative procedures in fields under the management of the Ministry of Industry and Trade, shall take effect from July 1, 2025.

The Minister of Industry and Trade issues this Circular stipulating the forms for implementing Decree No. 07/2016/NĐ-CP dated January 25, 2016 of the Government detailing the Commercial Law regarding Representative Offices and Branches of foreign traders in Vietnam as follows:[1]
Article 1. Forms of Application for Permission, License, Reports, and Notifications of Termination of Operations of Representative Offices and Branches of Foreign Traders in Vietnam; Report Form of Licensing Authority
1. Form of Application for Issuance and Reissuance of License to Establish a Representative Office (reissued as provided in Clause 1, Article 18 of Decree No. 07/2016/NĐ-CP) according toForm MD-1attached as an appendix to this Circular.
2. Form of Application for Reissuance of License to Establish a Representative Office (reissued as provided in Clause 2, Article 18 of Decree No. 07/2016/NĐ-CP) according toForm MD-2attached as an appendix to this Circular.

Article 2. Codes of provinces and centrally governed cities[2]
1. The codes of provinces and centrally governed cities shall be implemented according to the List of province and centrally governed city codes where citizens register their birth, as prescribed by the Minister of Public Security through various periods..
Article 3. Recording of the License for Establishing Representative Office and Branch of Foreign Business in Vietnam
The License for Establishing Representative Office and Branch shall be printed on A4 paper. The recording of the License shall follow Table 2 the format attached as the Appendix to this Circular.
Article 4. Organization of Implementation[3]
1. The People's Committee of the province is the lead unit responsible for receiving, processing applications for issuance, reissuance, amendment, extension, and termination of the Branch establishment License, and cessation of Branch operations, as stipulated in Article 6 of Decree No. 07/2016/ND-CP; it is also responsible for monitoring, urging, and inspecting the implementation of this Circular.
2. The Department of E-commerce and Digital Economy under the Ministry of Industry and Trade is responsible for establishing, managing, operating, and maintaining the database on Representative Offices and Branches of foreign businesses in Vietnam on the Ministry of Industry and Trade’s electronic portal at www.moit.gov.vn.
3. The issuing authority of the License for Establishing Representative Office and Branch is responsible for updating relevant information into the database specified in Clause 2 of this Article within fifteen days from the date of issuance, reissuance, amendment, extension, revocation of the License for Establishing Representative Office and Branch, and cessation of Representative Office and Branch operations.
4. The issuing authority of the License for Establishing Representative Office and Branch is responsible for updating information about administrative violations handled against Representative Offices and Branches into the database specified in Clause 2 of this Article after making decisions to impose administrative penalties for violations committed by Representative Offices and Branches.
5. Annually, before February 28, the People's Committee of the province is responsible for reporting to the Ministry of Industry and Trade on the situation regarding issuance, reissuance, amendment, extension, revocation of the Branch establishment License, and cessation of Branch operations in the locality.
Article 5. Effective Date[4]
1. This Circular takes effect from August 20, 2016.
2. This Circular abolishes Circular No. 11/2006/TT-BTM dated September 28, 2006 issued by the Ministry of Trade (now the Ministry of Industry and Trade) guiding the implementation of Decree No. 72/2006/NĐ-CP dated July 25, 2006 of the Government detailing the Law on Commerce concerning Representative Offices and Branches of foreign businesses in Vietnam.
3.[5] During the implementation process, if any difficulties arise, organizations and individuals concerned should reflect them to the Ministry of Industry and Trade for timely guidance and resolution./.

BRANCH OF FOREIGN TRADER IN VIETNAM
1. Structure of the Establishment License Number for Representative Offices
a) The Establishment License Number for Representative Offices issued by provincial Departments of Industry and Trade consists of nine digits (00-00000-00).
b) The Establishment License Number for Representative Offices issued by Industrial Park Management Boards, Export Processing Zone Management Boards, Economic Zone Management Boards, High-Tech Park Management Boards consists of specific identifiers for each Board (BQL, BQLVSIP, BQLKKT, BQLCNC...) and nine digits (00-000-00).
c) Structure of the nine digits:
- The first two digits represent the Code of the province or centrally administered city (Table 1 in the Appendix attached to this Circular);
- The next five digits, from 00001 to 99999, are the serial number assigned by the local licensing authority based on the date of issuance;
- The last two digits, from 01 to 99, are the serial number of the Representative Office of the same foreign trader, self-reported by the trader.
d) Examples
- The Establishment License Number for the tenth Representative Office established by the Department of Industry and Trade of Ho Chi Minh City for the first Representative Office of a foreign company (ABC Co., Ltd.) is recorded as 79-00010-01;
- The Establishment License Number for the third Representative Office established by the Industrial Park and Export Processing Zone Management Board of Ho Chi Minh City for the second Representative Office of a foreign company (ABC Co., Ltd.), is recorded as BQL-79-00003-02 (in fact, this Representative Office was established based on the cessation of operations of the first Representative Office as stipulated in Clause 1, Article 18 of Decree No. 07/2016/ND-CP);
- The Establishment License Number for the eighth Representative Office established by the High-Tech Park Management Board of Ho Chi Minh City for the third Representative Office of a foreign company (ABC Co., Ltd.), is recorded as BQLKCNC-79-00008-03.
- Number of License on the Establishment License for the Eighth Representative Office issued by the Management Board of Ho Chi Minh City High-Tech Park to the Third Representative Office of the foreign trader (Limited Liability Company ABC), recorded as: BQLKCNC-79-00008-03.
- The number on the Representative Office Establishment Permit No. 48-00021-04 issued by the Department of Industry and Trade of Da Nang City for the fourth foreign trader's representative office (ABC Limited Liability Company) is recorded as: 48-00021-04;
- The number on the Representative Office Establishment Permit No. 5 issued by the Management Board of VSIP Province Binh Duong for the fifth foreign trader's representative office (ABC Limited Liability Company) is recorded as: BQLVSIP-74-00005-05.
- The number on the Representative Office Establishment Permit No. 18 issued by the Management Board of Binh Dinh Economic Zone for the sixth foreign trader's representative office (ABC Limited Liability Company) is recorded as: BQLKKT-52-00018-06.
2. Structure of the Representative Office Establishment Permit Number
The Representative Office Establishment Permit consists of six digits (0000-00)
- The first four digits represent the year the Representative Office Establishment Permit was issued
- The last two digits indicate the sequence number of the foreign trader's representative office permitted in that year
- For example, the second permit issued in 2016 will be recorded as 2016-02.
II. Guidelines for Recording Certain Details on the Representative Office Establishment Permit
1. First Issue: Record the date of issuance of the Representative Office Establishment Permit
- The first Representative Office of ABC Trader entering Vietnam. The Department of Industry and Trade of Hanoi issued the Representative Office Establishment Permit on September 1, 2016, recorded as:
First issue: September 1, 2016
- The first Representative Office of ABC Trader with Representative Office Establishment Permit No. 01000010, issued by the Department of Industry and Trade of Hanoi on October 10, 2013, has now ceased operations in Hanoi and moved to Da Nang. The Department of Industry and Trade of Da Nang issued the Representative Office Establishment Permit on September 5, 2016, recorded as:
First issue: September 5, 2016
(Reissued based on Permit No. 01000010, dated October 10, 2013).
2. Reissue pursuant to Clause 2 Article 18 of Decree No. 07/2016/NĐ-CP: Record the most recent reissue date
- A Representative Office that has been issued a Representative Office Establishment Permit is now being reissued for the first time according to Clause 2 Article 18 of Decree No. 07/2016/NĐ-CP on December 31, 2016, recorded as:
First issue: September 5, 2016
First reissue: December 31, 2016
(Reissued based on Permit No. 01000100, dated October 10, 2013).
3. Amendment: Record according to the most recent amendment
- In the case where a Representative Office has been issued a Representative Office Establishment Permit, it is now being amended for the first time on December 31, 2017, recorded as:

III. Guidelines for Recording the Representative Office Establishment Permit Number Issued Before the Effective Date of this Circular
Foreign traders who have been issued a Representative Office Establishment Permit before the effective date of this Circular, if they need to reissue, amend, or extend the Representative Office Establishment Permit, the issuing authority shall record the Representative Office Establishment Permit number according to the guidelines set out in this Circular.

Circular No. 38/2025/TT-BCT amending and supplementing certain provisions on the delegation of administrative procedures in areas under the management of the Ministry of Industry and Trade, which takes effect from July 1, 2025, is based on the following grounds:
This clause is amended and supplemented in accordance with Point a Clause 3 Article 1 of Circular No.
“Pursuant to the Law on Government Organization No. 63/2025/QH15;
Pursuant to the Law on Legislative Regulatory Documents No. 64/2025/QH15;
Pursuant to Resolution No. 190/2025/QH15 dated February 19, 2025 of the National Assembly on handling certain issues related to the restructuring of the state apparatus;
Pursuant to Decree No. 40/2025/NĐ-CP dated February 26, 2025, of the Government stipulating the functions, tasks, powers, and organizational structure of the Ministry of Industry and Trade;
Pursuant to Decree No. 146/2025/NĐ-CP dated June 12, 2025 of the Government on decentralization and delegation in the field of industry and trade;
Pursuant to Decree No. 139/2025/NĐ-CP dated June 12, 2025 of the Government on the division of authority of local governments at two levels in the field of state management of the Ministry of Industry and Trade;

The Minister of Industry and Trade promulgates the Circular amending and supplementing certain provisions on the delegation of administrative procedures in fields under the management of the Ministry of Industry and Trade."
The Minister of Industry and Trade issues this Circular amending and supplementing certain provisions on the delegation of administrative procedure implementation in fields under the management of the Ministry of Industry and Trade.”

[3] This provision has been amended and supplemented pursuant to Clause 1, Article 33 of Circular No. 38/2025/TT-BCT amending and supplementing certain provisions on the分级处理行政程序的分级实施规定，自2025年7月1日起生效。
[4] Article 3 of Circular No. 03/2024/TT-BCT dated January 25, some provisions of Circulars of the Minister of Industry and Trade in the field of franchising, representative offices and branches of foreign traders, trading activities, and other activities directly related to trading activities of foreign service providers, comes into effect from March 18, 2024 and is hereby stipulated as follows:
"Article 3. Implementation Provisions
1. This Circular takes effect from March 18, 2024.
2. In cases where the legal normative documents referred to and applied in this Circular are amended, supplemented, or replaced, they shall be implemented according to the provisions of the amended, supplemented, or replaced legal normative documents.
3. During the implementation process, if there are difficulties or obstacles, the relevant agencies, organizations, and individuals are requested to promptly reflect them to the Ministry of Industry and Trade (through the Department of Planning and Finance) for timely consideration and resolution.
4. The Department of Planning and Finance, the Ministry's Office, the E-commerce and Digital Economy Department, and other relevant agencies, organizations, and individuals are responsible for implementing this Circular./”
Article 37 of Circular No. 38/2025/TT-BCT amending and supplementing certain provisions on the分级处理行政程序的分级实施规定，自2025年7月1日起生效，规定如下：
"Article 37. Implementation Provisions
1. This Circular takes effect from July 1, 2025.
2. Attach to this Circular replacement forms in administrative procedures at Appendix I, new forms prescribed in administrative procedures at Appendix II.
3. Transitional Provisions
Licenses, Certificates, Certifications, approval documents, consent documents for administrative procedures in the fields that have been issued, approved, or consented by state management agencies before July 1, 2025 shall continue to be valid until their expiration date as specified in the Licenses, Certificates, Certifications, approval documents, consent documents in accordance with the regulations.
4. This Circular abolishes:
a) Point d, Clause 2, Article 4, Clause 3, Article 18 of Circular No. 23/2024/TT-BCT dated November 7, 2024 of the Minister of Industry and Trade regarding the management and use of industrial explosives and explosive precursors under the jurisdiction of the Ministry of Industry and Trade;
b) The phrase "Department of Science and Technology" at point a, Clause 4, Article 11; the phrase "Department of Industry and Trade" at note (5) Model 01, note (7) Model 02 Appendix IV of Circular No. 23/2024/TT-BCT dated November 7, 2024 of the Minister of Industry and Trade regarding the management and use of industrial explosives and explosive precursors under the jurisdiction of the Ministry of Industry and Trade;

[5] This clause has been amended and supplemented pursuant to Clause 1, Article 33 of Circular No. 38/2025/TT-BCT amending and supplementing certain provisions on the分级处理行政程序的分级实施规定，自2025年7月1日起生效。
1 A model report on the situation of issuing, reissuing, adjusting, extending, and revoking Branch Establishment Licenses for foreign traders carried out by provincial People's Committees and reported to the Ministry of Industry and Trade (marked as Model BC-4) has been added pursuant to Article 34 of Circular No. 38/2025/TT-BCT amending and supplementing certain provisions on the分级处理行政程序的分级实施规定，自2025年7月1日起生效。
2 Traders choose to issue or reissue (reissuance applies to cases under Clause 1, Article 18 of Decree No. 07/2016/NĐ-CP).
3 Traders declare the serial number based on previously issued representative offices.
4 In cases where the head of the foreign trader’s representative office is a Vietnamese citizen who has been assigned a personal identification number, only their name, personal identification number, and place of permanent residence registration need to be declared.
5 Applies to cases of reissuance under Clause 2, Article 18 of Decree No. 07/2016/NĐ-CP.
6 The phrase "Ministry of Industry and Trade" shall be replaced by the phrase "People's Committee of the province" as provided for in point a, Clause 3, Article 33 of Circular No. 38/2025/TT-BCT amending and supplementing certain provisions on the delegation of implementation procedures in fields under the jurisdiction of the Ministry of Industry and Trade, which takes effect from July 1, 2025.
7 In cases where the head of a branch of a foreign trader is a Vietnamese citizen who has been issued a personal identification number, only the name, personal identification number, and place of permanent household registration shall be declared.
8 The phrase "Ministry of Industry and Trade" shall be replaced by the phrase "People's Committee of the province" as provided for in point a, Clause 3, Article 33 of Circular No. 38/2025/TT-BCT amending and supplementing certain provisions on the delegation of implementation procedures in fields under the jurisdiction of the Ministry of Industry and Trade, which takes effect from July 1, 2025.
9 The phrase "Ministry of Industry and Trade" shall be replaced by the phrase "People's Committee of the province" as provided for in point a, Clause 3, Article 33 of Circular No. 38/2025/TT-BCT amending and supplementing certain provisions on the delegation of implementation procedures in fields under the jurisdiction of the Ministry of Industry and Trade, which takes effect from July 1, 2025.

12 Where the head of the Representative Office has been issued a personal identification number, only the personal identification number shall be declared.
13 The phrase "Ministry of Industry and Trade" shall be replaced by the phrase "People's Committee of the province" as provided for in point a, Clause 3, Article 33 of Circular No. 38/2025/TT-BCT amending and supplementing certain provisions on the delegation of implementation procedures in fields under the jurisdiction of the Ministry of Industry and Trade, which takes effect from July 1, 2025.
14 The phrase "Minister of Industry and Trade" shall be replaced by the phrase "Chairman of the People's Committee of the province..." as provided for in point b, Clause 3, Article 33 of Circular No. 38/2025/TT-BCT amending and supplementing certain provisions on the delegation of implementation procedures in fields under the jurisdiction of the Ministry of Industry and Trade, which takes effect from July 1, 2025.
15 This legal basis is supplemented as provided for in point c, Clause 3, Article 33 of Circular No. 38/2025/TT-BCT amending and supplementing certain provisions on the delegation of implementation procedures in fields under the jurisdiction of the Ministry of Industry and Trade, which takes effect from July 1, 2025.
16 Where the head of the Branch has been issued a personal identification number, only the personal identification number shall be declared.

19 In cases where the cessation of operations is due to the relocation of the headquarters of the Representative Office as stipulated in Clause 1, Article 18 of Decree No. 07/2016/NĐ-CP, there is no need to declare this information.

21 The template report on the issuance, reissuance, adjustment, extension, and revocation of licenses for establishing branches of foreign traders implemented by the provincial People's Committee and reported to the Ministry of Industry and Trade (designated as Template BC-4) is supplemented as provided for in Article 34 of Circular No. 38/2025/TT-BCT amending and supplementing certain provisions on the delegation of implementation procedures in fields under the jurisdiction of the Ministry of Industry and Trade, which takes effect from July 1, 2025.
22 Table 1 on the province and centrally administered city codes is abolished as provided for in point b, Clause 3, Article 2 of Circular No. 03/2024/TT-BCT dated January 25, some provisions of Circulars of the Minister of Industry and Trade in the field of franchising, representative offices and branches of foreign traders, trading activities, and other activities directly related to trading activities of foreign service providers, taking effect from March 18, 2024.
